Stock in a publicly-tradedcompany that does not give

the holder the right to vote at the

    company's annual meeting.

    Nonvoting stock usually has other

rights associated with it tocompensate for the lack of ability to

    vote. For example, most preferred

    stock is nonvoting, but preferred

    stock has a guaranteed dividend

while most voting stock does not.

    Corporate Governance

Corporate governance refers to the set ofsystems, principles and processes by which

a company is governed. They provide the

guidelines as to how the company can be

directed or controlled such that it can fulfill

its goals and objectives in a manner that

adds to the value of the company and isalso beneficial for all stakeholders in the

    long term.

Corporate Governance is concerned with holding the balance between economic and

social goals and between individual and communal goals. The corporate governanceframework is there to encourage the efficient use of resources and equally to require

accountability for the stewardship of those resources. The aim is to align as nearly as

possible the interests of individuals, corporations and society.

    Corporate governance models of INDIA

    India's SEBI Committee on Corporate

Governance defines corporate governanceas the "acceptance by management of the

inalienable rights of shareholders as the true

owners of the corporation and of their own

role as trustees on behalf of the

shareholders. It is about commitment to

values, about ethical business conduct andabout making a distinction between personal

& corporate funds in the management of a

company. It has been suggested that the

Indian approach is drawn from the

Gandhian principle of trusteeship and the

Directive Principles of the IndianConstitution, but this conceptualization of

    corporate objectives is also prevalent

    in Anglo-Americanand most other

    jurisdictions.
