If there is one certainty in life it is that change is inevitable. We have seen how the economy has changed and how our businesses have changed with it. We have even witnessed the changes in our own Association. Moving the conference & expo to the Atlantic City Convention Center wasn’t an easy change to make, numerous considerations were taken into account before a decision was made, but in the end I believe it was the right choice. Many of you have said positive things about the entire show and the feedback I’ve received from attendees and exhibitors alike has been great. This year’s conference was my second as President and I would like to thank the over 1,400 registrants, the over 200 exhibitors and the numerous sponsors, with a special thanks to our Signature Sponsors: Apartment Finder, Applied Companies and Comcast, for making this conference a huge success.

I am pleased to have had the opportunity to take in everything the expo, education sessions and networking events our conference had to offer and hope you did as well. For those of you who couldn’t attend, the President’s Reception was the perfect kick-off to the conference and the expo floor was the place to meet with over 200 exhibitors offering the latest in products and services for our industry. The Education Sessions offered updates and insights for owners, managers, and property

staff. Our Keynote presentation included NJAA’s Housing Champion of the Year Awards presented to Assemblywoman Mila Jasey and Assemblyman David Rible. The Keynote address was given by Tiki Barber, who taught us about the value of play in communities and how it makes individuals and families stronger. The lively Anniversary Party at One Atlantic had the crowd dancing and enjoying the music and the beautiful view of Atlantic City from the balcony.

WALTERS GROUP PRESENTED WITH BROWNFIELD RENEWAL AWARD FOR MIXED-USE REDEVELOPMENT The Walters Group received a Brownfield Renewal Award for the work done at Stafford Park, transforming a former brownfield site into a successful mixed-use redevelopment. Brownfield Renewal magazine bestowed the honor at the 14th National Brownfields Conference held in Philadelphia. Winning in the environmental impact category, the Stafford Park project involved the management of environmental issues associated with two landfills, LEED certification for commercial and residential buildings, and the integration of sustainable energy components.

PENNROSE PROPERTIES RECEIVES TOP HONORSPennrose Properties has been awarded top honors by two different organizations. The Affordable Housing Tax Credit Coalition (AHTCC) recently announced the winners of the 17th Annual Charles L. Edson Tax Credit Excellence Awards. This national awards program celebrates the best in affordable rental housing development. The Mary Taylor House in West Chester, Pennsylvania was top winner in the “Senior Housing” category. The company’s Obery Court property in Annapolis, Maryland was honored as runner up in the category of “Public Housing Revitalization.” On another note, Pennrose Properties also won other top honors, as Affordable Housing Finance Magazine recently awarded them two top spots in a recent ranking. The company was honored to receive the 4th Largest Developer, as well as the 25th Largest Owner of Affordable Housing for the Country in 2010.

Peter Pisano of HD Supply Facilities Maintenance was promoted to Sales Director for the North East Region. Peter joined HD Supply, Facilities Maintenance, in 2007 as a District Manager; during his first year at FM Peter was honored with the District Manager of the Year award and inducted into the Presidents Club. Since then he has been instrumental in growing and optimizing sales while building a strong sales team in this emerging region.

LIBERTY ELEVATOR PARTNERS WITH FAIRCOUNT MEDIA GROUP TO WISH LADY LIBERTY A “HAPPY BIRTHDAY”It is with great honor that Liberty Elevator has been selected to participate in the commemorative publication that will mark the 125th Anniversary of the Statue of Liberty’s dedication to the United States. Liberty Elevator Corporation was selected, out of all the major elevator companies in the United States, for the historic renovation of the Statue’s elevators. Liberty customized the design within the pre-existing structure of the National landmark. There is no hoist way, just stainless steel columns and powering it are three pumping units working together in harmony. It is the largest double-decker in the United States. Liberty will be featured in a compilation of stories chronicling the history of the Statue. The 125th publication will serve as a “birthday card” to commemorate the country’s most precious symbol of freedom and will launch this upcoming fall. n

Apartment ownership and management can be a risky business. The property itself, the tenant’s usage of your property and your operations of the facility all involve risk. Apartment owners and managers protect themselves from this risk by purchasing insurance. While insuring your business is mandatory, the actual cost of your insurance program is still largely in your control. The most effective way to reduce your business’s exposure to loss and the corresponding costs associated with it is to leverage another party’s insurance policy – a policy that won’t cost you money. In risk management terms, we call this contractual risk transfer.

All standard commercial insurance policies provide the ability for one party in a contract to assume the tort liability of another party. While the specific policy language can vary, your vendors and service providers have the ability to assume your liabilities, thereby reducing your risk profile and insulating you and your insurance program from losses. This is important because your insurance cost is based on four criteria:

1. The quality of your property2. The quality of your operations3. Your actual loss performance4. An underwriter’s assessment of your opportunity for

losses

CONSISTENCY MATTERSTransferring your risk of loss to contractors and service providers by using their insurance policies is effective in reducing both your actual losses and the potential for loss as seen by an underwriter. It is an extremely cost-effective way of protecting your assets. Implementing a consistent and thorough contractual risk transfer process should be top of mind and a well-implemented procedure for any apartment owner or manager.

You probably consistently obtain certificates of insurance from your snow removal contractors, landscapers and other

contractors who work on your properties. That’s not enough; in fact, it does nothing at all to protect you. A good contractor risk transfer process contains three key elements:

1. Consistent insurance requirements 2. Specific indemnification wording in your

contracts 3. A requirement for Additional Insured coverage

from your vendors

Having consistent insurance requirements is the first piece of the puzzle. It’s not enough to have your vendors show proof of workers compensation coverage, general liability, automobile coverage, etc. You should have a process that dictates minimum limits of insurance that you are willing to accept, minimum insurance company financial ratings and maximum deductibles.

Your broker should be able to advise you on the minimum acceptable insurance levels based on your specific operations and risk appetite. Once determined, these requirements should be used religiously. A good start is to require minimum limits, such as:

• Workers Compensation: Statutory limits• Employers Liability: $1,000,000• General Liability: $1,000,000 per occurrence,

$2,000,000 aggregate• Automobile: $1,000,000 per occurrence

RESPECT THE “A”You should require all your vendors and contractors to show proof of insurance with “A”-rated carriers as determined by the rating agency AM Best. A rating of “A” is still deemed to be “Excellent” by the rating agency and can be acceptable, depending on the size of the insurance company. Many of the big names in the industry have been rated an “A-“ and are still viewed to be well-run operations with a healthy balance sheet. We typically require companies to be rated “A - VII” by AM Best or better in order to protect our clients’ interests.

INDEMNIFY: THE CONTRACTUAL OBLIGATION Indemnification and Additional Insured coverage are two separate routes to the same objective: getting someone else to pay for a loss when it happens. Indemnification is exactly what it sounds like: a contractual obligation of another party to indemnify you in the event of a loss. There are three levels of indemnification:

1. Broad Form indemnification is where another party indemnifies you even for your sole negligence. Some states allow this for certain types of contracts.

2. Intermediate Form indemnification requires the other party to indemnify you in all instances except when you are solely negligent. This is the most common form found in most contracts in New Jersey.

3. Limited Form indemnification requires indemnification only to the extent of the negligence of the other party. In a way, it’s not indemnification at all; since both parties are agreeing to be liable only for their own negligence.

ADDITIONAL INSURED: THE MISSING LINKWhile indemnification is a required piece of an effective program, it could leave you chasing after the assets of your vendor. The missing piece that ties all of this together is requiring your vendor to name you as an Additional Insured on their insurance policies. This way, you can tender a loss directly to your vendor’s insurance company. Additional Insured coverage is very valuable, but you have to be wary that the coverage you expect to get is actually provided for in your vendors’ policies. There are many different standard Additional Insured Endorsements in use. Some provide coverage only for ongoing operations, for completed operations or for something that may not have anything to do with the scope of your contract with your contractor.

Consult with your insurance broker and put language in your contracts that requires Additional Insured coverage be provided, or via a standard form number that you spell out in your contract. This is the only way to know you’re protected in the event of a loss.

A good contractual risk transfer process takes forethought, control and discipline. While it will take some work to set up, it shouldn’t really cost anything. Implemented correctly, it will pay big dividends. n

Anyone who has ever rented an apartment knows that moving can be a major headache. One way to measure the challenge of relocating from, say, New York to Jersey City is how many times you have to traverse the Holland Tunnel. But even before moving day, the leasing process is like a three ring circus when you have to coordinate roommates, guarantors and co-signers, gather all of their paperwork, and then find time for everyone to assemble in the leasing office to at last sign the lease documents, hand over certified checks, and pick up the keys.

While there is no way to control traffic congestion during rush hour, there is a better way to drive traffic, qualify and screen potential residents, and close leases. True online leasing means the only trip your new residents need to make through that tunnel is on the day they move-in.

At the center of this new generation of leasing are electronic signatures. Electronic signatures bring all parties together through quick and efficient signing ceremonies that can be accessed remotely from any computer, tablet device or even a mobile phone.

If the concept of electronic signatures sounds foreign to you, then it might help to imagine them as a tool that replaces your printer, pen and file cabinet. Both electronic signatures and ink signatures are graphical marks, unique to the signer, that indicate acknowledgment of a document. The difference is that signing a document electronically doesn’t require that it be printed, executed in the presence of a leasing agent in wet ink, or stored away in a hanging file folder.

Faster move-insBy spending less time scheduling appointments with prospective residents and waiting around for all parties to meet in person, leasing agents can work faster while

providing the convenience today’s renter expects. Better yet, by coupling online apartment applications and fee payment with electronic signatures, move-ins occur an average of three days faster – that’s decreased vacancy loss that really adds up.

Green savingsGreen savings means the green that comes out of your wallet and the kind that grows on trees. With electronic signatures, property management firms spend less money on hourly wages for leasing agents to conduct administrative tasks like filing, preparing paperwork and sitting through lease signings. Say goodbye to notary fees and overnight shipping charges for guarantors and co-signers that may not be nearby. Plus, there’s no paper printing and storage costs, which results in fewer trees being cut to provide that paper.

The challengesAs is often the case, real estate operators are slow to adopt new technology. While the federal E-SIGN Act has guaranteed the enforceability of electronic signatures for over ten years, only now can you find a battle-tested system built expressly for property managers that provides a turn-key platform that complies with the law.

A reputable form of electronic signature technology must be able to demonstrate three things: 1) the person intended to sign the document, 2) the signature in the document belongs to the person, and 3) the document’s contents have not changed since the person signed.

Some companies have incorporated the requirements of the E-SIGN Act into their online leasing and document generation platform by requiring would-be residents to verify their identity through a background check, capturing the signer’s autograph or a seal representing it, , and finally storing the executed lease documents securely online. Security is built-inThere is a misconception that ink signatures afford a level of security that electronic signatures cannot. David Berryman of Kamson Corporation received third place in the overall competition with a total time of 2:01.0. Additionally, he was awarded individual game honors, receiving third place for the Price Pfister Faucet Repair, second place in the Seasons Ceiling Fan Installation, and second place in Kidde Fire & Carbon Monoxide Safety Installation. Kevin Berryman, Jr., of Kamson Corporation brought home three wins for individual games; first place for the Price Pfister Faucet Repair, first place for the Philips Racecar Competition, and a second place win for the Armor Concepts Door Jamb Armor Installation. Anthony Cintron of Morgan Properties captured second place in the individual game, Kwikset Key Control Deadbolt Test. Congratulations!

We were honored to receive the National Apartment Association’s 2011 Paragon Award for Membership Development. In 2010, NJAA fostered an increase of ten-thousand-units, totaling 170,148 owner member units and 10,200 municipal member units as well as a 33-vendor company member increase, totaling 357 vendor members. NJAA was recognized at during the Joint Board and Assembly Meeting on Wednesday, June 22nd. The NAA PARAGON Awards recognize excellence and leadership in the rental housing industry. Specifically, they recognize the affiliated apartment associations, builders and industry professionals who make unique contributions to the industry.

The National Apartment Association held its 2011 Education Conference & Exposition from June 23 to the 25 at the Mandalay Bay Hotel in Las Vegas. The New Jersey Apartment Association participated in several facets of the conference including having three of our individual competitors compete at the National Maintenance Mania Championship and receiving NAA’s Paragon Award for Membership Development.

NJAA Submits Brief in Support of the Newark Housing Authority in

N.H.A. v. Melvin

The New Jersey Apartment Association (NJAA) joined the National Apartment Association (NAA) to submit a friend-of-the-court brief in support of the position of the Newark Housing Authority (NHA) in Newark Housing Authority v. Veronica Mevlin, which is currently pending in the state appellate court.

NHA is appealing a lower court ruling that would create due process and legal standing for named occupants, and would therefore require that an owner serve all known occupants of an apartment notice of an eviction action (currently an owner must serve only the tenant(s)). In a joint brief, the NJAA and NAA urged the court to reverse the decision as this creation of rights for occupants without the corresponding duties of tenants is contrary to established principals for contract and property law.

When Wall Street crashed in the fall of 2008, the Northeast Regional Council of Carpenters (NRCC) recognized the need for ground-breaking action to assist in bringing construction from concept to concrete. Today, amidst lingering economic unrest, it’s become increasingly vital to explore the potential of cooperative partnerships and co-ventures when looking to finance capital construction. The NRCC, in its forward-looking approach to generating work opportunities for its 30,000 members, has implemented the latest, innovative approach to capital financing.

Late in 2010, to answer traditional lenders’ steadfast hesitation to loan or extend lines of credit to developers, the NRCC leadership and Board of Trustees became more proactive in procuring work for their members and contractor employers. They established a capital investment fund, entitled The New Jersey Build Fund. Designed to attract a diverse range of capital investment opportunities, the Fund optimizes the use of NRCC’s financial resources through an innovative investment program. By combining investment expertise with a rigorous focus in developing a diverse portfolio of property types, the New Jersey Build Fund is available to enhance current partnerships and foster new, non-traditional relationships.

Access to the Northeast Regional Council of Carpenters’ New Jersey Build Fund also provides entities the value-added benefit of utilizing the most productive, trained and skilled craftsmen and women throughout the state. In addition, a restructured wage program allows union contractors to be more competitive in today’s economic climate. By working together, New Jersey’s union carpenters and contractors reduce project liabilities, increase project efficiencies, deliver quality installations, generate smaller punch lists and have fewer call backs. Their five-year, rigorous curriculum of in-classroom and on-the-job training provides owners with the highest quality product quickly and safely. This training provides end-users with skilled craftsmanship in commercial and residential carpentry, drywall and interior systems,

concrete forming, wood and metal framing, floor covering – wood, carpet and vinyl, architectural woodworking and cabinetry, door hardware, energy efficient upgrades, and millwrights. With journeymen upgrade training and emerging technology certifications, the union carpenters’ unmatched qualifications gives end users peace-of-mind and allows maximum control of schedule, cost and quality.

At every phase of construction, from foundation through completion, a carpenter is on the job. By ensuring the profitability of project owners through competitive pricing, quality construction from a skilled workforce and by adhering to stringent project timelines, the Northeast Regional Council of Carpenters is able to secure more work opportunities for their members and contractor employers. By utilizing these standard practices for 130 years, the NRCC and their employers’ success is contingent on the success and profitability of project owners and developers. Today, the New Jersey Build Fund is available to further ensure the success of our fellow partners who wish to invest in the future of New Jersey’s economy.

For the Northeast Regional Council of Carpenters, the approach to today’s construction climate is different. The goal is to invest these resources prudently into prospective projects that will be constructed right here in New Jersey. From office buildings to residential, retail, leisure and industrial buildings, the opportunities are endless. Ultimately, out of crisis comes opportunity, and this investment extends benefits far beyond development and construction, and continues to allow New Jersey to be a great state to live, work and invest. n
