NIGERIA PAVILION AT CONSTRUCT INTERNATIONAL 2014, TERMS AND CONDITIONS The following Terms and Conditions shall govern participation in ‘Nigeria Pavilion at CONSTRUCT INTERNATIONAL’ Organized in association with Trade Facilitation Office Nigeria following CONSTRUCT INTERNATIONAL 2014 presented by Informa Canada. Upon acceptance of your completed signed Reservation Form, you unconditionally agree to have read, understood and agreed to be bound by the following offer, terms, rules, conditions, indemnity and official issuances applicable on the matter, now existing or which may hereinafter be enacted, issued or enforced. These Terms and Conditions comprise the Agreement between Trade Facilitation Office Nigeria and the participant in connection with his or her participation in ‘Nigeria Pavilion at CONSTRUCT INTERNATIONAL’ following CONSTRUCT INTERNATIONAL scheduled from 3-4 December 2014 in Toronto, Canada . Please keep a copy for your records. • (1) The following terms and conditions as well as visiting and exhibiting rules and regulations laid down by the organizers of CONSTRUCT INTERNATIONAL 2014, are part of the participation agreement made through the signing of the ‘Reservation Form’ as though fully incorporated therein, and each trade visitor herein referred as ‘Participant’ is bound by each and everyone hereof. • (2) CanadaFair Team in association with Trade Facilitation Office Nigeria hereinafter referred to as the ‘organizers’ of “Nigeria Pavilion at CONSTRUCT INTERNATIONAL’’ undertakes within the framework of the offer to carry out the project: Nigeria Pavilion at CONSTRUCT INTERNATIONAL from 3- 4 December 2014 as scheduled and organized by Informa Canada to take place at the Metro Toronto Convention Center, Toronto, Canada. • (3) ‘Nigeria Pavilion at CONSTRUCT INTERNATIONAL is an international buyers program designed to help Nigerian trade visitors explore CONSTRUCT INTERNATIONAL 2014 where

they’ll learn, explore opportunities and find solutions for all building activity sectors. And the participant agreed to participate in the program as a trade visitor at the specified

registration fee and terms as indicated on the reverse side of the Reservation Form. Full payment entitles the trade visitor, registration to participate, including appointment service for business-to-business matchmaking which are made on the basis of opportunities available to Trade Facilitation Office Nigeria and it’s organizing partners. Including 2Nights hotel accommodation, Airport shuttle service to official hotel, Visa invitation letter and one personalized entry badge to the event only. No request/reservation will be official or a legal contract until a completed reservation form accompanied with a minimum of 50 percent deposit fee has been received by the organizers. A meeting pre-arranged for a participant is subject to change at the sole discretion of the organizers. The meeting venue or name of the company/exhibitor matched to meet may also change in an effort to cover commercial requests. Participants will be advised by the organizers at a latter date at least seven days before the meeting date on specific companies, dates and time to meet within CONSTRUCT INTERNATIONAL 2014 in Toronto. • (3) Participant agrees: to provide his or her own travel insurance, and make full payments for participation, and be fully responsible for his or her flight fare and entry clearance (visa) into Canada for the event. The participant also accepts to handle immigration formalities independently and agrees that the organizers shall not be responsible for related fees (visa fees) involved in obtaining permission for entry into Canada. The organizers will provide the visa invitation letter only in this respect as their agreed visa support program to delegates. It is also agreed that in the event of delay or rejection of entry permission (visa) into Canada, the participant can make cancellations and will be liable to the administrative charges according to terms and conditions of Article 6 of this contract agreement. • (4) Liability: The participant agrees to indemnify and hold harmless Trade Facilitation Office Nigeria, the marketing Team, the CONSTRUCT INTERNATIONAL management, the conference facility and City of Toronto in which the expo is being held, their officers, Agents and Employees, against all claims, losses, suits, damages, judgments, expenses, costs and charges of any kind resulting from their participation contracted herein by reason of personal injuries, death, property damages or any other cause sustained by any persons or others. Trade Facilitation Office Nigeria shall not be responsible for any loss of life or damage to properties belonging to participants whether resulting from fire, storms, acts of God, air conditioning or heating failure, theft, pilferage, mysterious disappearances, bomb, treats or other causes. All such items are brought to the exhibition or rather along into Canada at the participant’s own risk, and should be safeguarded at all times. The Participant agrees that Trade Facilitation Office Nigeria shall not be responsible in the event of disappointments, errors or omissions in listings in our directory and in any material. Participant agrees to indemnify Trade Facilitation Office Nigeria against and hold them harmless from any claims and for all damages, costs and expenses, including, without limitation, attorneys’ fees and amount paid in settlement, incurred in connection with such claims arising out of the acts or negligence of participant, his agents or Employees. • (5) Payment Schedule: A deposit of 50% of the total registration fee is required with the submission of the Reservation form/online registration and the balance of 50% must be paid before Monday 20th October 2014. No meeting appointment will be confirmed for participants who have not paid the full registration fee. Organizers have the right to replace any participant who have not paid its registration fee in full before Monday 20th October 2014. The cancellation policy listed below will apply in that case. • (6) Cancellations: In the event the participant (exhibitor/trade visitor) seeks to cancel all or part of this contract, participant can only do so by submitting his or her request in a completed official Cancellation form ‘TFO75’ provided by the organizers for ‘Nigeria Pavilion at CONSTRUCT INTERNATIONAL 2014’. Alternatively, cancellations, withdrawal or other official requests regarding participation/ this contract can be forwarded to the organizers through this specified email: info@nigeriapavilion.com. Refunds will be provided prior to December 3, 2014 and a 25% of the registration fee will be applied for the processing of each registration refund so long as the written notice of cancellation is received prior to Monday 20th October 2014. If written cancellation notice (only made through the official Cancellation form TFO75 or by email) is received by Trade Facilitation Office Nigeria on or after Monday 20th October 2014, the participant shall pay a cancellation fee equal to the total registration fee. The cancellation fees are considered to be liquidated damages for injuries the organizers will suffer as a result of participant’s cancellation or withdrawal. The participant acknowledges that damages for cancellation or breach of this contract are difficult to ascertain at the time of this contract’s formation and moreover, participant acknowledges that the agreed upon liquidated damages are a reasonable forecast of compensatory damages in case of breach. The participant also acknowledges that its withdrawal from its booked space at a time when other entities would not be interested in occupying the space will cause the organizers some damage. In such situation, the organizer’s damage will be significant, but not precisely calculable. This provision for liquidated and agreed upon damages is not a penalty and therefore the provision for liquidated damages is valid. The date of cancellation should be the (organizer's received) stamped date on such correspondence. However, participants who intend to register for participation from Monday 20th October 2014 will not be allowed to cancel their participation. In principle, No refunds to such cancellation or request can be attended to. • (7) Force Majeure: Where Informa Canada, the management of CONSTRUCT INTERNATIONAL finds it impossible to stage the exhibition and thereby postpone or cancel the trade show or in the event of fire, war, public calamity, force majeure or other reasons beyond the organizer's control thereby preventing the staging of ‘Nigeria Pavilion at CONSTRUCT INTERNATIONAL’ following CONSTRUCT INTERNATIONAL 2014 in Toronto, Canada, Trade Facilitation Office Nigeria may decide at any time to cancel all reservations for participation already received while notifying participants of this decision in writing. Whatever the reason of such cancellation, the participants are not entitled to any compensation or indemnity. Funds remaining after payment of all costs will be distributed among participants proportionately to the amount paid by them. It is herewith expressly agreed that participants shall have no rights of preferring claims against Trade Facilitation Office Nigeria or any of its staff or agents on any grounds or for any reason whatsoever. •This Agreement is governed by the laws of Federal Republic of Nigeria. Incase of dissatisfaction or disputes that could not be resolved within both parties, the participant and organizer agrees for a law suit in a Nigerian court whose decisions will be binding on the parties.
