B) QUESTIONS AND ANSWERS

At the GCA meeting on Thursday, June 16, 2016, MTA's chairman presented an update on the MTA 2015-19 capital program, including information relating to the ESI Program (31 Stations). Subsequent to the presentation, several questions were asked by prospective Proposers in attendance. Those questions, and the Authority's responses, are listed as follows:

Question No. 12 May shortlisted Proposers add or delete team members throughout the Program?

Answer No. 12 Yes. While the Prime Contractor and Lead Design Firm must remain unchanged, Design-Build Proposers may supplement their teams (as submitted in response to Step 1) with additional members as needed to fulfil the scope of work related to a particular Package.

Question No. 13 Please clarify the Industrial Design aspects of the Program.

Answer No. 13 In addition to the eight identified construction packages which address all 31 stations (typically 3-5 stations each), NYCT anticipates there will be 3-4.RFP packages that include industrial design and manufacture associated with station furniture and architectural components to be installed throughout the ESI Program. Only those Proposers that have been prequalified in

Question No. 14 Please provide further clarity on the stipend arrangements.

Answer No. 14 NYCT will provide a stipend to each unsuccessful Proposer who submits a responsive proposal for Package 1. NYCT also intends to issue stipends for future packages.

Question No. 15 Will NYCT require an itemized invoice of Proposer expenses in order to provide the stipend?

Answer No. 15 No.

B) QUESTIONS AND ANSWERS

Below are questions and/or requests for clarification submitted by Prospective Proposers and the Authority's responses using a question and answer format.

Question No. 6a [The next four questions regard the following statement] "It is the intention of NYCT to offer a stipend to Proposers that submit responsive and detailed technical proposals in response to Step 2 RFPs. Stipend amounts are anticipated to vary according to the value of each contract package as well as other factors."

"It is the intention of NYCT to offer a stipend". Will NYCT commit at this stage in the procurement that a stipend "will be offered to Proposers". This is important for Proposers to know at this time as it affects potential teaming arrangements and other business considerations.

Answer No. 6a Yes, NYCT intends to provide a stipend after award of each contract package to each unsuccessful Proposer who submitted a responsive proposal for that package.

Question No. 6b Can further clarity be provided regarding the anticipated stipend amounts? With the understanding that the packages will vary in value can the anticipated stipend amount be expressed on a percentage value of the overall package amount? Similar to the statement above in (a) this affects teaming arrangements and other business considerations.

Answer No. 6b Stipends are not intended to cover the full cost of preparing and submitting a proposal. While no information regarding specific amounts is available at this time, it is anticipated that the stipend amount will vary by package. In general, stipend amounts will be determined based on an analysis of factors such as the time expended in preparing proposals and the relative complexity of the package work. In order to receive a stipend, unsuccessful proposers will be required to enter into a stipend agreement setting forth the terms and amount of the stipend.

Question No. 6c What are the factors in determining if the Proposer has submitted a responsive and detailed proposal?

Answer No. 6c Factors will include the completeness of the proposal in terms of addressing the requirements outlined in the RFP, particularly those requirements regarding the project schedule.

Question No. 6d If a proposer happens to fall out of the "competitive price range" will a stipend be offered to the Proposer?

Answer No. 6d Yes.

Question No.7 Step Evaluation Criteria, 1A. Prerequisite Threshold Criteria: "The design-build team shall include full-time project engineers, superintendents and inspectors with NYCT experience". Is it the intent of NYCT that the Proposer include in their Scope of Work the role of QAlQC for the project?

Answer No. 7 Yes. The Design-Builder is responsible for meeting all project requirements and shall provide QC and QA on its design and construction work. For example, in Package 1, the Design-Builder shall provide a full-time Quality Manger, Design Manager, Design Quality.Assurance Manager, on-site Project Engineer (one per station), Quality Staff (on-site inspectors), and Safety Engineer.

Question No.8 In Step 2, the selected proposers from Step 1 will be requested to submit comprehensive responses to the RFPs, which will be evaluated in accordance with the specific evaluation criteria set forth below and in the RFPs. Presently a proposer "will be requested" to submit responses to the RFPs. Is it a requirement a proposer submit responses to all RFPs? Due to unknown future awarded work, both for this Program and other work outside of the Program, the situation may arise where a proposer may not be able to submit on all the RFPs. If the situation were to arise where a proposer did not submit on one or more RFPs how would this affect the proposers ability to submit on future RFPs which are solicited after the RFPs which the proposer

passed on? Would this affect NYCT's opinion of any of the Proposer's Team Members for future work outside of this Program?

Answer No.8 Although it is NYCT's goal to achieve maximum competition for each Step 2 RFP, it is understood that all Proposers may not be able to participate in every Step 2 RFP. It is expected that Proposers will submit proposals for multiple contract packages and will remain engaged throughout the Program.

Question No.9 In regard to RFQ #0000133822 Notice A-36622, please clarify whether the Proposer may SUbmit up to ten projects for each member of the Proposer's team when completing the Standard Form 330 F - Examples Which Best Illustrate Proposed Team's Qualifications For this Contract? Form F includes the following "(Please no more than 10 projects)". For example if the Proposer ;s a JV, should each JV member as well as the Lead Design Firm submit 10 projects?

Answer No.9 Up to ten projects total shall be SUbmitted for the Prime Contractor, and up to ten projects total shall be submitted for the Lead Design Firm. If either entity is a JV, the selected projects may illustrate the qualifications of any of that JV's members. For clarity, the maximum number of projects that can be submitted is 10+10: the first ten construction projects and first ten design projects will be used in the evaluation, and any additional projects over this maximum will not be evaluated.

question No. 10 Will all the stations in a particular package will be closed during the 12 month construction schedule?

Answer No. 10 Stations will not be closed for the full duration of a construction package. Although the duration of station closures will vary with each package, it is expected that each Proposer will present a strategy that minimizes station closure durations. All stations in a contract package may be closed simultaneously if they are not adjacent.

Question No. 11 If the answer above is no, is it NYCT intention to close consecutive stations? Please explain the closing procedures.

Answer No. 11 Consecutive (or adjacent) stations will not be permitted to be closed simultaneously. The allowable station closures will be defined in the contract packages.

B) QUESTIONS AND ANSWERS

Below are questions and/or requests for clarification submitted by Prospective Proposers and the Authority's responses using a question and answer format.

Question No.1 The fourth bullet of paragraph 1B on page 4 requires us to provide the qualifications and experience of our proposed Project Manager/Construction Manager, Design professional, Architect, Electrical! Communications Engineer, Safety Manager, Scheduler and "other key personnel". Are the words "Project Manager/Construction Manager" as stated in this sentence meant to refer to the lead person employed by the Design-Builder who will serve as NYCT's point of contact for the Design-Builder and he/she has overall responsibility for the project for the Design-Builder? In other words, the term "Construction Manager" in this context refers to an individual, rather than a firm providing CM services?

Answer No.1 Yes, that is correct. The Project Manager/Construction Manager is an individual and not a firm; he/she will be the most senior day-to-day lead person responsible for the Design-Build team. This individual shall be authorized to address all aspects of the Design-Builder's scope of work, including but not limited to construction, AlE design, surveying, and inspection and commissioning and handover services. He/she will be the person to whom NYCT gives directions, and from whom NYCT receives reports.

Question No.2 The seventh bullet under paragraph 1A on page 3 states the following "The design-build team shall include full-time project engineers, superintendents and inspectors with NYCT experience." It was our understanding from the RFQ Informational Meeting held by NYCT in NYC that "inspection services" for the project were to be provided by the Owner or the Owner's construction management team, and not a responsibility of the Design-Builder. Please clarify.

Answer No.2 The Design-Builder will need to have within its own workforce, superintendents and inspectors with NYCT experience, preferably NYCT stations experience. The Design-Build team will need to undertake inspections as part of its own in-house QAlQC procedures to ensure the design intent of their Designer-of-Record's (DOR) designs are being met, as well as managing in-house construction trades, coordination with sub-contractors and suppliers, etc. RFls and design submittals between the DOR and the Design-Builder will need to be managed by the Design-Builder and will, by necessity, require inspectors to be on staff and on site with each shift. While NYCT will have a dedicated Construction Manager with a small team of inspectors for each contract package which may work with the Design-Builder's own inspection team, the onus is ultimately on the Design­Builder to conduct its own inspections in connection with its work under a contract package.

Question No.3 The third bullet in paragraph 2 on page 4 discusses "Record of performance on other contracts" as it relates to achieving the DBEIWBEIMBE goals along filing all related reports in a timely manner. Is the NYCT requesting the "Record of performance on other contracts" as it relates to achieving the DBEIWBE/MBE goals for both the Design-Builder and the Designer or just the Design-Builder?

Answer No.3 As part of this Step 1, NYCT is interested in the Proposer's record of performance on past and current contracts of the Authority, MTA, and other governmental and non-governmental entities. With regard to past performance in achieving MWBE and DBE goals on other projects, Proposers shall include the past performance of the Prime Contractor and the Lead Design Firm. Responses shall include all members of a joint venture.

Question No.4 The 7th and 8th bullets of paragraph 1A (Prerequisite Threshold Criteria) on page 3 require that the design-build team provide full-time specific personnel (bullet #7) and a NYS registered Land Surveyor (bullet #8) with previous "NYCT experience". In the previous bullets (bullet #2 and bullet #4), the criteria specify previous "MTAlNYCT" experience, thereby opening it up to work performed for other agencies within the MTA. Should bullets 7 & 8 request "MTAlNYCT" experience, rather than "NYCT" experience, to be in line with the previous criteria?

Answer No. 4 The intent is to have qualified site staff and a NYS Land Surveyor with NYCT experience.

question No.5 On page 2 of the RFP, the following language appears: "The Proposer team must have experience in either design or construction of rail stations. Proposers that have successfully completed a Design/Build contract in excess of $50 million either as a Prime Contractor, with a design subcontractor, or in a joint venture, and who desire to be considered for Step 1 evaluation (see further details below) must respond with one (1) ORIGINAL and nine (9) copies of a Qualifications Package containing:" Please clarify whether the Proposer (Prime Contractor) is required to have completed a Design/Build contract in excess of $50 million dollars to be considered for Step 1 evaluation. As this item is not listed under the Pass/Fail criteria or on the list of evaluation criteria, it is our understanding that Proposers (Prime Contractors) that have successfully completed NYCT projects over $50 million dollars and meet the Pass/Fail criteria will be considered for Step 1 evaluation. Please confirm.

NOTICE A-36622

The Enhanced Station Initiative for the Improvement of 31 Stations in all Five Boroughs

The New York City Transit Authority (NYCT) seeks to retain the services of multiple contractor/designer teams for design and construction services associated with the implementation of the Enhanced Station Initiative (ESI) Program. The ESI Program’s focus is on improving the customer experience, the continued responsibility of providing a state of good repair in stations, and the development of underlying station aesthetics through construction and design innovation. The Program includes 31 pre-selected stations located in all five boroughs. Work will be accomplished through the award of multiple Design-Build or other alternative-delivery contract packages that will likely include groups of several stations each. A listing of all ESI stations is attached. The work will include making the stations cleaner, brighter and easier to navigate, by utilizing means such as improved lighting and more intuitive way-finding and will provide amenities such as Wi-Fi and cellular connectivity. This will involve architectural finishes (including painting and signage), structural repair and modifications, electrical (including lighting, communications and technology) and mechanical work, as well as architectural and engineering services and surveying. Some contract packages will also include industrial design associated with station furniture and architectural elements and components to be installed within these stations. Funding to begin this initiative is identified in the proposed 2015-2019 Capital Program now pending NYS Capital Program Review Board approval. Additional funding will be identified with future program savings. Awards of packages will be subject to approval of the revised 2015-2019 Capital Program by NYS Capital Program Review Board. In order to address the aggressive schedule associated with this Program, NYCT will be utilizing the RFP process for some or all of the contract packages in order to evaluate factors in addition to cost. It is anticipated that contractors will also be provided, to the extent practicable, full access to these stations in order to complete the work as expeditiously as possible. The cost for each construction package is estimated to be greater than $10 million. It is anticipated that up to eight (8) construction packages will be released in order to address all 31 stations. Average estimated duration from commencement to substantial completion, for each package, will be approximately 12 months. This Program is funded by the MTA and includes 15% Minority Business Enterprise (MBE) and 15% Women Business Enterprise (WBE) subcontracting goals. A listing of M/WBE firms with NYCT experience follows this notice. NYC Transit anticipates that the work to be performed across all 31 stations will be substantially similar. In consideration of the similar work as well as the aggressive schedule, NYCT will be following a two-step Request for Proposal (RFP) process whereby proposers qualified under Step 1 will be eligible to participate in Step 2 and submit proposals for subsequent RFP packages. Proposers not shortlisted under Step 1 will not be eligible to submit proposals under Step 2.

Although the packaging and procurement strategy for the entire program is still in development, the first package has been positively identified as a design-build under which the Authority will provide a conceptual design for the improvement of the Prospect Avenue, Bay Ridge Avenue and 53rd Street Stations on the ‘R’ Line in Brooklyn. Subsequent packages are anticipated to include 3-5 stations each. In Step 1, Proposers will be assessed in accordance with prerequisite threshold criteria as well as evaluation criteria for relevant experience and general responsibility, including record of integrity and business ethics, requisite financial resources and safety record. In Step 2, the selected proposers from Step 1 will be requested to submit comprehensive responses to the RFPs, which will be evaluated in accordance with the specific evaluation criteria set forth below and in the RFPs. Step 2 proposals will be accepted only from firms selected in Step 1. Successful proposers will not be precluded from participating in subsequent packages. Engineering and other professional/technical service firm(s) that contribute to the NYCT design, or serve as the program facilitator, or participate as owner representatives for this Program are currently considered ineligible to participate in any of the construction packages due to potential conflicts of interest. Firms may apply for waivers regarding eligibility. The Authority in its sole discretion will make a determination as to whether a firm may be eligible to participate in future construction packages.

Note: It is the intention of NYCT to offer a stipend to Proposers that submit responsive and detailed technical proposals in response to Step 2 RFPs. Stipend amounts are anticipated to vary according to the value of each contract package as well as other factors. Primary members of a design-build Proposer team shall mean the Prime Contractor and the Lead Design Firm, either or both of which may be joint ventures. The Lead Design Firm may be an architect or an engineer or an A/E firm. The Proposer team must have experience in either design or construction of rail stations. Proposers that have successfully completed a Design/Build contract in excess of $50 million either as a Prime Contractor, with a design subcontractor, or in a joint venture, and who desire to be considered for Step 1 evaluation (see further details below) must respond with one (1) ORIGINAL and nine (9) copies of a Qualifications Package containing:

Letter of Interest including affirmation of a binding and exclusive teaming agreement between the Prime Contractor and Lead Design Firm for this Program (Sub-consultants

and subcontractors are not required to be exclusive to a proposer),

SF330 forms to be completed by the Prime Contractor and the Lead Design Firm and/or joint venture partners (Customize as appropriate for the Prime Contractor),

Completed NYCT Schedule J Responsibility Questionnaire(s) (to be completed by the Prime Contractor and/or joint venture partners and the Lead Design Firm),

Qualification Statement referencing RFP A-36622 (maximum of 20 single sided pages, or 10 double sided pages) that describes the Proposer’s design-build and other relevant work experience, general responsibility, financial and safety records, as detailed below, and

Letter from a Surety indicating that Proposer has adequate bonding capacity to bond at least $75 million.

In evaluating a Proposer’s response to this advertisement, NYCT shall primarily consider the information furnished in the Qualifications Package and information contained on NYCT and sister agencies prior performance evaluation forms, if any. Incomplete packages may be rejected without further consideration.

NYCT requires all Contractors to refrain from submitting anything other than what has been requested. Qualifications Packages must be submitted to: MTA-NYC Transit, Bid Reception Desk, 3 Stone Street, New York, NY 10004, Attn: Frank Salvato, Assistant Chief Procurement Officer by 12:00 Noon on June 21, 2016, referencing RFQ #0000133822: A-36622 - THE ENHANCED STATION INITIATIVE FOR THE IMPROVEMENT OF 31 STATIONS IN ALL FIVE BOROUGHS. The respondents selected as a result of Step 1 will be invited to submit proposals in response to subsequent RFPs (Step 2), and will be the only teams the Authority will consider eligible to be awarded contracts resulting from the RFPs.

ON-GOING RESPONSIBILITY

Proposers are reminded that establishing a Proposer’s responsibility is an ongoing requirement for award of Authority contracts and that award of Authority contracts may only be made to “responsible” proposers or bidders. Proposers should be aware that the following criteria are considered threshold criteria that must be met. Proposers found unqualified based on evaluation of any of the following criteria will be eliminated from further consideration:

Record regarding integrity and business ethics;

Record regarding defaults, debarments, suspensions and non-responsibility determinations;

Safety Record The proposal will be evaluated by a “Selection Committee” composed of Authority personnel experienced in the disciplines necessary to evaluate the proposal submissions. Step 1 will include evaluation of each firm’s qualifications utilizing the below listed Evaluation Criteria.

STEP 1 EVALUATION CRITERIA

1A. Prerequisite Threshold Criteria: Only teams that demonstrate satisfaction of the following pass/fail criteria shall be considered.

The Lead Design Firm’s Design Professional shall possess a current engineering and/or architecture registration in New York State.

In the past ten years, the Lead Design Firm shall have performed two or more MTA/NYCT stations projects with cumulative design fees over $2 million.

The Lead Design Firm shall have professional liability insurance of at least $3 million.

In the past ten years, the Prime Contractor shall have performed two or more MTA/NYCT stations projects, either as prime contractor or part of a joint venture, with cumulative construction value over $50 million.

The Prime Contractor must demonstrate that it has previously provided its own insurance on similar sized projects.

The design-build team shall be able to use the following software products: MicroStation CAD, ProjectWise, Primavera P6, and ConstructWare.

The design-build team shall include full-time project engineers, superintendents and inspectors with NYCT experience.

The design-build team shall have a NY State registered Land Surveyor with previous NYCT experience.

All four of the below criteria, which are generally considered of equal importance, will be the basis for a comparative evaluation of Step 1 Proposers by the Authority. 1B. Relevant Experience: The Proposer must satisfactorily demonstrate a successful record in the following areas:

Qualifications of the primary members of the Proposer team, including previous experience in designing and constructing rail stations.

Qualifications of the primary members of the Proposer team, overall and previous history working together on similar rail transit or any design-build projects. It is not a requirement that team members have worked together previously.

Record of timely performance within the target budget and schedule on (i) all design-build projects and (ii) other relevant construction projects completed within the last five years. Provide current client project manager contact information for each project.

Qualifications and experience of the proposed Project Manager / Construction Manager, Design Professional, Architect, Electrical/Communications Engineer, Safety Manager, Scheduler, and other key personnel.

Proposed project organizational structure and the roles and responsibilities of key personnel to include Prime Contractor and Lead Design Firm personnel.

Record of past projects where work was performed in multiple contiguous shifts.

2. General Responsibility to Receive Contract Award and to Successfully and Faithfully Perform the Work: Included in this criterion is the degree to which the Proposer characteristically performs the contract work (including on-site design and construction) using its own forces, types of work which it performs, and satisfactory ratings on performance evaluations:

General business experience and stability, including organizational structure, management expertise, and extent and length of time in business.

Size, capacity and capability in relation to the work to be performed, as well as Proposer’s other concurrent contractual commitments in bar chart form including remaining duration and cost of current and future work as it relates to the performance of this contract (e.g. management, professional and technical expertise to perform the work, the availability of physical plant and equipment to perform the work).

Record of performance on other contracts of the Authority, MTA, other governmental and non-governmental entities, including compliance with safety standards, achievement of DBE/WBE/MBE goals, timely submittal of contractually required certifications and reports, claims loss history, and information on defaults, debarments and non-responsibility determinations.

3. Financial Resources: Proposer is required to have adequate cash flow to pay promptly for

all labor and materials as such obligations become due and to avoid the necessity for assignment of any monies payable. A Proposer must demonstrate:

Requisite financial resources to timely execute the Work.

Adequate bonding capacity.

Ability to obtain required insurance.

NOTE: A firm in arrears in the payment of amounts due to the Authority or MTA will be required to pay said amounts in full in order to be considered a responsible firm, unless and to the extent that the Authority/MTA, upon satisfactory explanation made by the firm, excuses the firm from the payment thereof or permits further deferment of payment. 4. Safety Record: Proposers must demonstrate an acceptable safety record, including an

experience rating for Worker’s Compensation Insurance of not more than 1.2. Also, each Proposer must supply such information as to whether, within the past five (5) years, its Commercial General Liability (or equivalent) and/or Builder’s Risk, or all risk (or equivalent) insurance policies have been canceled or otherwise discontinued by an insurance carrier, and if so, the background and reasons therefor.

Only those teams meeting the prerequisite threshold criteria listed in 1A and whose overall qualifications are considered acceptable based on the foregoing criteria in 1B, 2, 3, and 4, will be deemed eligible to proceed to Step 2 and invited to propose on subsequent RFPs.

STEP 2 EVALUATION CRITERIA

In Step 2, the Proposers will be evaluated by the Selection Committee utilizing Criterion 1, Technical Approach as well as Other Matters; and Criterion 2, Overall Project Cost, where Criterion 1 will be given greater consideration. Proposers determined to be within the competitive range after such evaluation will then be invited to participate in negotiations possibly resulting in a request for Best and Final Offers. Final evaluation for award will be made utilizing Criterion 1, Technical Approach as well as Other Matters, and Criterion 2, Overall Project Cost.

In making the determination as to which proposal offers the best value to the Authority, the Authority will review all factors that contribute to the total cost of the proposal. Accordingly, the Authority may not necessarily make an award to the lowest priced proposal in the event that the Authority determines that the lowest priced proposal does not offer the best value to the Authority. In addition, the Authority may not necessarily make the award to the Proposer with the highest technical ranking. Even if price is not the most important evaluation criterion for this solicitation, price may be the controlling factor to the extent that competing proposals are otherwise determined to be substantially equal.

CRITERION 1. Technical Proposal and Approach, as well as Other Matters; Selection Committee members will base their evaluation on the sub-criteria listed below which are listed in their relative order of importance. This Criterion will include but not be limited to the following elements:

1. Design and Construction approach demonstrating Proposer’s understanding of the project objectives including phasing and staging plans and identification of key project concerns, risks and mitigation plans.

2. Overall project schedule inclusive of proposed project measures and innovations designed to expedite the work and minimize impacts on the travelling public.

3. Experience and qualifications of the Proposer Team including key members of the Construction Management team, the Design Management team, and organizational structure. This includes Relevant Experience as indicated in the STEP 1B Evaluation Criteria.

4. Proposer’s Project Management Plan, Safety and Quality Control/Quality Assurance Plans for both design and construction, proposed plans and methods to ensure M/WBE subcontracting goals are achieved under this Contract, and other plans that may be required in the contract.

5. Qualifications and coordination of Subcontractors (excluding the Lead Design Firm) whose work scope value exceeds $2 million (exclusive of suppliers of common materials) or are otherwise identified in the RFP. Percentage and type of work to be performed by the Prime Contractor and designated subcontractors as well as the Lead Design Firm and its design subconsultants.

6. Proposer’s Diversity Practices as determined by the Authority’s assessment of Proposer’s answers to Schedule E (Proposer Diversity Practices Questionnaire), which is primarily, though not entirely, concerned with Proposer’s use of, and programs for, New York State certified Minority and Women Owned Business Enterprises. Proposer’s answers to Schedule E will be scored by the Authority at its sole discretion.

7. Other relevant matter(s) not expressly covered above, including Evaluation Criteria 2, 3 and 4 from Step 1; any criteria subsequently released by addenda; and issues raised after the release of the RFP. Proposed exceptions to the RFP and terms and conditions or quality and acceptability of Proposer’s Terms and Conditions to be incorporated into the proposed agreement, and overall adherence to the requirements of this RFP in terms of quality and completeness, including thoroughness of Technical Proposal and Oral Presentations. To the extent that the information provided in a Proposers Step 1 submission remain unchanged, this criterion should not be mistaken as a request for the resubmission of such information.

CRITERION 2. Overall Project Cost; including, but not limited to:

Net cost savings and/or additions and/or other benefits resulting from proposed changes to Terms and Conditions, as well as from innovations with respect to the Project Schedule and Staging; and cost implications of proposed use of Authority forces, facilities and materials. In the case of alternate Proposals deemed acceptable by the Selection Committee offering reductions to Substantial Completion, the cost implications and value to the Authority of such schedule improvements will be taken into account under this criterion.

In evaluating Overall Project Cost, the Authority may consider whether and to what extent a Proposal, a system, or other matter being offered contains realistic pricing.
