The New Vision Coop Board of Directors has compiled the following director election information in accordance with New Vision Coop’s By – Laws and Articles of Incorporation. The goal of the following procedures and policies is to provide New Vision members election information that explains candidate qualifications, the nomination process and provides insight into serving as a New Vision Coop director. This information is provided to New Vision members to insure a transparent election process and provide the greatest opportunity to obtain the best possible director candidates for the ballot. If you are a New Vision Coop member that meets the director qualifications and is interested in submitting your nomination to be considered as a candidate for election to the board of directors, you are encouraged to read the following information. Nominating Procedure. 1. The first step for New Vision Coop members that are interested in becoming a New Vision Coop board member is to meet the candidate qualifications in this newsletter. 2. The second step is to complete and return the Director Nomination Application available in this newsletter. The Director Nomination Application is also available on the New Vision website. The Director Nomination Application must be received by September 13, 2019. Nomination Applications must be completed in their entirety, received within the deadline and will be confirmed upon receipt. Incomplete Nomination Applications or Applications received after the deadline will not be considered. 3. After the Director Nomination Application deadline has passed, the election committee will contact nominees to answer their questions and schedule an interview with New Vision Directors. An election committee member will contact nominees after the interview to discuss the next step. The New Vision Coop Board of Directors will approve the final ballot by selecting the best two candidates for each open seat. A ballot will be mailed to members eligible to vote a minimum of 15 days prior to the Annual Meeting. Serving the New Vision Coop membership as a director requires candidates to have the time available to attend meetings and training, interest in learning about New Vision’s business and operations, willingness to share ideas, participate in discussions that will contribute to team success and personal standard of ethics that maintain board room confidentiality and comply with company policies. New Vision has a tradition of directors that prioritize customer service through business planning and policy development. 1. Must be a New Vision Coop member in goodstanding. According to the Articles ofIncorporation, Article IV, Section 2a New VisionCoop member qualifications include (i) be aproducer of agricultural products, (ii) patronize theCooperative by doing $ 10,000.00 of businessduring each fiscal year and (iii) be approved by theBoard of Directors.

2. Be less than 70 years old on election day(December 9, 2019).

3. Live in the district they represent, unlessnomination is for an At – Large seat.

4. Able to attend monthly meetings, special meetings,director training meetings and represent New Vision Coop at various business functions.

5. Is not an employee of New Vision Coop.

6. Sign and comply with agreements required of NewVision Directors (e.g. confidentiality, code ofconduct, etc.).

New Vision Coop Director Qualifications

1. Decision group for policies, business plans andcapital investment.

2. Communicate and engage members when theiraction is required.

3. Select, direct, advise and review CEO’s jobperformance.

4. Assume responsibility for effective management anduse of resources and assets.

5. Evaluate and review the types of products, servicesand technology employed by New Vision Coop toassure long term sustainability.

6. Conduct themselves as leaders in the cooperative,community and vendor relationships.

New Vision Coop Director Function

1. Comply with applicable laws, New Vision’s Articlesof Incorporation and By – Laws.

2. Loyal to, and acts in good faith of New VisionCoop’s interests.

3. Represent the entire New Vision Coop membership.

4. Invest the time necessary to understand andobjectively evaluate topics reach decisions orconduct business planning and strategy in a dynamicbusiness environment.

5. Support the decisions and actions taken by themajority of the Board.

6. Communicate members’, employees’ and the publicattitude towards New Vision’s goals and policies.

7. Communicate New Vision’s goals, programs andservices to interested persons.

9. Be prepared for board meetings, participate in opendiscussion, ask questions and maintain theconfidentiality of Board meetings.

New Vision Coop Director Nomination ApplicationDue by September 13, 2019

Any New Vision Coop member is eligible to nominate any member, including a self-nomination, to be acandidate for the New Vision Coop Board of Directors. Nominees must complete this Nomination Applicationand forward it to the address below for consideration by September 13, 2019. Nomination Applications mustbe completed in their entirety, received within the deadline and will be confirmed upon receipt. IncompleteNomination Applications or Applications received after the deadline will not be considered.

The New Vision Coop Board of Directors will review the nomination applications and interview nominees.The New Vision Coop Board of Directors shall select no more than two candidates for each open board seatand approve the final ballot to be submitted to the membership.

All three incumbent directors have agreed to runfor re-election for a three year term beginning onDecember 9, 2019 and ending at the 2022 AnnualMeeting.

If you reside within one of these districts, areinterested in serving on the New Vision Coop Boardof Directors and meet the qualifications, you maysubmit a completed New Vision Coop DirectorNomination Application.

Valid Nomination Applications must be completedin their entirety, received within the deadline and willbe confirmed upon receipt. Incomplete NominationApplications or Applications received after thedeadline will not be considered.

I can’t believe Memorial Day ishere and I still have so much left toplant. There are complex farmingdecisions facing all of us in the next

few weeks. I’m not writing today to complain aboutthe weather. You need an update on the CEO search.We accepted over 30 applications and resumes for theCEO position. Due to the strength of our co-op, asignificant number of these applications came fromqualified candidates. The Executive Board met inearly May and went through all the resumes. Wesubmitted the most qualified candidates to the fullboard and worked together to select those to invite forinterviews. This was not an easy process, which is agood thing. We have also completed our interviewprotocol. This included constructing and sorting over70 interview questions so you know we’re seriousabout the process! Katie and Frank have helped uspolish our interviewing skills. The process of findingour next CEO is one of the few things that hasremained on schedule this spring. We have highlyqualified candidates to choose from and I am happyto tell you that this process is on our original timeline.

As you would guess, financialsthrough April are directly related toweather. As expected, the grain andagronomy departments are

experiencing lower volume than last year. The feeddepartment continues to experience steady volumegrowth. Collectively, New Vision is ahead of budgetthrough April but we need weather to improve forfield work to resume and farmyards to dry out sograin hauling can be done. Our regional income is upversus last year and over budget, which is good news.

I am very impressed by the progress the board ofdirectors has made in the CEO search. They haveremained very committed and disciplined regardingthe timeline, meeting attendance and developingselection protocol. Katie Meyer has assisted themthroughout the process. The Board has risen to thischallenge and has done everything asked of them.

When asked about my retirement decision I tellfolks that it’s equal parts tantalizing and terrorizingand the reasoning is the same for both! The freedomsounds great until you think about the boardmembers, employees, opportunities and planningsessions that will be left behind. There’s no doubtthings will be different for me and New Vision. I amcertain that the foundation built by New Vision’sdirectors, employees and members over the lasttwenty years will continue to return real value toeveryone that relies on this cooperative for theirfamily and farm. For today, let’s focus on the task athand. For all of you, take advantage of whateveropportunity weather allows for planting 2019 crops.For New Vision, it’s support your planting effort andcontinue with the CEO replacement schedule.
