    BYLAWS

    OF

    SILVERADO ESTATES HOMEOWNERS' ASSOCIATION, INC.* * * * * *

    ARTICLE I. NAME AND LOCATION

    The name of the corporation is SILVERADO ESTATES HOMEOWNERS' ASSOCIATION

    after referred to as the "Association." The Association can be contacted at PO Box 1118, M

    Home, Idaho 83647, but meetings of members and directors may be held at such places w

    of Idaho, or County of Elmore, as may be designated by the Board of Directors.

    ARTICLE II: DEFINITIONS

    The following terms shall have the following meanings:

    Section 1. "ASSOCIATION" shall mean and refer to Silverado Estates Homeowners'

    nonprofit corporation organized under the laws of the State of Idaho, its successors and as

    Section 2. "PROPERTIES" shall mean and refer to that certain real property known

    Estates Subdivision according to the official plat there to, according to the Records of Elmo

    State of Idaho.

    Section 3. "COMMON AREA" shall mean all real property and improvements there

    private streets, drives parking areas and recreational facilities) owned by the Association f

    common use and enjoyment of the Owners. The Common Area to be owned by the Assoc

    time of the conveyance of the first lot shall be indicated on the official plat of the propertioffice of the County Recorder.

    Section 4. "LOT" shall mean and refer to any plot of land shown upon any recorded

    map of the properties, with the exception of the Common Area.

    Section 5. "OWNER" shall mean and refer to the record owner, whether one or mo

    entities, of the fee simple title to any lot which is part of the properties, including contract

    excluding those having such interest merely as security for the performance of an obligatio

    Section 6. "DECLARATION" shall mean and refer to the Declaration of Covenants, C

    Restrictions applicable to the properties recorded in the Office of the County Recorder of

    State of Idaho.

    Section 2. Special Meetings: Special meetings of the members may be called at an

    president or by the board of directors, or upon written request of the members entitled tofourth (1/4) of all of the votes of the membership.

    Section 3. Notice of Meetings: Written notice of each meeting of the members sh

    or at the direction of, the secretary or person authorized to call the meeting, by mailing or

    copy of such notice, postage prepaid, at least fifteen (15) days before such meeting to eac

    entitled to vote thereat, addressed to the member's address last appearing on the books o

    Association, or supplied by such member to the Association for the purpose of notice. Suc

    specify the place, day and hour of the meeting and, in the case of a special meeting, the pumeeting.

    Section 4. Quorum: The presence at the meeting of members entitled to cast, or o

    entitled to cast, one-tenth (1/10) of the votes of the membership shall constitute a quorum

    action except as otherwise provided in the Articles of Incorporation, the Declaration or the

    Section 5. Proxies: At all meetings of members, each member may vote in person

    ARTICLE IV. BOARD OF DIRECTORS; SELECTION; TERM OF OFFICE

    Section 1. Number: The affairs of this Association shall be managed by a board of nthree (3) nor more than five (5) directors.

    Section 2. Term of Office: At each annual meeting of members, the directors shall

    the members; provided, however, that if for any reason any such meeting is not held, or th

    not elected thereat, the directors may be elected at any special meeting of members held

    purpose. All directors shall hold office until their respective successors are elected.

    Section 3. Removal: Any director may be removed from the Board, with or withoumajority vote of the members of the Association. In the event of death, resignation or rem

    a director, his successor shall be selected by the remaining members of the board and sha

    unexpired term of his predecessor.

    ARTICLE V. NOMINATION AND ELECTION OF DIRECTORS

    Section 1. Nomination: Nomination for election to the board of directors shall be mnominating committee. Nominations may also be made from the floor at the meeting. Th

    committee shall consist of a chairman, who shall be a member of the board of directors, a

    more members of the Association. The nominating committee shall be appointed by the b

    directors prior to each meeting of the members, to serve from the close of such meeting u

    of the next meeting, and such appointment shall be announced at each meeting. The nom

    committee shall make as many nominations for election to the board of directors as it sha

    its discretion determine, but not less than the number of vacancies that are to be filled.

    Section 2. Election: Election to the board of directors shall be by oral or written ba

    election the members or their proxies may cast, in respect to each vacancy, as many votes

    they are entitled to exercise under the provisions of the Declaration. The persons receivin

    number of votes shall be elected. Cumulative voting is not permitted.

    ARTICLE VI. MEETINGS OF DIRECTORS

    Section 1. Regular Meetings: Regular meetings of the board of directors shall be hwithout notice, at such place and hour as may be fixed from time to time by resolution of

    ARTICLE VII. POWERS AND DUTIES OF BOARD OF DIRECTORS

    Section 1.Powers: The board of directors shall have power to:

    A. Adopt and publish rules and regulations governing the use of the Common Area

    and the personal conduct of the members and their guests thereon, and to establish penainfraction thereof;

    B. Suspend the voting rights and right to use of the recreational facilities of a mem

    period in which such member shall be in default in the payment of any assessment levied

    E. Employ a manager, an independent contractor or such other employees as the b

    necessary and to prescribe their duties.

    Section 2. Duties: It shall be the duty of the board of directors to:

    A. Cause to be kept a complete record of all its acts and corporate affairs and to pr

    statement thereof to, the members at the meetings of the members, or atany special mee

    such statement is requested in writing by one-fourth (1/4) of the Class A members who ar

    vote.

    B. Supervise all officers, agents and employees of this Association, and to see thatare properly performed;

    C. As more fully provided in the Declaration to:

    1. Fix the amount of the annual assessment against each lot at least thirty

    advance of each annual assessment period;

    2. Send written notice of each assessment to every owner subject thereto(30) days in advance of each annual assessment period; and

    3. Foreclose the lien against any property for which assessments are not p

    thirty (30) days after due date or to bring an action at law against the owner perso

    to pay the same.

    D. Issue, or to cause to an appropriate officer to issue, upon demand by any perso

    setting forth whether or not any assessment has been paid. A reasonable charge may be mboard for the issuance of these certificates. If a certificate states an assessment has been p

    E. Procure and maintain adequate liability and hazard insurance on property owne

    F. Cause all officers or employees having fiscal responsibilities to be bonded, as it m

    ARTICLE VIII. OFFICERS AND THEIR DUTIES

    Section 3. Term: The officers of this Association shall be elected bi-annually by the

    each shall hold office for two (2) year unless he shall sooner resign or shall be removed or

    disqualified to serve.

    Section 4. Special Appointments: The board may elect such other officers as the af

    Section 5. Resignation and Removal: Any officer may be removed from office with

    cause by the board. Any officer may resign at any time, giving written notice to the board,

    or the secretary. Such resignation shall take effect on the date of receipt of such notice or time specified therein, and unless otherwise specified therein, the acceptance of such res

    Section 6. Vacancies: A vacancy in any office may be filled by appointment by the b

    Section 7. Multiple Offices: The offices of secretary and treasurer may be held by t

    person. No person shall simultaneously hold more than of any of the other offices, except special offices created pursuant to Section 4 of this Article.

    Section 8. Duties: The duties of the officers are as follows:

    A. President: The president shall preside at all meetings of the board of directors;

    orders and resolutions of the board are carried out; shall sign all leases, mortgages, deeds

    written instruments and shall co-sign all promissory notes. (See attachment 1 for duty det

    B. Vice President: The vice president shall act in the place and stead of the preside

    of his absence, inability or refusal to act, and shall exercise and discharge such other dutie

    required of him by the Board . (See attachment 2 for duty details).

    C. Secretary: The secretary shall record the votes and keep the minutes of all mee

    proceedings of the board and of the members; serve notice of meetings of the board and

    members; keep appropriate current records showing names of members of the Associatio

    with their addresses both postal and e-mail, and shall perform such other duties as requireboard. (See attachment 3 for duty details).

    D. Treasurer: The treasurer shall receive and deposit in appropriate bank accounts

    the Association and shall disburse such funds as directed by resolution of the board of dire

    The board of directors shall appoint committees as deemed appropriate in

    carrying out its purpose.

    ARTICLE X. BOOKS AND RECORDS

    The books, records and papers of the Association shall at all, times, during reasona

    hours, be subject to inspection by any member. The Bylaws of the Association shall be ava

    inspection by any member upon request to a board member.

    ARTICLE XI. ASSESSMENTS

    As more fully provided in the Declaration, each member is obligated to pay to the

    annual and special assessments which are secured by a continuing lien upon the property

    which the assessment is made. Any assessments which are not paid when due shall be del

    assessment is not paid within thirty (30) days after the due date, the assessment shall bea

    interest from the date of delinquency at the rate of twelve percent (12%) per annum, and

    Association may bring an action at law against the Owner personally obligated to pay the s

    action shall be added to the amount of such assessment. No owner may waive or otherwisliability for the assessments provided for herein by non-use of the common area or aband

    ARTICLE XII. AMENDMENTS

    The Bylaws of the Association may be altered, amended or new Bylaws adopted a

    meeting or at any special meeting of the members thereof, called for that purpose, by the

    vote of two-thirds (2/3) of the members present at such meeting; provided, that a quorumherein or in the laws of the State of Idaho be present.

    ARTICLE XIII. INDEMNIFICATION OF DIRECTORS, OFFICERS,EMPLOYEES AND OTHER

    Section 1. Directors and Executive Officers: The corporation shall indemnify its dire

    officers to the full extent permitted by the Idaho Business Corporation Act or the Idaho No

    Corporation Act (collectively the "Acts"), as the same exist or may hereafter be amended (

    case of any such amendment, only to the extent that such amendment permits the corporprovide broader indemnification rights than the Acts permitted the corporation to provide

    amendment); provided, however, that the corporation may limit the extent of such indem

    individual contracts with its directors and officers; and, provided further, that the corporat

    be required to indemnify any director or officer in connection with any proceeding (or par

    initiated by such person or any proceeding by such person against the corporation or its di

    The corporation shall have the power to indemnify its employees and other agent

    the Idaho Business Corporation Act.

    Section 3. Good Faith: For purposes of any determination under this Article XIII, a

    officer shall be deemed to have acted in good faith and in a manner he reasonably believe

    be in or not opposed to the best interests of the corporation and, with respect to any crim

    proceeding, to have had no reasonable cause to believe that his conduct was unlawful, if h

    based on the records or books of account of the corporation or another enterprise, or on i

    opinions, reports or statements, including financial statements and other financial data, pr

    presented by (i) the officers of the corporation or another enterprise whom the director o

    reasonably believes to be reliable and competent in the matters presented, or (ii) legal couaccountant or other person as to matters which the director or officer believes to be withi

    person's professional or expert competence. The term "other enterprise" as used in this S

    mean any other corporation or any partnership, joint venture, trust or other enterprise, in

    employee benefit plan, of which such person is or was serving at the request of the corpo

    director, officer, employee or other agent. The provisions of this Section 3 shall not be dee

    exclusive and/or to limit in any way the circumstances in which a person may be deemed t

    met the applicable standard of conduct set forth by the Acts.

    Section 4. Expenses: The corporation shall advance, prior to the final disposition o

    proceeding, promptly following request therefor, all expenses incurred by any director or o

    in connection with such proceeding upon receipt of an undertaking by or on behalf of such

    repay such amount if it should be determined ultimately that such person is not entitled to

    indemnified under this Article XIII or otherwise. Notwithstanding the foregoing, unless ot

    determined pursuant to Section 5 of this Article XIV, no advance shall be made by the corp

    quorum consisting of directors who were not parties to the proceeding, or (b) if such quorobtainable, or, even if obtainable, a quorum of disinterested directors so directs, by indepe

    such determination is made, such person acted in bad faith or in a manner that such perso

    believe to be in or not opposed to the est interests of the corporation, or, with respect to a

    proceeding, such person believed or had reasonable cause to believe that his conduct was

    standard to conduct set forth in the Acts, nor an actual determination by the corporation (

    its board of directors, its independent legal counsel or its members) that the claimant has applicable standard of conduct, shall be a defense to the action or create a presumption th

    has not met the applicable standard of conduct.

    Section 6. Non-Exclusivity of Rights: The rights conferred on any person by this Art

    not be exclusive of any other right which such person may have or hereafter acquire unde

    provision of the Articles of Incorporation, Bylaw, agreement, vote of members or disintere

    or otherwise, both as to action in this official capacity and as to action in any other capacit

    holding office. The corporation is specifically authorized to enter into individual contracts wof its directors, officers, employees or agents respecting indemnification and advances, as

    law.

    Section 7. Survival of Rights: The rights conferred on any person by this Article XII

    as to a person who has ceased to be a director, officer, employee or other agent and shall

    benefit of the of the heirs and personal representatives of such a person.

    Section 8. Amendments: Any repeal or modification of this Article XIII shall only beand shall not affect the rights under this Article 13 in effect at the time of the alleged occu

    act or omission to act that is the cause of any proceeding against any director, officer, emp

    of the corporation.

    Section 9. Savings Clause: If this Article XIII or any portion hereof shall be invalidat

    ground by any court of competent jurisdiction, then the corporation shall nevertheless ind

    director or officer to the full extent permitted by any applicable portion of this Article XIII t

    have been invalidated, or by any other applicable law.

    ARTICLE XIV. MISCELLANEOUS:

    Unless otherwise determined by the Association's board of directors, the fiscal ye

    Attachment 1 - President's Duties

    1. Silverado Estates Bank Account

    A. Currently Home Federal Bank, on Third Street, handles our checking acturning over to new board members, the former president and/or treasuto meet with new board members at the bank to sign over the account. members will need to sign authorization forms to write checks on the asbank account. At least 2 board members need to be on the account (TrPresident at a minimum).

    2. Meetings

    A. Call a meeting of all homeowner members about once a year. The middMarch is good time, as dues should be in. Topics to be considered:

    - Summer projects

    - Work sessions for park maintenance

    - Neighborhood-wide garage sale

    - Setting a date/time for association events (example swimming get-togetcity pool in August)

    - Planning maintenance projects on park or fences

    - Upgrades of children's play equipment.

    B. Meetings can be held at your home, park if the weather permits, library room or a restaurant meeting room. Note - If held at a restaurant, you mrequired to place a deposit and this should be returned when you leaverestaurant. You can schedule a no-host dinner with a meeting to follow. recommended to have a sign-in sheet plus name tags formembers to w

    C. Notify all members by e-mail (Treasurer should have current e-mails an

    homeowners.) You can also hand deliver notes to each homeowner. Yoinclude renters.

    D. Set up an agenda. You can run off multiple copies so each member wilone as they sign in or simply conduct the meeting.

    A. J anuary

    - Check in early J anuary with the treasurer to see that he/she is sending notices. You and other officers can assist by folding letters, filling and adenvelopes.

    G. February

    - Check with the treasurer before February 15th to set up a date for the dmembers sending in their dues early. February 17th is a good time as it forall letters to clear the post office and be post marked by the 15th. Ass

    H. March

    - Check with the treasurer to ascertain whether all checks have arrived. Hwith making phone calls as gentle reminders. Take into consideration anextenuating circumstance for non-payment before charging a late fee ofhomeowners will take care of this quite quickly.

    - Check with treasurer when water at the parks will be turned on and whethe lawn mowing service has been engaged.

    - Check to see if liability insurance for the parks has been paid for the yeaand if policy needs to be checked over. If so, you and the treasurer willneed to set up a meeting with the agent, who presently is Rich Cowmanand works at Farm Bureau on Sunset Strip and 10th North.

    I. April

    - A notice should have be sent to the secretary by e-mail or sent to our Pabout a renewal for accreditation of our homeowner's association by theAttorney General Offices. This is extremely important as it gives the assthe right to exist and charge dues. This notice is due by J une. There is nfor renewal but there is a charge to re-instate this. Terrible consequencwe do not do this and there will be no way to pay for the maintenance o

    parks.

    J . May September

    - Check with the appointed groundskeeper to see that he/she is attendingparks. If the groundskeeper becomes a permanent job, it would be nice leastsix months of association dues Also walk through the parks often

    - If any maintenance projects were started, were they completed. Check as they are being done and when they are finished. Then check with trsee thatbills were paid on these projects.

    K. October

    - Check with treasurer in October to see that water is being turned off in tand the berm and that the sprinklers are being blown out.

    L. November

    - Set up some Saturday work parties to rake the leaves in the park. E-madelivering notices is a good way to ask for volunteers. If leaves are left grass, the grass will be killed off by spring. Also get with the groundskeyou both work together. The treasurer will need to buy bags. A minimumbags is needed if all leaves are packed firmly down into the bags.

    M. December

    - Meet with the treasurer in late December to go over his/hers treasurer's

    Attachment 2 Vice Presidential Duties

    1. Assist the President and be prepared to take over and perform the duties for thwhen he/she can no longer do so.

    2. Meet and greet all new homeowners when there is a change in ownership of ho

    A. When the treasurer notifies the Vice-president that a home has been sold, the Vwatch and then stop by to say "Welcome."

    B. The VP will hand out a letter, attachment 6 covers a few of the rules of CC&Rs

    helpful hints. Ensure new home owner received copies of the CC&Rs and the Bthe association

    3. The VP will also try to keep track of all rental homes in the association with the treasurer. When a new renter has moved in, the VP will extend a welcome andan information card, attachment 7 contains details about our private parks and use.

    Attachment 3 - Secretarial Duties

    1. Record all notes from all HOA meetings.

    2. Up-date the renewal accreditation of our homeowner's association from the StaGeneral Office. This notice should be sent to our PO Box in April and is due bywith the treasurer in April who should be picking up the mail to ascertain whethesent. It also could be sent by e-mail to the last secretary and the registered agePitts who resides at 150 War Eagle Drive.) After the new filing for the 2013 yeabecome the registered agent for the HOA.

    A. Accreditation gives our association the right to exist as a non-profit and mosimportantly to collect dues. Without this right we cannot legally pay our billswe cannot maintain our parks.

    B. There is a copy of the last up-date in the file of the treasurer.

    C. The procedure for updating consists of filling out the form with the present oand mailing it back.

    Attachment 4 - Treasurers Duties

    1. Bank

    A. Go to Home Federal Bank on Third Street with either former treasurer and/president to get authorization to write checks on bank account. You will netake bankbook with you for identification.

    B. There is an extra check register in back section of file marker Home Federaones can be purchased through the bank that will fit in the check register no

    The cost of these registers will be taken off on your next bank statement.

    C. The cheapest way to buy additional checkbooks is through mail order. The at the bank are expensive and unnecessary. Extra checkbooks are in the bHome Federal bank folder. You will need to order these about three weekstime to make sure you have them on hand.

    D. End of month bank statements are generally sent to the PO Box by the tent

    month.

    E. There is no charge for the bank account as we are a nonprofit organization.also no interest that is earned because we are a nonprofit.

    2. Title Companies

    A. Draft a short letter stating your name, phone number and the Silverado PONumber of 1118, so the title companies can contact you when a property ispurchased.Take these letters personally to the titlecompanies.

    B. The title companies will ask you whether the dues of the property owner aredate. Check the file box marked Dues Record. It will be in the front of thatIfthe dues are unpaid, they will see that a check is sent to the PO Box withdues. Make sure that you enter on current dues record any dues that are unfromprevious years. If they are current on their dues, you may have to sencheck for the remaining months of the year that the homeowners have alrea

    3. Post Office Box

    A. The post office box number is PO Box 1118. It is located on the right side otoward the back and near the bottom. The key is located in the check registto the rings.

    B. The notice for payment will be left in PO Box. It can be either once or twice

    is no cash advantage for paying it for the entire year except for your convenreceipt for payment will be left inside the PO Box. There is a section in the fpost office box and the receipt should be placed there.

    C. It is wise to check the PO Box once a week and more during the months of March when checks for dues are arriving.

    D. Buy Forever Stamps as they save the association money. There are severastamps in the very front of the file box where they are easily retrieved.

    4. Supplies

    A. Buy supplies such as envelopes, a ream of paper and an ink cartridge for yas needed. Have found that Staples has good prices.

    5. Monthly Duties

    A. J anuary (Your Busy Month)

    - Make up letter or bill for members' dues. Examples are in file marked "DLetters." Run off 40 copies. There are 38 homes. Send these out by J anBe sure you include your name, address (some owners will deliver themyou) phone number and the name Silverado Home Owner's Associationespecially the PO Box number of 1118 plus the date of the drawing whic

    February 15th. The final due date is March 15th and a late fee of 12% wassessed after that.

    - Make sure all names are correct. Some homes are rentals and are takeproperty managers. You can check this by checking the previous Dues by looking at the back of the manila file for each homeowner. Check botSometimes you must go to the courthouse to find out the name of the ho

    Attachment 5 Maintenance Cordinator Duties

    NOTE - The secret to maintaining the value of this subdivision is the care that thesidewalks receive. These parks are our greatest asset, but they are also a white eEven though we pay to have them mowed, watered and fertilized, there is still a lohidden care.

    1. Monthly Duties

    A. March

    - In early March or when the weather is clear all the rest of the leaves neeraked up.This is necessary primarily in the adult park before the first moLots of leaves also gather in the entrance along 15th Street. Each park be checked for paper and trash that has accumulated over the winter. Tof the fences need to be checked. (New fences that but up against the osubdivisions were built in 2012. Otherwise the homeowner's in our subdare responsible for building/repairing their own fences. We, however, to our children check all the boards to make sure that nails are not comingreplace them with screws.) Leaf bags need to be purchased by the treayou stomp the leaves down into the bags, you will probably only need onpackage of five. Also check to see that the picnic tables are in repair.

    - Grass grows along the inside of the landscaping timbers in each park anto be removed. If you keep up with the task each week, it won't require time after the first removal.

    - Check the play equipment to see that all boards are there and are screw

    down. Ifa board is loose, children will pull on it until it loosens and throwthe grass or mulch. This exposes other children to nails and the broken the boards with their long splinters. A real hazard.

    B. April

    - The weeds should be actively growing in the sandy area of the adult pabe removed so they don't send down deep roots.     SILVERADO HOMEOWNER'SNEIGHBORHOOD

    Welcome to the Silverado Homeowner's Neighborhood. We think we live in thebestin Mountain Home. We have two private parks on theWarEagle Loop. One is desig

    for children with swings and a climbing tower. The other is for adults with hopes one

    of erecting a gazebo to enjoy an outdoor barbeque. The adult park currently has a voll

    pit. In the meantime it is a good area for playing a great game offlag football or enjoy

    quiet place to walk.

    In addition to the Covenants, Conditions, and Restrictions, these following points are a

    things you need to know.

    1. In January you will receive a letter from the treasurer asking you for $120.00 fordu

    dues make it possible to maintain the parks that the association owns. The money als

    buy new or maintain the play equipment and fund park projects. With the help of mem

    have volunteered their time, we have been able to keep from raising the dues for the la

    years. We hope, you will assist us with this. Remember that our parks are here for us

    but please pick up after your pets andremind your children to return home with any o

    candy wrappers, toys, etc. One candy wrapper can be turned into lots of little pieces w

    mower runs overthem.

    2. All garbage, including lawn trash, is picked up on Monday. Recyclable items arep

    every other Monday. The cans should be placed in the street with the front ofthe can

    the street. Cans should be stored by that evening. The city will notify you in your wa

    when and where you can get rid of hazardous waste.

    3. Boats, trailers, snowmobiles, and ATV's are only allowed to be parked for up to 3 dthe street. This is a city ordinance. Our CC&R's state that you may notparkthem in

    driveway or on the front or side lawn. They must be parked behindyourfence or kep

    storage lot. This is also a safety issue since it is very hard to see children running into

    streets when these items block ones vision.

    4. The fences around your property are yours to maintain and/or build anew. Sometim

    neighbors go in together to replace them.

    5. Front landscaping needs to be maintained. Mowing, trimming and weeding are

    necessary. Nice looking yards adds to the value of ourproperties.
