    Compensation

    Compensation is a key part o Nestl USAs Real Rewards package and helps to attract,motivate, and retain a work orce o top per ormers. Our philosophy is to provide and maintaindisciplined compensation programs which value long-term relationships with employees whilerecognizing individual per ormance. Nestl USA is also committed to o ering compensationpackages, including base pay, short and long-term incentives and benefts, that are competitivein todays market.

    Base PayYour base salary is the fxed portion o your pay. Basesalaries are designed to be competitive, based on dataspecifc to each position as measured in the marketplace.

    High per ormance over time is recognized by base paythat is higher than the market.

    Short-Term IncentivesShort-term Incentive pay is designed to reward you oraccomplishments during a specifc per ormance period(typically annually). For most Sta and Division levelpositions, Nestl USA o ers Awards or Per ormanceExcellence (APEX). APEX targets are set as a percentageo eligible earnings, and award payments are tied directlyto Nestl USAs per ormance toward the achievement o business objectives that are established annually NestlUSA also o ers a variety o Sales and Plant Incentive Plansthat are similar in design to APEX to reward employees inthose roles or their contributions to Nestl USAs success.

    Long-Term IncentivesLong-term Incentive plans, such as Nestl USAs LTIP,are designed to motivate and reward those in eligibleleadership positions or the Companys sustained successover a longer period, o ten three years or more. LTIP target

    award opportunities are set to be competitive within themarket and are calculated as a percentage o pay.

    Retirement

    401(k) Savings PlanThe Nestl 401(k) Savings Plan allows you to save on atax-de erred basis through convenient payroll deductions.You can contribute rom 1% to 25% o your eligible pay(certain IRS restrictions may apply). To help you save orretirement, Nestl USA will contribute $1.00 or each $1.00you contribute up to 3% o your eligible pay, plus $0.50 oreach additional $1.00 you contribute up to the next 2%

    o your eligible pay, or a maximum employer matchingcontribution o 4% o your eligible pay. In order to receiveyour ull employer match, you need to contribute at least5% o your pay. Its ree money that can make your accountgrow aster and help you reach your retirement goalssooner. You will become 100% vested in your employermatching contributions (meaning you gain ull ownershipo the money) a ter completing three years o service.

    The Savings Plan o ers investment options or every type o investor. You choose how to invest both your contributions

    and Nestls among many investment options that o ervarious levels o risk and return. To assist you in decidinghow much to save and which unds to invest in, FinancialEngines Personal Online Advisor service is available to allSavings Plan participants. Financial Engines is a leadingprovider o pro essional investment advice and best o all,it is available at no additional cost!

    When you are ready to retire (or leave the Company orany reason), you can leave your money in the SavingsPlan (certain restrictions may apply) or take it with you.

    Pension Plan

    The Nestl Pension Plan is designed to provide anadditional beneft at retirement, and is ully paid or byNestl USA (you do not make any contributions to thePlan). You automatically begin participating in the Planonce you have met the eligibility requirements. A teryou have been a participant in the Plan or three years,you become vested, which means you own your pension

    beneft. At retirement, you are able to elect how you wishto have your beneft paid, whether it be a lump sum orone o several annuity options.

    Whether retirement is a number o years away or just around the corner, planning and preparingor your fnancial uture is something to be thinking about now. To help prepare or retirement,

    Nestl Very Best Volunteer Program Nestl USA sponsors volunteer activities at our65 adopted schools and a variety o non-profts across the country. Corporate employees aregiven two hours o paid time o per month (with Managers approval) to participate in thisprogram.

    Nestl Very Best In Youth A program where young people, between the ages o 13 and 18,are honored or their good work, commitment to community, grades and more. This program isnot open to children o Nestl employees, however, we highly encourage you to nominate anoutstanding young person in your community. I your nominee is selected as one o the Nestl

    Very Best In Youth fnalist, a $1,000 donation to a non-proft o your choice will be awarded. Healthy Steps for Healthy Lives Classroom based curriculum that teaches pre-K through

    frst grade students about proper nutrition and exercise. These kits are given away ree o charge to schools and community organizations. Employees are welcome to use these kits togive to the schools where their children attend.

    Reading Is Fundamental (RIF) Nestl USAs relationship with RIF goes back to the early90s and we currently und, through generous contributions rom our employees and the NestlUSA Foundation, book distributions to over 25,000 children at 53 schools in 20 states.
