PRELIMINARY SCHEDULE

Sponsor a 60-minute informational presentation during breakfast, lunch or dinner. EXHIBITOR & SPONSORRULES AND REGULATIONS The following rules and regulations are fully incorporated as part of the agreement between the exhibiting/sponsoring company (“Company”) and the Neuroscience Education Institute (NEI).

Insurance and liability: Insurance and liability are the full and sole responsibility of the exhibitor/sponsor. This contract shall not constitute or be considered a partnership, joint venture, or agency between NEI and the “/sponsor.” Additional insurance requirements can be found on page 16.

Indemnifi cation: Each exhibitor/sponsor agrees to protect, save and hold the Neuroscience Education Institute (NEI), and the Broadmoor, and Exhibitor Service Contractor, as well as all of these entities’ owners, agents and employees (hereinafter collectively called Indemnities) forever harmless for any damages or charges imposed for violations of any law or ordinance, whether occasioned by the negligence of the exhibitor or those holding under the exhibitor. Further, each exhibitor/sponsor shall, at all times, protect, indemnify, save and hold harmless Indemnities against and from any and all losses, costs (including attorney’s fees), damage, liability or expenses arising from or out of, or by reason of, any accident or bodily injury or other occurrence to any person or persons, including the exhibitor/sponsor, its agents, employees and business invitees, which arise from or out of, or by reason of said exhibitor’s/sponsors occupancy and use of the exhibition/meeting room premise or a part thereof.

Payment: Payments can be made by credit card (American Express, VISA, and MasterCard) or by checks made payable to “Neuroscience Education Institute” (Tax ID #33-0954691). All credit card company charges and bank charges will be the sponsoring company’s responsibility.

A 50% deposit is required within 30 days of form submission or invoice date to reserve a booth space, advertisement, or sponsorship. Industry Symposium sponsorships require a $10,000 non-refundable deposit.

The fi nal balance is due by June 30, 2016 for booth spaces and all sponsorships. Agreements submitted after August 31, 2016 will require payment in full.

Cancellation/Refund Policy: All cancellations must be made in writing to Sheri Mills ([email protected]). Cancellations for booth spaces, advertisements, or sponsorships received before June 30, 2016 will result in a 50% penalty of the fees. No refunds will be issued for exhibit space cancellations received after August 31, 2016 nor will they be issued to no-shows. Refunds for

Industry Symposia will be considered but not guaranteed and depend on NEI’s ability to fi ll the canceled slot at full price.

Unsanctioned Events: Exhibiting/sponsoring companies are not allowed to sponsor any unsanctioned event which directly confl icts with conference events, before, during or after. Failure to abide by this requirement will result in a breach of the agreement by the company and gives NEI the right to revoke all exhibitor/sponsor badges and evict any exhibit that violates this policy. If you wish to host a small off-site or on-site event, please contact Sheri Mills ([email protected]) for pricing and additional details.

Data Capturing & Lead Retrieval: The lead retrieval vendor will provide reports within 7 days after the conference. Reports will include the following information for each attendee who chooses to be scanned: First, middle, and last name, credentials, phone, specialty, email, mailing address, and National Provider Identifi er number.

Use of List Policy: It is the fi duciary responsibility of exhibitors, Industry Symposium sponsors, supporters and their agencies to protect the privacy of NEI Congress attendees. All attendees have the right to refuse being scanned and per that refusal the exhibitor, sponsor and/or supporter do not have the right to reach out to them. Furthermore it is a violation to share these lists with 3rd parties.

Exhibitor/sponsor may use their captured attendee leads lists one time only. Exhibitor/sponsor will not copy the list or any portion thereof or extract or retain any information there from. Exhibitor/sponsor will not at any time permit any NEI Congress list information to pass into the hands of another person, association, organization or company. Any prohibited use by Exhibitor/sponsor shall constitute a material breach of this contract.

Attendee List: NEI will not release the pre or post attendee list to any exhibitor and/or sponsor or 3rd party vendor.

Advertisement: It is prohibited to advertise material or signage of companies other than those that have paid for exhibit space. Canvassing and solicitation of business or other conferences is strictly prohibited. NEI appreciates being informed of any infraction of this rule. All signs, fl yers, distribution of literature and souvenirs, entertainment or any other activities must take place inside the contracted booth space only.

NEI Congress name and logo usage: The NEI Congress name, logo or other identifying marks may not be used in signs, advertising or other promotional material without prior permission from NEI.

Amendments: All matters and questions not covered in any of the rules and regulations are subject to the discretion of NEI. The rules and regulations may be amended at any time by NEI, and all amendments shall be equally binding on all parties. In the event of any amendment or addition to the rules and regulations, written notice will be given by NEI to such parties.

EXHIBITORSBooth Assignment: Space will be assigned on a fi rst-come, fi rst-serve basis. NEI reserves the right to reconfi gure the exhibit hall fl oor plan, with the provision that all exhibitors will be advised of any such changes. It is the exhibiting company’s responsibility to confi rm their booth placement on the fl oor plan.

Exhibit Hours: Exhibit set up must be complete by 8:00 pm on Thursday, November 3, 2016. Booths must be staffed the entire time the exhibits are open. It will be each Exhibitor’s responsibility to see that all materials are removed from the exhibit area by 4:00 pm on Saturday, November 5, 2016. Displays should not be dismantled before 4:00 pm.

Exhibitor Conduct: Exhibitor personnel are expected to behave in a professional manner at all times during NEI Congress. NEI reserves the right to make on-site judgments regarding conduct that detracts from the environment.

Unoccupied space: Space not occupied at the opening of the exhibition may be reassigned by NEI to another exhibitor, without refund of the paid rental.

Exhibit Hall Food & Beverage: All NEI Congress breaks will be occurring in the exhibit area to maximize networking opportunities with exhibitors. To promote greater attendance to booths, NEI will permit booth refreshments & snacks. These refreshments are limited to coffee, specialty coffees, soft drinks, fruit juice, and water. Cookies, pastries, and individually wrapped ice cream bars will also be permitted. Alcoholic beverages are NOT permitted. Due to the potential of long lines, the distribution of these refreshments is limited to booths 200 square feet or larger. Lines may not block aisles or other exhibitors’ booths, and control of lines is the responsibility of the distributing company. Refreshments must be provided in conjunction with the hotels catering department. NEI must be notifi ed and approve all distribution of refreshments.

Sub-leasing or sharing booth space: Exhibitors are prohibited to sublet, assign or share any part of the allocated space without prior written consent from NEI.

Booth staffi ng: Booth’s must be staffed at all times during open hours. Exhibitors that violate this policy may lose their eligibility to exhibit at future NEI Congress exhibitions.

Obstruction of booths or aisles: Booths cannot obstruct attendees’ views of adjacent booths from any angle. Booth activities that cause attendees to congregate in the aisles and impede or restrict traffi c are forbidden. Nothing is allowed to be attached to pillars, walls, ceiling, windows, etc.

Audio use: Audio and/or video devices apart of the exhibit must be conducted and arranged so that no noise will disturb adjacent exhibitors or attendees. NEI reserves the right to prohibit the use of amplifying devices that it considers objectionable.

Giveaways and raffl es: Giveaways and raffl es are permitted on the exhibit fl oor, when used as a promotion to attract attendance to your booth. Public address announcements of winners on the exhibit fl oor are not permitted.

Children: For safety purposes, children under 16 years of age will not be in the exhibiting areas during the hours of installation and dismantling.

Security: NEI will provide perimeter/roving security personnel. Although security will be provided during installation, show days and dismantling, it is always the exhibitor’s responsibility to ensure the security of his/her exhibit and its contents.

INDUSTRY SYMPOSIUM SPONSORSLocation and Set-Up: Industry Symposia will be held in the International Center. Unless otherwise noted in the agreement the room will be set for 800 attendees in rounds of 10.

Non-Compete Schedule and Time Slot Assignment: Industry Symposia will be conducted during times that do not confl ict with NEI’s CME sessions. Time slots will be assigned on a fi rst-come, fi rst-served basis. Changes to assigned time slots must be requested in writing to Sheri Mills at [email protected], and will be accommodated only if the requested time slot is available.

Food and Beverage: NEI provides all conference attendees with breakfast and lunch as part of their registration fees, which we will provide during breakfast and lunch Industry Symposium hours to encourage attendance. Meal additions can be coordinated for an additional cost. Contact Sheri Mills at [email protected] for more information.

Rehearsal: To schedule a rehearsal, please email Sheri Mills ([email protected]) with your preferred rehearsal date and time. Additional fees will apply if you will be requiring a technician present during your rehearsal. An AV technician will be present during all Industry Symposium sessions to operate equipment and to ensure that sessions run smoothly, at no additional cost.

Speakers: Industry Symposium speakers are not considered Congress faculty and thus will not be provided the same badge as NEI Faculty. The sponsoring organization is responsible for all speaker related costs (fl ights, honorarium, accommodations, etc). NEI Faculty are not permitted to participate in Industry Symposia nor any unsanctioned off-site dinner meetings.

Onsite Promotion: Up to six (6) professionally printed signs are allowed, and can be displayed outside the assigned meeting room and in the pre-function area the day of the assigned Industry Symposium. The signs cannot exceed 25” x 30”. Organizations may also distribute print material (fl yers, brochures, etc…) to promote their session inside the contracted booth space or exhibit hall only. NEI reserves the right to remove and discard signs and print materials of any organization violating this policy.

Audience Recruitment Efforts by NEI: All Industry Symposia will be listed on the online conference agenda and in the dedicated Industry Symposia web page. The information will also be added to all NEI Congress print materials (CME agenda syllabus, program guide, and onsite signage). Additionally, NEI will, in our sole discretion, send dedicated emails to encourage participants to attend these events.

Additional marketing opportunities: We encourage you take additional measures to promote your Industry Symposium (see pages 12-13 for additional promotional opportunities).

Requirements for Industry Symposia: Industry Symposia are considered promotional activities and must be conducted in accordance with all applicable FDA regulations and other established standards and codes. Continuing education credit may not be offered for Industry Symposia.

The following statement must appear prominently on all handout materials or any printed materials distributed at the symposium and on the title and ending slides displayed at the beginning and end of the Industry Symposium.

Indemnifi cation. Exhibitor hereby covenants and agrees to indemnify, defend, save and hold NEI and The Broadmoor and each and all of their parent companies, subsidiaries and affi liates, including all their directors, offi cers, agents, and employees, (the “Indemnifi ed Parties”) free, clear and harmless from and against any and all liabilities, losses, costs, expenses (including reasonable attorneys’ fees), claims, judgments, fi nes claims of intellectual property infringement, administration of claims, liens and demands of any kind whatsoever caused by, resulting from, or in any way connected with: (i) Exhibitor’s acts, omissions or negligence, or the acts, omissions or negligence of Exhibitor’s agents, contractors, employees, members, or attendees in connection with the Exhibitor’s use of the function space or (ii) Exhibitor’s breach of the Agreement or any of Exhibitor’s representations contained therein other than resulting solely from the gross negligence or willful misconduct of NEI.

In addition, Exhibitor acknowledges that the Indemnifi ed Parties do not maintain insurance covering Exhibitor’s property and that is the sole responsibility of the Exhibitor to obtain business interruption and property damage insurance covering such losses by Exhibitor.

Insurance. At all times during Exhibitor’s use of the function space, Exhibitor shall maintain: Statutory workers’ compensation insurance, in accordance with the laws of the State of Colorado; Employers’ liability insurance with limits of at least one million ($1,000,000.00) per accident covering all of Exhibitor’s personnel performing work at The Broadmoor property in connection with the Agreement; Comprehensive commercial general liability insurance with contractual indemnity coverage and combined single limits in the minimum amount of one million dollars ($1,000,000.00) per occurrence for personal injury and property damage; and commercial automobile liability insurance with coverage for owned, non-owned, rented and borrowed automobiles with a combined single limit of not less than one million dollars ($1,000,000.00).

Such insurance policy shall provide coverage insuring against loss, damage or liability for injury or death to persons and loss or damage to property and shall contain no exclusion with respect to property of The Broadmoor. The aforesaid policies shall be issued by a carrier satisfactory to NEI and authorized to do business in Colorado with a current A.M. Best Company rating of at least A-: VII; be primary and non-contributory regardless of any coverage maintained by NEI; and provide at least fi fteen (15) calendar days prior written notice of cancellation or reduction in policy limits or coverage. By October 24, 2016, Exhibitor shall provide NEI with certifi cates of insurance evidencing the required coverage and, with respect to the comprehensive commercial

general liability and commercial automobile liability insurance coverage reference above, naming “Neuroscience Education Institute and The Broadmoor Colorado Springs”, their parent companies, subsidiaries, affi liates, directors, offi cers, employees, and agents as additional insured. Exhibitor acknowledges that the Agreement may require Exhibitor to name additional parties, as additional insured in the event other parties are providing services related to the Agreement. Exhibitor shall either require each of its EAC’s to procure and maintain during the Congress period and during any set up or extended use period, the insurance coverage specifi ed above in the amounts approved by NEI and the Exhibitor, or Exhibitor shall insure the activities of its EAC’s in Exhibitors’ insurance policies as specifi ed in this section. Failure of Exhibitor, including EAC’s, shall not relieve Exhibitor from any liability under this Agreement, nor shall such insurance requirements be construed to conflict with, or otherwise limit, Exhibitor’s indemnification obligations contained herein. Exhibitor waives the right of recovery or subrogation against NEI and the The Broadmoor, its directors, officers, employees or agents.

The consent of NEI to the insurance and limits insured, as shown herein, shall not be considered as a limitation of Exhibitor’s liability under the Agreement nor an Agreement by NEI to assume liability in excess of said amounts or for risks not insured against. A Certifi cate of Insurance listing all insured parties must be received prior to any Exhibitor or EAC’s entry into the function space or installation of the exhibits and provide that the polices may not be cancelled or materially altered until at least fi fteen (15) calendar days prior written notice has been given to NEI.

Limitation of Liability. The Indemnifi ed Parties’ liability to Exhibitor or any third party in any circumstance shall not exceed the amount of fees paid under this Agreement. Notwithstanding, Exhibitor agrees to make no claim for any reason whatsoever against the Indemnifi ed Parties for loss, theft, or destruction of hardware and other tangible goods, nor for any injury, including death, to itself, employees, agents, or representatives; nor for any damage of any nature, including damage to its business for failure to provide exhibit space; nor for failure to hold the Congress as scheduled; nor for any action or omission by the Indemnifi ed Parties.

Anything to the contrary herein notwithstanding, under no circumstances shall the indemnifi ed parties or Exhibitor be liable to each other for special, incidental, consequential, or indirect damages, loss of good will or business profi ts, work stoppage, data loss, computer failure or malfunction, or exemplary or punitive damages.
