No quote can be provided until certificates of insurance are obtained from the general contractor. There was discussion regarding the necessity to move forward with efforts to complete design development of the lobby/gallery areas, including discussions of security upgrades/improvements. CTF Meeting Minutes

Topic #1 Notes: It was reported that GW’s contract had been approved by all required ASUUC entities and an executed copy delivered. Amy Echoff (GW) provided the following updates on activities since the November 9th CTF meeting:

Site survey has been completed (attached).

Geotechnical soil borings have been completed (boring plan attached). Soil sample test results are expected within two weeks.

Amy presented a matrix (attached) of the three proposals received for hazardous materials survey and abatement design. Following discussion, CTF approved proposal from Family Environmental in the amount of $9740. The contract (attached) for this item will be between ASUUC and Family Environmental.

Amy presented revisions to the floor plan of new administrative wing resulting from November 10th meeting with staff (attached). Following a lengthy discussion of the modifications to the floor plan, the CTF approved the floor plan. A follow-up meeting with staff is to be scheduled (either 11/30/16 or 12/1/16) to finalize. CTF members, Diane Cassity, Bonnie Postlethwaite and Marilyn Carpenter (or as many of them as can) will represent the CTF at the meeting with GW and the staff. They are to keep the CTF apprised. be scheduled. With GW's concurrence, the CTF agreed to limit utilization of the parking lot for renovation purposes to no more than the first row of parking spaces closest to the ASUUC building (see attached). This limitation was deemed reasonable in view of the availability of space west of the building for renovation related uses. As a result there will be sufficient parking for Simpson House events and no interference with the spaces leased to KCAI. Action Items:

Limited use of parking lot to be communicated to construction contract bidders.

Topic #3 Notes: Jane Gilbreath presented possible "talking points" for meetings with sources of off-site parking during renovation (attached). There was discussion of drawing from the talking points to create a letter to inform ASUUC neighbors of the impending renovation. Kendyl volunteered to draft the letter for distribution by the CTF. There was discussion of a strategy for reaching out to off-site parking sources. It was agreed that the letter to neighbors would be distributed before meetings are scheduled, and that the first meeting would be with representatives of KCAI. Action Items:

Kendyl to draft letter to neighbors.

CTF to carry out distribution of the letter to appropriate neighbors.

Tom Pistorius, Alan Barlow and Jane Gilbreath to coordinate with Diana Hughes when scheduling the KCAI meeting.

Topic #4 Notes: December 11th was discussed as an appropriate date for the first listening/talking session with the congregation. It was agreed that a CTF Yulebach would be scheduled to follow the Sunday Service on that date. GW and members of the CTF would present on the status of the renovation and answer questions. Action Items:

Diane Cassity to coordinate.

Topic #5 Notes: There was discussion of the formation sub-groups to perform duties of the CTF. It was noted that sub-groups are informally evolving as the CTF moves forward. It was agreed that discussions would continue. Action Items:

None

Topic #6 Notes: A report of the CTF meeting of November 9, 2016 was circulated by email and no comment(s) received. All present indicated approval. Action Items:

None

Dear Messrs. Everitt and Wakefield:

Family Environmental Compliance Services, Inc. (Family Environmental) is pleased to submit this

environmental consulting cost proposal to All Souls Unitarian Universalist Church (Client) to

conduct a hazardous material survey; prepare an abatement design/bid specification document;

conduct abatement oversight/project management; and prepare an operations and maintenance

(O&M) program plan at All Souls Unitarian Universalist Church, 4501 Walnut Street, Kansas

City, Missouri (Site). The survey activities will identify potential asbestos-containing materials

(ACM), lead-based paint (LBP) covered building components and other hazardous materials

located within the Site structure. This survey will aide in the preparation of the necessary

abatement bidding documents for hazardous material removal and the O&M Plan for any ACM,

LPB or hazardous materials remaining on the property following your planned renovation project.

In order to meet your project renovation start date, we propose conducting the Site survey

activities as soon as possible.

SCOPE OF SERVICES

TASK 1 ACM/LBP SURVEYS AND HAZARDOUS MATERIALS INVENTORY

We will provide one United States Environmental Protection Agency (USEPA)-accredited and

State of Missouri-certified Asbestos Building Inspector to collect bulk samples of friable and non-

friable building materials suspected of containing asbestos. All bulk samples collected at the Site

will be sent to River North Environmental Testing (RNET) of Denver, Colorado, a National

Voluntary Laboratory Accreditation Program (NVLAP)-accredited laboratory and placed on a

three-day turnaround time for analysis. The samples submitted to RNET will be analyzed by

polarized light microscopy (PLM). We propose to collect up to 60 samples of suspect building

materials.

We will provide one USEPA-accredited and State of Missouri-certified Lead Risk Assessor equipped

with an X-Ray Florescence (XRF) analyzer to screen for the presence of LBP surface coatings at the

Site. The Lead Risk Assessor will conduct a surface-by-surface investigation of Site building

components, detailing surface coatings containing lead.

The hazardous materials inventory will include an inventory of hazardous materials, other than

asbestos or lead. The identified materials will be documented and quantified. Examples include, but

are not limited to the following: mercury-containing thermostats; poly-chlorinated biphenyl (PCB)-

containing light ballasts; fluorescent light bulbs; cleaning supplies, paint, toner ink, heavy metal

recovery systems, etc. This Site inventory will identify the items that will need to be removed and

properly disposed.

FINAL REPORTING

We will prepare a hazardous materials survey report which will include tables and descriptions noting the

quantity, type and location of identified ACM, LBP and other hazardous materials, along with figures

showing locations of the identified materials. Discussion of analytical results, conclusions regarding the

findings and any recommendations will also be included. Report attachments will include laboratory

analytical results, hazardous material inventory, certifications, sample location figures and photographic

documentation of all building materials containing asbestos or covered with lead paint.

TASK 2 ABATEMENT DESIGN

Family Environmental understands asbestos abatement activities are planned at the Site. We will

provide one United States Environmental Protection Agency (USEPA)-accredited Asbestos Project

Designer to complete an asbestos abatement design and bid package prior to the commencement of

asbestos removal activities. Based on the results of a formerly-completed asbestos survey, we

understand ACMs are currently present in building materials at this Site.

TASK 3 ABATEMENT PROJECT MANAGEMENT & CONTRACTOR OVERSIGHT

Family Environmental will provide one dedicated Project Manager (PM) for the duration of your

abatement project. The PM is a United States Environmental Protection Agency (USEPA)-

accredited Asbestos Project Designer, Asbestos Building Inspector, Asbestos Management

Planner, Lead Risk Assessor and State of Missouri-certified Air Sampling Professional (ASP).

The PM will be responsible for the environmental related aspects of this abatement project, they

include:

Attendance to all scheduled construction meetings;

Drafting responses to abatement related requests for information (RFI);

Assisting Architect with the management of the abatement schedule;

Providing the project team with project updates;

On-site air monitoring, if necessary;

Conducting final visual inspections of abated areas;

Oversight of all final air clearance events;

Family Environmental staff health and safety; and

Quality Assurance and Quality Control (QA/QC) requirements.

The PM will conduct daily oversight to ensure the remediation contractor performs this project in

strict accordance with the Remediation Plans & Specifications document to be prepared by Family

Environmental. Our daily oversight activities will include the following:

All Federal, State and local environmental regulations governing abatement projects are

being followed properly;

Monitor contractor work practices for work area preparation, execution and final cleanup;

Log contractor daily site activities;

Collection of daily project photographic documentation;

Ambient air monitoring surrounding asbestos work, where necessary;

Final clearance sampling (air samples).

AIR MONITORING, ANALYSIS AND QUALITY CONTROL

Family Environmental will provide one Air Sampling Technician (AST) to conduct ambient phase

contrast microscopy (PCM) air monitoring surrounding the abatement work areas to assess fiber

concentrations. Furthermore, PCM ambient air monitoring assesses the overall effectiveness of the

designed engineering controls for this project. The AST will also conduct PCM final air clearance

testing. The AST will be under the direct supervision of the PM, who is a State of Missouri-

certified ASP. We estimate the collection of up to 15 PCM air samples (includes, ambient and

final clearance air samples) for the project.

The ASP and AST will also perform the necessary final visual inspections for all the regulated

work areas associated with this project. Following successful completion of the final visual

inspection, the ASP/AST will conduct aggressive PCM final air clearance testing within

designated work areas. The PCM ambient and final air clearance samples collected will be

analyzed in accordance with National Institute for Occupational Safety and Health (NIOSH)

Method 7400 – Asbestos and Other Fibers by PCM. All PCM sample analysis will be conducted

by a NIOSH 582 Equivalent-accredited analyst who will be present on-site daily to analyze all

PCM air samples.

TASK 4 O&M PROGRAM PLAN

We will prepare an O&M Program Plan that will document all remaining hazardous materials at the

Site. The O&M Plan will provide guidance as to the proper management and maintenance necessary

to limit potential exposure from these materials. The plan will aid building owners and maintenance

staff as to the presence, location, condition and quantity of all known or assumed hazardous

materials. The O&M Plan will require updating as site conditions change or if identified hazardous

materials are later removed.

The fees associated with this project are presented in Table 1 on the following page.

PRICING ASSUMPTIONS

For bidding purposes, we are assuming the quantities of time and materials to complete this project.

We will complete the proposed tasks with a not to exceed, guaranteed maximum price of $9,740.00

as defined by the scope of services presented above in the Professional Fees table.

The budget is based on the anticipated scope of services outlined in this proposal. Family

Environmental will devote it best efforts to perform the work and accomplish the objectives defined

within this cost proposal. If the proposed work indicates a need for further or modified services,

you will be notified immediately of the conditions of concern with recommendations, as necessary.

PROJECT SCHEDULE

We anticipate completing all proposed tasks immediately upon notice to proceed from the Client. All Site

work is anticipated to be completed during normal business hours (8:00 AM through 5:00 PM), Monday

through Friday, excluding holidays and weekends.

COMPENSATION: Guaranteed maximum price of $9,740.00.

SCHEDULE OF PAYMENTS: Family Environmental Compliance Service, Inc. shall be paid monthly on the basis of

invoices submitted. These invoices will be for the portion of the agreed upon compensation earned during that month.

Family Environmental Compliance Services, Inc. shall be paid for all invoices within 30 days of submittal. In the event the

Client disputes the invoice or any portion thereof, the undisputed portion shall be paid based on contractual terms. Invoices

not in dispute and unpaid after 30 days shall accrue interest at the rate of one and one-half percent per month (or the

maximum percentage allowed by law, whichever is the lesser). See Standard Conditions for invoices unpaid after 60 days.

EXECUTION: Execution of this document by duly authorized representatives of Family Environmental Compliance

Service, Inc. and Client, including Standard Conditions and any attachments, Additional Provisions as indicated, and

addenda, represents the entire Agreement between the parties hereto and supersedes all prior negotiations, representations, or

agreements, either written or oral. This Agreement may be amended or modified by written instrument, but such instrument

is valid only upon signature by both parties. Neither Family Environmental Compliance Services, Inc. nor Client shall

assign, transfer, or encumber any rights, duties, or interests accruing from this Agreement without the express prior written

consent of the other.

2. EXECUTION. This Agreement becomes effective upon signatures by authorized representatives of the Client and FAMILY

ENVIRONMENTAL COMPLIANCE SERVICES, INC. and upon receipt by FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. of a signed original or facsimile transmittal. If facsimile transmittal is initially sent to FAMILY ENVIRONMENTAL COMPLIANCE

SERVICES, INC., Client will provide FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. with a signed original for record as

soon as practicable.

3. INITIATION. FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. is authorized to proceed with services upon receipt of

an executed Agreement or written Notice to Proceed.

4. COMPLETION/TERMINATION. This Agreement shall remain in force until completion and acceptance of the services or until

terminated. This contract may be terminated by the Client and/or FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. upon 10 days written notice. In the event of such termination, FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. will be paid the portion

of the compensation (and fixed fee, if applicable) for services performed in accordance with the scope of services under the terms of this

Agreement to the date of termination together with all costs arising out of such termination.

Continuing Service Agreements shall be reviewed annually for rates and shall remain in force until terminated in writing by either party, or

otherwise stipulated contractually.

5. STANDARD OF CARE. Services provided by FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. under this Agreement

will be performed in a manner consistent with that degree of care and skill ordinarily exercised by members of the same profession currently practicing under similar circumstances. FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. makes no warranty or guaranty,

either express or implied.

6. INDEPENDENT CONSULTANT. FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. is and shall be at all times during the term of this Agreement an independent consultant and not an employee or agent of the Client.

7. COMPLIANCE WITH LAWS. FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. will endeavor to comply with Federal, State, and local laws and ordinances applicable to the services to be provided under this Agreement.

8. COLLECTION COSTS. In the event legal action is necessary to enforce the payment provisions of this Agreement if Client fails to

make payment within sixty (60) days of the invoice date, FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. shall be entitled to collect from the Client any judgment or settlement sums due, reasonable attorneys' fees, court costs and expenses incurred by FAMILY

ENVIRONMENTAL COMPLIANCE SERVICES, INC. in connection therewith and, in addition, the reasonable value of FAMILY

ENVIRONMENTAL COMPLIANCE SERVICES, INC.'s time and expenses spent in connection with such collection action, computed at FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC.'s prevailing fee schedule and expense policies.

9. OWNERSHIP OF DOCUMENTS. Drawings, specifications, reports, programs, manuals, or other documents, including all documents on electronic media, prepared under this Agreement are instruments of service and are, and shall remain, the property of FAMILY

ENVIRONMENTAL COMPLIANCE SERVICES, INC. FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. will retain all

common law, statutory, and other reserved rights, including the copyright thereto. FAMILY ENVIRONMENTAL COMPLIANCE SERVICES,

INC. shall not be held liable for reuse of documents or modifications thereof by the Client or its representatives for any purpose other than the

original intent of this Agreement, without written authorization of and appropriate compensation to FAMILY ENVIRONMENTAL

COMPLIANCE SERVICES, INC.

10. SITE VISITS/OBSERVATION. If included in the Scope of Work, FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC.

shall visit the project and/or construction site at appropriate intervals to become generally familiar with the progress, quality of work (contractors' work), and to determine if the work is proceeding in general accordance with the Contract Documents. Visits to the project site and observations

made by FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. as part of services during construction under Agreement shall not

make FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. responsible for, nor relieve the construction contractor(s) of the obligation to conduct comprehensive monitoring of the work sufficient to ensure conformance with the intent of the Contract Documents, and

shall not make FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. responsible for, nor relieve the construction contractor(s) of

the full responsibility for all construction means, methods, techniques, sequences, and procedures necessary for coordinating and completing all portions of the work under the construction contract(s) and for all safety precautions incidental thereto.

12. INSURANCE. FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. will maintain the following levels of insurance during the term of this Agreement.

a. Worker's Compensation (and Employer's Liability Insurance)-as required by applicable state statute.

b. Commercial General Liability-$1,000,000 per occurrence for bodily injury, including death and property damage, and $2,000,000 aggregate.

c. Automobile Liability-minimum of $1,000,000 combined single limit for bodily injury and property damage.

d. Professional Liability (E&O), Professional Pollution Liability and Contractors’ Pollution Liability-$1,000,000 each claim and in aggregate.

13. INDEMNIFICATION/HOLD HARMLESS. FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. shall indemnify and hold harmless the Client and its employees from any liability, settlements, loss, or costs (including reasonable attorneys’ fees and costs of

defense) to the extent caused by FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC.’s negligent acts, errors, or omissions in services provided pursuant to this Agreement. Provided, however, that if any such liability, settlements, loss, or costs result from the concurrent

negligence of FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. and the Client, this indemnification applies only to the extent of

the negligence of FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC.

14. LIMITATION OF LIABILITY. In recognition of the relative risks and benefits of the project to both the Client and FAMILY

ENVIRONMENTAL COMPLIANCE SERVICES, INC., the risks have been allocated such that the Client agrees, to the fullest extent permitted by law, to limit the liability of FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. and its subconsultants to the Client and to all

construction contractors and subcontractors on the project for any and all claims, losses, costs, damages of any nature whatsoever or claims

expenses from any cause or causes, so that the total aggregate liability of FAMILY ENVIRONMENTAL COMPLIANCE SERVICES, INC. and its subconsultants to all those named shall not exceed $50,000 or the amount of FAMILY ENVIRONMENTAL COMPLIANCE SERVICES,

INC.'s total fee paid by the Client for services under this Agreement, whichever is the greater. Such claims and causes include, but are not

limited to negligence, professional errors or omissions, strict liability, breach of contract or warranty.

15. DISPUTES. Mediation is an express condition precedent to the filing of any legal action. Unless the parties agree otherwise, the

mediation shall be conducted pursuant to the Construction Mediation Rules of the American Arbitration Association.

16. ATTORNEY FEES. Should there be any suit or action instituted to enforce any right granted in this contract, the substantially prevailing

party shall be entitled to recover its costs, disbursements and reasonable attorney fees from the other party. The party who is awarded a net

recovery against the other shall be deemed the substantially prevailing party unless such other party has previously made a bona fide offer of

payment in settlement and the amount of recovery is the same or less than the amount offered in settlement. Reasonable attorney fees may be

recovered regardless of the forum in which the dispute is heard, including an appeal.

17. FORCE MAJEURE. The Consultant shall not be responsible for delays caused by the Client’s failure to furnish necessary information or

to approve or disapprove the Consultant’s work promptly as requested or for delays resulting from late, slow, or faulty performance by the Client, other contractors or consultants of the Client, or government agencies whose performance of work is precedent to or concurrent with the

performance of the Consultant’s work. The Consultant shall also not be responsible for any delays in the performance of the work by reasons of strikes, lockouts, accidents, acts of God, or other causes beyond the Consultant’s reasonable control.

All Souls Unitarian Universalist Church, at 4501 Walnut, is looking for

supplementary parking while undergoing construction.

All Souls renews its commitment to the neighborhood, and the community by

adding space and exterior improvements with this renovation

Construction is expected to last from March to December, 2017. Parking is

needed for Friday and Saturday evening events, (concerts, weddings, etc.) and

Sundays.

All Souls has a 150 year history, grounded in a strong humanist tradition. Our

members are involved in peace work, striving for racial justice, volunteering in

Kansas City schools, and much more.

We strive to be a good neighbor, providing meeting space for many organizations

and groups, providing gallery space for emerging artists, and hosting the Unitarian

Forum, a weekly presentation regarding ethical values in the contemporary world,

presented by well-known figures in the community.

Our congregation is a diverse welcoming congregation, with young families, older

adults, welcoming gay and lesbian people, and people of color.
