BENEFITS

4.1 Tuition Assistance. The Program provides reimbursements to Participants for

Educational Expenses up to the relevant maximum amount set forth in Section 5.2. All rights to

Benefits are conditioned on the Participant’s satisfying the approval requirements of this Article

IV.

4.2 Course Approval for Tuition Reimbursement. The Program Administrator in its

sole discretion shall determine whether the Educational Course qualifies for reimbursement

under the Program.

4.3 Payment of Benefits. A Participant will be reimbursed for Educational Expenses

incurred for Educational Courses, subject to the limitations set forth in Article V, upon

presentation of adequate substantiation of Educational Expenses and, if applicable, satisfactory

evidence that the Employee received a passing grade in any Educational Courses for which the

Employee received reimbursement within the same calendar year. Benefits are only payable

under the Program to the extent that the Eligible Employee has provided adequate substantiation

of the expense as determined by the Program Administrator.

4.4 Procedures for Submitting Educational Expense Reimbursement Requests.

(a) To receive Benefits, a Participant must submit a completed Tuition

Assistance Request application, together with any such supporting information or documentation

as the Program Administrator may require and in accordance with any nondiscriminatory

policies and procedures as the Program Administrator may establish, including but not limited to

receipts for Educational Expenses and the approved Tuition Assistance Request application.

Eligible Employees may submit one Tuition Assistance Request application per Term so long as

they continue to meet the eligibility criteria outlined in this Article III.

DB1/ 81461052.13

7

(b) In addition, if an Eligible Employee has received reimbursement for

Educational Expenses in connection with an Education Course taken in a prior Term within the

same calendar year, that Eligible Employee must submit adequate evidence of achieving a

passing grade in that Educational Course. Tuition Assistance Request applications must be

submitted to the Program Administrator no later than December 6th of each year in order for the

reimbursement to count towards that calendar year’s maximum Benefit reimbursement (as set

forth in Section 5.2 below). Tuition Assistance Request applications received after this

timeframe will be applied towards the subsequent calendar year. In no event will a Tuition

Assistance Request application be accepted or processed with respect to Educational Courses

that were completed more than twelve (12) months before the submission of the request.

ARTICLE V

LIMITATIONS ON BENEFITS

5.1 Active Employment Required. No Benefit will be payable under the Program to

any person who is not actively employed by the Employer at the time all of the conditions for

payment have been satisfied. Notwithstanding the foregoing, at the Program Administrator’s

discretion Benefits relating to Educational Expenses incurred prior to the commencement of an

approved leave of absence may be paid.

5.2 Tuition Reimbursement. Participants shall be eligible for reimbursement of tuition

and fees of up to $3,000 per calendar year if the Participant is a Full-Time Office Staff or a Full-

Time Restaurant Management Employee meeting the requirements of Article III, and up to

actual tuition and fees related to the Educational Course and, if applicable, the Employee’s

satisfactory completion of any prior Educational Courses during the same calendar year.

5.3 Offset for Other Payments. Any Participant receiving financial assistance or a

fellowship or scholarship from any public or private source shall be entitled to a Benefit under

this Program only to the extent the Educational Expenses of the Educational Courses taken

exceed the amount of such financial assistance, fellowship or scholarship. Notwithstanding the

foregoing, nothing in the Program shall affect an Employee’s eligibility for the McDonald’s

National Employee Scholarship.

5.4 Number of Educational Courses. The number of Educational Courses that may be

approved for reimbursement for a Participant under Section 5.2 is subject to the discretion of the

Program Administrator.

5.5 Satisfactory Completion. Benefits shall be payable with respect to any Educational

Course which the Participant completes with a passing grade. A failed or incomplete

Educational Course in any Term will result in a deduction in the next payment request submitted

DB1/ 81461052.13

8

in that same calendar year in which such Term commenced in an amount equal to the Benefit

paid for the failed Educational Course. Only subsequent requests within the same calendar year

are subject to deductions from a class failed or not completed earlier in that year.

5.6 No Benefits in Lieu of Compensation. In no event shall a Participant be entitled to

receive any Benefit under this Program in lieu of any other compensation from the Employer to

which he or she might otherwise be entitled.

5.7 Tax Treatment.

(a) In accordance with Code Section 127, up to $5,250 in reimbursements for

qualified Educational Expenses per calendar year may be excludable from gross income of the

Participant.

income and subject to income and withholding taxes except to the extent that they may be

excludable from gross income pursuant to Code Section 132.

(c) If any Benefit provided under the Program becomes taxable, whether as a result

of nondiscrimination tests or payment of benefits in excess of statutory limits described herein,

any employment tax withholding owed with respect to the taxable portion of any Benefit shall be

deducted from the Employee’s other compensation in the same calendar year in which the

Benefit is provided.

ARTICLE VI

FUNDING

6.1 The Program Administrator shall contribute the amount required to pay Benefits

under this Program. Benefits shall be paid to or on behalf of any Participant upon the submission

and approval of a claim for Benefits pursuant to the procedures set forth in Article IV. There

shall be no special fund out of which Benefits shall be paid, nor shall the Employer or the

Participants be required to make contributions as a condition of receiving Benefits.

DB1/ 81461052.13

9

ARTICLE VII

AMENDMENT OR TERMINATION

7.1 This Program may be amended or terminated at any time by the Employer or Program

Administrator, provided, however, that any termination or amendment shall not affect the right

of any Employee to claim a Benefit for which he or she may have qualified prior to such

termination or amendment, to the extent such amounts are payable under the terms of the

Program as in effect prior to the calendar month in which the Program is amended or terminated.

ARTICLE VIII

Acceptable file types are .pdf, .tif, .png, .jpeg, .jpg, .bmp and .xps. When scanning or copying, you do not need to include a copy of the sealed envelope.
