Liaisoning work with M/s. Singareni Collieries Company Limited,
Hyderabad/South Central Railways, Secunderabad for Movement ”C” Grade Coal by Rail from their Collieries to MPM, Bhadravathi One
year contract and on staggered delivery basis.
2 The tenderers may submit tenders for the services given above.
Tenderers are advised to note the qualification criteria specified to
qualify for award of the contract.

6 The responsibility of the Liaisoning Agent to getting allotment/release
orders for allotment of “C” Grade Coal at the Normal List Price with Linkage basis from M/s. M/s Singareni Collieries Company Limited,
Hyderabad at the rate of Three Rakes per month. This works out to

1.0 DEFENITIONS OF TERMS:1.0 DEFENITIONS OF TERMS:1.0 DEFENITIONS OF TERMS:1.0 DEFENITIONS OF TERMS:
The following words and expressions shall have the meaning
assigned herein below unless it be repugnant to the context or
meaning thereof.
a) “A”“A”“A”“A”= Ash % on equilibrated basis. Ash contents constitutes
non combustible materials remaining after the moisture,
volatile matter and carbon are removed or burnt away. Unit is
in percentage (%).
b) “ADB”“ADB”“ADB”“ADB” – means Air Dried Basis. Reporting of any parameter on
“ADB” implies that Laboratory Tests sample has been prepared
in accordance with BIS specification “IS 436 part 1 Section 1 of
1964”, Clause No 10 and than Air Dried in accordance with BIS specifications, IS 1350 [Part-1] – 1984, Clause No 4.2.3 and
analyzed for the required parameters.
c) “Agreement”“Agreement”“Agreement”“Agreement” means this Coal Liaisoning Agreement including all its schedules, Annexure and attachments and subsequent
amendments as may be issued in accordance with the Terms
and Conditions hereof and it shall supersede and exclude any
previous arrangement, understanding or commitment that the Coal Liaisoning Agent may have had with the MPM.
d) “Appellate authority”“Appellate authority”“Appellate authority”“Appellate authority” shall mean the Managing Director of the
Mysore Paper Mills Limited.
e) “Applicable Laws”“Applicable Laws”“Applicable Laws”“Applicable Laws” means, brought into force and effect by the
Govt. of India or the State Government including rules,
regulations and notifications made there under, and
judgments, decree, injunctions, writs and orders of any court of record, applicable to either SCCL or the MPM, their
obligations or this Agreement from time to time.

f) “ARB“ARB“ARB“ARB”””” means As received Basis. Parameter reported on As
Received Basis implies that parameters determined on Air Dried Basis are converted on as-received moisture or total
moisture content of the consignment.
g) “ARR”“ARR”“ARR”“ARR” means All Rail Route.
h) “ASTM”“ASTM”“ASTM”“ASTM” means the American Society for Testing & Materials.
i) “Basic Price”“Basic Price”“Basic Price”“Basic Price” shall mean, in relation to a Declared Grade of Coal
produced by WCL, the Pithead price notified from time to time
by CIL or WCL, as the case may be.
j) “Business Day” “Business Day” “Business Day” “Business Day” shall mean each Monday, Tuesday, Wednesday,
Thursday, Friday and Saturday, that is not declared a Holiday
in the State of under the Negotiable Instruments Act, 1981.
k) “SCCL” “SCCL” “SCCL” “SCCL” means M/s. Singareni Collieries Company Limited,
Hyderabad.
l) “AGM [Malts]“AGM [Malts]“AGM [Malts]“AGM [Malts]”””” means Assistant General Manager [Materials], MPM, Bhadravathi.
m) “SCR” “SCR” “SCR” “SCR” means South Central Railways
n) “C.I.F.D. MPM Basis”“C.I.F.D. MPM Basis”“C.I.F.D. MPM Basis”“C.I.F.D. MPM Basis” shall mean the firm cost inclusive of
freight, taxes and duties, delivery charges/other associated
expenses up to MPM Railway siding.
o) “Coal”“Coal”“Coal”“Coal” means non-coking Steaming Coal, produced
domestically and categorized into different classes, grades and
sizes, as per the notification/order issued for such purpose by Government of India (GOI)/CIL/SCCL.
p) “CLA”“CLA”“CLA”“CLA” means Coal Liaison Agent.
q) “Declared Grade”“Declared Grade”“Declared Grade”“Declared Grade” means the particular Grade/s of Coal mined
from any seam or section of a seam in the SCCL’s collieries
from which coal is produced and supplied under Coal Supply Agreement between MPM and SCCL, as declared by SCCL.
r) “Delivery Point”“Delivery Point”“Delivery Point”“Delivery Point” means any of the loading point/s as the case
may be, in the designated area of the SCCL.
s) “Effective Date”“Effective Date”“Effective Date”“Effective Date” shall have the meaning ascribed to it in the
Work Order.
t) “EMD”“EMD”“EMD”“EMD” shallshallshallshall mean Earnest Money Deposit.

u) “EquilibratedEquilibratedEquilibratedEquilibrated Basis”Basis”Basis”Basis” means determination/computation of
various quality parameters such as but not limited to ash, volatile matter, fixed carbon, Gross Calorific Value etc.,
expressed at Equilibrated Moisture level determined at 60%
relative humidity [RH] and 40 degree Celsius.
v) “Equilibrated Moisture”“Equilibrated Moisture”“Equilibrated Moisture”“Equilibrated Moisture” means moisture content, as determined
after equilibrating at 60% relative humidity (RH) and 40 degree Celsius as per the relevant provisions (relating to
determination of equilibrated moisture at 60% RH and 40
degree Celsius) of IS 1350 of 1959 or amendment thereof.
w) “F.O.R.”“F.O.R.”“F.O.R.”“F.O.R.” shall mean “Free on Rail”.
x) “GCV”“GCV”“GCV”“GCV” means Gross Calorific Value of the raw coal expressed in
terms of kilo calories per kg.
y) “GCV [ADB]”“GCV [ADB]”“GCV [ADB]”“GCV [ADB]” means Gross Calorific Value on Air Dried Basis
measured by using bomb calorimeter as per ASTM in Kcal/Kg.
z) “GCV [ARB]” “GCV [ARB]” “GCV [ARB]” “GCV [ARB]” means Gross Calorific Value on as-received basis in Kcal/Kg.

aa) “Grade” “Grade” “Grade” “Grade” means the Grade/class in which the non-coking Coal is
categorized and/or to be categorized in terms and in accordance with the relevant notification by Government of
India and published in Gazette of India.
bb) “IM” =“IM” =“IM” =“IM” = % Inherent Moisture in the coal on ADB. Inherent
moisture is the residual moisture remaining in coal particles once the surface or free moisture has been removed. It is a
part of the chemical composition of coal. It is also called the
seam moisture. Unit is in percentage (%).
cc) “IS” “IS” “IS” “IS” means the standard Specifications issued by the Bureau of
Indian Standards (BIS).
dd) “Kcal/Kg” “Kcal/Kg” “Kcal/Kg” “Kcal/Kg” means Kilo Calories per Kilogram
ac) “Kilo Calorie” “Kilo Calorie” “Kilo Calorie” “Kilo Calorie” shall mean the amount of heat required to raise
the temperature of one kilogram (1kg) of pure water at fifteen
degrees Celsius, by one degree Celsius.

ad) “MPM” “MPM” “MPM” “MPM” shall mean Mysore Paper Mills Limited
ae) “W.O. “W.O. “W.O. “W.O. Means the Work Order issued by MPM to CLA accepting
the offer.
af) “Level of Lifting”“Level of Lifting”“Level of Lifting”“Level of Lifting” shall have the meaning ascribed to it in Clause
9.3
ag) “Loading Point/s”“Loading Point/s”“Loading Point/s”“Loading Point/s” shall includes :- 1. Silo 2. Farthest point for wharf wall loading at the colliery 3. Ropeways loading point. 4. Transfer point to the customer’s belt conveyor etc. 5. Washery siding.
6. Any other Railway siding, as the case may be.
ah) “Month”“Month”“Month”“Month” shall mean a calendar month

aj) “Prime Lending Rate”“Prime Lending Rate”“Prime Lending Rate”“Prime Lending Rate” or “PLR”“PLR”“PLR”“PLR” shall mean the prime lending rate
of State Bank of India.
ak) “RR”“RR”“RR”“RR” means Railway Receipt issued by the Indian Railways.
al) ““““SCCLSCCLSCCLSCCL” ” ” ” means The Singareni Collieries company Limited, Hyderabad
am) “AGM[Malts]“AGM[Malts]“AGM[Malts]“AGM[Malts]”””” means Assistant General Manager [Materials] or
any other authorized Officer of MPM, Bhadravathi.
ao) “Supplier”“Supplier”“Supplier”“Supplier” means the successful Bidder to whom the Work Order
is issued.
ap) “Surface Moisture” “Surface Moisture” “Surface Moisture” “Surface Moisture” means the moisture content present in Coal that is derived as the difference between Total Moisture and
Equilibrated Moisture, and expressed in % terms.
aq) “Tare Weight”“Tare Weight”“Tare Weight”“Tare Weight” means Unloaded Weight of wagons weighed in in-motion weighbridge situated at MPM.
ar) “Tender Accepting Authority”“Tender Accepting Authority”“Tender Accepting Authority”“Tender Accepting Authority” shall mean the Managing Director
of MPM.

as) “Tenderer” or “CLA” or Agency“Tenderer” or “CLA” or Agency“Tenderer” or “CLA” or Agency“Tenderer” or “CLA” or Agency” shall mean the
companies/person/s who submits the Tender.

Manager (Materials), MPM, Bhadravathi.
au) “Tender Scrutiny Committee”“Tender Scrutiny Committee”“Tender Scrutiny Committee”“Tender Scrutiny Committee” shall mean Committee consists of Director [Operations], Deputy General Manager [Project], Asst.
Gen. Manager (Materials), Asst. Gen. Manager [Finance], Asst.
Gen. Manager [Power Block] I/c Sr. Manager [R&D/QC & EPC]
and Manager [Materials - P].
av) “Total Mo“Total Mo“Total Mo“Total Moisture”isture”isture”isture” means the total moisture content [including
surface moisture] expressed as percentage present in Coal and
determined on as delivered basis in pursuance to IS.
aw) “Unloading Point”“Unloading Point”“Unloading Point”“Unloading Point” means the place/point at the Mysore Paper
Mills Ltd., Bhadravathi.
ax) “Useful Heat Value”“Useful Heat Value”“Useful Heat Value”“Useful Heat Value” or “UHV”or “UHV”or “UHV”or “UHV” means the heat value determined on equilibrated basis by the following formula.
UHV = 8900 – 138 (A+M) where
UHV = Useful Heat Value in kilo calories per kilogram (Kcal/Kg)
A = Ash content and
M = Moisture content
ay) “Weights and Measures Standards”“Weights and Measures Standards”“Weights and Measures Standards”“Weights and Measures Standards” means the standards, as
prescribed under the Standards of Weights and Measures
Act,1976 and amendments thereof.
az) “Year”Year”Year”Year” means the financial year commencing on April 1st and
ending on the following March 31st and “Quarter” means the
respective three monthly periods, namely April to June, July to
September, and so on.

a) Sealed Tenders are invited in Single Cover system for
Liaisoning/follow up and movement, handling and delivery of coal from SCCL Loading Point/s to Mysore Paper Mills Limited,
Bhadravathi [Karnataka State] by Rail for a period of One One One One yearyearyearyear.
MPM reserves the right to extend the contract for a further period,
if required, as per the same rates, terms and conditions.
b) It shall be the sole responsibility of the Tenderer to furnish all particulars which are necessary for due consideration of the

tenders based on the information supplied by the Tenders taking into
account the following factors in the manner and to the extent indicated:

3. Experience and past performance of the Tender on similar
services elsewhere.
4. Conformity to the Commercial Terms and Conditions of the
contract, specified. 5. Cumulate Lowest offer basis [i.e., the Rate quoted for “C”

the Railways for the co-ordination of movement of Coal by Rail.
b] Tenders are invited from reputed Liaisoning Agent to work as Coal
Liaisoning Agent for a period of One year for Liaisoning, Movement, Handling and delivery of Coal from M/s. Singareni
Collieries Company Limited loading points to MPM, Bhadravathi by
Rail. MPM reserves the right to extend the contract for a further
period, if required as per the same rates, terms and conditions. The tenderer should have adequate knowledge and funds
mobilization capacity for undertaking the above work. The total

a) The Agent shall be responsible to arrange, supervise and monitor
the movement of Coal, @ three ‘N’ Rakes per month by Rail as per the allotment made by M/s. SCCL to MPM. The linkage
quantity is likely to vary from time to time. No claims shall be
entertained for variation in quantity.
b) The MPM reserves the right to delete the linkage partly or fully
during the currency of the contract from the scope of work, if so,
warranted.
c) The MPM may direct Agent to regulate the quantity from any of
the Collieries to MPM at its discretion and the same shall be
binding on the Agent.
d) The quantity to be moved depends upon the Production
programme, which may vary from time to time and the Liaison
Agent should not claim for the movement of the minimum quantity as a matter of right.
e) The Agent has to liaison with various agencies such as Coal Controller, Railways, SCCL and all works relating to delivery of
permitted quantity of Coal by all Rail routes from SCCL.
f) The Agent shall ensure that the wagons/rakes which are booked to MPM, Bhadravathi, shall not be diverted by the Railway
Authorities. The Agent shall convince the Railway Authorities on
behalf of the MPM not to divert any of the rakes allotted and
booked for MPM. Despite their efforts, if the Railway Authorities divert any of the rakes, the Agent shall immediately inform the
Asst. Gen. Manager [Materials], of such diversion, which may be
either at the despatching end or en-route to MPM because of the
operational difficulties. In case of such diversion of the wagons/rakes by the Railway Authorities, despite their efforts,
the Agent should furnish the details of diversion of rakes/wagons
to MPM from time to time.
g) The Agent shall ensure that the authorities of the M/s. SCCL
should obtain clear Railway Receipts with all details from the
Railway authorities after loading Coal before despatch of the
wagons. The Agent shall collect Railway Receipts, Railway freight bills and Coal bills from M/s. SCCL and submit the same to the
Asst. Gen. Manager [Materials] at MPM within ten days from the
date of despatch of Coal to MPM.
h) The Agent shall be responsible to ensure the adequate and full
supply of the required quantity of Coal by Railways of proper quality, grade and size from the allotted collieries to the MPM.

i) The Agent shall supervise and ensure that the Coal of the proper quantity and quality is loaded to the full carrying capacity of
wagons up to prescribed limits, which can be safely unloaded at
the destination. The Coal shall not be loaded in defective or
closed wagons.
j) The Agent shall ensure and follow with M/s. SCCL authorities at
the collieries end and see that the adequate indents of the Railway wagons are being submitted by M/s. SCCL authorities
and also to obtain a regular allotment from the Railways. The
Agent shall keep the Asst. Gen. Manager [Materials] and
Railways and M/s. SCCL Authorities informed, about the movement, dispatches, receipts and the stock of the Coal at
MPM.
k) The Agent shall deploy at least one supervisor at each loading
station round the clock and in exchange yard and thereby monitor the movement of Coal rakes and also keep the relevant
records pertaining to the Coal rakes such as empties and loaded
boxes, idle hours, detention of empty wagons etc. The
supervisor shall have adequate staff under him.
l) The Agent shall take necessary action to expedite the dispatches of Coal by the Railways and Colliery on behalf of MPM and
furnish the said programme to M/s. SCCL and to the Asst. Gen.
Manager [Materials], MPM, well in advance.
m) The Agent shall ensure that the Coal allotted to the MPM shall be loaded as per the declared grade, size and quality without any shale, stone, mud or excessive moisture and extraneous
material and the efforts shall be made to despatch Coal to the
extent of quantities allotted. The Agent shall ensure that Coal
with excessive surface moisture, oversize, lumpy, muddy extraneous materials shall not be loaded and dispatched. The
Agent shall further ensure that shale, stone and sand loading in
Coal wagons is avoided/minimized. In the event of Coal
containing the stone, soil, shale, and overburden, mud,
excessive surface moisture is to be loaded/is loaded, the Agent shall immediately lodge a complaint with the colliery authority on
behalf of MPM in such cases and with a copy to MPM.
n) The Agent shall ensure that proper wagon bracket label
indicating the full details such as name of colliery and type of
Coal in full form along with its declared grade etc., are affixed on
wagons and they are affixed in manner so as to remain on wagons till wagon reaches the destination, to enable clear
identification of wagon for sampling.

o] The responsibility of the Liaisoning Agent to getting
allotment/release orders for allotment of “C” Grade Coal at the
Normal List Price with Linkage basis from M/s. M/s Singareni
Collieries Company Limited, Hyderabad at the rate of Three
Rakes per month. This works out to 36 Rakes of Coal per annum or 1,35,960 MT per annum.
9.49.49.49.4 TRANSITTRANSITTRANSITTRANSIT LOSS & SHORTAGE OF COAL:LOSS & SHORTAGE OF COAL:LOSS & SHORTAGE OF COAL:LOSS & SHORTAGE OF COAL:
a) The Agent shall ensure that while loading Coal at colliery end,
the Wagons are loaded to the limit prescribed by the Railways
and there should not be any overloading and under loading of
the Coal. In case of under-loading/overloading of the Coal by the authorities of colliery or Railways as the case may be, the
Agent shall immediately lodge a complaint with the concerned
authorities on behalf of MPM under intimation to MPM, and
ensure that the Coal is loaded only to the full carrying capacity of the wagon.
b) The agent shall ensure transit loss due to enrooted pilferage is
eliminated. If necessary, the agent shall also depute his
personnel to travel along with wagons to check pilferage enrooted. It is the actual weight that is recorded at MPML site,
which shall form the basis for payment and for assessing the
performance of the agent.
c) In case of overloading, the penal Railway freight over and
above the normal freight will be recoverable from the Agents
bills. An average of Six ‘N’ Rakes shall be the basis for
calculating the penalties.
d) In case of under-loading, the excess freight, if any, paid by MPM shall also be recoverable from the Agents bills. An
average of Six ‘N’ Rakes shall be the basis for calculating the
penalties. For the shortage received rakes beyond 2% are only
liable for penalty recovery.
e) The charges to be debited to the Agent towards transit loss and
shortage minimization shall be computed based on an average
of Six ‘N’ Rakes of Coal at MPM as compared to the Invoice raised by the M/s. SCCL. Shortage will be equal to the invoice
quantity minus actual weight as weighed at MPM.

g) Percentage shortfall is calculated based on average of all receipts in the quarter, whichever is higher.
h) Rakes already considered once for averaging, due to shortfall of minimum Six Rakes in that quarter, will not be considered
again for the next quarter.
i) Penalty is levied only if Quarterly average shortfall exceeds 2%.

j) Penalty is levied for only those Rakes whose shortfall exceeds 2% and its also quarterly average shortfall exceeds 2%. The rate of penalty shall be as follows:
1. In case where the average quarterly shortfall is > 2% and
< or = 4%, a penalty of 15% of the service charge will be levied for every 1% shortfall and will be calculated
proportionately for the fractions. This will be done on
individual Rakes whose shortfall is >2%.
2. In case where the average quarterly shortfall is >4%.
3. For the individual Rake with < or = 2% shortfall, Nil
penalty.
4. For the individual Rakes with >2% and < or = 4%
shortfall, a penalty of 15% of the service charges will be
levied for every 1% shortfall and will be calculated
proportionately for the fractions.
5. For the individual rakes with > 4% shortfall, the penalty
includes:
a. No Service charges for the entire Rake.
b. Cost of Coal and Freight for shortfall above 4% shall
be levied.
6. The penalty calculated as above shall be recovered from
the Bills/Security Deposit of the Agent. The un-recovered
amount of penalty, if any, shall be settled by Agent immediately on receipt of demand.
7. Invoice raised by the SCCL shall be reference point for determining the shortage. Shortage will be equal to the
invoice quantity minus actual weight as weighed at MPM.
8. In case, the weigh-bridge at MPM is not in service and Weighment can not be obtained, the RR quantity shall be
considered as received weight and penalty shall be calculated as above.

9. The Agent shall ensure that the “C” Grade coal allotted to the MPM shall be loaded as per the declared Grade, size and quality without any stone, mud or
excessive moisture and extraneous material and the
efforts shall be made to despatch coal to the extent of
quantities allotted. The Agent shall ensure that coal with
excessive surface moisture, oversize, lumpy, muddy extraneous material shall not be loaded and despatched
In the event of coal containing the stone, soil, shale,
overburden, mud, excessive surface moisture is to be
loaded/is loaded, the Agent shall immediately lodge a complaint with the colliery authority on behalf of MPM in
such cases and with a copy to MM Office.

a. i) On behalf of MPM, CLA shall co-ordinate with Coal Company
and ensure the correctness of the weight of Coal loaded into
each rake at loading points as per RR. CLA is responsible for delivery of the same quantity of Coal at MPM as per RR at the
loading end.
ii) For the purposes of payment of running bills as per clause
14.00 the Weighment at weighbridges installed at MPM or RR
weight whichever is less shall be binding on CLA. In respect of
payment to the Coal Company towards value of the Coal, the amount equal to the price of the Coal shortage in the rake shall
also be recovered from the CLA.

CLA should ensure that the wagons are not over loaded. In
case, if railways charge any penal freight, the same will be to
the account of CLA. However, the over loading penal freight to the extent refunded by the Coal companies as per the fuel
supply agreements/understanding will be refunded to the
agency.

CLA shall ensure that while Loading Coal at colliery end, Coal is
loaded to the carrying limits prescribed by the Railways and there should not be any under loading of the coal. In case of
under loading of the Coal by the collieries, claims will be made
with Coal companies. However to the extent of refunds
recovered/received from the Coal Companies the same will be
refunded to CLA.

(i) CLA shall ensure dispatches of Coal in full rake loads and shall comply with all documentation formalities laid down by railways
for charging freight on rake load basis only. In the event of failure to comply with above, if the railways charge freight on
wagonload basis, the excess freight so incurred shall be to the
account of CLA.
(ii) CLA shall facilitate to lodge claim with railways or Coal
Company for refund of such excess freight and only if the railways or Coal Company refunds any amount, such refunds
received from railways or Coal Company will be in - turn paid
to CLA.

The R R’s shall be collected by CLA and shall make claims with
the railways for missing wagons. It shall be the responsibility
of CLA to liaise with Railways and deliver the missing wagons or alternatively get the claim settled from Railways. In the
event of Non-delivery/adjustment of missing wagons/diverted
rakes within three months from the date of R R, MPM shall
recover the cost of Coal for the undelivered quantity of Coal. This recovered cost will be refunded after necessary
delivery/adjustment of missing wagons/diverted rakes is made.

CLA shall ensure that all wagons dispatched to MPM are
weighed at Loading Points weighbridge and print out is
available for such Weighment. In case of un-weighed wagons, the same shall be got recorded in the relevant R R as ‘not
weighed’. This shall be strictly adhered to by CLA.

1) CLA shall ensure and follow with the Coal Company authorities at the collieries end and see that the adequate indents of the
railway wagons are being submitted by the coal company
authorities and also to obtain regular allotment of rakes from
the railways. Copies of such indent shall be obtained from the coal companies from time to time.
2) At the end of each month, CLA shall prepare a statement of quantity for which indent is placed by Coal company with
railways and the actual quantity for which forwarding notes
issued to railways by Coal companies in respect of MPM and
forward the same to Asst. Gen. Manager [Materials], MPM, Bhadravathi within 15 days of the preceding month, failing
which a penalty at the rate of Rs.100 per day will be liable for
such delays.

No.9.07 a, b, c & d.
iii) CLA shall ensure that authorities of the Coal Companies should
obtain clear railway receipts with all details from the railway authorities after loading coal before desptach of the wagons.
CLA shall collect railway receipts and submit the same to the
Asst. General Manager [Materials] within 10 days from the
date of Railway receipt.
iv) CLA shall collect Coal Bill from the SCCL and submit to the
Asst. General Manager [Materials] within 10 days from the
date of Coal Bill.
v) If the Coal Bills with Railway Receipt are not received at MPM within 10 days from the date of bills.
vi) Follow up with various agencies such as Coal Companies railways, regarding work relating to Movement of Coal from
SCCL Loading Point/s to MPM, Bhadravathi by Rail.
vii) Liaison with railways for placement of wagons and getting coal loaded in wagons at various loading points as per No.9.07 a, b,
c & d.

i) Payment of railway freight at Loading Point/s of SCCL and booking and monitoring movement of Coal rakes up to MPM
is the responsibility of CLA.
ii) CLA shall ensure that no consignment is dispatched to MPM
without payment of Railway freight. However, if any consignment is dispatched to MPM on ‘freight to pay basis’
and surcharge, interest and other levies/charges if any,
becomes payable to Railways by MPM at the time of taking
delivery, then the additional costs so incurred shall be to the account of CLA.

iii) MPM shall reimburse the railway freight based on Railway Receipt weight or actual weight which ever is less subject to
recoveries as per NO: 9.07(i) and (ii)
iv) However at the end of the period [3 months] the actual
quantity as weighed at MPM or Railway Receipt quantity whichever is less shall be considered for reimbursement of

CLA Shall establish a full fledged office equipped with computers, fax, e-mail, telephone both at Nagpur and also communication
facilities at Loading points (Colliery end) for day to day
communication and for data transfer from one point to another.
CLA shall also provide soft/hard copies of all data’s relating to coal supply from SCCL from time to time as per MPM’s requirement.
9.99.99.99.9 ResponsibilitiesResponsibilitiesResponsibilitiesResponsibilities of CLA:of CLA:of CLA:of CLA:
i) CLA shall acquaint themselves of the complete procedure
relating to the movement of coal by Rail and shall also ascertain
about the changes in procedure from time to time from the concerned authorities.
ii) CLA shall monitor loading of coal into railway wagons at Colliery
end. CLA should supervise loading and bring to the notice of the
concerned any deficiency either by way of short loading or by
way of loading of stones and extraneous material. CLA shall also report any shortfall in the programme of loading by Coal
Company. Any bottlenecks in the loading shall be immediately
taken up with the concerned authorities.
iii) CLA shall furnish various returns/statements to the MPM as
prescribed from time to time in hard as well as soft copy.
iv) CLA should keep themselves appraised and be thoroughly
conversant with the rules and regulation of the Railways, Coal companies and other related agencies.
v) At the end of the contract, CLA should furnish a ‘NO DUE
CERTIFICATE’ obtained from the Railways with regard to freight/penal freight under the contract.
vi) CLA shall also monitor the movement of coal rakes, so that there
is no undue hold up en-route or uncalled for diversion of rakes to other consumers.

vii) The R R’s shall be collected by CLA and shall make claims with the Railways for missing wagons. Payment of service charges
shall be made only for the quantity actually received at MPM.
viii) CLA shall abide by all instructions and directions issued to them
by the MPM or the authorized officers in respect of the execution
of the contract.
ix) CLA should all times have a well organized establishment with
experienced and qualified staff for proper administration and supervision of various activities as per the contract.
x) CLA shall adequately insure its staff and other enabling services at its cost for the entire period of contract against accident, fire
hazards as well as third party insurance covering
Machines/materials/equipment etc., engaged for the work. CLA
shall indemnify MPM for any losses arising out of the above operations on account of such reasons.
xi) CLA shall whenever required at their cost ensure proper printing and stationery materials according to the formats prescribed by
the MPM
xii) The MPM may direct CLA to regulate the quantity from any of the
Collieries to MPM at its discretion and the same shall be binding
on CLA.
xiii) CLA shall ensure as far as possible that the wagons/rakes, which are booked to MPM, will not be diverted by the Railway
Authorities. CLA shall convince the Railway Authorities on behalf
of the MPM not to divert any of the rakes allotted and booked for
MPM. Despite its efforts, if the Railway Authorities were to divert any of the rakes, CLA shall immediately inform Asst. Gen.
Manager [Materials], MPM, Bhadravathi of such diversion, which
may be either at the dispatching end or enroute to MPM because
of the operational difficulties. In case of such diversion of the
wagons/rakes by the Railway Authorities, despite its efforts, CLA should furnish the details of diversion of rakes/wagons to MPM
from the time to time.
xiv) CLA shall keep Asst. Gen. Manager [Materials], MPM,
Bhadravathi informed about the movement, dispatches and
receipt of rakes to MPM on day to day basis.
xv) CLA shall deploy at least one supervisor at each loading station round the clock and in exchange yard and thereby monitor the
movement of coal rakes and also keep the relevant records
pertaining the coal rakes such as empties and loaded boxes, idle
hours, detention of empty wagons etc. The supervisor shall
have adequate staff under him.

xvi) CLA shall be vigilant about the route restriction and allotment limitations imposed by the Railways, breached, paucity of
wagons etc., and keep the Asst. Gen. Manager [Materials], MPM,
Bhadravathi duly informed on day to day basis. Whenever
movements of coal rakes are affected due to Railway operational reasons such as accidents, etc., CLA shall obtain an endorsement
from Railways specifically indicated the reasons and the period of
such interruptions.
xvii) CLA shall ensure that coal of oversize, lumpy, muddy and
extraneous materials shall not be loaded and dispatched. CLA
shall further ensure that shale, stone and sand loading in coal wagons are avoided/minimized. In the event of coal containing
the stone, soil, shale, over burden, mud, excessive surface
moisture is to be loaded/is loaded, CLA shall immediately lodge a
complaint with the colliery authority on behalf of MPM in such cases and with a copy to Asst. Gen. Manager [Materials], MPM.
xviii) CLA shall ensure that proper wagon labeling indicating the full details such as name of colliery and type of coal in full form
along with its declared grade etc., whether sampled or not are
affixed on wagons and they are affixed in manner so as to
remain on wagons till wagon reached the destination, to enable clear identification of wagon for sampling.
xix) CLA shall witness the calibration of weighbridges located at the colliery siding and produce the certificates issued by Weights &
Measurement Department from time to time.
xx) The CLA shall ensure transit loss due to en-route pilferage is eliminated. If necessary, CLA shall also depute his personnel to
travel along with wagons to check pilferage enroute. It is the
actual weight that is recorded at MPM site shall form the basis for assessing the performance CLA.
xxi) Any slippage of Grade of coal specified above based on the booking by M/s. Singareni Collieries Company Limited, Hyderabad the difference in cost between the Grades will be
recovered from the running bills on individual Rake basis
xxii) The coal will be sampled and analyzed as per coal India standards at MPM and the quality analyzed will be binding on
both Liaison Agent and MM for all calculation purposes on quality
and service charges.

9.3 Coal Company and / or MPM shall have the right to adjust the short
supply/ excess supply of coal of any month during the remaining months of the quarter.
9.4 If there is any short fall in the movement of the committed quarterly quantity as stated above, due to non-performance of CLA and if the
above stated compensation becomes payable by MPM to coal
companies, the same shall be to the account of CLA.
11.11.11.11. PRICEPRICEPRICEPRICE::::
It is the responsibility of the Tenderer to acquaint with the various
levies and charges to be paid to different authorities for the
movement of coal from SCCL loading point’s right up to the delivery
at MPM and shall quote the rate per tonne as per price bid. The rate is FIRM and is inclusive of all taxes, levies, but excluding Service Tax
and Education Cess which is extra as applicable. The Tender has to
furnish a photocopy of the Service Tax Registration Certificate along
with their Tender. The rates quoted by the Tenderer shall be deemed to cover all the operations/works mentioned in this Tender
Document. However, any variation in service tax, education Cess will
be adjusted on furnishing documentary evidence [Relevant
Government notification]. ....

The tenure of the contract shall be for a period of One One One One yearyearyearyear. MPM
reserves the right to extend the contract for a further period, if
required, as per the same rates, terms and conditions.
13.0 QUANTITY TO BE HANDLED:QUANTITY TO BE HANDLED:QUANTITY TO BE HANDLED:QUANTITY TO BE HANDLED:
1) Quantity to be handled is approximately 1,35,960 MT of “C” Grade
Coal for One year from SCCL loading points to MPM, Bhadravathi by Rail.
2) However, MPM does not guarantee the quantities to be handled due to either change in the coal supply agreement, change in
source or due to any other operational reasons. No claim shall be
entertained for variation in quantity.
14.0 TERMINATION OF CONTRACT:TERMINATION OF CONTRACT:TERMINATION OF CONTRACT:TERMINATION OF CONTRACT:
MPM reserves the right to terminate the contract by giving one
month advance notice on the following grounds.
1. If the performance of the CLA is not satisfactory.
2. If the work being carried out not meeting the requirement of
MPM
3. Without assigning any reasons
4. For any condition due to Force Majeure.

15.0 PAYING AUTHORITYPAYING AUTHORITYPAYING AUTHORITYPAYING AUTHORITY
CLA shall submit RA bills in triplicate for the work done with all the
relevant documents to the Asst. Gen Manager [Materials]/MPM for
arranging payment with a copy to Superintendent [S&T], Bhadravathi. Superintendent [S&T] and Manager [Materials – P] or
Their Authorized representative is the Bill Certifying Authority and
Asst. Gen. Manager [Materials] is the Bill Countersigning Authority
for this Work Order. All payment related to this contract, shall be made by the Asst. Gen. Manager [Finance], MPM, Bhadravathi.
16.2 BILING AND PAYMENTBILING AND PAYMENTBILING AND PAYMENTBILING AND PAYMENT:
For the purpose of billing and payment, each rake of coal will be
treated as “One consignment” and processed for payment by taking
weight of coal as determined as per clause 9.07 a (i) and (ii) at
MPM. The Railway Receipt bills shall be submitted in two parts as
indicated below along with the relevant documents for arranging payment.
I] 100% bill towards reimbursement of railway freight along with
payment vouchers in respect of railway freight and copies of Railway Receipt’s shall be submitted once in 10 days. Payment
will be made on the 15th day from the date of submission of the
bills along with relevant documents.
II] 100% bills towards payment of service charges as per the rates
accepted along with the following documents shall be submitted
once in a month. Payment will be made within 30 days from
date of submission of bills along with the relevant.
16.0 SECURITY DEPOSIT SECURITY DEPOSIT SECURITY DEPOSIT SECURITY DEPOSIT
1. The Agent shall furnish a Demand Draft or Bank Guarantee for a
value of 5% of total order towards Security Deposit. The EMD paid along with the Tender shall be converted as part of the
Security Deposit. The Agent shall furnish the Bank Guarantee
from a scheduled Bank in India for the balance portion of the
Security Deposit. This Bank Guarantee shall be furnished within 15 days from the date of LOI/Order. The Bank Guarantee shall
be kept valid for a period of 6 months beyond the date fixed for
completion of the order. The Security Deposit shall not bear any
interest so long held by the company as security deposit. Also in case of violation of any terms and conditions or trade practice, or
for unsatisfactory Services the security deposit is liable for
forfeiture.

2. The Security Deposit/Additional Security Deposit will be refunded only on completion of the contract to the satisfaction of the MPM. If MPM incur any loss or damage on account of non-fulfillment of
obligations under this contract and consequently such
losses/damages incurred by MPM shall be deducted from the
Security Deposit and EMD [converted as Additional Security
Deposit] and such amount i.e., appropriated will not be refundable to CLA. If the security deposit short falls, then the
MPM reserves the right to recover the excess amount from any
other security deposit/bills of CLA with MPM
3. If the whole or a part of the Security Deposit is attached by the MPM for any default of CLA in the due fulfillment of the contract
during the contract period, the CLA shall immediately arrange to
replenish the amount of Security deposit so attached for the continued operation of the contract, failing which the contract is
liable for termination, responsibility for which will wholly rest
with CLA.
4. In the event of any upward revision in the value of the contract arising on account of increase in the quantity handled or
increase in the rates or in the event of the assessed cost of the
shortage of coal at any instance being more than the detention amount, the MPM reserves the right to call for additional deposit
amount and CLA shall, on receiving intimation from the MPM,
increase the Security Deposit suitably as may be directed by
MPM within 30 days.

1) CLA shall register under the Contract Labour Act or any other
Labour Acts as may be applicable from time to time. CLA shall
follow all the provisions of Labour laws and other laws including
the Payment of Wages Act. Minimum Wages Act, Workman Compensation Act, PF act and other Local Laws and rules framed
there under from time to time. Any amount payable to the
employees of CLA under any of the law by CLA, if demanded
from the Corporation being a Principal Employer, same shall be recovered from the RA Bills of CLA. CLA shall maintain all
registers and records as required under the various laws and
regulations made there under from time to time. CLA shall make
arrangements for the engagement of labours according to the
provisions of Indian Labour Laws and the local acts and for the payment thereof. CLA shall pay rates of wages and observe
conditions as defined in the Indian Labour Laws. On receipt of
the order, CLA shall furnish the certificate to MPM of its having
registered with the competent authority under the Contract Labour Acts and other Acts.

2) In the event of any injury or death due to accidents to CLA’s employee during the course of his employment in pursuance of
the present contract, CLA shall be responsible to pay the
compensation or any sum payable to such employee under the
provisions of Law or Regulations made there under including the provisions of Workmen’s Compensation ACT.
18.0 DAMAGES TO THE PROPERTY:DAMAGES TO THE PROPERTY:DAMAGES TO THE PROPERTY:DAMAGES TO THE PROPERTY:
CLA shall be liable to pay damages caused to the property of MPM
property of Railways or the property of coal companies or the
property of any other on account of negligence or defective working on the part of CLA and its employees. Such amount of damages shall
be recovered from the RA bills of CLA and CLA shall be liable to pay
such damages to the MPM.
19.0 DISCIPLINE:DISCIPLINE:DISCIPLINE:DISCIPLINE:
CLA shall ensure that they and its employees maintain proper
discipline and decorum at MPM, collieries end and with Railways while
dealing and executing the contract so that there should not be any
hindrance for the smooth running of the MPM’s Boilers as well as
collieries working. If any of the employees of CLA is found unsuitable by the Asst. Gen. Manager [Materials] at MPM or Colliery authority
then, on demand by the concerned authority, such employee shall be
removed and CLA shall depute another employee in his place
immediately. 20.0 DEDUCTIONS OF AMOUNT:DEDUCTIONS OF AMOUNT:DEDUCTIONS OF AMOUNT:DEDUCTIONS OF AMOUNT:
Any amount or amounts which become due and payable to the MPM
from CLA shall be deducted from any amount or amounts becoming due and payable to CLA under this or any other contract.

Income-tax and other applicable taxes if any shall be deducted at
source at the prescribed rates from the monthly RA Bills of CLA as per the statutory’s in force at the time of payment of the bills.
Necessary certificates of tax deducted at source shall be issued/
furnished by MPM to CLA.

The accredited representative of MPM shall have access to CLA operation at any time during working hours for the purpose of
inspection of the work. CLA shall provide necessary arrangement for
such inspection.

No part of the contract shall be sublet without written permission of
the MPM nor shall transfer be made by power of attorney authorizing others to receive payment on CLA’s behalf.

25.01 At any time during the continuance of this contract, if the performance in whole or in part of any obligation under this contract
shall be prevented or delayed by reasons of any war, hostility, acts of
public enemy, acts of civil commotion, strikes, lockouts, sabotages,
fires, floods, explosions, epidemics, quarantine restrictions or other acts of God (hereinafter referred to as eventualities) then, provided
notices of the happening of any such eventuality is given by the CLA
to the Corporation within 15 days from the date of occurrence
thereof, neither party shall, by reasons of such eventuality, be
entitled to terminate this contract, nor shall have any claim for damages against the other in respect of such non performance or
delay in performance, and deliveries under this contract shall be
resumed as soon as practicable after such eventuality has come to an
end or ceased to exist.
25.02 Provided that if the performance in whole or part by CLA or any
obligation under this contract is prevented or delayed by reasons of any eventuality for a period exceeding 60 days, MPM may at its
option terminate this contract by notice in writing.

the contract.

3. This Guarantee shall continue and hold good until it is released by you on the application by the Agent after expiry of the relative guarantee
period of the same contract and after the Agent has discharged all his
obligations under the said contract and submitted a “No Demand
Certificate” provided always this guarantee shall in no event remain in
force after the day of ..........................., without prejudice to your claim or claims arising and demanded from or otherwise notified to us is
writing on or before the said date which will be enforceable against us
notwithstanding that the same is or are enforced beyond the said date
on account of any extension of time being granted by you to the Agent in respect of completion of the work under the said contract or

Agent, and either to enforce or for bear to enforce any of the terms and conditions of the said contract and we shall not be released from our
liability under this guarantee or by reason of any time being given to the
Agent or any other forbearance, act or omission on your part or any
variation in the terms of the said order contract, or thing whatsoever which under the law relating to sureties would, but for the provisions
here of, have the effect of so releasing from our liability hereunder,
provided always nothing herein contained will enlarge our liability

8. This guarantee and the powers and provisions herein contained are in addition to and not by way of limitation or substitution for any other
guarantee or guarantees hereto or given to you by us (whether jointly
with others or alone) and now existing is cancelled and shall not revoke
or limit such guarantee or guarantees.
9. This Guarantee shall not be affected by any change in the constitution of the Agent or us, nor shall it be affected by any change in your
constitution or by way of amalgamation or absorption thereof or
therewith but will ensure for and be available to and enforceable by the
absorbing or amalgamated Company or concern. 10. This guarantee during its currency shall not be revocable by us except
with your previous consent in writing.
11. NOTWITHSTANDING anything contained herein the liability of the guarantor under this guarantee is restricted to
