PARTIES

This Master Contract ("Master Cootract" or "Contract") is entered into by and between the State of Washington, acting by and through Department of Information Services, an agency of Washington State government located at 11 10 Jefferson Street SE Olyinpia WA, 98504-2445 hereinafter referred to as "DIS", and Brewer Consulting Services, LLC, a Sole Proprietorship located at 241 7 Pacific Avcnuc SE, Olympia, W A 9850 1 licensed to conduct business in the state of Washington hereinafter referred to as "Contractor", for the purpose of providing lnformation 'lechnology Professional Services, as described and identified herein.

RECITALS

The State of Washington, acting by and through DIS issued Request for Qualifications and Quotation #T07-RFQQ-OI 5 (RFQQ) dated March 7,2007, (Exhibit A) for the purpose of purchasiiig Information Technology Professional Services it1 accordm~ce with its authority under chapter 43.105 RCW and chapter 39.29 RCW.

Contractor submitted a timely Response to DIS' RFQQ (Exhibit B).

DIS cvaluatcd at1 propcrly submiucd Rcspc~nscs to the above-referenced RFQQ and has identified Contractor as an apparently successfi~l vendor.

DIS has determined that entering into this Contract with Contractor will meet Purchasers needs and will be in Purchasers best interest.

N O W 'I'HEKEFOKE, UIS enters into this Contract with Contractor the terms and conditions of which shall govern Contractor's providing to Purchasers the lnformation Technology Professic>nal Services as described herein, on a convenience or as needed basis. This Master Contract is not for personal use.

IN CONSIDERATION of the mutual promises as hereinafter set forth, the parties agree as follows:

1. Definition of Terms

The following terms as used throughout this Contract shall have the meanings set forth below.

"Breach" shall mean the unauthorized acquisition of computerized data that colnproinises the security, confidentiality, or integrity of personal inf(~rmalion maintaincd by Purchawr.

( 4 B ~ ~ i n e ~ ~ Days" or "Rusiness Hours" shall mean Monday through Friday, 8 AM to 5 PM, local time in Olympia, Washington, excluding Washington State holidays.

"Confidential Information" shall ~nean infbrmation that may be exempt from disclosure to the public or other unauthorized persons under eilhor chaptur 42.56 RCW or olhcr statc or fcderal statutes. Confidential Information includes, but is not limited to, names, addresses, Social Security numbers, e-mail addresses, telephone numbers, financial profiles, credit card information, payroll/labor data, driver's license numbers, medical data, law enforcelllent records, agency source code or object code, agency security data, and illformation identifiable to an individual. Purchasers rnay identify additional Conlidential Information in a Work Ordcr.

"Contractor" shall mean Brewer Consulling Services, LLC-, i ts employees and agents. Contractor also includes any firm, provider, organization, individual, or other entity performing the business activities undcr this Contract. It shall also include any Subcontractor retained by Contractor as permitted ilnder the tenns ofthis Contract.

"Contractor Account Manager" shall mean a rcprcsentative of Contractor who is assigned as thc primary contact persoil with whom lhc DIS Master Contract Ad~~linistratvr shall work with for (tie duration of this Conlract and as further defined in the Section titlcd Contrartar Account Manager.

"Contractor Work Order Manager" slinll rriean a rcpre sentative of C,ontractor who is asvigncd to each Purchaser Work Order as the coordinator of activities and the pritnory point of contact, as further defitled in thc Scution titled Contractor Work Order Manager.

"Customer Service Agreement" shall mean the co~liplctcd service agreement behveen Purchaser and DIS, which is required in ordrr fr)r a Purchaser to do business with DIS.

"1)IS" shall 111earl the Washington State Department of Infonnntion Services.

"Effective Drte" shall mean the first date this Contract iu in full force and effect. It may be a specific date agreed to by the parties; or, if no1 so specified. the date of the last siptlaturc oTa party to this Coi~tract.

"Exhibit A" shall mean RFQQ Number T07-Rk QQ-015.

"Exhibit B" shall mean Contractor's Response to RFQQ Numhcr T07-RFQQ-015.

UISB" shall mean the Washington State Information Scrv ices Board.

rrlTPS" shall mean Information Technology Professional Services. wllicb includcs both Personal Services aid Purchabcd Services, as defined herein.

"ITPS Program" shall mean the DIS-established maslcr contracts that make IT professional services available on an euterprist basis to support statewide technology projects.

"I1'PS Program Manager" hail mean the person designated by DIS who is assigned as the primary coritact pcrson with whom Contractor's Account Manager shall work for the duration of this Contract and as further defined in the Section tit lcd ITPS Program Manager.

('Master Contract" or "Contract" shall rncan the RFQQ, the Kesponse, this Cuntracl document. all schedules a i d exhibits, all Work Orders, and all runendlnel~ts awarded pursuant to the RFQQ.

'&OFM" sliall mcan the Washington State Office of Financial Management.

"Persanul Services" shall mean professional or technical expertise provided by Contractor to accomplish a specitic study, project, lask or duties as set forth in this Corltrnct and any ITPS Program related Wvrb Rcquest and/or Work Order. Persona1 Services shall include but not be limitzd to lhose services specified in the State Adn~iriistrative and Accounting Manual (SAAM) in chapter 1 5 Pe~+solrnl Servic-cs located at: &;!/w\x w . o f .wa .EOV/DO~ICV/ l5.M IN.

"Price" shall mean the not to exceed hourly rate(s) hid by Contractor in thr categories awarded Lo Contractor as set forth in Scl~edule A Prrue Lr.vt, and shall be paid in United States dollars.

"Proprietary Information" shall mcan information owned by Contractor to which Contr~ctor claims a protuc~ablc interest under law. Proprietary Infor~natiou it~cludes, but is no1 liinited to, information protected by copyright, patent, trademark, or trade sccrct laws.

r&Purcbased Services" shall mean those services and acrivi tics provided by Contractor to accr?mplish routine, continuing, and ncccasary functions as set forth in the RFQQ and tuly ITPS Program related Work Rcqucst and/or Work Order. Purchased Services sliall i t~clude but nr~t be limited 10 those services specified as Purchased Sctvices in RCW 43.1 05.1)20.

'bPurchaser" shall mean ULS and those government or nonprofit entities that have entered into an Interlocal or Custo~mer Service Agreumcnt (CSA) with DIS. UIS maintains a searchable database of current customers at: http://techmallas/csrlsealch.astr

"Purchaser Work Order Administrator" shall mcan that person designated by Purchaser to administer any Work Ordcr cln behalf of Purchaser.

&Purchaser Work Request Administrator" shall mean tliat person designated by Purchaser to administer any Work Request on behalf of Purcllaser.

"RCW" shall mean the Revised Code of Washinglon.

"HFQQ" shall mean the Request for Qualifications and Quotation used as a solicitation documer~t to establish this Contract. inclr~ding all its amendments nlld ~nodifications, Exhihit A hcrc to.

"Response" shall meail Contractor's Responsc lo ITS' RFQQ for Information Technology Professional Sew iccs. Ex hibit R hereto.

"Schedule A: Price List" shall mean the attachment to this Contract lhal identifies the authorized Services and Not-Tu-Exceed Hourly Rate Prices availab te under this Contract,

LLSchedulc B : Work R~qurs t Templute" shall mean the attachment to this Cot~trrtct that prvv idca examplc furmat, terms and conditions for a Work Request.

"Services" shall mean the Personal andlor Purchssed Services in the categot-ies defined in tbe RFQQ, Exhibit A.

"Specifications" shall tnean the Technical Service Categolyljob descriplions and other specifications for Senices set forth io thu RFQQ, Exhibit A.

"Subcontractor" shall meari one not in the employment of Contractor, who is pertormi~~g all or part rrT thc business activities under this Contract or any Work Order under a separarc contract with Contractor. 'l'he term "Subconttnctor" means Subctmrractor(s) of any tier.

bbTechnical Service Category" shall mean the list of eighteen (1 8) Scrvicc categories that are set forth in the RFQQ, Exhibit A.

"Tcrm" shall mcan the period of time specitied within a document that it will be in fu l l force and effcct and includes. e.g., Master Contract Term, RcFresh Term, and Work Order Tertn, a3 further defined in Section 2.

'&Work Order" shall mearl the contractual document issued by a Purchaser and executed between Purchaser and the Contractor. Each Work Order shall hc the result of a second tier compc~i~ion. A Work Order generally contains projcc t objectives, scope and description of work, timeline and period of performance, compensation and payment, C o ~ ~ t r n c t o ~ responsibilities, Purchaser respunsihilities, Purchaser special terms and conditions, signature block, etc, and incnrporates this Contract by reference. A template Work Order is attached to this Conlrdct as Schedule C.

"Work Productf' shall mean data and products produced under a Purchaser's Work Order including but not lirnitzd to, discoveries, formulae, idcas, improvements, inventions, methodu, models, processes. techniques, findings, conclusions, recommendations, reports, dcsigns, plans, diagrams, drawings, software, Jatabases, documents, pan~phlets, advefliscments, books, magazines, surveys, studies, cotnputer programs, fiInis, tapes, andlor sound reproductions, to the cxtcnt provided by law.

"Work Request" sliaIl tnean a separite second tier solicitation document developed and issued by the Purchaser to ITPS Program Conttactor(s) to requcsl proposals relative to a Purchaser's requirement. The Work Request typically identifies the project ob-iectives, scope and description of work, timeliue and period uf performance. compensation md paymcnt. Contractor tesponsibili~ics, Purchaser responsibilities, Purchaser ~pcc ia l terms and conditions, instructions to Contractors, etc. A template Work Request is attached to this Contract as Sulledule B.

Master Contract Term

2. Term

2.1. Terrn of Masier Contract

a) This Contract's initial Term shall be from July I, 2007 or date of last signature af ixccl , whichever is later, through June 30.2009.

b) This Contract's Tenn may be extended by up to four (4) addi~ional one ( I ) year 'I'erms, provided that the extensions shall be at DIS' option and shall be effected by DIS giving written notice of its intent to cxtcnd this Contract to Contractor not less than thirty (30) calendar days prior to the then-current Contract Term's expiration and Cos~aactor accepting such extension prior to the rlien-current Contract Term's expiration. The tc~lal Term of this Coutract shall not be extended beyond June 30,20 13. No change in terms and conditions shall be permitted during these extetwions unless specifically agreed to in writing.

2.2. Term of Work Orders

a) 'I'he Term ot'nny Work Order executed pursuant to this Calltract shall he set forth in the Work OrJcr.

b) Work Orders or renewal Work Orders entered into prior to the expiration or other termination of this Master Contract )nay be completed under the Master Contract terms and conditions 111 effect when the Work Order or renewal Work Order was entered into.

c) Ncw Work Orders or renewal Work Orders shall not be entered into alter the expiration or other termination of the Mmter Cnntract.

d) Work Orders shall not be renewed for a Term beyond June 30, 20 I S .

3.1. All of the terms and conditions contained in this Master Contract shall survive the expiratio11 or other terminatioil of this Contract for so long as any Work Order entered into under this Mastcr Conlracl is still in cffcct and shall apply to such Work Order.

The terms, conditions and warranties contained in this Contract that by their sense ant! context are intended to survive the expiration, cancellation or termination of this Contract shall so survive. In addition, the terms ofthe Sections titled Ovcrpsyt~~ct~ts to Contractor; OwnershiplRights in Data; Access to Data; Contractor Corn mitments, Warranties nnd Representations; Protection of Purchaser's Confidential Information; Section Headings, Incorporated Documents and Orde r o f Precedcucc; Subcontractors; Publicity; Review of Contractor's Records; Patent and Copy right Indemnification; Insurance; Contractor's Proprietary Information; Disputes; Limitation oC Liability; DIS Master Contract Administration Fee and Collection; and Activity Reporting shall survive the termination of this Contract.

Pricing, Invoice and Payment

4. Pricing

4.1. Curltractor agrees ro provide the Services in the categories and at the Prices set forth ill the Pricr Lrst attached as Schedule A to this Master Contract. Such Prices may not he increased during the term of this Master Contract. Prices are considered maximum or "ceiliup" prices only. On a project by project basis, Contractor may elect to provide Services to Purchaser for performance of a Work Order at a lower Price than that originally established in this Master Contract.

4.2. Consideration

a) The lnax imum consideration available lo Vcndor undcr lhis Contract is 5 1,000,000.00 (US dollars) for the initial Term, unless amended.

b) Consideratio11 for each Second Tier Work Contract will be stated in tlie Purchaser's Second Tier Work Contract. Purchaser shall makc paymcnls on Sccond Ticr Work Contracts to the Vendor consistent with the terms set out in the Second Tier Work Contract. Fundiog may be federal, state andlor private grant based depending on the specific prugrarn requestirig staffing

4.3. If Cantractor reduces its Prices for any o f the Sei-viccs during the Term of this Contract, D1S and Purchasers shall have the immediate benefit of such lower Prices for new purchases. 4.5. Eamomic Pricc Adjustments

a) If DtS elects to extend this Contract for an additional one-year period(s) be} ond the initial Tenn, or subsequent retlewal period(s), the Contract pricing for thc addi~irlnal cJne year shall be automatically incrcascd nr decreased, as applicable, by DIS by not inore than the percentage increase/decrease of the U.S. Department of Labor "Consumer Price Index, US City Average, All Items, Not Seasonally Adjusted" (CPI-U, Series Id : CUUROOOOSAO).

b) The hmeline index shall be the index announced for April of the previous year. 'l'he allowable percent change shall be calculated by subtracting the baseline index from the index an~~ounced for ~ h c April in which thc rcnewal option i s exercised, and dividing the result by the baseline index. The aIIowable percent change shall be rounded to the nearest one-hundredth of one percent and shall be the i n a x i i ~ ~ u i ~ ~ price adjustment permitted. Co~ltractor rnay offer price decreases in cxccss clrlhc allowable CPI-U pzrcerit changc at any time. The following example illustrates the computation of percent change using April 2004 as the Baseline:

4.6. Conlractclr agree5 that all the Prices, terms, warranties, and benefits provided in this Contract are comparable to or bctter than the terms presently being offered by Corltractor to any other governmental entity purchasing ~ h c samc Scrvices under similar terms. This Amendment 09-01 to Master Contract T08-MST-623 is entered into by and between the Department of Information Services ("DIS"), an agency of the state of Washington, and Brewer Consulting Services, LLC ("Contractor").

Pursuant to Section 27, Authority for Modifications and Amendments, the parties agrees to amend Contract T08-MST-623 as follows.

The purpose of this Amendment is to update the Activity Reporting Section 59 to specify what to report on and where to send Activity Reporting. The parties hereby agree to amend the Contract as follows:

Now, therefore, the parties agree to amend the Contract as follows:

1. Subsection (59.1 t) of Section 59, Activity Reporting is replaced in its entirety with the following:

The sum of money invoiced (excluding sales tax) for all Work Orders for each Purchaser and for all Work Orders for all Purchasers; and

2. Subsection (59.2) of Section 59, Activity Reporting, is replaced in its entirety with the following:

Reports are required to be submitted electronically, in the Microsoft Excel format provided by DIS. Reports are to be sent electronically via E-mail to: [email protected].

All other terms and conditions of the original Master Contract, as amended, shall remain in full force and effect.

This Amendment 10-05 to Master Contract T08-MST-623 is entered into by and between the Department of Information Services ("DIS"), an agency of the state of Washington, and Brewer Consulting Services, LLC. ("Contractor").

Pursuant to Section 27 "Authority for Modifications and Amendments" the parties agrees to amend Contract T08-MST­623 as follows.

The purpose of this Amendment is increase the maximum consideration available to Vendor under this Contract to $5,000,000.00 (US dollars) for the initial term under Section 4.2.a "Consideration."

Now, therefore, the parties agree to amend the Contract as follows:

1. Section 4.2.a, Consideration shall be amended as follows:

Increase the maximum consideration available to Vendor under the Contract from Two Million dollars [$2, 000, 000. OO}, to Five Million dollars [$5, 000, OOO.OO}, for the purpose of work to be performed under this Master Contract.

Waiver of Section 4, Automatic Price Adjustment, in DIS ITPS Master Contract #T08-MST -623

Brewer Consulting Services, LLC shall and does hereby waive, effective upon the date of signature through June 30, 2012, the automatic economic price adjustment described in Section 4 of the Contract as follows:

Economic Price Adjustments

a) If DIS elects to extend this Contract for any Renewal Terms, the Contract pricing for each Renewal Term shall be automatical1y increased or decreased, as applicable, by DIS by not more than the percentage increase/decrease ofthe U.S. Department of Labor "Consumer Price Index, US City Average, All Items, Not Seasonally Adjusted" (CPI-U, Series Id: CUUROOOOSAO).
