CSR POLICY

निगमीय सामाजजक दानयत्ि (सीएसआर) िीनत

MP State Electronics Development Corporation Limited (MPSEDC) in its initiative to fulfill

its Corporate Social Responsibility as a public sector enterprise shall focus on areas as

notified under Section 135 read with Schedule VII of the Companies Act 2013 and the

Companies (Corporate Social Responsibility Policy) Rules 2014.

मध्यप्रदेश राज्य इलके्ट्रॉनिक्ट्स ववकास निगम लललमटेड (MPSEDC) एक सावविनिक क्षेत्र के उद्यम के रूप में

अपिी निगमीय दानयत्व को परूा करिे के ललए धारा 135, कंपिी अधधनियम 2013 की अिसुचूी सािवी ंऔर

कंपनियों (निगलमि सामाजिक दानयत्व िीनि) नियम 2014 के साथ पढ़ि ेके िहि अधधसधूचि क्षेत्रों पर ध्याि

कें द्रिि करेगा.

This policy, encompasses the company’s philosophy for giving back to society as a corporate

citizen and lays down the guidelines and mechanism for undertaking socially useful

programmes for the welfare & sustainable development of the community at large, is titled as

the ‘MPSEDC CSR Policy’.

इस िीनि में एक कारपोरेट िागररक के रूप में समाि में वापस देिे के ललए कंपिी के ित्वववचार (Philosophy)

शालमल हैं और द्रदशा निदेशों व कल्याण और बड ेपमैािे पर समदुाय के सिि ववकास के ललए उपक्रम सामाजिक

रूप से उपयोगी कायवक्रमों के ललए ितं्र सनुिजचचि करिा है िो कक “एमपीएसईडीसी सीएसआर िीनि” के शीर्वक

से है.

This policy shall apply to all CSR initiatives and activities to be undertaken by the Company as per

provisions of Companies Act, 2013 and rules made there under as applicable from time to time.








यह िीनि सभी सीएसआर पहल और गनिववधधयों के ललए लाग ूहोगी िो कंपिी अधधनियम, 2013 के प्रावधािों

और समय-समय पर लाग ूव उसके अधीि बिाए गए नियमों के अिसुार कंपिी द्वारा ककए िा सकेगें.

Purpose

उदे्दश्य

To lay down guidelines and ensuring the implementation of CSR initiatives in letter and spirit

through appropriate procedures and reporting.

द्रदशा-निदेशों ियैार करिा एव ं उधचि प्रकक्रया और ररपोद्रटिंग के माध्यम से अक्षरश: सीएसआर पहल के

कायावन्वयि सनुिजचचि करिा.

CSR Activities

सीएसआर गगनतविगियााँ

To undertake all or any of such CSR activity(ies), directly / indirectly, relating to following

projects/programs :-

सीएसआर गनिववधधयों के िहि सीधे/परोक्ष रुप से की िािे वाले गनिववधधयााँ से संबंधधि

पररयोििाएं/कायवक्रम निम्िललखिि है

(i) Eradicating hunger, poverty and malnutrition, promoting health care including

preventive health care and sanitation including contribution to the Swachh Bharat

Kosh set up by the Central Government for the promotion of sanitation and

making available safe drinking water;








(i) उन्मलूि भिू, गरीबी और कुपोर्ण निवारक स्वास््य देिभाल और स्वच्छ भारि कोर् के ललए

अशंदाि सद्रहि स्वच्छिा सद्रहि स्वास््य देिभाल को बढ़ावा देिे केन्ि सरकार द्वारा स्थावपि

साफ-सफाई और उपलब्ध सरुक्षक्षि पेयिल बिािे को बढ़ावा देिे के ललए;

(ii) Promoting education, including special education and employment enhancing

vocation skills especially among children, women, elderly, and the differently

abled and livelihood enhancement projects;

(ii) लशक्षा को बढ़ावा देिे, ववशरे् लशक्षा और रोिगार ववशेर् रूप से बच्चों, मद्रहलाओं, बुिुगों

के बीच पेशा कौशल बढ़ािे, और अलग ववकलांग और िीववका ववृि पररयोििाओं सद्रहि;

(iii) Promoting gender equality, empowering women, setting up homes and hostels

for women and orphans; setting up old age homes, day care centres and such

other facilities for senior citizens and measures for reducing inequalities faced by

socially and economically backward groups;

(iii) ललगं समाििा को बढ़ावा देिे मद्रहलाओं को सशक्ट्ि बिािे मद्रहलाओ ंऔर अिाथ बच्चों के ललए

घरों और छात्रावासों की स्थापिा; सामाजिक और आधथवक रूप से वपछड ेसमहूों द्वारा सामिा की असमाििाओं को कम करिे के ललए विृाश्रम, ड ेकेयर सेंटर और वररष्ठ िागररकों के ललए इस

िरह के अन्य सवुवधाएं और उपायों की स्थापिा;

(iv) Ensuring environmental sustainability, ecological balance, protection of flora and

fauna, animal welfare, agroforestry, conservation of natural resources and

maintaining quality of soil, air and water including contribution to the Clean

Ganga Fund set up by the Central Government for rejuvenation of river Ganga;








(iv) पयाववरणीय जस्थरिा, पयाववरण सिंलुि, विस्पनि और िीव, पश ु कल्याण, कृवर् वानिकी,

प्राकृनिक ससंाधिों के सरंक्षण की सरुक्षा सनुिजचचि करिे और लमट्टी, हवा और स्वच्छ गगंा कोर्

में अशंदाि सद्रहि पािी की गणुवत्िा को बिाए रिि ेके ललए केन्ि सरकार द्वारा गद्रठि गगंा

िदी का कायाकल्प;

(v) Protection of national heritage, art and culture including restoration of buildings

and sites of historical importance and works of art, setting up public libraries,

promotion and development of traditional arts and handicrafts;

(v) राष्रीय ववरासि, कला और इमारिों और ऐनिहालसक महत्व के स्थलों और कला के कायों की

बहाली सद्रहि ससं्कृनि के सरंक्षण, सावविनिक पसु्िकालयों, सवंधवि और पारंपररक कला और

हस्िलशल्प के ववकास की स्थापिा;

(v) Measures for the benefit of armed forces veterans, war widows and their

dependents;

(v) सशस्त्र बलों के बिुवगों, यिु ववधवाओं और उिके आधश्रिों के लाभ के ललए उपाय;

(vii) Training to promote rural sports, nationally recognized sports, paralympic sports

and Olympic sports;

(vii) ग्रामीण िेलकूद, राष्रीय स्िर पर मान्यिा के िेल, परैालजम्पक िेल और ओलवंपक िेलों को बढ़ावा देिे के ललए प्रलशक्षण;

(viii) Contribution to the Prime Ministers' National Relief Fund or any other fund set up

by the Central Government for socio-economic development and relief and








welfare of the Scheduled Castes, the Scheduled Tribes, other backward classes,

minorities and women;

(viii) प्रधािमतं्री 'राष्रीय राहि कोर् हेि ुककसी अन्य फंड कें ि सरकार द्वारा सामाजिक-आधथवक ववकास

और राहि और अिसुधूचि िानियों के कल्याण के ललए स्थावपि करिे के ललए योगदाि,

अिसुधूचि िििानि, अन्य वपछडा वगव, अल्पसखं्यकों और मद्रहलाओं के ललए;

(ix) Contributions or funds provided to technology incubators located within academic

institution which are approved by the Central Government;

(ix) केन्ि सरकार द्वारा अिमुोद्रदि प्रौद्योधगकी शकै्षखणक ससं्थाि के भीिर जस्थि िकिीकी

इन्क्ट्यबेूटरों के ललए अशंदाि की उपलब्धिा;

(x) Rural development projects;

(x) ग्रामीण ववकास पररयोििाएं;

(xi) Slum Area Development (slum area means an area declared as such by Central

Government, State Government or any other competent authority);

(xi) स्लम एररया डवेलपमेंट (स्लम क्षेत्र से अथव ऐसा क्षेत्र है िो कक कें ि सरकार, राज्य सरकार या

ककसी अन्य सक्षम प्राधधकारी द्वारा इस िरह के रूप में घोवर्ि है)

(xii) ‘Swachh Bharat Kosh’ for contribution to ‘Clean Ganga Fund’;

(xii) स्वच्छ भारि कोर् 'स्वच्छ गगंा कोर्' के योगदाि के ललए;








(xiii) Such other activities as may be permissible under the Companies Act, 2013 and

rules made there under.

(xiii) कंपिी अधधनियम, 2013 और उसके अधीि बिाए गए नियमों के िहि के रूप में इस िरह की

अन्य गनिववधधयााँ अिमुि हो सकिी हैं.

Words and expressions used in this CSR Policy and not defined herein but

defined in the Act shall have the meaning respectively assigned to them in the

Act.

सीएसआर िीनि में प्रयकु्ट्ि शब्दों और अलभव्यजक्ट्ियों, जिन्हें इि नियमों में पररभावर्ि िही ं

ककया गया ककंि ुअधधनियम में पररभावर्ि ककया गया है, के वही अथव होंग ेिो अधधनियम में द्रदए

गए हैं.

CSR activities shall be undertaken by the Corporation directly or indirectly by making

contribution to organization / trusts, who are eligible as per the provisions of the Companies

Act, 2013 & rules made thereunder, engaged in any of the above mentioned CSR

activity/activities (either new or ongoing) excluding activities undertaken in pursuance of the

normal course of business of the Company.

निगम द्वारा सीएसआर गनिववधधयााँ सीधे या परोक्ष रूप से सगंठि/रस्टों को योगदाि, िो कंपिी अधधनियम

2013 के प्रावधािों के अिसुार और उसके अधीि बिाए नियमों के अिसुार पात्र हैं, उपरोक्ट्ि वखणवि सीएसआर

गनिववधध/गनिववधधयों के अिशुरण में (ियी या चल रही) िो कंपिी के सामान्य कारोबार का द्रहस्सा हैं, को

छोडकर की िावेंगी.

Exclusion from CSR








सीएसआर से अपविवि (एक्ट्सक्ट्लशूि)

The following activity shall not form part of the CSR activities of the Company:-

निम्िललखिि गनिववधध कंपिी के सीएसआर गनिववधधयों का द्रहस्सा िहीं होंगे :-

1. The activities undertaken in pursuance of normal course of business of a company.

1. कंपिी के व्यापार के सामान्य क्रम के अिसुरण में की गयी गनिववधधयााँ.

2. CSR projects/programs or activities that benefit only the employees of the Company and

their families.

2. उि कापोरेट सामाजिक दानयत्व पररयोििाओं अथवा कायवक्रम अथवा कायवकलापों को कापोरेट सामाजिक

दानयत्व कायवकलाप िहीं मािा िाएगा िो कक कंपिी के कमवचारी अथवा उिके कुटुम्बों के फायदे के ललए

हो.

3. Any contribution directly/indirectly to political party or any funds directed towards

political parties or political causes.

3. राििीनिक दल को प्रत्यक्ष अथवा अप्रत्यक्ष रुप से ककसी रालश के अशंदाि पर सीएसआर कायवकलापों में

शालमल िहीं ककया िावेगा.

4. Any CSR projects/programs or activities undertaken outside India.

4. भारि से बाहर ककए गए ककसी भी सीएसआर पररयोििाओं / कायवक्रम या गनिववधधयााँ.








Annual spends/Allocation of Funds

वावर्वक िच/ेधि का आवटंि

The Company would spend not less than 2% of the average Net Profits of the Company made

during the three immediately preceding financial years. The surplus arising out of the CSR

activity will not be part of business profits of the Company.

कंपिी द्वारा कंपिी के औसि शिु मिुाफे का 2% िो कक वपछले क्रमविी िीि ववत्िीय वर्ों के दौराि ककए गए

से कम िही ंिचव होगा एव ंसीएसआर गनिववधध से उत्पन्ि होिे वाली अधधशरे् कंपिी के व्यापार के लाभ का

द्रहस्सा िहीं होगा।

Based on the amount to be spent towards CSR, the CSR Committee will select the CSR

activity/project as per the CSR policy and shall authorize the Managing Director to

spend/contribute the same for the selected CSR activity. The amount spent as aforesaid shall

be put up for ratification of the Committee at its next meeting and shall report to the Board

accordingly. The same will be done at least once in a financial year.

सीएसआर आधार पर िचव की िािे वाली रालश सीएसआर सलमनि सीएसआर िीनि के अिसुार सीएसआर

गनिववधध/पररयोििा का चयि करेंगी और िचव/योगदाि करिे के ललए चयनिि सीएसआर गनिववधधयों के

ललए प्रबधं निदेशक को प्राधधकृि करेगी. उपरोक्ट्ि व्यय रालश सचंालक मण्डल की अगली बठैक में सलमनि के

अिसुमथवि के ललए रिा िाएगा और िदिसुार बोडव को ररपोटव करेगा िो ववत्िीय वर्व में कम से कम एक बार

ककया िावेगा.

The Company may build CSR capacities of its personnel and/or those of its implementing

agencies through Institutions with established track records of at least three financial years








but such expenditure shall not exceed five percent of total CSR expenditure of the Company

in one financial year.

कंपिी सीएसआर क्षमिा का निमावण अपिे कलमवयों और /या उसके कायावन्वयि एिेंलसयों , ससं्थािों के माध्यम

से जििका कम से कम िीि ववत्िीय वर्ों के स्थावपि रैक ररकॉडव है, लेककि इस िरह के व्यय एक ववत्िीय वर्व

में कंपिी की कुल सीएसआर िचव का पांच प्रनिशि से अधधक िहीं होगी.

However if the Company ceases to be covered under sub-section (1) of Section 135 of the

Act for three financial years, then it shall not be required to, comply with the provisions laid

down under sub-section (2) to (5) of the said section, till such time it meets the criteria

specified in sub-section (1) of the Act.

लेककि यद्रद कंपिी उपधारा (1) के िहि िीि ववत्िीय वर्ों के ललए अधधनियम की धारा 135 में कवर िहीं होिी

िो उप-धारा (2) से (5) के िहि निधावररि प्रावधािों का पालि करिे की आवचयकिा िहीं होगी ऐसे समय िक

िब िक अधधनियम की उपधारा (1) में निद्रदवष्ट मािदंडों को परूा िहीं करिी.

CSR Committee

सीएसआर सलमनत

Guiding Principles for Constitution of CSR Committee:

सीएसआर सलमनि के गठि के ललए मागवदशवक लसिांि:

Board of Directors shall constitute the CSR Committee which will consist of at least three

directors.

सचंालक मडंल सीएसआर सलमनि का गठि करेगा िो कक कम से कम िीि सचंालकों से लमलकर बिेगी.








The Committee will meet at least twice in a year to discuss and review CSR activities and

Policy. A quorum of two members is required to be present for the proceedings to take place.

Such other meetings of the Committee can be convened as and when deemed appropriate.

The Committee members may attend the meeting physically or via such audio visual means

as permitted under the Act. The Committee shall have the authority to call such employee(s),

senior official(s) and or externals, as it deems fit.

सलमनि का कायव एक वर्व में कम से कम दो बार बठैक द्वारा चचाव और सीएसआर गनिववधधयों और िीनि की

समीक्षा करिे के ललए होगा. दो सदस्यों का कोरम बठैक कायववाही पणूव होिे के ललए उपजस्थि होिे के ललए

आवचयक है. सलमनि की इस िरह की अन्य बठैकें िब उधचि समझा िावे बलुाई िा सकिी हैं. सलमनि के

सदस्यों को वास्िववक रूप से या ऐसे आाँडडयो-वीडडयो के माध्यम के रूप में जिस ेअधधनियम के िहि अिमुनि

प्राप्ि है, के माध्यम से बठैक में भाग ले सकि ेहैं. सलमनि द्वारा यद्रद आवचयक हो िो कमवचारर(ओं), वररष्ठ

अधधकारी(ओं) इत्याद्रद को बलुािे का अधधकार है.

The Company Secretary shall act as Secretary to the Committee.

कंपिी सधचव सलमनि के सधचव के रूप में कायव करेगा.

Scope of Functions of CSR Committee:

सीएसआर सलमनि के कायव का दायरा:

The CSR activities enumerated above shall form part of scope of functions of the CSR

Committee.

उपयुवक्ट्ि वखणवि सीएसआर गनिववधधयााँ सीएसआर सलमनि के कायव के दायरे का एक द्रहस्सा होगी.ं

To publicize the CSR Policy, Policy documentation and upload(s) on website.








वेबसाइट पर सीएसआर िीनि का प्रचार, िीनि प्रलेिि और अपलोड करिा.

Such other activities as directed by the Board of Directors of the Company and/or as deemed

appropriate and expedient by the Committee for the furtherance of CSR objectives of the

Company, in pursuance with the Regulations.

नियमों के अिसुरण में इस िरह की अन्य गनिववधधयों के रूप में कंपिी के निदेशक मडंल द्वारा निदेलशि और/

नियमों के अिंगवि कंपिी के सीएसआर के उद्देचयों को आग ेबढ़ािे के ललए सलमनि द्वारा िैसा भी उधचि समझा

और समीचीि हो.

Transparent Monitoring Mechanism

पारदशी निगरािी ितं्र

The CSR Committee shall prepare a transparent monitoring mechanism for ensuring proper

utilization of funds/implementation of the projects / programmes /activities proposed to be

undertaken by the Company.

सीएसआर सलमनि कंपिी द्वारा शरुु की िािे वाली सीएसआर पररयोििाओं अथवा कायवक्रमों अथवा

कायवकलापों के ललए एक पारदशी निगरािी ितं्र सजंस्थि करेगी.

The CSR Committee shall have the authority to obtain professional advice from external

sources and have full access to information contained in the records of the Company as well

as the powers to call any employee or external consultant or such other person(s) and for such

purpose as may be deemed expedient for the purpose of accomplishments of overall CSR

objectives laid down under the Act.








अधधनियम के िहि सीएसआर सलमनि को बाहरी स्रोिों से पेशवेर सलाह प्राप्ि करिे का अधधकार एव ंकंपिी के

ररकॉडव में निद्रहि िािकारी प्राप्ि करिा या परूा उपयोग ककसी भी कमवचारी या बाहरी सलाहकार या इस िरह के

ऐसे अन्य व्यजक्ट्ि को बलुािे का अधधकार होगा िाकक समग्र सीएसआर में निधावररि उद्दचेयों की उपलजब्धयों के

प्रयोिि हेि ुसमीचीि समझा िाए.

Review and Reporting

The CSR Committee will review and provide progress update to the Board of Directors every

six months/at such other intervals as it may deem fit.

The Company will report the details of CSR initiatives and activities of the Company in the

Directors' Report and on the website of the Company, as required under the Regulations.

समीक्षा और ररपोहटिंग

सीएसआर सलमनि इसकी समीक्षी करेगी और निदेशकों को हर छह महीिे या ककसी अन्य उधचि अिंराल पर

िैसा वह उधचि समझे, इसकी प्रगनि अद्यिि प्रदाि करेगा.

कंपिी अपिी सीएसआर गनिववधधयों व उसका वववरण निदेशकों की ररपोटव में व कम्पिी की वेबसाईट पर देगा, िैसा भी नियमों के अिसुार आवचयक हों.

Monitoring

The CSR Committee and persons /entities authorised by it, will conduct due diligence checks

on the current CSR activities/projects at such intervals as it may deem fit and report

anomalies, if any, immediately.








निगरािी

सीएसआर सलमनि और उसके द्वारा अधधकृि व्यजक्ट्ि/ससं्थाएं, उधचि अिंराल में िााँच करेंग,े िैसा वह उधचि

समझें और ककसी भी प्रकार की ववसगंनियों को िरंुि सधूचि करेंग.े

Amendments to the Policy

The Board of Directors on its own and/or as per the recommendations of CSR Committee can

amend this Policy, as and when required as deemed fit, any or all provisions of the CSR

Policy would be subject to revision/amendment in accordance with the Act on the subject as

may be issued from relevant statutory authorities, from time to time.

निदेशक मडंल अपिी ओर से या/सीएसआर सलमनि की लसफाररशों के अिसुार इस िीनि में सशंोधि कर सकि े

हैं िब और िब ऐसा करिा आवचयक हो, सीएसआर िीनि के ककसी भी या सभी प्रावधािों का अधधनियम के

अिसुार सशंोधि/समय समय पर अधधनियम के अधीि प्रासधंगक सांववधधक प्राधधकरण द्वारा उक्ट्ि ववर्य पर

िारी कोई सशंोधि, ककया िा सकिा है.
