FREIGHT/MATERIAL HANDLING FEES
SPECIAL HANDLING: Any non-crated or non-palletized shipments, any shipment that requires ground, side door, flat bed, stacked, constricted space unloading, moving other shipments or objects in the truck/trailer to access the target shipment, or materials that arrive without certified weight tickets or documentation. (i.e. express carriers such as UPS, Fed Ex or DHL).PRICES INCLUDE receiving freight, delivery to booth, storage of empties and load out of shipment. Use the tables below to estimate your material handling charge. 20 lbs & over shipment weight will be rounded to the next highest 100 lbs. RETURN TO WAREHOUSE: Exhibitors using 3rd party carriers for outbound shipping will be charged a drayback fee of $50/cwt (300 lb minimum or $150) for the return of their shipment to the TRIUMPH warehouse for pickup. Exhibitors using TRIUMPH Transportation for outbound shipping will have the fee waived.OFF-TARGET: Freight received after the Advance/Direct Deadline date will be subject to an additional handling fee of $20.00/cwt.ST/ST: Freight will be handled on straight time into the show and out of the show.ST/OT: Freight will be handled one way on straight time and one way on overtime.OT/OT: Freight will be handled on overtime into the show and out of the show.OVERTIME: All day on weekends and holidays or before 8:00 AM and after 4:30 PM on weekdays.

ThetermsandconditionssetforthbelowarepartofthecontractualagreementbetweenTriumphExpo&EventsInc.andyoutheEXHIBITOR.Exhibitoragreestoandacceptsthetermsandconditionsofthiscontractwhenanyofthefollowingconditionsaremet: *THEMATERIALHANDLINGAGREEMENTISSIGNED;OR *THEEXHIBITOR’SMATERIALSAREDELIVEREDBYACARRIERTOTE&E’SWAREHOUSEORTOASHOW/EXPOSITIONSITEFORWHICHTE&EISTHEOFFICIALSHOWCONTRACTOR,ORASUBCONTRACTORFORTHEOFFICIALSHOWCONTRACTOR;OR *ANORDERFORLABORAND/ORRENTALEQUIPMENTISPLACEDBYEXHIBITORWITHTRIUMPHEXPO&EVENTSINC.
1. DEFINITIONS.Forpurposesofthiscontract,“TE&E”meansTriumphExpo&EventsInc. andtheiremployees,agents,directorsandassigns,affiliatedcompanies,relatedentities includingbutnotlimitedtoanysubcontractorsTE&Emayappoint.Theterm“EXHIBITOR” meanstheExhibitor,itsemployees,agents,representatives,andanyExhibitorAppointed Contractor(“EAC”)Further,itisherebyunderstoodandagreedthatthe“EXHIBITOR”isinfactthe‘Shipper”forallpurposesandcircumstances,notwithstandinganythingcontainedin this contract to the contrary.
2.PACKAGING AND CRATES. TE&Eshallnotberesponsible fordamageto looseuncratedmaterials,padwrappedorshrink-wrappedmaterials,glassbreakage,concealeddamage,carpetsinbagsorpoly,ormaterialsimproperlypacked.InadditionTE&Eshallnotberesponsibleforcratesandpackagingwhichareunsuitableforhandling,inpoorcondition,orhavingpriordamage.Cratesandpackagingshouldbeofadesigntoadequatelyprotectcontentsforhandlingbyforkliftandsimilarmeans.
3. EMPTY CONTAINERS. Emptycontainerlabelswillbeavailableattheshowsiteservicedesk.AffixinglabelstothecontainersisthesoleresponsibilityofEXHIBITORorhisrepresentative.Allpreviouslabelsmustberemovedorobliterated.TE&Eassumesnoresponsibility for:·Errorintheaboveprocedures·Removalofcontainerswitholdemptylabels&withoutTE&Elabels· Improper information on empty labelsTE&EWILLNOTBELIABLEFORLOSSORDAMAGETOCRATESANDCONTAINERSORTHEIRCONTENTSWHILESAIDITEMSAREINEMPTYCONTAINERSTORAGE.
4.INBOUND SHIPMENTS.Consistentwithtradeshowindustrypractices,theremaybealapseoftimebetweenthedeliveryofshipment(s)totheboothandthearrivalofEXHIBITORorhisrepresentative,andduringsuchtimethematerialswillbeleftunattended.TE&EWILLNOTBERESPONSIBLEORLIABLEFORANYLOSS,DAMAGE,THEFT,ORDISAPPEARANCEOFEXHIBITOR’SMATERIALSAFTERSAMEHAVEBEENDELIVEREDTOEXHIBITOR’SBOOTHATTHESHOWSITE.TE&ErecommendsthesecuringofsecurityservicesfromFacilityorShowManagement.
5. OUTBOUND SHIPMENTS.Consistentwithtradeshowindustrypracticestheremaybealapseoftimebetweenthecompletionofpackingandtheactualpickupofmaterialsfromtheboothsforloadingontoacarrierandduringsuchtimethematerialswillbeleftunattended.TE&EWILLNOTBERESPONSIBLEORLIABLEFORANYLOSS,DAMAGE,THEFTORDISAPPEARANCEOFEXHIBITOR’SMATERIALSBEFORESAMEHAVEBEENPICKEDUPFORRELOADINGATTHECONCLUSIONOFTHEEVENT.TE&EhighlyrecommendsthesecuringofsecurityservicesfromFacilityorShowManagement.AllMaterialHandling Agreementssubmitted toTE&EbyEXHIBITORwillbecheckedatthetimeofpickupfromtheboothandcorrectionswillbemadewherediscrepanciesexistbetweenthequantitiesofitemsonanyagreementformsubmittedtoTE&Eandtheactualcountofsuchitemsintheboothatthetimeofpickup.
6. DELIVERY TO THE CARRIER FOR RELOADING. TE&EWILLNOTBERESPONSIBLEORLIABLEFORANYLOSS,DAMAGE,THEFT,ORDISAPPEARANCEOFEXHIBITOR’SMATERIALSAFTERSAMEHAVEBEENDELIVEREDTOEXHIBITOR’SAPPOINTEDCARRIER,SHIPPER,ORAGENTFORTRANSPORTATIONAFTERTHEEVENT, INCLUDINGATE&EDESIGNATEDCARRIERINACCORDANCEWITHSECTION7BELOW.TE&Eloadsthemateri-alsontothecarrierunderdirectionsfromthecarrierordriverofthatsamecarrier.Anyreloadinginto the carrier will be understood to be under the exclusive supervision and control of the carrier ordriverofthatcarrier.TE&EASSUMESNORESPONSIBILITYFORLOSS,DAMAGE,THEFTORDISAPPEARANCEOFEXHIBITOR’SMATERIALSTHATARISEOUTOFIMPROPERLYLOADEDMATERIALS.
7.DESIGNATED CARRIERS.Inordertoexpediteremovalofmaterialsfromtheshowsite,TE&EshallhavetheauthoritytochangedesignatedcareersifthecarrierdesignatedbytheEXHIBITORdoesnotpickuptheshipment(s)intime.WherenodispositionismadebyEXHIBITOR,materialsmaybetakentoawarehousetoawaitEXHIBITORSshippinginstructionsandEXHIBITORagreestoberesponsibleforchargesrelatingtosuchreroutingandhandling.INNOEVENTSHALLTE&EBERESPONSIBLEORLIABLEFORANYLOSSRESULTINGFROMSUCHREROUTINGDESIGNATION.EXHIBITORherebyunderstandsandagreesthatthecarrier’stermsandconditionsapplytotheirshipmentoncethematerialshavebeenacceptedbysaidcarrier.ItistheresponsibilityoftheEXHIBITORtofamiliarizehimselfwiththesetermsandconditionsTE&EWILLNOTBERESPONSIBLEORLIABLEFORFAILURETOPROVIDETHESECARRIERTERMSANDCONDITIONSTOTHEEXHIBITOR.
8.TE&E’S RESPONSIBILITIES.TE&Eshallberesponsibleonlyforthoseserviceswhichitdirectlyprovides.TE&Eassumesnoresponsibilityforanypersons,parties,orothercontractingfirmsnotunderTE&E’Sdirectsupervisionandcontrol.TE&Eshallnotberesponsibleforloss,delayordamageduetostrikelockouts,workstoppages,naturalelements,vandalism,actsofGod,civildisturbances,powerfailure,explosion,actsofterrorismorwar,othercausesbeyondTE&E’Sreasonablecontrolnorforordinarywear&tearinthehandlingofmaterials.
9.INSURANCE.ItisunderstoodthatTE&Eisnotaninsurer.AnyinsuranceshallbeobtainedbyEXHIBITORinamountsandforperilsdeterminedbyEXHIBITOR. EXHIBITORagreestoprovideTE&Ewithareleaseandwaiverofsubrogationtotheextentofanyinsurancesettlementreceived.
10. CLAIM(S) FOR LOSS. EXHIBITORagreesthatanyandallclaimsforlossordamagemustbe submittedtoTE&Eimmediatelyattheshowsiteandinanycasenotlaterthanthirty(30)businessdaysaftertheconclusionoftheshoworexposition(forpurposesofclaimreporting,the‘conclusion’oftheshowshallbeconstruedasthetimewhenEXHIBITOR’SmaterialsaredeliveredtothecarrierfortransportationfromtheshowsiteorfromTE&E’Swarehouse).Allclaimsreportedafterthirty(30)businessdayswillberejected.InnoeventshallasuitoractionbebroughtagainstTE&Emorethanoneyearafterthedateoflossordamageoccurred.
a. PAYMENT FOR SERVICES MAY NOT BE WITHHELD. In the event of any dispute between theEXHIBITORandTE&Erelativetoanyloss,damage,orclaim,suchEXHIBITORshallnotbeentitledtoandshallnotwithholdpayment,oranypartialpayment,duetoTE&Eforitsservices,asanoffsetagainsttheamountofanyallegedlossordamage.AnyclaimsagainstTE&Eshallbeconsideredaseparate transaction, and shall be resolved on its own merits.
b. MAXIMUM RECOVERY.THEDECLAREDVALUEDOESNOTAPPLYTOTHESERVICESPROVIDEDBYTE&Eiffoundliableforanyloss.TE&E’SsoleandexclusiveMAXIMUMliabilityforlossordamagetoEXHIBITOR’SmaterialsandEXHIBITOR’Ssoleandexclusiveremedyislimitedtorepairorreplacementwithlikekindandquality,subjecttoadollaramountlimitedequaltotheamountpaidbyEXHIBITORtoTE&Eformaterialhandlingservicesduringtheshoworexpositionunderthiscontract.
c. BREACH OF CONTRACT AND/OR NEGLIGENCE. TE&E’SliabilityshallbelimitedtoanylossordamagewhichresultssolelyfromTE&E’SNEGLIGENCEintheactualphysicalhandlingoftheitemscomprisingEXHIBITOR’Sshipment(s)ORwhichresultsfromBREACHOFTHISCONTRACTandnotforanyothertypeoflossordamage.InnoeventshallTE&EbeliabletotheEXHIBITORortoanyotherpartyforspecial,collateral,exemplary,indirect,incidental,orconsequentialdamages,whethersuchdamagesoccureitherpriorto,subsequentto,orareallegedasaresultoftortuousconduct,failureoftheequipmentorservicesofTE&Eorbreachofanyoftheprovisionsofthisagreementregardlessoftheformofaction,whetherincontractorintort,includingstrictliabilityandnegligence,evenifTE&EhasbeenadvisedorhasnoticeofthepossibilityofsuchdamagesorforanydamagescausedbyEXHIBITOR’SfailuretoperformEXHIBITOR’sresponsibilities.Suchexcludeddamagesincludebutarenotlimitedto:lossofprofits,lossofuseorinterruptionofbusiness,orotherconsequentialorindirecteconomicloss(es).
11. JURISDICTION.THISCONTRACTSHALLBECONSTRUEDUNDERTHELAWSOFTHESTATEOFWASHINGTONWITHOUTGIVINGEFFECTTOITSCONFLICTOFLAWSANDRULES.EX-CLUSIVEVENUEFORALLDISPUTESARISINGOUTOFORRELATINGTOTHISCONTRACTSHALLRESIDEINACOURTOFCOMPETENTJURISDICTIONINKINGCOUNTY,WASHINGTON.
12. INDEMNIFICATION.EXHIBITORagreestoindemnify,foreverholdharmlessanddefendTE&Eandtheiremployees,directors,officersandagentsfromandagainstanyandalldemands,claims,causes of action, fines, penalties, damages (including consequential), liabilities, judgements andexpenses(includingbutnotlimitedtoreasonableattorneys’feesandinvestigationcosts)onaccountofpersonalinjuryordeath,damagetoorlossofpropertyorprofitsarisingoutoforcontributedto,byanyofthefollowing:-EXHIBITOR’SnegligentsupervisionofanylaborsecuredthroughTE&EorthenegligentsupervisionofsuchlaborbyanyofEXHIBITORSemployees,agents,representatives,customers,inviteesand/oranyExhibitorAppointedContractor(EAC):-EXHIBITOR’Snegligence,willfulmisconduct,ordeliberateact,orthenegligence,willfulmisconduct,ordeliberateactofEXHIBITOR’Semployees,agents,representatives,customers, invitees,and/oranyExhibitorAppointedContractor(EAC)at theshoworexpositiontowhichthiscontractrelates,includingbutnotlimitedtothemisuse,improperuse,unauthorizedalteration,ornegligenthandlingofTE&E’Sequipment:-EXHIBITOR’SviolationofFederalState,CountyorLocalordinances:-EXHIBITOR’SviolationofShowRegulationsand/orRulesaspublishedandsetforthbyFacilityand/orShowManagement
13. MISCELLANEOUS.EXHIBITOR,asamaterialpartoftheconsiderationtoTE&Eformaterialhandlingservices,waivesandreleasesallclaimsagainstTE&E,itsemployees,agents,directorsandofficerswithrespecttoallmattersforwhichTE&Ehasdisclaimedliabilitypursuanttotheprovisionsofthiscontract.TheEXHIBITORacknowledgesthatheorshehasreadthisagreement,understandsitandagreestobeboundbyitsterms,andfurtheragreesthatitisthecompleteandexclusiveagree-ment between the parties. The invalidity or unenforceability of any provision hereof shall not affect, modify, or impair the validity and enforceability of all other provisions herein.

Any files that do not conform to the specifications described below will incur additional fees beyond the cur-rent pricing shown in our exhibitor kits. Any in-house work that is needed to ready provided files to a print ready state will be billed out at $70.00 per hour with a half-hour minimum.
Anyfilesthatmustbeopenedintheirnativeapplicationandexportedtotherequiredfiletypesdescribedbelowdonotconformtothisspecification.
FILE TYPESDigitalfiles(logos,photos,finishedlayouts,etc.)shouldbesavedorexportedfromyourdesignapplicationtoPDF,EPS,orTIFFwithaminimumresolutionof300dpiat50%OFTHEFINALDESIREDPRODUCTIONSIZE.Thehighertheresolutionprovided,thebettertheresults.JPEG’sarelessdesirable,butcanbeacceptediftheresolutionis300dpiorabove.Placedimagesaretobeembeddedratherthanlinked.Iffilesarelinked,besuretosendalongthelinkedfiles.Do not submit GIF files, Word (.doc) files, PowerPoint (ppt.) files, or any file formatted for or taken from a website. 2. CONDITIONSFORPROCESSINGSERVICEORDERREQUESTS:
A. Payment in full for service must accompany service request.B.Cancellations:Refundswillbecomputedonthefollowingschedule: 1)Afterinstallation:NOREFUND 2)Beforeinstallationandmorethan7daysprior tofirstmove-inday:FULLREFUNDC.Incompleteserviceorderrequestswilldelayprocessingandservice installation.D.DatepaymentisreceivedbyTE&Eshalldeterminetheapplicablerate.E.Paymentmustbemadebymoneyorder,creditcard,orcheck.F.Boothnumbersmustbeidentifiedonfaceofform.G.Allservicesnotpaidinadvancearedueandpayableatthe timeofrderontheshowfloor,andmustbepaidpriorto installation of service. Paymentforanyoutstandingbalanceisduepriortoshow close. Interest at a lesser of one and one-half percent (1-1/2%)permonthorthemaximumallowableratewillbe chargedonpastdueaccounts.Purchaseragreestopayall costsofcollection,includingreasonableattorney’sfee.
H.Standardelectricalserviceavailableshallbe(1)120voltand 208volt,a.c.,singlephase,60cycle,or(2)208volt,a.c., threephase,60cycle.Specialvoltagemaybeavailableand shallbeprovidedonlyonrequestreceivedbyTriumphExpo &EventsInc.30dayspriortodecorator’sfirstscheduled move-in day.I. Electricalworkotherthanthatlistedinthepriceschedulewill bechargedinincrementsofone-halfhour,withaminimium chargeofonehour.J. Ifatechnicaldatasheetonequipmentindicatingconnections and/ordescriptionofequipmenttobeconnectedisavailable, please attach a sheet or description to this form.
1. Material and equipment furnished pursuant to this service order requestshallbeandwillremainthepropertyofTE&Eandshallbe removedonlybyTE&Epersonnelattheendoftheshow.2. In the event of non-performance of the eqiuipment or service deliveredorinstalledasspecifiedintheserviceorderrequest, theexhibitor/lessee’smaximumrecourseshallbearefundof the pro-rated payment, based on the number of days of non-performance.3.Creditwillnotbegivenforserviceinstalledasrequestedinthe service order request and not used.4.Exhibitors/lesseesarenotpermittedtosharepower.5.Allelectricoutletswillbeinstalledonthefloorattherearof theboothunlessotherwisedesignated.6.Allwiring,motors,electricalinstallationsandconnectionsmustbe approvedbyTE&Epriortousetopreventoverloadingofcircuits. Exhibitor/lesseeshallnotbepermittedtoaddwattageexceptupon orderingsame.7.Unauthorizedelectricalconnectionsbyexhibitor/lesseearesubject toasurchargeofoneandone-halftimesthestandardelectrical ratesinadditiontoanyactualdamagesincurredbyTE&Easa resultofunauthorizedconnections.8.Wall,columnandpermanentbuildingutilityoutletsarenotapart oftheboothspaceandarenottobeusedbyexhibitor/lessee. If services are found to be used that have not been purchased, theywillbedisconnectedorchargedatoneandone-halftimes the standard rate.9. After installation is complete, actual quantities installed will be verified.Invoiceswillreflectverifiedquantities.10.TE&Eisnotresponsibleforvoltagefluctuationsorpowerfailure because of temporary conditions.11.TE&Einstallersareauthorizedtocutfloorcoveringstopermit installation,ifnecessary,tofulfillservicerequest.Innoevent shallTE&Ebeliableforanydamagedonetofloorcoveringsin ordertofulfillservicerequest.12.Useofopenclipsockets,latexorlampcordwire,duplexortriplex attachmentplugsisprohibited.Allofexhibitor/lessee’scordsmust beofthethreewiregroundedtype.Allexposednoncurrent carryingmetalpartsoffixedequipment,whichareliabletobe energizedshallbegrounded.Allequipmentmustbeproperly taggedandwiredwithcompleteinformationastotypeof current,voltage,phase,cycle,horsepower,etc.,andregardless of source of power, must comply with state and local safety codes. Exhibitor/lesseeshallhavesoleresponsibilityforstrict compliancewiththerequirementsinthisparagraph.
13.Undernocircumstancesshallanyoneotherthanpersonsorentities designatedbyTE&Emakeserviceconnection:however,provided thatassembly,servicing,preparatoryworkandoperationare requiredtobeperformedonlybyengineersortechnicians designatedbythemanufacturerorsupplierofspecialized equipment,workmaybeperformedbypersonsorentities designatedbyexhibitor/lesseeandapprovedbyTE&E. Wheneverpossible,designationofsuchpersonsorentities shouldbenotedbyexhibitor/lesseeontheserviceorderrequest.14.TriumphExpo&EventsInc.shallnotbedeemedindefaultif performanceofanyofthetermsandconditionsofthisagreement ismadeimpossibleorimpracticibleduetoanystrike,lockout,civil disturbance,warorwar-likeaction,invasion,sabotage,actofGod or other cause beyond the control of Triumph.15.TE&Eshallnotberesponsibleforanyloss,damageorinjury causedbyfireandexhibitor/lesseeisexpectedtoprovideitsown insuranceagainstsuchloss,damage,orinjury.16.Ifeitherpartyshallbringsuittoenforcethisagreementanda judgementisentered,thesubstantiallyprevailingpartyshallbe entitled to a reasonable sum such as, attorneys’ fees, and all costs and expenses in connection with such suit, which sum shallbeincludedinanysuchjudgementordecree.17.Thisistheentireagreementbetweenthepartieswithrespectto the transactions described in it. There have been and are no covenants,agreements,representations,warrantiesorrestrictions betweenthepartiesotherthanthosesetforthinthisagreement.18.TE&Eshallhavetheright,withoutnotice,toterminatethiscontract in the event of any breach of any of its terms and conditions.19.Exhibitor/lesseeagreestopayforanydamagetoorlossofgoods, asaninsurer,regardlessofcause.Suchpaymentfordamageor lossofgoodsshallbeinadditiontorental/leasechargesforsame items.Customeralsoacceptsresponsiblityandwillpayforany equipmentnotavailableforpick-upandreturntoTE&Eatthe conclusion of the event.
