NOTES TO MEMBERS

LOCAL HISTORY AND GENEALOGICAL SOC I ETY

1. The membership roll consists of members having paid their dues as of March 1, 1965. The number at the left of each name, such as A-1, C-5 , F-8, was assigned in order to corrolate the f amily names being searched with the members doing the s earching . (See Note 3).

2. The proposed By-Laws will be voted on at the next regular meeting at 7:30 P.M. the evening of April 22, 1965 at the Dallas Public Library . This constitutes official notification to the membership that the By­Laws is to be adopted.

The program for April 22 will be given by Mrs. Abby Duggan Moran, the title be i ng "Research in the Disputed Area Covering Maryland, Delaware a nd the Adjoining Re gions".

3. A recent conununicat i on t o you from Mr. Pritchett, Vi ce President in Charge of Conununications, concerning family names on which you are doing r es ea r ch asked that ea ch member submit a list of such names to be included in a guide which would permit this member to know of other members who may be working on the same name or names , in order that they may be able to compare notes , sources, etc. About one half of the members responded to this request.

The results obtained have been compiled and alphabetized, and this information, in booklet f orm, is now ava i lable for review at the Texas History , Local History & Genealogy Department of the Dallas Public Libra ry. The booklet indi­cates by membership numbers assigned to ea ch member thos e who are researching various family names. Thes e number s (A-1, A-2, A-3, etc .) are shown on the membershi p ros t er.

Out-of-town members may write to Mr. Pritchett and i nqui r e if other members are researching spec ific family names . All such inquiries will r eceive a pr ompt r eply.

A...~TICLE I - NAME

The name of the Society shall be the "LOCAL HISTORY & GENEALOGICAL SOCIETY".

The seal of the Society shall be in the fonn of a circle and shall bear the name of the Society. It shall be used on documents and other instruments signed by the President and attested by the Recording Secretary, and shall remain in the possession of the Recording Secretary.

The Office of the Society shall be at the office or residence of the President, with subordinate offices at the offices or residences of the other officers.

ARTICLE Il - PURPOSE

The purpose and functions of the Society as stated in its Charter are educational, to-wit:

To create, foster and maintain interest among citizens of Dallas County in the Texas History, Local History & Genealogy Department of the Dallas Public Library.

To collect and preserve information relating to those pioneers who settled Dallas County and to the early history of this City and County.

To preserve church, cemetery and land records, testamentary docu­ments, diaries and manuscripts, and other source materials wherein are chronicled the achievements of those who laid in the wilderness the foundations of this great community.

To copy and index all such records, and to catalogue them so as to make this information most readily available to present and future generations.

To collect and make available through the Dallas Public Library the published records of other States, whence came the Texas pioneers.

To exchange ideas and collaborate in devising efficient methods for genealogical and historical research.

ARTICLE III - MEMBERSHIP

Membership is open to any person interested in subscribing to the purpose of the Society, who submits a written application for membership to the Vice President in Charge of Membership, accompanied by payment of annual dues.

Membership shall be effective on a calendar year basis following acceptance of the membership application by the Vice President in Charge of Membership and/or acceptance of annual dues by the Treasurer.

Section 3. Annual dues of ane person or two persons within the same household who share one mailing of communications and publica tions of the Society shall be $6.oo per annum payable before the lst day of March. Dues received prior to September 1 shall be retroactive to January 1 with regard t o publications. Dues received on or after September 1 shall be credited as the next year's dues. Should publications not be available to make the receipt of pub­lications retroactive, then the dues shall be pro-rated on a quarterly basis at $1.50 per quarter, and a refund made for pub­lications not available.

Section 4. With a contribution of $9.00, along with the payment of $6.oo annual dues, a member shall be recognized as a Sustaining Member forthat year . With a contribution of $19.00, along with the pay­ment of $6.oo annual dues, a member shall be recognized as a Patron Member for that year.

Section 5. With a contribution of $100.00, along with the payment of $6.00 annual dues, a member shall become a Life Member of the Society, and shall thereafter be exempt from the payment of annual dues. During the life of the Life Member, the $100.00 shall be placed on deposit in a Special Savings Account of the Society with the interest available in lieu of dues, for use by the Society. Upon the death of the Life Member, the $100.00 shall accrue to the Society, to be used for such purpose as the Society shall direct. Should the Society be disbanded, the $100.00 shall accrue to the general assets of the Society, to be disposed of as the Baard of Directors direct.

Section 6. An Honorary Membership of one year duration for some special service to the Society may be conferred by majority recommendation of the Board and majority vote of the membership in attendance at a meeting.

An Honorary Life Membership for outstanding service to the Society may be conferred by unanimous recommendation of the Board and majority vote of the membership in attendance at a meeting. An Honorary Life Member shall be exempt from the payment of annual dues.

ARTICLE IV - OFFICERS & DIRECTORS

The officers of the Society shall be:

The Board of Directors (hereinafter called the Baard) shall con­sist of fifteen members, e ight of whom shall be officers and seven of whom shall be directors. The Baard shall direct all business of the Society, authorize all expenditures, ac t in emergencies, and perform corporate functions as outlined in the Society's Charter.

Section 3. Officers and Directors shall be members in good standing, ora vacancy shall be declared and filled by the Board.

Section 4. The nominating committee shall nominate a candidate for each Office of the Society and seven Directors to be elected at the annual meeting. Additional nominations may be made from the floor, provided the consent of the nominee is obtained. Officers and Directors shall take office on the lst of January and serve for a calendar year.

Section 5. In addition to the Officers and Directors, the nominating com­mittee shall nominate, and the membership elect, five replacement board members in a designated order to assume membership on the Board upon the death or resignation of a Board Member. Vacancies in offices shall be filled by Baard Members.

Section 6. No member shall serve on the Baard for more than three consecutive years. After two years absence, a member shall again become eli­gible for Board membership. This provision shall not be retro­active, but shall be effective in the year following adoption of these By-Laws. This provision shall not apply to the head of the Texas History, Local History & Genealogy Department of the Dallas Public Library.

ARTICLE V - DUTIES OF THE OFFICERS

Besides duties specified elsewhere in these By-Laws and the Society Charter, Officers shall have the following specific duties:

b. Send a list of those deficient to the Vice President in Charge of Communications befare February 1.

c. In coordination with the Treasurer, compile an official membership roll as of March lst of each year.

d. Publish a Yearbook containing this roll and the By-Laws as of March 1 and send to members as of March 1.

e. Compile addenda to the official membersbip roll as of June lst, September lst, and December lst for publication in the Quarterly or Yearbook Supplement.

f. Send a copy of the membership roll and addenda to the Presi­dent, Executive Vice President, and the Vice Presidents in charge of Publications and Communications.

g. Accept new membership applications. h. Post current membership data, offices held, and other perti­

nent information on the membership roll. i. Forward monies for dues to the Treasurer.

The Vice President in Charge of Publications shall

a. Be responsible for publication of the Quarterly about the 15th of March, June, September, and December.

b. Be responsible for such other publications as are authorized by the Baard.

c. Send Quarterlies to the official membership roll as of 1 March, 1 June, 1 September, and 1 December.

d. Send Quarterlies to the Exchange List as of 1 March, 1 June, 1 September, and 1 December.

e. Keep past copies of the Quarterly for sale. f. Forward monies for publications to the Treasurer.

The Vice President in Charge of Communications shall

a. Send out an annual request for aues to the previous year•s membership who have not paid their dues by February 1.

b. Send out notices of meetings when directed by the Baard. c. Send out notices of the Annual Workshop.

Section 7. The Treasurer shall

a. Receive dues and accept membership renewals. b. Have the care and custody of all funds of the Society and

deposit same in the name of the Society in such banks or savings institutions as the Society may direct.

c. Sign all checks for the payment of money and make disburse­ments under the direction of the Board. Checks shall be countersi~ned by the President.

d. Send a li&t of membership renewals to the Vice President in Charge of Membership befare February 1, March 1, June 1, September 1, and December 1.

e. Keep an account book showing receipts and disbursements.

f. Make interim reports at Baard meetings, correlated with the adopted budget .

g. Make a financial report at the Annual Meeting, giving a copy to the President .

h. Prepare an expected revenues budget for the coming year for use by the Budget Commit tee.

The Recording Secretary shall

a. Keep records of the Society, acting as secretary at meetings of the Society and the Baard.

b. Send a copy of the minutes of all meetings to the President and Executive Vice President.

c. Type a copy of the minutes for incorporation in a "Journal of Proceedings" to be bound at the end of the year and presented to the new President befare the Baard meeting in January.

d. Attest to the signature of the President or other officers and affix the seal to all appropriate papers.

The Correspondi ng Secretary shall

a. Be responsible f or correspondence of the Society not part of the duties of other officers or committees.

b. Perform duties of the Recording Secretary in her absence or incapacity.

c. Compile copies of all correspondence of the Society by herself and others in the Society and present these to the new Presi­dent befare the Baard meeting in January.

ARTICLE VI - COMMI'I'I'EES

The President shall appoint committees to carry out specific pro­jects of the Society .

The President shall appoint a Publications Exchange Committee which shall

a. Be responsible for the exchange of the Quarterly for publica­tions of other Societies, in coordination with the Dallas Public Library.

b. Keep an up-to-date list of exchanges and provide this list to the President, Executive Vice President, and the Vice President in Charge of Publications, current as of 1 March, 1 June, 1 September , and 1 December.

c. Make recommendat i ons to the Baard for additions to or dele­tions from the Exchange List.

The President shall appoint an AnnualWorkshop Committee to assist the Vice President in Charge of Programs .

At the October meeting, the President shall appoint a Nomi nating Cormnittee consisting of five members, at least three of whom are not on the Baard. This Cormnittee shall perform the functions outlined in Article IV, Sections 4 and 5.

Following the election of officers at the annual meeting, the President shall appoint a Budget Committee consisting of the President-elect as chainnan, and the four Vice Presidents-elect as members, which shall

a. Prepare an expenditures bud.get for the coming year balanced against the expected revenues budget prepared by the out­going Treasurer.

b. Present these budgets to the January meeting of the Board for approval.

Each officer whose duties require spending will be expected to control the activities of his effort within the adopted budget, keeping the Board appraised of any deviation.

Following the election of officers at the annual meeting, the President shall appoint a Financial Audit Committee to meet with the outgoing Treasurer to make an annual audit and report of the Society's funds, after which all records will be transferred to the newly elected Treasurer prior to the Board meeting in January.

ARTICLE VII - MEETINGS

Section 1. Reguler meetings of the Society shall be held the fourth Thursday of the months of January, February, March, April, June, Septem­ber, and October.

Section 2. The Annual Workshop shall be held in May, at a time and place selected by the Baard.

Section 3. The annual meeting of the Society shall be held the third Thursday of November.

Section 4. Special meetings may be held at other than the reguler dates as may be deemed necessary by the Baard. The membership shall be notified.

Section 5. Meetings of the Board shall be held the second Thursday of the months in which regular, Workshop, or annual meetings are held.

Section 6. The regular meeting place of the Society in January, March, Septem­ber and November shall be at 12:00 noon at the Downtown YMCA in Dallas, and in February, April, June and October, shall be at 7:30 p.m. at the Dallas Public Library.

Section 7. Ten percent of the paid-up members shall constitute a quorum at all meetings of the Society, and six members shall constitute a quorum at all meetings of the Board.

Section 8. At the regular meetings of the Society, the following shall be the order of business:

a. Reading of the minutes of the last Society meeting. b. Reports of other officers. c. Committee reports.

Voting on all questions shall be by raising of hands unless the majority of those present desire a secret ballot. The Secretary shall count the votes, joined by the President in case of a secret ballet, entering the results in the minutes of the meeting. A decision shall be determined bya majority of those present, with the Pr esident casting his vote only in case of a tie .

ARTICLE VIII - PARLIAMENTARY AUTHORITY

The rules contained in the latest edition of ''Robert's Rules of Order, Revised" shall govern in all cases in which they are applicable and in which they are not inconsistent with these By-Laws.

ARTICLE IX - AMENDMENT OF BY- LAWS

These By-Laws shall be amended only with the approval of a majority of the paid members present at a regular, annual, or special meeting, after written notice of the time, place and statement of the proposed amena.ment shall have been given to the membership at least two weeks prior.
