Company HistoryLSIL is part of the Lloyds group, which was established in 1974. The company is a manufacturer of iron and steel products and heavy engineering equipments. It also undertakes turnkey projects. LSIL’s steel plant is located in Wardha district, which enjoys proximity to power generation plants, coal belt and iron ore mines, including those allotted to the Lloyds group. Its offering mix comprises of cold rolled coils/ sheets, hot rolled coils/ sheets, steel pipes, boilers and others. The company’s engineering division was established in 1974 at Andheri, Mumbai. It was later converted into heavy fabrication, machine building unit and shifted to Thane. The company provides heavy engineering machines for various areas including hydrocarbons, oil & gas, steel plants, power plants and others. It's client base includes companies such as Indian Oil Corp Ltd, National Aluminium Co Ltd, Mangalore Chemicals & Fertilizers Ltd, Welspun Maxsteel Ltd, Brahmaputra Cracker & Polymer Ltd and others.
LSIL segments its business under three heads viz steel products, engineering products and trading. In FY10, steel products contributed ~61% of total revenues, engineering
products ~16% and trading ~33%.
Business of the company
• Lloyds Steel Industries Limited is engaged in the steel and heavy engineering fabrication. The Company is engaged in the manufacturing and marketing of iron and steel products and manufacturing capital equipment's and turnkey projects. The Company focus in manufacturing is steel and related products, including upstream (Coal Based direct-reduced iron (DRI)) and downstream (like engineering products). During the fiscal year ended March 31, 2012 (fiscal 2012), the Company supplied items, including tanks and furnace to SMS India Ltd. Its engineering products division supports in supply of spares and services to oil, gas, port trust and government bodies. LLOYDS has business ventures spreading over four plants, at three locations in India. Its products include hot rolled products, cold rolled products, galvanized products and engineering products.

Policy on Corporate Governance

Guidance Note on Certification of Corporate Governance (As stipulated in Clause 49
of the Listing Agreement ), issued by the Institute of Chartered Accountants of India and was limited to the procedures and implementation thereof, adopted by the Company for ensuring the compliance of the conditions of Corporate Governance. It is neither an audit nor an expression of an opinion on the financial statements of the Company.
In our opinion and to the best of our information and according to the explanations
given to us, the Company has complied with the conditions of Corporate Governance
as stipulated in the above mentioned Listing Agreements.
We state that such compliance is neither an assurance as to the future viability of the
Company nor the efficiency or effectiveness with which the management has conducted the affairs of the Company.
