The respective litigation release numbers are as follows: Alpine Mutual Fund Trust - (LR-13l24); Carl W. Martin - (LR-13126); Strategic Management, Inc. - (LR-13l25); Lon Williams and Steve Sanders - (LR-13124); and James H. Guerin - (LR-13l22). ADMINISTRATIVE PROCEEDINGS NASD ACTION AGAINST WILLIAM WUERCH AND MARK THOMASON AFFIRMED The Commission has affirmed disciplinary action taken by the NASD against William F. Wuerch of Mercer Island, Washington and Mark D. Thomason of Kirkland, Washington, both of whom were associated with National Securities Corporation, an NASD member firm. The NASD censured respondents, barred them from association with any member in a principal capacity, suspended Thomason from any such association for )0 days and required Thomason to requalify by examination for any capacity in which he seeks to become registered. Wuerch was fined $25,000 and Thomason was fined $5,000. During the period July through September 1986, Wuerch and Thomason co -managed National's Bellevue, Washington branch office. The Commission affirmed NASD findings that respondents failed to give National required notification of the branch office's sale to customers of $330, 000 worth of promissory notes issued by Bright Blocks, Inc., doing business as U.S. Associates, Inc. The US Attorneys Office for the Central District of California and the Securitlltcand Exchange Commission announced that Steven D Wymer was arrested and charged wlth one count of securities fraud and two counts of mail fraud On December 19 following his arrest Wymer was denied bail and ordered to federal custody The Court found that Wymer was a flight risk and an economic danger to the community in light of his

failure to explain or produce evidence to the Commission staff with respect to the disposition of some $100 million in funds belonging to advisory clients of Institutional Treasury Management Inc On December II Wymer ITM and Denman amp Company were temporarily enjoined a receiver was appointed over ITM and Denman and the defendants assets were frozen [SEC v Institutional Treasury Management IncDenman amp Company and Steven D Wymer Civil Action No 91-6715 RG Ex CD Cal](LR-13l27)

STEVEN WYMER INSTITUTIONAL TREASURY MANAGEMENT AND DENMAN amp COMPANY PRELIMINARILY ENJOINED ASSET FREEZE MODIFIED

On December 20 the Honorable Richard A Gadbois Jr of the US District Court of the Central District of California entered preliminary injunctions against defendants Steven D Wymer Institutional Treasury Management Inc and Denman amp Company and modified the asset freeze imposed by the Court on December 11 1991 The Court accepted the recommendation of the Receiver and lifted the asset freeze with respectto the majority of the $12 billion in TEM client accounts The Court ordered that the asset freeze on ITMs corporate assets and on Wymers personal assets be continued to preserve a source for potential disgorgement and penal ties The Receivers interim report filed with the Court indicates that losses to clients accounts are now known to be approximately $100 million [SEC v Institutional Treasury Management Inc Denman amp Company and Steven D Wymer Civil Action No 91-6715 RG Ex CD Cal] (LR-13l28)

CIVIL ACTIONS AGAINST THOMAS ROBERTS AND WILLIAM ROBERTS

The Commission announced the filing today of a complaint in the US District Court for the Southern District of Texas against Thomas J Roberts (Thomas Roberts)formerly a Senior Financial Analyst at Vista Chemical Company (Vista) and William Roberts Thomas Roberts brother in connection with their trading in the securities of Vista The complaint alleges that while in possession of material nonpublicinformation concerning the sale of Vista Thomas Roberts purchased Vista stock and tipped his brother William Roberts The complaint further alleges that during the period May 1990 and continuing thereafter Thomas Roberts also communicated materialnonpublic information concerning the sale of Vista to Edward L Ruggiero (Ruggiero)a co-worker at Vista and against whom the Commission has previously brought a civil action The complaint alleges that Ruggiero tipped his friend Christopher L Parker who also bought Vista call options for himself and tipped his brother Simu1 taneously with the filing of the complaint Thomas and William Roberts each consented without admitting or denying any of the allegations in the Complaint to entry of a Final Judgment against them permanently restraining and enj oining them from violating of Sections lO(b) and 14(e) of Exchange Act and Rules lOb-5 and l4e-3 promulgated thereunder requiring them to disgorge $1012658 and $3856525respectively and requiring Thomas Roberts to pay an ITSA penalty in the amount of $1012658 [SEC v Thomas J Roberts and William Roberts Civil Action No H-91-3766 SD Tex Dec 23] (LR-13l29)

CIVIL ACTIONS AGAINST THOMAS ROBERTS AND WILLIAM ROBERTS
