END USER LICENSE AGREEMENT AND LIMITED WARRANTYBy installing or copying the software you agree to accept all the terms andconditions of this agreement. If you do not agree with the terms andconditions of this license agreement, return the unused software, along withthe rest of the package, to the place of purchase for a full refund.DEFINITIONS. The following definitions are applicable to this agreement. Thispackage contains software ("SOFTWARE") and related explanatory writtenmaterials ("DOCUMENTATION"). The term "SOFTWARE" shall include any upgrades,modified versions, updates, additions and copies of the Software licensed toyou by New Wave Concepts. "USE" consists of either loading the software intocomputer memory or running it in a CPU; "INSTALL" means to copy the softwareto a hard disk drive or similar storage device.1. LICENSE GRANT. The customer does not receive title to the SOFTWARE. Thecustomer is granted a non-exclusive license to USE the SOFTWARE at the PostalAddress of the licensee, subject to the restrictions and terms set forth inthis Agreement. You may INSTALL the SOFTWARE in a single location on a harddisk or other storage device of up to the number of computers indicated bythe license. You may make one backup copy of the SOFTWARE, provided you donot INSTALL or USE the backup copy.2. COPYRIGHT. The SOFTWARE is the intellectual property of New Wave ConceptsLimited and is protected by copyright law, international treaty provisions,and applicable laws of the country in which it is being used.3. RESTRICTIONS. You may not COPY, DECOMPILE, DISASSEMBLE, REVERSE ENGINEER,MODIFY, RENT, LEASE or HIRE the SOFTWARE or any part thereof. This SOFTWAREis strictly licensed for educational, non-commercial use only. You may notuse this SOFTWARE to design, program, test, support, manufacture, orotherwise develop products for retail or commercial gain.4. TERMINATION. Any failure to comply with the terms and conditions of theAgreement will result in automatic termination of this license. Upontermination of this license for any reason, the customer must destroy allcopies of the SOFTWARE and accompanying DOCUMENTATION.5. UNAUTHORISED USE AND COMPLIANCE. The customer will use all reasonableefforts to see that employees, agents, assigns, or other persons under thedirection or control of the customer abide by the terms and conditions ofthis License Agreement. The customer agrees to notify New Wave ConceptsLimited in writing of any unauthorised use.6. TRANSFER. You may not sublicense or lend the SOFTWARE or DOCUMENTATION.You may, however, transfer all your rights to use the SOFTWARE to anotherperson or legal entity provided that you transfer this Agreement and transfer(or destroy), the SOFTWARE, including all copies, updates and prior versions,and all documentation to such person or entity and provided that you retainno copies, including copies stored on your computer. Documentary proof ofownership transfer will be required.7. LIMITED WARRANTY. New Wave Concepts Limited warrants to you that theSOFTWARE will perform substantially in accordance with the DOCUMENTATION forthe ninety (90) day period following your receipt of the SOFTWARE. To make awarranty claim, you must return the SOFTWARE to the location where youobtained it along with a copy of your sales receipt within such ninety (90)day period. If the SOFTWARE does not perform substantially in accordance withthe DOCUMENTATION, the entire and exclusive liability of New Wave ConceptsLimited and its suppliers and distributors, and your exclusive remedy shallbe limited to either, at New Wave Concepts Limiteds option, the replacementof the SOFTWARE or the refund of the license fee you paid for the SOFTWARE.IN NO CIRCUMSTANCES WILL NEW WAVE CONCEPTS BE LIABLE FOR ANY DAMAGE, LOSS OFPROFITS, GOOD-WILL OR FOR ANY INDIRECT OF CONSEQUENTIAL LOSS ARISING OUT OFYOUR USE OF THE SOFTWARE, OR INABILITY TO USE THE SOFTWARE, EVEN IF NEW WAVECONCEPTS LIMITED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS.Nothing contained in this Agreement shall prejudice the statutory rights ofany party dealing as a consumer.8. DISCLAIMER OF OTHER WARRANTIES. THE LIMITED WARRANTY SET FORTH INPARAGRAPH SEVEN IS IN LIEU OF ANY OTHER WARRANTIES. THE IMPLIED WARRANTY OFMERCHANTABILITY IS LIMITED. NEW WAVE CONCEPTS DISCLAIM ANY IMPLIED WARRANTYINCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF FITNESS FOR APARTICULAR PURPOSE OR MERCHANTABILITY. NEW WAVE CONCEPTS DISCLAIM ALLWARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES PROVIDED BYDISTRIBUTORS, DEALERS AND RETAILERS OF THE SOFTWARE.9. SEVERABILITY. If any provision of this License and Limited WarrantyAgreement is declared by a court of competent jurisdiction to be invalid forany reason, such invalidity shall not affect the remaining provisions.
