public official or a private sector person; (iii) financial orin some other form; or (iv) relates to past, present, orfuture performance or non-performance ofa function oractivity whether in an official capacity or not, and it doesnot matter whether or not the person being bribed is toperform the function or activity to which the bribe relates,or is the penson who is to benefit from the bribe. Forthe purposes of this clause, a "person" is any individual,partnership, company or any other legal entity, public orprivate.Each Party shall, adhere to applicable anti-bribery andcorruption laws.Each Party shall, immediately upon becoming aware ofthem, give the other Party all details of any non-compliance with sub-clauses (a) and (b).It is a condition of this Agreement that each Party fullycomplies with this Clause. lf it does not do so, withoutprejudice to any other remedy available to a party, the non-breaching party shall have the right (but not the obtigation)in its absolute discretion to terminate the whole of thisAgreement, or that part of this Agreement to which thebribery or corruption relates. 7. Outputs and related payment schedule:

The duration of the assignment is 14 (fourteen) weeks andthe outputs are sub-divided into the followino.Stage 1*: Evaluation of site and irarket demandassessment (not exceeding 30% of total contract price) -6 (six) weeks from the date of commencement.

a) Inception report: Inception report to elaborate themethodology, work plan and deployment of staff etc.covering all two stages. - within one week from thedate of commencement: 30% of the cost of Stage 1.

Clause 8 of DraftAgreement ofAnnexure -4 andpage no.45

The [Name of Consultants] shall indemnify and hold harmlessthe (Name of Client) against any and all claims, demands, and/orjudgments of any nature brought against the (Name of Borrower)arising out of gross negligence or willful misconduct of the [Nameof Consultantsl in the provision of services under this contract.The liability of the IName of Consultants] under any circumstanceshall not exceed one time of contract value or fee oaid to theConsultant, whichever, is lesser. The obligation under thisparagraph shall survive the termination of this Contract.

The lName of Consultantsl shall also indemnify and hold harmlessthe (Name of Client) against any and all claims with respect to lossof profit, data orgoodwill, orany other consequential, incidental,indirect, punitive or special damages in connection with claims,demands, and/orjudgments of any nature brought against the (Nameof Borrower) arising out of gross negligence of the lName ofConsultantsl in the provision of services under this contract.
