LEAD Committee, September 17, 2012 Vestry approved the Bylaws in November 2018. Job descriptions were updated in April 2019. The LEAD Committee was commissioned by the Vestry in January 2012 for the purpose of defining and documenting a new organization for St. Patrick’s that focused on lay leadership – separating spiritual and temporal responsibilities between clergy and laity respectively. This group was spawned from a Vestry commissioned Ad Hoc Committee of past Wardens. The mission and scope for LEAD was defined by this committee, along with the foundation upon which LEAD built the new organization. LEAD members were: Pete Barger, Mark Forbes (chair), Mark Fowler, Sherry Klepfer, Jan Krumel, and Ginny Stehle. The documents included herein are the LEAD work products, developed during meetings from February through September 2012. In addition to these documents, the LEAD Committee provided the Vestry with recommended bylaws changes to support the new organizational structure as well as an implementation plan to facilitate transition to the new structure by January 2014. In April of 2019, the Responsibility Chart and Job Descriptions were updated.

Saint Patrick's Leadership Covenant This Saint Patrick's Leadership covenant defines the working relationships between the Clergy, the Staff, the Vestry, and the Ministries and Teams who carry out the mission of our parish. It sets the expectations for how we work together and provides a framework for accountability and authority.

1. A covenant is a formal agreement, treaty or relationship between two persons or groups. The Scripture is full of examples of covenants. Some are between persons, some between nations or tribes, and some between husband and wife. The most significant covenants are between God and the people. Covenants are considered in Scripture as a sacred bond. Covenants in the Bible include those involving Noah, Abraham, Moses, David and Jesus.

2. In a covenant, each party pledges to be faithful to the other. A sacred trust is established, 3. At the parish the relationship between the Rector and other members of the Vestry is

considered a covenant, and the relationship between the Vestry and the parish is also considered a covenant. We pledge ourselves to one another in sacred relationship. We are the leaders of the Body of Christ.

4. The official corporation of the parish is entitled "Saint Patrick's Episcopal Church", The Rector is always the presiding officer. At Saint Patrick's the Rector has delegated the running of the Vestry meeting agenda to the Senior Warden. This accomplishes two things: First, the Senior Warden's time and talents are better utilized. He/she takes responsibility for putting together an agenda in consultation with the Rector. Second, the Rector is able to be present at Vestry meetings in a more pastoral role.

5. Our covenant is informed by “Decision Rights". This document details the agreement between the Rector, Vestry, Staff, Ministry and Team Leaders as to how decisions are made.

6. All members of the Vestry, Staff, Ministries and Teams are disciples of Jesus Christ; we are ambassadors of the Gospel, building up of the Body of Christ for the work of ministry.

7. The Vestry works at the strategic level, and the ministries and teams work at the tactical level, carrying out the action plans of the Vestry.

8. There is a job description for Vestry members in general. Each Vestry member also has a job description for the ministry area to be led by that Vestry member.

9. Appropriate confidentiality is important for Vestry. Staff, Ministries and Teams. We must respect and honor the trust placed in us by each other and by the parish to handle sensitive decisions and situations appropriately.

10. One purpose of our ministries and teams is to strengthen the church community. Each member of a ministry strives to live in community among their group members first. In this way, each smaller group strengthens the community of the parish as a whole.

11. The Rector selects all staff members with the approval of the Vestry. All staff members are under the supervision of the Rector.

12. All documents, processes and procedures, funds raised, and other materials developed for St. Patrick's remain the property of the parish.

13. The vision for St. Patrick's is to become an oasis of God's grace, acceptance and action by loving Christ through serving one another and all creation. We live into this vision by loving people and loving Jesus.

Core Values: In working together to fulfill the vision of Saint Patrick's, including decision making, the Vestry, Staff, Ministries and Teams of Saint Patrick's commit to:

1. Being open to the Holy Spirit and listening for God's voice. 2. Being vulnerable. 3. Being appropriately forthcoming about opinions during the discussion phase of an issue. Once

a decision is reached, support it. If a change is still desired, work through a Vestry member, the Wardens, or the clergy, depending upon the nature of the issue. Have no hidden agendas, nor engage in undermining or counter-productive actions.

General Vestry Leader Job Description

Job Summary: Vestry members constitute the top level of parish management. They are responsible for ensuring the parish's success in all matters temporal. Job Responsibilities - Vestry:

1. Attend monthly and specially convened vestry meetings. 2. Create, manage and implement the strategic vision and goals of the parish. 3. Develop and approve parish annual operating budget. 4. Monitor parish spending against the budget to insure priorities are met throughout the year. 5. Recruit candidates for vestry, 6. Manage, govern and amend (as needed) the parish By-Laws, Covenant, Organizational chart,

Decision Rights document, and LEAD job descriptions (General Vestry, each Ministry Vestry Leader and General Team Leader).

7. Approve changes in the various 'policy and procedures' manuals of the parish. 8. Manage and approve church calendar of events. 9. Be present and available to parishioners at church liturgies and events, to facilitate being a

representative of parishioner suggestions and comments to the vestry. Job Responsibilities - Ministry Leader:

10. Act as a mentor to incoming vestry ministry team leader to ensure a smooth transition and continuity of ministry.

11. Provide vestry with monthly updates on respective ministry activities and issues. 12. Prepare and submit an annual ministry report. 13. Prepare respective ministry's annual budget request with input from team leaders. 14. Manage respective ministry budget, advising Financial Stewardship Ministry Leader of any

non-budgeted funding requests. 15. Govern and enforce 'policy and procedures' manual for respective ministry. Update the manual

as policies change. 16. Work with team leaders to develop an annual proposal of ministry events to be included in the

church calendar. 17. Recruit, mentor, empower and manage team leaders for respective ministry. Assist in

recruiting team members as needed. 18. Keep in regular communication with team leaders. 19. Keep team leaders informed of all pertinent parish issues (e.g., policy changes, budget issues,

Building & Grounds Ministry - Vestry Leader Job Description

Job Summary: The Building and Grounds Ministry Vestry Leader oversees Saint Patrick's physical plant and grounds. This includes the structure, plumbing, HVAC, roofs, appliances, service contracts, lighting, parking areas, kitchen, conference room, the Memorial Wall and landscaping. Any areas or projects that need review will be done through the vestry. The individual teams and responsibilities include but are not limited to: Maintenance and Improvement Property Preservation / Framework Planning

Landscaping / Mowing Cell Tower Kitchen Maintenance and Upkeep Building Usage Memorial Garden Design Committee Snow Removal

Job Responsibilities:

1. Keep in close contact with the Wardens, Rector, Parish Administrator and Ministry Facilitator as to the upkeep of these areas.

2. Review any building and appliance maintenance agreements to insure best practices and pricing.

3. Maintain a list of all ongoing and completed projects including schedules and deadlines. 4. Make quarterly inspections of the building and grounds looking for maintenance and grounds

projects that may need to be addressed. 5. Prepare an annual budget request that anticipates what kitchen and bath supplies, maintenance

and grounds projects that will be addressed in the coming year. 6. Communicate any building supply needs to Parish Administrator. 7. Govern and enforce building usage policy. 8. Provide input to the Finance Committee for annual budget.9. Along with the Finance Committee, develop and maintain a depreciated assets accrual account

for replacement of major capital assets and major re-occurring maintenance items. 10. Fulfill all job responsibilities as defined in the General Vestry Leader job description.

Children, Youth and Family Ministry - Vestry Leader Job Description

Job Summary: The Children, Youth and Family Vestry Ministry Leader provides leadership, guidance, direction and resource support to the various services provided under The Children, Youth, and Family Director, as well as the ministry of St. Patrick’s Preschool. This position reports to the vestry directly. These services and teams currently include, but are not limited to:

Children’s Formation Preschool-Administration/Director/Staff Youth Formation Preschool Board of Directors Children’s Chapel Parents’ and Teachers’ Organization(s) Nursery Children, Youth, and Family Director Safe Church

Job Responsibilities:

1. Work closely with the Children, Youth and Family Director (CYF), and Children’s Minister to ensure that volunteers and staff are properly trained and have a clear understanding of their responsibilities ascribed to them.

2. Act as the liaison between the CYF Director, the Children’s minister, the congregation, and the vestry to ensure open communication and understanding.

3. Review and evaluate through frequent discussions with children, youth and families to ensure their needs, both social and spiritual are being met.

4. Maintain open constructive dialogue with related children and youth their parents, teachers and staff

5. To ensure the safety of our children and youth by providing a Safe Church environment, by providing appropriate Safe Church training and documentation for all adults working with them.

6. Work closely with the Preschool Director/Administrator and staff to meet the needs of the Ministry of our Preschool within the church and community.

7. Represent the Vestry on the Preschool Board of Directors and convey their issues to the Vestry in return.

8. Other responsibilities as specified under “Job Responsibilities – Ministry Leader” related to this ministry area such as:

Communications Ministry - Vestry Leader Job Description

Job Summary: The Communications Vestry Ministry Leader provides leadership, guidance and direction to the various teams responsible for both internal and external communications on behalf of St. Patrick’s. This can be categorized as follows:

Job Responsibilities: 1. Ensure consistent and appropriate representation of the Saint Patrick brand across all

communications. 2. Coordinate a clearing house for all parish communications. Monitor the publication of internal

and external communication to ensure the content is compliant with communications goals and policy.

3. Develop and or review annually a communications plan and strategy that can be supported by the various teams and that supports the parish Vision and Mission. Share this plan with other Ministry team leaders and ensure all teams work in support of and adherence to this plan.

4. Develop and review annually a communications policy that includes guidelines on what can be included in parish communications and what cannot, e.g. non-parish sponsored events or programs, items specific to one parish member, use of parish email distribution list. Share this policy with other Ministry team leaders and other lay leaders to ensure compliance.

5. Establish and /or review as needed a database or digital repository for archival of all parish communications, including but not limited to web content, parish photographs, policies and procedures, etc.

6. Encourage team work outside Communications Ministry to solicit input and participation from the other Ministry teams and/or parish-at-large in the generation of content for parish communications.

7. Work closely with Vestry Leaders to stay abreast of upcoming or events to ensure they are supported appropriately by all communication channels.

8. Work closely and effectively with the Parish Administrative Assistant in all aspects of communications.

Financial Ministry- Vestry Leader Job Description

Job Summary: The Financial Ministry Vestry Leader guides, directs, and reports to the Vestry on all aspects of the financial management of the church. The individual teams and responsibilities include, but are not limited to:

Treasurer Finance Committee Sunday Counters Insurance

Financial Administrator Human Resources Committee Foundations and Investments

Job Responsibilities:

1. Ensure all teams/positions for Finance area are adequately staffed (including an effective leader), properly trained, and have a clear understanding of the authority and responsibilities ascribed to each team.

2. Assist team leaders in recruiting members. 3. Serve as chairperson of the HR Committee, and ensure that the meetings occur quarterly. 4. Attend Finance Committee meetings. 5. Serve as ex-officio member of the Endowment Committee 6. Act as liaison between team leaders, vestry, and clergy. Create effective channels for

communication and understanding between these three primary groups. 7. Support the team leaders when a financial request cannot, or will not, be adopted by

Vestry and communicate Vestry rationale when possible. 8. Ensure both short- and long-term goals of vestry, clergy, and congregation are

appropriately prioritized and communicated to team leaders and that these priorities are considered in all management decisions.

9. Engage in both short- and long-term strategy development and decisions for all matters pertaining to cash flow, revenue development, operating expenses, liabilities and obligations (i.e. leases and contracts), asset utilization and management with long term financial sustainability as the principal goal.

10. Ensure that monthly financial reports, including but not limited to, income statement, and balance sheet are generated, reviewed, and submitted to vestry in a timely manner.

11. Review budget performance (both income and expense side) on monthly basis. Apprise vestry and wardens of significant discrepancies from adopted budget, and any projected cash flow issues.

12. Work in a consultative role with vestry and other key lay and clergy leaders to develop an annual operating budget that incorporates near term goals and ensures long term financial sustainability.

13. Work with Financial Administrator and Treasurer to complete annual audit (by certified, third party firm) and implement any policy changes advised by auditor.

14. Along with the Treasurer, provide consultation on any long-term contractual commitments impacting cash flow or asset liquidity (i.e. leases and/or rental agreements, and service contracts).

15. Along with the Building and Grounds Committee, develop and maintain a Depreciated Assets accrual account for replacement of major capital assets, and major recurring maintenance items.

16. Ensure the Finance Committee annually reviews the balance of the operating reserves.

17. Participate and advise regarding requests for allocation of emergency funds, and budget overruns.

18. Meet with Financial Administrator and Treasurer on a regular basis and provide effective and clear direction.

19. Along with the Treasurer, oversee the balances, receipts and disbursements for all designated funds. Ensure that balances are carried from one year to the next and the funds are protected.

20. Along with the Treasurer, conduct financial analysis and create reports as requested by Vestry, Clergy, Finance Committee, or other committees, as needed.

21. Authority, along with the Senior Warden, Junior Warden, Treasurer and selected Finance Committee member(s) to sign checks or approve online checks for all church accounts, including the preschool.

22. Review insurance policies annually to ensure church is adequately insured. 23. Serve as liaison to the various committee chairpersons regarding their respective budgets and

payment of requisitions. 24. Ensure strong passwords are maintain for any online financial matters (i.e. passwords should

conform to a set password formula). 25. Ensure financial policies are reviewed annually. 26. Schedule Sunday Counters and ensure policy is reviewed annually. 27. Hold in strictest confidence the financial and pastoral concerns of the members of the

Outreach Ministry – Vestry Leader Job Description

Job Summary: The Outreach Vestry Ministry Leader provides leadership, guidance, direction, and resource support to the various teams responsible for outreach activities on behalf of Saint Patrick’s to support the Mission, Vision, and Goals of the church. This includes initiatives which engage parishioners in assisting local, regional, national, and international organizations or initiatives, either through direct interaction (volunteerism), financial support, or gathering /distributing aid such as food, clothing, or other gifts-in-kind to assist others in need, including but not limited to the following Outreach Ministry Committees: Angel Tree Back 2 School Bash Christmas for Families Give Hope Global Habitat for Humanity HOM Reading Buddies

Job Responsibilities:

1. Work with Outreach Ministry Committee Leaders to develop an annual outreach plan, including goals, budget estimates, and calendar of activities that can be supported by the Outreach Committees and which support the parish Vision and Mission.

2. Share the Outreach Plan with the Vestry Ministry Team Leaders and the Rector to ensure all teams work in support of and adherence to the plan. Communicate the approved plan to the Outreach Ministry Committee Leaders, volunteers, and parish members. Coordinate the Outreach calendar of activities with the parish calendar.

3. Lead quarterly meetings of Committee Leaders to share ideas, review the budget and activities, measure accomplishments, and evaluate emergent needs to adjust the annual plan as needed.

4. Review, evaluate, and respond to requests for assistance coming from the community and proposed new initiatives from within the parish to assess alignment with St. Patrick’s goals, budget, ability, and ensure consistency with the Vision, Mission, and policies of the parish. Engaging or recruiting Outreach Ministry Leaders as appropriate.

5. Establish and update annually the database of Outreach Ministry Leaders, volunteers and participants, outreach initiatives, and community/organizational contacts who facilitate Outreach Ministries.

6. Develop a mechanism for Outreach Ministry Leaders to provide feedback reports on their ministries, accomplishments, and needs. Communicate this feedback, as appropriate, to the Vestry and Rector, and other Outreach Ministry Leaders.

7. Ensure consistent representation of St. Patrick’s Outreach Ministries to the community. 8. Provide direction and connection to parish members wishing to engage in Outreach

Ministries. 9. Communicate effectively with the Parish Administrative Assistant and Communications

Ministry Leader to convey Outreach needs, accomplishments, and activities internally and externally as appropriate.

Treasurer Job Description

Position Statement: The Treasurer is responsible for performing financial oversight of all church financial activities to ensure that they are conducted in accordance with guidelines established by the Protestant Episcopal Church of the USA, generally accepted accounting practices, and ethical standards of business conduct. The Treasurer is an unpaid volunteer position, filled from within the community of Saint Patrick’s Episcopal Church. The Treasurer will hold the position for a three-year term. At the end of the term, the Treasurer must roll-off. Personal Qualifications:

• Working knowledge of and experience with bookkeeping protocols and accounting procedures. Accounting experience preferred.

• Ability to be well organized and to communicate well with others. • Be a team player • Able to work flexible hours • High Ethical Standards

Job Responsibilities:

1. Serve as chairperson of the Finance Committee and ensure that the meetings occur at minimum of once per quarter.

2. Serve as ex-officio member of the Vestry 3. Work in a consultative role with vestry and other key lay and clergy leaders to develop an annual

operating budget that incorporates near term goals and ensures long term financial sustainability. 4. Work with Financial Administrator and Financial Ministry Vestry Leader (FMVL) to complete

annual audit (by certified, third party firm) and implement any policy changes advised by auditor. 5. Along with FMVL, provide consultation on any long-term contractual commitments impacting

cash flow or asset liquidity (i.e. leases and/or rental agreements, and service contracts). 6. Along with FMVL, meet with Financial Administrator on a regular basis and provide effective and

clear direction. 7. Review the monthly financial statements of the church. 8. Review and approve monthly reconciliations of all the bank and credit card statements for the

church and approve the deposits and payments for each month. 9. Along with FMVL, oversee the balances, receipts and disbursements for all designated funds.

Ensure that balances are carried from one year to the next and the funds are protected. 10. On a quarterly basis, closely review and approve receipts and disbursements for the Rector’s

Discretionary checking account and any other discretionary checking accounts. 11. Along with FMVL, conduct financial analysis and create reports as requested by Vestry, Clergy,

Finance Committee, or other committees, as needed. 12. Review the church’s monthly financial statements monthly with the Finance Committee. 13. Review the preschool’s financial statements and bank/credit card reconciliations at least quarterly and

ECW at least semi-annually. 14. Authority, along with the Senior Warden, Junior Warden, Vestry Member for Finance and selected

Finance Committee member(s) to sign checks or approve online checks for all church accounts, including the preschool.

BYLAWS FOR VESTRY OF SAINT PATRICK'S MISSION, THE EPISCOPAL CHURCH, MOORESVILLE, NC

PREAMBLE Saint Patrick's Mission, The Episcopal Church, Mooresville, NC, is a Parish organized under the Constitutions and Canons of the Episcopal Diocese of North Carolina. In addition to these bylaws, all actions and decisions of the community are governed by the community's organizational chart, job descriptions and decision rights document, and informed by the covenant and core values. ARTICLE 1 Authority Acknowledged The community accedes to the doctrine, discipline and worship of the Constitution and Canons of The Episcopal Church, and to the Constitution and Canons of the Protestant Episcopal Church in North Carolina, otherwise known as the Diocese of North Carolina (referred to herein as "the diocese”), and acknowledges their authority. ARTICLE 2 Voting Membership 2.1 Membership in the community. Every baptized person whose name and baptism are on file in the Parish Register is a member of the community. A member sixteen years of age or older is an adult member of the community. ECUSA 1.17.1(a) and (b) 2.2 Voting membership. Every confirmed adult member of the community, unless for good cause prevented, shall have the right to vote. The Clerk shall keep a list of qualified voters (the "List"), and only those members listed shall be allowed to vote. The List shall be updated 30 days or more before any vote. Before voting proceeds, any question concerning a person's eligibility for voting shall be decided by the Nominating Committee (composed of Vestry members whose terms are expiring that year), and such decision shall be final for the purposes of that meeting and any adjournment thereof. ARTICLE 3 Meetings of the Community 3.1 Annual Meeting. The annual meeting of the community shall be convened in December at a date and time and place appointed by the Vestry, except in urgent and unusual circumstances. The purpose of the meeting shall be to elect Vestry members to new terms, present the budget and reports, and conduct such other business as may properly come before the meeting. 3.2 Special Meeting. A special meeting of the community may be called at any time by the Rector or the Wardens or the Vestry. At any special meeting the community may transact only such business as has been provided for in the notice of the meeting. 3.3 Notice. Written notice of a meeting shall be given to the community no later than thirty (30) days before the meeting. Notice shall include the purpose of the meeting and, in the case of the annual meeting, the slate of candidates proposed by the nominating Committee. 3.4 Quorum. One-third (1/3) of the voting members in good standing shall constitute a quorum. 3.5 Vote. Except as these bylaws and parliamentary authority may otherwise provide, elections and resolutions shall be carried by the affirmative votes of a majority of those present and voting. Voting by proxy shall not be permitted. An absentee ballot may be cast by a member who is for good cause unable to attend the meeting, by application in writing to the Clerk. An absentee ballot must be submitted no later than seven (7) days before the meeting

3.6 Presiding Officer. The Rector or, in the Rector's absence, one of the Wardens shall preside. The Rector, if present, may appoint a Warden or other Vestry member to se his or her stead. 3.7 Rules of Procedure. In all matters of parliamentary procedure not governed by canon or these bylaws, Robert's Rules of Order Newly Revised shall govern. ARTICLE 4 Rector 4.1 General. The Rector shall have had Episcopal ordination, be in good standing with the Episcopal Church and be elected by the Vestry, subject to approval by the ecclesiastical authority. 4.2 Authority for Worship and Spiritual Matters. The Rector has authority for spiritual matters of the Parish, including specific responsibility for worship. 4.3 Authority for Assisting Clergy. The Rector has authority to select and direct any assistant clergy, who serve at the Rector's discretion. ECUSA III.9.3(c) 4.4 Authority for Employees. The Vestry has authority to select and terminate all employees of the community. The Rector has the authority to supervise, direct, and discipline all employees of the community. 4.5 Authority for Property and Furnishings. The Rector has specific authority for the use of Parish property and furnishings of the community. ECUSA III.9.5(a)(2) The Rector delegates responsibility for the management of the facilities to the Vestry. 4.6 Implementation of National and Diocesan Church Policy. The Rector has general responsibility for administrative implementation of decisions and policies legislated or mandated by The Episcopal Church and the diocese. ARTICLE 5 Officers 5.1 Officers. The officers of the Vestry shall be the Warden[s), and Treasurer. Officers shall be elected by the Vestry. Wardens shall be designated as Senior Warden or Junior Warden. 5.2. Qualifications and Terms. (a) Wardens shall be confirmed voting members of the community, 18 years of age or older. Wardens are elected by the Vestry to serve a one-year term. Re-election to wardenship for a second term is permissible. A Vestry member may serve as Warden for no more than two consecutive years. (b) The Treasurer shall be a confirmed voting member of the community, 18 years of age or older, and shall be elected to a term of three (3) years. Having served for one three year term, the Treasurer may not stand for a second, consecutive term unless the Vestry specifically votes to permit the consecutive term. In the event that the Vestry votes to permit a consecutive term, this approval shall not be construed to be a waiver of the requirements of this paragraph. Furthermore, absent the Vestry extension that was just discussed, any Treasurer shall be ineligible for reelection for a one (1) year period following the expiration of the term in question. (c) The Clerk shall be appointed by the Vestry and shall serve as an ex-officio member of the Vestry.

5.3 Duties. (a) The Senior and Junior Wardens must be Vestry members who are selected by the Vestry to serve in this role. They are unpaid, volunteer positions. The Warden's duties shall include, but not be limited to:

1. Executing legal documents of the church per Vestry authority. 2. Overseeing and holding accountable Vestry members to their responsibilities as Vestry Ministry Leaders

per their job descriptions. 3. Setting Vestry meeting agendas in collaboration with the Rector. 4. Convening and chairing all Vestry meetings. The Senior Warden shall be appointed by the Rector to

convene and chair all meetings of the Vestry. In the Senior Warden's absence, this responsibility shall be delegated to the Junior Warden,

(b) The Treasurer shall ensure that funds of the community are properly received and disbursed in accordance with Vestry policy; verify and pay bills presented for payment; prepare monthly financial reports for presentation to the Vestry, a report to the annual meeting, and the annual financial report to the diocese; present and-recommend to the Vestry a budget-prior to the annual meeting; and annually submit the financial records of the community to audit by a qualified person. The Treasurer shall be adequately bonded by inclusion in the community's director's and officer's liability insurance coverage. (c) The Clerk shall take and record minutes of all Vestry, annual, and special meetings; give notice of all such meetings, report the names of delegates to diocesan convention to the Secretary of the convention, and keep a current list of all voting members of the community. The Clerk may be the Parish Secretary if the Vestry appoints the Parish Secretary to that role. ARTICLE 6 Vestry 6.1 Composition. The Vestry shall consist of six elected Vestry members. Ex-officio members of the Vestry include the Rector, Clerk (Parish Admin), and Treasurer. 6.2 Qualifications. Vestry members shall be adult confirmed voting members of the community 18 years of age or older. No clergy member (or their spouse), no staff member (or their spouse), or sitting Vestry member's spouse may be elected to the Vestry, except when the staff member is preschool staff. (2/16). 6.3 Terms. Vestry members other than the Rector and Officers shall serve a term of twenty-six (26) months. One half of the Vestry shall be elected annually. A Vestry member may be elected for a second consecutive term of two years. A Vestry member other than Rector or Officer shall not be eligible for reelection to that position for one year following the completion of a second full term, but may be elected to the office of Treasurer, Members of the Vestry shall hold office until their successors are selected and have qualified. ECUSA 1.14.1 6.4 Duties. Each Vestry member shall be elected to a specific Vestry Ministry Leader role as defined by the job descriptions of the community. The Vestry shall be agents and legal representatives of the community in all matters concerning its corporate property and the relation of the community to its clergy. It shall be the duty of the Vestry to take charge of the property of the community and to transact the temporal work pertaining to the community; to elect and call a Rector and provide for the maintenance of the same; and to collect and pay to the Diocese of North Carolina the moneys committed for support of the budget of the diocese. In the absence of the Warden(s), it shall be the duty of the remainder of the Vestry to perform the several duties specially pertaining to these officers. The Vestry shall also approve lay delegates to the Diocesan convention as called for in Cannon 1. ECUSA 1.14.2

6.5 Ministries All church ministries shall be led by their respective Vestry Ministry Leader as defined by the community's organizational chart. Each Vestry Ministry Leader's role is defined by the community's job descriptions. 6.6 Ad hoc Committees. The Vestry may from time to time create such other committees as may be necessary to perform specific tasks for the Parish. Committee members shall be appointed by the Vestry/Rector. Each such Committee shall be dissolved upon the completion of its work. 6.7 Meetings. The Vestry shall meet at least monthly with a minimum of eleven (11) meetings annually. Vestry meetings shall be open to all members of the community except when the Vestry adjourns to executive session. (a) A majority of the Vestry shall constitute a quorum, provided that the Rector or member of the clergy in charge or [one of] the Warden(s) is present, (b) The Rector or, in the Rector's absence, (one of the Warden(s) shall preside. The Rector, if present, may appoint a moderator. The Rector shall have voice in all matters but may vote only to break a tie vote. ECUSA 1.14.3, (C) A special meeting may be called by the Rector or member of the clergy in charge or by three members of the Vestry. The Clerk shall provide Vestry members notice of a special meeting at least three days in advance of the meeting. (d) Except as may be otherwise required by law, canon, or these bylaws, any action of the Vestry shall require the affirmative votes of a simple majority of those present and voting. (e) The annual Vestry planning meeting shall be held at the beginning of each term to review the governing documents as defined by the Preamble of these bylaws. (f) Robert's Rules of Order Newly Revised shall govern all matters of parliamentary procedure not governed by canon or these bylaws. 6.8 Vacancy. In the event of the death, resignation, or removal of a member of the Vestry, a special meeting of the community may be called to fill the vacancy on the request of five communicants of the community or, if no such meeting is called within one month of the occurrence of the vacancy, within one additional month the Rector shall, with the approval of the Vestry, appoint a qualified person to fill the vacancy for the remainder of the vacated term or until a successor is elected and qualified. 6.9 Resignation. A member of the Vestry may resign at any time by tendering his or her resignation in writing to the Rector or to a Warden, effective as provided therein. Such resignation need not be accepted by the Vestry in order to become effective. 6.10 Removal. A member of the Vestry, other than the Rector, may be removed at any time for due cause by the votes of a two-thirds majority of the entire Vestry, provided notice of the proposed removal and the reasons for the same shall have been given to the said Vestry member at least fifteen (15) days in advance of the meeting. Grounds for removal shall include, without limitation, conduct in violation of the Canons of the Episcopal Church or the Constitution and Canons of the Diocese of North Carolina or otherwise detrimental to the mission and best interests of the community; failure to disclose and, if appropriate, abstain from Vestry deliberations and determinations by reason of conflict of interest; absence without excuse or good cause shown from three (3) consecutive duly convened Vestry meetings or from five (5) such meetings within any twelve (12) month period; breach of confidentiality with respect to matters discussed or acted upon by the Vestry in a duly convened executive session, ineligibility for office; failure to support the community by regular pledging or failure to honor the pledge once made, in either case without excuse or good cause shown; disability; failure to attend with reasonable diligence to his or her duties as a Vestry member; failure to attend divine services with reasonable frequency and otherwise participate in the corporate life of the community, in either case without excuse or good cause shown.

ARTICLE 7 Accounting and Financial Matters 7.1 Funds. The handling of any or all of the cash, funds and investments of the community, including the purchase, custody, sale and transfer of the same, may be delegated by the Vestry to the Wardens, the Treasurer, (and/or to the trustees or investment Committee of the community, if the same be appointed,] either generally or as to specific instances, but subject to the ultimate direction and control of the Vestry. 7.2 Fiscal Year. The fiscal year of the community shall coincide with the calendar year. ECUSA 1.7.1(j) 7.3. Indebtedness. The community shall have the authority to borrow money, provided that no indebtedness shall be incurred, renewed or extended by or on behalf of the community without the express approval of the Vestry; nor without the written assent of the Bishop and Standing Committee of the Diocese of North Carolina except as provided in the diocesan canons. 7.4 Books of Account. Proper books of account for the community shall be kept by the Treasurer so as to provide the basis for satisfactory accounting, reporting and auditing. 7.5 Audits. All accounts of the community shall be audited annually by an independent certified public accountant, a licensed public accountant, or in such other manner as the diocesan Finance Committee may from time to time prescribe. The audit report shall be filed as prescribed in the diocesan canons. 7.6 Annual Reports. An annual report of all business and financial matters of the community, including complete financial statements, shall be prepared by or under the direction of the Treasurer, approved by the Vestry and distributed to the community prior to each annual meeting of the community. 7.7 Bonding. The Treasurer, and any other custodians of the funds of the community, other than banking institutions, shall be adequately bonded. 7.8 Gifts and Memorials. No object intended as a permanent addition to the property of the community, or to be used therein for public worship, shall be accepted as a gift or memorial without the approval of the Rector and the Vestry, subject to such conditions as they may prescribe. All objects so accepted may be altered, removed or disposed of when deemed necessary or appropriate by the Vestry. The names of the donors of and of the persons memorialized by such gifts and memorials, any terms and conditions thereof and the dates of acceptance of the same shall be preserved in the permanent records of the community. 7.9 Property Held in Trust. All real and personal property of the community is held in trust for The Episcopal Church and the Diocese of North Carolina, provided that such trust shall in no way limit the power and authority of the community, otherwise existing over such property, so long as it remains a part of and subject to said Church and its Constitution and Canons. ECUSA 1.7.4. II.6.4 7.10 Real Property. All buildings of the community and their contents shall be kept adequately insured. The Vestry may not encumber or alienate any real property of the community without the written consent of the Bishop and Standing Committee of the Diocese of North Carolina. ECUSA 1.7.1, 1.7.3, and 1.7.4 7.11 Balanced Budget. On an annual basis, the Vestry shall submit a balanced budget to the Community. With a simple majority of the Vestry, the Vestry may elect to approve a deficit budget. In this event, the Vestry, once per quarter, shall review and amend the budget until it is in balance.

ARTICLE 8 Indemnification If and to the extent permitted by applicable law and unless proscribed or otherwise limited by the Constitutions and Canons of the Episcopal Church and of the Diocese of North Carolina, the community shall indemnify, defend and hold harmless past and present officers and Vestry and Committee members including the Rector and other members of the clergy in their capacities as such) and their respective heirs and legal representatives from and against any and all liabilities, costs and expenses (including attorneys fees and other defense costs) from time to time incurred by or imposed upon them respectively in connection with any threatened, pending or completed civil, criminal or administrative proceeding in which any of them may become involved by reason of their service to the community in such capacities, except with respect to matters as to which they may finally be adjudged in such proceeding to be liable for willful, wanton or grossly negligent misconduct. Such indemnification shall be limited to instances in which the community, acting on the advice of counsel and without participation by any party to the proceeding in question, has (a) determined that indemnification is appropriate under the provisions of this Article, and (b) in the event of any settlement of such proceeding prior to a final and binding adjudication of the same, approved the terms of the settlement. The right of indemnification under this Article is not exclusive, and shall be in addition to and not in derogation of any such right under applicable law or by contract. If this Article shall be amended or repealed such action shall have prospective effect only, and shall not affect the indemnification rights of any individual with respect to proceedings in respect of which indemnification has been properly sought by application to the Vestry in writing by the individual(s) in question prior to the effective date of such action. ARTICLE 9 Action by the Community; Agents The community may from time to time delegate to one or both Wardens, the Treasurer and/or the Rector, generally or as to specific instances, or to any employee or agent of the community as to specific instances, due authority to execute and deliver, on behalf of the community, such contracts, deeds, mortgages, notes, bonds, checks, drafts and other instruments and documents as the Vestry may deem necessary or proper. In the absence of such a general or specific delegation of authority residual authority in this regard shall lie with the Warden(s) or the Treasurer, or any of them. The Vestry may appoint such employees, agents and representatives of the community (including legal counsel) and delegate to them due authority to perform such acts and duties on behalf and in the name of the community as the Vestry may from time to time see fit, consistent with these bylaws and with the Constitutions and Canons of the Episcopal Church and of the Diocese of North Carolina. Except as provided herein or as specifically authorized by the Vestry, no Vestry member, officer or employee of the community or any other person shall have the power or authority to bind the community by any contract or transaction or to render it legally or financially liable for any purpose or in any amount. ARTICLE 10 Convocation and Diocesan Convention Delegates Four (4) delegates and one (1) alternate delegate to the Convocation and Diocesan Convention shall be nominated by the Vestry/Rector and shall be elected by the Vestry. Delegates and alternates shall be adult confirmed voting members and 1 youth sixteen (16) years of age or older and shall each serve a term of three (3) years (for adults) and one (1) year (for youth). A delegate may be elected to no more than two (2) consecutive terms and shall be ineligible for one year for reelection to the office of delegate after having served in the office six (6) consecutive years. Delegates shall attend all Convocation and Diocesan Convention functions unless for good cause prevented. Delegates and alternates shall discuss anticipated convention business with the Vestry prior to Diocesan Convention, and shall report convention proceedings to the Vestry within one month after each Diocesan Convention.

ARTICLE 11 Amendments to Bylaws Bylaws may be amended by the Vestry at any regular meeting, or at special meetings called for that purpose, by the affirmative vote of two-thirds of those present and voting. Notice of any meeting at which a proposed amendment is to be taken up shall be given as required by these bylaws (Article 3.3) and shall include the full text of any proposed amendment. The Clerk shall promptly furnish to the Office of the Bishop the full text of the bylaws, including all amendments adopted. ARTICLE 12 Accession The Constitutions and Cannons of the Episcopal Church and Diocese of North Carolina, from time to time in effect, are hereby incorporated in these Bylaws; in the case of any conflict between said Constitutions and Canons and these Bylaws, the former shall prevail over and in all respects supersede and to that extent effect the repeal or amendment of a conflicting Bylaw or Bylaws.
