1. We have audited the accompanying Statement of Financial Results of LANDMARK PROPERTYDEVELOPMENT COMPANY LIMITED ("the Company"), for the quarter and year ended 31s t

March, 2019 ("the Statement"), being submitted by the Company pursuant to the requirementof Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations,2015, as modified by Circular No. CIRjCFDjFACj62j2016 dated July 5,2016.

2. This Statement, which is the responsibility of the Company's Management and approved by theBoard of Directors, has been compiled from the related financial statements which has beenprepared in accordance with the Indian Accounting Standards prescribed under Section 133 ofthe Companies Act, 2013 read with re levant rules issued thereunder [Tnd AS') and otheraccounting principles generally accepted in India. Our responsibility is to express an opinion onthe Statement based on our audit of such financial statements. .

3. We conducted our audit in accordance with the standard generally accepted in India. Thosestandards require that we plan and perform the audit to obtain reasonable assurance aboutwhether the standalone annual financial results are free of material misstatement. An auditincludes examining, on a test basis, evidence supporting the amounts disclosed as financialresults. An audit also includes assessing the accounting principles used and significantestimates made by Management. We believe that our audit provides a reasonable basis for ouropinion.

4. In our opinion and to the best of our information and according to the explanations given to us,the Statement:

(i) is presented in accordance with the requirements of Regulation 33 of the SEBI (ListingObligations and Disclosure Requirements) Regulations, 2015, as modified by Circular No.CIRjCFDjFACj62j2016 dated July 5,2016; and .

The above results for the quarter and year ended 31 st March, 2019 were reviewed by the Audit Committee and approved

by the Board of Directors at their respect ive meeti ngs held on May 15th , 2019. The Statutory Auditors have expressed an

unmo dified opinion on the aforesaid result s.

The Company is pr imarily engaged in the business of real estate development (including advisory services), which as per

Indian Accounting Standard on operating segments (Ind AS - 108) is the only operating segment.

The above f inancial results have been prepared in accordance with th e Companies (Indian Accounting Standards) Rules,

2015 (Ind AS), as prescribed under section 133 of the Companies Act 2013, and other recognized accounting practices and

the policies to the extent applicable .

Adoption of lnd-As -115 "Revenue from Contracts with Customers" :

Effective April 1, 2018, the Company has adopted Ind AS 115 "Revenue from Contracts with Customers". The adoption of

Ind-AS 115 did not have any significant impact on the financial results of the Company.

5 The fo rmat audited/unaudite d quarterly results as prescribed in SEBI 's circular CIR/CFD/CMD/15/2015 dated 30th

Novemb er, 2015 has been mod ified to comply with requirements of SEBI 's circular dated 5th July 2016, Ind ASand

Schedule III (Division II) to the Companies Act, 2013, as applicable to companies that are required to comply with Ind AS

6 Previous period 's figure s have been regrouped / reclassifi ed wherever necessary to correspond with the current period 's

classification / disclosure.

7 A BusinessTransfer Agreement was signed on th e 2nd April 2012 between Ansal Landmark Townships Pvt. ttd., (ALTPL);

Ansal Landmark (Karnal) Town ship Pvt. Ltd. (ALKTPL) & Ansal Properties & Infrastructure Ltd. Pursuant to the same,

advances of Rs.499,374,839/- (including accrued interest up to June 30, 2008), which Landmark Property Development Co.

Ltd. (the Company) had given to ALTPL stood transferred to a new entity set up to run the Karnal project, viz. ALKTPL.

Following th is new arrangem ent, th e Company was entitled to allotment of Plots, Flats in Group Housing/Row

Housing/Commercial property in the ongoing residential township being developed by ALTPL at Ghaziabad and ALKTPL at

Karnal, in due course. As on March 31, 2019, the remaining amount outstanding is Rs.354,591,040/-
