Notable MilestonesOwner managed for four generations, S Murray& Co has a history of growth and developmentwith a number of notable milestones:-
Plastic ContainersBeginning with the distributorship of Fibrenyleproducts in 1963, the company commencedin-house manufacture in 1984, then acquiredblow-moulding and silk-screen specialistsMiller Mouldings Ltd in 1989.
Manufacture was relocated to Wokingin 2001.
Laboratory EquipmentManufacture of test tubes was relocated fromLondon to Woking in 1941. The companycommenced distribution of Trident Vials in1964 and acquired laboratory scaffoldingmanufacturer Climpex Ltd in 1998.
Surgical InstrumentsThe acquisition of Sheffield-based surgicaland dissecting instrument manufacturersGeorge Gill & Sons took place in 1948,Nowlin & Son in 1990 and Heeley Surgicalin 1999. Manufacture relocated to a newpurpose built factory, still in Sheffield, in 2003.

SAMCO Test Tubes are manufactured from soda, neutral orborosilicate glass to the dimensions, tolerances and qualityrequirements of ISO 4142:2002, to meet all applications forre-usable glass tubes.
Other products manufactured at S Murray’s Woking Factoryincluded in this section are flat bottom specimen tubes,Dreyer and Durham fermentation tubes, centrifuge tubes,capillary tubes and freeze-drying ampoules.

TEST TUBES SODA GLASS
SAMCO soda glass test tubes are suitable forgeneral mixing and simple laboratory work, andwill withstand moderate warming (eg in a waterbath). They should not be placed directly intonaked flames.
Tolerances are as specified in ISO 4142:2002 (Table 4).

Trident vials are made from neutral glass under the strictconditions required by the pharmaceutical industry. They areavailable from stock in capacities from 1.75 to 28.25ml,with screw caps, clip-on closures or polythene plugs. Screwneck Trident vials are manufactured with buttress thread, foroptimum closure.
Other products manufactured under the Trident brand arescintillation and tubular glass universal and bijou vials. Alsoincluded in this section are moulded glass universal andMcCartney bottles.

1. DEFINITIONS1. "The Company" - means S Murray & Co Limited.
2. "The Customer" - means the customer of the company.
3. "The Contract" - means any contract for the sale of goodsby the company to the customer.
4. "The goods" - means goods of any description forming thesubject matter of this contract including, parts, componentsand ingredients of any materials incorporated into the goods.
2. QUOTATIONSQuotations by the company unless otherwise stated in terms orotherwise agreed by the company in writing shall be open foracceptance within 30 days of the date of the quotation.
3. EXISTENCE OF CONTRACT1. No contracts shall come into existence until the customer'sorder (whether placed pursuant to a quotation orotherwise) is accepted by the earliest of:
(a) the company's written acceptance;(b) delivery of the goods;(c) delivery of the company's invoice.
2. These conditions shall be incorporated in the contract tothe exclusion of any terms and/or conditions stipulated orreferred to by the customer.
3. No variations or amendments of this contract or theseterms and conditions shall be binding on the company unlessconfirmed by it in writing.
4. The customer hereby agrees that no reliance will beplaced upon any written or oral statements or representationmade by the company its servants or agents which is notenclosed or contained in the company's quotation oracknowledgement of order or which is not reduced into writingby the customer and acknowledged in writing by the companybefore the contract comes into existence in accordance withsub-paragraph 3.1 above.
4. PRICES1. Prices are ex-works and exclude freight, insurance anddelivery charges; and further exclude Value Added Tax and allother taxes or duties whatsoever.
2. The company shall have the right to increase its prices tothe customer to account for any alteration in the cost of mate-rials, parts, or labour or to account for any changes in work ordelivery schedules or quantities, or to account for increases inthe company's costs of any kind arising for any reason after thedate of the contract.
3. The company shall not increase the price of any goodswhich are the subject matter of an invoice already delivered bythe company to the customer.
5. PAYMENT1. All invoices are payable without discount of any kind inpounds sterling on the last day of the month following the dateon the company's invoices at the premises stated on theinvoice as being the company's premises.
2. In no circumstances whatsoever shall the customer beentitled to make any deduction or claim any set-off or with-holdpayment on any invoice for any reason at all.
3. Time for payment shall be of the essence of the contract.The customer may be required to pay to the company intereston any overdue amount from the dates the payment was due tothat on which it is made (whether before or after judgement) ona daily basis at the rate of 4% per annum over the base ratefrom time to time quoted by National Westminster Bank Plc andthe customer shall reimburse to the company all costs andexpenses (including legal costs) incurred in the collection of anyoverdue amount.
6. TITLE1. Property in the goods shall remain with the company andshall not pass to the customer (notwithstanding the earlierpassing of risk) until the price of the goods has become due andhas been paid by the customer in full.
2. Until property passes to the customer upon payment forthe goods the customer shall hold the goods as bailee for thecompany and shall store or mark them so that they can at alltimes be identified as the property of the company.
3. The company shall be entitled at any time before propertypasses to the customer to repossess all or any of the goodsand/or use or sell them (without any liability to the customer),and so terminate the customer's right to use, sell or otherwisedeal with them as the company's bailees.
4. For the purposes set out in sub-paragraph 6.3 above or forthe purposes of determining what goods are held by the cus-tomer and inspecting them; the company or its authorisedagents may at any time enter and remain upon any premises ofthe customer.
5. The company shall be entitled at any time before propertypasses to the customer whether or not payment for the goodsis due require the customer forthwith to return the goods to thecompany (at the customer's expense) to any address the com-pany may reasonably specify.
6. Until property passes the entire proceeds of sale of thegoods shall be held in trust for the company and shall not bemixed with other monies or paid into any overdrawn bankaccount and shall be at all times identifiable as the proceeds ofsale.
7. The company shall be entitled to maintain an action againstthe customer for the price of the goods notwithstanding thatproperty in them has not passed to the customer.
7. DELIVERY; RISK; PERFORMANCE1. Goods are delivered to the customer when the companymakes them available to the customer or any agents of the cus-tomer or any carrier (who shall be the customer's agent whoev-er pays his charges) at the company's premises or other deliverypoint agreed in writing by the company.
2. Risk in the goods passes when they are delivered to thecustomer as aforesaid.
3. The company may deliver goods by instalments in anysequence.
4. No default or failure by the company in respect of any useor more instalments shall vitiate the contract in respect ofgoods already delivered to the customer, or yet to be deliveredto the customer and where the goods are delivered by instal-ments each instalment shall be deemed to be the subject of aseparate contract.
5. The company may deliver and the customer shall accept insatisfaction of the contract a lesser quantity than the quantity ofgoods ordered.
6. Any dates quoted by the company or specified by the cus-tomer for the delivery of the goods are deemed to be approxi-mate only and shall not form part of the contract and the cus-tomer acknowledges that in the performance expected of thecompany no regard has been paid to any quoted delivery dates.
7. Time for delivery is not of the essence of the contract.
8. If the customer fails to take delivery of the goods or anypart of them on the date they are made available and or fails toprovide written instructions or any documents licences con-sents or authorisations required to enable the goods to bedelivered the company shall be entitled to store or arrange forthe storage of the goods, and the risk in the goods shall pass tothe customer delivery shall be deemed to have taken place andthe customer shall pay to the company all costs and expensesincluding storage and insurance charges arising from its failure.
9. The company shall not be liable for any penalty loss injuryor damage or expense arising from any delay or failure in deliv-ery or performance from any cause whatsoever nor shall anysuch delay or failure entitle the customer to refuse to acceptany delivery or performance of or to repudiate or terminate thecontract.
8. CLAIMS NOTIFICATION1. Any claim for non-delivery of any goods in the UnitedKingdom shall be notified by the customer to the companywithin 14 days of the date on the company's invoice.
2. Any claims that the goods have been delivered damaged orare not of the correct quantity or do not comply with thedescription in the contract shall be notified by the customer tothe Company within seven days of their delivery or deemeddelivery.
3. Any alleged defect in the goods shall be notified by thecustomer to the Company within seven days of delivery or in thecase of any defect which is not reasonably apparent on inspec-tion within seven days of the defect coming to the customer'sattention.
4. Any claim under this condition must be in writing and mustcontain full details of the claim including any details required bythe Company to identify the goods.
5. The Company shall be afforded a reasonable opportunityand facilities to investigate any claims under this condition andthe customer shall if so requested in writing by the Companypromptly return any goods the subject of any claim and anypacking securely packed and carriage paid to the Company forexamination.
6. The Company shall have no liability with regard to anyclaim in respect of which the customer has not complied withthe provisions of this condition.
9. SCOPE OF CONTRACT1. Under no circumstances whatsoever shall the Companyhave any liability of whatever kind for:
(a) any defects resulting from wear and tear accident or improper use or storage after delivery;
(b) any goods which have been altered after delivery;
(c) the suitability of any goods for any particular purpose or use under specific conditions whether or not those purposes or conditions were known or communicated to the Company.
2. Under no circumstances whatsoever shall the Companyhave any liability of whatever kind for any:
(a) descriptions, illustrations, specifications, figures as to perfor-mance, drawings and particulars of weights and dimensions submitted by the Company contained in the Company's cata-logues, price lists or elsewhere since they are merely intended to project a general idea of the goods and not to form part of the contract or be treated as representations;
(b) technical information recommendations, statements or advice furnished by the Company its servants or Agents;
(c) any variations in the quantities or dimensions of any goods or changes in their specifications or substitution of any materials if thevariation or substitution does not materially affect the characteristics of the goods and the substituted materials are of a quality equal or superior to those originally specified.
10. EXTENT OF LIABILITY1. The Company shall have no liability to the customer (otherthan liability for death or personal injury resulting from theCompany's negligence) for any loss or damage of any naturearising from any breach of any express or implied warranty orcondition of the contract or any negligence breach of statutoryor other duty on the part of the Company or in any other wayout of or in connection with the performance or purported per-formance of or failure to perform the contract except in accor-dance with this condition.
2. If the customer establishes that goods have not been deliv-ered or have been delivered damaged or are not of the correctquantity or do not comply with their description or are defective,the Company shall at its option replace with similar goods anygoods which are missing, lost or damaged or do not complywith their description or are defective or allow the customercredit for their invoice value or refund to the customer theinvoice price of any such goods.
3. If the Company is liable in accordance with this condition inrespect of only some goods the contract shall remain in fullforce and effect in respect of the other goods in the contract.
4. The Company shall not be liable in any circumstanceswhatsoever for goods which are lost or damaged in transit andall claims shall be made against the carrier.
5. There are no circumstances in which the liability of theCompany to the customer under this condition shall exceed theinvoice value of the goods.
11. GENERAL1. If the customer fails to make any payment or otherwisedefaults in any of its obligations under the contract or any othercontract or agreement with the Company or becomes insolvent,has a receiver appointed or is wound up (voluntarily or compul-sorily) or the Company bona fide believes that any such eventmay occur; then the Company may suspend or terminate thesupply of any goods and shall be entitled to forfeit any moniesalready paid.
2. The contract and its subject matter are confidential andshall not be disclosed or used for any unauthorised purpose.
3. The contract cannot be cancelled without the writtenagreement of the Company and upon payment by the customerto the Company of 25% of the total contract price, or suchother sum expressly agreed in writing by the Company.
4. The contract shall be governed by the English Law and thecustomer consents to the exclusive jurisdiction of the EnglishCourts in matters regarding the contract except to the extentthat the Company invokes the jurisdiction of the Courts of anyother country.
5. Any notice to be given under this contract shall be in writ-ing or sent by facsimile transmission or forwarded by recordeddelivery post to the receiving party at its business address orlast known business address and shall be deemed to have beengiven on the date of the facsimile transmission or on the day fol-lowing that on which the notice was posted.
12. FORCE MAJEUREThe Company shall not be liable for any failure in the perform-ance of any of its obligations under the contract caused by fac-tors outside its control.
13. EXPORTS1. For the avoidance of doubt all the above terms and condi-tions apply to orders from customers outside the UnitedKingdom as well as those from within the United Kingdom.
2. The provisions of this condition apply to customers fromoutside the United Kingdom in addition to the remaining condi-tions but if any inconsistency arises between this condition andany others, for customers from outside the United Kingdom theprovisions of this condition shall prevail.
3. Orders from customers outside the United Kingdom mustbe covered by an irrevocable letter of credit to cover the pur-chase price and any other additional costs and charges what-soever, confirmed by a London clearing Bank unless otherarrangements have been made and agreed between theCompany and the customer in writing.
4. The Company's prices do not include F.O.B. charges orany delivery charges to docks, airports or otherwise to the cus-tomer's order.
5. Any obligation on the Company to carry or arrange for thecarriage of any goods to any points outside the Company'spremises must be agreed with the Company in writing, will beentirely at the customer's expense and will be invoiced to thecustomer by the Company separately and at cost price.
6. Insurance is only effected on the customer's specificinstructions and to the customer's specific requirements, noti-fied to the Company in writing, and entirely at the customer'sexpense. However, the Company is under no obligation toaccept any instructions to effect any Insurance cover.
7. The notification periods specified in clause 8 shall beextended in each case by seven days for customers from out-side the United Kingdom.
8. Unless otherwise agreed in writing by the Company beforethe contract is made it is the responsibility of the customer tomake provision for the delivery of goods outside the Company'spremises and to provide all necessary instructions, documents,licences, consents, authorisations, permissions and insurancerequired for the acceptance of the goods from the Company onthe due date.
