TERMS AND CONDITIONS

This Puppy / Adult Sales Agreement (“Agreement”) is by and between La Nobleza (“Seller”) and the Buyer listed above (“Buyer”). This Agreement is effective upon the acceptance of a deposit paid by Buyer to Seller and the full execution of this Agreement by both parties. Seller agrees to sale and Buyer agrees to purchase the “Puppy” or “Adult” set out above.

Seller hereby agrees as follows:

1. This Puppy or Adult is purebred as set out above.

2. Puppy or Adult is of a typical temperament and structure and embodies the basic stan-dards of the breed. Seller does not provide any guarantee regarding the Puppy or Adult temperament, training ability or any behavior of the Puppy or Adult.

3. The pedigree of the Puppy or Adult is attached to this Agreement and Seller certifies that the information contained in the pedigree is true and correct.

4. La Nobleza Kennel Puppy or Adult is not sold with registration papers. If La Nobleza does register the puppy or Adult the registered name is/will be: La Nobleza’s__________

5. If UKC Registration papers are issued they will be filled out after the sale is complete and will be forwarded to the Buyer once the UKC returns them.

6. The Puppy or Adult is healthy at the time of sale and has had immunizations enumerated in the attached health record.

7. The Puppy or Adult’s sire and dam are both free of hip dysplasia and comes from many generations of puppy/dogs who are also free of hip dysplasia. The Puppy or Adult is ex-pected to be free of hereditary crippling hip dysplasia. However, no guarantee of such is or can be made, or intended herein.

8. During the first year from the date of delivery of the Puppy, Seller shall provide a puppy replacement warranty to cover genetic defects as follows: in the event that the Puppy shall have any hereditary defects that severely affects the quality of life of said Puppy,

Buyer shall notify Seller of same by providing to Seller a veterinary certificate indicating the genetic defect from which the Puppy is suffering. Once the veterinarian’s diagnosis is confirmed, Buyer shall return the Puppy to Seller and Seller shall provide to Buyer a re-placement puppy from the next litter. Buyer shall be responsible for all veterinarian costs and any transportation costs associated with retuning the Puppy in the exercise of this warranty. The replacement of the Puppy shall be the only remedy in the event the Puppy has a genetic defect as outlined herein.

9. No other warranties or guarantees, expressed or implied, are made under this contract ex-cept as stated in Section 8 above.

Buyer hereby agrees as follows:

10. Buyer shall take ownership and delivery of the Puppy or Adult at the Seller’s kennel. In the event Buyer requires transportation, Buyer alone shall bear the risk of injury or death of the Puppy or Adult during said transportation as well as all costs of transportation. Buyer understands that some transportation services may be provided by Seller, but Seller fully disclaims any warranty or liability for the Puppy or Adult during the provision of said transportation services.

11. The buyer agrees to take the puppy or Adult to a veterinarian within 48 hours of the date of purchase for a physical examination to determine the health of the Puppy or Adult. The vet check must be filled out by the vet and returned to the breeder after the examination is complete. The Buyer agrees to maintain the Puppy or Adult health with yearly veterinary visits, vaccinations and other treatment as specified by Buyer’s veterinarian. The buyer shall provide the dog with adequate food, fresh water all times, shelter affection, and medical care. __________ If full rights are given, the breeder agrees to sign the necessary registration papers for transfer of ownership to the buyer, and supply the buyer copies within 90 days. The buyer agrees to only breed the female up to 4 times and not before the dogs third heat cycle or 18 months whichever comes first. ( females only ) The buyer agrees if for any reason at all they are not able to care for the Puppy or Adult they will return to La Nobleza Kennel so we can assist to find them the perfect home.

13. The buyer agrees and understands that buyer is purchasing Puppy or Adult as a pet and as a pet only. Breeding rights are not included in the sale contemplated herein but are avail-able at a substantial additional charge and via a separate agreement. Buyer further agrees that if buyer attempts to breed the dog without approval from La Nobleza Kennel, sub-stantial additional fees will apply. Buyer agrees to pay to La Nobleza Kennel $120,000 per attempt of the Puppy or Adult to be bred. Buyer shall also pay to La Nobleza Kennel any payments received for any breeding attempt. Buyer understands and agrees that breeding rights are extremely valuable to La Nobleza Kennel and that the breeding fees outlined in this provision are a fair and reasonable charge for the right to breed a Puppy or Adult dog purchased from La Nobleza Kennel and are not a penalty.

14. Should the Puppy or Adult become ill or unsound, any and all costs of treatment will be the responsibility of the Buyer.

15. The Buyer agrees to keep the Puppy or Adult in an appropriate weight and fitness to max-imize the Puppy health and wellbeing.

16. The Buyer agrees to indemnify and hold Seller harmless for any claims or liability that may arise due to the actions of the Puppy or Adult. Buyer shall indemnify Seller for any reasonable attorney’s fees that Seller may incur in defendant any case brought against Seller that results from the actions of the Puppy or Adult.

General provision:

17. TIME OF THE ESSENCE: For all covenants and agreements contained herein, time is of the essence.

18. VALIDITY: Should any one or more provisions of this agreement should be found to be invalid, illegal or unenforceable for any reason, such finding shall not affect or invalidate any other provision hereof.

19. FORUM: All parties understand and agree that the law of the State of Georgia shall ap-ply in any disputes that may arise regarding this agreement. Any dispute involving this agreement shall be brought in the courts of State or Superior Court of Hall County, Geor-gia.

20. ENTIRE AGREEMENT: This Agreement and all attachments, exhibits and other related documents executed herewith, constitute the parties’ entire understanding and supersedes any oral representations, understandings and offers related to the subject matter hereof. This Agreement can only be modified in writing signed by both parties.

21. ENFORCEMENT COSTS: Should either party need to employ an attorney to enforce the rights and obligations contained herein, said party shall be entitled to recover as dam-ages, reasonable attorney fees and costs of collections.

22. ADVICE OF COUNSEL: All parties understand and acknowledge that they have been afforded an opportunity to seek independent legal advice, specifically concerning liability and obligations of the parties and the possible tax liability resulting from this transaction.

23. BINDING AGREEMENT: This agreement shall bind and inure to the heirs, executors, administrators, successors and assigns of the parties.

24. DUPLICATE COPIES: The parties agree and understand that this Agreement may be signed in duplicate originals and that each party will retain an original with a faxed or scanned copy of the other party’s signature page. The parties specifically agree that a photocopy, fax or scanned copy of a party’s signature shall be valid, binding and enforce-able against the other party.
