Notes to the Financial Results :

1 The above financial resuits of the company for the quarter ended on l i s t December 2011 have been approved by the Board of Directors at its meeting held on 07th March 2012 after belng approved and recommended by the Audit Committee of the Board.

2 The statutory Auditors of the company have carried out the Limited Review of the above financial results of the company for the quarter ended 31st December 2012 in accordance with the clause 41 of the Listing Agreement.

3 As the Company's business activity falls within a single business segment, there are no additional disclosures to be provided under Accounting Standard 17 'Segment Reporting'.

4 During the quarter the Company has acquired complete shareholding and further invested in Shilpi Worldwide JLT thereby making Shllpi Worldwide JLT a wholly owned subsldiaryof the Company. Shiiipi Worldwide JLT is intended to be the SPV of the Company for all its international forays and overseas businesses.

5 The Consolidated financial results have been prepared in accordance with Accounting Standard 21 on "Consolidated Financial Statement". Financial results of Shllpi Cabietronics ttd and Shilpi Worldwide JLT, subsidiaries of the company have been consolidated.

6 The Company has invested Rs 17.36 Cr towards Capex and Advances for the expansion plan, made investment in subsidiary for Rs 5 Cr and spent Rs 1.99 Cr on issue Expenses in addition to providing Rs 13 Cr as margin for opening LCs for the imported machinery for the>xpansion plan. The Balance public issue proceeds have been used in working capital pending utilisatlon in the objects of the Issue as modified by the resolution passed bythe shareholders in its AGM dated 29.09.2011.

Notes to the Financial Results :
