SUB: NOTICE FOR TRANSFER OF EQUITY SHARES OF THE COMPANY TO IEPF-SUSPENSE ACCOUNT OF KHAITAN
CHEMICALS AND FERTILIZERS LTD. Dear Shareholder, We would like to draw your kind attention towards the provision of Section 124(6) of the Companies Act, 2013 read with Rule 6(3) of the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016 which provide that all the shares in respect of which dividend has not been paid or claimed for seven consecutive years or more shall be transferred by the Company in the name of Investors Education and Protection Fund, therefore the following shares shall be credited to IEPF suspense account with one of the depository participants as may be identified by the Authority after thirty days of such shares becoming due to be transferred to the Fund: Provided that in cases, where the seven years as provided under section 124(5) have been completed or are being completed within three months from the date of coming into force of these rules, i.e. 7th September, 2016 the company shall initiate the procedure immediately and transfer the shares on completion of three months to “IEPF suspense account of Khaitan Chemicals and Fertilizers Ltd.” As per records of the Company it has been observed that you have not encashed any dividend declared by the Company during the year 2008-09 to 2014-15 and the corresponding shares held in your ledger folio in case of if the shares held in the physical form or with the depository participants if the shares are held in d-mat form needs to be transferred within three months from the end of the seven years to the IEPF suspense account of Khaitan Chemicals and Fertilizers Ltd. The details of the shares held by you and dividend remained unclaimed/unpaid for the year 2008-09 to 2014-15 are as under : Client ID /L.F. You are requested to please proceed for issuance of duplicate dividend warrants for the year 2009-10 to 2014-15 within 7 days from the date of the notice. If you do not submit your claims within aforesaid time, the company shall proceed to transfer the resultants shares as shown in the Colum 3 to “IEPF suspense account of Khaitan Chemicals and Fertilizers Limited.” and while effecting such transfer, the company shall send a statement to the Fund in Form IEPF 4 containing details of such transfer. The said warrants appear to have been lost/misplaced in transit. I confirm that the same had not been encashed by me and request the Company to issue a Duplicate in lieu thereof and/or make payment of the same to me. In consideration of the Company according to my aforesaid request for issue of Duplicate Dividend Warrant for the like amount in lieu of original and/or making payment of the same to me, I hereby agree to indemnify the Company against all costs, charges, expenses, losses and damages which may be incurred by the Company in consequence of the issue of such Duplicate Dividend Warrant and/or making payment thereof to me or in consequence of any claim which may be made by or on behalf of any person holding the original Dividend warrant or otherwise claiming the money due there under. I also undertake to return the Original Dividend Warrant for cancellation if it is received by me subsequent to the issue of Duplicate Dividend Warrant and/or receiving the payment thereof.
