    Tender is invited through e-procurement portal for Two Video filming including few

    initiatives of Government of Karnataka in Promoting Information Technology,

    AVGC, ESDM, Startup ecosystem in the State to be completed in 45 days from the

    date of issue of LOI. The tender document may be downloaded from

    QCBS (Quality cum-Cost Based Selection) procedure.

    SECTION I. INVITATION FOR TENDERS (IFT)

    1. The Managing Director, Karnataka Biotechnology & Information Technology

    Services (KBITS), Bangalore 560027, Karnataka invites tenders from eligible

    tenderers for providing services listed below:

    2. The bidders/firm may submit tenders for Selection of a firm for video filming

    initiatives of Government of Karnataka put in towards Promoting Information

    Technology, AVGC, ESDM, Startup ecosystem in the State with final video

    product of

    a. Maximum 10 minutes of final viewing length showcasing sectors of IT,

    AVGC & ESDM.

    b. A separate filming of maximum 10 minutes to highlight achievements of

    the State in promoting the Startup Ecosystem both in ICT & Biotechnology

    Sector.

    ** The firm is free to use same footage coverages on the two films to the extent

    relevant with the final video product of maximum 10 minutes final viewing

    length for each film to be ready by 45 days from the date of issue of LOI.

    3. Two Cover Tender procedure as per Rule28 of the KTPP Act shall be

    followed. The firms are required to submit the Technical Bid proposal along

    with the Commercial Bid proposal.

    4. Firms are advised to note the Qualification criteria specified in Section V to

    qualify for Evaluation of the proposal.

    5. Tender documents may be downloaded from the website of e-Governance ,

    Government of Karnataka, through the website http://eproc.karnataka.gov.in.

    6. The firms have to deposit the Earnest money deposit (EMD) to e-governance /

    e-portal of Rs. 1,00,000/- (Indian Rupees One Lakh Only).

    7. EMD and Tender processing fee payments as specified in the e-Procurement

    portal shall be paid through any of the following modes of payment.

    i. Credit Card

    The Credit Card and Direct Debit payment are online payments with instant

    confirmation regarding the status of payment. The NEFT / RTGS and OTC

    payment modes are deferred modes of online payments, wherein the bidding bank

    shall enter the transaction number and date of payment against the chosen mode

    of payment in the e-Procurement system after payment.

    * Please ensure that the payments are credited within the due date and time of

    Tender submission. Bidding banks crediting payments after the due date and time

    of submission as prescribed in the Tender notification will not be eligible for tender

    evaluation.

    * Please instruct the sending bank to enter the correct bank account, IFSC code and

    beneficiary name, as mentioned in the NEFT / RTGS challan generated from the e-

    Procurement platform, while transferring EMD amount through NEFT / RTGS.

    Any mistake in the entry of above information will result in amount returning back

    to sender and subsequent ineligibility of the bidder to participate in the tender.

    6. Proposal must be submitted to The Managing Director, Karnataka

    Biotechnology & Information Technology Services (KBITS) on or before

    Tender due date as specified in e-procurement platform through the e-

    procurement portal through the website http://www.eproc.karnataka.gov.in.

    7. The Technical Bid Tender will be opened by the Tender Inviting Authority

    of KBITS using the digital signature certificate in e-Procurement portal.

    8. Other details can be seen in the tender documents.

    9. For any additional information regarding the above tender, the firms who are

    interested to quote, may contact office of the undersigned at the office address

    given below on all working days during office hours (10.30 am to 05:30 pm).

    10. List of documents to support Qualification of bidder is to be uploaded to the e

    procurement website www.eproc.karnataka.gov.in.

    11. The firm shall bear all costs associated with the preparation and submission of

    SECTION II - TERMS OF REFERENCE

    Terms of Reference for Appointment of a Firm for making a promotional film showcasing initiatives of Government of Karnataka towards Information Technology, AVGC, ESDM & Startup Ecosystem.

    1. BACKGROUND:

    a. Information Technology Policy: Karnataka has been in the forefront of Information technology and Bengaluru is acknowledged as IT Capital of India. Karnataka was the first state in India to have come up with a IT Policy in the year1997 and followed by Millennium IT Policy in the year 2000. The Policy acted as an important catalyst for the growth of IT industry in the State. The Policy was instrumental in promoting several e-governance initiatives which have contributed to the improvement of delivery of Government service to citizens in a more transparent manner. In order to take the growth of IT/ITES/BPO sector in the State to next level, the Government of Karnataka has brought out new IT Policy i.e., Karnataka I4 Policy (IT, ITeS, Innovation Incentives Policy) where in several incentives are being offered to new IT / ITES and other knowledge based sectors to set up their facility in Tier 2/3 Cities across Karnataka. The Dept. of IT, BT and S&T acts as Single Window Agency for clearance of IT / ITES / Start-ups / other Knowledge based industries.

    The state was also the first to have created a Vision Group on Information

    Technology (VGIT) consisting of the doyens of the IT Sector, to formulate policies

    and assist the Government.

    b. Karnataka The IT & Innovative Hub of India: The IT Industry in the State has emerged as one of the largest job providing sector. The Industry provides direct employment to over a million and indirect employment to over 3 million persons. The information technology (IT) sector in Karnataka has become one of the main growth drivers of Karnataka's economy. IT activity in Karnataka is largely concentrated in Bengaluru. Lately, other parts of Karnataka have also seen a growth in IT-related activities. Bengaluru, is the 4th Best Technology Hub in the world, after Silicon Valley, Boston and London (as per UNDP Report), has become a global brand in the IT space. Almost all the Fortune 500 companies have one or the other of their operations outsourced in Bengaluru. Many global brands such as GE, Texas Instruments, Intel, AMD, SAP, CISCO, Microsoft, Motorola, Nokia etc., have their R & D activity based in Bengaluru.

    The State Government has been encouraging IT units to set their operation in the State. Under the State's IT policy, several infrastructure facilities are proposed in Mysuru, Hubballi & Mangaluru and others apart from Bengaluru to help the development of IT industry.

    c. Karnataka Animation, Visual Effects, Gaming and Comics (AVGC) Initiatives: Government of Karnataka is the first State to bring out a comprehensive AVGC policy for the development of this sunrise industry in the State. Department of IT, BT and Science & Technology and Karnataka Biotechnology and IT Services (KBITS) is pioneering the cause of AVGC industry through implementation of various schemes and projects. Special emphasis is laid on development and upskill of quality manpower in the State. It is also emphasized to create a state -of-art infrastructure conforming to international standard under PPP model. ABAI (The Association of Bangalore Animation Industries) has been active in Bangalore since 2005 and represents the AVGC community in taking the cause of AVGC related activities forward by holding regular state level events and expos through private partnerships. Objectives :

    Make Karnataka the most favored destination for investment in Animation, Visual Effects Gaming and Comics.

    Encourage and support appropriate manpower development, infrastructure development and business development.

    Spread awareness and provide multifaceted employment for people in the AVGC sector.

    Bridge the demand and supply gap of human resources in AVGC sector. Attract top global companies in the field of AVGC to Karnataka. Capture a larger share of outsourced international AVGC work for Karnataka. Facilitate a legal framework for IP creation and its protection. Promote growth of indigenous digital content education and entertainment for the

    masses. Set up a CENTER OF EXCELLENCE with state-of-the-art facilities to act as a

    catalyst for the AVGC industry. Set up multiple AVGC parks on the SEZ model.

    d. Karnataka Start-up ecosystem initiatives:

    The vision of the Government focuses on promoting Start-ups and as a part of this initiative; the Government of Karnataka has been supporting several Start-up Incubators.

    The GoK supporting several organizations to run incubator programs in the form of Start-up Warehouse with NASSCOM 10K, New Age Incubation Network Programm in nine colleges, Internet and Mobile Association of India (IAMAI) 10K program for Centre of Apps Excellence, GoK Incubator for Tech Startups (GIfTS) Programm with Springboard on PPP mode.

    e. Electronics System Design and Manufacturing (ESDM) initiatives: Electronic System Design and Manufacturing (ESDM) is the fastest growing segment of the Information and Communications Technology (ICT) sector. The objective of the Karnataka ESDM Policy is to facilitate, promote and develop the ESDM sector in the State of Karnataka and make Karnataka a preferred destination for investment in this sector. For the purpose of this Policy, ESDM

    shall mean Electronics System Design and Manufacturing which includes, but not be restricted to, Electronics Hardware design and manufacturing (which shall include embedded software) for IT, Telecommunications, Defense, Medical, Industrial, Automotive, Consumer Products, applications and components, parts, and accessories required for the aforesaid products and applications. ESDM is expected to grow to USD $400 Billion by the year 2020. Karnataka ESDM policy offers numerous amount of incentives/concession in the in the field of VLSI, semiconductor chip design and embedded software by providing Incentives for Patents and IPR, R & D Grants, start-up initiative in the ESDM space.

    2. THE OBJECTIVE:

    The objective of this assignment is to engage a firm, to provide highly qualified Video Services including Photography Services with editing and post-production skills, who will generate a high quality video coverage of all the activities of KBITS in the light of all the developments that have taken place in the field of Information Technology and likely to happen as mentioned in the Background section. The video has to capture the initiatives of Karnataka State Government and progressing towards becoming a global leader in IT.

    Evaluation for the video including photographic services will be done together for both

    services. Vendors are requested to propose the best and most cost-effective solution to

    meet requirements, while ensuring a high level of service.

    3. SCOPE OF WORK FOR THE SELECTED FIRM / Agency:

    a A high resolution video filming and photography with short narrative of event (A

    brief description and feedback on the work relationship during the event,

    challenges, success, etc.).

    b A clear draft of script (Storyboards) for voice over narration for the documentary.

    c Should show the journey of Bengaluru in becoming Global Leader in IT, AVGC,

    ESDM and Startup Sectors.

    d Video Capturing all the major IT Parks and IT SEZs in Bangalore.

    e Top 10 IT Companies campus should be included in the video.

    f Should project some of the major IT investments in Bengaluru and their success

    stories.

    g The video should be able to view on a hand held devices like tab and smart phones.

    h Video Capturing all the events and initiatives by KBITS, Department of IT, BT and

    S&T Government of Karnataka towards Information Technology in the state.

    i Video capture of senior leadership of Department of IT, BT & S&T highlighting the

    significant steps that Karnataka has taken to nurture & grow the IT industry. Video

    capture of key opinion from the leaders & industry stalwarts in the IT, ESDM, AVGC

    & Startup realm of Karnataka- the names of key leaders & industry stalwarts would

    be provided by KBITS.

    j Preparing a list of questions for the interviews

    k Delivery of video footage, on, Start-up incubator center and its ecosystem in

    Bengaluru and within Karnataka and its purpose of making.

    l Special reference/focus to i4 policy incentives and concession for IT, AVGC, ESDM

    & Startups.

    m Visit and capture New Age Incubation Network college in terms of projects handled

    at least in three locations in the State highlighting through testimonial of benefits.

    n All the items mentioned at para i should be addressed with a video footage

    covering

    i. Shooting of all aspects of the building, interior and exterior.

    ii. Shooting the operation of the equipment driving the current system.

    iii. Interviews with company / organization heads, office staff, and other

    relevant leaders in the sector (this will likely entail 10-15 minute sessions

    with individuals). The selection of the companies/organization heads will

    be in consultation with KBITS and the final list approved by KBITS.

    iv. Filming an array of activities conducted at the venue.

    v. Filming two or three successful entrepreneurs working in the institute and

    inspiring youth as well as highlighting the advantage of being in Karnataka

    as well as the impact of their products being developed.

    o Provide post-production services to edit raw footage into the finished product,

    including rough cut and final editing, sound mixing and visual effects.

    p Provide supplemental graphics and audio as needed.

    q Deliver finished product in desired format(s), but not limited to, DVD, Beta, and

    Web-compatible formats.

    r Ensure that project(s) stay on schedule and within scope.

    s Conduct video shoots, providing all necessary equipment and qualified operators

    and Post-Production.

    t Proper key wording and captioning of all images uploaded on the website.

    u The proposal prepared by the firm, and all correspondence and documents relating

    to the proposal exchanged between the firm and KBITS shall be written in the

    English language.

    A. Introduction

    1. Scope of Tender and Eligible Firms

    1.1 The Managing Director, Karnataka Biotechnology & Information

    Technology Services (KBITS) (Referred to as KBITS in these documents)

    invites tenders following Two Cover tender procedure, from eligible Tenderers

    for Providing a promotional film showcasing initiatives of Government of

    Karnataka towards Information Technology, AVGC, ESDM & Startup

    ecosystem in the State with final video product of

    a. Maximum 10 minutes of final viewing length showcasing sectors of IT,

    AVGC & ESDM.

    b. A separate filming of 10 minutes to highlight achievements of the State in

    promoting the Startup Ecosystem both in ICT & Biotechnology Sector.

    ** The firm is free to use same footage coverages on the two films to the extent

    relevant with the final video product of maximum 10 minutes final viewing

    length for each film to be ready by 45 days from the date of issue of LOI as

    detailed given in the Invitation for Tenders (IFT).

    1.2 Bidders shall not be under a declaration of ineligibility for corrupt and

    fraudulent practices issued by Government of Karnataka.

    2. Cost of Tendering:

    2.1 The Firms shall bear all costs associated with the preparation and submission of

    its tender, and The Managing Director, Karnataka Biotechnology & Information

    Technology Services (KBITS), hereinafter referred to as "the KBITS", will in no case

    be responsible or liable for these costs, regardless of the conduct or outcome of the

    tender process.

    B. The Tender Documents

    3. Contents of Tender Documents

    3.1 The goods required, tendering procedures and contract terms are

    prescribed in the tender documents. In addition to the Invitation for Tenders,

    the tender documents include:

    3.2 The Firms are expected to examine all instructions, forms, terms, and

    specifications in the tender documents. Failure to furnish all information

    required by the tender documents or submission of a tender not substantially

    responsive to the tender documents in every respect will be at the Firms risk

    and may result in rejection of its tender.

    4. Clarification of Tender Documents

    A prospective Bidder requiring any clarification of the tender documents may

    notify the KBITS in writing or by telex or cable or fax at the KBITS's mailing

    address indicated in the Invitation for Tenders. The KBITS will respond in

    writing to any request for clarification of the tender documents which it receives

    no later than 10 days prior to the deadline for submission of tenders prescribed

    by the KBITS. Written responses from KBITS (including an explanation of the

    query but without identifying the source of inquiry) will be uploaded in e-

    procurement portal under Addendum/Corrigendum section.

    5. Amendment of Tender Documents

    5.1 At any time prior to the deadline for submission of tenders, the KBITS may,

    for any reason, whether at its own initiative or in response to a clarification

    requested by a prospective Bidder, modify the tender documents by

    amendment and the amendments will be published through the e-portal

    5.2 In order to allow prospective Bidders reasonable time in which to take the

    amendment into account in preparing their tenders, the KBITS, at its discretion,

    may extend the deadline for the submission of tenders.

    C. Preparation of Tenders

    6. Language of Tender

    6.1 The tender prepared by the Firm, as well as all correspondence and

    documents relating to the tender exchanged by the Firm and the KBITS, shall

    be written in English language. Supporting documents and printed literature

    furnished by the Firms may be in another language provided they are

    accompanied by an accurate translation of the relevant passages in the English

    language in which case, for purposes of interpretation of the Tender, the

    translation shall govern.

    7. Documents Constituting the Tender

    7.1 The tender prepared by the Firm shall comprise the following components

    and the tender submitted by the Firm shall be in two cover system and shall

    contain the documents as follows:

    Cover One or Technical Bid:

    a) Earnest money deposit and Qualification informations as per the Tender

    document.

    b) Documentary evidence established that the firm is eligible to tender and is

    qualified to perform the contract if its tender is accepted; as per the

    Annexure I, II, III, IV.

    c) Documentary evidence established that the services and ancillary services

    to be provided by the Firm are eligible services and conforms to the tender

    documents.

    Cover Two or Commercial Bid:

    a) A Tender Form and a Price Schedule completed as per the format of Form:

    8. Tender Form

    The Firm shall complete the Tender Form and the Price Schedule as per Form:

    9. Tender Prices

    9.1 The Firm shall quote for the complete requirement of services specified as

    a single responsibility basis, failing which such tenders will not be taken into

    account for evaluation and will not be considered for award

    9.2 Prices indicated on the Price Schedule shall be entered separately in the

    following manner:

    i) the price of the services, quoted shall include all duties and sales and

    other taxes already paid or payable.

    9.3 Prices quoted by the Firm shall be fixed during the Firms performance of

    the Contract and not subject to variation. A tender submitted with an adjustable

    price quotation will be treated as non-responsive and rejected.

    10. Tender Currency

    Prices shall be quoted in Indian Rupees:

    11. Documents Establishing Firm's Eligibility and Qualifications

    11.1 the Firms shall furnish, as part of its Tender, documents establishing the

    Firms eligibility to tender and its qualifications to perform the Contract if its

    tender is accepted.

    11.2 The documentary evidence of the Firm's qualifications to perform the

    Contract if its tender is accepted, shall establish to the KBITS's satisfaction:

    (a) the Firm has the financial, technical, and providing services

    capability necessary to perform the Contract and meets the criteria

    outlined in the Qualification requirements specified. To this end, all

    tenders submitted shall include the following information:

    (i) The legal status, place of registration and principal place of

    business of the company or firm or partnership, etc.;

    (ii) Details of experience and past performance of the Firm on

    services offered and on those of similar nature within the past

    three years and details of current contracts in hand and other

    commitments (suggested Proforma for Performance Statement

    for the last 2 years)

    12. Earnest Money Deposit

    a. The Firm shall furnish, as part of its tender, Earnest Money Deposit of Rs.

    1,00,000/- in the amount.

    b. The EMD is required to protect the KBITS against the risk of Firm's conduct

    which would warrant the security's forfeiture.

    c. Unsuccessful Firm's EMD will be discharged/returned as promptly as

    possible, but not later than 30 days of completion of Tender validity period.

    d. The successful Firm's EMD will be discharged upon the Firm signing the

    Contract, and furnishing the performance security.

    e. The tender security may be forfeited:

    A. if the firm (i) withdraws its tender during the period of tender validity

    specified by the Firm on the Tender Form;

    B. in case of a successful Bidder, if the Bidder fails:

    a. to sign the Contract in accordance or

    b. to furnish performance security.

    13. Period of Validity of Tenders

    In exceptional circumstances, the KBITS may solicit the Firm's consent to an

    extension of the period of validity. The request and the responses thereto shall be

    made in writing (or by cable or telex or fax). The EMD provided under shall also

    be suitably extended. A firm may refuse the request without forfeiting its EMD. A

    Firm granting the request will not be required nor permitted to modify its tender.

    D. Submission of Tenders

    14. Submission online:

    The Proposal (Technical Proposal/Bid and Financial Proposal/Bid) shall be

    uploaded in e-Procurement portal. In case of any corrections in the document, the

    uploaded document may be deleted and the revised document may be uploaded

    prior to submission of tender in the e-Procurement portal.

    Firms shall submit, along with their Technical Proposal, an Earnest Money Deposit

    (EMD) of Rs. 1,00,000/- (Indian Rupees One lakhs only) electronically payable as

    per the procedures prescribed in e-Procurement web-site

    (https://eproc.karnataka.gov.in). EMD in any other form shall not be entertained.

    Firms shall also pay tender processing fee as specified in the e-Procurement portal

    through any of the four e-Payment modes. Further details regarding the same can

    be viewed in e-Procurement portal or IFT.

    The Firms shall digitally sign and submit the proposal electronically through the

    unified e-Procurement platform: https://eproc.karnataka.gov.in

    The completed Technical and Financial Proposal must be submitted electronically

    in the e-Procurement platform on or before the due date for bid submission

    specified in the e-Procurement platform. The KBITS will not be responsible for

    technical glitches in the desktop and / or internet connectivity services used by the

    bidder.

    After the deadline for submission of proposals the evaluation committee shall open

    the Technical Proposal on the date and time as specified in e-Procurement portal.

    The Financial Proposal shall remain sealed in e-Procurement until Technical

    proposal evaluation is completed.

    15. Modification and Withdrawal of Tenders

    15.1 No tender shall be modified subsequent to the deadline for submission of

    tenders.

    15.2 No tender shall be withdrawn in the interval between the deadline for

    submission of tenders and the expiration of the period of tender validity

    specified by the Firm on the Tender Form. Withdrawal of a tender during this

    interval may result in the Firm's forfeiture of its EMD.

    E. Tender Opening and Evaluation of Tenders

    16. Clarification of Tenders

    During evaluation of tenders, the KBITS may, at its discretion, ask the Firms for

    a clarification of its tender. The request for clarification and the response shall

    be in writing and no change in prices or substance of the tender shall be sought,

    offered or permitted.

    17. Preliminary Examination

    17.1 The KBITS will examine the tenders to determine whether they are

    complete, whether any computational errors have been made, whether

    required sureties have been furnished, whether the documents have been

    properly signed, and whether the tenders are generally in order. Tenders from

    Agents, without proper authorization from the firm, shall be treated as

    nonresponsive.

    17.2 If there is a discrepancy between words and figures, the lowest of the two

    will prevail. If the supplier does not accept the correction of errors, its tender

    will be rejected and its tender security may be forfeited.

    17.3 The KBITS may waive any minor informality or non-conformity or

    irregularity in a tender which does not constitute a material deviation, provided

    such a waiver does not prejudice or affect the relative ranking of any Firm.

    18. Contacting the KBITS

    18.1 No Firm shall contact the KBITS on any matter relating to its tender, from

    the time of the tender opening to the time the Contract is awarded. If the Firm

    wishes to bring additional information to the notice of the KBITS, it should do

    so in writing.

    18.2 Any effort by a Tenderer to influence the KBITS in its decisions on tender

    evaluation, tender comparison or contract award may result in rejection of the

    Firm's tender.

    F. Award of Contract

    20. Award Criteria

    The KBITS will award the Contract to the successful Firm whose tender has

    been determined to be substantially responsive and has been determined as the

    lowest Financial proposal, provided further that the Firm is determined to be

    qualified to perform the Contract satisfactorily.

    21. KBITS's Right to Accept Any Tender and to Reject Any or All Tenders

    The KBITS reserves the right to accept or reject any tender, and to annul the

    tendering process and reject all tenders at any time prior to contract award,

    without thereby incurring any liability to the affected Firm or Firms.

    22.1 Prior to the expiration of the period of tender validity, the KBITS will notify

    the successful Firm in writing by registered letter or by cable/telex or fax, to be

    confirmed in writing by registered letter, that its tender has been accepted.

    22.2 The notification of award will constitute the formation of the Contract.

    22.3 Upon the successful Firm furnishing of performance security, the KBITS

    will promptly notify the name of the winning Firm to each unsuccessful Firms

    and will discharge its EMD.

    22.4 If, after notification of award, a Firm wish to ascertain the grounds on

    which its tender was not selected, it should address its request to the KBITS.

    The KBITS will promptly respond in writing to the unsuccessful Bidders.

    23. Signing of Contract

    23.1 At the same time as the KBITS notifies the successful Firm that its tender

    has been accepted, the KBITS will send the Firm the Contract Form provided in

    the tender documents, incorporating all agreements between the parties.

    23.2 Within 7 days of receipt of the Contract Form, the successful Bidder shall

    sign and date the Contract and return it to the KBITS.

    24. Performance Security

    Within 7 days of the receipt of notification of award from the KBITS, the

    successful Firm shall furnish the performance security in the form of Bank

    Guarantee for 10% of the Contract value/price in accordance with the

    Conditions of Contract, in the Performance Security Form provided in the tender

    documents or in another form acceptable to the KBITS.

    SECTION IV GENERAL CONDITIONS OF CONTRACT

    1. Definitions

    1.1 In this Contract, the following terms shall be interpreted as indicated:

    (a) "The Contract" means the agreement entered into between the

    KBITS and the Supplier, as recorded in the Contract Form signed

    by the parties, including all the attachments and appendices

    thereto and all documents incorporated by reference therein;

    (b) "The Contract Price" means the price payable to the Supplier

    under the Contract for the full and proper performance of its

    contractual obligations;

    (c) "The Goods" means all the equipment, machinery, and/or other

    materials which the Supplier is required to supply to the KBITS

    under the Contract;

    (d) "Services" means services ancillary to the supply of the Goods,

    such as transportation and insurance, and any other incidental

    services, such as installation, commissioning, provision of

    technical assistance, training and other obligations of the

    Supplier covered under the Contract;

    (e) GCC means the General Conditions of Contract contained in

    this section.

    (f) The KBITS means the organization purchasing the Goods,

    Services as named in .

    (g) The KBITSs country is the country named india .

    (h) The Supplier means the individual or firm supplying the

    Goods and Services under this Contract.

    (i) The Government means the Government of Karnataka State.

    (j) The Project Site, where applicable, means the place or places

    named in .

    (k) Day means calendar day.

    2. Performance Security

    2.1 Within 7 days of receipt of the notification of contract award, the Firm shall

    furnish Performance Security to the KBITS for an amount of 10% of the Contract

    Value/Price, valid up to 60 days after the date of completion of performance

    obligations including Warranty obligations.

    2.2 The proceeds of the performance security shall be payable to the KBITS as

    compensation for any loss resulting from the Firm's failure to complete its

    obligations under the Contract.

    2.3 In the event of any contract amendment, the Firm shall, within 10 days of receipt

    of such amendment, furnish the amendment to the Performance Security,

    rendering the same valid for the duration of the Contract as amended for 60 days

    after the completion of performance obligations including Warranty obligations.

    3. Contract Amendments

    No variation in or modification of the terms of the Contract shall be made except

    by written amendment signed by the parties.

    4. Subcontracts

    4.1 The Firm shall notify the KBITS in writing of all subcontracts awarded under

    this Contract if not already specified in the tender. Such notification, in his

    original tender or later, shall not relieve the Firm from any liability or obligation

    under the Contract. Sub-contracts shall be only for bought out items and

    subassemblies.

    4.2 Subcontracts must comply with the provisions.

    5. Delays in the Firm's Performance

    5.1 Delivery of the performance of the Services shall be made by the Selected

    Firm in accordance with the time schedule specified by the KBITS in the Tender

    document.

    6. Liquidated Damages

    If the Selected Firm fails to deliver any or all of the Services within the period(s)

    specified in the Contract, the KBITS shall, without prejudice to its other

    remedies under the Contract, deduct from the Contract Price, as liquidated

    damages, a sum equivalent to 0.5% of the delivered price of the delayed Services

    for each week or part thereof of delay until actual delivery or performance, up

    to a maximum deduction of 10% of the Contract Price. Once the maximum is

    reached, the KBITS may consider termination of the Contract.

    7. Termination for Default

    The KBITS may, without prejudice to any other remedy for breach of contract, by

    written notice of default sent to the Firm, terminate the Contract

    a if the Firm fails to deliver any or all of the Services/Goods within the period(s)

    specified in the Contract, or within any extension thereof granted by the KBITS

    or

    b if the Firm fails to perform any other obligation(s) under the Contract.

    c If the Firm, in the judgment of the KBITS has engaged in corrupt or fraudulent

    practices in competing for or in executing the Contract.

    For the purpose of this Clause:

    Corrupt practice means the offering, giving, receiving or soliciting of any

    thing of value to influence the action of a public official in the procurement

    process or in contract execution.

    fraudulent practice means a misrepresentation of facts in order to influence

    a procurement process or the execution of a contract to the detriment of the

    Borrower, and includes collusive practice among Bidders (prior to or after bid

    submission) designed to establish bid prices at artificial non-competitive levels

    and to deprive the Borrower of the benefits of free and open competition.

    8. Termination for Insolvency

    The KBITS may at any time terminate the Contract by giving written notice to

    the Firm, if the Firm becomes bankrupt or otherwise insolvent. In this event,

    termination will be without compensation to the Firm, provided that such

    termination will not prejudice or affect any right of action or remedy which has

    accrued or will accrue thereafter to the KBITS.

    9.1 The KBITS and the Firm shall make every effort to resolve amicably by direct

    informal negotiation any disagreement or dispute arising between them under

    or in connection with the Contract.

    9.2 If, after thirty (30) days, the parties have failed to resolve their dispute or

    difference by such mutual consultation, then either the KBITS or the Firm may

    give notice to the other party of its intention to commence arbitration, as

    hereinafter provided, as to the matter in dispute, and no arbitration in respect

    of this matter may be commenced unless such notice is given.

    10. Applicable Law

    The Contract shall be interpreted in accordance with the laws of the Union of

    India.

    11. Notices

    11.1 Any notice given by one party to the other pursuant to this Contract shall

    be sent to other party in writing or by cable, telex or facsimile and confirmed in

    writing to the other Partys address specified in contract executed.

    11.2 A notice shall be effective when delivered or on the notice's effective date,

    whichever is later.

    12. Taxes and Duties

    Firmss shall be entirely responsible for all taxes, duties, license fees, octroi, road

    permits, etc., incurred until delivery of the contracted Services to the KBITS.

    SECTION V : QUALIFICATION CRITERIA

    A. The requirements of Eligibility Qualification Criteria of firm are as below:

    1. Bidder should be a Company / Firm registered under relevant Acts in India,

    prior to 31.03.2010 (Joint Ventures not allowed) and should be engaged in

    Videography & Photography.

    2. Min. annual turnover of the firm should not be less than Rs. 100 Lakhs each year

    during last 2 years (FY2014-15, FY2013-14).

    3. Firm should not have incurred losses during last 2 years. 4. Firm should have delivered atleast two projects [documentary/promotional

    films] for the Companies with International presence, by making firms ideas/initiatives accessible across the world and showcasing it in the best possible light [Documentary proof for having done such assignments in terms of work order/Client Certificate/ Completion Report along with the declaration shall be submitted].

    B. The Evaluation Criteria for Technical Proposal are as below:

    The final evaluation of proposals shall be on the principle of Quality Cum Cost Based Selection (QCBS) based on the final weighted score. A weightage of 70% will be assigned to the marks/points scored in the Technical Proposal and a weightage of 30% will be assigned to the marks/points scored in the Financial Proposal. T is the total marks scored in Technical Proposal, and F is the marks scored for the

    Financial Proposal. The bidder, who quotes the lowest professional fee, will be awarded a financial score of 100 marks and other bidders will be given financial scores that are inversely proportional to their quoted professional fees.

    The formula for this will be, F = 100 x (Amount of Professional Fee Quoted by the Lowest Bidder/Amount Professional Fee Quoted by the Bidder under evaluation).

    The final weighted score will be : 0.70*T+ 0.30*F

    The assignment shall be awarded to the bidder scoring the highest final weighted score.

    KBITS will select the FIRM who has the highest evaluated marks on the basis of a combined technical and financial scoring as per QCBS procedure with Technical: Financial weightage in the ration of 70:30.

    Government of Karnataka towards Information Technology, AVGC, ESDM, Startup

    ecosystem in the State with final video product of two separate videos as below :

    a. Maximum 10 minutes of final viewing length showcasing sectors of IT, AVGC &

    ESDM.

    b. Video filming of 10 minutes to highlight achievements of the State in promoting

    the Startup Ecosystem both in ICT & Biotechnology Sector.

    Two (a & b) films with the final video product of maximum 10 minutes final viewing

    length for each film to be completed by 45 days from the date of issue of LOI in

    accordance with your Request for Proposal dated .. and our Technical Proposal.

    Our attached Financial Proposal is for the total all-inclusive sum of Rs.

    Incase of change in tax rates at the time of payment of the services, then the sum payable

    SECTION IX: CONTRACT FORM

    This agreement, entered into this _____________day of ________20_______, between The

    Managing Director, Karnataka Biotechnology & Information Technology Services (KBITS),

    Bangalore 560027, Karnataka, (hereinafter called KBITS) of the one part and

    M/s._____________________________ [name and address of contractor] (hereinafter called

    the Contractor) of the other part.

    Whereas the ATI is desirous that the Contractor execute Videography including photography

    Services through Outsourcing at Karnataka Biotechnology & Information Technology

    Services for promotional film showcasing initiatives of Government of Karnataka towards

    Information Technology, AVGC, ESDM, Startup ecosystem in the State with final video

    product of two separate videos of 10 minutes each to be completed in 45 days and The

    Managing Director, KBITS has accepted the Tender by the Contractor for the execution and

    completion of such Works and the remedying of any defects therein at a contract price of

    The Contractor having accepted the order was required to execute agreement and to furnish

    Security Deposit 10% of the total order value in the form of Bank Guarantee from

    nationalized bank for the due fulfilment of the agreement.

    NOW THIS AGREEMENT WITNESSETH and it is hereby agreed and declared as follows,

    that is to say, in consideration of the payments to be made to the Contractor by the KBITS as

    herein after mentioned, the Contractor hereby covenants with the KBITS, that the Contractor

    shall and will duly supply the goods/services of the quality and description specified and

    shall do and perform all other works and things in the agreement subject to the terms and

    conditions and stipulations mentioned in the agreement that is to say Terms of Referance of

    the RFD document; General Conditions of Contract, Special Conditions of Contract and

    Technical Specification annexed to this agreement and deemed to form and be read and

    construed as part of the agreement.
