1.NAME : The name of the Association shall be "THE KERALACRICKET ASSOCIATION" hereinafter referred to as theAssociation

2.HEADQUARTERS : The Headquarters shall be atsuch place as may be decided upon by the General Body fromtime to time

3.JURISDICTION : The jurisdiction of theAssociation shall extend over the territorial area of the State ofKerala

4.COLOURS &CREST : The crest of the Association shall be adextrally coiled conch in gold colour on a navy blue backgroundencircled by a sunburst with thirty two points alternativelyoriented to right and left with the right oriented ones longer thanthe left oriented ones, A circle in gold shall be printed justoutside the conch with the conch itself in the center and thewords "KERALA CRICKET ASSOCIATION" shall be printed in boldletters and in gold colour around the conch so that it positionsitself outside the circle and inside the sunburst, and with thesign of a heart printed at the bottom so that it maintains equalspacing between the first letter of the word Kerala and last letterof the word Association and comes directly below the conch.

b. to popularize, regulate and control Cricket in the Statec. to participate in, conduct and regulate matches and

tournamentsd. to arrange for coaching of playerse. to train and maintain a panel of umpiresf. to organize and affiliate District Cricket Associationsg. to resort to all such measures and do all such acts as are

conducive to the furtherance of Cricket; andh. to form companies, trusts, clubs, special purpose

ventures or such other entities which the General Bodydeems fit and proper to promote the game.

a) To control and improve quality and standards of the gameof Cricket in the State of Kerala, lay down policies,roadmaps, guidelines and make rules and regulations(and amend or alter them) in all matters relating: to thegame of Cricket, recognizing that the primarystakeholders are the players and Cricket fans in the Stateof Kerala, and that accountability, transparency andpurity integrity of the game are the core values;

b) To provide for measures necessary for promotion anddevelopment of the game of Cricket, welfare and interestof Cricketers and elimination of unethical and unfairpractices in the Game of cricket; and for that purpose,organize coaching schemes, establish coachingacademies, hold tournaments, exhibition matches, TestMatches, BCCI first class matches, One Day Matches,Twenty/2O matches, and any other matches and take allother required steps;

c) To strive for sportsmanship and professionalism in thegame of Cricket and its governance and administration;inculcate principles of transparency and ethical standardsin players, team officials, umpires and administrators;and to ban doping, age fraud, sexual harassment and allother forms of inequity and discrimination;

d) To encourage the formation of District CricketAssociations and the organization of Inter-District andother Tournaments; to lay down norms for recognitionwhich achieve uniformity in the structure, functioning andprocesses of the Member Associations;

e) To arrange, control, regulate and if necessary, financevisits of Teams that are Members of the BCCI,International Cricket Council and teams of other Countriesto India;

f) To arrange, control, regulate and finance, visits of KeralaCricket Teams to tour countries that are members of theBCCI and International Cricket Coun I or elsewhere inconjunction with the bodies governi cricket i thecountries to be visited;To select teams to resent Kerala i Inter State

Matches, One Day Matches, Twenty/2O matches and inany other format in India or abroad as the KCA maydecide from time to time;

h) To foster the spirit of sportsmanship and the ideals ofcricket amongst school, college and university studentsand others and to educate them regarding the same;

i) To appoint KCA representative/s to BCCI, as also toConferences and Seminars connected with the game ofCricket;

j) To appoint Managers and/or other team officials for thestate teams;

k) To employ and appoint CEOs, professional managers,auditors, executive secretaries, administrative officers,assistant secretaries/ managers, clerks, team supportstaff, players, and other service personnel and staff; andto remunerate them for their services, by way of salaries,wages, gratuities, pensions, honoraria ex-gratia paymentsand/or provident fund; and to remove/terminate ordismiss such employees or personnel;

l) To ensure that tickets to cricket matches are widelyavailable well in advance of the matches to members ofthe public at reasonable rates, and to prevent distributionof the same as largesse; and also, to offer seats gratis orat nominal rates to students;

m) To lay out cricket grounds and to provide pavilion,canteen and other facilities and amenities for theconvenience and benefit of the members, players, and thecricket fans including the women and the disabled, and toensure the availability of cricket gear and amenities tocricket players;

n) To constitute Committees, from time to time, and entrustor delegate its functions and duties to such Committees,for achieving the objects of the KCA;

o) To vest immovable properties and funds of the KCA inTrustees appointed by it, for carryithe KCA,

q) To acquire or purchase properties - movable andimmovable, and assets - tangible and intangible, and toapply the capital and income there from and the proceedsof the sale or transfer thereof, for or towards allor any ofthe objects of the KCA;

r) To collect funds, and wherever necessary, borrow with orwithout security and to purchase, redeem or pay off, anysuch securities;

s) To carry out any other activity which may seem to theKCA capable of being conveniently carried on inconnection with the above.

t) To promote, protect and assist the Players who are theprimary agents of the game by:

I. Creating a Players' Association to be funded by theKcA

V. Having a single point of contact on the logisticsand managerial side so that Players' can fullyconcentrate on the game;

VI. Registering all duly qualified agents to ensurethere is oversight and transparency in playerrepresentation;

7. RULES OF THE ASSOCIATION:

Every reference of these rules to the masculine shallinclude the feminine and the singular shall include the

Cricket;ii. The benefit of cricketers or their spouses and

children by introducing benevolent fundschemes or other benefit schemes, as the KCAdeems fit, subject to its rules and regulations;

iii. The benefit of any other persons who haveserved cricket or their spouses and children asthe KCA may consider fit;

iv. To award sponsorships to sportspersons ingames other than cricket for development oftheir individual skills; and

v. To donate to any charitable cause;v) To start,or sponsor and/or to subscribe to funds or stage

matches for the benefit of the cricketers or persons whomay have rendered service to the game of cricket or fortheir families, or to donate towards the development orpromotion of the game and to organize matches in aid ofPublic Charitable and Relief Funds;

w) To impart physical education through the medium ofcricket;

x) To co-ordinate the activities of members and institutionsin relation to the KCA and amongst themselves;

y) To create and maintain a central repository and databaseof all cricketers along with their game statistics;

z) To introduce a scheme of professionalism and toimplement the same;aa) To provide a fair and- transparent grievance

redressal mechanism to players, support personneland other entities associated with cricket;

bb) Generally, to do all such other acts and things asmay seem to the KCA to be convenient and/orconducive to the carrying out of the objects of theKCA.

In these Rules and Regulations, unless the context otherwiserequires: -

a) 'ADMINISTRATOR" shall mean and include present andformer Presidents, Vice Presidents, Honorary Secretaries,Honorary Treasurers, Honorary Joint Secretaries of theKCA, past and present Presidents and Secretaries ofMembers affiliated to the KCA, a representative of aMember of the KCA, and any person connected with theGovernance and Management of the affairs of the KCA orof its Committees.

b) "AGENTS' REGISTER" is the register maintained by theKCA under the Regulations for Registration of Players'Agents.

c) 'APEX COUNCIL" is the principal body of the KCA taskedwith its governance as set out in Rule 14.

C[a] "ASSOCIATON" means "Kerala Cricket Association', andis the one and only member of the Board of Control forCricket in India in the State of Kerala and shall abide byRule 3(b).

d) "AUDITOR" is the auditor of the KCA appointed by theApex Council of the KCA to discharge the functions set outin Rule 34.

e) UKCA" is the Kerala Cricket Association registered underthe Travancore- Cochin Literary, Scientific and CharitableSocieties Registration Act, 1955(ACT XII of 1955).

0 "CEO" is the Chief Executive Officer of the KCA appointedby the Apex Council as set out in Rule 23.

'Association'shall mean the Kerala Cricket Association.

'Board' shallIndia

'Kerala' shall mean and include the State of Kerala asdefined in the Constitution of India

'District' shall mean the Revenue districts and includesuch divisions of Districts as the Association may decidefrom time to time.

'District Association' shall mean a body recognized by theAssociation and affiliated to it and shall have at least tenclubs affiliated. The rules and regulations of theAssociation shall be binding on the District Associations.

'Club' shall mean a club, gymkhana or an organizationengaged in playing and promoting cricket including clubsof commercial firms, companies, offices or Government orService clubs, or educational institutions, having a regularconstitution and situated in the State of Kerala and havingelected or ex-officio office-bearers and having on theirrolls at least 15 members and submitting every year tothe District Association a list of its office-bearers and acopy of its annual report.

'Council' shall mean the Central Council of theAssociation.

by the address specified on the authorized letter head ofthe Association for the time being,

'Person' shall include any company or association or bodyof individuals whether incorporated or not.

'Rules' shall mean the rules, regulations and bye-laws ofthe Association for the time being in force.

'Year' shall mean the official year, which shall also be thefinancial year of the Association, viz. 1't April to 31'tMarch of the following year.

'General Body' shall mean and be comprised of theF{ohorary Secretaries of the member District Associationsand two representatives from each member Districtassociation duly elected.

'Office bearers of the Association' shall mean (1) thePresident, (2) four Vice Presidents, (3) one HonorarySecretary, g) one Honorary loint Secretary (5) oneHonorary Treasurer and (6) two Honorary AssistantSecretaries.

g) "CONFLICT OF INTEREST" refers to situations where anindividual associated with the KCA in any capacity acts oromits to act in a manner that brings, or is perceived tobring the interest of the individual in conflict with theinterest of the game of cricket and that may give rise toapprehensions of, or actual favoritism, lack of objectivity,bias, benefits (monetary or otherwise) or linkages, as setout in Rule 38.

h) 'COUNCILLORS" are the members of the Apex Council.i) "CRICKET COMMITTEES" are the Committees as set up in

Rule 26 which consist only of former Players and arecharged with selection, coaching and evaluation of teamperformance.

j) "CRICKET PLAYERS' ASSOCIATION" refers to the cricketplayers association as per the BCCI constitution.

k) 'ELECTORAL OFFICER' is the person appointed toconduct, supervise and deal with issues concerningelections as set out in Rule 33.

l) 'ETHICS OFFICER' is the person appointed to administerthe Conflict of Interest principles as set out in Rule 39.

m) "EXISTING MEMBER" is an association that was a Memberof the KCA immediately before the Effective Date.

n) "FRANCHISEES" are the various commercial entities whohave entered into franchise agreements with theparticipation in the Kerala Premier League.

o) "GENERAL BODY" is the supreme body of the KCA whichis constituted by its Members and it shall mean and becomprised of the Honorary Secretaries of the memberDistrict Associations and two nominated representativesfrom each member District association, men and womenplayers who has represented India in international cricketfrom the state.

p) "GOVERNING COUNCIL" is the Standing Committeeconstituted by the KCA which shaconduct the Kerala Premier League.'KPL" refers to the Kerala Premie

franchise-based Twenty/20 tournament conducted by theKCA.

r) "JOINT SECRETARY" is, the Honorary Joint Secretary ofthe KCA as set out in Rule 7(4).

s) 'JUNIOR TOURNAMENT' shall mean any age grouptournaments conducted by the KCA from time to time.

t) "FULL MEMBER" is a District Cricket Association asenumerated in Rule 3(a)(ii) of the Rules or a formerinternational player ( male or female ) hailing fromKerala.

u) "MATCH OFFICIAL' includes Umpires, Match Referees,Observers, Statisticians, Ground Staff and Scorers soappointed by the KCA from time to time.

v) "OFFICE BEARER" means the President, Vice-President,Secretary, loint Secretary, and Treasurer.

w) "OMBUDSMAN" is the independent grievance redressalauthority set up under Rule 40.

x) "PLAYER" is any cricketer past or present registered withKCA and shall include any person selected in any squad torepresent Kerala in Board Matches, One Day matches,Twenty/20 or Junior Tournament Match in India orAbroad.

y) "PRESIDENT is the Honorary President of the KCA and ofthe Apex Council as set out in Rule 7(1).

z) "REPRESENTATIVE" of a Member means a person/s dulynominated as such by the respective Full Member as thecase may be.

aa) "RULE" shall refer to any rule or sub-rule in these Rulesand Regulations, and "RULES" refer to these Rules andRegulations.

bb)'SECRETARY" is the Honorary Secretary of the KCA as setout in Rule 7(3).

cc) "TEAM OFFICIAL" refers to the support staff appointed bythe KCA including coaches, managers physiothera pists,nutritionists, trainers, analysts, counse and medics.

hh)"ZONE" means any of the 3 zones namely North Zone,South Zone and Central Zone, comprlsing such teams asmay be decided by the KCA from time to time, andsubject to the following:

(i) Only Full Members are entitled to field teamsfor Inter District and other tournaments.

(ii) The KCA may decide on realigning the Zones /Districts in accordance with principles ofexpediency and competition.

Regulations)

The Headquarters of the KCA shall be located at Trivandrum ORat such places as may be decided by the General Body from timeto time.

(a) Membership

(i) Membership of the KCA shall be confined to Full members ,which shall include :

a) District Cricket Associations ; and

b) Former International players ( male and female )hailing from the State of Kerala

ii) District Cricket Associations

A .Each District shall be represented by a District CricketAssociation duly recognized by the KCA and suchassociations shall be Full Members. No District shall havemore than one District Cricket Association as a FullMember.

B. The associations who are the controlling bodies forcricket in the following Districts shall be the Full Membersof the KCA:

8. FORCE OF RULES:

Every member shall be bound to conform to theconstitution of the Association and to the rules andregulations and bye-laws as may be framed from time totime by the General Body and the Central Council. TheMemorandum and the rules as also roll of members of theAssociation shall be printed and made available to themembers of the Association on payment of a price fixedby the Council.

9. (a) MEMBER CLUBS:

Any individual Club as defined in these Rules andpossessing in the opinion of the Executive Committee ofthe District Association, the pre-requisites of a sportsclub and taking active part in the game of cricket, iseligible for membership in the District Association. Anyclub desirous of becoming a member of the DistrictAssociation should submit in writing in the prescribedformat, an application to the District Association settingout its nstitution and the names nd

addresses of its members and office bearers togetherwith a declaration signed by the Secretary that in theevent of them being admitted as a member they agreeto abide by the rules and bye-laws of the Association andthe District Association. Such applications should beproposed by a member club and seconded by anothermember club. On scrutiny and enquiry by the ExecutiveCommittee of the District Association it may admit theapplicant as an associate member of the DistrictAssociation or reject the application recording thereasons thereof; which shall be communicated to theapplicant. On admission as an associate member, theclub shall pay such admission fee as fixed by the DistrictAssociation within ten days from the date on which thedecision of the said committee is communicated to theapplicant; failing which the application shall standrejected. Any such admission fee fixed by the DistrictAssociation shall be not less than Rs. 1000/-. Suchassociate members shall play in all their fixtures of thequalifier league of the District Association for a period ofthree consecutive years/ failing which they shall not bepromoted as a permanent member of the DistrictAssociation. Only permanent member clubs shall bemembers of the District Association and shall be entitledto the privileges thereat.

(b) TEMPORARILY AFFILIATED CIUBS:

Any club at the discretion of the Executive Committee ofthe District Association may become affiliated to theDistrict Association for a year on payment of an affiliationfee of Rs. 500/- which will entitle the club to participatein any tournament or tournaments, the conduct of whichhas the approval of the Association or DistrictAssociations. However, such temporarily affiliated clubsshall not be eligible to participate in the leaguetournament conducted by the District Association. Anysuch clubs are bound b the rules andli

D.DISTRICT ASSOCIATION: DUTIES AND PRIVILEGES:

The District Associations shall be the one and onlyunitaffiliatedwiththeKCA constituted for the sole purpose of promoting thegame in the best manner possible at the district level. It shall bethe responsibility of the District Association to promote the gamein the district by arranging nets, coaching camps and leaguetournaments. It shall also endeavor to conduct knock-outtournaments to train umpires, scorers, coaches,physiotherapists, trainers, video analysts and other suchtechnical officials for the furtherance of the ga in the district.If so desired by the Association it shall have privilege ofconducting inter-district and inter-zonal matches behalf ofKCA as well as inter state and national tournam

Association. Such clubs shall not send theirrepresentatives to the General Body of the DistrictAssociation nor their representatives shall seek election toany offices of the District Association; however officebearers of the District Association who had originallyrepresented the club in the preceding election shall notlose their office solely for this reason. For the purpose ofthis rule, non-participation in more than one match of theleague tournament of any year shall be deemed to be asnon-participation in the league tournament altogether inthat year. Such clubs may be re-affiliated as a permanentmember and admitted to all its rights and privilegesthereof provided that they play in all their matches in thequalifier league tournament conducted by the DistrictAssociation in the succeeding year or the latest in theyear in which such qualifier league is conducted since theclub loses its affiliation and they pay all arrears payable tothe Association and/or the District Association. Upon re-affiliation, such clubs shall be admitted to the lowestdivision of league tournament conducted by the DistrictAssociation in that year.

shall hold office for the remaining term of the person inwhose vacancy he is co-opted. The same rule shall applywhenever any vacancy arises in the General Body by arepresentative from the District being unable to continuefor any reason.

POWERS:

The District Association shall have powers, as the one andonly unit of the Association, to regulate and control theactivities relating to the promotion of the game in amanner consistent with the aims and objectives of theAssociation as stated in its bye-laws and the rulesthereby. The District Association shall also have power totake action against affiliated clubs, members of affiliatedclubs, office bearers and officials thereof whose conductand action are detrimental to the promotion of the gameand Association. The club and/or the member of the clubagainst whom action is taken shall however have the rightof appeal to the TRIBUNAL as provided under Rule 30,however such appeal shall be filed within 30 days of suchaction being taken.

(b)Grounds for sanction and de-recognition by BCCI.

(1)KCA shall not be entitled to any grant from the BCCI if theconstitution and/or Bye-Laws fails to provide for, or comply withthe following.

(i) The Kerala Cricket Association shall not have anyprovision for any post to be held for more than 9 years,

(ii) The Apex Council of the Kerala Cricket Associationshall include at least two representatives of players (onemale and one female) and a nominee of the AccountantGeneral of the State.

(iii) The Kerala Cricket Association shall grant automaticmembership to former international players hailing fromthe State.

(iv)The Kerala Cricket Association shall not have proxyvoting.

(v)There shall be a provision whereby the office bearersand members of the Apex council of the Kerala CricketAssociation stand disqualified under any of the groundslaid down in Rule 6(5) and Rule 14(3) below respectively.

(vi) There shall be a provision whereby individuals whoare disqualified from being office bearers and/or membersof the Apex council as aforesaid shall also be disqualifiedfrom being representatives/ nominees or members of anycommittee/ council.

association or in the BCCI (or a combination of both) shallnot be eligible to contest any further election withoutcompleting a cooling off period of three years. During thecooling off period, such an office bearer or an electedmember of the Apex Council shall not be a member of theGoverning Council or of any committee whatsoever of theBCCI or of a state association.

(viii) The Kerala Cricket Association shall appoint anElectoral Officer, an Ethics Officer and an Ombudsman.

(ix) The Kerala Cricket Association shall abide by theprinciples of transparency laid down in Chapter B of theseRules.

2) In the event of the grant being denied to anyMember under Rule 3(b)(l) above, the BCCI shall directlyspend the grant in respect of the State concerned inits capacity as parens patriae.

3) If any Association continues to be disentitled for agrant under Rule 3(b)(l) above for a continuous period of2 years, the BCCI may derecognize the Association as aMember, and if it is a Full Member, in its place, recognizeany other Association from that State which complies withthe requirements of Rule 3(bxl) above.

(c) Annual Updates

All Members shall, on or before June 30th of each year, informand update the KCA as to the names of their Office Bearers andthe members of their respective Governing Bodies/ ManagingCommittees, their respective tenures, the audited statement ofaccounts and the balance sheets.

be of the administrative State so defined under the Constitutionof India.

4. VOTE & ACCOUNTS OF TOURNAMENTS

1) Each Full Member shall have one vote. Each District CricketAssociation shall exercise its vote through its Secretary orauthorized representative, Each former International player shallexercise his/her vote personally and there shall be no proxyvoting .

2) A Member, required to submit the annual or otheraccounts, balance sheets or statements of expenditure eitherunder these Rules or under the rules of any tournament/ match,or under the resolutions or decisions of the KCA relating to anygrant, fails to submit the accounts or the statements ofexpenditure relating to such grant, tournament, match orotherwise, within the period stipulated there under, shall not beentitled to any further financial grants from the KCA till therequirement is complied with.

Provided that notwithstanding anything stated above, nothingshall prevent the Apex Council, for good reason, from extendingfor a maximum period of 6 months, the time for submitting ofaccounts and statements beyond the period referred to above.

( ii) Any District Association which has failed tocomply with the requirement of clause 10 (b)shall not be eligible to send theirrepresentative to the General Body meeting.

B. POWERS & DUTIES OF THE GENERAL BODY:

(i) To confirm the minutes of the previous General Body andspecial meetings held during the year

(ii) To receive and adopt the Annual report and the auditedstatement of accounts and budget as presented by theCouncil.

( iii) To appoint an auditor or auditors and fixing his or theirremuneration.

(iv) To elect the office-bearers and such other functionaries asprovided herein as and when elections are due.

(v) To consider subjects of which due notices have beengiven as provided herein.

3. All powers of governance, management and decision-making shall vest in the General Body. In addition to thepowers already given to the Apex Council, the GoverningCouncil and the CEO under these Rules, the General Bodymay delegate such powers as it deems fit to any of them.

4. In addition to, and without prejudice to the generality ofpowers vested in it, the General Body shall have thepower:

a. To collect funds and wherever necessary borrow,with or without security, for purposes of the KCAand to raise loans with or without security and topurchase, redeem or pay off any such security.

b, To frame the Laws of Cricket in Kerala and tomake alterations, amendments or additions to theLaws of Cricket in Kerala whenever desirable ornecessary.

c. To direct and control the Governing Council, tolend oversight and assistance to the KPLconducted by the Council and to ensure that theinterests of the franchises and the players areprotected.

d. To review any decision of the Apex Council or theGoverning Council.

e. Generally, to do all such other acts and things asmay appear to the General Body to beexpedient, convenient and/or conducive to thecarrying out of the above functions of the KCA,

2) The Term of office of an Office Bearer shall be 3 years.Their position shall be Honorary.

3) No person shall be an Office Bearer for more-than 3 termsin all.

4) An oftice bearer who has held any post for twoconsecutive terms either in a state association or in the BCCI (ora combination of both) shall not be eligible to contest any furtherelection without completing a cooling off period of three years.During the cooling off period, such an office bearer shall not be amember of the Governing Council or of any committeewhatsoever of the KCA or of BCCI. ii) MEETINGS:

The President shall be the head of the Association and heshall be an ex-officio member of all the sub-committeesother than the Selection Committee to select the team forrepresentative matches and shall be the Chairman andshall preside over all meetings of the General Body andCentral Council of the Association. In the case of equalvotes, he shall have a casting vote or a second vote at allsuch meetings without prejudice to and in addition to hisvote in such meetings in his own right.

If the President is absent one of the Vice-Presidentselected shall be the Chairman and shall preside over andconduct the meetings of the Central Council and in theabsence of the President and Vice-Presidents in any of themeetings, the Central Council shall elect its own Chairmanfrom amongst the members present.

Notice of the meetings of the Central Council shall begiven to all its members at least seven days before themeeting to the last registered address of the memberalong with the agenda fixed for the same.Communications regarding the meetings sent undercertificate of posting or through a courier agency orthrough a messenger to the last known registeredaddress of the member shall be deemed to have beenproperly sent and served on the member.

The President may call an urgent meeting of the Councilwith three clear days notice thereof.

The Council shall meet once in every three months andconduct the business of the Association. It shall receive

CHAPTERTHREE: MEETINGS OF THE GENERAL BODY

8. ANNUAL GENERAL MEETING

1. The Annual General Meeting of the General Body shall beheld every year, not later than 31'tJuly at such place andtime as the Apex council may fix,

2. Elections and Nominations to the Apex Council shall takeplace every 3 years at the Annual General Meeting.

3. The following business shall be transacted at everyAnnual General Meeting of the General Body:a) Confirmation of the minutes of the previous General

Meetings.b) Adoption of the Report of the Secretary for the year

under review.c) Adoption of the Treasurer's Report and the audited

accounts for the year under review.d) Adoption of the Annual Budget.e) Appointment of Auditor or Auditors for the year and

fix their remuneration.f) Appointment of the Ombudsman and Ethics Officer.9) Appointment of the Cricket Committees and

Standing Committees as mentioned in Rules 26 and25.

(h) Consideration of:

1. the Report and recommendations of the Apex Council, theCEO and the Committees and to propose policy directionsto the Apex Council.

2. the Report and recommendations of theGoverningCouncil and to propose policy directions to the ApexCouncil.

3. any amendments to the Rules and lations of the

and to be passed at the Annual General Meeting;c) Copies of the audited Statement of Accounts of any tour

or tours;d) Treasurer's Reports and the Annual Budget;e) Report of the Ombudsman; andf) Copies of all documents and papers having a reference to

any item on the Agenda of the General Meeting;

(6) Any Member desiring to raise any point relating to theAgenda or Accounts at the Annual General Meeting shall giveseven days' notice thereof to the Secretary. The Secretary shallcirculate such notice to all Members before the date fixed for themeeting.

9. SPECIAL GENERAL MEETING

(1) A Special General Meeting of the General Body may beconvened by the Secretary:

a) on a directive of the President;b) on a resolution of the Apex Council, orc) on a requisition signed by not less than 10 Full Members

specially stating the business to be transacted at suchMeeting.

No business other than the one for which the Special GeneralMeeting is called will be transacted at such meeting.

(2) In the event of the Secretary failing to convene a SpecialGeneral Meeting within thirty days of the receipt of a requisition,the requisitionists may themselves, convene a meeting for thepurpose specified in the requisition at such place and time asmay be decided by the requisitionists.

(4) For any Special General Meeting the Secretary shall giveTwenty One days' notice specifying the business to be transactedat that meeting.

(5) In the event of the Secretary failing to convene a SpecialGeneral Meeting at the direction of the President or on aresolution of the Apex Council within Ten days, thePresident may convene a meeting under his own signature.

10. QUORUM AT ANNUAL GENERAL MEETING & SPECIALGENERAT MEETING

(1) Ten Full Members present and entitled to vote shall be aquorum for an Annual General Meeting. No business shallbe transacted at the Annual General Meeting unless thequorum requisite is present at the commencement of thebusiness of the meeting. If within an hour from the timeappointed for the Annual General Meeting a quorum is notpresent, the meeting shall stand adjourned to the samedate of the following month and at the same place andtime. If at the adjourned meeting the quorum is notpresent within an hour from the time of the meeting, theFull Members present shall form the quorum.

(2) For a Special General Meeting ten Full Members, presentand entitled to vote shall be quorum. If no quorum ispresent at the appointed time of the meeting, themeeting shall stand adjourned for an hour. If at theadjourned meeting the quorum is not present, the FullMembers present shall form the quorum.

The Council shall have the following powers and suchother powers as may be specifically allotted to it by theGeneral Body under the Articles of Association:

To carry out the objects of the Associationspecified in the Memorandum of the Association.

To interpret, make, repeal, amend, add to andmaintain or publish all necessary regulations, bye-laws, and rules not inconsistent with the objects

2. At an Annual General Meeting / Special General Meeting,a resolution placed before the meeting duly moved andseconded shall be put to vote and shall be decided eitheron a show of hands or by a secret ballot as theChairperson may decide.

13. CASTING VOTE OR DRAWING LOTS

Save as provided otherwise by these Rules, questions arising atany meeting shall be decided by a majority of votes and in theevent of a tie, the Chairperson shall, have a casting vote. If theChairperson of-the Meeting declines to exercise his casting vote,the issue shall be decided by drawing lots

CHAPTER FOUR: GOVERNANCE

L4. THE APEX COUNCIL

1. There shall be an Apex Council for the KCA which shall beprimarily responsible for the governance of the affairs ofthe KCA.

and Memorandum of the Association and suchinterpretation of bye-laws, rules or regulationsshall be in force until all or any of them are alteredor added to by the Central Council or by theGeneral Body.

c. To allocate the duties of the Honorary Secretariesas between themselves and to define whenevernecessary the powers of the other office-bearers ofthe Association, to appoint from time to time suchsub-committees as may be deemed necessary orexpedient and to delegate or refer to it such ofthe powers, duties and functions of the Councilincluding the power to make rules necessary andincidental to the exercise and peformance of suchfunctions and duties as the Council maydetermine. The sub-committees shall periodicallyreport their proceedings to the Council and shallconduct their business in accordance with thedirection of the Council. The Council may appointany person from within or outside the Council tosuch sub-committees and they shall serve in suchsub-committees in their personal capacities.

(d) (i) To prohibit any act or practice by any memberor any cricketer or by any professional cricketerserving the Association or an official, coach,umpire etc. appointed by the Association which inthe opinion of the Council is detrimental to theinterests of the game or the Association and dealwith them in such manner as it may in itsdiscretion deem proper. Any party aggrieved by anorder passed under this rule may appeal to theTribunal within 30 days of receipt of such order asprovided under Rule 30.

is not a citizen of India;has attained the age of 70 years;is declared to be insolvent, or of unsound mind;is a Minister or a Government Servant or holds a publicoffice [except for the nominee under Rule 14 (2 ) (c )holds any office or post in a sports or athletic associationor federation apart from cricket;has been an Office Bearer of the BCCI for a cumulativeperiod of 9 years or of a State association for acumulative period of 9 years;has been charged by a Court of law for having committedany criminal offence, i.e. an order framing charges hasbeen passed by a court of law having competentjurisdiction,

(4) Each of the elected Councilors shall have a term of 3 yearsin office, subject to a maximum of 3 Terms on the ApexCouncil, A Councilor who has held any post for twoconsecutive Terms either in a state association or in theBCCI (or a combination of both) shall not be eligible tocontest any further election without completing a cooling offperiod of three years. During the cooling off period, such aCouncilor shall not be a member of the Governing Councilor of any committee whatsoever of the BCCI or of a stateassociation. The expression 'Councilor' should not bepermitted to be circumvented by being a mber of anyother committee or of the Governing Council BC;CI

state association, as the case may be.

5) No individual, including one filling up a vacancy under Sub-Rule (9) below shall be a Councilor for more than 9 years.In the event of a Councilor completing 9 years before theexpiry of his term, he shall cease to hold office oncompletion of 9 years.

6) No nominated Councilor shall have more than one term of 3years.

7) Notwithstanding anything contained elsewhere in theseRules, a former President of the KCA shall not be entitled tobe elected or nominated to the Apex Council in any capacityexcept for a second and final term as President, subject tosub-Rules (4) and (5) above.

(B) No Councilor, once elected, shall hold any office in a FullMember Association. The Full Member shall take steps to fillup the vacancy so created immediately.

(9) Any vacancy in the Apex Council due to death, resignation,insolvency, unsoundness of mind, nomination to the BCCIor other disqualification shall be filled up for the remainingperiod:

(a) In the case of an elected Councilor, by elections at aSpecial General Body meeting of the KCA convened by theSecretary for that purpose within 45 days;

(b) In the case of a nominated Councilor, in the samemanner as prescribed for the respective nominee in RuleL4(2) above;

District Association including disaffiliation from theAssociation when the District Association does notabide by the rules and bye-laws and theregulations concerning the function of the DistrictAssociation. Any party aggrieved by an orderpassed under this rule may appeal to the Tribunalwithin 30 days of receipt of such order as providedunder Rule 30.

(e) To arbitrate and to decide all disputes or questionsreferred to it by the members or by any otherperson or District Association.

(f) To inflict penalties on any member or any personfor the infringement of the laws of Cricket or thebye-laws/rules of the Association. Any partyaggrieved by an order passed under this rule mayappeal to the Tribunal within 30 days of receipt ofsuch order as provided under Rule 30.

(g) To appoint a manager or managers and get his ortheir assistance to manage tours undertaken bythe Association and accompany the teams on theirtours.

(h) To invite the co-operation of persons other than itsmembers for any special purpose and to selectthem as members of any sub-committee.

(i) To reinstate upon the teams or otherwise and forgood causes any player who has ceased to be anamateur or a professional as the case may be.

welfare, promotion of other sports and games asthe Council may at its discretion deem fit.

(k) (i) To appoint one of its members who shallhowever be either the President or the HonorarySecretary of the Association to represent theAssociation in the Board of Control for Cricket inIndia, or on any other body or institution in oroutside the State of Kerala when the Associationas such is given a seat. In the case of both ofthem being unable to represent, the President, andHonorary Secretary shall nominate arepresentative,

(ii) To appoint one of its members to be anobserver on behalf of the Association when aninter-association, inter-State or nationaltournament is conducted within the State.

(iii) To appoint one of its members to be anobserver on behalf of the Association when aDistrict Association or a club affiliated to theDistrict Association on its own conducts a state,zonal or all India tournament. A person soappointed as per Rule 11 C (iii) k (ii) and (iii) shallsubmit immediately after the tournament adetailed report to the Honorary Secretary.

(t) To consider and deal with all questions as to theright of representation at General Body Meetingsof the Association and the District Associations.Any such order passed by the Central Councilshould be taken up as the first item at the nextGeneral Body and shall come into effect only ifratified by the General Body.

(m) To decide all questions of eligibility of persons

15. POWERS AND FUNCTIONS OF THE APEX COUNCIL

(1) The affairs of the KCA shall be governed by the ApexCouncil and its framework of governance shall:

(i) Enable strategic guidance of the entity;

(ii) Ensure efficient monitoring of management;

(iii) Ensure the performance ofthe respective roles,responsibilities and powers of the CEO, Managers,Cricket Committees and Standing Committees,except the Governing Council; and

(iv) Ensure a distribution and balance of authority so thatno single individual has unfettered powers.

(2) The Apex Council shall have all the powers of the GeneralBody and authority and discretion to do all acts and thingsexcept such acts as by these rules are expressly directedor required to be done by the General Body. Exercise ofsuch powers, authorities and discretion shall be subject tothe control and regulation of the General Body. Noregulation shall retrospectively invalidate any act of theApex Council which was otherwise valid.

(3) The Apex Council shall exercise superintendence over theCEO, the Cricket Committees and the StandingCommittees in the discharge of their duties generally, andin particular, in accordance with any general or specialdirection of the General Body, except for the GoverningCouncil of the KPL which is directly accountable toGeneral Body

(4) In addition to and without prejudice to the generality ofpowers conferred directly or by necessary implicationunder these Rules and regulations and the Memorandumof Association, the Apex Council shall exercise the powersand perform the duties hereafter mentioned:

a) To control, permit and regulate all aspects regarding thevisits of cricket teams to Kerala and visits of Kerala Teamto other states and foreign countries to settle the termson which such visits shall be conducted.

b) To lay down conditions on which Players shall take part ina tour to any state/foreign country and by which suchPlayers shall be governed, including terms of payment tosuch players.

c) To control, expand and regulate the finances of the KCA,d) To institute or defend any action or proceedings for or

against the KCA or against any Office-Bearer or employeeof the KCA.

e) To mediate in regard to issues between Members, failingresolution of which a reference may be made to theOmbudsman.

f) To interact and consult with the Cricket Players'Association regarding representations made on theirbehalf.

g) To purchase, sell and/or mortgage, exchange and/orotherwise dispose of immovable property whereversituated, in order to promote the objects of the KCA.

h) To collect funds and whenever necessary borrow with orwithout security for purposes of the KCA and to raiseloans with or without security and to purchase, redeem orpay off any such security.

i) To fill up, till the following Annual General Meeting, anyvacancy occurring of a member of a committee by reasonof death or being adjudged insolvent or being of unsoundmind or being convicted of a criminal offence involvin Imoral turpitude or by resignati or anydisqualification

nominated to or elected as members of theCouncil.

To do all such other acts, deeds and things as shallbe necessary or expedient for the general welfareand conduct of the Association.

To maintain a panel of umpires, scorers, coaches,curators, trainers, physiotherapists and such othertechnical officials and to recommend their inclusionin the Board's Panel, to constitute a sub committeemaintained from the body of such technicalofficials of the Association to devise ways andmeans of improving the standard of such technicalskills.

To execute, sign, seal, deliver or cause to beexecuted, signed, sealed and delivered all suchagreements, deeds, documents and assurances asmay be necessary to carry out the objects of theAssociation.

(q) To appoint on permanent, temporary orspecial service and at their discretion, suspend orremove accountants, clerks, assistants, peons orother such employees as they may, from time totime, think fit to do so, and to determine theirfunctions and duties, and fix their salaries wagesand/or emoluments and to require security in suchinstances and to such amount as the Councilthinks fit.

To give pensions, gratuities or charitable aid toany person who has served the Association or tothe widow, wife, children or dependents ofsuchpersons that may appear to the Council just orproper.

To create or join and subscribe to any providentfund, pension fund, insurance schemes, benefitfund in a manner as the Central Council

deem fit and to make and alter or join in makingand altering rules for the application, working andmanagement of such funds.

To appoint a management committee to conductany representative matches and to constitute, ifnecessary, any sub-committee for carrying out anyof the objects of the Association.

To appoint the various selection committees toselect the State Teams, provided that no oneindividual shall be appointed for more than fouryears consecutively. The selection committee shallbe an autonomous body and the decisions of theselection committee shall not be questioned in aCourt of Law. The President shall however havethe powers to receive any written complaints anddispose it of in a manner he considers fit andproper.

The Honorary Secretary shall convene themeetings of the selection committee. In hisabsence the Honorary Joint Secretary shall do soon behalf of the Honorary Secretary. In theabsence of both Honorary Secretary and the JointSecretary, one of the Assistant Secretaries or intheir absence a member of the Central Councilproperly authorized by the Honorary Secretary inwriting shall convene the meetings of the selectioncommittee.

To prescribe norms for the satisfactory conduct oftournaments by affiliated clubs and/or DistrictAssociations which shall be followed, failing whichthe Association shall not grant sanction to the clubor District Association to conduct any tournamentin the succeeding year,

travel, accommodation and allowances under whichPlayers shall take part in cricket tournaments/matches orExhibition, Festival and Charity matches organized by theKCA in the course of a visit or tour of any cricket team toKerala.

k) To frame rules for the state level matches or forUniversity, Schools or other tournaments or for anyExhibition matches between members and I or betweenthe Universities.

l) To frame rules regarding the appointment, serviceconditions and disciplinary action concerning employeesand officers of the KCA.

m) To make the Tournament Rules for various domestictournaments and exhibition matches involving Members,Universities and other entities.

expedient, convenient and/or conducive to the carryingout of the above functions of the Apex Council.

s) If any member of the General Body of the KCA including acouncilor, Office bearers, executive committee membersof District Cricket Association and its members, a memberclub, a member of a member clubwho indulges inactivities which is detrimental to the interest ofassociation and game of cricket or willfully refuses orneglects to comply with any decision of the Association orto comply with any provisions of the rules or be guilty ofsuch conduct as the Apex council may consider likely toendanger the harmony or affect the character andstability, the Apex council may suspend such member onprima facia satisfaction about the charges leveled againstsuch person. The apex council shall constitute a sub-committee to enquire into the allegations/charge leveledagainst such persons and the committee shall submit arepoft to the Ombudsman.

t) No office bearer of the Association or Apex councilmember or trustee shall be paid any bonus, honorariumor other emoluments excepting travelling allowances,dearness allowances, rental, medicaland out of pocketexpenses. Members rendering services to the Associationshall be entitled to get remuneration,

Provided that the exercise of powers under Clauses (j), (k),(l), (m), (n), (o) and (s) shall be subject toratification/approval by the General Body of KCA at its nextmeeting, failing which the rules shall lapse.

(5) The Apex Council shall meet at least once every 3 monthsat such time and place and shall conduct proceedings insuch manner as it may from time to time decide.

The Honorary Secretary or in his absence the HonoraryJoint Secretary or in his absence one of the HonoraryAssistant Secretaries properly authorized by the HonorarySecretary shall convene and attend all the meetings ofthe Association, Central Council and sub committees andshall take, submit for confirmation, keep or cause to bekept, minutes books wherein minutes of all such meetingsshall be recorded. They shall be in charge ofcorrespondence and the properties of the Association,files, minutes book, playing materials and other assets.They shall maintain the inventory of the same. They shallact under the general direction, supervision and control ofthe Central Council. They shall present at the GeneralBody Meeting the annual report of the Association. Theyshall exercise general control over all matters pertainingto the Association subject to any special or generaldirections of the Association. The duties, powers andfunctions of the Honorary Secretaries shall be defined andallocated in between themselves by the Central Council atthe beginning of each year.

The Honorary Secretary shall be an ex-officio member ofall committees and sub committees of the Associationexcept the selection committee. They shall be entitled tovote at any meeting of any council or sub committee ofwhich they are ex-officio members. But the HonorarySecretary may attend any meeting of the selectioncommittee without however taking any part in it. TheHonorary Treasurer shall receive all subscriptions anddonations and other monies payable to or receivable bythe Association or recoverable from any persons or sourceshall keep or cause to be kept regular accounts. He shallissue receipts for and on behalf of the Association in theofficial form and shall make all payments as directed bythe Council out of the funds of the Association, He shallprepare and submit at each Central Council meeting astatement of accounts and in the annual General Body

b The nets and coaching sub-committee shall be incharge of the nets scheme. They shall arrangefor practice and coaching of players selected toplay for the zonal, other representative matches,university and school matches. They shall appointan expert selection committee to select players forcoaching in the various stages under its scheme.Each club shall be entitled to send members otherthan the above mentioned players for purposes ofsuch selection. They should have power to framerules and bye-laws for the implementation of netpractice and coaching scheme subject to theratification by Central Council.

The finance committee shall consist of fivemembers elected by the Central Council fromamong the representatives of the DistrictAssociations other than the members of theCentral Council, of whom one shall be theChairman and such members shall not serve onany other committee which has powers to allocatefunds. The President and the Honorary Secretaryshall be the ex-officio members of thiscommittee. The finance committee shall ordinarilymeet at least once every month and shallscrutinize and pass the accounts and submit to theCentral Council, monthly reports of the accounts ofthe Association. They shall scrutinize and check allreceipts and disbursements. They shall also act inan advisory capacity on all financial matters.Honorary Treasurer shall be the convener of thefinance committee.

26. THE CRICKET COMMITTEES

(1) The Cricket Committees are the Committees comprisedexclusively of former Players who are tasked with theSelection, Coaching and Evaluation of Team Performances.

(2) The Cricket Committees are:

A. The Men's Selection Committee

(i) The Men's Selection Committee shall select the state team forrepresentation ,in Tests, One Day Matches Twenty/2O Matchesand any other format. This Committee shall also be responsiblefor providing evaluation reports of the respective teamperformances to the Apex Council on a quarterly basis.

(ii) The Men's Selection Committee shall consist of three personsto be appointed by a Cricket Advisory Committee comprising ofreputed former national cricketers identified by the KCA at theAnnual General Meeting, subject to the following criteria:

(a) Every member of the Men'sCommittee should have played a minimum of

(iii) Men's Selection Committee shall appoint a Captain for theteam in each format, who shall be an ex-Officio member ofthe Committee. The Captain, however, shall not be entitledto vote. In the event of there being an equality of votes forthe appointment of a Captain, Chairperson shall have acasting vote. In the event of there being no majorityagreement over the selection of the players, the Captain'swishes in that regard shall prevail.

(iv) On an overseas/domestic tour, the Cricket Manager/Coach,Captain bnd Vice-Captain shall constitute the SelectionCommittee. The Administrative Manager shall convene themeeting and keep a record of the proceedings.

B. The Junior Cricket Committee

(i) The Junior Cricket Committee shall consist of threepersons to be appointed by the KCA at the AnnualGeneral Meeting, on such terms and conditions as may bedecided by the Apex Council from time to time. Onlyformer Players who have played a minimum of twentyfiveFirst Class matches shall be eligible to be appointed tothis Committee, provided that they have retired from thegame at least 5 years previously. The senior mostamongst the members of the Committee shall beappointed as the Chairperson,

(ii) The Junior Cricket Committee shall:

(i) Select all age group teams up to Under-22 years for thepurpose of coaching camps or for playing against localor foreign teams within India or abroad in any format ofthe game,

(v) Organize junior tours;

(vi) Decide any dispute in regard to junior tournaments;

(vii) Inculcate proper ethics in the youth, particularlythrough interactions with senior and former Players onissues such as drugs, betting, match-fixing, etc.

C. The Women's Selection Committee

I. The Women's Selection Committee shall select theWomen's State Team across all age groups forrepresentation in BCCI first class matches, One DayMatchesT Twenty/20 Matches and any other format. This

E. The Zonal Selection Committees

(i) The Zonal Selection Committee for each Zone shallselect the Zonal Team from that Zone for inter-zonalcompetitions and trophies. This Committee shall alsobe responsible for vetting and selecting Coaches andSupport Staft (physiotherapists, trainers, therapists,analysts and medics) for the Zonal Team from thatZone.

(ii) The Zonal Selection Committee for each Zone shallconsist of one Selector from each Full Member fromthat Zone as laid down in Rule l(A)(hh), who shall benominated by the respective Associations at theAnnual General Meeting of the KCA. Only formerPlayers who have played at least 25 First Classgames are eligible to be appointed to this Committee,provided that they have retired from the game atleast 5 years previously. The senior most amongstthe members of each Zonal Selection Committeeshall be appointed as the Chairperson for therespective Zonal Selection Committee.

Onlyformer Differently Abled Players who have representedthe state in any format of the game shall be eligible toappointed to this Committee. It is preferable that differentcategories of impairment (visual, physical, etc.) berepresented among the members of the Committee. Thesenior most among the Players shall be the Chairperson.

(ii) The Differently-Abled Cricket Committee shall, inconsultation with the Cricket Talent Committee, select theDifterently-Abled State Teams across all age groups forrepresentation in Board Matches, One Day, Twenty/2Oand any other format. In addition, this Committee shallalso propose to the CEO the best practices to beinculcated including coaching, counseling and specialequipment, This Committee shall also endeavour to bringthe various existing cricket associations for various typesof impairment under the common umbrella of the KCAand evolve training programmes and raise awareness,

(iii) This Committee shall appoint a Captain for the team ineach format, who shall be an ex-OfficiCommittee. The Captain, however, shallvote. In the event of there bei an ual

Only formerPlayers who have played at least 20 First Class games andhave the highest level of coaching certification shall beeligible to appointed to this Committee. The senior mostamong the Players shall be the Chairperson,

(ii) This Committee shall:

(i) Be responsible for scouting for talent in men, junior,women and disabled cricket,

(ii) Organize the framework within which the HighPerformance Cricket Centre and the variousState/District/Zonal Cricket Academies will beestablished and perform,

(iii)Create the programmes and coaching centre forcoaching at regional and national levels;

(iv) Improve infrastructure inall areas of the State ;

(v) Make provisions for making the gaaccessible to the eneral ublic c

(vi) Encourage the youth to take up cricket by settingup promotional camps and other avenues ofengagement with the game; and

(vii) Provide evaluation reports of the targets set andachieved and the details of its programmes to theApex Council on a quarterly basis.

(3) No person who has been a member of any CricketCommittee for a total of 5 years shall be eligible to be amember of any Cricket Committee

(4) No person who has been a member of any CricketCommittee shall write, comment or publicize anydiscussions or decisions of the selections made exceptwhere so authorized by the Apex Council. Any violation ofthis confidentiality provision will invite removal andsubstitution by the Apex Council.

(5) The Chairpersons of the respective Cricket Committeesshall submit a quarterly report to the CEO which shall thenbe forwarded by him to the Apex Council for assessmentand action, if any.

(6) The Apex Council is empowered to add any further CricketCommittees as may be required, particularly to cater toweaker sections of society.

27. THE UMPIRES COMMITTEE

The function of the Umpires Committee shall be tostandardize umpiring throughout Kerala and to draw upand maintain a panel of Umpires to officiate matches inKerala and classify them into Elite Panel, and state Panelof Umpires, according to the merits of the Umpires(subject to reclassification), as per criteria worked outby the Committee. The Committee shall holdexaminations from time to time for this purpose.

3. The Committee shall appoint umpires for allstate/zonallDistrict level matches and shall assistMembers in the formation of the panels of Umpires intheir respective areas. The Committee shall Endeavour topromote umpiring by conducting camps and programmes.

4. The Committee shall draw a format to obtain confidentialreports from captains on umpires, match referees or anyother designated persons to assess the merits / de-meritsof the Umpires.

5. The Committee may hold, organize and arrange seminarsand conventions of umpires to discuss the laws of thegame/ experimental rules and suggestions ofInternational Cricket Council in regard to amendments,alterations and additions to the laws of the game.

In addition, the Council may authorize to open andoperate bank accounts in the name of any office bearersof the Association from time to time at a place of theirconvenience. Such office bearers shall operate theaccount and shall submit to the council the accountstatements and supporting documents for approval inevery meeting thereat for incorporation in the mainaccounts of the Association.

The President, The Honorary Secretary and the Honoraryloint Secretary shall however have the powers, each ofthem, to keep an amount of not more than Rs. 25000/-(Rupees twenty five thousand only) as petty cash. Theexpenses incurred for which the petty cash is used shallbe reported to the Honorary Treasurer supported by arelevant statement and vouchers for incorporation in themain accounts before the 10th of every month.

ADMINISTRATION, MANAGEMENT, PROPERTY:

i) The affairs of the Association shall be conducted bythe Central Council in the name of the Association.The day to day management shall be conducted bythe Office bearers subject to any general or specialdirection of the Association.

ii) (a) The properties of the Association movable andimmovable and cash and negotiable instrumentsshall vest in the Central Council who shall be

This shallinclude the separate account maintained for the KPL as well.The books of accounts shall be kept at such places as theApex Council deems fit and shall always be open to inspectionby the members of the General Body at the office of theAssociation. 36.SETTLEMENT OF ACCOUNTS& BALANCE SHEET

The accounts shall, unless the General Body fixes any otherdate there for, be settled by the Treasurer on the 31st ofMarch in each year, and a balance sheet of the assets andliabilities of the KCA on that day shall be made out by him.The Balance Sheet duly audited with the Auditor's remarksshall be laid before the General Body at the Annual GeneralMeeting.

by the Honorary Secretary with the previousapproval of the Central Council. The bankingaccount shall be operated under the jointsignatures of the Honorary Secretary, theHonorary Treasurer and the President of theAssociation.

(v) The Association shall sue and be sued in the nameof its Honorary Secretary. He is hereby authorizedto sign and verify plaints, written statements,petitions, memoranda of appeal, vakalats andother documents to be filed before any Courts ofLaw, Tribunals, Government and Quasi-Government bodies or other public departmentsand to deposit into or withdraw from any of thedeposits, monies, securities or incidental to anymatters, before them; but he shall not have thepower to settle any matter without the priorsanction of the Council. He may appoint advocatesto represent the association with the previoussanction of the Council; but in cases of emergencyhe may himself make such appointments.

19. GENERAL CONDUCT OF THE MEMBERS:

a. The Central Council shall have the power tosuspend or expel any member club, or to suspendany member of a member club who in theiropinion merit such treatment, subject toconfirmation by the General Body at its nextmeeting.

No member club shall arrange any fixtures withany club which is under suspension or has beenexpelled from the District Associations and no clubshall include in its team any individual who isunder suspension, or who has been expelled andno such individual shall play for any club which is amember club. No member clubs, membersof the member clubs or players registered with theAssociation or the District Associations shallparticipate in any tournaments or fixtures whichare not registered or recognized by the Board, theAssociation or one of the District Associations.

i) Members of the Association and the CentralCouncil shall have access on all occasions forwitnessing cricket matches and net practice onsuch terms and to such places or enclosures as theCentral Council may decide,

ii) Members of affiliated clubs and guests ofmembers of the Association may play at the netson payment of such fee as the Central Council maydecide. No fee shall be charged to persons invitedto play at the nets by the Association.

iii) The qualification rules framed by the Board ofControl for Cricket in India for Inter-State matchesshall be followed for and all representativematches played by the Association.

iv) Only cricketers who are bona fide residents asdefined by the Board of Control for Cricket in Indiawithin the area of the Association shall be eligibleto take part in the League and Knock-outtournaments conducted under the auspices of theAssociation.

v) Players selected to take part in the respectivematches shall be informed through their DistrictAssociations. All Member clubs shall release such

. selected players and the selected players shall nottake part in any match other than the one forwhich they have been selected on that particulardate.

a Any club, unit or organization being a member ofthe Association by admission or affiliation if it hasa cause for complaint against any other club,player or official shall have the right to protest

26. EMPLOYEES:

Employees of the Association shall be under the control ofthe Honorary Secretary for purposes of appointment,dismissal, leave and discipline provided that pay andincrements in pay shall be subject to sanction by theCentral Council. The Central Council shall frame rulesgoverning such appointments, payments of salaries,increments, provident funds, bonuses, gratuities etc.

27. TOURNAMENTS

The Association shall conduct and/or approve the conductof league tournaments, zonal tournaments and such otherknock-out tournaments as may be decided upon by theGeneral Body in accordance with rules, regulations andbye-laws framed by the Association.

Member clubs/District Associations who conducttournaments shall do so only with the written approval ofthe association for which they shall apply with a fee of Rs.100/-. For conducting such tournaments, member clubsshould apply through the Honorary Secretary of theDistrict Associations to the Honorary Secretary of theAssociation before the 30th of July every year.

28. COLOURS OF THE ASSOCIATION:

A player who represents the State shall be entitled towear the State cap and a blazer with the official crest ofthe Association on the peak of the cap or on the pocket ofthe blazer respectively. The Central Council alone shallaward colours to those players who represent theAssociation and they alone are entitled to wear the officialtie of the Association.

or the validity of a vote in the General Body or theExecutive Committee of the District Association butshall not include any decision or finding of any subcommittee or the Central Council on theinterpretation of the rules of any tournamentconducted by the Association, dDy finding ordecision given in any 'protest' made by a club onany point touching any tournament/match underthe rules of which provision is made for'protest'or any decision or finding or action being taken bya member club against any of its members orplayers and any other decision of any committeerelating to tournaments which according to anyrule or bye-law of the Association is held to befinal.

No objection shall be raised or a reference to theTribunal sought for by any member club or officebearer regarding the validity of any election at theAnnual General Meeting unless the disputed mattergoes to the root of the election and unless itdirectly affects the party raising the dispute.

PROCEDURE OF REFERRING 'DISPUTABLEMATTERS":

Whenever any party desires to refer any'disputable matter' he or it shall make anapplication to the Honorary Secretary togetherwith a fee of Rs.1000/- requesting that the mattermay be referred to the Tribunal for its decision.The application together with the fee should reachthe office of the Association within three days ofthe date of receipt by the party of the decision orfinding in question. The application shall set forthbriefly the points on which the decision or findingis questioned, the names of the persons proposedto be examined at the heari the list of

documents proposed to be marked at an enquiryand the list of documents, if any, which the partydesires the Association to produce. Within 48hours of the receipt of such application theHonorary Secretary shall forward the same to themembers of the Tribunal with a request that anaward may be given on the matter within the timeprescribed by these rules.

An application for reference sent after theprescribed time or without the prescribed fee shallstand rejected and the decision or findingcomplained against shall become final.

No reference to the Tribunal shall be made directlyto the Tribunal on any matter on which the appealis provided to any other Council or General Bodyunder these rules.

In reference of disputable matters touching theannual election, the time limit of three days shallcommence from the closure of the General Meetingat which the election in question takes place.

RULES RELATING TO THE HEARING BY THETRIBUNAL:

Within one week from the date of receipt of areference by its members or soon thereafter asmay be convenient to its members, the Tribunalshall fix the date on which and the time at which itproposes to commence the hearing of the case andcommunicate the same to the Honorary Secretarywho shall forthwith inform the petitioner.

As far as possible the Tribunal shall deliver itsaward within a month from the date of receipt byit of the reference. The award has to be sent tothe Honorary Secretary who shall within threeda of the recei thereof communicate the

during any hearing by the Tribunal any memberwas not present. But every award will be signedby all the members.

If any member ceases to be a member of theTribunal during the pendency of a reference, thehearing shall continue and an award passed by theremaining members or member.

The Tribunal, if it thinks necessary, may call uponany member or any representatives of a memberclub or any other person to appear before it andgive evidence.

The Tribunal shall have the power to fix thecharges payable to any person summoned by itand issue directions to the party by whom suchcharges are payable.

31. MISCELLANEOUS

The General Body may appoint, for such period as may befixed, any person to organize a District Association wherethere is none legally functioning and in the meanwhile tofunction as the District Association for the purpose ofthese rules.

32. (a) The Association shall have the powers to honourthose who have served the Association in the pastas Presidents by requesting them to be Life-Patrons of the Association. They shall have all theprivileges of the members of the General Body.They shall not however seek election as an office-bearer nor shall they have the right to vote. TheCentral Council shall have the power to requesttheir services in any capacity for the good of theAssociation. Rule 11 (iv) shall be applicable to the

1. Any notice required to be served on any Member ofthe KCA or any Administrator or other entity shall beaddressed to their registered addresses.

45. AMENDMENTANDREPEAL

These Rules and Regulations of the KCA shall not berepealed, added to, amended or altered except when passedand adopted by a 3/4th majority of the members present andentitled to vote at a Special General Meeting of the GeneralBody convened for the purpose or at the Annual GeneralMeeting. Any such amendment will not be given effect towithout the leave of the Hon'ble Supreme Court.

Memorandum of Association

3.The income, funds and properties of the KCA, howeveracquired, shall be utilized and applied solely for the promotion ofthe objects of the KCA as set forth above to aid and assistfinancially or otherwise and to promote, encourage, advance anddevelop and generally to assist the game of cricket or any othersport throughout Kerala. No portion thereof shall be paid ortransferred directly or indirectly by way of dividend, bonus, orotherwise however, by way of profit to the members of theAssociation.

4.The KCA shall not be dissolved unless the dissolution is decidedupon by a resolution passed at a General Meeting of the KCAconvened for the purpose, by a majority of 3/4tn of the memberspresent and entitled to vote. The quorum for such meeting shallbe2l3 of the members who have a right to vote. In the case ofdissolution of the KCA, if there shall remain after satisfaction ofall debts and liabilities, any property whatsoever, it shall be givenor transferred to some other institution or institutions havingobjects similar to those of the KCA and not running for profit.

15. KCA JURISDICTION OVEROFFICIALS & TEAM OFFICIALS.

L7. CONDUCTOF PLAYERS

The Apex Council shall have the power to enquire into theconduct of any Player within its jurisdiction and may take suchdisciplinary action against the Player as the Apex Council maydeem fit, which decision shall be final.

In the event of the KCA enquiring into the conduct of a Player,Match Official, Administrator, etc., the KCA shall proceed in themanner prescribed in Rule 41

CHAPTER FIVE: MANAGEMENT

19. ADMINISTRATION OF THE KCA

1. Trivandrum shall be the headquarters where the office ofthe KCA shall be permanently situated. It shall be theCentral Secretariat of the KCA.

2. The day-to-day management of the KCA shall beconducted by professionals in both cricketing and non-cricketing matters.

3. The Governing Council of the KPL shall be accountabledirectly to the General Body and not to the CEO or theApex Council.

20. NON-CRICKETING MATTERS

1. The day to day management of non-cricketing mattersincluding operations, technical, human resources, financeand media shall be conducted by the under thesupervision of the Apex Council aided by the ce of theStanding Committees as set out in Rule 24.

CRICKETING MATTERS

1. The management of cricketing matters such as selections,coaching and evaluation of team performance shall beexclusively handled by the Cricket Committees comprisingonly of Players as set out in Rule 26.

2. The management, evaluation and selection of umpiresshall be done by the Umpires Committee comprising onlyof Umpires as set out in Rule 27.

3. The reports of the Cricket and Umpires Committees shallbe sent to the CEO for being forwarded to the ApexCouncil, but the CEO shall not in any way be involved inthe preparation, approval or amendment of the same.

22. EFFICIENCY IN FUNCTIONING

1. The bankers, lawyers and others offering professionalservices to the KCA shall be appointed in a fair andtransparent manner, and may be changed from time totime, as the KCA may deem expedient.

2. The bank account of the KCA shall be operated by 2authorized signatories from out of a list of authorizedsignatories designated by the Apex Council from amongstthe apex council members andthe professional management who are based out of theKCA.

3. The CEO and the Cricket & Umpires Committees shallfunction independently in their respective domainswithout any interference or approval from each other.

professionals (Managers) who shall be appointed by theApex Council in consultation with the CEO essentially togovern the streams of finance, technical andinfrastructure and human resources. The CEO mayhowever realign or re allot these streams as he deemsfit.

3. The eligibility criteria for the CEO and Managers shall belaid down by the Apex Council keeping in mind thefollowing guidelines:a) Knowledge and familiarity with cricket or other

sports;b) Understanding of financial position and fiscal

direction of the KCA;c) Knowledge of operations of cricket administration

and overall policy;d) Clarity on role, division ofresponsibilities and

hierarchy; ande) Familiarity with regulatory and legal responsibilities

as well as attendant risks.

(4) There shall be an appropriate induction process laid downby the Apex Council for the CEO and the Managers, whichshall include a fair and transparent process of appointment.

24. THE FUNCTIONS OF THE CEO

The CEO shall have the following functions on behalf of the KCA

1. To implement all the Rules and Regulations made by theGoverning Body and the Apex Council in regard to non-cricketing matters.

2. To issue guidelines in respect of travel, acclqmodation,allowances, etc., to be paid to players, suppo\taff and,officials participating in matches, other than inte\gtional/matches. f\ I

3. To lease and manage immovable property of the KCAwherever situated, in order to promote the object of KCA,subject to the approval of the General Body.

4. To lay down parameters for the laying of grounds for playingthe game and to provide pavilion, canteen and otherconveniences and amenities in connection therewith.

5. To appoint Team Officials for the teams which shallcompulsorily include qualified coaches, managers,physiotherapists, nutritionists, trainers, analysts, counselorsand medics. However, the Head Coach of each of the SeniorTeams shall be appointed by the Cricket Advisory Committeereferred to in Rule 26(2)A(ii) below.

6. To secure Players' welfare to ensure that the logisticsmanager will arrange for accommodation and travel, to

ensure that tickets given to Players for matches will be on par I

with those given to the Members, and to also ensure that no I

expenditures towards the game (baggage handling, injuryrelated, etc.) will be undertaken by the Player, failing whichsuch expenses will be reimbursed to the Player within 30working days of the requisition being made. Also, to process'requests made by Players to make arrangements for theaccommodation and travel of their respective wives Ipartners I family members, wherever permitted.

7. To ensure that all measures are adopted to eliminate anyform of racial, communal, casteist or other hatred from thegame, with stringent action taken against the offendersincluding the initiation of criminal proceedings.

B. To start and maintain a library of books, periodicals, DVDsand other databases on Sports in general and Cricket inparticular, and to publish journals, books and other materialas well as the official website of the KCA.

9. To produce by itself the Cricket content for telecast of cricketmatches andlor ceremonies by hiring or owning equipmentand hiring necessary crew, technicians, etc. \

27.To do all acts and things which are delegated by the KCA andApex Council to him, and all other functions as are necessaryand expedient to carry out the objects of tt\XCA asaforesaid including carry on correspondence in the\me ofthe KCA.

28. THE GOVERNING COUNCIL

1. The Governing Council of the KPL shall consist ofSEVEN; members who shall be inducted at everyAnnual General Body Meeting of the KCA. The termof the members of the Governing Council (otherthan the Secretary, Treasurer, C&AG nominee andCEO) shall be one year.

2. The composition of the Governing Council shall beas follows:(i) four representatives of the General Body, of

Association from amongst those of its memberswho hail from Kerala (other than therepresentatives on the Apex Council);

be,the Chairperson of the Governing Council.4. All decisions relating to the KPL would be taken by

the Governing Council by majority and in case ofequality of votes the Chairperson shall have acasting vote.

5. The Governing Council shall maintain a separateBank Account which shall be operated by twoauthorized signatories from out of a list ofauthorized signatories designated by the GoverningCouncil .

6. The Governing Council shall, at the {ollowingMeeting of the General Body, submit a repo![alongwith all decisions taken by it.

Inadvertent omission to give notice of an Annual Generalor Special General Meeting or Meetings of the ApexCouncil or of any of the Committees to any memberentitled thereto or the non-receipt thereof by suchindividual shall not invalidate the proceedings of suchmeetings.

30. PERMISSIONTOCONDUCTTOURNAMENTS

1. No Club affiliated to a member shall conduct ororganize any tournament or any matches in whichplayers/teams from the region within thejurisdiction of a member are participating or arelikely to participate without the previouspermission of the member affiliated to the KCA.

2. No member or a Club affiliated to a member shallconduct or organize any tournament or anymatch/matches in which players/teams fromregions outside their jurisdiction are participatingor are likely to participate without the previouspermission of the KCA.

3. Permission for conducting or organizing anytournament or match/matches will be accordedonly to the members of the KCA and will be inaccordance with the rules framed by the KCA inthis regard from tune to time.

5. Members or their affiliates desirous of undertakingtours abroad or inviting foreign teams shall obtainthe previous permission of the KCA/BCCI, whichmay be granted in accordance with the Rulesframed by the KCA/BCCI.

31. BAN ON PARTICIPATIONTOURNAMENTS

IN UNAPPROVED

1. No Member shall participate or extend help of anykind to an unapproved Tournament.

2. No Player, Umpire, Scorer, Official or other personassociated with the KCA shall participatein any unapproved tournament.

3. The Apex Council shall take appropriate actionincluding suspension and stoppage of financialbenefits and any other action against individuals /Members contravening the above.

CHAPTER SIX: ELECTIONS

32.PROCEDURE FOR ELECTIONS

The General Body shall from time to time frame rules ofprocedure for the elections. Any amendments to theprocedure adopted shall be made at least 3 months prior tothe elections.

33.THE ELECTORAL OFFICER

1. At least four weeks prior to the Annual Generalthe ApexMeeting at which an election is to be

not being available, any other former State ElectionCommissioner , preferably from a neighboring State ,may be appointed .

2. The Electoral Officer shall oversee and supervise theentire election process including scrutiny of theelectoral rolls for Councilors , which shall include allnominations and candidatures being subject to hisscrutiny in accordance with the Rules.

3, In case of any dispute or objection as to candidacy,disqualification, eligibility to vote, or the admission orrejection of a vote in the elections to the Apex Council,or any of the committees , the Electoral Officer shalldecide the same and such decision shall be final andconclusive.

CHAPTER EIGHT: TRANSPARENCY & CONFLICT OFINTEREST

37. TRANSPARENCY

\

1. The Memorandum of Association, Rules andRegulations and all other resolutions, orders andmemoranda of the KCA (including the Apex Counciland the General Body) shall be freely available to thegeneral public at a reasonable price. The same shallalso be available on the Website of the KCA.

2. The composition of the various Committees (includingthe Governing Council), their reports of work done,financial outlay and expenditure shall be uploaded onthe Website of the KCA on a quarterly basis at distinctlinks dedicated to each Committee. It shall be theresponsibility of the CEO to ensure that this is done.

3. All payments and expenditures made by the KCAwhich is in excess of Rs. 25 lakhs shall be enumeratedand uploaded on the website.

4. All proceedings and conclusions of the OriQudsmanand the Electoral Officer shall be uploaded{an theWebsite of the KCA annually. \.I

5. The audited accounts, balance sheets, income &expenditure accounts and annual reports shall beuploaded on the Website of the KCA annually.

6. The Financial and Compliance Reports of the Auditorshall be placed on the uploaded on the Website of theKCA annually.

7. All notices on or behalf of the KCA including tendersfor goods and services, for contractual arrangementsand the like shall be promptly uploaded on theWebsite of the KCA.

B. The website of the KCA shall have dedicated links toall the stadia in the State which host internationalmatches, along with their complete seating capacity,pricing and transparent booking procedures for alltournaments whether international, domestic or KPL.All sponsor and other free allotments shall also bedisclosed, in no event being more than 10olo of theentire seating capacity in any particular category .

38. CONFLICT OF INTEREST

(1) A Conflict Of Interest may take any of the following formsas far as any individual associated with the KCA is concerned:

(i) Direct or Indirect Interest: When the KCA, a Member, theKPL or a Franchisee enter into contractual arrangements withentities in which the individual concerned or his/her relative,partner or close associate has an interest. This is to includecases where family members, partners or close associatesare in positions that may, or may be seen to compromise anindividual's participation, performance and discharge of roles.

EXPLANATION: The Illustrations which refer to a President /Secretary / Vice-President may be read as illustrationsreferring to any other Office Bearer, and also to the membersof the Apex Council, the Governing Council and theCommittees.

(2) Within a period of 1.5 days of taking any office underthe KCA, every individual shall disclose in writing to the ApexCouncil any existing or potential event that may be deemedto cause a Conflict of Interest, and the same shall beuploaded on the website of the KCA The failure to issue acomplete disclosure, or any partial or total suppressionthereof would render the individual open to disciplinary actionwhich may include termination and removal without benefits.It is clarified that a declaration does not lead to apresumption that in fact a questionable situation exists, but ismerely for information and transparency.

(3) A Conflict of Interest may be either Tractable orIntractable:

a) Tractable conflicts are those that are resolvable orpermissible or excusable through recusal of the individualconcerned and/or with full disclosure of the interest involved.

b) Intractable conflicts are those that cannot be resolvedthrough disclosure and recusal, and would necessitate theremoval of the individual from a post or position occupied sothat the conflict can cease to exist. (5) As far as incumbents are concerned, every disclosuremandated under Sub-Rule (3) may be made within 90 daysof the Effective Date.

39. THE ETHICS OFFICER

1. The KCA shall appoint an Ethics officer at the AnnualGeneral Meeting for the purpose of guidance andresolution in instances of conflict of interest. Theethics officer shall be a retired Judge of the High Courtor a legally well-versed person so appointed by theKCA after obtaining his/her consent and on terms asdetermined by the KCA in keeping with the dignity andstature of the office. The term of the ethics officershall be one year, subject to a maximum of 3 terms inoffice.

2. Any instance of Conflict of Interest may betaken cognizance of by the Ethics Officer:

a. Suo Motu;b. By way of a complaint in writing to the official postal

or email address; orc. On a reference by the Apex Council;

(3) After considering the relevant factors and following theprinciples of natural justice, the Ethics Officer may do any ofthe following:

(a) Declare the conflict as Tractable and direct that:

2. The KCA shall, in consultation with the CEO frameRegulations regarding the discipline and conduct ofthe Players, Match Officials, Team Officials,Administrators, Committee Members and othersassociated with the KCA.

Any disputes between or among the KCA, its Members, KPLFranchisees, Zones and the Cricket Players 'Association shallbe automatically referred to the Ombudsman.

Procedure: Both parties would submit their arguments and ahearing would be conducted following the principles of naturaljustice and exercising all powers of enquiry and hearing asthe Ombudsman deems fit before appropriate orders arepassed.

liberty to proceed ex-parte on the basis of the availablerecords and evidence.

(d) By the Public against the KCA

Where a member of the public is aggrieved, the same maybe brought in the form of a complaint to the Ombudsman.

(2) The place of hearing shall be decided by theOmbudsman from time to time. The Ombudsman shallhave the power to impose penalties as provided in thebye law, Regulations for Players, Team Officials,Administrators, Managers and Match Officials of theKCA.

(3) The decision of the Ombudsman shall be final andbinding and shall come into force forthwith on beingpronounced and delivered,

(4) Any Administrator, Player, Match Official, Team Official,Selector or other individual associated with the KCA onbeing found guilty and expelled by the KCA shall forfeitall their rights and privileges. He or she shall not infuture be entitled to hold any position or office or beadmitted in any committee or any role on the KCA.

(5) A Member or Franchise once expelled, ffidy, onapplication made after expiry of three years sinceexpulsion, be readmitted by the KCA, provided thesame is accepted at a General Body meeting by 3lathmembers present and voting.

(6) Pending inquiry and proceeding into complaints orcharges of misconduct or any act of i pline orviolation of any Rules and Reg ns, theconcerned Member, Administrator, PlaOfficia Team Official or other individual

with the KCA (along with their respective privileges andbenefits) may be suspended by the ombudsman untilfinal adjudication. However, the said adjudication oughtto be completed within six months, failing which thesuspension shall cease.

(7) The ombudsman shall have power to pass an interimorder as it deems fit.
