A. IntroductionBharat Sanchar Nigam Limited (BSNL), BSNL is a government owned leading telecommunications service provider in India. It provides services for retail customers and offers business solutions for corporate customers, including voice, data and other value-added telecommunications services both on wireline and wireless medium.

B. Purpose of the EOIBSNL intends to provide voice, SMS and data in bulk to eligible Virtual Network Operators (VNOs) through a wholesale agreement. This EOI invites offers from VNOs to enter into agreement with BSNL on non-exclusive, revenue sharing basis for offering such Service. The selected companies can offer the services after signing the company agreement with BSNL which would contain all the terms and conditions entailed in this EOI. 1.3 BSNL’s VNE (Virtual Network Enabler) partner can enable a VNO (Virtual Network Operator) in one or more of the Service Areas or in a pan-India basis.

1.4 BSNL’s VNE (Virtual Network Enabler) partner can enable a VNO(Virtual Network Operator) with one or more or all of the services listed in UL(VNO) License guidelines document para 3 (ii) - dated 31 st

May 2016 (No.800-23/2011-VAS(Vol II)) released by the Government of India1.5 The objective of this EoI document is to invite potential VNOs in India who are interested in

obtaining BSNL’s VNO service in order to launch their own brand Telecom Services in India.1.6 In order to avail BSNL’s VNO Service the applicant shall have a valid UL(VNO) license obtained (or the

applicant shall be in the process of obtaining the UL(VNO) license) from the Government of India. 1.7 The applicant shall fully comply to the VNO guidelines released by Government of India, Ministry of

C. About Virtual Network Operator (VNO)1. A virtual network operator (VNO) is an entity that does not own spectrum/access infrastructure but

provides telecom services by purchasing capacity from NSO (Network Service Operator) or TSP (Telecom Service Provider).

2. VNOs are treated as extension of NSOs(Network Service Operator) or TSPs(Telecom Service Provider). VNOs can connect with the NSO/TSP and deliver services to their own set of subscribers. This means the delivery of services can be provided by the VNO while the network may be owned by the NSO/TSP. As per Guidelines for Grant of Unified License (Virtual Network Operators) dated 31 st

May 2016 (No.800-23/2011-VAS(Vol II), VNOs would not be allowed to install equipment interconnecting with the network of other NSOs

3. VNOs shall be allowed to create their own service delivery platforms in respect to customer service, Billing and VAS. VNOs are also permitted to install their own network equipments like BTS,BSC,MSC, LAN but are not permitted to install equipments (like GMSC, TAX) required for interconnecting with other NSOs.

4. VNOs play important role in the Telecom market by buying minutes in bulk from MNOs and selling them to consumers at a discounted price. Technological innovations such as advancements in 4G and LTE infrastructure are expected to propel growth of VNOs.

5. BSNL considers VNO as a huge opportunity to increase Market Share & Subscriber base rapidly by effectively utilizing the un-used / under-used capacity.

6. With the Government’s emphasis on providing better rural access and connectivity and mobile enabling the enterprise segment, key aspects such as mobile payments and IoT will take precedence in the near future that will in turn thrive the new VNO business in India.

7. BSNL will consider companies who are looking at partnering with BSNL in selling telecom services through VNO model.

8. BSNL has additional bandwidth resources, network infrastructure and pan-India coverage.

D. Eligibility Criteria The following criterion shall be met by the company or the company who intends to participate in this EOI and only those companies who qualify the following conditions need apply:

1. The Company shall be registered/ incorporated in India under the company’s act 1956 or 2013.2. VNO should be an ISO 9001 certified company.3. VNO should be an ISO 27001 certified company for security assurance.4. If the VNO manages any e-commerce activity, the VNO should be certified with PCI DSS

compliance.

5. VNO will be interconnecting to BSNL’s point of interconnection (POI) over interfaces and protocols which are compliant with internationally accepted standard specifications.

6. VNO shall be fully equipped with all the technical infrastructure, telecom grade platform and all relevant NSS and BSS applications required to function as a telecom operator.

7. VNOs Technology to have proven performance of managing 5+ Million subscribers across the world.

8. VNO shall never have been barred, blacklisted or banned from having business dealings with / by any of the Private or Government Agency internationally

9. Under the provisions of the UL VNO policy, VNO shall participate in increasing Radio Frequency to improve the Quality of Service.

10.The applicant company must hold the UL (VNO) License for at least one or more services as listed in Para 3(ii) of the Guidelines for Grant of Unified License (Virtual Network Operators) dated 31st May 2016 (No.800-23/2011-VAS (Vol II).

11.Companies who do not have a valid UL (VNO) license but are in the process of obtaining the UL (VNO) license from Government of India are also allowed to bid for the BSNL VNO Services EoI.

E. Instructions to applicants for EOI i. One EOI shall be submitted by applicant fulfilling the eligibility criteria in format as specified along

with the documents.ii. An agreement bordering around the terms and conditions of the EOI shall be signed with selected

company(s). iii. The agreement with the company shall be on non-exclusive basis. Further, BSNL reserves the right

to provide its services at any time or to enter into Agreement with other Company/ parties for providing similar services in its licensed service area from time to time in future without any restriction of number of Companies/ parties.

iv. The period of non-exclusive agreement shall be66 months (6 months for installation of equipment, integration & testing with BSNL network and 60 months for service).

v. BSNL reserves the right to have a presentation on the company’s proposal as part of the evaluation process.

vi. Company shall submit all below mentioned documents along with the application a. Attested copy of the certificate of Incorporation.b. Latest Audited results of last three financial years (2013-14, 2014-15 & 2015-16).c. Articles and Memorandum of Association or partnership deed as the case may be.d. The company shall need to provide the service’s Network Architecture (interface and

protocols) with diagram which shall be scrutinized by competent BSNL Technical Team. It shall also submit detailed integration requirement document with BSNL system.

e. Business plan for the proposed term of agreement.

f. The bidder shall have commercial agreement with all the service providers individually, to ensure that respective technical platform, support and services for implementation, operation, maintenance for a minimum period of 5 years.

g. VNO shall provide defined/clear market segments & Subscriber rolling forecast for Time to Time.

vii. In case of any dispute relating to this expression of interest / agreement, New Delhi court shall have the exclusive jurisdiction.

F. Terms and Conditions i. The agreement with the eligible company shall be signed for 66 months (out of which, 6 months

may be for installation, integration of the equipment/ system with BSNL network)ii. Renewal or extension of the agreement shall be based on the performance of the VNO Provider

and as per prevailing policy of BSNL at that time. The performance of the company would be a key determinant for extension

iii. The Revenue share commercials of wholesale offer would be as provided in Commercial Annexure:a. BSNL’s Wholesale rate slabb. Payment Collection terms.

iv. The required connectivity to the concerned network elements of BSNL would be as provided in Technical Annexure.

v. The Operational Annexure shall have the support services offered for VNO companyvi. Company shall be totally bound and obliged to comply with all applicable norms and directions of

Telecom Commercial Communications Customers Preference Regulations (TCCCPR) issued from time to time by the Regulator (TRAI) or the Licensor (DOT) or Govt. of India.

vii. The Company shall ensure that the content to be provided as part of the Services conforms to the applicable Indian laws, IT Act 2008 and its amendment issued from time to time by Govt. The Company shall monitor the content on a regular basis to ensure that the same is not obscene or offending to the laws of the land, community or sect or violating any copy/ intellectual property of any third party.

G. BSNL Responsibilities:I. For MVNO (Mobile VNO)

1. BSNL shall provide VNO end-to-end delivery of Regulated Roaming Calls, SMS and Data. This comprises in detail the delivery of:i. Mobile originated calls generated by the VNO’s Customer from a Service Area in home and

intra circle roaming network to other destinations.

ii. Mobile originated SMS generated by the VNO’s Customer from a Service Area in home and intra circle roaming network to other destinations.

iii. mobile data traffic (2G/2.5G/3G/3.5G/4G/LTE) generated by the VNO’s Customer from a service area to a packet data network either via a GGSN of BSNL or, up on BSNL’s decision, via a GGSN of the VNO.

iv. BSNL shall provide VNO end-to-end delivery of mobile originated calls/SMS to premium numbers generated by the VNO’s Customer.

v. BSNL shall provide required connectivity to the concerned network elements of BSNL at no cost.

vi. BSNL shall provide VNO end-to-end delivery of mobile terminated calls from a national or international network to the Service area (VNO) where the VNO’s Customer is located.

vii. BSNL shall provide VNO end-to-end delivery of mobile terminated SMS messages from a national or international network to the VNO where the VNO’s Customer is located.

viii. BSNL shall provide VNO the Roaming Interconnection services through its existing agreements for National & international roaming.

ix. BSNL shall provide VNO end-to-end delivery of mobile originated roaming calls generated by the VNO’s Roaming Customer from a roaming network (VPMN) to other destinations.

x. BSNL shall provide VNO end-to-end delivery of mobile originated roaming SMS messages generated by the VNO’s Roaming Customer from a roaming network (VPMN) to other destinations.

xi. Mobile data traffic (2g/3g/4g) generated by the VNO’s Roaming Customer from a roaming network (VPMN)

2. In accordance with Guidance of Unified license (Virtual network operators) Regulation ref 800-23/2011-VAS (Vol.II) and the Agreement between VNO company & DOT for operating in the service areas and Subject to the agreement between VNO company and BSNL, BSNL will offer the following services to VNO company

i. Provision of services describedii. Support or access to the following regular wholesale functions and facilities provided by BSNL

a. Negotiation, implementation and management of its Relationshipsb. Signalingc. Authenticationd. Data clearinge. Wholesale Billingf. Interconnectg. Fraud handling with its roaming partners h. Provisioningi. Management of Global Roaming Exchange/IP Exchange

iii. BSNL to provide support to VNO with regard to Legal Interception such as Live Streaming and Fan Outwhich may not be under VNO scope under the regulations.

iv. For the avoidance of doubt, under this EOI BSNL will provide VNOs only access to Domestic services in service areas licensed & Roaming services in India subject to mutual commercial agreement

v. BSNL shall provide access to relevant interfaces, protocols or relevant operational support systems by BSNL in order to enable VNO to carry out for itself the necessary retail functions towards its end-customers.

vi. Regular information on end-user usage through the provision of call data records (CDRs) shall be transferred to VNO by mutually agreed feasible procedure.

vii. BSNL shall perform the Wholesale Billing & Invoicing towards its VNO for the usages, access for it’s under the service area.

viii. BSNL processes and transmits transaction data for the usage of the services (GSM Voice & SMS, GPRS and Value Added Services) to enable VNO the reconciliation with billing of its end-customers accordingly.

ix. BSNL shall provide its VNOs an opportunityto integrate to its MNP gateway.x. BSNL will ensure to provide a comprehensive description of the procedure to interconnect.

II. For Landline VNO

1. BSNL shall provide VNO end-to-end delivery of Calls. This comprises in detail the delivery of:i. Landline originated calls generated by the VNO’s Customer from a Service Area in home and

intra circle roaming network to other destinations.ii. Landline data traffic generated by the VNO’s Customer from a service area to a packet data

network either via a GGSN of BSNL or, up on BSNL’s decision, via a GGSN of the VNO.iii. BSNL shall provide VNO end-to-end delivery of Landline originated calls to premium numbers

generated by the VNO’s Customer.iv. BSNL shall provide required connectivity to the concerned network elements of BSNL at no

cost. v. BSNL shall provide VNO end-to-end delivery of Landline terminated calls from a national or

international network to the Service area (VNO) where the VNO’s Customer is located.

2. In accordance with Guidance of Unified license (Virtual network operators) Regulation ref 800-23/2011-VAS (Vol. II) and the Agreement between VNO company & DOT for operating in the service areas and Subject to the agreement between VNO company and BSNL, BSNL will offer the following services to VNO companyi. H. VNO ResponsibilitiesI. For Mobile/ landline/Broadband VNOs

i. The eligible companies are also required to do all the end to end management of the customer marketing, selling and servicing activities.

ii. VNO will be interconnecting to BSNL’s point of interconnection (POI) over interfaces and protocols which are compliant with internationally accepted standard specifications.

iii. VNO shall be fully equipped with all the technical infrastructure, IT application and telecom services.

iv. VNO shall be responsible for its Branded SIM Card, Vouchers Production and Distribution to its Supply chain (only for Mobile VNO).

v. VNO shall be fully responsible for the CAF process and compliance obligations.vi. VNO shall be fully equipped with its own billing platform for purposes of retailing its Product,

services, billing to its customers.

vii. VNO shall be fully equipped with its own CRM, Supply chain Management, Voucher Management, channels for servicing the subscribers up to the Quality Of Service obligations.

viii. VNO to have its own Mobile Number Portability (MNP) Application to service its customers and integrate to the MNP gateway via BSNL approved interfaces.

ix. VNO shall have its own usage records, Tools & systems to service all the legal requests of Regulatory as laid down from time to time by DOT.

x. VNO shall provide BSNL with mutually agreed information relevant for compliance to regulations and agreements

xi. VNO shall be fully responsible for all customer care and customer feedback for the services rendered

xii. VNO shall be responsible for distribution, provisioning, retail price setting, sales and credit check, Revenue assurance, with relevant applicable laws or other obligations provided by relevant authorities.

xiii. VNO shall hold responsibility of identifying & take corrective action on any kind of fraudulent use of its Subscribers without undue delay for reasons of minimizing commercial losses and/or any adverse effects for BSNL.

xiv. Security & Data Privacy - Each party shall comply with the applicable data protection and other (relevant) laws and regulations

xv. VNO’s Customer confidential information to stored & maintained with in the Country (India).

J. Fraudulent activitiesi. Both Parties agree to cooperate in avoiding any kind of fraudulent behavior particular to monitor

VNO end-customers’ usage on fraud potential.ii. Either party identifying any fraudulent use will inform the other party without undue delay. In

case of detected fraudulent use, VNO shall upon BSNL’s request deactivate the respective end-customer’s SIM-Card immediately.

iii. BSNL reserves the right to deactivate fraudulent used SIM-Cards itself for reasons of minimizing commercial losses and/or any adverse effects for the network availability of the Parties due to such fraudulent use.

K. Service Quality, Faults, Maintenance and SLAsi. BSNL agrees to provide the VNO with all relevant information on faults or planned maintenances

as far as VNO itself is informed by its partners.ii. BSNL commits to treat VNO in a non-discriminatory way and VNO’s end-customers will receive the

same services according to the best effort principle that BSNL’s own end-customers receive on the same network.

iii. BSNL commits to not discriminate between its own end-customers and VNO’s end-customers in relation to the service quality and coverage on its roaming partner’s network and/or the fault detection, fault handling and restoration of any incidents compared to BSNL’s own end-customers, provided that these actions are under BSNL’s control.

iv. BSNL will provide VNO with the same information on operational performance of BSNL’s roaming partners’ networks as BSNL provides to its other VNO & Wholesale partners.

v. Parties will negotiate in good faith on compensation in case BSNL fails to meet any of the according obligations and act in an unjustified discriminatory way.

vi. Where BSNL has control over processes related to service ordering, provisioning and delivery to customers of the VNO, BSNL will not discriminate these customers versus BSNL customers. BSNL and VNO will negotiate in good faith to agree on reliable processes and timelines associated with ordering, provisioning and delivery where appropriate.

vii. BSNL will give VNO reasonable support in solving disputes with VNO’s end-customers if for the solution finding BSNL’s cooperation is required. Therefore VNO will provide BSNL with all necessary information such as MSISDN of complaining customer, reason for complaint or time to which complain relates.

viii. A detailed description of ‘complaint processing’ as well as further details such as payment terms will be defined in the Agreement.

L. Legal InterceptionBSNL will support VNO to respond to requests by relevant authorities if, due to the nature of the wholesale relationship, VNO is (technically) not able to provide requested information by itself (e.g. Live Streaming or Fan Out). Since the customer ownership and relationship remains at VNO, BSNL will however not provide any personal data of end-customers or any data on end-customers’ usage patterns.

M. Security & Data PrivacyEach party shall comply with the applicable data protection and other (relevant) laws and regulations of DOT and shall indemnify and hold harmless the other Part from and against all costs or expenses of any kind arising out of any claim or demand brought by any person, entity or authority as result of any breach or alleged breach of such data protection laws and telecommunications laws and regulations.

N. Wholesale Billing & Payment:a. BSNL shall invoice VNO for the services agreed and provided through the agreement on a monthly

basis before the end of the following month according to the terms and conditions set out in agreement. Each invoice shall relate to a period commencing on the first day of the month and ending on the last day of that month, except for any corrections which can be invoiced up and until

[four] months after the relevant billing period which will be invoiced via the regular invoice procedure.

b. BSNL shall raise Wholesale invoice on the basis for BSNL’s usage date for the services (GSM Voice & SMS, GPRS and Value Added Services) consumed by VNO.

c. All invoices must be paid before or on the due date. All charges and other sums due by VNO under the Agreement and related to the normal operation of the services shall be transferred into the bank account of BSNL, as specified on the invoice.

d. In the event that VNO fails to pay any invoices in full before or on the due date, BSNL shall be entitled to charge and receive statutory interest in respect of any such amount outstanding at the statutory rate in accordance with the Law, and reasonable costs of collecting outstanding amounts.

e. In case VNO disagrees with the invoice sent by BSNL as a result of a lack of accurate volumes used to calculate the invoice (“Accuracy Dispute”), VNO shall informBSNL within 2 (two) months after receipt of the invoice of such dispute and the reasons of such dispute by means of a Dispute Notice. If the two months period mentioned in this clause has expired and BSNL did not receive a ‘Dispute Notice’ within these two months, VNO and shall be deemed to have accepted BSNL’s invoice.

f. For the avoidance of doubt aforementioned process is relevant only for the wholesale billing and accordingly VNO’s end-customers may not assert any claims in relation to BSNL.

g. The detailed process and contacts shall be detailed in the agreement.

O. General Terms and Conditionsa. An expert committee will scrutinize the applications submitted by bidders for follow-up action.b. The bidders may be called for a presentation to assess their strengths, VNO business plans, target

segments, target services and launch road map.c. All incidental expenditure incurred in preparation/ submission or presentation of the EoI shall be

borne by the bidders.d. Participation in this EoI does not guarantee any association with BSNL unless notified by BSNL in

writing.e. BSNL reserves the right of rejecting any offer without assigning reasons.f. There is neither a business guarantee nor any commitment for funding support from BSNL to the

companies entering into agreement.g. A Committee of experts constituted by BSNL will assess capabilities and strengths of the bidders

before finalizing the VNO partners.h. The company willing to launch VNO services using BSNL Infrastructure will be required to enter into

a wholesale/VNO agreement with BSNL as per the terms and conditions approved by the competent authority of BSNL in the prescribed format.

P. Submission of application:i. The application for Expression of Interest in format as specified in Annexure along with all

required documents must be submitted in sealed envelopes, super scribed "Expression of Interest for Virtual Network Operator Service on BSNL and addressed to the contact person indicated in this EOI. The envelope shall indicate the name and address of the Company.

ii. Application giving the details is to be made on the Company’s letter head. A copy of this EOI duly signed in on all pages meaning by acceptance of all clauses be submitted along with application form.

iii. All costs & expenses associated with submission of application shall be borne by the Company submitting the application and BSNL shall have no liability in any manner in this regard. BSNL reserve the right to terminate the process of short-listing for any reason whatsoever.

Note: This policy is open ended and any company which is interested and meets the eligibility conditions may submit its proposal on any working day. BSNL would however reserve the right of periodic review of the entire policy or any elements thereof based on its business needs.
