EXPECTATIONS

• Attend monthly meetings (nine per year) – Each active member is expected to attend every meeting, notifying the Head Hostess of her presence or absence by telephone or email. When spouses, significant others, and guests are invited, include them in the Rsvp. The Head Hostess needs to know the number of people attending the meeting to plan for food, beverages, and seating.

• Host at least one meeting every year (House Hostess, Head Hostess, or Hostess)

• Commit to serving actively on at least one committee

• Be willing to accept a position as chair of a committee and to serve on the Executive Committee

• Commit to supporting the activities of the club – civic projects, flower shows, etc. (obligation of time and money)

HOSTESS ROLES

In the early spring, active members are asked to volunteer to hold meetings in their homes or to serve as Hostess or Head Hostess for monthly meetings in the coming year. Associate members may also serve in these capacities. We try to avoid asking members to volunteer their homes or to serve as Head Hostess for consecutive years. We also attempt to pair new members with more experienced members as Hostesses. Most meetings are held in members’ homes at 11:30 am. Light food and beverages are served, before a short business meeting, followed by the program.

THE HEAD HOSTESS

At least three weeks before the meeting, the Head Hostess confers with the House Hostess to confirm the date, the time of arrival of the committee and to learn her particular considerations – where committee members should park, whether she would prefer to use her own container for the centerpiece, etc. The Head Hostess then contacts the Hostesses to decide on who will do the following: bring specific refreshments, design and bring the centerpiece, supply extra cups and saucers/plates if needed, and provide the coffee and tea service if used. The Vice President will give the Head Hostess a checklist describing the needs of most meetings. The Vice President provides the club’s cloth napkins.

The Head Hostess rents chairs, paid for by the club. All other expenses are divided equally among the Head Hostess and the other Hostesses. Please submit receipts to the Head Hostess so she can tally expenses and inform each Hostess of her share. Note: If the group wants paid help, they must agree in advance and share the cost. When a meeting is held at a site other than a member’s home, the responsibilities of the Head Hostess remain the same. The club pays for the site rental, if applicable.

The Head Hostess receives all Rsvps and notifies the Corresponding Secretary of all excused absences during roll call at the meeting. If the Head Hostess is unable to host a meeting, she must notify the Vice President well in advance of the meeting and help to find a substitute. If questions arise, the Head Hostess contacts the Vice President, who oversees hospitality.

THE HOSTESS

The Hostess purchases and prepares refreshments in coordination with the Head Hostess, helps to set up, serve the refreshments, clean up and share in the overall expenses equally. Hostess expenses may be anywhere from $10 to $100 depending on the expectations of the committee. Should we pay for help? What will our menu include? What will the arrangement consist of? These should be worked out by the entire committee well before the meeting takes place. If the Hostess is unable to help, she must secure her own replacement and notify the Head Hostess in advance about the substitute.

When guests and spouses are invited to meetings, Hostess duties are the same. However, at least six or more Hostesses share responsibilities and expenses with the Head Hostess at these larger meetings. If dinner is included, the meeting announcement may notify members that an extra fee is involved or that help with food preparation is expected. The club pays for wine at the evening and auction meetings from the hospitality budget. Hostesses will pay for any rented wine/water goblets, tea cups and saucers, dishes, or tables needed for a meeting.

JOINT MEETING

Our joint meeting with Connecticut Valley Garden Club has been an annual tradition since 1932. Alternating each year, one club is responsible for hiring and introducing the speaker and the other club arranges the luncheon. The Head Hostess and four or five Hostesses arrange the luncheon – selecting the location, setting the menu and price, supplying name tags and centerpieces, issuing the invitation, taking reservations and fees, and serving as the Welcoming Committee. Food expenses are covered by the reservation fee; all Rsvps and accompanying fees are sent to the Head Hostess who will submit the lump sum to the Treasurer.

BUDGET NOTES

* Civic Projects will be presenting its recommendations for GCH’s next project in the fall. Therefore, Auction revenue has not been included in the revenue available for GCH’s 2019-2020 proposed operating budget, nor have any expenses for Civic Projects been included on the expense side. The actual expense of $7125 for Civic Projects were covered by the Partners for Plants grant and funds from GCH Community Trust Fund, not from operating revenue.

** Donations to the Community Trust Fund, the Perennial Fund and the Rainy Day Fund are not used in calculating revenue available for use in the operating budget.

*** The Education Fund was established by the Board in 2019 to segregate funds for the purpose of reimbursing member expenses at the NAL and Shirley Meneice Conferences, currently up to $1,000 per attendee. $25 of the active and associate level member dues finance the Education Fund in addition to donations. In 2018, the Board voted to transfer $2,000 from the Rainy Day Fund per year for two consecutive years beginning in the 2018-2019 FY to help cover NAL and Shirley Meneice Conference expenses. The 2019-2020 budget year ends such contributions from the Rainy Day Fund.

ARTICLE I . NAME

The name of the Corporation shall be The Garden Club of Hartford, Inc.

ARTICLE II . PURPOSE

The purpose of The Garden Club of Hartford as stated in the Certificate of Incorporation of the GCA shall be:

– To stimulate the knowledge and love of gardening among amateurs;

– To share the advantages of association through educational meetings,conferences, and correspondence and publications; to restore, improve and protect the quality of the environment through educational programs and action in the field of conservation and civic improvement.

ARTICLE III . MEMBERSHIP

Section 3.01: Classes of Membership – There shall be four (4) classes of membership: Active, Associate, Affiliate, and Honorary.

(a) Active Members (the Corporation) shall have all the privileges and responsibilities of the Club, including the right to vote and hold office. (i) Active membership shall be limited to sixty-five (65). (ii) Application and election: See Article IV, Section 4.01. (iii) Requirements:

a. payment of dues b. attend general meetings c. participation in corporate activities

(b) Associate members shall have all the privileges of the Corporation except the right to vote or hold office. (i) Associate membership shall be limited to twenty (20). (ii) Application: Active members shall apply in writing to the President. (iii) Requirements:

a. Associate membership shall be open to those who have been Active members in good standing for not less than twenty (20) years or who have reached sixty-five (65) years of age.

b. Payment of annual dues and retention of membership in the Garden Club of America and the Federated Garden Clubs of Connecticut.

(c) Affiliate membership may be granted by the Board of Directors to members in good standing whose primary residence is no longer in the greater Hartford area. Affiliate Membership may be granted after written application to the President. An Affiliate may not vote, hold office, or participate in the admission process in the Garden Club of Hartford, Garden Club of America, and the Federated Garden Clubs of Connecticut.

(d) Members who fail to meet minimum requirements may be dropped from membership at the discretion of the Board of Directors.

(e) Honorary members shall be limited to five (5). Honorary members shall be individuals of distinction whom the Corporation wishes to honor. They shall be notified of meetings. They shall not pay dues, hold office, or vote. The Corporation shall provide their membership in the Garden Club of America and the Federated Garden Clubs of Connecticut. Honorary membership shall be conferred by the President on the recommendation of the Membership Committee to the Board of Directors with the approval of the Corporation.

ARTICLE IV. ELECTION OF ACTIVE MEMBERS

Section 4.01 – For each candidate for membership there shall be a Proposer and two Seconders. The Proposer shall obtain from the Membership Chair an application, which must be completed and, together with the two seconding letters, in the hands of the Membership Chair in February, the date to be announced yearly.

Section 4.02 – Neither the President nor the Vice President nor any member of the Membership Committee shall propose or second a candidate for admission nor complete an application.

Section 4.03 – All candidates shall be voted on by the Board of Directors. No proxy shall be allowed.

Section 4.04 – New members shall be invited to attend the annual meeting following their acceptance of membership.

Section 4.05 – All membership applications to the Membership Committee and its report to the Board of Directors shall be considered confidential.

Section 4.06 – All changes in membership shall be reviewed by the Membership Committee and reported to the Board of Directors for a vote.

ARTICLE V. OFFICERS

Section 5.01 – The officers of the Corporation shall be known as the Executive Committee and shall consist of a President, Vice President, Corresponding Secretary, Recording Secretary, Treasurer, and one Member-at-Large who may or may not be the immediate past president, all of whom shall be elected at the Annual Meeting. A simple majority of the Executive Committee shall constitute a quorum.

Section 5.02 – Vacancies in any office other than that of the President shall be filled on the recommendation of the Board of Directors.

Section 5.03 – The President shall preside at all meetings of the Corporation and of the Board of Directors and shall appoint the Chairs of all Committees. The President shall be an ex-officio member of all committees. The President shall prepare a report for the Annual Meeting.

Section 5.04 – The Vice President shall, in the absence of the President and/or Treasurer, perform the duties of said office(s) and shall maintain the list of current policies of the Board of Directors.

Section 5.05 – The Corresponding Secretary shall conduct the correspondence of the Corporation and keep attendance records.

Section 5.06 – The Recording Secretary shall keep the minutes of all meetings and copies of all annual committee reports.

Section 5.07 – The Treasurer shall collect all initiation fees and dues, pay all bills, and keep all financial and membership records of the club. A budget shall be submitted yearly.

ARTICLE VI. MANAGEMENT

Section 6.01 – The Executive Committee shall consist of the officers of the Corporation as specified in Article V, Section 5.01. The Executive Committee shall meet at the call of the President. The Board of Directors shall consist of the Executive Committee and the chairs of all committees. The Board of Directors shall meet at the call of the President and shall have general supervision over the affairs of the Corporation, fill vacancies, and elect new members.

Section 6.02 – Seven (7) members shall constitute a quorum of the Board of Directors.

Section 6.03 – The Corporation shall operate on a fiscal year beginning July 1st and ending June 30th. (voted 4.5.2016)

Section 6.04 – There shall be a Membership Committee consisting of a chair, the President and three other members. The three other members shall be anonymous.

Section 6.05 – There shall be a Committee for the Nomination of Officers consisting of three members appointed each year by the Chair of Nomination. The Chair shall be a member of the Board of Directors. She shall present the report of the Committee at the Annual Meeting.

Section 6.06 – There shall be standing committees as recommended by the GCA and that reflect the needs of the club.

ARTICLE VII . DUES

Section 7.01 – Dues and fees will be paid annually, the amount to be determined by the Corporation. A member shall be considered to be in arrears after April 30th, unless other arrangements are made with the Treasurer and President.

Section 7.02 – Dues shall include membership in the Garden Club of America, Inc., and the Federated Garden Clubs of Connecticut. All new members shall pay an initiation fee to The Garden Club of Hartford, Inc.

Section 7.03 – If a member has not submitted her resignation in writing to the Secretary prior to May 1, she shall be liable for her dues for the following fiscal year.

ARTICLE VIII . PROPOSALS FOR MEMBERSHIP AT LARGE, GARDEN CLUB OF AMERICA

The name of any resident of Connecticut proposed by any member of the Corporation for Membership-at-Large in the Garden Club of America shall be endorsed by the Board of Directors and, then, by a majority vote of the members of the Corporation.

ARTICLE IX: INDEMNIFICATION

Regardless of the adverse interest of any and all the members of the Board of Directors, the Board of Directors is authorized to indemnify and reimburse any person made a party of any action, suit, or proceeding by reason of the fact that she, or a person whose legal representative or successor she was, or is a member of the Board of Directors, an officer, or an employee of the Corporation for expenses, including attorney’s fees, and such. The amount of any judgment, money decree, fine, penalty, or settlement for which she may have become liable as said Board of Directors deems reasonable, actually incurred by her in connection with the defense, or reasonable settlement of any such action, suit, or proceeding, or any appeal therein except in relation to matters as to which she, or such person whose legal representative or successor she is, is finally adjudged in such action, suit, or proceeding to be liable for gross negligence or willful misconduct in the performance of her duties.

ARTICLE X. DISSOLUTION CLAUSE

Pertaining to the disposition of assets in the event of dissolution of the organization, as required by (a) the Department of Revenue Services, State of Connecticut and (b) The Federal Internal Revenue Service:

(a) “To restrict the activities of the Corporation so that it shall not be used or operated for private profit, and no property of the Corporation should inure to the private profit of any member or special group except if the Corporation shall be dissolved, in which instance the assets will be distributed to a similar non-profit organization holding a valid tax exemption permit issued by the Commissioner of Revenue Service.”

(b) “Upon the dissolution of the Corporation, the Board of Directors shall, after paying or making provision for payment of all of the liabilities of the Corporation, dispose of all of the assets of the Corporation exclusively for the purposes of the Corporation in such manner, or to such organization or organizations organized, and operated exclusively for charitable, educational, religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code of 1954 (or corresponding provision of any future United States Internal Revenue Law), as the Board of Directors shall determine. All assets should be distributed in the proper forum in accordance with all Federal and State laws.

ARTICLE XI. AMENDMENT

The By-Laws may be altered or amended by a majority vote of those present at the meeting of the Corporation in the call of which due notice of the proposed amendment shall be given.

1. Officers and Committee Chairs are responsible for bringing ‘policy procedure’ changes to the Board of Directors’ meetings.

2. Chair or co-chair or designated representative shall vote at the Board of Directors’ meeting.

3. Club pays dues for ‘honorary members’ (who are selected through the membership committee).

4. Treasurer presents dues increases to the Board of Directors. This increase is recommended to the general membership at its next meeting. A written notice of said increase must be sent to the membership. Dues are payable by March 31st. See By-Laws Section 7.01.

5. The present dues schedule is (rev. 4-17-18): Active – $225, Associate – $225, Affiliate – $110, New member – $325. An increase of $25 in Active and Associate membership dues will fund club education to support club member attendance at the Shirley Meneice and National Affairs and Legislation Conference.

6. People who are making purchases for GCH should have the state tax-exempt form from the Treasurer before the fact.

7. The GCH will model our conservation ideals by utilizing recycled papers and unthreatened native plant materials whenever prudent and feasible (11-14-95).

8. The Perennial Fund is an endowment fund; its income is used for either a GCH speaker or program. A donation to the Perennial Fund may be made by anyone, for any reason – a birthday wish, a memorial, an honorarium, or just from the goodness of your heart! Annually, the Board of Directors will consider a club donation to the Perennial Fund. In 2014, the Board voted to spend $500 annually from the Perennial Fund for programs. The Community Fund is not an endowment fund; its resources are used to finance our projects in the community. Contributions to either fund are tax deductible.

9. The Vice President oversees Hospitality arrangements: head hostesses, hostesses, and house assignments are her responsibility.

10. Election of new members: The Board of Directors shall decide the number of candidates to be elected. The Board will vote on each candidate by written ballot. A simple majority of those present shall prevail (10-8-96, rev. 1-14-97).

11. The membership may vote for a By-Law change, Founders Fund, or any motion put forth by the Board of Directors by electronic mail.

12. As of October 2007, GCHartford.org became our domain name.

13. Club members will be given a choice of whether to receive the Trumpet Vine electronically or by a hard copy. (3-20-07)

14. There shall be the following standing committees: Awards, Civic Projects, Communications, Conservation, Flower Design, Founders Fund, Garden History and Design, Historian, Horticulture, Membership Nominating, Photography, Program, Scholarship, Trumpet Vine, Visiting Gardens, and Ways & Means.

15. The Historian shall have the care and custody of all the files, records, and archives stored at the Connecticut Historical Society.

CIVIC PROJECTS

The Civic Projects Committee identified a planting project in downtown Hartford known as Bushnell Gardens, a focal point in The iQuilt Plan. The project will support sustainability, biodiversity, pollinators and bird migration through the planting of native ornamental trees and groundcover.

Permanent signs were installed at the Keney Park entrances, golf course and cricket field, providing beautiful photographic images and historic and horticultural information collected and written by Brie Quinby.

For the third year, the committee coordinated four training sessions for Hartford Department of Public Works employees on environmental best practices with a grant from GCA Partners4Plants. The sessions continue to be popular, with 20 DPW staff enrolled. Club members provided refreshments for each session and lovely certificates of completion.

We continued to contract with the Keney Park Sustainability Project to water and maintain plantings at the five park entrances.
