Instructions to Tenderers and Conditions of Tender

Section 1 - Invitation to Tender Definitions

‘The Trust’ means Our Lady of Lourdes Catholic Multi-Academy Trust; ‘The Employer’ means the Trust; ‘Site’ means Good Shepherd Primary Catholic Academy, Somersby Road, Woodthorpe, Nottingham NG5 4LT; ‘Contract Administrator’ means the designated person identified by the Trust; ‘Site Manager’ means the designated person identified by the Trust; ‘The Works’ means all elements identified in the specification and Technical Requirements; ‘ITT material’ means information issued to the Tenderer by The Trust or on its behalf, or to which the Tenderer has been given access, for the purposes tendering. ITT material remains the property of The Trust or other owners and is released solely for the purpose of tendering. ‘Quantities’ means the General Specification and Pricing Schedule, ITT drawing(s) and any other quantities referred to in this ITT; ‘Default’ means one of more failures to carry out the works in accordance with the specification; ‘Appointed Contractor’ means the principal contractor or contractor(s) to whom the contract is awarded; ‘Appointed Contractor’s operative(s)’ means any person employed (or otherwise retained) by the Appointed Contractor in the fulfilment of the Contract; ‘Reporting’ means the supply of management information at greed, specified intervals or on demand, in respect of the services/works provided to the Trust; ‘Manage’ means all aspects of management and organisation of the services/works including, but not limited to, meeting aspects of the Appointed Contractor’s obligations to lawfully manage the works; ‘Materials’ means all materials required under the contract to carry out the works to the specified standard(s); ‘Products’ means the same as materials. Introduction and Background 1.1 The Trust requires the undertaking of works identified within this tender. The works are to be undertaken at the site as identified with this Tender Documentation. 1.2 The tender documentation comprises the following: Section 1 Instructions to Tenderers and Conditions of Tender Section 2 Preliminaries Section 3 Schedule of Work / Specification / Drawing Issue Sheet Appendices (tender return documents) 1.1 Declaration 1.2 General Specification and Pricing Schedule 1.3 Further Information in Support of the Tender 2.0 Collusive Tendering Certificate 3.0 Confidentiality Agreement 4.0 Supplementary Tender Checklist

This tender documentation is to be read in conjunction with any supporting documents, and any necessary allowances to achieve compliance with those documents must be included within the value submitted on the Form of Tender. Tender Programme 1.3 The anticipated tender programme is as follows: Date Stage 18th March 2019 Tender Opens 18th March 2019 Tender clarification and query period commences 8th April 2018, Midday Tender clarification and query period ends 12th April 2019, Midday Tender Close (Return Date and Time) 15th – 16th April 2019 Tender Evaluation 17th April 2019 Contractor Appointment 18th April 2019 Planning / Lead in (6 weeks) 27th May 2019 Date of Possession 7th June 2019 Completion and Project Handover On delivery of the tender, the contractor is to provide a delivery programme to highlight lead in, earliest commencement and completion dates. Obligations to Tenderer and Tender Pricing Documents 1.4 Tenderers must ensure that they are fully familiar with the nature and extent of the obligations of the Instructions to Tenderers and Conditions of Tender, Tender and Pricing Document and be aware that the performance standards will be strictly enforced. The Tenderer will be deemed to have read, examined and accepted the Instructions to Tenderers, Tender and Pricing Document and the requirements contained therein prior to the submission of the Tender. It is the responsibility of Tenderers to obtain themselves, at their own expense, all information necessary for the preparation of their tender. 1.5 This Invitation to tender is intended for the addressee only. If you intend using Sub-contractors to help fulfil the Contract, this must be clearly stated within your response. Accuracy 1.6 You are advised to check the accuracy of your Tender prior to submission. Form of Submission 1.7 Tenderers shall complete and return Appendix A Tender Summary Sheet (to be returned with tender). 1.8 The Tender must be submitted duly signed. Any items for which you are unable to offer a price should be identified. Any other revisions to the Tender may invalidate the tender submitted. Expenses/ Losses 1.9 The Trust will not be responsible for payment of costs, expenses or losses which may be incurred by any Tenderer in the preparation and submission of their Tender, including site visits, attending pre or post contract presentations/ interviews or negotiations in connection therewith. Format of Tender Submissions 1.10 All tenders are to be returned to the Trust as detailed in section 1.34 of this document.

1.11 The Trust cannot undertake to give consideration to any tender submitted otherwise, including telephone, email, and facsimile. 1.12 The closing time and date for receipt of tenders is 12.00 Noon on Friday 22nd June 2018. Any tender submissions received after the closing date will be rejected. The contractor must ensure that they leave adequate time prior to the closing date to submit their response. 1.13 Tenders not in accordance with these instructions will be rejected. 1.14 Tender responses will not be opened until after the closing date for receipt of tenders has elapsed. 1.15 No useful purpose is served by enquiring the result of competitive tendering – tenderers are notified as early as possible. Unsuccessful Tenders 1.16 Notification of proposed award of contract will be given to all tenders during which time, unsuccessful tenderers may request a de-brief from The Trust in respect of their tender submission and evaluation itself. Successful Tender 1.17 An authorised representative of The Trust will notify the successful tenderer. Invitation to Tender Material 1.18 ITT material means information issued to the Tenderer by The Trust or on its behalf, or to which the Tenderer has been given access, for the purposes of this ITT. ITT material remains the property of The Trust or other owners and is released solely for the purpose of tendering. 1.19 Return of ITT Material: In the event that a recipient of ITT Material decides not to participate in the submission of a tender, the ITT Material shall be returned to its place of issue without delay. If a tender is submitted to The Trust, the ITT Material may be retained by the Tenderer until the result of the competition is known. In the event that the Tenderer’s bid is unsuccessful the ITT Material shall be returned to its place of issue without delay. This will not apply to written material as it is sent out electronically. 1.20 Intellectual Property Rights in ITT Material: The Intellectual Property in ITT Material will belong to The Trust or a third party. The ITT Material may only be used for the purpose of responding to this ITT and shall not be copied, or disclosed to anyone other than employees of the Tenderer involved in the preparation of the tender, without the prior written approval of The Trust. The Trust or the third party owner may suffer damage for which compensation may be sought from a Tenderer, if the Tenderer discloses the ITT Material other than to employees involved in the tender preparation, or uses the ITT Material other than for the purpose of tendering. Consultants, Contractors, Sub-Contractors and Suppliers 1.21 It is the responsibility of Tenderers to provide proposed Sub-Contractors and Suppliers where applicable for all the technical and commercial information necessary to allow those potential Sub-Contractors and Suppliers to provide their proposals to the Tenderer. The Trust will not answer to any direct approach from such potential Sub-Contractors and Suppliers for details of any particular Invitation to Tender. 1.22 Tenderers are required to submit with their tender a schedule of lead-in and construction times. Errors in Tenders 1.23 Tenderers will be given the opportunity to either stand by any genuine errors in their pricing or withdraw from the tendering process. Confidentiality 1.24 Tenderers are to note the following:

a) They must not communicate any figures or other information indicating tender prices to any third party before the time set for the return of Tenders. (The only exception to this requirement is for the obtaining of insurance quotations, such information to be given in strict confidence). b) They must not obtain or try to obtain any information in connection with any other Tender before the time set for the return of Tenders. c) They must not make or discuss any arrangement with any third party regarding whether or not they should tender, or about their, or any other party’s Tender. d) They shall not, without any prior approval in writing, take, or authorise the taking of, any photographs of any project for use in publicity or advertising or publish alone, or in conjunction with others, any articles, photographs or other illustrations relating to any project or any part thereof, nor impart to any publication, journal, newspaper, film or any radio or television programme any information relating to any project. e) Tenderers are required to submit a signed ‘Declaration’ as provided for return with their tender. Tender Queries 1.25 During the tender period all queries should be made via Mr D Burrough at the following email address: [email protected] 1.26 All written tender queries will be endeavoured to be acknowledged within 3 working days. 1.27 For the purposes of transparency and equality, copies of all requests for information or queries will be sent to all suppliers but will not identify the source of the enquiry. 1.28 Tender queries received within three working days before return of tenders will not be answered. Tender Information/ Revisions 1.29 At any time after the issue of the tender, The Trust reserves the right to issue changes to Tender Information/ requirements. Tenderers, when preparing their submissions, must, as with the information generated by Tender Queries and Responses take these changes into account in drawing up offer(s). 1.30 No alterations or qualifications to any of the tender documents shall be made unless they have been agreed in writing by the Trust. 1.31 The purpose of this Invitation to Tender is to elicit an unequivocal bona-fide tender which is capable of acceptance for the purpose of appointing a contractor. 1.32 The Tenderer’s submission should not include any brochures or commercial information. Tender Acceptance 1.33 The Trust does not bind itself to accept the lowest or any tender and may refuse to consider any tender which is incomplete or qualified in any way or not completed in strict accordance with the instructions contained within the tender documents.

1.33.1 Tender Evaluation The award criteria for this tender will be based on the most economically advantageous tender in terms of the

criteria below:

This section will be evaluated on a best cost value. This section will be scored on a comparative basis with the

lowest bid receiving 100% of the available marks (90% following weighting). All other Tenders will be compared

against that lowest Tender and be awarded a mark (up to a maximum of 80% following weighting) using the

following formula:

Proposed Materials and Aesthetic Qualities

This section will be objectively assessed by an evaluation panel including building and education professionals and

attracts a maximum 5% weighting.

Interpretation of Requirements

This section will be objectively assessed by an evaluation panel including building and education professionals and

attracts a maximum 5% weighting.

Warranty and Product Life Expectancy

This section will be evaluated using the following methodology:

1 year = 0.5% up to a maximum of 20 years = 10%.

Where multiple products or elements attract varying warranties these will be evaluated using the following

methodology:

PRECONSTRUCTION INFORMATION Format: The Preconstruction information is described in this document. It may refer to information given in other tender documents. OTHER DOCUMENTS Inspection: Drawings and other documents relating to the Contract but not included in the tender documents may be seen by appointment during normal office hours at the office of the CA. THE SITE Description: The site is a primary school site and associated buildings located within a residential area. The site has self-contained parking. EXISTING BUILDINGS ON/ ADJACENT TO THE SITE Contractors are to familiarise themselves with the site constraints of prior to submitting a tender EXISTING UTILITIES AND SERVICES TBC. ACCESS TO THE SITE Vehicular access and site deliveries are via double security gates from the public highway. Access times will be restricted to out of school hours and those times when children and adults are inside of the school buildings. Typically, these are before 0800 and after 1530, however, the school may make exceptions at their discretion. PARKING Parking of contract vehicles will be available subject to satisfactory ground conditions only. Vehicles may park within an approved site compound provided that the prevailing ground conditions would not cause damage to the existing turf, macadam or other hard or soft surfaces. USE OF THE SITE General: Do not use the site for any purpose other than carrying out the Works. Limitations: N/A. SURROUNDING LAND/ BUILDING USES General: Adjacent or nearby uses or activities are as follows: Residential. HEALTH AND SAFETY HAZARDS General: The nature and condition of the site/ building cannot be fully and certainly ascertained before it is opened up, however the following hazards are or may be present: Site Staff and children between the ages of 3 and 11 years. The site will remain fully operational during the works and the contractor must ensure that no services are affected during the works and that the staff and public can use the site at no increased risk to safety or continuity of service or normal operation. Due to the nature of the project an asbestos refurbishment and demolition survey is not included within the tender documents. Although every effort is made to locate asbestos there is the possibility that some remains undetected. It is the contractor's duty to ensure that if a suspected ACM is discovered then he must stop works in that area and contact the CA.

Information: The accuracy and sufficiency of this information is not guaranteed by the Employer or the Employer's representative. The contractor must ascertain if any additional information is required to ensure the safety of all persons and the Works. Site staff: Draw to the attention of all personnel working on the site the nature of any possible contamination and the need to take appropriate precautionary measures. SITE VISIT Assessment: Ascertain the nature of the site, access thereto and all local conditions and restrictions likely to affect the execution of the Works. Arrangements for visit are through the site manager. DESCRIPTION OF THE WORK THE WORKS The works briefly comprise of the provision and installation of play and exercise equipment and artificial surfacing to approx. 105m2; WORK BY OTHERS CONCURRENT WITH THE CONTRACT Description: None. EXECUTION The contract will be executed as a CONTRACT. CONTRACT TENDERING SCOPE General: These conditions are supplementary to those stated on the form of tender. TENDERING PROCEDURE General: In accordance with the requirements of THIS DOCUMENT. Arithmetical errors: Alternative 1 is dominant (stand by or withdraw). EXCLUSIONS Inability to tender: Immediately inform if any parts of the work as defined in the tender documents cannot be tendered. Relevant parts of the work: Define those parts, stating reasons for the inability to tender. ACCEPTANCE OF TENDER Acceptance: No guarantee is offered that any tender will be recommended for acceptance or be accepted, or that reasons for non-acceptance will be given. Costs: No liability is accepted for any cost incurred in the preparation of any tender. PERIOD OF VALIDITY Period: After submission or lodgement, keep tender open for consideration (unless previously withdrawn) for not less than 90 days. PRICED DOCUMENTS Alterations: Do not alter or qualify the priced documents without written consent. Tenders containing unauthorised alterations or qualifications may be rejected. Measurements: Where not stated, ascertain from site measurement. General: Tenders must include for all work shown or described in the tender documents as a whole or clearly apparent as being necessary for the complete and proper execution of the Works. PROGRAMME Programme of work: Prepare a summary showing the sequence and timing of the principal parts of the Works and periods for planning and design. Itemise any work which is excluded. ALTERNATIVE METHOD TENDERS General: In addition to and at the same time as tendering for the Works as defined in the tender documents, alternative methods of construction/ installation may be submitted for consideration. Alternatives, which would involve significant changes to other work, may not be considered. Submit for each alternative together with details of any consequential amendments to the design and/ or construction of other parts of the Works. Carry out a health and safety risk assessment for each alternative and where appropriate provide a safety method statement suitable for incorporation in the Health and Safety Plan. Alternative tenders: Such alternatives will be deemed to be alternative tenders and each must include a complete and precise statement of the effects on cost and programme. FREEDOM OF INFORMATION Records: Retain, make available for inspection and supply on request information reasonably required to allow response to requests made under the provisions of the Freedom of Information Act. Determination: Submit requests received. Do not supply information outside the project participants without express written permission. Confidentiality: Maintain at all times. SUBLETTING/ SUPPLY DOMESTIC SUBCONTRACTS General: Comply with the Construction Industry Board Code of Practice for the selection of subcontractors'. List: Provide details of all subcontractors and the work for which they will be responsible and submit with tender. PROVISION, CONTENT AND USE OF DOCUMENTS DEFINITIONS AND INTERPRETATIONS DEFINITIONS Meaning: Terms, derived terms and synonyms used in the preliminaries/ general conditions and specification are as stated therein or in the appropriate British Standard or British Standard glossary. COMMUNICATION Definition: Includes advise, inform, submit, give notice, instruct, agree, confirm, seek or obtain information, consent or instructions, or make arrangements. Format: In writing to the CA unless specified otherwise. Response: Do not proceed until response has been received. PRODUCTS Definition: Materials, both manufactured and naturally occurring, and goods, including components, equipment and accessories, intended for the permanent incorporation in the Works.

Includes: Goods, plant, materials, site materials and things for incorporation into the Works. SITE EQUIPMENT Definition: All appliances or things of whatsoever nature required in or about the construction for completion of the Works but not materials or other things intended to form or forming part of the Permanent Works. Includes: Construction appliances, vehicles, consumables, tools, temporary works, scaffolding, safety fencing or barricades of a temporary nature, cabins and other site facilities. DRAWINGS Definitions: Design activities and drawings as supplied as Tender Issue Drawings. CAD data: Drawings supplied in PDF format as the default. CONTRACTOR'S DESIGN Meaning: Design to be carried out or completed by the Contractor and supported by appropriate contractual arrangements, to correspond with specified requirements. SUBMIT PROPOSALS Meaning: Submit information in response to specified requirements. TERMS USED IN SPECIFICATION Remove: Disconnect, dismantle as necessary and take out the designated products or work and associated accessories, fixings, supports, linings and bedding materials. Dispose of unwanted materials. Excludes taking out and disposing of associated pipework, wiring, ductwork or other services. Fix: Receive, unload, handle, store, protect, place and fasten in position and disposal of waste and surplus packaging including all labour, materials and site equipment for that purpose. Supply and fix: As above, but including supply of products to be fixed. All products to be supplied and fixed unless stated otherwise. Provide and install: As above. Keep for reuse: Do not damage designated products or work. Clean off bedding and jointing materials. Stack neatly, adequately protect and store until required by the Employer/ Purchaser or for use in the Works as instructed. Make good: Execute local remedial work to designated work. Make secure, sound and neat. Excludes redecoration and/ or replacement. Replace: Supply and fix new products matching those removed. Execute work to match original new state of that removed. Repair: Execute remedial work to designated products. Make secure, sound and neat. Excludes redecoration and/ or replacement. Re-fix: Fix removed products. Ease: Adjust moving parts of designated products or work to achieve free movement and good fit in open and closed positions. Match existing: Provide products and work of the same appearance and features as the original, excluding ageing and weathering. Make joints between existing and new work as inconspicuous as possible. System: Equipment, accessories, controls, supports and ancillary items, including installation, necessary for that section of the work to function. MANUFACTURER AND PRODUCT REFERENCE Definition: When used in this combination: Manufacturer: The firm under whose name the particular product is marketed. Product reference: The proprietary brand name and/ or reference by which the particular product is identified.

Currency: References are to the particular product as specified in the manufacturer's technical literature current on the date of the invitation to tender. SUBSTITUTION OF PRODUCTS Products: If an alternative product to that specified is proposed, obtain approval before ordering the product. Reasons: Submit reasons for the proposed substitution. Documentation: Submit relevant information, including: Manufacturer and product reference; Cost; Availability; Relevant standards; Performance; Function; Compatibility of accessories; Proposed revisions to drawings and specification; Compatibility with adjacent work; Appearance; Copy of warranty/ guarantee. Alterations to adjacent work: If needed, advise scope, nature and cost. Manufacturers' guarantees: If substitution is accepted, submit before ordering products. CROSS REFERENCES Accuracy: Check remainder of the annotation or item description against the terminology used in the section or clause referred to. Related terminology: Where a numerical cross-reference is not given the relevant sections and clauses of the specification will apply. Relevant clauses: Clauses in the referred to specification section dealing with general matters, ancillary products and execution also apply. Discrepancy or ambiguity: Before proceeding, obtain clarification or instructions. REFERENCED DOCUMENTS Conflicts: Specification prevails over referenced documents. EQUIVALENT PRODUCTS Inadvertent omission: Wherever products are specified by proprietary name the phrase 'or equivalent' is to be deemed included. SUBSTITUTION OF STANDARDS Specification to British Standard or European Standard: Substitution may be proposed complying with a grade or category within a national standard of another Member State of the European Community or an international standard recognised in the UK. Before ordering: Submit notification of all such substitutions. Documentary evidence: Submit for verification when requested. Any submitted foreign language documents must be accompanied by certified translations into English. CURRENCY OF DOCUMENTS Currency: References to published documents are to the editions, including amendments and revisions, current on the date of the Invitation to Tender.

SIZES General dimensions: Products are specified by their co-ordinating sizes. THE SPECIFICATION Coordination: All sections must be read in conjunction with Main Contract Preliminaries/ General conditions. PRODUCTION INFORMATION Contractor/ Domestic subcontractor to provide drawings for all items specified. Drawings should be submitted with tender. TECHNICAL LITERATURE Keep on site for reference by all supervisory personnel manufacturers' current literature relating to all products to be used in the Works, relevant British, EN or ISO Standards. MANAGEMENT OF THE WORKS GENERALLY The contractor accepts responsibility for coordination, supervision and administration of the works, including subcontracts. The CA will arrange and monitor a programme with each subcontractor, supplier, local authority and statutory undertaker, and obtain and supply information as necessary for coordination of the work. INSURANCE Documentary evidence: Before starting work on site submit details, and/ or policies and receipts for the insurances required by the Conditions of Contract. INSURANCE CLAIMS

If any event occurs which may give rise to any claim or proceeding in respect of loss or damage to the Works or

injury or damage to persons or property arising out of the Works, immediately give notice to the Employer, the CA

and the Insurers. The contractor agrees to indemnify the Employer against any loss, which may be caused by failure

to give such notice.

CLIMATIC CONDITIONS It is not anticipated that delays due to adverse weather will occur, however, it is the tenderers responsibility to rearrange works taking into account any weather conditions. OWNERSHIP Materials arising become the property of the Contractor except where otherwise stated. Remove from site as work proceeds.

PROGRAMME When requested and before starting work on site, submit in a programme for the Works, which must include details of: Design, production information and proposals provided by the Contractor/ Subcontractors/ Suppliers, including inspection and checking. Planning and mobilisation by the Contractor. Earliest and latest start and finish dates for each activity and identification of all critical activities. SUBMISSION OF PROGRAMME Submission of the programme will not relieve the Contractor of the responsibility to advise of the need for further drawings or details or instructions in accordance with the Contract. SITE MEETINGS Site meetings will be held to review progress and other matters arising from administration of the Contract. Frequency: TBC Location: TBC Chairperson (who will also take and distribute minutes): CA CONTRACTOR'S PROGRESS REPORT General: Submit a progress report on request. Content: Notwithstanding the Contractor's obligations under the Contract the report must include details of any matters materially affecting the regular progress of the Works and any requirements for further drawings or details or instructions to fulfil any obligations under the Conditions of Contract. CONTRACTOR'S SITE MEETINGS General: Hold meetings with appropriate subcontractors and suppliers shortly before main site meetings to facilitate accurate reporting of progress. PARTIAL POSSESSION BY EMPLOYER Ensure all necessary access, services and other associated facilities are also complete. NOTICE OF COMPLETION Give notice of the anticipated dates of completion of the whole or parts of the Works of one week (minimum). CONTROL OF COST Works will be invoiced on completion. Supply of each product: From the same source or manufacturer. Whole quantity of each product required to complete the Works: Consistent kind, size, quality and overall appearance. Tolerances: Where critical, measure a sufficient quantity to determine compliance.

Deterioration: Prevent. Order in suitable quantities to a programme and use in appropriate sequence. QUALITY OF EXECUTION Generally: Fix, apply, install or lay products securely, accurately, plumb, neatly and in alignment. Colour batching: Do not use different colour batches where they can be seen together. Dimensions: Check on-site dimensions. Finished work: Not defective, e.g. not damaged, disfigured, dirty, faulty, or out of tolerance. Location and fixing of products: Adjust joints open to view so they are even and regular. COMPLIANCE Compliance with proprietary specifications: Retain on site evidence that the proprietary product specified has been supplied. Compliance with performance specifications: Submit evidence of compliance. Preparatory work: Ensure all necessary preparatory work has been carried out. Documented remedial work: Do not execute work which may hinder access to defective products or work; or be rendered abortive by remedial work. PROPOSALS FOR RECTIFICATION OF DEFECTIVE PRODUCTS/ EXECUTIONS Proposals: Immediately any work or product is known, or appears, to be not in accordance with the Contract, submit proposals for opening up, adjustment or removal and re-execution. Acceptability: Such proposals may be unacceptable and contrary instructions may be issued. MEASURES TO ESTABLISH ACCEPTABILITY General: Wherever inspection or testing shows that the work, materials or goods are not in accordance with the contract and measures (e.g. testing, opening up, experimental making good) are taken to help in establishing whether or not the work is acceptable, such measures will be at the expense of the Contractor. QUALITY CONTROL Establish and maintain procedures to ensure that the Works comply with specified requirements. WORK BEFORE COMPLETION Make good all damage consequent upon the Works. Temporary markings, coverings and protective wrappings should be removed unless otherwise instructed. Clean the Works thoroughly inside and out, including all accessible ducts and voids. Remove all splashes, deposits, and efflorescence, rubbish and surplus materials. Cleaning materials ss recommended by manufacturers of products being cleaned, and must not damage or disfigure other materials or construction. COSHH dated data sheets should be obtained for all materials used for cleaning and ensure they are used only as recommended by their manufacturers. Minor faults: Touch up in newly painted work, carefully matching colour and brushing out edges. Repaint badly marked areas back to suitable breaks or junctions. Moving parts of new work: Adjust, ease and lubricate as necessary to ensure easy and efficient operation, including doors, windows, drawers, ironmongery, appliances, valves and controls. SECURITY AT COMPLETION General: Leave the Works secure with, where appropriate, all accesses closed and locked. Keys: Account for and adequately label all keys and hand over to Employer with itemised schedule, retaining duplicate schedule signed by Employer as a receipt. MAKING GOOD DEFECTS Remedial work: Arrange access with site manager. Rectification: Give reasonable notice for access to the various parts of the Works. Completion: Notify when remedial works have been completed. PRECONSTRUCTION INFORMATION Integral with the Tender document(s) PRODUCT HAZARDS Hazardous substances: Site personnel levels must not exceed occupational exposure standards and maximum exposure limits stated in the current version of HSE document EH40: Workplace Exposure Limits. Confirmation: Do not start construction work until the Employer has confirmed in writing that the Construction Phase Health and Safety Plan has been accepted. SECURITY Protection: Safeguard the site, the Works, products, materials, and any existing buildings affected by the Works from damage, theft. Access: Take all reasonable precautions to prevent unauthorised access to the site. OCCUPIED PREMISES Existing buildings will be occupied and/ or used during the Contract as follows: The site will be occupied during the course of the contract. Works: Carry out without undue inconvenience and nuisance and without danger to occupants and users. MOBILE TELEPHONES AND PORTABLE ELECTRONIC EQUIPMENT May be used as permitted by local rules. PROTECT AGAINST THE FOLLOWING POLLUTION Prevention: Protect the site, the Works and the general environment against pollution. Contamination: If pollution occurs inform immediately, including to the appropriate Authorities and provide relevant information. NUISANCE Duty: Prevent nuisance from smoke, dust, rubbish, vermin and other causes. Surface water: Prevent hazardous build-up on site, in excavations and to surrounding areas and roads. Damage caused by site traffic or otherwise consequent upon the Works: Make good to the satisfaction of the Employer, Local Authority, site manager or other owner. EXISTING TOPSOIL/ SUBSOIL Duty: Prevent over compaction of existing topsoil and subsoil in those areas which may be damaged by construction traffic, parking of vehicles, temporary site accommodation or storage of materials and which will require reinstatement prior to completion of the Works. Protection: Before starting work submit proposals for protective measures. RETAINED TREES/ SHRUBS/ GRASSED AREAS Protection: Preserve and prevent damage, except those not required. Unless agreed otherwise do not dump spoil or rubbish, excavate or disturb topsoil, park vehicles or plant, store materials or place temporary accommodation within an area which is the larger of the branch spread of the tree or an area with a radius of half the tree's height, measured from the trunk, sever roots exceeding 25 mm in diameter. Assurances and warrantees The contractor is required to provide written assurance that all products have been tested in accordance with BS7188 and EN1177. Suitable impact attenuation surfaces should be installed to the areas given in EN1176 and copies of appropriate test certificates to be supplied on handover. Written assurance is required that impact attenuation surfaces will maintain their absorbency levels for the warranty period.

Orders

An official purchase order will be raised in respect of the final design, installation and associated works under the

conditions given in the Trusts conditions of order. Please note that Our Lady of Lourdes catholic Multi-Academy

Trust is not permitted to pay a retainer or deposit in respect of any works or services and will not enter into any

such agreement.

Payment

Payment will be made on invoice only on completion if the works in accordance with the specification. Payment

can only be made by BACS to a nominated bank account.

We acknowledge that if we, or anyone who acts on our behalf behaves improperly or commits an offence under the Prevention of Corruption Acts 1889-1916, Our Lady of Lourdes Catholic Multi Academy Trust or the Academy tendering for services may cancel the contract and recover all costs and losses.

In this certificate, the word ‘person’ includes any persons or anybody or associated, corporate or unincorporated, and ‘any agreement or arrangement’ includes any such transaction, formal or informal, and whether legally binding or not.

Appendix 3: Confidentiality Agreement

To: Director of Estates and Facilities, Our Lady of Lourdes Catholic Multi Academy Trust in response to TGS TRIM TRAIL ITT. I/We declare that:

1. This agreement is made on the understanding that the disclosing party has, and will retain, all rights to the documents and files that are subject to copyright and their trademarks, whether registered or not, and other intellectual property. Further the receiving party hereby agrees that all information, whether oral, written or otherwise communicated that is supplied by the disclosing party in the course of the project shall be treated as confidential.

2. The receiving party undertakes not to use the information for any purpose, other than for the purpose of working within the project specification, without obtaining the prior written agreement of the disclosing party.

3. This agreement applies to technical and commercial information, intellectual property, as well as goodwill and know-how contained within the disclosed information and supplementary or supporting data howsoever communicated between the parties.

4. This agreement does not apply either to any information that is in the public domain, nor to information which the receiving party can demonstrate was:

a. already lawfully in their possession prior to its disclosure by the other party, or; b. acquired without the direct or indirect involvement of the disclosing party.

5. On request from the other party either party shall return any documents or other information

relating to this agreement. No unauthorised copies in any form are permitted to be retained. 6. Signature to this agreement does not create a licence, title or interest in respect of any

intellectual property rights of the disclosing party. 7. After three years from the date of this agreement both parties shall be relieved of all

obligations under this agreement. In this confidentiality agreement, the word ‘person’ includes any persons or anybody or associated, corporate or unincorporated, and ‘any agreement or arrangement’ includes any such transaction, formal or informal, and whether legally binding or not.
