These laws, rules and regulations are designed to combat, among other things, money laundering and terrorist financing. Amercanex subsequently designed and adapted its individual systems - ACE Marketplace, ACEpay and ACEtrak - to meet individual state laws, rules and regulations. Outlined below are the details how the ecosystem created by Amercanex, including ACE

Marketplace, ACEpay and ACEtrak, are the most efficient and comprehensive solutions available

to the cannabis industry.

ACEtrak

The foundation for any control mechanism in the cannabis industry is a transparent, accountable,

verifiable and accessible system for tracking commodities from germination to end-user. ACEtrak

does this and much more.

ACEtrak utilizes state-of-the-art technology, creative architecture and solid design to bring live

tracking, current reporting, transaction verification and tax collection capabilities to the industry.

RFID tag technology is used to track every germinated plant. This tracking, which is updated every

few seconds, incorporates beacon technology to locate plants within the growing facility. A

numbered tag is then applied to individual packages prepared for delivery.

The entire transfer of ownership from seed to sale is conducted on the ACE Marketplace. In the

event of a transaction, ACEtrak records the entire process even collecting taxes due, if any. This

information, in keeping with the public health and safety concerns, can be used by regulators to

recall shipments even during delivery and by law enforcement at road side stops when the there

is a need to determine the who, what, where and when of cannabis in transit.

Once the tagged product arrives at the dispensary facility, ACEtrak by Adilas begins to separate

itself even further from competing seed to sale programs. One of its options includes the ability to

verify prescriptions with the referring physician. The ACEtrak Point of Sale (POS) system can

require capturing either a government issued ID and/ or a prescription card. This information is

kept with the transaction record, along with age and other information that can be used to run

veracity tests which search for misuse and abuse of a medicinal-based system. Names, addresses,

zip codes and transaction information are available in real time to be analyzed.

It is important to note that tax verification and collection at POS is offered. ACEpay handles all

transactions and every person involved is vetted against lists of known unwanted participants,

money launderers, criminals and terrorists. The tagged product is tied to a person, completing the

seed to sale process with an actual end user- a feature that competing programs do not provide.

Two of the cannabis industry’s largest concerns, public health and safety and revenue collection,

may arise when “no sales” or canceled transactions occur at the dispensary counter. There is no

possibility of such misuse if the ACEtrak system is in place. Every tagged product that enters a

dispensary must be in inventory, tied to a transaction and to an end user or it must have been

destroyed. The destruction of a tagged product must include a legal destruction and “no sales” and

must be approved and by a manager or a licensed stakeholder. The destruction must also be

memorialized by video proof. In the ACEtrak system there is no room for slippage and no

possibility of lost inventory. Every tagged item brought into inventory is accounted for or it is

flagged for notice by regulatory authorities in real time.

The Cole Memorandum s stipulates that laws, rules, regulations and control systems be

implemented at the state level to ensure that the cannabis industry in a one state does not spill

over to another state and lead to illegal transfer of cannabis across state lines. The unique features

of the ACEtrak allows states to assert that they have implemented a control system that meats the

letter and spirit of the Cole Memorandum.

ACEtrak, is not just a seed to sale solution, it is an entire cannabis industry control system suited

for individual governmental jurisdictions. ACEtrak is an accounting and inventory control system

for businesses that is IAS, FASB and GAAP compliant. ACEtrak offers an open API to connect to any

approved software. ACEtrak is a user-friendly interface that allows for access to live searchable

data 24 hours day, 365 days a year.

ACE Marketplace

The next piece in the Amercanex ecosystem is the ACE Marketplace which is the first fully

electronic marketplace through which producers, wholesalers and distributors, and retailers of

cannabis can sell, buy or exchange products on a fully disclosed and transparent marketplace. The

core function of this marketplace is to ensure fair and orderly transactions, as well as efficient

dissemination of price information for products bought, sold or exchanged on the ACE

Marketplace.

The ACE Marketplace operates at the wholesale level; it is not designed for retail end users. All

transacting members of the marketplace are licensed stakeholders, growers, manufacturers of

infused products and retailers who complete on a transparent platform where time and price

determine who conducts the most transaction. All products on ACE Marketplace are laboratory

tested, guaranteeing the purchaser a quality controlled analyzed The products are then offered at

the best possible price which allows all participants in the cannabis industry work toward

receiving the best product at the lowest price.

All transacting members of the ACE Marketplace are vetted when they open an account. They are

checked again when logging in and before transacting to ensure that they are current licensed

stakeholders and not on any OFAC AM or international black lists. Funds are verified and secured

in the purchasers account to guarantee payment and remove credit risk. All applicable taxes can

be applied, verified and gathered for delivery to appropriate recipient. ACE Marketplace

memorializes all transactions and provides access free of charge to authorized governmental,

regulatory and law enforcement agencies through a private secure proprietary online application,

ETTAS.

ETTAS

The ACE Electronic Transaction Tracking and Audit System (ETTAS) is a web-based reporting tool

and back office system. The ETTAS system in conjunction with the ACE Marketplace provides an

assortment of automated reporting, real-time monitoring, and analytical tools.

ETTAS is configurable and has the ability to generate custom reports that can be delivered daily,

weekly, monthly, quarterly and annually via e-mail, FTP or online. Built-in reports covering

transaction volume, client activity, physical inventory, delivery and taxation are readily available

and are accessible with the click of a button.

ACEpay

Every transaction involving the exchange of funds is conducted through Amercanex’s payment

system, ACEpay. ACEpay operates as a closed loop membership payment system. All payments

made by stakeholders and end users are either conducted using a membership account or

eventually end up in the system through smart-safe technology in the event that cash transactions

are allowed. All monies end up as 100% traceable and verifiable clean funds and are held at top

tier banks. Growers, dispensaries, testing labs, manufacturers, transportation companies,

departments of revenue and any person or entity with a place in the industry can join ACEpay,

giving them the ability to send and receive payments with any other member simply and

efficiently.

ACEpay operates as a non-bank financial institution and as such is subject to all the reporting and

membership vetting requirements. Every member is screened upon opening an account, during

fund movements and daily versus various governmental money laundering, sanction and known

terrorist and criminal lists. This ensures that there are no crime syndicates, drug cartels and other

malefactors participating in and benefiting from the cannabis industry.

Every transaction is reported, keeping all parties accountable. All taxes due are verified and

collected. Proprietary algorithms are utilized at all times to search for and detect unusual activity.

All suspicious activity is reported as required to the proper agencies. The ACEpay policy and

procedures manual contains a robust AML program that meets or exceeds both U.S. and

international standards.

Steve Janjic, CEO and Co-Founder

Steve Janjic has more than twenty years of experience in the financial markets. Prior to joining

Amercanex, he was the Director of FX Sales at Tullett Prebon, one of the world’s largest and oldest

institutional brokerage firms. At Tullett Prebon, Dr. Janjic established a global sales force focusing

on Institutional e-Commerce and Prime Brokerage Sales/Distribution. Previously, Dr. Janjic was

the Global Head of eFX/IRS Sales and Distribution at Christopher Street Capital (GFI Securities

Group). He also held a similar position with Morgan Stanley’s FX Group.

Adam Martin, COO and Co-Founder

Adam Martin has spent the majority of the last decade in the financial industry with a focus in the

foreign exchange market. Previously, he was a Senior Vice President with a renowned FX

liquidity/technology provider. Martin has held key positions with various brokers, including a

senior role with Forex Capital Markets (FXCM) institutional operations. He possesses extensive

experience in electronic trading technologies built for clearing and settling derivatives FX,

precious metals and CFD products.

Michael Herron, President

Michael Herron has more than two decades of investment sales management experience, including

managing start-up businesses, building and leading multi-faceted financial institutions, and

helping corporations grow from entry-level to multi-billion dollar operations. Herron’s former

employers include Merrill Lynch, MF Global Inc. and Viper Trading. He holds FINRA licenses Series

7 & 65, NFA licenses Series 3 & 30, Chartered Alternative Investment Analyst (CAIA) Level 1

Designation and was a former Commodity Trading Advisor (CTA).

Tom Lorenz, CCO

Thomas Lorenz’s firm AML Specialists, LLC has been hired to oversee all compliance duties for

Amercanex. Lorenz has been involved in the financial industry since 1991, beginning his career as

a clerk on the floors of the Chicago Mercantile Exchange and the Chicago Board of Trade. After a

period of working as a Foreign Exchange Consultant to small, mid and large cap companies, Lorenz

had a successful career as a proprietary trader. He has been the listed principal and owner of

several NFA registered FCMs, IBs and a CTA/Investment Adviser.

Marc Asselin, CTO

Marc Asselin is the Founder and President of mLabs, a software development consulting company.

He has over 20 years in software development, architecture and management. In addition to

mLabs, Asselin founded Voler, a UAV based imaging company for the construction and surveying

industry. Previously, Asselin served as Vice Chairman for the MIT Enterprise Forum of Florida and

also served as an Advisory Board Member with EDC of South Florida. His specialties include C#,

.NET, MVC, Bootstrap, JQuery, Azure, SQL Server 2000-2012, SQL Analysis Services, SQL Server

Integration Services, WPF, WCF, OLAP, SOA, Web API, SaaS, OOD, Oracle, mobile development,

REST APIs and web services, NUI, Kinect SDK, OpenNI + NITE, C, C++, Java, 3D Motion Capture and

mobile development, including Android and Apple platforms.

Robert Ruiz, CMO

Robert Ruiz has more than 30 years experience in strategic business development, including

directing multinational corporations towards obtaining sustainable growth in profits. As Vice

President of Sales and Marketing for Concorde Forex Group, Ruiz directed the company toward its

largest and most consistent gains, realizing 63% growth in its core business. Previously, he

worked in the trading and IT field for companies such as TradeStation, FutureSource and Data

Broadcasting Corp.

Richard Schaeffer, Chairman of the Board

Richard Schaeffer has held a variety of positions with the New York Mercantile Exchange (NYMEX),

including Treasurer, Director, Vice Chairman and Chairman. As Chairman from 2006 to 2008, his

leadership proved instrumental with increasing the valuation of the NYMEX from $900mm to

$13B with one of the most successful IPO’s in history. In addition to serving as NYMEX’s Chairman,

Schaeffer also led trading powerhouse ABN AMRO, Inc., as Director of Global Energy Futures.

Schaeffer has served on the Board of Directors for University of Maryland’s School of Business,

Juvenile Diabetes Foundations, The Museum of American Finance, NYMEX Charitable Trust, Magic

Jack and The Montreal Stock Exchange. He is presently the Chairman of the Endowment/

Investment Committee for Scared Heart University.

Gordon Rutledge, Vice Chairman

Gordon Rutledge has nearly four decades of experience in the financial markets. After graduating

from Harvard University, Rutledge began his career at Merrill Lynch as a commodity news wire

editor. He quickly advanced to technical analyst and managed account advisor. Over the next 30

years, Rutledge became an accomplished broker/trader at NYMEX, where he ran and established

successful energy related businesses. After being elected to the NYMEX Board of Directors in 2000,

he was selected to lead the launch effort of the Dubai Mercantile Exchange in 2005 as its first CEO.

He then served as Senior Advisor to the NYMEX Chair and management team until its launch in

2007. A start-up business consultant, Rutledge has been active in the medical cannabis cultivation

space in Oregon since 2012.

Thomas Ross, Director

Thomas Ross is an energy trading professional and the former head of trading at BP North

America. With over 30 years of experience in trading and risk management, his career spans

London, New York and Chicago. Since 2009, he has been the owner of Carradale Partners LLC, an

energy consulting firm. Previously, Mr. Ross oversaw BP’s North American crude and product

trading operations. He was a director of Liquid Holdings Group, a financial services software

provider. Mr. Ross served as a member of the ICE Board of Directors and the New York Mercantile

Exchange (NYMEX) Advisory Committee.
