of making the circle of positive transformation bigger. No one person or one organisation can help change the reality of families and communities falling apart globally. Our nations cannot hang on to the system driven approach any longer. It is time to guide individuals back to taking ownership of positive change in their homes. Proud2b ME® Global is an International Training Provider of the Proud2b ME® Family Transformation Triangle Programme. We distribute the training and support thereof, through

distributors in designated areas Nationally and Internationally from our Head Office in South Africa.

To succeed in our vision, to be able to reach as many families and

communities globally with our sustainable and people driven transformation initiative, we have identified 3 role-players:

[THE WHAT] INTRODUCTION

ROLE-PLAYERS: ROLES & RESPONSIBILITIES: 1. Authorised Proud2b ME® MASTER DISTRIBUTORS

• To distribute training and support thereof within their target market to: § Proud2b ME® Programme Training Affiliates § Certified Programme Trainers

• Own a designated area • Operate with it’s own Master Trainer[s] from year 2 onwards under

support and mentorship from Proud2b ME® Global HQ. • The Master Trainer qualifies to train Programme Trainers within

Authorised Affiliates. • The Master Distributor has access to all 3 phases of training. • The Master Distributor Agreement is for a period of minimum 3 years,

renewable annually thereafter. • The Master Distributor must achieved “Distribution” Target as per

agreement. 2. Authorised Proud2b ME® Programme Training AFFILIATES

• To provide trainees to be Certified as Proud2b ME® programme Trainers • To train the Proud2b ME® programmes within their target market • Have access to phases 1& 2 of the training. • The Programme Training Affiliate agreement is for a period of 1 year,

renewable annually thereafter. • The Programme Training Affiliate must achieve “Programme Training”

Target as per agreement. 3. Certified Proud2b ME® Programme TRAINERS

• Professionals trained and certified to facilitate the Proud2b ME® programmes in their communities under mentorship and support from the Master Distributor.

• Have access to phases 1 & 2 of the training. • The Certified programme Trainers’ registration is valid for one year,

renewable annually thereafter. • The Programme Training Affiliate must achieve “Trainers’ Training” and

“Programme Training” Target as per agreement. • Certified programme Trainers must achieve “Programme Training” Target

as per agreement.

Training phase 3: 6 full training days Mandatory for Master Distributor/ Master Trainer in training. Not Available to Programme Affiliates. The Master Trainer training consists of through-the-year evaluation and assignments.

• The master trainer will receive 3 assignments throughout the year • 5 full days of training • 1 full day evaluation • Support and Mentorship from HQ Master Trainer in year one • Per Master Distributor we allow a minimum of 2 and maximum of 5 master trainers.

The information “Information” shall for the purposes of this undertaking mean any technical, commercial, financial, scientific, marketing or business information and know-how, including without limitation, the trade secrets, software, software code, marketing strategies, information relating to shareholders or subsidiary companies, client and/or supplier lists, processes, machinery, designs, drawings, technical specifications and data in whatever form relating to the disclosing party’s business practices or the promotion of the disclosing party’s business plans, policies or practices, which information is communicated to the receiving party, or otherwise acquired by the receiving party from the disclosing party, during the course of the parties’ commercial interactions, discussions and negotiations with one another, whether such information is formally designated as confidential or not.

Disclosure of information The parties agree that when disclosing certain information to one another, that information is a valuable, special and unique asset proprietary to the disclosing party. The parties agree that they will not, during the course of their association with one another, or thereafter, disclose the information to any third party for any reason or purpose whatsoever without the prior written consent of the disclosing party. The receiving party agrees not to utilise, employ, exploit or in any other manner whatsoever use the information disclosed and that the unauthorised disclosure of the information to a third party may cause irreparable loss, harm and damage to the disclosing party. Accordingly, the receiving party indemnifies and holds the disclosing party harmless against any loss, action, claim, harm, damage, or other liability of whatever nature, suffered by the disclosing party pursuant to a breach by the receiving party of the provisions of this undertaking. Any reliance by a party on any information is solely at its own risk. Neither party nor any of its officers, employees or advisers makes any representation or warranty in respect of the information.

Standard of care The parties agree that they shall protect the information disclosed pursuant to the provisions of this undertaking using the same standard of care that each party applies to its own proprietary, secret or confidential information and that the information shall be stored and handled in such a way as to prevent any unauthorised disclosure thereof.

Return of information The disclosing party, may at any time, request the receiving party to return any material containing, pertaining to or relating to the information disclosed pursuant to the terms of this undertaking and may, in addition request the receiving party to furnish a written statement to the effect that, upon such return, the receiving party has not retained in its possession, or under its control, either directly or indirectly, any such material.

General This undertaking and the relationship of the parties in connection w ith the subject matter of this undertaking shall be governed and determined in accordance with the laws of South Africa.
