Healthcare & Life Sciences Industry Update
July 2014
• On June 30, the Supreme Court ruled, in the case of Burwell vs. Hobby
Lobby, that requiring family-owned corporations to bear the expense of
covering contraception under the Affordable Care Act violated Hobby
Lobby’s right to religious freedom. The ruling has grabbed headlines, with
many outlets speculating that it opens the door to religion-based
challenges to federal laws more broadly, in addition to weakening a well-
publicized measure of the ACA. Justice Ginsberg sounded just such a tone
of alarm in her dissenting opinion following the ruling. The New York Times
published an article discussing the ruling with links to other relevant
information relating to this important and historic legal decision.
• The Atlantic published the results of a study by athenahealth, in partnership
with 535 pediatricians, into the picture of mental health among U.S. youth.
In general, the study found that the prevalence of mental and behavioral
disorders among American children has climbed sharply since 2010. As
many readers may already be aware, mental and behavioral health is an
area that has attracted a growing amount of investment capital recently.

• In the wake of the merger of Covidien and Medtronic, through which the
combined company would be domiciled in Ireland with substantially
reduced U.S. tax liabilities, The Wall Street Journal published a highly
informative piece discussing the mechanics of the tax inversion. Given the
recent wave of cross-border healthcare M&A activity, in which tax efficient
structures have take center stage, this piece provides a concise discussion
of the key mechanics. What readers may find surprising is that the primary
value of a tax inversion lies in shielding future earnings, and that the
immediate tax benefits are often not substantial. Regardless, the practice
has drawn the attention of lawmakers and regulators, who are in the
process of examining U.S. tax regulations to potentially restrict future tax
inversions.
