1. DESCRIÇÃO DAS OPERAÇÕES SUJEITAS A
RATING / FOLLOW-UP
1. DESCRIPTION OF THE OPERATIONS SUBJECT TO
RATING / FOLLOW-UP
1.1. São sujeitas a follow-up as capacidades de
cumprimento dos compromissos financeiros (rating de
emitente) de médio e longo prazo e de curto prazo da
Unicer - Bebidas de Portugal, S.G.P.S., S.A. (Unicer, holding
do Grupo Unicer) e da Unicer - Bebidas, S.A. (Unicer Bebidas,
empresa detida a 100,0% pela Unicer).
This follow-up applies to the capacity of Unicer - Bebidas de
Portugal, S.G.P.S., S.A. (‘Unicer’, the holding company of the
Unicer Group) and Unicer - Bebidas, S.A. (‘Unicer Bebidas’, a
company fully held by Unicer) to meet their medium and long
term and short term financial commitments (issuer rating).
1.2. São sujeitos a follow-up os seguintes empréstimos a
médio e longo prazo contratados com o Banco Europeu de
Investimento (BEI):
1.2. The follow-up also applies to the following medium and
long term loans contracted with the European Investment Bank
(EIB):
- de 60,0 milhões de euros (M€) contratado no dia 19 de
Dezembro de 2012 pela Unicer e pela Unicer Bebidas,
que corresponde à concretização da operação simulada
sujeita a rating no Relatório de Rating / Follow-up de
19 de Outubro de 2012 (anterior Relatório de
Follow-up), que se destina a financiar um projecto de
investimento de 173,2 M€ (Projecto 2012), a realizar até
31 de Julho de 2015 pela Unicer Bebidas e por outras
empresas do Grupo Unicer (detidas a 100,0%, directa
ou indirectamente, pela Unicer); das condições deste
empréstimo destacam-se as seguintes:
- EUR 60.0 million loan contracted on 19 December 2012
by Unicer and Unicer Bebidas corresponding to the
simulated operation subject to rating in the
Rating / Follow-up Report of 19 October 2012 (previous
Follow-up Report); the loan is intended to finance a
EUR 173.2 million investment project (Project 2012) to
be implemented up to 31 July 2015 by Unicer Bebidas
and other companies of Unicer Group (fully held, directly
or indirectly, by Unicer); main conditions of this loan:
• é exigida à Unicer a contratação (encontra-se
actualmente em curso) de uma garantia de
pagamento à primeira solicitação dos respectivos
compromissos financeiros a conceder por um banco
ou outra instituição financeira que, em qualquer dos
casos, seja considerado aceitável pelo BEI; esta
garantia de pagamento não é considerada na
notação atribuída pela Companhia Portuguesa de
Rating, S.A. (CPR) a este empréstimo;
• Unicer is required to obtain from a bank or other
financial institution considered acceptable by the
EIB a guarantee of payment on first demand of its
financial commitments (this is currently being
obtained); this guarantee of payment is not
considered in the rating assigned by Companhia
Portuguesa de Rating, S.A. (CPR) to this loan;
• a Unicer Bebidas é co-responsável com a Unicer
pelo cumprimento das obrigações emergentes do
contrato de empréstimo;
• Unicer Bebidas is jointly responsible with Unicer for
the obligations arising from the loan contract;
• os fundos serão utilizáveis até 19 de Junho
de 2014, sendo que o BEI pode suspender a
possibilidade de utilização dos fundos caso ocorra
um evento perturbador do mercado (“market
disruption event”) e pode também suspender ou
cancelar essa utilização caso ocorra um evento que,
nos termos do contrato, leve ao vencimento
antecipado dos fundos já utilizados (ver adiante);
• the funds may be drawn up to 19 June 2014, but the
EIB may suspend the possibility of drawdowns in
case of a market disruption event, and it may also
suspend or cancel drawdowns in case of an event
which under the terms of the contract leads to the
early maturity of funds already drawn (see further
down);
• cada tranche vencerá juros a taxa variável
(indexada à EURIBOR) ou fixa (a modalidade é
opção da Unicer) nas condições estabelecidas pelo
• each tranche will pay interest at a variable rate
(linked to the EURIBOR) or a fixed rate (at the
option of Unicer) under the conditions established by

BEI aquando da utilização de cada tranche e por
períodos mínimos de quatro anos;
the EIB at the time of drawdown, for minimum
periods of four years;
• o reembolso será realizado em prestações anuais,
semestrais ou trimestrais, iguais e sucessivas,
devendo a primeira prestação ocorrer no máximo na
primeira data de pagamento de juros após o
segundo aniversário da disponibilização da tranche
e a última ocorrer no máximo até nove anos após a
data de disponibilização da tranche (a última
prestação não pode ocorrer antes de quatro anos
após a data de disponibilização da tranche);
• the loan will be reimbursed in consecutive annual,
semi-annual or quarterly instalments of the same
amount, the first to take place at the latest on the
first interest-payment date after the second
anniversary of the disbursement of the tranche, and
the last to take place at the latest nine years after
the disbursement of the tranche (the last instalment
cannot be paid less than four years after the date of
disbursement of the tranche);
• existe a possibilidade de reembolsos antecipados,
no todo ou em parte, por parte da Unicer, sem
incorrer no pagamento de indemnização no caso de
tranches a taxa de juro variável ou incorrendo em
indemnização no caso de tranches a taxa de juro
fixa (excepto se o reembolso antecipado ocorrer na
data de revisão ou conversão da taxa de juro);
• partial or full early redemptions by Unicer are
permitted, at no penalty in the case of tranches at
variable interest rate, or subject to a penalty in the
case of tranches at fixed interest rate (save if early
redemption occurs on an interest-rate repricing or
conversion date);
• cláusulas de ownership, de pari passu, de negative
pledge, de cross default e de modificação adversa
significativa (“material adverse change”);
• ownership, pari passu, negative pledge, cross
default, and material adverse change clauses;
• vencimento antecipado nos seguintes casos: • early maturity of the loan, in the following cases:
o caso se verifique uma redução do custo do
Projecto que leve a que este empréstimo do BEI
passe a representar mais de 50,0% desse
custo, situação em que o BEI poderá exigir o
reembolso antecipado do excesso face aos
referidos 50,0% (ou cancelar a possibilidade de
utilização dos fundos ainda não utilizados);
o if as a result of a reduction in the cost of the
Project the amount of the loan as a percentage
of that cost rises to more than 50.0%, in which
case the EIB may require the early redemption
of the surplus over these 50.0% (or cancel the
possibility to draw the funds not yet used);
o caso o Grupo Unicer decida proceder ao
reembolso antecipado de outros empréstimos
não concedidos pelo BEI e com maturidade
superior a três anos, situação em que o BEI fica
com o direito de exigir o reembolso do saldo do
empréstimo sujeito a follow-up na mesma
proporção da existente entre o reembolso
antecipado referido e a totalidade dos
empréstimos não concedidos pelo BEI, excepto
no caso em que o reembolso antecipado seja
feito mediante a utilização do produto de um
outro empréstimo com uma duração pelo menos
igual ao período por completar do empréstimo
sujeito a reembolso antecipado;
o if the Unicer Group decides to repay in advance
other loans not extended by the EIB with
maturities of more than three years, in which
case the EIB is entitled to demand the
reimbursement of a balance of the loan subject
to follow-up in the same proportion as that
between the referred early reimbursement and
the total amount of the loans not extended by
the EIB, save where such early reimbursement
is made with funds from another loan with a
maturity at least equal to the unexpired period of
the loan subject to early reimbursement;
o caso ocorra alguma alteração legislativa que, na
opinião do BEI, impeça o Grupo Unicer de
cumprir com as obrigações do contrato;
o in case of any change in the law which in the
opinion of the EIB prevents the Unicer Group to
meet its obligations under the contract;

o se, a dois meses do vencimento de qualquer
dívida do Grupo, o Grupo não possua
financiamentos contratados e não utilizados em
montante igual ou superior ao dessa dívida,
caso em que o BEI pode também cancelar a
possibilidade de utilização dos fundos ainda não
utilizados;
o if, two months prior to the maturity of any debt of
the Group, the Group does not have contracted
but undrawn financings for the same or a higher
amount of that debt, in which case the EIB can
also cancel the possibility of drawdowns on the
funds not yet used;
• durante a vida útil do empréstimo o Grupo Unicer
compromete-se a, sem o acordo prévio do BEI, não
alienar activos do Projecto 2012, não alienar
quaisquer outros activos que num ano representem
mais de 10,0% do valor líquido dos activos fixos
tangíveis do Grupo no fim do ano anterior (excepto
nos casos previstos no contrato) e não participar em
qualquer operação de cisão ou fusão (excepto
operações intra-Grupo que, na opinião do BEI, não
afectem negativamente os interesses do BEI
enquanto credor);
• during the useful life of the loan the Unicer Group
undertakes not to, without the EIB previous consent,
dispose of any assets of the Project 2012 or any
other assets which in one year amount to more than
10.0% of the net value of the Group’s tangible fixed
assets at the end of the previous year (save in the
cases provided for in the contract), or take part in
any split or merger operations (save intra-Group
operations which in the EIB’s opinion do not
negatively affect the EIB’s interests as creditor);
- no valor total inicial de 60,0 M€, dos quais 40,0 M€
relativos à tranche A, contratada e utilizada em Abril
de 2006, e 20,0 M€ relativos à tranche B, contratada em
Abril 2006 e utilizada em Maio de 2006, que se
destinaram a financiar parte de um plano de
investimentos (Projecto 2006) e que incluem, entre
outras, as seguintes condições:
- loan for a total initial amount of EUR 60.0 million, of
which EUR 40.0 million under tranche A, contracted and
drawn in April 2006, and EUR 20.0 million under tranche
B, contracted in April 2006 and drawn in May 2006,
used to finance part of an investment project (Project
2006); main conditions of this loan:
• na tranche A caso a Viacer, S.G.P.S., Lda. (Viacer)
deixe de deter, directa ou indirectamente, a maioria
do capital ou dos direitos de voto da Unicer, ou esta
deixe de apresentar, de acordo com as suas contas
consolidadas anuais, um conjunto de rácios dentro
de determinados valores, o BEI fica com o direito de
exigir que lhe sejam prestadas garantias por si
consideradas aceitáveis relativas às obrigações da
Unicer no presente contrato (sendo exigível o
reembolso antecipado do empréstimo caso essas
garantias não sejam prestadas, deixem de ser
aceitáveis para o BEI ou deixem de estar em vigor);
• with regard to tranche A, if Viacer, S.G.P.S., Lda.
(Viacer) ceases to hold, directly or indirectly, the
majority of the share capital or voting rights of
Unicer, or if a set of ratios presented by Unicer in its
annual consolidated accounts fall outside the range
of certain established values, the EIB is entitled to
require the provision of guarantees which it
considers acceptable relative to Unicer’s obligations
under this contract (the loan’s early redemption may
be required if these guarantees are not provided,
cease to be acceptable for the EIB or are no longer
in force);
• a tranche B tem garantia bancária de cumprimento
pontual e integral de todas as obrigações
financeiras e pecuniárias conferida de forma
imediata, incondicional e com renúncia ao benefício
da excussão prévia pelo Banco BPI, S.A. (BBPI);
esta garantia não é considerada na notação
atribuída; para esta tranche o BEI pode exigir a
substituição das garantias bancárias ou exigir
garantias adicionais caso ocorra algum facto que
afecte a qualidade ou a própria existência destas
• tranche B is secured by a bank guarantee of timely
and full compliance with all financial and pecuniary
obligations, immediately and unconditionally granted
by Banco BPI, S.A. (BBPI), which waives the benefit
of execution; this guarantee is not considered for
purposes of the rating assigned; the EIB may
demand the replacement of the bank guarantees or
additional guarantees for this tranche in the event of
any fact that affects the quality or even the existence
of those guarantees (non compliance with this

garantias (o não cumprimento desta exigência

requirement triggers the early reimbursement);
• reembolso em seis prestações anuais iguais e
consecutivas iniciadas em 2009, havendo
possibilidade de reembolso antecipado, total ou
parcial, em data de aniversário de utilização de
cada tranche e mediante o pagamento de uma
indemnização ao BEI;
• reimbursement in six consecutive annual
instalments of the same amount started in 2009,
with the possibility of total or partial early
reimbursement on the anniversary dates of the
drawdowns of each tranche, subject to payment of a
penalty to the EIB;
• vencimento antecipado, total ou parcial, nos
seguintes casos:
• total or partial early maturity of the loan, in the
following cases:
o a Unicer decida proceder ao reembolso
antecipado de outros empréstimos por si
contraídos, com duração superior a três anos, o
BEI fica com o direito de exigir o reembolso do
saldo das tranches referidas na mesma
proporção da existente entre o reembolso
antecipado referido e o saldo dos empréstimos
com duração superior a três anos (excepto no
caso em que o reembolso antecipado seja feito
mediante a utilização do produto de um outro
empréstimo com uma duração pelo menos igual
ao período por completar do empréstimo sujeito
a reembolso antecipado);
o if the Unicer decides to repay in advance other
loans it has contracted with maturities of more
than three years, the EIB is entitled to demand
the reimbursement of a balance in the referred
tranches in the same proportion as that between
the referred early reimbursement and the
balance of the loans with maturities of more than
three years (save where such early
reimbursement is made with funds from another
loan with a maturity at least equal to the
unexpired period of the loan subject to early
reimbursement);
o cross default; o cross default;
o cisão ou fusão da Unicer com oposição do BEI;
e
o split or merger of Unicer opposed by the EIB;
and
o redução do património da Unicer ou
deterioração da sua situação
económico-financeira, de tal forma significativa
que possa afectar negativamente a realização
ou exploração do Projecto 2006 ou a
capacidade da Unicer para cumprir as
obrigações ao abrigo do contrato de empréstimo
do BEI;
o reduction of Unicer’s assets or deterioration of
its economic and financial situation such as may
negatively affect the execution or exploration of
Project 2006 or its capacity to meet its
obligations under the EIB loan contract;
• a Unicer compromete-se a, sem o acordo prévio do
BEI, não ceder a terceiros (incluindo sociedades em
cujo capital social participe) activos que, isolada ou
cumulativamente, representem mais de 10,0% do
seu imobilizado corpóreo líquido ou que afectem a
capacidade da Unicer gerar recursos directamente
(sem ser por intermédio de sociedades em cujo
capital participe) numa percentagem superior a 10%
da receita total obtida directamente pelo mutuário
no momento em que se realiza a cessão;
• Unicer undertakes not to, without the EIB’s prior
consent, transfer to third parties (including to
companies in which it holds stakes) assets which by
themselves of cumulatively represent more than
10.0% of its net tangible assets or which affect its
capacity to generate funds on a standalone basis
(i.e., not through companies in which it holds stakes)
for an amount exceeding 10% of the total revenue
obtained directly by the borrower at the time of the
transfer;
• a Unicer compromete-se também a, sem o acordo

1.3. São sujeitas a rating / follow-up as emissões de papel
comercial realizadas e a realizar pela Unicer ou pela Unicer
Bebidas ao abrigo de vários programas, em que o montante
máximo global ascende a 267,5 M€ e com as condições gerais
apresentadas no Quadro 1..
1.3. This rating / follow-up also applies to the issues of
commercial paper made or to be made by Unicer or Unicer
Bebidas under various programmes, for an overall maximum
amount of EUR 267.5 million, under the conditions listed in
Table 1..

manteve a situação de recessão acentuada verificada no
segundo semestre de 2011, na sequência do pedido de auxílio

Estatística (INE), o produto interno bruto (PIB) português
registou decréscimos homólogos de 2,3% no primeiro trimestre
de 2012, de 3,1% no segundo e de 3,5% no terceiro, tendo
correspondido a decréscimos em cadeia de, respectivamente,
0,1%, 1,0% e 0,9%. A componente da procura interna relativa
ao consumo privado de bens não duradouros e serviços,
apesar de ter sido a que menos diminuiu, teve uma evolução
crescentemente negativa, com decréscimos trimestrais
homólogos de 3,4% no primeiro trimestre, 4,1% no segundo e
4,3% no terceiro.
In the period of January to September 2012 Portugal
remained in the situation of deep recession from which it was
already suffering in the second half of 2011, when the Country
requested external financial assistance. According to the
Portuguese National Statistics Institute (“INE”), the Portuguese
gross domestic product (GDP) dropped year-on-year by 2.3%,
3.1% and 3.5% in the first, second and third quarters of 2012,
corresponding to quarter-on-quarter declines of 0.1%, 1.0% and
0.9%, respectively. The private consumption of non durable
goods and services, although showing the smallest decline of
domestic demand components, registered an increasingly
worse performance, with year-on-year drops of 3.4%, 4.1%,
and 4.3% in the first, second and third quarters.

produtos em que se incluem os produtos produzidos e

verificado alguma oscilação em torno das taxas médias do ano:
3,2% nos produtos alimentares e bebidas não alcoólicas (face
a 2,1% em 2011) e 4,7% nas bebidas alcoólicas e tabaco (face

On 6 March 2013 Standard & Poor’s (S&P) improved the
outlook on the Portuguese Republic’s long-term issuer rating
from negative to stable, citing the “additional evidence that
European institutions will continue to support Portugal’s
adjustment program, given the government’s commitment to
budgetary and structural reforms”. The ratings assigned to the
Portuguese Republic by the three large international rating
agencies are now as follows (medium and long term / outlook or

O Programa de Assistência Económica e Financeira a
Portugal inclui uma componente financeira para a

reflectiu sobretudo a recuperação da produção petrolífera que
em 2010 e 2011 sofreu constrangimentos operacionais.
Refira-se que no dia 31 de Agosto de 2012 realizaram-se em
Angola as primeiras eleições gerais no âmbito da nova
Constituição, mantendo-se a estabilidade política.

quantidade) de cervejas em Portugal registou um decréscimo
de 10,2% nos primeiros dez meses de 2012, face ao período
homólogo de 2011, com uma quebra mais acentuada (-12,1%)
no canal HORECA do que no canal alimentar (-7,5%).

de Cervejas e Bebidas, S.A. (Grupo SCCB), do Grupo

Segundo as estimativas da ACNielsen, o consumo (em
quantidade) de águas com gás em Portugal acentuou no
período de Janeiro a Setembro de 2012, face ao período
homólogo de 2011, a tendência de quebra que vinha a registar,
com um decréscimo de 15,9%, mais acentuado (-19,2%) no
canal HORECA do que no canal alimentar (-12,9%). Segundo
dados da Associação Portuguesa dos Industriais de Águas
Minerais Naturais e de Nascente (APIAM), as vendas em
volume de águas com gás da indústria portuguesa para o
mercado nacional diminuíram “apenas” 4,6% entre os períodos
indicados, para 35,4 milhões de litros (ML) (os dados desta
entidade para os dois meses seguintes são mais gravosos,
com um decréscimo homólogo de 6,1% no acumulado do ano
até Novembro).

Segmento das Águas Lisas Still Water Segment
Segundo as estimativas da ACNielsen, o consumo (em
quantidade) de águas sem gás (lisas) em Portugal decresceu
3,1% no período de Janeiro a Setembro de 2012, face ao
período homólogo de 2011, com uma redução acentuada no
canal HORECA (-14,2%), enquanto as vendas no canal
alimentar terão diminuído 1,3%. Segundo dados da APIAM, as
vendas em volume de águas lisas da indústria portuguesa para
o mercado nacional caíram 11,8% entre os períodos indicados,
para 624,5 ML (nos dois meses seguintes esta evolução
continuou a agravar-se, verificando-se um decréscimo
homólogo de 12,1% no acumulado do ano até Novembro).

mercado português diminuiu 0,6 pp, para 8,0%, no período de
Janeiro a Setembro de 2012, face ao período homólogo de
2011, enquanto a quota em valor aumentou 0,3 pp, para
20,1%. A perda de quota em volume reflecte perdas de 0,2 pp,
para 5,6%, na marca Vitalis e de 0,4 pp, para 2,4%, na marca
Caramulo, enquanto em valor a Vitalis ganhou 1,4 pp de quota,
para 14,3%, e a Caramulo perdeu 1,2 pp, para 5,7%. O Grupo
SCCB, líder deste segmento, perdeu 2,8 pp de quota em
quantidade entre os períodos indicados, para 11,9% (em valor
a redução foi de 0,8 pp, para 21,8%), com uma perda de quota
de 2,6 pp na marca Luso, para 11,3%. A quota de mercado
global das marcas de distribuição manteve e voltou a acentuar
entre os períodos indicados a tendência de aumento, tendo
ganho 7,1 pp de quota, para 60,4% (em valor o aumento foi de
4,4 pp, para 23,5%). O canal alimentar foi o responsável por
este aumento, tendo a quota conjunta das marcas de
distribuição atingido 68,0% em quantidade (+7,4 pp) e 46,7%
em valor (+8,0 pp), enquanto no canal HORECA verificaram-se
reduções de 2,0 pp em quantidade (para 6,3%) e de 0,6 pp em
valor (para 5,8%).

September 2012 the Unicer Group’s share of the Portuguese
still water market dropped by 0.6 pp, to 8.0%, in quantity, and
increased by 0.3 pp, to 20.1%, by value. The loss of market
share by volume was driven by drops in the Vitalis and
Caramulo brands (-0.2 pp, to 5.6%, and -0.4 pp, to 2.4%,
respectively) while by value Vitalis advanced its market share
by 1.4 pp, to 14.3%, and Caramulo lost 1.2 pp, to 5.7%. The
SCCB Group, the leader in the segment, saw its market share
by quantity drop by 2.8 pp, to 11.9% (and by 0.8 pp, to 21.8%,
by value), with its Luso brand retreating by 2.6 pp, to 11.3%.
The global market share of the distribution brands maintained
and further intensified its rising trend, advancing by 7.1 pp, to
60.4%, by quantity, and by 4.4 pp, to 23.5%, by value. The
driver of this increase was the off-trade channel, where the
distribution brands achieved an overall market share of 68.0%
in quantity (+7.4 pp) and 46.7% in value (+8.0 pp), while in the
on-trade channel their market share dropped by 2.0 pp in
quantity (to 6.3%) and by 0.6 pp in value (to 5.8%).

Grupo Unicer Unicer Group
O volume de negócios do Grupo Unicer aumentou 1,5%
nos primeiros nove meses de 2012 (face ao período homólogo
de 2011), para 356,2 M€ (Quadro 2.1.), reflectindo
essencialmente a evolução nas vendas de bebidas (com um
pequeno aumento global das vendas em volume,
acompanhado por um efeito preço também globalmente
positivo).

the first nine months of 2012, to EUR 356.2 million (Table 2.1.),
mainly reflecting the performance of beverage sales (a small
overall global grow in volume and a price effect also globally
positive).
Na estrutura das vendas de bebidas do Grupo Unicer nos
primeiros nove meses de 2012 verificou-se (face ao período
homólogo de 2011) o seguinte:

Entre os períodos indicados a margem de contribuição
operacional em percentagem do volume de negócios diminuiu
1,8 pp, para 30,9%, devido, sobretudo, à não repercussão
imediata e integral dos aumentos dos preços das
matérias-primas (o custo das mercadorias vendidas e das
matérias consumidas, ajustado pelo efeito da variação da
produção, em percentagem do volume de negócios aumentou
de 35,5% nos primeiros nove meses de 2011 para 36,7% no
período homólogo de 2012), acompanhada por um aumento de
0,1 pp nos gastos com fornecimentos e serviços externos em
percentagem do volume de negócios e pela redução dos
rendimentos operacionais diversos. Para o aumento dos gastos
com fornecimentos e serviços externos contribuiu sobretudo um
aumento de 4,2% nos gastos com publicidade e propaganda
(recorde-se que em 2011 o Grupo Unicer reduziu os gastos
com publicidade e propaganda em 4,1% face a 2010).
Refira-se que, segundo dados publicados pelo Banco Mundial,

price of the raw materials was not immediately and fully passed
through to selling prices (the cost of goods sold and materials
consumed adjusted for the production variation effect, as a

a 0.1 pp increase in suppliers and external services as a

The increase in suppliers and external services was mainly
driven by a 4.2% rise in publicity and advertising costs (we
remind that in 2011 the Unicer Group had reduced these costs
by 4.1% compared to the previous year). According to data
published by the World Bank, the average annual selling price
of barley (barley malt is the main raw material in the production
of beer) in the international markets increased by 16.0% in

A margem do execedente bruto de exploração (EBITDA) do
Grupo Unicer em percentagem do volume de negócios baixou
1,6 pp entre os períodos indicados, para 18,2% no período de
Janeiro a Setembro de 2012 (o EBITDA ascendeu a 64,7 M€),
beneficiando, face à redução de 1,8 pp na margem de
contribuição operacional em percentagem do volume de
negócios, de uma redução de 0,2 pp, para 12,7%, nos gastos
operacionais fixos em percentagem do volume de negócios. Os
gastos com pessoal, principal rubrica nestes gastos, em
percentagem do volume de negócios baixaram 0,6 pp entre os
períodos indicados, para 11,1% (o número médio de
colaboradores baixou 5,8%).

decorrente das seguintes evoluções que se verificaram entre
os períodos indicados: redução das amortizações em 14,1%,
para 20,5 M€; o registo de cerca de 0,1 M€ ganhos líquidos em
empresas associadas, face a uma perda imaterial no período
homólogo de 2011; o aumento das perdas por imparidades
(líquidas de reversões) em 0,8 M€, para 2,7 M€, relativas
essencialmente a saldos de clientes e de contratos de
exclusividade com pontos de venda; e o aumento das
provisões para 0,6 M€, face a um valor nulo no período
homólogo de 2011. Note-se que a actividade do turismo, em
início de exploração hoteleira, teve um impacto negativo
significativo nos resultados operacionais do Grupo nos
primeiros nove meses de 2011 e de 2012. Sem a actividade
turística, a rendibilidade operacional do volume de negócios do
Grupo Unicer seria de 12,6% no período de Janeiro a
Setembro de 2012 (face a 13,7% no período homólogo de
2011). Por outro lado, as exportações para Angola geraram
38,7% do resultado operacional do Grupo no período de
Janeiro a Setembro de 2012 (face a 28,1% no período
homólogo de 2011).

of the following: amortisation and depreciation decreased by
14.1%, to EUR 20.5 million; net gains in associated companies
amounted to EUR 0.1 million, which compares with an
immaterial loss in the first nine months of 2011; impairment
losses (net of reversals) increased by EUR 0.8 million, to
EUR 2.7 million, mainly concerning trade receivables and to
balances related to exclusivity contracts with points of sale; and
provisions increased to EUR 0.6 million, from an immaterial
amount in the first nine months of 2011. We remind that the
tourism business, still in the initial stage of the hotel operation,
had a considerable negative impact on the Group’s operating
results in the first nine months of 2011 and 2012. Excluding the
tourism activity, operating return on turnover would be 12.6% in
the period of January to September 2012 (vs. 13.7% in the
same period in 2011). On the other hand exports to Angola
generated 38.7% of the Group’s operating results in the period
(28.1% in the same period in 2011).
A rendibilidade operacional do activo teve entre os períodos
indicados um decréscimo (-0,5 pp, para 10,8%) inferior ao
registado pela rendibilidade operacional do volume de negócios
(Quadro 2.3.), beneficiando de uma maior rotação do activo.

Os efeitos sobre os juros suportados pelo Grupo Unicer dos
aumentos significativos dos spreads das taxas de juro
aplicados pelos bancos (tendência geral de mercado)
sobretudo ao longo de 2011 (em 2012 ainda se verificaram
alguns aumentos de spreads, mas já bastante menos
significativos) sobrepuseram-se aos efeitos das reduções dos
indexantes das mesmas taxas (Gráfico 2.1.) e da redução do
endividamento financeiro médio, gerando um aumento de
0,4 pp no indicador do custo bruto do capital alheio (para
2,8%), que, face à redução de 0,5 pp na rendibilidade
operacional do activo, traduziu-se numa redução de 0,8 pp,
para 8,1%, no “spread” do efeito aditivo de alavanca financeira.
Este efeito aditivo foi de 26,9% nos primeiros nove meses de
2012, menos 5,0 pp do que no período homólogo de 2011,
reflectindo, além da redução do “spread”, uma redução do rácio
debt to equity, que passou, respectivamente, de 3,605 para
3,329, decorrente da retenção de parte dos resultados gerados
pelo Grupo Unicer.
The impact on the interest paid by the Group of the
significant increase in the interest rate spreads charged by
banks (a general market trend), mainly in 2011 (in 2012 some
spreads still increased but not so much) prevailed over the
impacts from the drop of the index interest rates (Chart 2.1.)
and the reduction of the average financial debt, leading to a
0.4 pp increase, to 2.8%, in the indicator of the gross cost of
borrowed funds. In view of the 0.5 pp reduction in operating
return on assets, this in turn caused the “spread” of the financial
leverage additive effect to decline by 0.8 pp, to 8.1%. This
additive effect was 26.9% in the first nine months of 2012, a
year-on-year decline of 5.0 pp that, apart from the reduction of
the “spread”, was driven by the decline in the debt to equity
ratio (from 3.605 to 3.329) as a result of the retention of part of
the results generated by the Unicer Group.

O efeito dos resultados não correntes aumentou entre os
períodos indicados de 0,842 para 0,874, reflectindo a redução
dos gastos não correntes, de 6,1 M€ nos primeiros nove meses
de 2011 para 4,3 M€ no período homólogo de 2012. Nos
gastos não correntes dos primeiros nove meses de 2012
salientam-se 1,6 M€ de imparidade de activos do antigo hotel
no Parque de Pedras Salgadas e 1,6 M€ de indemnizações por
rescisões de contratos de trabalho.
The effect of non recurrent results increased between the
referred periods from 0.842 to 0.874, reflecting the reduction of
non recurrent costs from EUR 6.1 million in the first nine months
of 2011 to EUR 4.3 million in the same period in 2012. The
main items under non recurrent costs in the first nine months of
2012 were EUR 1.6 million of asset impairments in the former
Parque de Pedras Salgadas hotel and EUR 1.6 million of
redundancy payments.

Assim, e reflectindo ainda um aumento significativo no
efeito fiscal (decorrente da utilização de créditos fiscais
relativos ao investimento em Vidago), de 0,700 para 0,768, e
uma redução no efeito aditivo dos interesses minoritários, de
-0,1% para -0,3%, a rendibilidade do capital próprio do Grupo
Unicer baixou 0,7 pp entre os primeiros nove meses de 2011 e
os primeiros nove meses de 2012, para 26,4%.
Therefore, and also reflecting a significant increase in the
tax effect, from 0.700 to 0.768 (due to the use of tax credits
relating to the investment in Vidago), and a reduction in the
minority interests additive effect, from -0.1% to -0.3%, the
Unicer Group’s return on equity dropped by 0.7 pp, to 26.4%
between the first nine months of 2011 and the first nine months
of 2012.
O valor do resultado líquido gerado pelo Grupo Unicer no
período de Janeiro a Setembro de 2012 foi de 22,9 M€, mais
0,8% do que no período homólogo de 2011, com a utilização
do crédito fiscal e a redução dos gastos não correntes a
compensarem a redução do EBIT e o agravamento do
resultado financeiro.
The Unicer Group’s net income for the period of January to
September 2012 increased by 0.8% year-on-year, to
EUR 22.9 million, with the use of the tax credit and the
reduction of non-current costs making up for the reduction of
EBIT and the increase in the financial loss.
O activo do Grupo Unicer fixou-se em 504,6 M€ no fim de
Setembro de 2012, mais 4,2% ou 20,3 M€ do que no fim de
2011, mas menos 2,7% ou 14,0 M€ do que na data homóloga
de 2011 (Quadro 2.4.). O decréscimo verificado entre datas
homólogas (portanto sem efeitos sazonais) decorreu sobretudo
da moderação do esforço de investimento em activos fixos
tangíveis e da redução significativa do saldo de
disponibilidades (-16,3 M€, para 8,7 M€). O saldo de clientes
ascendia a 99,9 M€ no fim de Setembro de 2012, menos 0,6%
do que na data homóloga de 2011 (o indicador do prazo médio
de recebimentos baixou em um dia, para 79 dias). O Grupo
Unicer considera que tem tido uma grande prudência na gestão
dos seus créditos sobre clientes e sobre pontos de venda
(neste caso, note-se que os mútuos são concedidos quase
exclusivamente mediante a apresentação de garantias
bancárias), o que, no actual contexto de grave crise
económico-financeira em Portugal, se tem traduzido em níveis
relativamente baixos de perdas.
At the end of September 2012 the Unicer Group’s assets
totalled EUR 504.6 million, which is 4.2%, or EUR 20.3 million,
more than at the end of 2011, but 2.7%, or EUR 14.0 million,
less than at the end of September 2011 (Table 2.4.). The
year-on-year decline (which does not reflect seasonal effects)
mainly resulted from the moderated investment in fixed assets
and the marked reduction in the balance of liquid assets
(EUR -16.3 million, to EUR 8.7 million). Trade receivables
amounted to EUR 99.9 million at the end of September 2012, a
year-on-year decline of 0.6% (the average trade debtors
turnover decreased by one day, to 79 days). The Unicer Group
considers it has been very prudent in the management of
receivables from clients and points of sale (in this case it should
be noted that loans are almost exclusively granted against bank
guarantees), as a result of which losses have been relatively
low considering the context of serious economic and financial
crisis in Portugal.
O Grupo Unicer investiu 21,1 M€ em imobilizado corpóreo e
incorpóreo no período de Janeiro a Setembro de 2012 (valor
que compara com 24,1 M€ de investimento realizado no ano
completo de 2011), salientando-se 13,5 M€ de investimentos
realizados no projecto de concentração industrial em Leça do
Balio (investimento iniciado nos primeiros meses de 2012).
In the period of January to September 2012 the Unicer
Group invested EUR 21.1 million in tangible and intangible
assets (vs. EUR 24.1 million in full 2011), of which
EUR 13.5 million in the industrial concentration project at Leça
do Balio (which was started in the first months of 2012).
Os capitais próprios do Grupo Unicer fixaram-se em
115,7 M€ no fim de Setembro de 2012, mais 3,1% ou 3,5 M€
do que no fim de 2011, reflectindo essencialmente a estimativa
de retenção dos resultados gerados nos primeiros nove meses
de 2012. Face à data homóloga de 2011 o aumento foi de 3,5%
ou 3,9 M€, o que, conjugado com a redução do total do activo,
gerou um aumento de 1,3 pp na autonomia financeira do Grupo
Unicer, para 22,9% no fim de Setembro de 2012 (Quadro 2.4.).
Recorde-se que entre o fim de Setembro de 2011 e o fim de

Os capitais de interesses minoritários (relativos
essencialmente à participada Maltibérica – Sociedade
Produtora de Malte, S.A. ascendiam a 3,7 M€ no fim de
Setembro de 2012, correspondendo a 0,7% do activo do Grupo
Unicer. A autonomia financeira do Grupo Unicer, considerando
os capitais de interesses minoritários e calculada com o pas-
sivo líquido de disponibilidades, era de 24,1% no fim de Setem-
bro de 2012 (mais 0,7 pp do que no fim de Setembro de 2011).
Minority interests (mainly corresponding to the subsidiary
Maltibérica – Sociedade Produtora de Malte, S.A. totalled
EUR 3.7 million at the end of September 2012, corresponding
to 0.7% of the Unicer Group’s assets. The Unicer Group’s
equity / assets ratio, considering minority interests and
calculated with liabilities net of liquid assets, was 24.1% at the
end of September 2012 (up by 0.7 pp on the end of September

essencialmente o processo de refinanciamento da dívida
financeira do Grupo concretizado em 2011 e em 2012. Assim,
os capitais permanentes aumentaram de 199,8 M€ no fim de
Setembro de 2011 para 240,2 M€ no fim de 2011 e para
263,3 M€ no fim de Setembro de 2012 (representando nesta
data 52,2% do activo total, face a 38,5% no fim de
Setembro de 2011).
Stable borrowed funds increased from EUR 84.4 million at
the end of September 2011 to EUR 124.2 million at the end of
2011 and to EUR 144.9 million at the end of September 2012,
mainly translating the refinancing of the Group’s financial debt
carried out in 2011 and 2012. Permanent capital therefore
increased from EUR 199.8 million at the end of
September 2011 to EUR 240.2 million at the end of 2011 and to
EUR 263.3 million at the end of September 2012 (representing
on that date 52.2% of total assets, vs. 38.5% at the end of
September 2011).
O aumento dos capitais permanentes e a redução do activo
não corrente levaram à redução do défice do fundo de maneio
líquido, de 123,5 M€ no fim de Setembro de 2011 para 57,4 M€
no fim de Setembro de 2012. A melhoria do fundo de maneio
líquido foi acompanhada também por uma melhoria das
necessidades em fundo de maneio (-7,3%, para 67,8 M€),
verificando-se, assim, um desagravamento do défice de
tesouraria líquida, que passou de 196,7 M€ no fim de Setembro
de 2011 para 125,2 M€ no fim de Setembro de 2012. Note-se
que, apesar da melhoria significativa verificada, o défice de
tesouraria no fim de Setembro de 2012 era ainda elevado
(correspondendo a quase dois anos de geração de fluxos), o
que se conjuga ainda com o vencimento a médio (e não a
longo) prazo da quase totalidade da dívida financeira a médio e
longo prazo. Por outro lado, o referido processo de
refinanciamento da dívida financeira do Grupo concretizado em
2011 e em 2012 não se reflecte totalmente nestes indicadores,
dado que no fim de Setembro de 2012 o Grupo Unicer tinha
disponíveis por utilizar 60,0 M€ de financiamentos com
maturidades a médio e longo prazo. Além disso, o Grupo
Unicer contratou entretanto novos financiamentos com
vencimento a médio e longo prazo no montante global de
85,0 M€ (ver adiante).

deficit, which dropped from EUR 196.7 million at the end of
September 2011 to EUR 125.2 million at the end of September
2012. Note that despite its significant improvement the cash
position deficit was still high at the end of September 2012
(corresponding to nearly two years of cash flow generation),
and in addition almost the entire medium and long term
financial debt matures in the medium term (and not in the long
term). On the other hand the referred process of refinancing the
Group’s financial debt carried out in 2011 and 2012 is not fully
reflected in these indicators in so far as at the end of
September 2012 the Group had EUR 60.0 million of undrawn
medium and long term credit facilities. Moreover the Group has
in the meantime contracted new medium and long term
financings for an overall amount of EUR 85.0 million (see
further down).

At the end of September 2012 the total financings
contracted by the Unicer Group (outstanding loan balances and
total ceilings of financing lines, including commercial paper
programmes and excluding repayable subsidies) were spread
by a large number of credit institutions, with BBPI and Banco

VMPS Águas & Turismo reduce their share in the
Group’s total cash fund generation); the contract
includes, among others, a negative pledge clause
(applying to the entire Unicer Group), pari passu, cross
default, material adverse change and ownership

Recorde-se que no fim de 2011: We remind that at the end of 2011:
- o valor das rendas vincendas de contratos de locação
operacional (relativos essencialmente a viaturas e
equipamento informático) ascendia a 5,2 M€;
- the amount of future rents on operational leasing
contracts (mainly concerning cars and computer
equipment) totalled EUR 5.2 million;
- o valor global de cartas conforto prestadas pelo Grupo
Unicer a favor de entidades bancárias relativas a
financiamentos de terceiros ascendia a 16,7 M€.
- the total amount of comfort letters provided by the
Unicer Group to banks on account of third-party
financings was EUR 16.7 million.
Quanto aos litígios com a Administração Fiscal que o Grupo
mantém, relativos a liquidações adicionais de impostos num
valor global de cerca de 13,6 M€, mantém-se a situação
apontada no anterior Relatório de Follow-up: dois dos
processos foram objecto de despacho pelos respectivos
tribunais, sendo que num a impugnação judicial apresentada
pelo Grupo Unicer foi julgada totalmente procedente e no outro
a impugnação judicial foi julgada improcedente; em ambos os
casos as decisões foram objecto de recurso, tendo o Supremo
Tribunal Administrativo decidido como improcedente o recurso
da Administração Fiscal contra a decisão favorável do Tribunal
Administrativo e Fiscal; e espera-se que esta decisão possa ter
impacto no desfecho do recurso do outro processo. O Grupo
Unicer, corroborado na opinião de advogados externos,
mantém fortes expectativas de que todas as sentenças judiciais
lhe sejam favoráveis. Para eventuais responsabilidades no
âmbito de processos fiscais, no fim de 2011, o Grupo Unicer
tinha constituídas provisões para riscos e encargos e impostos
diferidos passivos num valor global de 7,9 M€.
With regard to the Group’s pending disputes with the Tax
Administration – concerning additional tax assessments
totalling approximately EUR 13.6 million – the situation remains
as referred in the previous Follow-up Report: two of the cases
have already been judged, and in one of them the court found
the Group’s appeal fully founded, and in the other the appeal
was dismissed. Both court decisions have been appealed
against, with the Supreme Court of Administration dismissing
the Tax Administration’s appeal against the favourable decision
of the Administrative and Tax Court. This decision is expected
to influence the outcome of the other case whose decision has
been appealed against. The Unicer Group, supported by the
opinion of external lawyers, maintains strong expectations that
the final court rulings will be in its favour. To cover any
responsibilities arising from tax proceedings, the Unicer Group
had provisions for risks and contingencies and for deferred tax
liabilities totalling EUR 7.9 million at the end of 2011.

The Unicer Group maintains an adequate umbrella
insurance coverage, except with regard to the risks associated
to problems affecting a brand, either in terms of the costs
involved in recalling the affected batch of products, or in terms
of the brand’s loss of value as a result of that problem. The
Group concentrates its insurance portfolio in a North-American
insurance company which is currently rated as follows: A1
(corresponding to A+ in CPR’s rating schedule) / stable outlook,
by Moody’s; A / stable outlook, by S&P; and A / stable outlook,

at 100.0% by Unicer) and wound up two companies which had

created with the purpose of organising and managing the
Group’s museum collections and organise cultural and tourism
activities around the world of beer and its traditions and
innovations.
No âmbito do processo de internacionalização do
Grupo Unicer, estão actualmente em fase de constituição três
subsidiárias no exterior, todas detidas a 100,0%, directa ou
indirectamente, pela Unicer, uma em cada um dos seguintes
mercados: EUA, Brasil e Moçambique.
As part of Unicer Group’s international expansion process,
three new subsidiaries are currently being set up abroad (in the
US, Brazil and Mozambique) which will be all directly or
indirectly held at 100.0% by Unicer.
Em relação às suas participadas a 100,0% (directa ou
indirectamente) com sede em Portugal (incluídas nas
demonstrações financeiras analisadas), a Unicer mantém a sua
responsabilidade enquadrada pelos artigos 488º e seguintes do
Código das Sociedades Comerciais (CSC). De acordo com
esta regulamentação, a Unicer “é responsável pelas obrigações
da sociedade”, embora esta responsabilidade não possa “ser
exigida antes de decorridos 30 dias sobre a constituição em
mora” nem se possa mover execução contra a Unicer “com
base em título exequível contra a sociedade” (artigo 501º do
CSC). O mesmo é válido para as participadas com sede em
Portugal que detenham a 100% outras participadas com sede
em Portugal. Neste contexto é de salientar que existem
interpretações do CSC que consideram que se mantém esta
solidariedade de uma entidade para com uma sua participada
relativamente às obrigações desta existentes no momento em
que se deixe de verificar a relação de domínio total (ou seja, no
momento em que a primeira reduzir a sua participação na
segunda abaixo dos 90,0%, depois de ter detido a totalidade do
capital da participada).
Unicer’s responsibility with regard to its subsidiaries in
Portugal held at 100.0%, directly or indirectly (included in the
financial statements analysed in this report) continues to be
governed by articles 488 and subsequent of the Commercial
Companies Code (CCC). According to these regulations, Unicer
“is responsible for the company’s obligations” although this
responsibility may not “be demanded before 30 days have
elapsed after it has been declared in default” nor legal action
taken against Unicer “based on a feasible deed against the
company” (article 501 of the CCC). The same applies to the
subsidiaries that fully control other subsidiaries based in
Portugal. In this regard it should be said that some
interpretations of the CCC consider that this joint liability of an
entity with a subsidiary for the liabilities of this subsidiary that
exist at the time when there ceases to be a relationship of full
control persists beyond this event, i.e., when a parent company,
after holding 100% of its subsidiary, reduces its stake in that
company to less than 90.0%.

Despite the increase in turnover, the Carlsberg Group’s
EBITDA and EBIT once again registered year-on-year declines
in the first nine months of 2012, being still adversely affected by
the rise in commodity prices and even more so by the increase
in logistics costs, especially in Eastern Europe, and marketing
costs. Hence in the referred period EBITDA and EBIT as a
percentage of turnover dropped by ca. 1.5 pp, to 20.7% and
14.9%, respectively. Carlsberg Group reported a net profit for
the first nine months of 2012 of DKK 5.4 billion (ca.
EUR 0.7 billion), which represents 10.6% of turnover (only
0.1 pp less than in the same period in 2011). The net profit for
the period benefited (when compared to the performance of
EBIT) from the reduction of borrowing costs and in particular
from a capital gain on the sale of the premises of an old plant.

decréscimo foi de 2,7%). A autonomia financeira do Grupo
Carlsberg no final de Setembro de 2012 ascendia a 48,1%,
tendo diminuído 0,4 pp face à verificada no final de 2011,
reflectindo sobretudo o aumento sazonal do activo, dado que
face à data homóloga de 2011 a redução da autonomia
financeira foi 0,1 pp, mas também os investimentos realizados,

O BdP, no seu Boletim Económico – Primavera 2013,
publicado a 26 de Março de 2013, prevê que em 2013 a
economia portuguesa decresça 2,3%, com decréscimos de
3,8% no consumo privado, de 2,4% no consumo público e de
7,1% no investimento, parcialmente compensados pelo
aumento das exportações (+2,2%) e pela redução das
importações (-2,9%). O BdP prevê uma taxa de crescimento do
IPC de 0,7% e uma redução do emprego de 3,3%.
In its Spring 2013 Economic Bulleting, published on
26 March 2013, the BoP estimates that the Portuguese
economy will shrink by 2.3%, with private consumption dropping
by 3.8%, public consumption by 2.4% and investment by 7.1%,

No dia 1 de Maio de 2013 entrará em vigor o novo regime
de disponibilização, venda e consumo de bebidas alcoólicas
em locais públicos e em locais abertos ao público, estabelecido
pelo Decreto-Lei nº 50/2013, de 16 de Abril, salientando-se:
The new legal regime on the availability, sale and
consumption of alcoholic beverages in public places and places
open to the public, laid down by Decree-Law no. 50/2013, of
16 April, will come into force on 1 May 2013. Among others, it
establishes the following:
- o aumento da idade mínima, de 16 para 18 anos, para a
aquisição e consumo de bebidas alcoólicas espirituosas
ou equiparadas, mantendo-se a idade mínima de
16 anos para a aquisição e consumo de bebidas

Além disso, no dia 21 de Fevereiro de 2013 o Governo
Português aprovou, em Conselho de Ministros, uma proposta
de lei de alteração ao Código da Estrada, que introduz “uma
redução do limite da taxa de álcool no sangue para condutores
em regime probatório e condutores de veículos de socorro ou
de serviço urgente, de transportes colectivo de crianças e
jovens até aos 16 anos, táxis, automóveis pesados de
passageiros ou de mercadorias, ou de transporte de
mercadorias perigosas, passando a ser sancionados com
coima os que apresentem uma taxa de álcool no sangue igual
ou superior a 0,2 gramas por litro” (face ao limite geral de
0,5 gramas por litro).
In addition, on 21 February 2013 the Portuguese
Government approved in the Council of Ministers a draft
amendment to the Road Traffic Code which establishes “a
reduction in the maximum permitted blood alcohol content for
drivers in a probatory scheme, drivers of rescue or emergency
service vehicles, drivers of collective transport vehicles for
children under 16, and drivers of taxis, passenger or goods
heavy transport vehicles and hazardous materials transport
vehicles, such drivers being imposed a fine when showing a
blood content level of 0.2 grams per litre or higher” (the general

Em Angola, o FMI prevê, no documento de Abril de 2013,
um crescimento do PIB de 6,2% em 2013, com uma inflação
média de 9,4% e um saldo da balança corrente de 3,5% do
PIB.

grow by 6.2% in 2013, with average inflation of 9.4% and a
current account balance of 3.5% of GDP.
Grupo Unicer Unicer Group
O Grupo Unicer prevê registar em 2013 um EBITDA em
linha com a estimativa para 2012 e melhorar o EBIT em cerca
de 3,0%. No entanto, o resultado líquido deverá diminuir, para
um valor em torno de 20,0 M€, reflectindo sobretudo a
perspectiva de agravamento dos custos financeiros, dos custos
não correntes e dos impostos sobre o rendimento.

The Unicer Group maintains significant investment plans for
the medium and long term, with expenditure mainly focused on
the industrial optimisation process in Portugal, and also in a
new brewery in Angola through its subsidiary Unica - União
Cervejeira de Angola, S.A. (Unica). The start of construction
works on this brewery is still in a deadlock. This is a
EUR 100.0 million investment project in which the Group
participates with 49.0% and at least 50.0% should be financed
by borrowed funds (the Unicer Group’s investment should thus
be lower than EUR 25.0 million).

prevendo atingir este objectivo com uma gestão muito criteriosa

(a little less than in 2012). Despite this significant investment
effort the Unicer Group expects its net financial debt to increase
by less than 10.0%, standing in line with its level in the recent
past (this should be achieved through a very selective

De forma a analisar o impacto na capacidade de geração
de fundos e na estrutura financeira do Grupo Unicer de uma
eventual quebra acentuada das vendas do Grupo em 2013,
decorrente nomeadamente da redução do rendimento
disponível em Portugal e do eventual aumento significativo da
taxas aduaneiras que incidem sobre a importação de cervejas
em Angola, a CPR elaborou uma análise de sensibilidade às
previsões do Grupo para 2013, concluindo que, mesmo
considerando um cenário muito pessimista de quebra de
vendas (face ao previsto) de 15% em volume e de 5,0% em
preço, se reduzir os gastos de marketing, os investimentos
e / ou a distribuição de dividendos, o Grupo Unicer deverá
conseguir manter níveis de endividamento financeiro e de
autonomia financeira em linha com o histórico recente.
In order to analyse the impact on the Unicer Group’s fund
generation capacity and financial structure of a sharp fall in
sales in 2013, namely resulting from a steep contraction of
disposable income in Portugal or from a possible significant
increase in Angola’s customs duties on beer imports, CPR has
prepared a sensitivity analysis of the Group’s forecasts for
2013. This has permitted to conclude that, even considering for
2013 a very pessimistic scenario of a drop in sales of 15% in
volume and 5.0% in price (relative to the estimates), if the
Group is able to reduce its marketing expenditure, investment
and / or dividend distribution, it would still maintain its financial
debt and equity / assets ratio on a level in line with those
recorded in recent years.

A-1 Esta notação é atribuída quando a capacidade de pagamento do emitente relativa aos compromissos financeiros em causa é muito elevada ou muito forte. Os compromissos financeiros em que se considere que o emitente possui uma extraordinária capacidade de pagamento serão distinguidas com o sinal mais (+).
A-1 A short-term obligation rated “A-1” is rated in the highest category by CPR. The obligor’s capacity to meet its financial commitment on the obligation is strong. Within this category, certain obligations are designated with a plus sign (+). This indicates that the obligor’s capacity to meet its financial commitment on these obligations is extremely strong.
A-2 Um compromisso financeiro com esta notação é um pouco mais vulnerável a modificações adversas, de conjuntura ou outras, do que os compromissos financeiros notados com “A-1”. No entanto, a capacidade do emitente para satisfazer estes compromissos financeiros é forte.

As notações de rating atribuídas pela CPR são opiniões sobre a capacidade e vontade de uma entidade honrar, atempadamente e na íntegra, os compromissos financeiros (capital e juros) sujeitos a rating.
O(s) rating(s) atribuído(s) pela CPR neste relatório foi(ram) solicitado(s) pela entidade cujos compromissos são sujeitos a rating.
Previamente à atribuição ou revisão de uma notação de rating, a CPR faculta à entidade cujos compromissos financeiros são sujeitos a rating documentação que suporta a notação a atribuir (relatório preliminar de rating), dando-lhe, assim, oportunidade para clarificação ou correcção factual da mesma, para que a notação atribuída seja o mais correcta possível. Os comentários da entidade cujos compromissos financeiros são sujeitos a rating são tidos em conta pela CPR na atribuição da notação.
Posteriormente à atribuição da notação de rating pelo Painel de Rating cabe à entidade cujos compromissos são sujeitos a rating a decisão de publicação ou não da mesma, não havendo possibilidade de qualquer alteração da mesma por parte da CPR. Constituem excepções a esta opção os casos previstos legalmente e a divulgação da contratação de qualquer trabalho de rating sobre produtos estruturados.
Os ratings não constituem recomendações de compra ou venda, sendo apenas um dos elementos a ponderar pelos investidores.
A CPR procede, ao longo de todo o período em que as notações de rating se encontram válidas, a um acompanhamento constante da evolução do emitente, podendo, inclusivamente, antecipar a data de realização do follow-up. Assim, previamente à utilização da notação do rating pelo investidor a CPR recomenda a sua confirmação, nomeadamente através da consulta da lista de ratings públicos no web site www.cprating.pt.
Os ratings baseiam-se em informação recolhida junto de um conjunto alargado de fontes de informação, com destaque para a prestada pela entidade cujos compromissos financeiros são sujeitos a rating, incluindo informação confidencial, a qual é utilizada e trabalhada, com todo o cuidado, pela CPR. Não obstante os cuidados na obtenção, cruzamento e tratamento da informação para efeitos da análise de rating, a CPR não se pode responsabilizar pela sua veracidade, sendo exigível a percepção por parte da CPR de um nível mínimo de qualidade da informação para que se proceda à atribuição das notações de rating.

Ratings assigned by CPR represent opinions on the capacity and willingness of an entity to honour, in due time and in full, the financial commitments (principal and interest) subject to rating.
The rating(s) assigned by CPR in this report was / were sought by the entity whose financial commitments are subject to rating.
Prior to the assignment or revision of a rating CPR provides to the entity whose financial commitments are subject to rating the documents that substantiate the rating to be attributed (the preliminary rating report). This entity is thus given the opportunity to clarify or correct factual details, thus allowing the rating assigned to be as accurate as possible. The comments made by the entity whose financial commitments are subject to rating are taken into account by CPR in the assignment of the rating.
Once the Rating Panel has assigned a rating, it is up to the entity whose financial commitments are subject to rating to decide whether or not this rating will be published, and there is no possibility of CPR changing this rating. Cases provided for in the law and rating analyses on structured products constitute exceptions to this option on publishing.
Ratings do not constitute a recommendation to buy or sell, but only one of the factors to be weighted by investors.
Throughout the entire period during which ratings are valid, CPR monitors the issuer’s performance on a constant basis, and may even bring forward the date of the follow-up. Hence, prior to an investor using a rating, CPR recommends that it be confirmed, namely by consulting the listing of public ratings available at the web site www.cprating.pt. .
Ratings are assigned based on information, including confidential information, collected from a wide group of sources, and in particular from the entity whose financial commitments are subject to rating. CPR uses and treats this information with due care and attention. Although all due care was taken in the collection, cross-checking and processing of the information for the purposes of the rating analysis, CPR cannot be held liable for its truthfulness. CPR must make sure that the information has a minimum level of quality prior to assigning a rating based on such information. .
In the rating process, CPR adopts procedures and methodologies aimed at ensuring transparency, credibility and independence, and also that rating classifications are not influenced by situations of conflict of interests. Any exceptions to these principles are disclosed by CPR together with the rating classification of the financial commitment in question.
