Thank you for taking the time to consider what is an important leadership role for Sanctuary. The information you are about to read has been prepared to provide further information about Sanctuary Group, our mission and values, the role of Group Board Member and guide you through the selection process.

Our mission is to remain one of the UK’s market leaders in the provision of high quality housing, nursing and residential care, and community services for people in need. Our charitable objectives and are at the core of why we exist: to ensure no-one is homeless and that everyone receives the care they need. With over 100,000 homes already under management, a further 30,000 new homes planned, and the growth in our care and support services, we take our role in addressing the UK’s housing and social care challenges seriously.

As well as generating revenue through development, we have several other social and commercial business streams including over 100 care homes managed by Sanctuary Care, specialist and supported housing through Sanctuary Supported Living, our Sanctuary Students university accommodation and a telecare service called Sanctuary365.

High standards of governance and the role of Group Board Members are critical to our success. We are looking for an exceptional and passionate individual who can bring a track record of strategic leadership to help shape our business and ensure we continue to meet our social and corporate ambitions. Regardless of the sector or discipline you come from it is your strategic leadership experience gained either on a board or working at a senior executive level in an organisation of comparable scale and complexity that will be important to us.

With nearly 50 years’ experience and more than 100,000 homes across England and Scotland, Sanctuary is one of the UK's leading social landlords.

As a charitable not-for-profit organisation, we reinvest any surplus we make back into our housing and services, making our communities a place our residents are proud to call home.

We aim to provide an excellent, customer-friendly service. Our residents help us achieve this by challenging our performance and making suggestions about how we can improve.

We are a registered, exempt charity, which means instead of returning a profit to shareholders, every penny we make must be used to improve homes and services, and build new social housing. We are a housing association, which means we provide affordable, social housing for some of the poorest people in society. We own and manage more than 100,000 homes, and to help tackle the UK’s housing crisis we aspire to build 30,000 new homes. This will include a range of tenures to support more people into home ownership, as well as helping to meet the need for additional rented homes. The commercial business streams provide us with a surplus that helps us meet our charitable objectives which are at the core of why we exist: to ensure no-one is homeless and that everyone receives the care they need. Our residents are at the heart of what we do and we have a structure of resident involvement that places residents at the heart of shaping and scrutinising services. Our National Residents Scrutiny Panel is a formal panel responsible for monitoring Sanctuary’s performance against specific regulatory expectations. This has been independently accredited by an external consultancy organisation (Housing Quality Network) for its effectiveness. Tenants are members of the Group Housing Committee and able to both update on scrutiny and hold the Group formally to account. It is through this connection that scrutiny can demonstrate its influence on Group Board.

In 2017/2018, our turnover was £708.1 million and we expect to turnover £1 billion by 2020. Our 13,000 employees are motivated by our mission; and every day embody our shared values of ambition, diversity, integrity, quality and sustainability.

Our Executive Team

Craig Moule BSc (Hons) Group Chief Executive

Craig Moule has been with Sanctuary for 30 years, having joined the organisation in 1989 from Coopers & Lybrand. Craig was appointed Group Chief Executive on 1 January 2019. Prior to this he was the Group's Chief Financial Officer. Craig is an ex-officio member of the Group Board.

Nicole Seymour BA (Hons), MA Group Director - Corporate Services and Co-opted Board Member

As Group Director - Corporate Services, Nicole Seymour is responsible for human resources, learning and development, public relations and communications, customer services, health and safety, governance, and legal services. Nicole is a co-opted member of the Group Board and is the company secretary to Sanctuary and all of its subsidiaries.

Simon Clark BA (Hons) Group Director - Housing

Simon is Group Director - Housing, with responsibility for the management of the Group’s landlord functions across English and Scottish operations. Simon has been with the Group for ten years, starting as Managing Director of Rochford Housing before taking on a variety of national roles leading on customer services. In his current role he oversees driving improvements in service delivery resulting in increased productivity, efficient working and maintaining high levels of customer satisfaction

Peter Martin BA, DipHsg, LLM Group Director - Development

As Group Director - Development, Peter Martin is responsible for leading the Development and Construction teams to achieve the Group’s aspiration to build 30,000 new homes. Prior to this role, Peter was appointed as Senior Development Manager for Sanctuary Scotland, promoted to Head of Development Services and then appointed Director of Sanctuary Cumbernauld. This follows 25 years working in the housing sector.

Nathan Warren BA (Hons), FCCA, MBA, C-DIR Group Director - Commercial

As Group Director - Commercial, Nathan Warren is responsible for developing commercial opportunities for the Group and leading on new business development. Before joining Sanctuary, Nathan spent his career working in the private sector with FTSE listed Rolls-Royce Plc, chartered accountancy practice Grant Thornton and US global oil and defence group Halliburton. During his time with Sanctuary, Nathan has led a number of our operations and worked on corporate planning and business development activities. Nathan was named the Institute of Directors’ New Chartered Director of the Year 2017.

Sarah Clarke-Kuehn BA (Hons) Group Director - Care

As Group Director - Care, Sarah Clarke-Kuehn is responsible for Sanctuary’s care services. Sarah joined Sanctuary in 2011 as Head of Finance - Housing and Communities and since then has undertaken a number of roles including Director of Housing Operations, Commercial Services Director, and Operations Director for Sanctuary Supported Living. Sarah is a qualified management accountant, who started her career at London International Group (FMCG) and progressed from manufacturing into the service sector with RWE npower.

Kevin Heslop BA (Hons) Group Director – Technology

Kevin Heslop is Group Director - Technology and is responsible for teams which support our current technologies, ensuring they are safe, secure and up to date, as well as teams responsible for delivering new and future technologies aligned to the needs of the Group.

Kevin joined Sanctuary in March 2010, working initially as System Development and Support Manager until he was promoted to the role of Director of Technology in December 2014. During his time at Sanctuary, Kevin has been responsible for supporting the roll-out of systems to enable the creation of the internal maintenance services, leading the implementation of OneSanctuary and more recently our Modern Workplace strategy.

Jonathan Lander BSc (Hons), FCA Group Chair

Jonathan Lander retired as a senior partner at PricewaterhouseCoopers LLP (PwC) in 2008, having been with the organisation for over 30 years. At PwC Jonathan was lead assurance engagement partner to public companies, large private and private equity backed companies and businesses with overseas ownership, as well as being a Midlands Leadership team member responsible for strategy, marketing, communications and business development.

Craig Moule has been with Sanctuary for 30 years, having joined the organisation in 1989 from Coopers & Lybrand. Craig was appointed Group Chief Executive on 1 January 2019. Prior to this he was the Group's Chief Financial Officer. Craig is an ex-officio member of the Group Board.

Robert McComb MSc Group Vice Chair and Chair of Remuneration Committee

Robert McComb is a retired investment banker with experience in treasury, structured and asset finance, and debt capital markets. Prior to retiring from Dresdner Kleinwort in 2007, Robert was treasurer of the bank’s $36bn structured credit fund, issuing bonds to investors worldwide. He was a senior member of the bank’s structured finance group, with specific responsibility for structured finance in France.

Since retiring, Robert has been a non-executive chair of a venture capital funded hospitality business and a board member of a small north London housing association. He continues to take a close interest in the financial markets.

Trudi Elliott CBE, BSc Econ (Law and Econs) Chair of Group Housing Committee

Trudi Elliott is a Chartered Town Planner and was formerly a lawyer, practising in both the public and private sectors. In April 2018 Trudi was appointed by the Ministry of Housing, Communities and Local Government as the Chair of the Planning Inspectorate for England and Wales. Prior to this Trudi was Chief Executive of the Royal Town Planning Institute; Director of the Government Office for the West Midlands; Chief Executive of West Midlands Regional Assembly (Regional Planning Body); Director of Local Government Practice (West Midlands); and Chief Executive of Bridgnorth District Council.

Thelma Stober BA (Hons) Law, CEDR Accredited Mediator Group Board Member

Thelma Stober is a Senior Public Sector Solicitor and Mediator. She is currently the Corporate Legal Adviser to the Local Government Association and its associated companies, where she delivers legal advice and company secretarial support on all aspects of law relating to public, administrative, constitutional, company, commercial, local government and corporate governance. Thelma is also a Lay Member of Herts Valley Clinical Commissioning Group and chair of its Primary Care Co-Commissioning Committee.

Elwyn Roberts MA, FCA Chair of Group Audit and Risk Committee

Elwyn Roberts is an engineering graduate and qualified as a Chartered Accountant with Deloitte Haskins and Sells in Cardiff. He became a partner in the audit and assurance business of PwC in 1990 and retired from the organisation in December 2011. While at PwC, Elwyn was involved in developing the firm’s housing association portfolio in Wales and the South West.

Dr Gareth Tuckwell Dip. Pall.Med (Univ of Wales), MRCGP Group Board Member

Gareth Tuckwell brings many years of experience in clinical leadership, care delivery and clinical governance to the Group. Gareth was Chief Executive Officer of Burrswood Hospital, Kent, from 2007 for a five-year term, Clinical Director of Hospice in the Weald from 2003 to 2007, and Regional Director of Macmillan Cancer Support from 2000 to 2003.

Denise Plumpton BSc (Hons), CERTIoD Group Board Member

Denise Plumpton is currently a non-executive of CSW Sport and Chair of its Audit and Governance Committee. Denise is also an active member of the Greater Birmingham Chamber of Commerce. Since 2010 Denise has worked as an Independent Strategic Consultant advising and directing companies to improve their performance, in particular focusing on developing and delivering strategy, and enhancing customer service and process efficiency.

Andrew Manning-Cox BA Law, MA Law, CEDR Accredited Mediator, FCIArb Co-opted Board Member

Andrew Manning-Cox retired as Senior Litigation Partner from Gowling WLG (UK) LLP in 2018, having been with the organisation for 40 years. He specialised in dispute resolution world-wide. Andrew is now in practice as an Arbitrator, Mediator and a Notary Public.

Nicole Seymour BA (Hons), MA Group Director – Corporate Services and Co-opted Board Member

As Group Director - Corporate Services, Nicole Seymour is responsible for human resources, learning and development, public relations and communications, customer services, health and safety, facilities, governance, and legal services. Nicole is a co-opted member of the Group Board and is the company secretary to Sanctuary and all of its subsidiaries.

Nicole successfully completed Sanctuary’s graduate programme in 2014, and initially worked in its business development team before setting up a new service for the strategic oversight of complaints, management of enquiries from key external contacts, and the maintenance of policies and procedures across the Group

Role profile

Reporting to: Group Board Members report directly to the Group Chair

Main purpose

• Provide leadership within a framework of prudent and effective controls that enable risk to be properly assessed and managed.

• Set the strategic aims, values and objectives, ensuring that the necessary resources to deliver these are available.

• Set the values and standards, ensuring that obligations to customers, staff and other stakeholders are understood and met.

Key accountabilities

• To set plans and objectives to achieve Sanctuary Housing Association’s (the Association’s) and broader Sanctuary Group (the Group) strategies.

• To set the core values and objectives of the Association (and where applicable the Group) and ensure compliance with them.

To establish and maintain financial control by:

o approving the business plan;

o approving the accounts;

o approving new borrowing facilities; and

o approving the budget.

• To agree policies and make decisions in all areas of significant financial risk for the organisation.

• To agree key policies for the organisation that raise material issues of principle.

• Contribute to development of the Group’s Risk Management Framework and monitor activity against it.

• To help establish and oversee a Group framework of delegation and systems of internal control; and to review these annually.

• To monitor overall business performance in relation to business plans, budgets, controls and decisions, taking into account customer feedback and performance of comparable organisations.

• To ensure that the Association’s affairs are conducted lawfully and in accordance with generally accepted standards of performance and probity.

• To follow the Association’s constitution and governance documents in appointing and, if necessary, removing the Group Chair.

Key terms and conditions

The role

Group Board Member

Remuneration

£20k per annum

Time commitment

30 days per annum – this includes Board meetings, committee meetings, strategic Board events, training and induction, reading and preparation for Board meetings, and attendance at our customer and other stakeholder events. You may be required to devote additional time particularly when the Association is undergoing a period of increased activity. At certain times it may be necessary to convene additional Board, Committee or general meetings which will be done in accordance with the Constitution.

Term of Office

Board members will be subject to annual election at the Group’s AGM and serve a maximum of two terms of three consecutive years as a Board member. A third term of up to three years may be allowed in exceptional circumstances.

Key dates and the selection process

Closing date: Monday 18th March 2019 at 12 noon.

We will be in touch with candidates by Monday 25th March to advise on the outcome of their application.

First interviews: Wednesday 3rd April 2019

Longlisted candidates will be invited to an interview with a Campbell Tickell panel. This will take place at Third Floor, Olympic Office Centre, 8 Fulton Road, Wembley, Middlesex, HA9 0NU.

Final interviews: Tuesday 30th April 2019

The final stage of the process will be a panel interview. The panel will comprise of Sanctuary and Campbell Tickell representatives. This will take place at Sanctuary Head Office in Worcestershire.
