Equity Plans• Equity was first introduced to employees following the IPO in 2016• Free shares awarded to all to celebrate the IPO• Sharesave (UK and Int.) and US Stock Purchase Plans launched • Performance Share Plan for Executives
Goal: • Give employees opportunity to have ownership in the company• Share success in an inclusive working environment• No exposure to risk during 3 year saving period
Design:• All employees, globally in 26 offices since IPO in 2016
Challenge:• Increase take up of the Sharesave/US Stock Purchase Plan among the 25-34 age range
and newly acquired businesses• Budget and multiple locations
Engagement Approach:• Gender neutral communications plan designed to focus engagement on the
25-34 age range• Representing 50% of our population

o We have 28 Sustainable Living brands. They grew 69% faster than the rest of the business and deliver 75% of the company’s growth.

Transition Award - Principle
o The TSA is calculated by taking a pre-determined percentage of an employees target bonus and multiplied by four.
o This value is then converted to conditional shares.
o 25% of the award vests annually over the following four years subject to performance.
o The vest is conditional on the employee investing the same pre-determined percentage of bonus into MCIP each of the four years.

Why we created the TSA
o Bridge the vesting gap.
o Align employee Total Annual Reward.
o Align employees to Unilever performance immediately.
o Integration between Unilever and newly acquired companies.
o Link short term performance and reward with longer term “skin in the game”.

o Reduced risk / reduce cost.
o Simplification.
o Aligning performance form the outset, between current employees and Unilever.
o No longer “money for old rope”.
o Reduced number of awards to administer.
o Reduced administration.
