April 2018 1 Cisco Partner Plus Champions Club Terms and Conditions - EMEAR The Cisco Partner Plus Champions Club Challenge (the “Challenge” or “Event”) offers Partner Sales Representatives enrolled in Cisco’s Partner Plus Program the chance to attend the 2018 Cisco Partner Plus Champions Club at Cisco’s chosen destination. (to be selected by Cisco at its discretion). The Cisco Partner Plus Champions Club was formerly known as Cisco Winners Circle The Challenge will run during Cisco’s Fiscal FY2017 (from July 31, 2017 through July 27, 2018) (“Challenge Period”). All shipments must be completed no later than July 30, 2017 to be considered eligible for this challenge. The Challenge is unavailable in the Nordics region, i.e. Denmark, Finland, Iceland, Norway and Sweden. Pre-qualification Criteria: Each Partner Sales Representative must be employed by a Cisco Channel Partner (“Partner”) enrolled in the Cisco Partner Plus Program and Cisco Rewards platform currently and at all relevant times during the Challenge Period. Additionally, the Partner (that employs the Partner Sales Representative) must have achieved over 100% of its annual Cisco Partner Plus Program incentive targets and minimum Cisco sales to Midmarket customers of USD $500,000.00 for Partner Plus Elite Partners or USD $300,000.00 for Partner Plus Prestige Partners during the Challenge Period. The Partner Sales Representative must also have received joint nomination and authorization to participate in the Challenge from Cisco and Senior Management of his/her employing Partner. A “Partner Sales Representative” is defined as a single contributing quota- carrying, Midmarket-focused salesperson who does not have any direct reports and is not a management-level employee. Participants must be aged 18 years or over. The Challenge is not open to employees of Cisco, any contractors or agents of Cisco, or anyone professionally involved in the administration of the Challenge. Partner Sales Representatives who meet Pre-qualification Criteria for their geography are eligible for the Challenge, subject to these Terms and Conditions. Up to one hundred (100) winning places (a total of one hundred (100) travel packages to the Cisco Partner Plus Champions Club 2018) are available for this Challenge. The winning places will be allocated to the one hundred (100) Partners with the highest Cisco Partner Plus incentive achievement during the Challenge Period (i.e., Partners with the greatest percentage over 100% in relation to what they have achieved vis-a-vis their Cisco Partner Plus Program incentive target for the Challenge Period), with a maximum of one (1) travel package being awarded to each winning Partner. Each travel package includes travel for one winning Partner Sales Representative only (no guests). Cisco will notify the winning Partners by email within twenty (20) working days after the end of the Challenge Period. All decisions regarding winning Partners and non-winning Partners are final. Each winning Partner must, by August 30, 2018, select the winning Partner Sales Representative (who meets the Pre-qualification Criteria) to attend the 2017 Winner’s Circle on behalf of that Partner and register by mid September 2018, such winning Partner Sales Representative via Cisco’s designated registration website. If a Partner does not so register by mid September, 2018 such Partner (including the Partner Sales Representative) loses its winning place, and the Partner with the next highest Cisco Partner Plus incentive achievement, which has not already received a winning place, will be awarded that travel package.

Cisco Partner Plus Champions Club Terms and Conditions - EMEAR

• The Cisco Partner Plus Champions Club Challenge (the “Challenge” or “Event”) offers Partner Sales

• Each travel package includes air travel, accommodations, and attendance at the Partner Plus Champions Club Event.

• Cisco will check incentive target achievement data to track Partner performance during and after the Challenge Period. Partners can view their performance against the Partner Plus Champions Club Leaderboard on www.partnerpluschampionsclub.com.

• Certain portions or aspects of the travel packages may be subject to separate terms and conditions, and providers of any portion or aspect of the travel packages do not endorse the Challenge.

• All travel packages are subject to availability. Travel packages will be Event and date specific and cannot be exchanged or transferred. Cisco reserves the right to amend the Event and dates due to circumstances beyond its reasonable control and where circumstances make this unavoidable, but will take all reasonable steps to inform the Partner or Partner Sales Representative within 2 weeks of the Event. - If Partner determines that it cannot or does not want to send or include a Partner Sales

Representative to the Partner Plus Champions Club Event, Partner may request cash instead. In such Event, Cisco will determine a fair value based on the variable cost of the Partner Plus Champions Club Event.

- Partners who register and book airfare for the Event and then cancel for any reason, will not be eligible for cash.

• Partner must ensure that all recipients of a travel package bear responsibility for the payment of any

and all taxes (including any increased individual income or other tax or national insurance liabilities), duty, national insurance and /or licenses and / or other fees or costs that may apply to or which the recipient of the travel package may incur under or in connection with the receipt of such travel packages unless, in each case, Cisco agrees otherwise in writing; and Partner shall further ensure that the recipient obtains all necessary documents including valid passports, visas, and travel insurance, and agree explicitly to comply with all health, safety, travel and other government regulations and advisories.

• Cisco reserves the right to refuse any Partner’s participation in this Challenge. Contact your Cisco Account Manager for further information.

• Any person awarded a place at Partner Plus Champions Club will need to ensure they have personal travel insurance to cover their personal belongings and personal injury during the period of the incentive trip.

• Products purchased to qualify for this Challenge may not be returned to Cisco except by a valid RMA where the product is concluded by Cisco to be faulty. In the case where a product has been returned and reimbursed via RMA, Cisco reserves the right to cancel the Challenge reward if the resulting eligible goods purchase value is below the Challenge threshold.

• Nothing in these terms excludes liability for death or personal injury caused by Cisco’s negligence or for any other liability that cannot be excluded by applicable law.

• IN NO EVENT WILL CISCO BE LIABLE FOR ANY LOST DATA, REVENUE OR PROFIT, OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, REGARDLESS OF CAUSE (INCLUDING NEGLIGENCE), ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE A PRIZE, EVEN IF CISCO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL CISCO'S LIABILITY UNDER OR IN CONNECTION WITH THE USE OR INABILITY TO USE A PRIZE EXCEED THE MANUFACTURER OR SUPPLIER’S SUGGESTED RETAIL PRICE FOR THE PRIZE.

• Partner shall ensure that its employees grant Cisco and its agents and assignees full permission and authority to use, publish, and display the employee's name, voice, and photograph or other likeness,

as well as identifying information such as the name of participant employer, for advertising or other related purposes in any media without additional compensation unless prohibited by law.

• Partner shall ensure that Partner and all Partner employees bear responsibility for compliance with any applicable laws, rules and regulations, contractual limitations and/or office policies regarding participation in this Challenge or acceptance of prizes under this Challenge.

• Cisco reserves the right to amend these terms and conditions at any time and to modify or cancel the Challenge at any time without notice and without any liability to Cisco, owing to circumstances beyond its reasonable control and where circumstances make this unavoidable. This Challenge is not combinable with any other program, promotion or offer without Cisco’s prior written consent.

• Cisco is dedicated to the highest standards of legal compliance, ethical behavior and accurate disclosure to the public. We understand many jurisdictions and companies have different gift and ethic policies and due to these widely varied policies we cannot be certain of all the different gift rules and regulations. In order to make certain that Partner or a recipient does not receive a “gift” from Cisco, we respectfully request that Partner only accept the relevant item if it is in compliance with Partner's ethics and gift guidelines and regulations.

• Personal data will be processed in accordance with Cisco’s Privacy Policy, which can be found at: http://www.cisco.com/web/siteassets/legal/privacy.html.

• Cisco is: Cisco Systems, Inc., 170 West Tasman Drive, San Jose, CA, 95134. • By participating in this Challenge and/or by permitting Partner employees to participate in this

Challenge, Partner hereby: - Accepts these conditions; - Confirms that Partner has all necessary consents and authorizations including, without

limitation, those of any parent company or affiliate, to participate in the Challenge; - Confirms that this Challenge and/or the giving of any prize to any prize recipient does not

conflict with any of Partner's ethical or other company policies; - Is fully informed about the Challenge; and - Confirms that Partner has provided written authorization for Partner employees to participate in

this Challenge.
