Instructions to ProponentsInstructions to ProponentsInstructions to ProponentsInstructions to Proponents 1. GENERAL The Fredericton International Airport Authority Inc. (FIAA) has implemented a ground transportation program that includes a Primary Taxi Operator and Prearranged Taxi Licensees. This program began on January 01, 2011. The Primary Taxi Operator is the only company authorized by FIAA to queue taxis at the curb in front of the Air Terminal Building (ATB) and use the taxi queue locations at the Fredericton International Airport (YFC). Prearranged Taxi Licensees may perform prearranged pickups in the short term parking lot and may pickup a waiting passenger at the curb if there are no Primary Taxis in the queue. Note that all vehicles using the short term parking lot including Prearranged Taxis are subject to the short term parking fee upon exiting the lot. For information purposes, Appendix A provides a copy of the Terms and Conditions of a Prearranged Taxi License and includes a sketch of the facility. The work under this contract comprises carrying out the following ground transportation services as the Primary Taxi Operator:

(a) Supply taxis for each arriving scheduled flight as specified herein. (b) Monitor arrival times via FIAA website or terminal displays or other means

in order to accommodate actual arrival times. Appendix B provides a sample flight schedule indicating arrival times and passenger capacities.

(c) Supply taxis on call as specified herein. (d) Courteous service with taxis and drivers that are neat and clean as

specified herein.

The Primary Taxi Operator must be licensed in the City of Fredericton and the requirements as stipulated in the associated by-laws will apply to operations at the YFC. These requirements include no smoking in taxis, no requesting by driver to ride share and current identification decals issued by the City of Fredericton affixed to all taxis. There will be no loitering of Taxi Drivers allowed beyond the taxi queues. The monthly totals of Primary taxis picking up passengers from the taxi queue from April 2008 to September 2013 are provided in Appendix B. The taxi statistics are provided for information only. FIAA will not be responsible in the event these figures are not attained. Proponents must evaluate the business opportunity based on their

own expectations. The successful proponent will be required to provide the FIAA with their

statistics of pickups on a monthly basis. A security contractor has been engaged to provide assistance in implementing the terms and conditions of the taxi agreements and licenses on behalf of FIAA. 2. DURATION OF AGREEMENT

The duration of this agreement is for 2 years, from January 01, 2014 to December 31, 2015. FIAA may terminate the agreement for cause by giving notice in writing to the successful proponent. Cause may include, but not necessarily limited to, repeating issues of non-compliance with the requirements herein. The successful proponent may terminate the agreement for convenience by giving 60 days notice in writing to the FIAA. FIAA may terminate the agreement for convenience by giving 60 days notice in writing to the successful proponent. 3. LEVEL OF SERVICE The successful proponent shall:

(a) Provide taxis in the queue for every arriving flight. Past statistics indicate that on average, a taxi is required for every 8 persons on an arriving flight. Though the actual demand can vary significantly, e.g. from as many as 13 for a 50 passenger aircraft to as few as 1 for the same size aircraft.

(b) Install a telephone in the arrivals area of the terminal building that provides direct service to their dispatch at all times.

(c) Deliver a taxi to the queue for passenger pickup within 15 minutes of a request, provided driving conditions are typical.

4. TRAINING FIAA will provide the successful proponent with course material (e.g. DVD/computer disc) concerning “Personnel Training for the Assistance of Persons with Disabilities Regulations”. The successful proponent will circulate this material to its employees in order that all Primary Taxi Drivers and Dispatchers complete the training. Approximately 30 to 45 minutes are required to complete the training.

5. FEES

In consideration for the business opportunity to be the Primary Taxi Operator, the successful proponent shall pay to FIAA a monthly fee. This fee plus HST must be paid to the Fredericton International Airport Authority Inc. on the first day of each month. Twelve postdated cheques shall be provided to FIAA on an annual basis. Note that the proposed fee submitted by the proponents formulates only 25% of the evaluation criteria and the remaining 75% is established by “customer service” and “value-to-the-customer” parameters, refer to Part II. 6. FARES A zoned fare structure will be established and be based on the submission of the successful proponent, refer to Part II. The successful proponent will also apply the same fare structure for travel to the airport. A zone map with rates will be posted in the terminal building and on the FIAA website indicating the rates and that these rates apply in both directions for the Primary Taxi Operator. Rates to destinations outside of the zones shown should be reasonably prorated up or down relative to a distance further or closer than these zones. During the agreement period, the successful proponent can make application to change the fare rates and zones. The application will require complete rationale and justification (e.g. significant change in fuel prices) to be considered by FIAA. FIAA will not unreasonably withhold approval. Should there be a significant reduction in operating costs, such as fuel prices, FIAA may approach the successful proponent to establish appropriate fares. Operating costs at the time of executing an agreement will be the benchmarks. Although drivers are not permitted to suggest ride sharing, passengers are certainly able to request ride sharing. There shall be no charge for extra passengers traveling to the same destination, provided there is sufficient space in the taxi. Proponents shall propose a fare structure should passengers request to ride share to different destinations. The posted fares will include the harmonized sales tax, HST.

7. SECURITY DEPOSIT Upon execution of the agreement for the Primary Taxi Operator, the successful proponent will have deposited with FIAA a Security Deposit in the amount of five thousand dollars, $5,000.00. The Security Deposit will be composed as follows: (i) a Certified Cheque or bank draft payable to the Fredericton International Airport

Authority Inc. and drawn on a member of the Canadian Payments Association or a local co-operative credit society that is a member of a central co-operative credit society having membership in the Canadian Payments Association (hereinafter referred to as "certified cheque" or "bank draft").

and/or

(ii) an Irrevocable Letter of Credit, being an undertaking by a financial institution that is a member of the Canadian Payments Association, or a local co-operative credit society that is a member of a central co-operative credit society having membership in the Canadian Payments Association to pay on demand the amount of the Security Deposit to FIAA on presentation of a written demand for payment (hereinafter referred to as "Letter of Credit").

Where the Security Deposit is in the form of a certified cheque or bank draft, FIAA shall pay interest annually to the Primary Taxi Operator at the prime rate determined by FIAA’s bank. Interest shall be paid from the day the Security Deposit is deposited in the Corporation’s Bank Account. No interest will be paid in respect of a Security Deposit in the form of an irrevocable letter of credit. The Security Deposit retained by FIAA, for the term of the agreement or until the agreement otherwise comes to an end, whichever comes first, shall be returned to the successful proponent or shall be credited to its account; however, if the successful proponent fails to pay all sums herein described and/or impairs or damages the building or the premises or any part thereof during the currency of the agreement, FIAA may apply the Security Deposit and accrued interest, if any, or any part thereof to the arrears of sums and/or damages and injuries. If the Security Deposit is so applied by FIAA, then within fifteen (15) days of having received written notification, the successful proponent shall restore the Security Deposit to the original amount stipulated. The application of the Security Deposit and interest by FIAA shall not constitute a waiver nor in any way defeat or affect the rights and remedies which FIAA has in law.

8. NON-COMPLIANCE Non-compliance with the requirements of the agreement will result in a non-compliance fee charged to the successful proponent and the issuance of a voucher to an impacted passenger. Each occurrence of non-compliance will cause a charge of a $20 to the successful proponent. Examples of non-compliance include, but not limited to:

• Smoking violation • Greater than a 15 minute wait for a taxi called at a time of no driving delays • Driver suggestion of ride sharing • Untidy taxi or driver • Not supplying a service as described in the successful proposal

FIAA’s security contractor will take note of non-compliances and document the available information such as names, times, incident description, taxi vehicle license number, etc. Non-compliances will be reported to the successful proponent by fax the next business day. A response is required within 5 business days should the successful proponent wish to challenge the issuance of a non-compliance. The successful proponent shall supply FIAA with $20 vouchers. FIAA will provide a $20 voucher to a passenger that experiences a non-compliant service. 9. 10. SUBMISSION OF PROPOSALS Sealed proposals must be submitted by the closing date and time to the following address: Fredericton International Airport Authority Inc. RFP CLOSING DATE AND ACCEPTANCE PERIOD Proposals are to be received before 3:00pm Fredericton Time on December 3, 2013 (hereinafter referred to as the Closing Date). Any proposals received after this closing date and time will not be considered. NOTE THAT PROPONENTS MUST HAVE THEIR ACCOUNT IN GOOD STANDING WITH THE FREDERICTON INTERNATIONAL AIRPORT AUTHORITY INC. IN ORDER FOR THEIR BID SUBMISSION TO BE OPENED AND CONSIDERED. Proposals will be confidential and opened in private. This Proposal shall remain open for acceptance by FIAA for a period of 15 days from the Closing Date. 12. ACCEPTANCE OF PROPOSAL Each proponent submitting a Proposal, by submitting a Proposal, accepts all of the conditions and stipulations set out herein, and acknowledges and agrees that FIAA will have no liability or obligation to any proponent except only the proponent, if any, awarded the work as Primary Taxi Operator by FIAA in its sole discretion, and agrees that, if not awarded the project, then, whether or not any express or implied obligation has been discharged by FIAA, FIAA shall be fully and forever released and discharged of all liability and obligation in connection with the Request for Proposals and all related matters, and all procedures which preceded. FIAA reserves the right, at its discretion, to negotiate with any proponent as it sees fit, or with another proponent or proponents concurrently. In no event will FIAA be required to offer any modified terms to any other proponent. FIAA shall incur no liability to any other proponent as a result of such negotiations or modifications. FIAA reserves the right to decline/to accept any offer submitted. Notwithstanding anything contained herein or in any statement made at any proposal briefing, FIAA shall have no obligation to accept any proposal.

1. PROPONENT’S PROGRAM Each proposal submitted shall include a description of the proponent’s program for providing the services requested. This program shall meet the requirements of the City of Fredericton Taxi bylaw and the specific requirements as described in this RFP package as a minimum. However, proponents may propose a program that provides an increase level of service to the customers. Proposed programs could include new fleet of vehicles, vehicles of a particular make or size, uniformed drivers, frequency of vehicle cleaning inside and out, vehicle maintenance such as snow tire use, training additional to Taxi Host, number of taxis at the curb for each arriving flight, etc. Proposed programs shall describe the fleet, dispatching procedures and coordination on site as well as any plans that would provide for improved customer service and added value to the customer. 2. FARES FIAA has developed a draft zone map, see Appendix D. Proponents shall submit their proposed fares for the 11 zones (A to K) indicated or propose an alternate zone map and related fares. The successful proponent will also apply the same fare structure for travel to the airport. A zone map with rates will be posted in the terminal building and on the FIAA website indicating the rates and that these rates apply in both directions for the Primary Taxi Operator. There shall be no charge for extra passengers traveling to the same destination, provided there is sufficient space in the taxi. Proponents shall propose a fare structure for passengers requesting to ride share to different destinations, e.g. each passenger have their regular fare reduced by a proposed dollar amount.

3. PAYMENT

Proponents shall propose a monthly fee payable to the FIAA as consideration for the business opportunity to be the Primary Taxi Operator. NOTE: Proponents shall NOT include HST in their proposed monthly fee. 4. EVALUATION CRITERIA Proposals that are responsive (i.e. which meet requirements set out in the RFP) will be reviewed, evaluated and rated by the FIAA Evaluation Committee as follows:

The proposal having the highest rating in each category will be awarded the maximum rating for that category, with each other proposal pro-rated accordingly. The maximum rating for “Fares to passengers” will be awarded to the proposal having the lowest fare structure, i.e. lowest cost to the customers. The highest monthly payment to FIAA is assigned a points rating of 25. The remaining proposals are awarded a rating in accordance with the following formula:

proponent monthly payment / maximum monthly payment x maximum points rating 25

The Proponent receiving the highest Total Score is the first entity that the Evaluation Committee will recommend being approached to establish an agreement.

Terms and Conditions

The Fredericton International Airport Authority Inc. (FIAA) has implemented a ground transportation program that includes a Primary Taxi Operator and Prearranged Taxi Licensees. Prearranged Taxi Licensees must perform prearranged pickups in the Short Term parking lot. The driver must provide the name of the passenger for pickup to FIAA when requested. Solicitation is prohibited. Note that all vehicles using the Short Term parking lot including Prearranged Taxis are subject to the short term parking fee upon exiting the lot. Refer to the attached sketch of the facility. Prearranged pickups of crew members of scheduled aircraft operators will be done in the Short Term Parking Lot and are subject to the short term parking fee upon exiting the lot. The current cost to exit the Short Term Parking Lot is $2.00. Prearranged Taxis may only park in the Short Term Parking Lot. The Primary Taxi Operator has exclusive access and rights to the taxi queue locations. Special Provisions for Curb Pickup

Prearranged Taxi Licensees may pickup a waiting passenger at the curb if there are no Primary Taxis in the queue. The fare zones for a curb pickup are shown on the attached zone map and the fare to be charged is the same as posted for the Primary Taxi Operator, current fares are listed on the attached zone map. Taxis and drivers performing a curb pickup must be licensed in the City of Fredericton and the requirements as stipulated in the associated by-laws will apply to operations at the YFC. These requirements include no smoking in taxis, no requesting by driver to ride share and current identification decals issued by the City of Fredericton affixed to taxis. Although drivers are not permitted to suggest ride sharing, passengers are certainly able to request ride sharing. There shall be no charge for extra passengers traveling to the same

destination, provided there is sufficient space in the taxi. Should passengers request to ride share to different destinations then the total cost is the posted fare to the closest destination plus the taxi company’s regular fare from one destination to the other, passengers would share equally the total cost. A security contractor has been engaged to provide assistance in implementing the Terms and Conditions of the taxi agreements and licenses on behalf of FIAA. The Fredericton International Airport Authority Inc. may, without any prior notice, cancel the License for Prearranged Taxi Operator immediately upon any violation of these Terms and Conditions. The Fredericton International Airport Authority Inc. will notify the Prearranged Taxi Operator by facsimile should this occur and will indicate the violation.
