RELEASE FORM If you wish to audition for The X Factor you must be 14 years of age or over on April 1, 2015. You must complete and sign the attached Contributor Release Form. PRIOR AND/OR CURRENT AGREEMENTS OR ARRANGEMENTS It is generally a condition of participation in The X Factor that you have not previously entered into any commercial, contractual, sponsorship or other agreement or arrangement. If you have entered into any such arrangement, you must provide all requested details in the attached Contributor Release Form, bring along a signed copy with you on the day of your audition and it is extremely important that you tell our Contestant Coordinator. Regarding management, although we may recognise genuine pre-existing management arrangements, please note that, in the absence of any such arrangement, once you have auditioned for The X Factor you are not permitted to enter into a management arrangement, for the duration of your time on The X Factor and a period of time thereafter. If you are unsure about your situation, please speak with our Contestant Coordinator. PARENT / LEGAL GUARDIAN If you are under 18 years of age (today), your Contributor Release Form must be signed by your Parent/Legal Guardian. If you are under 16 years of age (today) your parent / legal guardian must be with you during the audition process. CATEGORIES You may audition in one of the following categories: SOLO MALE 14 or over and under 25 . SOLO FEMALE 14 or over and under 25. SOLO MALE OR FEMALE 25 or over GROUPS 14 or over Please tick the category on the Contributor Release Form that applies to you. If you are a group you must also list your group name and the number of people in your group. Each member of your group must complete their own individual Contributor Release Form. ON THE AUDITION DAY Please take your signed Contributor Release Form to one of our Registration Desks to register for an audition. At the Registration Desk you will be asked for your proof of age. i.e. Birth Certificate, Passport, Drivers License, Proof of Age Card etc. (Student cards are not acceptable). SONG CHOICE In this audition you will be asked to sing a verse and chorus from a cover song of your choice. You may also be asked to sing up to four songs so be prepared and complete the attached song choice form with your chosen tracks. There will be no musical accompaniment during this audition. You will sing a cappella which means there will be no backing track in your auditions. Original songs will not be heard. Your selection of song should include current songs that have recently been in the charts or played on the radio.

THIS AUDITION COULD CHANGE YOUR LIFE FOREVER! Were expecting a big turnout and auditions will be given on a first come, first served basis so get there early. We will endeavor to audition everybody that arrives within the registration times specified, please take note of these. Due to the number of people auditioning, the process could potentially take all day and, in some of the larger cities, will continue into the evening. Youre welcome to bring friends or family for moral support. Please bring enough food and drink for the day. If you are unable to attend your local audition venue, youre more than welcome to register and audition at any of the other locations. There is no guarantee that there will be online auditions so we would highly recommend that you audition at your closest venue.

THE X FACTOR" (the "Programme"). ATTATCHMENT. CONTRIBUTOR RELEASE FORM.

BETWEEN

FREMANTLEMEDIA AUSTRALIA PTY LIMITED, 110-112 Christie Street, St Leonards NSW 2065 (the Company) AND

The Contributor (also referred to below as I / me / my- as the context requires)

TERMS AND CONDITIONS Requirements for participation in the Programme 1. I acknowledge that the nature and purpose of the Programme (which expression shall include without limitation the series of

programmes entitled The X-Factor, any spin off programme or product based thereon and any audition, competition, recording, interview, event, promotion, publicity or activity relating thereto including but not only related home entertainment product videogram releases (including releases on Digital Video Disc (DVD), videocassettes, video discs and any other form of optical, magnito-optical or magnetic storage device) or any related interactive/online activity), which has been fully explained to me, is the search for a recording artist or a group of recording artists(the Competition) and that in signing this agreement I hereby consent to the recording and use of my contribution to the Programme on the terms and conditions herein stated .

2. I agree and acknowledge that by signing this Release Form, the Company may use any recording of my contribution in and to the Program, including my participation in Companys auditions and/or.the Judges auditions (Auditions) (or any part thereof) as it deems fit in any and all media, throughout the world wide, in perpetuity.

3. I agree to make myself available at such times and in such locations as the Company may reasonably require in respect of the Programme including without limitation for the purposes of tests, auditions, rehearsals, publicity trailers, photographs, recordings, retakes and other contributions to the Programme, including but not limited to any literary, dramatic, musical or artistic work or sound recording or cinematographic film (within the meaning of the Copyright Act 1968 (Cth) (the Act)) incorporated therein in which I own copyright (collectively my Contribution). I acknowledge that the Company, Simco Limited trading as Syco (Simco) as format owner of the format, The X Factor, and the broadcaster, will have no liability to me jointly or severally if I am unable to attend or take part in the Competition and the Company may disqualify me from the Competition and/or withhold, withdraw or revoke any prize that I may have won, at the Companys sole discretion.

4. I will comply fully with the rules and conditions of the Programme as devised from time to time by the Company and Simco (the Rules), I agree to behave appropriately when taking part in the Competition and I agree to observe all procedures and rules and obey all instructions in force or given by a member of the Company or of any locations staff in connection with production of the Programme and the management of the locations and the fire safety and security arrangements in those locations. I acknowledge that the Company and Simco each reserve the right to amend the Rules or terminate the Competition at any time without any liability to me. I will further promptly comply with all directions and requests of the Company and its staff.

5. As of 1 April 2015 I am 14 years of age or over and will present to the Company supporting documentation by way of proof (including without limitation an original birth certificate plus photo ID, a current drivers licence or a valid passport) at the time of my audition. I acknowledge that the Company reserves the right to require at any time proof of my identity and/or eligibility.

6. I hereby warrant that I am a legal resident of Australia, hold a valid passport and have applied to be a contestant in the Programme from within Australia. I further warrant that I am in a good state of health and capable of taking part in the Competition.

7. I acknowledge that it is generally a condition of participation that I have not previously entered into any commercial, contractual, sponsorship or other agreement or arrangement with any person, firm or company in respect of my musical and/or performing abilities or the products thereof or in respect of my name likeness, image or biography. However, should I have entered into such an arrangement, I will immediately notify the Company as soon as is reasonably practicable and I will provide the Company with any and all documents in connection with such current or prior agreements or arrangements immediately on request by the Company. I acknowledge that the Company may take such action as it considers in its absolute discretion to be appropriate including without limitation disqualifying me from the auditioning process.

8. I hereby warrant that neither I, nor any member of my immediate family (including without limitation co-habiting partners), has any association and/or connection with any of the following:- a. the Company, Simco, Sony Music Entertainment Australia Pty Ltd. (Sony) (including without limitation any associated

company of the Company, Simco or Sony) or any of their respective employees; b. the host/s, judges or mentors of the Programme; c. the broadcaster of the Programme, or any of its associated companies or any of their respective employees; d. any on-air or off-air sponsors of the Programme or their respective advertising agencies; e. any sub-contractors or agents offering any service in respect of the Competition.

9. I warrant that I have truthfully and accurately completed and have in no way been misleading regarding the any forms that I received in relation to the Programme, in completing and signing this agreement and in all personal details requested by and supplied to the Company by me. I acknowledge that the Company reserves the right exercisable at any time in its sole discretion to disqualify me from the Competition or auditioning process, and/or to withhold, withdraw or revoke any prize won by me in connection with the Programme should at any stage I supply untruthful, inaccurate, misleading and/or fraudulent personal details and /or information, break the Rules, fail to provide proof of my identity and/or eligibility, fail to behave appropriately or be otherwise in breach of this agreement.

10. I hereby undertake to disclose to the Company details of any criminal convictions and/or convictions not spent other than driving offences which have not resulted in a ban or more serious sentence. I shall notify the Company immediately if there are any

criminal charges brought against me or if any information I have provided becomes inaccurate up to and including the date of transmission of my appearance on the Programme.

11. I acknowledge that the decision of the Company is final and the Company reserves the right to remove me from the Competition/ locations/ premises at their absolute discretion. I further acknowledge that the interests of the Programme will override those of any contestant and in the event of any dispute concerning the operation of any element of the Competition or the Rules the decision of the Company will be final.

Contribution and Grant of Rights 12. With full title guarantee I hereby assign irrevocably to the Company (including a present assignment of future copyright) the

entire copyright and all other rights of whatsoever nature in and to my Contribution to the Programme such that the Company shall be entitled to use and exploit and license others to use and exploit such Contribution by all means and in all media and formats whether now known or hereafter invented throughout the Universe for the full period of copyright including any extensions, revivals, reversions and renewals thereto and thereafter insofar as is possible in perpetuity. Furthermore I grant irrevocably all consents and waivers (to the extent permissible at law) necessary (including without limitation in respect of any so-called moral rights, as required pursuant to the Copyright Act 1968 (Cth) (and any amendment to and/or re-enactment thereof) (the Act)(including without limitation all authorisations required by Part XIA of the Act to record, broadcast, re-broadcast, use in a soundtrack or otherwise use or exploit without restriction any live or recorded performance by me or a copy thereof) and as required under all similar laws in any part of the world that may create rights in my Contribution and/or appearance in the Programme) to enable the Company (and persons authorised by the Company) to make fullest use of the Programme without restriction. I further confirm that I shall not seek to enforce any rights to equitable remuneration in respect of any rental and lending and cable and satellite re-transmission rights in my Contribution. Without limiting the forgoing, I acknowledge that I recognise the needs of television production, promotion and distribution and hereby irrevocably consent to the Company (and persons authorised by the Company) editing, producing, amending and adapting the results and proceeds of my Contribution (the Works) or any other act or omission in relation to the Works as the Company deems fit in its absolute discretion and whether or not such acts or omissions constitute an infringement of my moral rights as that term is understood pursuant to any provision of law prevailing now or in the future in any part of the world (Moral Rights). I acknowledge and agree that the Company (and persons authorised by the Company) will not be liable to me and that I will have no claim against the Company or any other person for any act or omission of the Company (and persons authorised by the Company) resulting in any prejudicial or derogatory portrayal or representation of me and/or the Works or any other act or omission which might otherwise constitute an infringement of my Moral Rights. In all other respects, I irrevocably waive to the extent permissible by law and agree never to assert any Moral Rights arising out of or in connection with the Contribution and the Works against the Company or any other person throughout the world in perpetuity. I will not institute any action on the ground that any changes, deletions, additions or other use of the Contributions or the Works violates my Moral Rights.

13. Without limiting the foregoing in any way, the Company shall be entitled to: a. alter, adapt or make additions to or deletions from the Programme (and my appearance thereon) at its discretion; b. make and exploit and authorise the making and exploitation of any recording or fixation of my appearance separately from or

in conjunction with the Programme throughout the Universe in perpetuity in all media whether now known or hereafter invented;

c. dub my voice in any language; and d. include my name, likeness, voice, biographical details (which includes, without limitation, any personal information as defined

in the Privacy Act 1988 (Cth) or otherwise (Personal Information)), photographs of me and recordings of interviews with me separately from or in conjunction with the Programme in all media and formats throughout the Universe including but not by way of limitation in advertising, publicity and exploitation material. For the avoidance of doubt, I irrevocably consent to the Company (and persons authorised by the Company) transferring Personal Information about me overseas to related body corporates and third parties associated with the Programme and to use the Personal Information in accordance with the provisions in this sub-clause.

14. I acknowledge that no repeat fees will be payable to me in respect of any subsequent rebroadcast or retransmission or any other use by the Company (or any assignees or licensees) of the Programme or any part thereof.

15. I acknowledge that there is no obligation on the part of the Company and/or the broadcaster to record my Contribution and/or broadcast any Programme in which I have appeared and/or all or any part of my Contribution to the Programme.

16. I hereby agree that my appearance in the Programme is not a professional performance and does not entitle me to wages, salary or other compensation.

17. Without limiting any of the foregoing, I acknowledge and agree that the Companys labour and expense in making arrangements for the filming and recording of the Contribution and the opportunity provided to me to potentially appear in or in association with the Programme include sufficient and adequate consideration for the use and exploitation of the Contribution and the Programme (including without limitation my appearance in any and all episodes of the Programme) by any means and media, anywhere in the universe and I waive any right and/or entitlement to any equitable relief, remuneration or other payment howsoever arising in connection with such use or exploitation.

18. Without limiting any of the foregoing, in the event that I perform as part of the Competition any music and/or lyrics which are composed and/or written by me (Composition(s)), I hereby warrant that such Composition(s) are wholly original to me and do not infringe any common law or statutory rights in any other material and furthermore that the Composition(s) are not blasphemous, obscene, libelous or violate the right of privacy or any other rights not in the public domain of any person, company or entity. I hereby licence to the Company all rights in the Composition for the full period of copyright including any renewals, reversions, revivals or extensions throughout the universe so that the Company may synchronise and exploit the Composition(s) separately from or in conjunction with the Programme in all media and formats throughout the Universe (including without limitation in advertising, publicity and exploitation material).

19. Without limiting any of the foregoing, during my participation in the Competition, up to and including one month following the first broadcast of the last episode of the Programme in Australia (Territory), I agree to make myself available to the Company and the broadcaster for all reasonable promotion and publicity requested by the Company and/or the broadcaster arising out of or in relation to the Programme, including but not limited to any Programme sponsor advertising, in all media including without limitation television, outdoor advertising media, websites and other online media, without further payment to me.

Miscellaneous 20. I agree that all information relating to the business of the Company (and its related entities) which I am aware of, or become

aware of (including but not limited to the Terms and Conditions of this agreement) is the property of the Company or, is of a confidential nature and secret and is disclosed on the basis that the relationship between the Company and I is a confidential relationship (Confidential Information). I hereby warrant not to disclose, before, during or after the broadcast of the Programme, to any third party (other than my professional advisors or as required by law), including, if I am under 18 (eighteen) years old, to my parent or legal guardian who has also signed this agreement, any Confidential Information or any other information relating to the Programme or my participation in the Programme or the affairs of the Company, Simco, Sony or the broadcaster (or any assigned companies thereof) which may come to my knowledge during or in connection with my participation in the Programme, other than as required by the Company and I will take all reasonable precautions to ensure that all such persons to whom the Confidential Information is divulged maintain the same confidentiality. I acknowledge and agree that a breach of the obligations in this Clause and/or the following Clause may result in the Company exercising the Companys reserved right pursuant to this agreement to disqualify me from the Competition. This Clause does not apply to information already in the public domain without a breach by me of the obligations of confidentiality in this Clause. I acknowledge that this provision is a fundamental part of this agreement.

21. I hereby warrant that I will not, without the prior written consent of the Company, make in public or private any statement written or oral intended for publication by the press or any other part of the media or which by its nature is liable to be published or from which extracts can be quoted relating to the Programme or the Company or any of its employees or business activities or the television industry in general. Should I be contacted by a member of the press I hereby undertake to refer them to the Companys Publicity Office.

22. I hereby agree that my Contribution to the Programme shall not contain anything which is untrue and I agree to tell the truth throughout. Furthermore I agree that my Contribution to the Programme shall not contain anything which is an infringement of copyright or which is calculated to bring the Company into disrepute or breach of contract or duty of confidence or which is defamatory or in contempt of court or is calculated to bring any broadcaster into disrepute provided however that the Company shall not be entitled to bring claim against me in any respect of defamatory material that was included within my Contribution without negligence or malice on my part.

23. The Company shall not be liable to me or my legal representative for any loss or damage or injury to me or my property caused by or suffered during or in connection with my taking part in the Programme unless caused by the negligence of the Company and recoverable on that ground following judgment of a competent court of final judgment.

24. I am free to enter this agreement and hereby agree to indemnify the Company in respect of all actions, proceedings, claims, damages and other liabilities which may be brought against or incurred by the Company as a result of the breach of any of my warranties, representations, obligations or undertakings contained in this agreement. I agree that in the event of any breach of this agreement by the Company I shall not be entitled to enjoin and/or injunct the distribution and/or exploitation of the Programmes and any legal remedy I may have shall lie in an action at law for damages only.

25. The Company may assign all rights in my Contribution to and participation in the Programme to any of its subsidiary or associated companies or successors in title and to any other third party.

26. If any provision of this agreement is adjudged by a court to be illegal, void or unenforceable in any respect such provision shall in no way affect or impair any the legality or enforceability of any other provision of this agreement, the application of such provision in any other circumstance or the validity or enforceability of this agreement and such provision shall be curtailed and limited only to the extent necessary to bring it within legal requirement.

27. The Courts of New South Wales shall have sole jurisdiction in relation to the terms and conditions of this agreement contained in this release which shall be interpreted according to the laws of New South Wales.

THE X FACTOR TERMS & CONDITIONS By completing the questionnaire, you are registering your interest in auditioning for The X Factor. If you continue with the audition process we will ask you to provide more information to us and sign a Contributor Release Form, which we will send to you. However, if you participate in the auditions for The X Factor (the Programme), you will be deemed to have agreed to the following terms and conditions: 1. You must be 14 or over on 1 April 2015. Failure to supply proof of your age (ie. current drivers licence, birth certificate, proof of age card, or passport) will result in your disqualification from the auditioning process. If you are less than 18 years old, you must be accompanied to the audition by your parent/ legal guardian who will need to consent to your participation by signing the Contributor Release Form where indicated. If you are under 16 years of age (today) your parent/legal guardian must be with you during the audition process. 2. You must abide by the rules, regulations, terms and conditions of the Programme as devised from time to time by FremantleMedia Australia (the "Producer") and you will accept the Producer's decisions as final, recognising that the interests of the Programme shall override those of any auditionee. 3. The Producer has no obligation to record and the broadcaster has no obligation to broadcast your appearance or any part of your contribution to the auditioning process. 4. Generally, it is a condition of participation that you have not previously entered into any commercial, contractual, sponsorship or other agreement or arrangement with any person, firm or company in respect of your musical and/or performing abilities or the products thereof or in respect of you name likeness, image or biography. However, should you have entered into such an arrangement, you must immediately notify the Producer at the audition and the Producer may take such action as it considers in its absolute discretion to be appropriate including without limitation disqualifying you from the auditioning process. 5. You acknowledge that in reliance on consents given by you, the Producer may incur significant outlays and as an incentive for the Producer to photograph, video, film or record you (there being no obligation on the Producer to do so), you irrevocably agree and consent that the Producer may (and may authorise others to) photograph, video, film and/or record you and edit, adapt, alter, omit and otherwise use the resulting materials (the Materials), your name, likeness, image, actions, voice and/or biographical material (which includes, without limitation, any personal information as defined in the Privacy Act 1988 (Cth)), in any and all media now known or hereafter devised, worldwide, in or in connection with the production, broadcast, marketing, promotion, publicity and exploitation of the Programme, in perpetuity without restriction. The Producer will own all rights, title and interest in any Materials and the results and proceeds of the Materials in perpetuity.
