FLEET SERVICE AGREEMENT This Fleet Service Agreement between Full Circle Service Center, a subsidiary of Vehicles for Change, referred to as FCSC and Second Chances agree: 1. That FCSC shall provide regular maintenance and repair services for SECOND CHANCES. 2. Repair and maintenance services shall commence on 09/08/2015 and terminate on 10/01/2016. 3. SECOND CHANCES will provide FCSC a listing of all types of vehicles that will need repair (i.e.: box trucks, sedans, pick-ups, vans) 4. FCSC shall perform all regularly scheduled maintenance as provided in the vehicles’ manufactures manuals. 5. FCSC will provide unscheduled maintenance as required by SECOND CHANCES within two (2) days of delivery from delivery. 6. SECOND CHANCES shall deliver all vehicles to FCSC within 125 miles of scheduled intervals for service. 7. FCSC shall perform regularly scheduled minor mechanical service within one (1) working day from delivery. 8. FCSC shall perform all scheduled major mechanical service within two (2) working days from delivery. 9. FCSC shall maintain complete records of all service performed and shall retain these records for three (3) years after performance. 10. SECOND CHANCES shall be permitted to inspect these records at all reasonable times. 11. SECOND CHANCES shall be billed for performance of the regularly scheduled service and pay $55 per hour for each minor service and $55 per hour for each major service. 12. FCSC shall bill SECOND CHANCES 5% less than set scheduled price for all routine maintenance i.e... Oil change, tire rotations, transmission services, break replacement, etc. 13. FCSC shall bill at $55 rate per hour for labor for unscheduled maintenance. 14. Parts and Labor shall be billed in monthly statements/30 day intervals for the following: minor service major service unscheduled maintenance parts 15. FCSC shall give priority to SECOND CHANCES. 16. FLEET SERVICE AGREEMENT

This Fleet Service Agreement between Full Circle Service Center, a subsidiary of Vehicles for

Change, referred to as FCSC and Second Chances agree:
