FITTINGS & FIXTURES AGREEMENT

THIS DEED OF AGREEMENT of fitting and fixtures made this 3rd day of January, 2011 between ------------, S/O -----------------, R/o ---------------------, hereinafter called “LESSEE” which expression shall, where the content so admits include her heirs, executors, administrators, successors, assigns and representative on the one part.

And

--------------------, ------------------------------- represented by its ---------------, on the Second Part hereinafter called “Lessee”.

Whereas the Lessee has approached Lessor to provide Furniture, fitting and fixtures, maintenance services, interior decoration, gardening etc. on Ground Floor of ------------------------------and whereas the Lessor has agreed for the Lease of the said fitting and, fixtures, described in the schedule annexed hereto (hereinafter called the said furniture fitting and fixtures).

That the lease of the said premises is for a period of 11 months 29 days commencing from 3rd January, 2011. This Lease can be extended further for two intervals of each period of 11 (eleven) months 29 days with an increase of 5% of the last paid rent.

Now this indenture witnesseth that in consideration of the lease charges hereinafter reserved and the conditions hereinafter contained and on the part of the Lessee to be observed and performed, the Lessor does hereby lease the said furniture, fitting and fixtures to the lessee for a fixed and limited terms of 11 (Eleven) months 29 days commencing from 3rd day of January, 2011 at the monthly lease charges for Rs----- (Rupees Twenty five thousand only)

Not to further lease or otherwise part with possession of the fitting and fixtures or any part thereof to a third party. The Furniture, fitting and fixtures are only the use of Lessee and no other party.

LESSOR agrees to allow to carry out reasonable alternations in furniture, fittings and fixtures ensuring appropriate functional use of the leased premises.

To allow the Lessor and or her authorized representatives, agent survey or workmen to enter into the premises for inspection at reasonable times with prior appointment.

To keep and to maintain Furniture, fittings and fixtures clean and in tidy and serviceable condition

Not to damage the furniture, fittings and fixtures and to bear and pay the cost of all losses or damages on account of breakages other than for reasons of natural wear and tear.

On the expiration or termination or termination of the period of lease to yield and deliver the furniture, fitting and fixtures in the same condition as originally taken possession, natural wear and tear excepted.

The LESSEE agrees to pay lease charges during the lease period in advance on or before the 7th of each calendar month.

The LESSOR hereby covenants with the LESSEE as follows:-

The LESSOR being fully empowered and authorized to grant the lease of furniture’s, fitting and fixtures and to keep the LESSEE harmless against any claim by any third party.

The LESSEE at the time of taking over has examined the aforesaid furniture, fixtures and fitting and found them in good condition.

LESSEE has paid a security deposit of ` 50,000/- (Rupee Fifty thousand only) with LESSOR to observe the terms and conditions herein contained. The said security deposit shall be refunded by the LESSOR to the LESSEE at the time of vacation of the premises by the LESSEE without any interest.

This agreement is co-terminating with the Lease Deed at New Delhi executes between Shri P K Gupta, Karta, P K Gupta HUF and Infrastructure and Logistics Federation Of India, .However two month’s notice from either side as mentioned in above lease is necessary.

That after the expiry of notice period of two months mentioned above, if the Lessee dose not handover the fitting and fixtures provided in the above premises quietly and peacefully, then Lessee shall be responsible to pay the monthly lease charges at two times the rate mentioned above or as may be determined by the Lessor. That in case if the LESSEE breached any of the conditions contained herein, the LESSOR shall be at liberty to forfeit security deposit and take possession of the

said articles himself without any notice, and LESSEE undertakes to hand over peaceful possession of the same.

In witness whereof the LESSOR and the LESSEE have hereunto set their respective hands to this deed of the lease on this 3rd day of January, 2011
