Welcome to the Insured Retirement Institute’s (IRI) 2011 Government, Legal and Regulatory Conference. GLRC is the insured retirement industry’s premier conference for professionals whose concentration is state and federal regulatory affairs, legal matters and compliance issues.

We wish to thank our 2011 GLRC Planning Committee Chairs, Joseph Emanuel, Vice President and Chief Legal Officer-Annuities, Prudential Financial, and Kathy VanNoy-Pineda, Executive Vice President and Chief Compliance Officer, LPL Financial, and to the entire Planning Committee for their leadership and dedicated efforts in putting together a spectacular agenda for this two day program. IRI has submitted a proposal to the SEC for a Variable Annuity Summary Prospectus and elimination of the annual update. Chairman Mary Shapiro and Former SEC Director Buddy Donohue recognized IRI’s work on this initiative, and Chairman Shapiro has voiced her support for the variable annuity summary prospectus. Learn about the status of this initiative, challenges to creating summary language for the more complex benefit features such as guaranteed living benefits, and next steps with the SEC. Also, learn about the new NAIC Disclosure and Illustrations Model regulation and implementation considerations and challenges that must be addressed. Finally, learn how variable products issuers are using the summary prospectus for underlying funds, and hear about “lessons learned” from the fund summary prospectus experience that we can use for the VA summary prospectus.

FINRA is the largest independent regulator for all securities firms doing business in the United States. It oversees nearly 4,750 brokerage firms, 167,000 branch offices and 634,000 registered securities representatives. FINRA’s chief role is to protect America’s investors by making sure the securities industry operates fairly and honestly. FINRA’s Chairman and CEO will offer his insight about the provision of necessary oversight of broker-dealers and investment advisors in partnership with the SEC, implementation of a single fiduciary standard and other regulatory actions required by Dodd-Frank, FINRA’s role in that process, FINRA’s proposed rule requiring back-office personnel registration, and other issues impacting guaranteed lifetime income products and IRI member firms.

The Departments of Labor and Treasury continue to look for ways to increase access to guaranteed lifetime income products. Senior Advisor and Deputy Assistant Secretary of Treasury Mark Iwry and Assistant Secretary of Labor Phyllis Borzi will discuss the Obama Administration’s plans to break down barriers to access to annuities and encourage Americans to utilize guaranteed income to supplement their current retirement savings. Beginning in 2012 ERISA regulations will mandate disclosures to plan sponsors and participants. At the plan level, the new ERISA 408(b)(2) disclosure regulation impacts all “covered” service providers to retirement plans. While many covered providers, like insurance companies and investment advisers, know what’s required, others, like broker dealers, may know about the regulation but haven’t a clue what to do about it, and still others, like investment managers for defined benefit plan assets, hedge funds and the like, have never heard of the requirement. This program will briefly identify who is covered by the regulation and what they need to do to comply with it and then discuss in more depth some difficult and often overlooked compliance issues. At the participant level, the required disclosures are the obligation of the plan administrator. As a practical matter, clients are looking to their recordkeepers and other service providers to ensure that they comply. Noel is a principal with the Chicago office of Milliman and is located in Williamsburg, Va. He joined the firm in 1995. Noel specializes in the design and pricing of annuities and life insurance products. He has worked heavily in the design and pricing of equity-indexed annuities, life insurance products, derivative-based death benefits, and living benefits on variable annuities for many insurers. Noel has also been active in developing recommended state regulations for equity-indexed annuity and life insurance products through his participation on the Equity-Indexed Products Task Force of the American Academy of Actuaries. Phyllis C. Borzi was confirmed on July 10, 2009 as Assistant Secretary of Labor of the Employee Benefits Security Administration (EBSA). EBSA oversees nearly 708,000 private-sector retirement plans, approximately 2.8 million health plans, and a similar number of other welfare benefit plans that that provide benefits to approximately 150 million Americans. As agency head, she oversees the administration, regulation and enforcement of Title I of the Employee Retirement Income Security Act of 1974 (ERISA). Previously, Ms. Borzi was a research professor in the Department of Health Policy at George Washington University Medical Center’s School of Public Health and Health Services. In that position, she was involved in research and policy analysis involving employee benefit plans, the uninsured, managed care, and legal barriers to the development of health information technology. In addition, she was of counsel with the Washington, D.C. law firm of O’Donoghue & O’Donoghue LLP, specializing in ERISA and other legal issues affecting employee benefit plans, including pensions and retirement savings, health plans, and discrimination based on age or disability. From 1979 to 1995, Borzi served as pension and employee benefit counsel for the U.S. House of Representatives, Subcommittee on Labor-Management Relations of the Committee on Education and Labor. In 1993, she served on working groups dealing with insurance reform, workers’ compensation and employer coverage in connection with the Clinton Task Force on Health Care Reform. expertise in national class action litigation, having served as lead or associate counsel in over one hundred securities, insurance, RICO and other class actions. Over the past 15 years, he has also been lead trial counsel in more than 50 individual cases in federal and state courts throughout the United States. He has argued before the United States Supreme Court, eight of the U.S. circuit courts, and numerous state courts of appeal. In other recent matters, Mr. Jorden served as lead counsel in a six week jury trial in Tennessee which resulted in a defense verdict and a counterclaim award for his financial institution client in excess of $70 million. He also successfully defeated class certification, at both the District Court and in the 4th Circuit Court of Appeals in a suit alleging policy rate discrimination against more than 1.4 million putative class members (Thorn v. Jefferson Pilot Life Insurance Co., 445 F.3d 311 (4th Cir. 2006)). Mr. Jorden is currently serving as lead defense counsel in several multi-district litigation proceedings involving the sale of annuities. Eileen Rominger is the Director of the Division of Investment Management (IM) at the U.S. Securities and Exchange Commission. Ms. Rominger was sworn in by Chairman Mary Schapiro on February 16, 2011. IM provides principal oversight for the $38 trillion investment management industry. As Director, Ms. Rominger is responsible for

developing regulatory policy and administering the federal securities laws applicable to investment advisers, mutual funds, ETFs, closedend funds, variable insurance products, and UITs. Late in 2008, Ms. Rominger assumed the leadership of the Investment Committee of the Goldman Sachs Foundation. Ms. Rominger is a Member of the Board of Trustees of Fairfield University and is a past Board member of the Brooklyn Bureau of Community Service, one of New York City’s largest public service organizations.
