DEFINITIONS

A. Association: Shall mean Associated Wall and CeilingContractorsofOregonandSouthwestWashington,Inc.AlistofmembersshallbesetforthunderseparateSchedulewithsupplementsthereto.

B. Contractor, Company or Employer:Shallmeananyindi-vidual,partnership,firmorcorporationboundtothisAgree-menteitherasmembersoftheAssociationorasnon-mem-bers of the Association, who have signed this AgreementdirectlywiththeUnion.

C. Union:ShallmeanthePacificNorthwestRegionalCoun-cil ofCarpenters (PNWRCC)of theUnitedBrotherhoodofCarpentersandJoinersofAmericaactingfor,andonbehalfof,theirmembers.

D. General Foreman: ShallbedefinedasaForemanwithacurrentOSHA30Certificate thatsupervisesmore thanoneforemanledcrew.

E. Foreman: ShallbedefinedasaWorkingmemberthatdi-rectlyor indirectlysupervises5ormoremembersworkingundertheCollectiveBargainingAgreement.

F. Journeyman: Shallmean an individualwho has com-pletedhis/hertrainingprogramorhasdemonstratedprofi-ciencyasamechanictoperformthedutiespertainingtotheDrywallandAcousticalandLathingIndustryandwhoisem-ployedunderthetermsandconditionsofthisAgreement.

G. Apprentice: ShallmeanonewhoislearningtheExteriorandInteriorSpecialisttradeandwhoisregisteredwith,andhasbeenacceptedby, theLocal JointApprenticeshipCom-mittee.

H. Utility Worker:Shallmeanonewhoisallowedtoper-formallphasesofworkcoveredunderArticle1,Section1.6oftheAgreementwiththeexceptionofInstallation.NoUtil-ityWorkermayinstallmaterialsorperformworknormallyconsideredtobethatofanExterior/InteriorSpecialistjour-neymanorregisteredapprentice.

I. Equal Rights: Inrecognitionofthe“equalrights”lawsforbothsexes,andinrecognitionofthefactwomenarebe-comingmore involved in construction, anymasculinepro-nounor any reference inmasculine genderherein shall beconstruedtoincludeeithermaleorfemale.ThisAgreementacknowledgestheopportunitiesandrightsofqualifiedwom-enandmenaliketofunctionincrewandsupervisionposi-tionsofthetrade.

J. Signatory Employer: Shallmeananyactive contractorsignatory to the Exterior & Interior Specialists AgreementandcontributingoncompensablehourstotheOregon-Wash-ingtonCarpenter-EmployersTrustFunds.

Article 1Scope of Work and Subcontractors Title

Section 1.1.ItisherebyagreedthatthePacificNorthwestRe-gionalCounciloftheUnitedBrotherhoodofCarpentersandJoinersofAmericaandtheAssociatedWallandCeilingCon-tractors ofOregonandSouthwestWashington, Inc. for theExteriorandInteriorContractorswithintheareaofOregonandSouthwestWashingtonasdefinedinSection1.2.

Section 1.2. ThisAgreementshallcovertheentirestateofOr-egonandthefollowingareainthestateofWashington:ThecountiesofKlickitat,Skamania,Clark,Cowlitz,Wahkiakumand that portion of PacificCounty south of a straight linemadebyextendingthenorthboundarylineofWahkiakumCountrywesttothePacificOcean.

Section 1.3. Thework covered by thisAgreement shall bethatwhichisrecognizedasproperlycomingundertheJuris-dictionoftheUnitedBrotherhoodofCarpentersandJoinersofAmericaasdefinedinSection1.6.

Section 1.4. This industry is recognized as a specialty andgenerally requires a specialty subcontractor who employsExteriorandInteriorSpecialists.

Section 1.5.

(A) Anycompany,not signatory to thisAgreement,whichdoesnotdirectlyemployExteriorandInteriorSpecial-istsmustuseonlyWallandCeilingContractors,whoaresignatory to thisAgreement, for anywork coveredbythisAgreement. Useof any subcontractor,who isnotsignatory to thisAgreement,willconstituteaviolationoftheAgreementandthefirmemployingsuchnon-sig-

natorysubcontractorshallbeliableforallwages,fringesandtravelpayand/orsubsistencetoworkersasprovid-edforhere.

(B) TheWall and Ceiling Contractors agree they will notsubcontractworktobedoneatthesiteofconstruction,alteration, or repair of a building, structure or otherwork,excepttoaperson,firmorcorporationpartytoanappropriate, current, labor agreementwith theUnion.TheUnionshallnotuseeconomicactiontoenforcethisSection,butmayapplylegalmeans.

Section 1.6. Thework coveredby thisAgreement shall in-cludebutnotbelimitedtothefollowingdescribedworkattheconstructionjobsite:

(A) The Installation, carrying transportation, handling,stocking,andscrappingofallmaterialsandcomponentpartsofalltypesofceilings,regardlessoftheirmaterialsand composition ormethod ormanner of installation,attachmentor connection, includingbutnot limited toallhangers, carryingchannels, cross furring, stiffeners,braces, allbars regardlessofmaterialormethodofat-tachment,soundandthermalinsulationmaterials,allin-tegratedgypsumwallboardceilingheatpanels,allradi-antheatbacking,allmaintees,allcrosstees,allsplines,allwallandceilinganglesormoldings,allbackingboardandallfinishceilingmaterials,regardlessofmethodormannerofinstallation.

(B) All work in connection with the installation, erectionand/or application, carrying, transportation,handling,stockingofallmaterialsandcomponentpartsofwallsandpartitions regardlessof theirmaterial compositionormethodormanneroftheirinstallations,attachmentor

connection,includingbutnotlimitedtoallfloorandceil-ingrunners,studs,stiffeners,crossbracing,fireblocking,resilientchannels,furringchannels,doorsandwindows,including frames, casingmolding, base accessory trimitems,soundandthermalinsulationmaterials,gypsumdrywallmaterials,laminatedgypsumsystems,backingboardforallsystems,includingothermaterialssuchaswirestuds,orothertypesoflightironormetalstuds,nomatterwhat themanufacturer,whensuchstudsare toreceivemetal lath, rock lath,orothermaterials forap-plicationofplasterorsprayed-onwetmaterial;andallotherironfurringerectedtoreceivelathandplaster.

(C) Thenailing,tying,andfasteningsofallwireandmetal-liclath,suchaswirecloth,wiremesh,expandedmetallathandallribandflatexpandedmetallathandwireofalldescriptions,aswellastheplacingofallhangersandallinsertsusedforthepurposeofsupportingsuspendedceilingsoranyoftheabovetypesoflightironandmetalfurringwhichreceivelathandplasteroracousticalma-terials.

(D) The tying,nailing, clippingor fasteningofall typesoflath,regardlessofsize,suchaswoodlath,plasterboard,gypsumlath,rocklath,sheetrock,Dens-glass-gold,Sty-rofoampanel,beadboard,oranyothertypeofmaterialerectedtoreceiveorholdplasteroracousticalmaterial.Including,butnotlimitedtoEIFS,thincoatandotherfin-ishedsystems,plasticandorpaintfinishedbases,finishboard,fireproofingofchase,fireblocking,firecaulking,soundand thermal insulationmaterials,fixtureattach-mentincludingalllayoutofwork,fireproofingofbeamsandcolumns,firestoppingofalltypes,preparationofallopeningsforlighting,airventsorotherpurposesandallothernecessaryrelatedworkinconnectiontherewith.

(E) No limitation shall be placed on thework covered bythisAgreement by reason of the surface of texture orpurpose for which the materials described herein areused,designedorintended.

(F) Itisfurtherspecificallyunderstoodthattheinstallation,tyingandconnectionofalltypesoflightironandmetalstudsandalltypesoflightironfurringerectedtoreceivethematerialsspecifiedinthisArticleincludingbutnotlimitedtogypsumwallboard,ceilingheatpanels,back-ingboard,plasticoracousticalmaterialsoranymateri-alsattachedtotheabove-describedlightironconstruc-tionisspecificallyincludedintheworkcoveredbythisAgreement.

Section 1.7.ThisAgreement,madeandenteredintothis1st dayof June 2019by andbetween theAssociatedWall andCeilingContractors ofOregon andSouthwestWashington,Inc.,actingforandonbehalfofitsmembersandothers,andPacific Northwest Regional Council of Carpenters of theUnitedBrotherhood ofCarpenters and Joiners ofAmerica,actingforalltheirlocalunions,hereinafterreferredtoastheUnion.

Section 1.8.

(A) Whenexecutedby thepartieshereto, the termsof thisAgreementshallbecomeeffectiveasofJune1,2019 .

(B) Anemployer signatory to thisAgreementwhowishestoterminatethisAgreementshallgivewrittennoticetotheUniontothateffectatleastninety(90)dayspriortoMay31,2020,May31,2021,May31,2022,May31,2023,orMay31,2024theexpirationdateofthisAgreement.

Article 2Recognition

Section 2.1.

(A) ThePacificNorthwestRegionalCouncil ofCarpentershasasserted,andpresentedevidenceorofferedtopres-entevidence,thatamajorityoftheEmployer’semploy-eesperformingworkwithinthescopeofthecarpentrytradehasdesignatedtheRegionalCounciltorepresentthemincollectivebargaining.Predicatedonthatshow-ingofmajoritysupportand theRegionalCouncil’s re-questforrecognitionasmajorityrepresentative,theem-ployerherebyrecognizestheRegionalCouncilasNLRASection 9(a) collective bargaining representative for allemployeesperformingworkwithinthecarpentrytradewithin the geographical jurisdiction of the RegionalCouncilofCarpentersonallpresentandfuturejobsites,whichthepartiesagreeisaunitappropriateforbargain-ingunderSection9(a)of theNationalLaborRelationsBoard.

(B) The employees shall become and remain members oftheUnionasaconditionofemploymentfromandafterthe8thcalendardayfollowingthedateoftheiremploy-ment,inthetrade,intheareaofthisAgreement.

(C) ItisfurtheragreedthatallunionworkersemployedbytheemployershallmaintaintheirmembershipingoodstandingintheUnionatalltimes.

(D) Failureofanyemployee topayor tendernormal initi-ationfeesorduesasrequiredbythisAgreementshall,upon therequestof theUnion inwriting, result in theterminationofsuchemployee,bytheendoftheshiftontheseventh(7th)businessday.

(E) ShouldthelegalprinciplesgoverninghiringproceduresintheconstructionindustrybeamendedormodifiedbytheCongress, theSupremeCourtof theUnitedStates,theUnitedStatesCourtofAppealsfortheNinthCircuitor theNational LaborRelations Board, either party totheAgreementmayreopennegotiationsonthissubjectonly,uponthirty(30)dayswrittennotice.Allothercon-ditionstoremainunchangedandbindingonallparties.

(F) Undernocircumstanceswillanyworkerbeemployedbyanycompanyforworkcoveredunder thisAgreement,unlesssaidworkerhasfirstbeenproperlydispatchedbytheUnionexceptonpriorapprovalbytheUnion,oranyvariancetonormaldispatchprocedures.

(G) Whereveranemployeeisdischargedandisnoteligibleforrehire,theUnionshallbenotifiedinwriting,statingreasonsfordischarge,withinoneweek.

(H) Stockinganddistributionofmaterialsfromunloadingtoplaceofapplicationshallbedoneonlyby journeymenExterior-InteriorSpecialistsorregisteredExterior-Interi-orApprenticesunlessdonebyanExterior-InteriorUtili-tyWorker.

(I) ThisSectionshallalsogoverntheredistributionofmate-rialsfromoneunittoanotherafterthejobsiteisstocked.

(J) Scrappingoutandclean-upshallbeconsideredtheworkof the Exterior-Interior Specialist journeyman or regis-teredapprenticeonlyunlessdonebyanExterior-Interi-orUtilityWorker.

(K) TheUnionreserves theright todiscipline itsmemberswhoareinviolationofthisAgreementandagreestovig-orouslyprosecutememberswhoviolatethisArticle.

(L) InvestigationbyUnionRepresentative:TheauthorizedrepresentativeofanyUnionaffectedbythisAgreementshallhavetherighttoinvestigateconditionsexistingonany jobatanyreasonable time,uponfirst reporting tothecontractororhis/herrepresentativeandpresentingproperly certified credentials. He/she shall not be al-lowedtoundulyinterferewiththeprogressofthework.Only thosepersonswhohaveproper credentials fromtheUnionshallbeallowedonanyjobtosolicitmember-ship into theUnionor tocollectmonies fromanyem-ployee.

(M) Unlawful Discrimination & Harassment Free Work-place/Government Requirements: The parties recog-nizeandagree that thediscriminationagainst and theharassmentofanindividualbecauseoftheindividual’sgender, race, religion,age,nationaloriginordisability,andotherstateorfederallyprotectedclassisadversetotheinterestofboththeUnionandEmployer. Thepar-ties, therefore, jointly declare such harassment in anyform is strictly prohibited and constitutes grounds fordiscipline.

Section 2.2. Out-Of-Work List

(A) Whenever the employer requires workers to be dis-patched,theyshallnotifythePacificNorthwestRegion-alCouncil ofCarpenters (PNWRCC)CentralDispatch(253)945-8830or(800)953-6444,advisingoftheprojectaddress,startingtime,numberofJourneymen,theskillsofeachandApprenticesneeded.

(B) TheUnionwilldispatchlocalworkersasfollows:

(1) Tosatisfytheemployer’srequestforworkerswithspecified skills. Preference will be accorded to suchworkerswiththeearliestinitialregistrationonsaidlist.

(2) To satisfy the employer’s request for workers bynameprovided:

(a)Theyareregisteredontheout-of-worklist.

(b)TheUnionhasbeenadvisedofemploymentpriortosuchworkerbeingputtowork.

(c)Theemployerconfirmsinwritinghis/herrequestfor dispatch to the Union within twenty-four (24)hours (Saturday, Sunday andHolidays excluded) ofsuchemploymentwhereupontheUnionwill issueawrittendispatch.

(d)Apprenticesshallnotberequestedbytermorperi-od.

(e)Thereshallbeunrestrictedportabilityofmanpow-erwithinthegeographicregioncoveredbythisAgree-ment.

(C) Should theUnionbeunable to referqualifiedworkersfor employment to the Employer within twenty-four(24)hoursfromthetimeofreceivingtheEmployersre-quest(Saturdays,SundaysandHolidaysexcluded)oratthetimemutuallyagreeduponattimeofrequest,orifaworkerfailstoreporttothejobsiteintheagreedtime,theEmployer shall be free to secure theworkers fromanysource.TheEmployershallnotifythedispatchoffice

promptlyofthenames,socialsecuritynumbersandthedateofhireoftheemployees.

(D) TheUnionshallrequiretheremovalofemployeeswhohave not been dispatched in accordance with 2.2(A)above.

(E) TheEmployeragreestonotifytheUnionbyfaxore-mailofthenumberofrepresentedemployeesandtheirnameswhowere employedduring thatmonthupon request.Notification shall be asneededbutnotmore thanonetimepermonth.

(F) The PNWRCC shallmaintain a centralized hiring hallforreferralofmemberstosignatorycontractors.thecur-renthiringhallrulesandproceduresshallbepostedofreferenceatthefollowinglink(https://www.nwcarpen-ters.org/for-partners/dispatch-call-out-sheets/). ThecontractorshallsubmitaCallOutSheettothedispatchdepartmentwiththedetailsrequestedtotheemailorfaxnumberprovidedontheform.

Inordertobeeligiblefordispatch,membersmustbeinGood standingorArrearsunless state/federal law su-persedesthisrequirement.MembersinArrearsshallbeexpectedtoprovidetotheirhomelocal,within10work-ingdaysafterdispatch,orasrequestedbythehomelo-cal,proofofGoodstanding.

Article 3Hours of Work – Shifts – Overtime - Holidays

Section 3.1. Eight (8) hours shall constitute a day’swork;five(5)days(forty(40)hours)shallconstituteaweek’swork,MondaythroughFriday.

Section 3.2.Singleshiftoperationsshallberestrictedtothehoursbetween7:00A.M.and5:00P.M.exceptunderArticle3,Section3.5.

Section 3.3.

(A) Duringweekdays anyworkperformedbefore or afterregularapprovedeight(8)hourshift,uptofour(4)hoursper shift, shall bepaid for at one andone-half (1-1/2)timestheregularhourlyrate,however,workperformedonSaturdaywillbeoneandone-half(1-1/2)timestheregularrateofpayuptoten(10)hoursexceptasprovid-edunderSpecialConditions,Section3.5ofthisArticle.AlladditionalhourswhenworkedonSaturdayoverten(10)hoursshallbepaidatdouble(2x)timestheregularhourlyrate.

(B) Alltimeworkedinexcessoftwelve(12)hours,andalltimeworkedon Sundays orHolidays shall be paid atdouble(2x)thestraighttimehourlyrate.

(C) Four-TenHourShifts–Notwithstandingtheabove,theemployermay,athis/heroption,establishten(10)hourshiftsforaminimumofanyfour(4)consecutivesched-uledworkdays,MondaythroughThursday,orTuesdaythroughFriday,onsomeoralloperationsonaproject,withoutbeingrequiredtopayovertime.Anythingoverten (10)hoursshallbesubject to theprovisionsabove.Failuretoworkthefour(4)dayminimumshallrequireovertimeunlesssuchfailureiscausedbyactualinclem-entweather, holiday or other conditionsdefinitely be-yondthecontroloftheemployer.

(D) Fourten(4-10)hourshiftsatthestraighttimeratemaybe established Monday through Thursday or Tues-

day throughFriday. In theevent the job isdowndueto weather conditions, equipment breakdown, or oth-er conditionsbeyond the controlof theemployer thenFridayonaMondaythroughThursdayscheduleorSat-urdayonaTuesdaythroughFridayscheduleonavol-untary basismay beworked as amake-upday at thestraighttimepay. Make-updayappliestothecrewsoaffected. Make-updays shallnotbeused tomake-uptimelostduetoHoliday.

(E) Thenumberofemployeesatanytimeonanyjob,onanyshift, or in any employment shall be at the discretionofthecontractor.Whenanyjourneymanisrequiredtoassumetheresponsibilityofaforemanhe/sheshallre-ceivenotlessthantheforeman’srateofpay.

(F) InordertocooperatewiththeUnioninmaintainingfaircompetition for all concerned, the contractor shall notworkanyjobsonSaturdays,Sundays,orHolidaysun-lessnotificationhasbeenreceivedbythelocalunionorBusinessAgent byphoneprior to suspensionofworkthepreviousdayandthenfollowedbywrittennotifica-tionthenextbusinessday.

Section 3.4.

(A) Holidays recognizedunder thisAgreement shall be asfollows:NewYear’sDay,MemorialDay,FourthofJuly,Labor Day, Thanksgiving Day and the day followingThanksgivingDay,andChristmasDay. ShouldanyoftheseholidaysfallonaSunday,thefollowingMondayshallbeconsidereda legalholidayandbeobservedassuch.IfanyholidayfallsonaSaturdaythepreviousFri-dayshallbeconsideredalegalholiday.Theholiday,aswellasthepreviousFriday,shallbeconsideredalegal

holiday.A holiday shall be a twenty-four hour periodcommencingwith the starting timeof thefirst shift ofthedateoftheholiday.NoworkshallbeperformedonLaborDayexcepttosavelifeorproperty.

(B) Workonanyoftheholidaysspecifiedhereinwillbepaidatdouble(2x)theregularstraighttimerateperhour.

Section 3.5.Whenspecialconditionsrequireirregularsched-uling of the workforce outside of the normal shifts, theseirregularshiftsmaybeworkedbythecrewsaffectedatthestraight-timerateofpay.Onspecialshiftwork,theemployerwill notify the PacificNorthwest Regional Council of Car-pentersorthelocalareaBusinessAgent.Allshiftworkshallbeonavoluntarybasis. Employers shall takenopunitiveactionagainstanemployeewhorefusesspecialshiftwork.

Section 3.6.

(A) Reporting Expense: When qualified Workers reportforworkasdirectedandforwhomnoworkisprovid-ed, they shall be paid sixty dollars ($60.00) reportingexpenseunlesspreventedfromworkingbycauses,notunderthecontroloftheEmployer.Itbeingunderstoodthattheabovereimbursementsarefortheinconvenienceofreportingtothejobsiteandarenottobeconstruedaswagesforworkperformedandthatworkersentitledtoreportingexpenseshallnotberequiredtoremainonthejobsiteexceptasprovidedbelow.

(B) Minimum Pay:

(1)Employeeswhoworklessthanfour(4)hoursshallbepaid for four (4) hours and ifworkedmore thanfour(4)hoursbutlessthansix(6)hoursshallbepaid

(C) Stand By:

Theemployermayrequesttheemployeestoremainonthejobforuptotwo(2)hoursonastandbybasis.Ifnotputtoworkduringthistwo(2)hourperiodtheemployeeshallreceivetwo(2)hourswagesplusfringes,butshallnotreceivethe$60.00reportingexpense.Ifputtowork,employeesshallreceivepayforactualhoursworkedinaccordancewiththeminimumpayrequirementsofthisarticle.

Section 3.7.ThereshallbenounlawfuldiscriminationbythecontractororUnionwithrespecttohiring,tenure,advance-ment,ordischargeofanyworkers,asoutlinedinTitle7oftheEqualEmploymentOpportunityLaw.

Section 3.8.Overtimerateofpayistobecalculatedonthetaxablewage.

Article 4Trustee Qualification Criteria

Section 4.1.InordertoqualifyasaManagementTrusteeonanyBoardofTrustee’shereinafterdesignated,aManagementTrusteemustbeasignatoryemployer,full-timenon-bargain-ingunitemployeeofthesignatorycontractor,aregularoffi-ceroftheemployerwhocontributestotherespectiveTrustFund,orafull-timestaffpersonofasignatoryemployeras-sociation.

Article 5Trust Funds

Health – Welfare and Dental

Section 5.1. Inaddition to thewage scales listed inSched-ules “A” herein, all persons, parties, firms or corporationscomingunderthescopeofthisAgreement,whoare,ormaybecome signatoryparties to thisAgreement, agree that theexistingHealthandWelfareTrustFundincludingallamend-ments,shallcontinueinfullforceandeffectforthepurposeofprovidingHealth-WelfareandDentalbenefits forall eli-gible employees coveredby thisAgreement, and shallpayintotheexistingOregon-WashingtonCarpenters-EmployersHealth-WelfareandDentalFundamountspercompensableman-hourasdetailed inScheduleA. Suchpayments shallbemademonthlyinaccordancewiththerequirementsoftheTrustAgreement,andallapplicableprovisionsoftheexistingTrustAgreementshallcontinueinfullforceandeffect.TheFundestablishedbypriorcontributionsshallberecognizedasafundheldinTrust,andthereforeanappropriatedeposi-taryforthecontributionsreferredtohereinabove.

Section 5.2. ItshallbeaviolationofthisAgreementfortheUniontoallowworkerscoveredbythisAgreementtoworkforanemployerwhofails,afterduenotice,tomaketheprop-er contributions to theHealth andWelfare Fund in accor-dancewiththeprovisionsofthisAgreement.

“DueNotice”–shallmeanthattheUnion(1)hassentaletterbycertifiedmail,or(2)hand-deliveredtotheemployerno-tifyingtheemployer that theemployerhasallegedlyfailedtomakethepropercontributionstotheHealthandWelfareFundinaccordancewiththeprovisionsofthisAgreement.

Theemployermustsubmitproof,verifiedbytheapplicabletrust,thattheyareinfullcompliancewithallcontributionstotheapplicableHealthandWelfareFundandmusthavetheproofsubmittedtoandreceivedbytheUnionwithinthree(3)businessdaysoftheUnion’sserviceofthenoticeontheemployer.

NotwithstandinganyotherprovisionofthisAgreement,thepartiesexpresslyagreethatthedecisionoftheUnionwheth-erornottoallowworkmentobecoveredbythisAgreementtoworkfortheallegedlydelinquentemployershallbeattheUnion’ssoleandexclusivediscretionandtheUnion’sdeci-sionshallbeconclusivelyfinalonallparties to thisAgree-ment.

Section 5.3.Intheeventanemployerfailstomakethemon-etary contributions in conformity with this Article of theAgreement, or becomes delinquent in its payment to theTrustFunds,itshallnotbeaviolationoftheAgreementfortheUniontostrike,picket,ortakeanyothereconomicorle-galaction,providedtheUnionshalltakenoeconomicactiontoenforcethesubcontractorprovisionscontainedherein,butshallhaveavailabletoitallotherlegalmeansofenforcement.

Section 5.4. Wheneveranemployerbecomesdelinquent inmakingpaymentstoanytrustfundsprovidedhereinandisdelinquentfortwoconsecutivemonths,suchemployershallthereupon deposit either a cash bond or indemnity bondwiththeAdministratororsaidtrusts thereafter. Saidbondshallbeinanamountequaltothelargestamountsowedbysaidemployertoallofsaidtrustsforanymonthduringthelast twelvemonthsprecedingdelinquencyand innoeventshallsaidbondbeinanamountlessthanFiveThousandDol-lars($5,000).

Section 5.5. If a government-mandated medical insuranceprogram should become enacted, the contract shall be re-openedwithin30daysfornegotiationsonhealth&welfarecontributiononly.

Section 5.9.Wheneveranemployerbecomesdelinquent inmakingpaymentstoanyofthetrustfundsprovidedforhere-inandisdelinquentfortwo(2)consecutivemonths,suchem-ployershallthereupondepositeitheracashbondorindem-nity bondwith theAdministrator of said trusts thereafter.Saidbondshallbeinanamountequaltothelargestamountowedby said employer to all of said trusts for anymonthduring the twelve (12)monthspreceding saiddelinquencyand innoevent shall saidbondbe inanamount less thanFiveThousandDollars($5,000).Thetrusteesofsaidtrustsmayorderanauditofemployeeearningsandhoursworkedwhen, intheirdiscretion,verificationofcontributions isre-quired;suchauditstobepaidforbythetrustsinvolved.

Section 5.10.Theemployersherebyratifyandadoptthepro-visions of the TrustAgreement datedMarch 17, 1955, andamendmentstheretosubsequentlyadoptedbetweentheAs-sociatedWallandCeilingContractorsofOregonandSouth-westWashington, Inc., and thePacificNorthwestRegionalCouncil ofCarpenters, and signatory employersnot repre-sentedbyeitheremployerassociationherebydesignate theemployer trusteesprovided for in saidTrustAgreementastheirrepresentativesintheadministrationoftheTrustFund.

Section 5.11.It isagreedthattheUnionmayelect,onsixty(60) days notice inwriting, to divert anypart of thewageincreasescheduledtoadditionalcontributionstotheHealthandWelfare,Pension,StateCouncilDeductionand/orVaca-tionFund.

Section 5.12.TheemployeragreesthatupontherequestoftheTrusteesoftheOregon-WashingtonCarpenters-Employ-ers Health andWelfare Trust and their certification that amergerwiththeotherCarpentersTrustsin/fromotherloca-tionsisinthe“bestinterestoftheparticipants”theEmployerwillcooperateineffectuatingsuchamerger.

Article 6Pension

Section 6.1. InadditiontothewagescaleslistedinSchedule“A”herein,allpersons,parities,firmsorcorporationscomingunderthescopeofthisAgreement,whoare,ormaybecomesignatoryparties to thisAgreement, agree that theexistingPensionTrustFundincludingallamendmentsshallcontinueinfullforceandeffectforthepurposeofprovidingPensionbenefitsforalleligibleemployeescoveredbythisAgreement,andshallpayintotheexistingOregon-WashingtonCarpen-ters-Employers Pension Fund amounts per compensableman-hour,asdetailedinSchedule“A”.SuchpaymentsshallbemademonthlyinaccordancewiththerequirementsoftheTrustAgreementandallapplicableprovisionsoftheexistingTrustAgreementshallcontinueinfullforceandeffect.TheFundestablishedbypriorcontributionsshallberecognizedasafundheldintrust,andthereforeanappropriatedeposi-taryforthecontributionsreferredtohereinabove.Contribu-tionsarelistedinSchedule“A”,ofthisAgreement.

Section 6.2.ItshallbeaviolationofthisAgreementfortheUniontoallowworkerscoveredbythisAgreementtoworkforanemployerwhofails,afterduenotice,tomaketheprop-ercontributionstothePensionFundinaccordancewiththeprovisionsofthisAgreement.

In addition to thewage scale listedherein, allpersons, firms or corporations who are signatory partiesto thisAgreementshallpay into theLathersFringeBenefitFund,hereafterestablishedforthepurposeofprovidingpen-sionbenefitsforallemployeescurrentlycoveredunderthisplanuntilJuly31,2013.EffectiveAugust1,2013,Latherem-ployeeswillreceivepensionbenefitsasdescribedinSection1ofthisArticle.ContributionsarelistedinSchedule“A”ofthisAgreement.

Section 6.5.

(A) Theemployershallprovideforavoluntarydeductiononanindividualbasisandforwardtotheemployee’sdesig-natedindividual401(k)accountthroughtheadministra-toroftheexistingTrustatnocosttotheemployer.Em-ployeesshalldesignatetheamounttobedeductedandshown on the dispatch slip. Employeesmay increaseordecreasethepercentagetheycontributeorstoptheircontributions to thePlanatany time. Tomakeanyofthesechanges,theymustsubmitanewsalaryreductionagreement form to theirLocalUnionandEmployeratleastfourteen(14)daysbeforetheywantthechangetobeeffective.Thisisanon-matchingplanandshallnotbechangedtorequireemployercontributionsnoworinthefuture.

(B) It is furtheragreed that theTrustFundestablished forthepurposeofprovidingpensionbenefits,shallbeonethat is jointly establishedandequallyadministeredbytrusteesfromthecontractorandUnion.

Article 7Vacation Fund

Section 7.3.ItshallbeaviolationofthisAgreementfortheUniontoallowworkerscoveredbythisAgreementtoworkforanemployerwhofails,afterduenotice,tomaketheprop-ercontributionstotheVacationFundinaccordancewiththeprovisionsofthisAgreement.

Section 7.4. Theemployeralsoagrees toshowthisonthecheckstubasaseparatehourlywage,andtaxesdeductedfromthisFund.TheemployeragreestopaythisFundforeachandev-eryJourneymenLatheremployee. Article 8Pacific Northwest

Regional Council of Carpenters Deduction

Section 8.1. Upon presentation of a proper authorizationform executed by the individual employee, the employeragrees,todeducttheapplicablePacificNorthwestRegionalCouncilofCarpentersDeductionmoniesandallnegotiatedincreases thereto from taxablewageand remit same to theUnioninaccordancewithSchedule“A”duringthelifeofthisAgreement.ItisunderstoodtheEmployerswillremiteachmonththisdeductioninaccordancewiththisArticleonthetransmittal formsused for fringe benefit contributions andthattheproratacostsofsuchformsandthecollectionandaccounting thereofwill bepaidby theUnion to the fringebenefitadministrator.

Section 8.2. The authorization forms shall be supplied bytheUnionandtheemployerisundernoobligationtosolicitemployeesforauthorization.

Section 8.3. TheUnion guarantees that the PacificNorth-westRegionalCouncilofCarpentersDeductionshallbetheuniformamountapplicabletoallmembersoftheUnioncov-ered by thisAgreement as established by themembershipthroughtheirdulyelecteddelegatesinaccordancewiththeUnionConstitution. TheUnionguarantees that theUnionfund collected in thismanner shall not beused as a strikefundagainsttheemployerspartytothisAgreement.ShouldtheUnionviolateeitheroftheprovisionsofthisparagraph,thisArticleshallbenullandvoidfortheremainingperiodofthisAgreement.

Section 8.4. Theprocedureshallnotbeapplicableto initia-tionfees,fines,orreadmissionfees.

Article 9Walls and Ceilings Industry Promotion Fund

Section 9.1. In addition towage schedules listed, all em-ployersaffectedbythisAgreementshallpayintoaWallsandCeilings Industry Promotion Fund the sum of thirty cents($.30)foreachcompensablehourworked.Continuationandamounts for this fundwill be a negotiable itemat all con-tractopenings.ThesefundsaretobeinnowayusedagainsttheinterestoftheUnion.SaidfundsaretobecontrolledbytheAssociatedWallandCeilingContractorsTrusteesandallcostsofadministrationbornebythisfundalone.

Section 9.2. Recordsastotheuseofthesefundsmaybere-vieweduponproperrequestbytheUnionidentitiestothisAgreement.TheUnionwillbefurnishedacopyoftheTrustdocumentandanyamendmentsthereof.

Section 9.3. Contribution amounts to this fund may bechangedatanytimebytheAssociatedWallandCeilingCon-tractorsofOregonandSouthwestWashington,Inc.,bygiv-ingsixty(60)dayswrittennoticetoallsignatoryemployersandtotheUnion.SuchchangetobereviewedbyJointLa-bor-ManagementCommittee.

Article 10Training Trust Fund

Section 10.1. In addition towage scales listed in Schedule“A”, all employers shall pay into the Oregon-WashingtonCarpenters’ Training Trust Fund sums per compensablehoursworkedasdetailedinSchedule“A”.

Section 10.2. The existing Oregon-Washington Carpenters’TrainingTrustFund,includingallamendments,shallcontin-

ueinfullforceandeffectandshallberecognizedasafundheldintrust,andthereforeanappropriatedepositoryforthecontributionsreferredtohereinabove.

Article 11Utility Worker

Section 11.1. Utility Workers will be allowed to performall phases of work covered underArticle 1, Section 1.6 oftheAgreementwiththeexceptionofinstallation. NoUtili-tyWorkermay installmaterialsorperformworknormallyconsidered tobe thatofanExteriorand InteriorSpecialist.If, throughthegrievanceproceduresoutlined inArticle24,aContractorisfoundinviolationofthisprovision,requestsfordispatchofUtilityWorkers by theviolatingContractorwillbedeniedforaperiodofoneyear.

Section 11.2. Rules governing the employment of UtilityWorkersshallbe thesameas forallotherExterior/InteriorSpecialistemployeesunderArticle2oftheAgreement.

Section 11.3. Theemployermayemployone(1)UtilityWork-erforfive(5)ormoreregularemployees.Noemployershallemploymorethantwo(2)UtilityWorkersregardlessofthenumberofemployeesworkingforthemwithouttheapprov-aloftheUnion.NoemployershallemployaUtilityWorkeriftheUnionortheLabor-ManagementCommitteefindssuchemploymentdetrimentaltotheApprenticeshipProgram.

Section 11.4. UtilityWorkers,withaminimumofonethou-sand(1000)hoursofemployment,maybegranteddirecten-try into the Exterior and Interior SpecialistApprenticeshipProgram.

Section 11.5. Utilityworkersshallbepermittedtoinstallin-sulationandotherdutiesasprescribedasutilityworkintheExterior/InteriorSpecialistContract.

(A) Alltoolsthatmayberequiredforsuchinstallationshallbesuppliedbytheemployer.

(B) AUtilityWorker shall not be permitted to use powertools,withexceptionofinstallationofinsulationunderthetermsofthissection.

(C) The employer shall be granted two (2) utilityworkersperjob,butshallnotemploymorethansix(6)percom-panywithout theapprovalof theUnion, for installinginsulationonly.

(D) Additionalutilityworkersonaperjobbasismaybeap-pliedforthroughtheBusinessRepresentative,whoshallhavetherighttograntordenyanyrequest.

(E) Allutilityworkersshallbehiredonlyfromtheout-of-work listof thePacificNorthwestRegionalCouncilofCarpenters Central Dispatch office (253) 945-8830 or(800)953-6444.

(F) All utility workers installing insulation shall be dis-patchedonajob-by-jobbasis.

(G) Exterior/InteriorUtilityWorkerswage&fringerateinaccordancewithSchedule“A”.

Article 12Apprenticeship And Training

Section 12.1.

(A) Recognizing theneed for an adequate supply of qual-ified carpenters, the Association and Union mutuallyagree to activelypromote, andparticipate in, joint ap-prenticeshipandskilladvancementprogramsdesignedtomeetthisneed.

(B) ThePacificNorthwestRegionalCounciland theAsso-ciationjointlybelievethatitisoftheutmostimportancetotheindustrythatthecurrentapprenticeshipandskilladvancement program be utilized to its maximum toprovidequalitytrainingprogramsforallsegmentsandareasoftheindustryinordertoqualifyandmaintainaskilledworkforce.Tothatend,thePacificNorthwestRe-gionalCouncilofCarpentersandtheAssociationagreetothefollowingagenda.

Section 12.2. Such programswhich exist or are developedtoachievethisendandaresupportedinwholeorpartfromfundsderivedfromthisAgreementshall:

(A) Bejointlyadministeredbyequalrepresentationofman-agement,asappointedbytheAssociation,andlabor,asappointedbytheUnion.

(B) ComplywithallapplicableStateandFederalregulationsgoverningsame.

(C) ComplywithOregonand/orSWWashingtonConstruc-tionCarpenterSelectionProcedure.

(D) Predicateanapplicant’sentranceintoandadvancementintheprogramsolelyuponresultsofevaluationproce-duresdesignedtoreflecttheminimumcompetencynec-essarytosatisfactorilyperformtherequirementsofanygivenlevel.

(E) Issue certificationofachievement toeachperson satis-factorilycompletingtheprogram’suniformcompetencystandardsasestablishedbypartiestothisAgreement.

Section 12.3. Apprenticeship JATC

(A) JATCshallhavesixsetsofStandards–Carpenter,Exte-rior/InteriorSpecialists,Millwrights,MaintenanceMill-wrights,PileDriversandScaffoldErectors.

(B) GeographicAreawillincludealloftheStateofOregonandthatpartoftheStateofWashingtoncurrentlycov-eredbytheCollectiveBargainingAgreements.

(C) OneJATChasbeenestablishedfortheentirecollectivebargainingarea.AlloftheoriginalJATC’shavebecomeAreaSub-Committeesandhaveretainedtheirgeograph-icareas.AppointmenttoAreaSub-Committeemember-ship is per Labor/Management Collective BargainingAgreement.

(D) Laborshallappoint4labormembers&4alternatelabormembersandmanagementshallappoint4managementmembersand4alternatemanagementmembers to theJATC.Managementmemberswillbeappointedasfol-lows;AssociatedGeneralContractors one (1)plusone(1)alternate,GeneralandConcreteContractorsAssocia-tionInc.one(1)plusone(1)alternate,WallandCeiling

Association one (1) plus one (1) alternate,Member-at-Largeone(1)plusone(1)alternate;appointedbyagree-mentbetweenthethreeAssociations.Boththelaborandthemanagementassociationswillendeavortomakeap-pointmentsfromacrosstheCollectiveBargainingArea.

(E) Memberswillserveuntiltheyresignorarereplacedbytheappointingauthority,orinthecaseoftheMembers-at-Large, removedby agreementof at least twoof theassociations.

(F) TheChair andSecretarypositions of the JATCwill berotatedonanannualbasisbetweenlaborandmanage-ment.

(G) TheJATCshallberesponsiblefortheevaluationandse-lectionofallapplicantsandapprentices.Theareasub-committeesshallconductselections,evaluationandre-ratesinaccordancewithJATCpolicysubjecttothefinalapprovalbytheJATC.

(H) TheJATCshalladministertheapprenticeshipprogramtomaximizeitseffectivenessthroughoutthebargainingareainaccordancewithapplicablelawsandregulations.TheJATCshallutilizeareaandspecificdisciplinesub-committeestocarryoutcertainofitsresponsibilities.

Section 12.4. Apprentices

(A) Apprentices shall be indentured to the JATC but willbe under the supervision and direction of the AreaSub-Committee to which the apprentice applied andwasaccepted.

(B) Apprentices shallwork in the trade towhich they areindentured andmaywork for any approved TrainingAgent throughout theOR/SWWACollectiveBargain-ingArea.

(C) Apprentices may request transfer from one AreaSub-CommitteetoanotherasallowedintheJATCPolicy&Procedure.Thiswouldbean“inhousetransfer”andwouldnotrequirere-registrationwiththeStateofOre-gonorWashington.

Section 12.5. Training Agents

(A) All contractors signatory to a local area collective bar-gainingagreementwiththeUnitedBrotherhoodofCar-pentersarerecognizedTrainingAgentsthroughouttheOR/SWWA Collective Bargaining Area unless deter-minedotherwisebytheJATC.

(B) Theemployer shall takeall stepsnecessary to see thateachapprenticeworksunderandwithcompetentjour-neymen in the occupation forwhich the apprentice isbeing trainedand isassigned toworkingand learningtaskssothattheapprenticemasterstheon-the-jobtrain-ingandrelatedinstruction.

(C) Theemployermustcomplywiththeprovisionofthesestandards and any agreement applicable to the spon-sor’sprogram.Theemployer,onformsapprovedbytheOregonStateJointApprenticeshipandTrainingCouncil,mustmake regular reports to the appropriate appren-ticeshipcommittee.

(D) TheJATCshallhavetheauthoritytodeterminewhetherthecontractorisincompliancewiththerulesandregula-

tionsfortheoperationoftheapprenticeshipcommittee.Should the committeedetermine that the contractor isnot in compliancewith the apprenticeship regulationsand in theevent that thecommittee terminatesorsus-pendstheemployer’strainingagentstatus,theemploy-ershallnolongerbeeligibletotrainregisteredappren-tices. Termination of training agent status pursuantto this provision shall not affect the remainder of thisAgreementandallotherprovisionsshallremaininfullforceandeffect.

Section 12.6.Acontractor shall employat leastone (1)ap-prenticeonanyjobsiteonwhichfive(5)ormorejourneymenareemployedandatleasttheequivalentofone(1)apprenticeforeveryfive(5)journeymeninhis/hertotalworkforce.TheJointApprenticeship and TrainingCommittee (JATC) shallpermitenrollmentsufficienttosatisfythisminimumratio.

Section 12.7.Apprenticesshallberemovedfromthejob,forjustcause,bytheemployer,uponreceiptofwrittennotifica-tionfromtheApprenticeshipCommittee(JATC).

Section 12.8.Apprenticewage and fringe benefits shall beprovided in accordancewith the attached Schedule “A” attheappropriateapprenticeclassificationrate.

Section 12.9.Programswhichexistand/oraredevelopedtoachieve training shall be expanded to provide competencyevaluation.ProperlyqualifiedworkerswillbedispatchedbytheUnioninaccordancewithArticle2.2ofthisAgreement.

(A) Allapplicants,unlessevaluatedpriortoplacementonajob,mayonlybedispatchedasproperlyregisteredfirsttermapprentices.

(B) Applicants not claiming prior experience will be pro-cessedaccordingtotheOregonand/orSWWashingtonConstruction Carpenter Selection Procedure as hereinoutlined.

(C) Applicantsclaimingpriorexperienceshallbescheduledatthenextregularevaluationdatetodeterminejourney-manorassignedapprenticeshipcompetencylevel.

(1)Thoseapplicantsevaluatedasjourneymenwillbeplacedontheout-of-worklist.

(2)Thoseapplicantsevaluatedasapprenticeswillbeassignedtheappropriatelevelofcompetencyandpro-cessedaccordingtotheOregonand/orSWWashing-tonConstructionCarpenterSelectionProcedure.

Section 12.10. Anevaluationprocedureforapplicantsclaim-ingpriorexperiencewillbedeveloped.TheevaluationwillbeadministeredbytheContractororUnionRepresentative.Theevaluationprocedurewilldetermine:

(1) If the individualpossesses theminimumcompe-tencystandardsofajourneymanor;

(2)Theapplicableapprenticecompetencyleveloftheregistrant.

EvaluationresultsshallbegiventotheSecretaryoftheCom-mittee. The Secretary shall advise the local union and theemployeroftheassignedapprenticecompetencylevel.

Section 12.11.WorkersadmittedtotheUnionasaresultoforganizational effort shall be afforded the opportunity ofevaluationinaccordancewithSection12.10above.Sucheval-

uation shallbe supplied theemployer toassisthim/her inassigningthecompetencylevelofhis/heremployees.

Section 12.12. Special Needs Journey Level Training

(A) WhentheEmployerhasaneedforSpecialNeedsJour-ney Level Training, consistent with the semi-annual-ly published Carpenter Training Program schedule ofclasses, trainingwillbeprovidedatnocost to theem-ployerwhenasufficientnumberofemployeesareavail-ableforclasses. Ifascheduledclassisnotavailabletomeet theemployer’sneeds, theemployermay requestthedevelopmentofanindustryprogramthroughthere-spectiveestablishedJATC,oranotherexpedientvehicleifrecommendedbytheDirectorofTraining.

(B) TheAssociationandUnionjointlyagreetocooperateim-mediatelyinthedevelopmentofaprogramofcontinu-ingeducationforthecarpenter’sworkforce.

Section 12.13. Foreman Training

(A) Foreman Supervisory Skills. The Association, theUnion, and the respective training affiliates agree tocommence efforts on journeyman skill advancementtraining programs which focus on foremen’s supervi-soryskillsandresponsibilities.Theseprogramswillbeoffered throughout thebargainingareawithparticularemphasisintheruralareas.

(B) Premium for Foreman.Anincreasedforeman’spremi-umoftwopercent(2%)foratotaloftenpercent(10%)willbeprovidedfor:

(1) Individuals who successfully complete a jointlyagreeduponForeman’sTrainingCurriculumand;

(2)Theindividualisassignedasaforemanbyhis/heremployer.

Section 12.14. Journeyman Training

(A) As a condition of maintaining qualified status, everyJourneyman shall take continuing education trainingannually. Trainingwill be provided through theUBCInternationalTrainingCenter(ITC)orthePacificNorth-westCarpentersInstitute(PNCI).Aminimumoftwo(2)classesfromtheapprovedsafetyclasslist(List1below).

(B) Forthispurpose,thetrainingyearshallrunfromJanu-ary1sttoDecember31st.

(C) On January 1 of each calendar year, journeymen willhavemetthetrainingrequirementormaybesubjecttodisqualificationandineligiblefordispatch.

(D) Contractorshavecommittedtotakinganactiverole inthetrainingprocess.

(E) Participating contractorswill receive a list of location,datesandtimesofclassesscheduledbytheITCorPNCIspecificallyforeachemployer’sworkforce.

(F) Thirty(30)daysinadvanceofscheduledtrainingclassesContractorswillprovidePNCIwiththenamesofthoseemployees thatwill attend training for thepurposeofenrollment.

(G) Thosemembersunemployedornototherwisescheduledfortrainingthroughtheiremployerwillaccesstrainingthroughthenormalprocess.

(H) TheLabor/ManagementCommitteewillhaveauthori-tytoresolveall issuespertainingtothecontinuinged-ucation program includingmodifications to the list ofrequiredtrainingclassesasneeded.

Article 13Payroll Procedures

Section 13.1.Employeesshallbepaidbyoneofthefollowingmethods:

(A) Schedule: Employees shall be paid in full once eachweek(onthesamedaypercontractor),butinnoeventshallmorethanfive(5)days(Saturday,SundayandHol-idaysexcluded)wagesbewithheld.Iftheregularpay-dayfallsonaHoliday, theemployeesshallbepaidonthelastregularworkdaybeforetheholiday.

(B) Methods:AttheelectionoftheEmployeroneofthefol-lowingoptionsofpaymentwillbeutilized:

(1)Bynegotiablecheckmadeonlocalbank,paidatjobsite,or

(2)Directdepositinemployee’sbankaccount

(3)Bymail(atelectionofemployeeinwriting).Ifpaidbymail, check shall bepostmarkedormetereddatenotlaterthantwo(2)businessdayspriortotheestab-lishedpayday.

(4)PayCards-Employeemaywithwrittenauthoriza-tion,authorizeemployertoprovidepaymentofwagesbyVISApaycard.Paycardmustallowemployeeone(1)withdrawal per pay period at bankswho honorVISAwithnofeeorcharge.Employersagreetocardreplacementatnochargetoemployee.

(C) Documentation: The Employer shall furnish to eachemployeeatthetimeofpaymentofwagesanitemizedstatement showing the pay basis (i.e., hours or daysworked),rateorratesofpay,grosswages,andalldeduc-tionsforthatpayperiod.Inaddition,thename,addressandphonenumberoftheEmployershallbeindicated.

(D) Adjustments: No adjustment of disputed pay will bemadeunlesstheworkerortheUnionshallmakeaclaiminwriting to the Employer’s representative thirty (30)daysfromthepayperiodinquestion.Nopenaltyshallaccrueupto2businessdaysafteranemployerismadeawareofclaiminwriting.

(E) Penalty: If the payment is notmade expressly as pro-videdherein,thentheemployeeshallbepaideight(8)hourspayattheappropriatehourlywagerateforeachtwenty-four (24) hour period thereafter until paymentismade.Inthecaseofpaymentbymail,thepostmarkormeteredmaildateontheenvelopewillserveasthecutoffforanypenalty.Saidcheckshallbemailedtoanaddressoftheemployee’schoice.Inthecaseofdirectde-posittoemployee’sbankaccount,theemployer’sbankstatementElectronicFundTransfer(EFT)effectivedateshallserveasthecutoffforanypenalty.

(F) Non-Sufficient Funds: In the event an employee re-ceivesanon-sufficientfunds(NSF)check,thepaymentshallbebymoneyorderorcertifiedcheck.Inaddition,anydocumentedbank fees or charges incurredby theemployeeasaresultofreceivinganNSFcheckpayment,willbereimbursedtotheaffectedemployee.Ifrequest-ed,aletterofexplanationwillbesenttotheemployee’sbankandanycreditorsthatmayhavebeenaffected.IfanemployeereceivesanNSFcheckforthesecondtime

inanyfour(4)weekperiods,themake-upcheckandallsubsequentpaymentsshallbebymoneyorderorcerti-fiedcheck.

Section 13.2.Checksmailedlaterthanthree(3)businessdaysaftertermination,oroption(C)or(D)abovewillbesubjecttoadditionalpayat regularwagesduehim/her. Eight (8)hoursforeachdaypastduebasedonthepostmarkcancella-tiondateofthepayment.

Section 13.3. Cashorcheckuponwhichthereisnochargeforexchangeshallbethepaymedium.Thecontractorshallin-cludewitheachweeklypaymenttotheemployeeaseparate,detailed statement showing thenameof the employer andthewithholdingdeductionsmade.Employeeslaidoffshallbepaidon thenext regularly scheduledpayday excludinganyholdbackperiod. If theemployee isnotpaid inaccor-dancewiththisprovisionanditbecomesnecessaryforhim/hertoreturnatalaterdateforsuchpayment,suchemployeeshallbeentitledtotheregularreportingpayasprovidedinthisAgreement inaddition to the regularwagesduehim/her.

Section 13.4.Anyclaimforwages,travel,subsistenceorre-portingpaydueanemployeeshallbepresentedinwritingtothecontractorbytheUnionandmustbereportedtotheUnionbytheemployeeinwritingwithinthirty(30)daysofinfraction.

Article 14Stewards

Section 14.1. Thereshallbeastewardonthejobatalltimesduring the regular established shiftswhile theworkof theBrotherhoodisbeingperformed,iftheBusinessRepresenta-

tivedeemsitnecessary.He/sheshallbeaworkingjourney-manappointedbyandforthedurationoftimetheBusinessRepresentativeoftheUniondeterminesisnecessary.

Section 14.2.He/sheshall,inadditiontohis/herworkasajourneyman,bepermittedtoperformduringworkinghourshis/herofficialdutiesasastewardwhichshall include thefollowing:

1.SecuringtheWeeklyStewardReport;

2.When a tool check is required by the company, thestewardshallbeinattendanceandpickupthetoolsofasickorinjuredworkerandnotifytheBusinessRepresen-tativeandtheworker’sfamily.Intheeventofalosttimeinjury,ora fatality, thestewardwillwriteallpertinentinformationonthebackofthecurrentStewardReport;

3.TransmittotheBusinessRepresentativeallcomplaintsandgrievancesemanatingfromthejob.

Section 14.3. It is expressly understood and agreed that asteward’sdutiesshallnotincludeanymattersrelatingtore-ferral,hiring,terminationordiscipliningofemployees.He/sheshallnotinanywayobligatetheUnionorBusinessRep-resentative in anymatter of policy, interpretation of LaborAgreementsorinanyotherprerogativesusuallyassignedtotheBusinessRepresentative.

Section 14.4. In no event shall an employer discriminateagainst the steward, or discharge him/her on account ofanyaction takenbyhim/her in theproperperformanceofhis/herUnionduties.Theemployershallnotify theUnioninwriting,forty-eight(48)hourspriortodischarge,ofhis/herintentiontodischargeastewardforcause,providedprior

identificationofthestewardhasbeenmadetotheemployerinwriting.Ifthestewardisimproperlylaidoffordischargedwithoutforty-eight(48)hoursnoticetotheUnion,thentheemployer shall pay two (2) dayswages for such violation.ThisprovisionmaybesubjecttoanappealtotheLaborMan-agementCommittee.

Section 14.5. The Stewardwill not bedischargedor trans-ferred for actions taken in the proper performance of theSteward’sduties. TheUnionand theStewardshallbeno-tifiedinwritingforty-eight(48)hoursbeforehe/sheistobelaidoffordischargedexceptwhenheorsheisthelastjour-neymanonthe jobotherthantheforeman. Intheeventofatemporarylayoff,ifqualified,theStewardwillbethefirstworkergiventheopportunitytoreturntowork.ReductionofforceisnotconsideredcauseforseparationoftheStewardwhensaidStewardisqualifiedtoperformthescopeofworkremainingonjobsite.

Section 14.6.Ifintheopinionoftheemployer,thestewardisnotoperatingwithinthescopeofthisAgreement,orthathe/sheisexceedinghis/herauthority,theemployershallnotifytheBusinessRepresentativewhoshalladjudicatethematter.

Article 15Working Conditions

Section 15.1. ThecontractorandmembersoftheUnionshallcomplywith all applicableprovisions of State andFederalhealth,sanitationandsafetylaws,andregulations.Workersshallnotbepermittedtoworkonunsafescaffolds,withun-safeequipment,wherepropersafeguardsarenotprovided,underconditionswhichareunsafe,orinjurioustohealth.Alldefective equipment, scaffolding, tools and supplieswhichcouldcreatepossiblesafetyhazardsshallbetakenoffthejob

orrepairedimmediately.Eachworkershallimmediatelyre-portallunsafeconditionstotheirsupervisor.Thislanguageistobepostedanddiscussedatweeklysafetymeetings.TheSeniorSupervisoronthejobshallbeheldjointlyresponsiblewiththecontractor,forfullenforcementoftheprovisionsinthisparagraph.He/sheshallberequiredtoacquireadequatetraininginsafetyasprovidedbytheStateIndustrialAccidentCommission.

Section 15.2. Employeesshallbeallowedsuchtimeasneces-sarytocollect,cleanandstoretoolsinthedesignatedplacebeforequittingtime.

Section 15.3. Eachworkershallbeentitled topick-up timeat theendofeachdaywhichshallnotbe less thanfive(5)normorethanfifteen(15)minutes,exacttimetodependonaccessibilitytoactualplaceofworkandtobeestablishedbymutualagreementatthejobsiteconferencebyarepresenta-tiveof the individualemployeranda representativeof theUnion.Employeesreceivingnoticeofdischargeshallbeal-lowedtopick-uptimeprevailingonthejob,toassembletheirtools.

Section 15.4. Anadequatesupplyofpure,cool,cleandrink-ingwaterandsanitarydrinkingcupsshallbekept incloseproximitytoworkersatalltimes.Atnotimeshallwaterbagsbepermitted.

Section 15.5. Toilets,urinals,latrinesofapprovedtypesandinsufficientnumberandincleanandsanitaryconditionshallbeprovidedonalljobs.Anyworkerfoundnotcooperatinginkeepingsanitaryfacilitiescleanandundamagedshallbesubjecttodischarge.

Section 15.6. When working with material or equipmentwhich is contaminated with human waste, the contractormustfurnishsuitablefacilitiesfortheworkerstowashand

disinfect their hands immediately before the lunch periodand this time (ten (10)minutes) shall not be considered aspartofthelunchperiodtime. Workersworkingwithtoxicmaterialssuchasepoxies,solvents,paint,adhesives,chemi-cals,radiationsewagegassesandirritantssuchasfiberglassblankets,insulationorsoundattenuationshallbefurnishedwithproperinstructions,safetyprocedures,protectiveequip-ment,respirators,showersandwashingfacilitiesand/oranyothermeasurenecessarytomaintainmaximumsafety.

Section 15.7. FirstAidKitsandotherapprovedemergencyequipmentshallbekeptinconvenientandeasilyaccessibleplacesatalltimes,andshallbeinthechargeofanaccreditedFirstAidOperator.

Section 15.8. Shouldanemployeebe taken toanymedicalfacility due to a lost time injury, theUnionRepresentativeresponsiblefortheareathejobislocatedinshallbenotified(byphoneorfaxore-mail)assoonaspractical.IntheeventthejobhasaSteward,heorsheshallbenotifiedoftheinjuryassoonaspractical.

Section 15.9. Employeesshallbegrantedtworestperiodsoften(10)minutesdurationeachday;onepriortolunchperiodandonebetweenlunchperiodandendofworkshift.Reg-ulartimeofthesebreakstobedeterminedbythecompany.

Section 15.10. Ifsiteconditionsallow,adequatefacilitiesshallbeprovidedwithin a reasonable time for employeeswhentherearefour(4)ormoreforaweekorlonger,inwhichtodrytheirclothesandeattheirlunches.Sameshallbeequippedwithadequateheat. The storageof suppliesorequipmentshallnotinterferewiththeuseofthesefacilitiesasprovidedherein.

Article 16Miscellaneous Provisions

Section 16.1. All employees shall have tools sharp and ingoodconditionupongoingtothejob.

Section 16.2. Noemployeeshallbepermittedtotakeuponanyjob,loan,rentorotherwisefurnishanyladder,electricalcordoranypowertool.Theforemanshallberesponsiblefortheproofoftheownershipofallpowerequipmentandotheritemsmentionedin thisparagraph. Expendable toolssuchastaps,drills,files,hacksawblades,weldingequipment,in-cludinghood, glasses, gloves, jackets, vehicles, andopticalinstrumentsshallbefurnishedbytheemployer.

Section 16.3.Eachemployeeshallberesponsibleforhis/herown hand tools, includingwalk-up bench unless arrange-ments aremadeby the employer for storageon job site inadesignated lockupbox that is coveredbyappropriate in-surance.Ifemployeesusetheirownwalk-upbenches,theymust be kept in good repair. Employers agree to pay forparts/materialsforrepairofemployees’walk-upbenches.

Section 16.4. Whenpowersawsorothermachineryareusedonthejob,theymustbeoperatedbyqualifiedjourneymenorapprentices inaccordancewith theappropriateapprentice-shipstandards.

Section 16.5.Eachemployeewillmakeoutandsubmithis/herowndailytimerecordstothecompanyandthecompa-nyshallhaveatall timesanup-to-dateandaccuratesetofbooks, showing wages, hours, overtime hours, travel andsubsistence,andappropriatepaymentstogovernmentagen-ciesasrequiredbyFederalandStatelawoneachandeveryemployeecoveredundertheAgreement.

Section 16.6. WithnotificationtotheUnion,employersmayadopt a policy of supervisory personnel submitting dailytimerecordsofemployeesonselectedprojects.

Section 16.7. Company shall allow inspection of these re-cordsbyUnionRepresentative,uponrequest,atanytimetosatisfycompliancewithAgreement.

Article 17Travel Allowance and Lodging

NOTE: The clarification of work site is interpreted to mean where the workers actually perform the work.

Section 17.1. Thepaymentfortransportationreimbursementshallbegovernedbythefollowingprovisions:

(A) Thepartiesrecognizethatitissometimesinconvenienttoget to the job locationbecauseofvaryingdistances.The parties agree that the employer will not providetravel pay for employees. The Employers are accord-ingly agreeable to pay transportation allowance as anadjustmentforout-of-pocketexpensesolongassuchal-lowancesarenotconstruedasanyformofcompensationforemployment.Itisagreedandunderstoodthatwhiletravelingtoandfromwork,theemployeesarenotwith-in the course and scope of their employment and therelationshipofemployer-employeedoesnotcommenceuntilthehourlywagecommences.

(B) Transportation allowance for these recruited Exterior/InteriorSpecialistsshallbebasedonAAARoadMileagefromtheCityHallofthetransportationreferencecities.

(C) The employer agrees to pay toll fees on bridges andferriesprovidedtheemployeeshallfurnishreceiptsforsame,andshallbereimbursedweekly.

(D) Whenever, because of remoteness of parking areas,hazardous roadconditions,or security restrictions, theemployerisrequiredtofurnishtransportationforwork-erswithintheworksite to theplaceof theirwork, theprojectmanagementandtheUnionwillmeet toestab-lish any special condition surrounding suchman-hauloperations. When the employer furnishes such trans-portationtotheemployeewithoutcosttohim/her,theequipment shall include seats andprotection from theelementsanddefinitepickupanddischargepointsshallbedetermined.Iftherearemorethantwenty(20)min-utesoftimeconsumedfrompickuppointstoworksite,theemployeeshallbepaidforanytimeovertwenty(20)minutes.Iftherearemorethantwenty(20)minutesintimeconsumedfromworksitetopickuppointstheem-ployeeshallbepaidfor the full timespent in travelathis/herregularrate.Pickuplocationandtravelwillbenegotiated betweenBusinessRepresentative andman-agement. If anagreement cannotbe reached the JointLaborManagementCommitteeshalldecidethisissue.

(E) QuestionsofinterpretationofprovisionsofTransporta-tionAllowanceor transportationshallbesettled inac-cordancewiththeprovisionsofArticle24ofthisAgree-ment.

Section 17.2.

(A) Exterior/InteriorSpecialistswhoqualifyfortransporta-tionallowanceshallbepaidtheappropriatetransporta-tionallowancefordaysworkedorpartthereofandshall

bepaidappropriatetransportationallowancewhentheyqualifyforshow-uptime.Thecorrecttransportational-lowanceshallbebasedonAAAroadmileagefromtheCityHallofthetransportationreferencecitieshereinlist-ed.

(B) AllforWashingtonStatecounties;Cowlitz,WahkiakumandPacificshallbefromLongviewandmileageshallbecomputedfromthatpoint.

(C) Whenan employer specifically transfers anEmployee,zonepayshallbebasedontheemployee’soriginaldis-patchpointwiththatemployer.Thisshallnotapplytoemployeeswhovoluntarilyputthemselvesonanoutofworklistinanotherarea.

(D) All jobs or projects located more than sixty-one (61) milesandlessthaneighty(80)milesfromtherespectivecityhallofthecitieslistedbelowshallreceiveZone“B” allowance.Thetaxablerateofpayshallbeincreasedbysixdollars($6.00)perhour.

(E) All jobs or projects locatedmore than eighty-one (81)milesandlessthanonehundred(100)milesfromthere-spectivecityhallofthecitieslistedbelowshallreceiveZone “C” allowance. The taxable rate of pay shall beincreasedbyninedollars($9.00)perhour.

(F) Alljobsorprojectslocatedmorethanonehundred-one (101)milesfromtherespectivecityhallofthecitieslist-edbelowshallreceiveZone“D”allowance.Thetaxablerateofpayshallbeincreasedbytwelvedollars($12.00)perhour. If the employee is required to remainover-night, the employer and theUnion shallmeet. When

transportationorovernightaccommodationsofequalorgreatervalueareprovidedbytheemployer,thetwelve dollars($12.00)perhourrequirementmaybewaived.

Section 17.3. Alistofjobswillbefurnishedbycontractors.

Section 17.4. Theemployeragrees to reimburseemployeesfor actual toll fees on bridges and ferries. The employeesshall furnish receipts for sameandshallbe reimbursed forsuchtollsweekly.

Section 17.5. TravelPay,whereverapplicable,shallcontinuetoremainthesameforthedurationofthisAgreement.

Section 17.6. Exterior and Interior Specialists

Mutuallyrecognizedtransportationreferencecities.

Article 18Old Work Protections

Section 18.1. Public Funded: In the event aPublicWorksProject(PrevailingWageJob)isdeterminedbyeitheraFed-eral,State,orotherPublicAgency,tocontainalowerwageratethanthenegotiatedUnionwagerateinthisAgreement,theemployershallbeallowedtousetheprevailingwagerate

intheirbiddingprocess,andinpaymentoftheAgreement.Onsuchaproject, thedifferencebetween thepostedwagepackage(wagesandfringes)atthetimeofbidding,andthetotalUnionwagepackage (wagesand fringes) shallbede-ductedfromtheUnionwage.ThereshallbenoreductionintheUnion fringebenefitsunder thisprovision. TheUnionagreestodispatchemployeesatthelowerwageratetoem-ployerswhoare incompliancewithallotherprovisionsofthisAgreement.

Section 18.2. Legislative Change: If the voters or legisla-tureshouldrepeal theOregonPrevailingWage laws(LittleDavis-Bacon),thecontractmaybereopenedbyeitherpartywithathirty(30)daywrittennoticetotheotherpartyindicat-ingthedesiretore-openthecontract.

Section 18.3. Private Funded: AllworksecuredduringthetermofthisAgreementwillhavewageandfringeprotectionforthoseprojectsattheterminationofthisAgreement.

Article 19Successor Clause

Section 19.1. This Agreement, and any supplements oramendments thereto, hereinafter referred to collectively as“Agreements”,shallbebindinguponthepartieshereto,theirsuccessors,administrators,executorsandassignees.

Section 19.2. In the event the employer’s business is, inwholeor inpart, sold, leased, transferredor takenoverbysale, transfer, lease,assignment,receivershiporbankruptcyproceedings, suchbusinessandoperationshall continue tobesubjecttothetermsandconditionsofthisAgreementforthelifethereof.

Section 19.3. Itisunderstoodbythisprovisionthatthepar-tiesheretoshallnotuseanyleasingorothertransferdevicetoathirdpartytoevadethisAgreement.TheemployershallgivenoticeoftheexistenceofthisAgreementandthispro-vision toanypurchaser, transferee, lessee,assignee,etc.,ofthebusinessandoperationcoveredbythisAgreementoranypartthereof.SuchnoticeshallbeinwritingwithacopytotheUnion,atthetimetheseller,transferor,orlessor,executesacontractortransactionashereindescribed.TheUnionshallbeadvisedoftheexactnatureofthetransaction,notinclud-ingfinancialdetails.

Article 20Classification and Wage Scales

Section 20.1. Classifications,wagerates,effectivedates,anddurationwillbe inaccordancewithSchedule“A”attachedheretoandmadeapartofthisAgreement.

Section 20.2. Foreman Supervisory Skills:TheAssociation,theUnion,andtherespectivetrainingaffiliatesagreetocom-mence efforts on Journeyman skill advancement trainingprogramswhichfocusonForemen’ssupervisoryskillsandresponsibilities.Theseprogramswillbeofferedthroughoutthebargainingareawithparticularemphasisintheruralar-eas.

Section 20.3. Foreman’s Pay: Is8%aboveTotalTaxableWageandaddedtotheTaxableWage.

Section 20.4. Premium for Foreman: An increased Fore-man’sPremiumoftwopercent(2%)foratotaloftenpercent(10%)willbeprovidedfor:

(A) Individuals who successfully complete a jointly agreedupon Foreman’s Training Curriculum and, satisfactorilycompleteeight(8)hoursofSupervisoryTrainingannually.

(B) The individual is assigned as a Foreman by theiremployer.

Section 20.9. Distribution of Monies:

(A) It is understood, and agreed, that the Union and itsMembersshallhavetheoptionofdistributingany“To-talWage Package” as between wages, fringe benefits,vacation, training,etc. However, innoevent shall theHealthandWelfarecontributionsbemore,orless,thantheamountspecifiedintheCollectiveBargainingAgree-mentswhichcontributetotheOregon-WashingtonCar-penters-EmployersHealthandWelfareTrustFund.

Article 21Special Provisions

Section 21.1. Itisunderstoodandagreedbythepartieshere-to that when situations arise that require separate projectagreementscoveringworktobeperformedonspecificiden-tifiedconstructionprojectsinthegeographicareacoveredbythisAgreement,toprotecttheinterestsoftheContractorandpromote jobs forUnionmembers, suchproject agreementswillbenegotiatedinadvanceandthetermsandconditionsoftheseprojectagreementswillbemadeavailabletoallcom-peting contractors to protect the competitive bidding pro-cessonthatspecificgeographicjobsitelocation.Anyratesorconditionsnegotiatedinthesespecialprojectagreementswillnotgivethecontractortherighttoclaimsuchratesandconditionsforworkperformedongeographic jobsite loca-tionsotherthanthatspecificallydefinedinthespecialprojectagreement(s).LaborManagementCommitteeshallbenoti-fiedofallprojectagreements.

Section 21.2. In the event the Union negotiates a contractwithotherExteriorandInteriorSpecialists(otherthanthoseperformingonlyresidentialwork)whichhasmorefavorableeconomicterms,thentheemployershereunderwillhavethebenefitofanysuchmorefavorableterms.

Section 21.3. TheRegionalCouncil or theAssociationwillnotifytheLaborManagementCommittee,inwriting,ofanyamendments, modifications, exceptions, or addendums tothisAgreementwhichmightbenegotiatedinanyareacov-

eredbythisAgreementbetweentheUnionandanIndividualEmployerorgroupofIndividualEmployers.

Section 21.4. All committees and/or subcommittees shallconsistofanequalnumberofemployerandemployeerep-resentatives. TheUnionandtheAssociationshalleachap-pointtheirrepresentationtothecommittees.ThenumberofcommitteemembersshallbemutuallyagreeduponbetweentheUnionandtheAssociationunlessotherwisegovernedbyStateorFederallaw.

Article 22Drug and Alcohol Testing

Section 22.1. LaborandManagementagree that it is in thebestinterestofalltopromoteanalcoholanddrug-freework-ingenvironmentandpledgebothtoworkwithintheirownareasofinfluenceandtocooperatetothisend.

Section 22.2. Theemployerhastherighttoscreenemployeesforalcoholanddrugsasaconditionofemployment,aslongastheaboveisincompliancewithStateandFederallaws.

Section 22.3. Alltestingwillbepaidforbytheemployer.Iftestresultsarenegative,theemployeewillbepaidforhis/herhourlywagerateandfringesforthetimerequiredtotakethetest.

Section 22.4. ForthepurposeofadministeringtheDrugandAlcoholProgram, theWallandCeiling IndustryDrug-FreeWorkplace program will be incorporated into this Agree-ment.

Article 23Labor Management Committee

Section 23.1. Thereshallbeestablisheda JointLaborMan-agementCommitteewhoseemployermembersshallbeap-pointedbytheAssociations,andwhoselabormembersshallbe appointed by the Union. The Committee shall consistoffour(4)membersrepresentingmanagementandfour(4)membersrepresenting labor. Aminimumof two(2)repre-sentingeachpartyshallbenecessarytoestablishaquorumforthepurposeofconductingbusiness.

(A) TheLaborManagementCommittee(LMC)maybymu-tualagreementmakeamendmentszztoandchangesinthisagreement.

(B) The Committeemay initiate action on its own; inves-tigate and hold hearings on grievances and disputes;awardandassessremedies,damages,andpenaltiesforviolationsoftheAgreement;issueinterpretiverulingsorotherrulesandregulationsnecessarytogiveforceandeffecttothepurposeandintentofthisAgreementwiththeapprovalofbothparties, appointorhire suchper-sonsorcommitteesasmaybenecessarytoaidtheCom-mitteeintheperformanceofitsduties.

(C) TheCommitteeisherebyempoweredtoexaminethere-cordsofanyandallEmployersinregardtofringeben-efitpayments,payroll,ZonePay, transportation, traveltime,overtime,hoursofworkoranyothersuchitemasset forth in thisAgreement. Theymay initiate or rec-ommend or conduct audits of any employer’s recordscoveringtheobligationsunderthisAgreement.Itshallbe theirduty to see that theauditsare conducted inaprescribedmanner,andestablishapolicyregardingpay-mentofauditexpenses.

(D) Any expenses of theCommitteewill be borne equallybytheparties’signatorytotheLaborAgreement. TheCommittee shall meet regularly and special meetingsmaybecalledbyeitherpartyunderpoliciessetupbythisCommitteeandrecordedintheCommitteeminutes.

Section 23.2. The parties to this Agreement recognize thenecessity of assuring the competitive position of the par-tieswithintheindustryduringthetermofthisAgreement.Consistentwiththatrecognition,thepartieswillcontinuallymonitortheeffectivenessofthisAgreementrelativetospecif-icgeographicormarketareas.

(A) ThisLMCsub-committeewillseekspecificmarketinfor-mation fromavolumeof localmunicipality’sbuildingpermits, signatorycontractors,and the respective trustfund for the development of geographic and marketresearch facts. From such statistics,market goalswillbeestablishedandfactsanalyzedtocalculatewhatad-justmentsareneeded in theeconomicvariablesof thisAgreement. Economiccomponentsshallbedefinedaswages, fringebenefits,working conditions and specialaddendumagreements, but shall not be limited exclu-sivelytotheseelements.

(B) Measurable goals for specific markets shall be estab-lished to increasework opportunities of the signatorypartiesduringthelifeofthisAgreement.

(C) ThisLMCsub-committeeshallmeetmonthlytodevelopprocedurestocarryouttheintentofthebargainingpar-ties.

Article 24Settlement of Disputes and Grievances

Section 24.1. In cases of alleged violation,misunderstand-ings or differences in interpretation or application of thisAgreement,thereshallbenocessationorstoppageofwork.Bothpartiespledgetheirimmediatecooperationtoeliminatetheabove-mentionedpossibilities,andthefollowingproce-dure is adopted for this purpose. To be valid a grievancemustbefilednolater thanfifteen(15)workingdaysof theoccurrenceorknowledgebutinnoeventlaterthanthirty(30)workingdaysfromtheactualevent.WorkingdaysareMon-daythroughFridaynotcountinganylistedHolidays.

Section 24.2. Intheeventofadisputethefollowingproce-durewillbefollowedtoaddressthedispute:

Step One: In theevent thatadisputearisesandcannotbesatisfactorilyadjustedinformallybetweentherepresentativeof theUnion involvedand theEmployer, thedispute shallpromptly (not later than fifteen (15)working days), be re-ferredtotheauthorizedrepresentativeoftheUnionandtheEmployer or their authorized representative. Should theyfailtoeffectasettlement,themattermayproceedtoStepTwoifadvancedbythefilingparty.

Step Two: ThedisputeshallbereferredtoaBoardofConcil-iationwithinfifteen(15)workingdaysfromthedateoftheattemptedresolutioninStepOne.ThisBoardshallconsistoftwo(2)personswhohavenodirectinvolvementinthedis-pute,appointedbyeachparty.Ifadecisionisachieved,theBoard’sdecisionshallbefinalandbindingonallpartiesandaffectedemployees.Ifthesefour(4)personscannotachieveamajoritydecisionwithinseven(7)workingdaysafterthedisputehasbeenreferredtothem,themattermayproceedto

StepThreeifadvancedbythefilingpartywithinfifteen(15)workingdays.

Step Three: Thepartiesshallrequestalistofnine(9)North-westarbitrators(ifavailable)fromtheFederalMediation&ConciliationServiceandshallalternatelystrikenamesuntilonlyonenameremains.

Thispersonshallserveas theArbitrator toresolve thedis-pute.TheArbitratorsdecisionshallbefinalandbindingonallparties andaffectedemployees. All costsof employingtheArbitratorandconductingthehearingshallbebornebythelosingpartyandifthelosingpartycannotbedeterminedtheArbitratorcostsshallbedividedevenlybetweenthepar-ties.Eachpartyshallbearallofitscosts,fees,etc.ofconduct-ingitspartinanygrievancehearingorprocessing.

Section24.3.AnydecisionoftheArbitratorshallberenderedwithintwenty(20)workingdaysafterthedisputeisreferredtothem,andsuchdecisionshallbefinalandbindinguponallparties.Bymutualagreement,anyoftheaforementionedtimeframesinthisArticlemaybewaivedorextended.

Article 25Guarantee of Authority

TheindividualssigningthisAgreementintheirofficialcapac-ityherebypersonallyguaranteeandwarranttheirauthoritytoactforandbindtherespectivepartiesandorganizationsthattheirsignaturespurporttorepresent.
