Booth Application and PaymentTo reserve your booth location AFTER the 2015 NHIA Annual Conference,complete the enclosed Contract for Exhibit Space. Booth space is $37.50 persquare foot or $3,750 plus $100 for corner locations. A 50% deposit of therental for booth space(s) requested must accompany your contract. The balanceof the booth rental must be paid on or before December 22, 2015. AfterDecember 22, 2015, contracts must be submitted with full payment.

Ernest N. Morial Convention Center—Hall B-1Exhibits will be located in Hall B-1. Ceiling height is limited to 18' high and thereare a limited number of columns in the exhibit area. Please note this whenrequesting booth space. The exhibit hall is not carpeted.

Exhibit InclusionsStandard 8’ booth backgrounds and 3’ side rails, decorated with draperies,an identification sign, general exhibit hall cleaning, overall hall security guardservice, complimentary NHIA Exposition promotion in the Annual Conferencebrochure, complimentary box lunch on March 22 and 23 and four [4]complimentary exhibitor badges (for booth staff only) per 10’ x 10’ booth forNHIA Business Firm Members (three [3] such complimentary exhibitor badgesper 10’ x 10’ booth for non-members), which include all educational programsand eligibility for CE credit.

Space Assignment and ConfirmationBooth dimensions are 10’ x 10’ unless otherwise noted. Assignment of exhibit spacewill be made on a first-come, first-served basis according to the order of receipt ofcontracts and deposits, beginning with assignment first of all NHIA Business FirmMember booth locations, followed by non-member exhibitors. Assignments willbegin July 7, 2015, for companies who have submitted their contract and deposit.Exhibitors will also receive Exhibitor Newsletters via email mid- to late-December2015, with additional details about exhibiting.

Exhibitor Registration and BadgesNHIA will provide four [4] complimentaryexhibitor badges (for booth staff only) forNHIA Business Firm Members (three [3] fornon-members) per 10’ x 10’ booth. Exhibitorsrequesting more than the above designatedexhibitor badges per 10’ x 10’ booth willreceive a specially reduced registration rateper person. Such exhibitor badges permitaccess to all educational programs.Additional information regarding registrationwill be provided in Exhibitor Newsletters. Seethe “Registration of Exhibitors/Personnel”clause for full requirements, parameters andlimitations related to booth staff personneland registrations (complimentary or paid).

Exhibitor Service ManualAn Exhibitor Kit providing information aboutordering drayage, electrical services,furniture rental, labor, etc., with a completelist of charges, will be emailed to exhibitorstwo (2) months prior to the conference.Manuals are emailed to the personidentified on the exhibit contract.

Installation and Dismantling of ExhibitsInstallation and dismantling will occur as outlined in the enclosed NHIA Exposition Rulesand Regulations. Additional information regarding installation and dismantling will beprovided in Exhibitor Newsletters and the Exhibitor Kit.

Sponsorship Opportunities

EXPOSITION SPONSOR & MANAGEMENT – The exposition issponsored by and shall at all times be conducted under the directionof the Association (NHIA). The Association, through its Board ofDirectors, shall have full power to interpret and enforce all rules andregulations contained herein. The Association reserves the right torestrict or remove any exhibit(s) for any infraction or non-compliancewith the Rules and Regulations. If this occurs, no monies paid will bereturned. NOTE: Setup and conference hours are subject to change— please refer to Exhibitor Newsletters and the Exhibitor ServiceManual for the most current information.

ELIGIBILITY – Eligibility to exhibit in the exposition is limited tomanufacturers, suppliers and/or companies providing serviceswithin the alternate-site health care industry.

APPLICATION FOR SPACE – Companies desiring to exhibit mustcomplete and return to the Association the Exhibit Application andContract provided. A floor plan showing exhibit space layout in theexposition facility is included in this prospectus. Assignment of boothswill begin July 7, 2015. Such assignment of exhibit space will be madeon a first-come, first-served basis according to the order of receipt ofcontracts and deposits (without regard to product classification),beginning with assignment first of all NHIA Business Firm Memberbooth locations, followed by non-member exhibitors. The Associationreserves the right to limit the amount of space assigned to one exhibitor.

PAYMENTS AND CANCELLATIONS – The required deposit mustaccompany the exhibit application and contract. Applicationsreceived without deposit will not be processed, nor shall space beassigned. Assigned exhibit space must be paid in full by December22, 2015. Checks must be payable in U.S. dollars to NHIA (allinternational bank fees are the responsibility of the Exhibitor).Exhibitors failing to make the final payment as required will forfeittheir right to participate as an exhibitor and lose their deposit. Inthe event an exhibitor cancels reservation of assigned space, awritten notification must be sent to the NHIA Exhibits Manager, 100Daingerfield Road, Alexandria, VA 22314, fax: 703-683-1405.

If the cancellation occurs before December 22, 2015 (more than 90days), full refund of contracted amount (less a $200 administrativefee) will be granted. If the cancellation occurs between December22, 2015 and January 21, 2016 (more than 60 days), a 50% refundof contracted amount (less a $200 administrative fee) will begranted. After January 21, 2016, no refunds will be granted.

SUBLETTING AND ASSIGNMENT OF SPACE – Subletting ofexhibit space or occupation of exhibit space by more than oneexhibiting company is not allowed. Only actual employees of thecontracted exhibiting company may occupy and operate within saidcontracted exhibiting company’s contracted booth space. Onlyproducts, services and materials from the contracted exhibitingcompany may be displayed or distributed within such booth space.

EXHIBITOR SERVICE MANUAL – An exhibitor service manualcontaining general and technical information regarding ratesand instructions for shipping, drayage, labor, power and otherdecorating needs will be provided to each exhibiting company(via email) approximately 2-3 months prior to the exposition.

EXHIBIT DISPLAYS – Dimensions of all exhibit spaces areprovided on the exposition floor plan. Linear/In-line booths arecommonly 10x10 booths arranged in a straight line. Displaymaterials should be arranged so as not to obstruct sight lines ofneighboring exhibitors. The maximum back wall height is 8’from the rear half of the booth (i.e. 5’). The front 5’ may notexceed 4’ high. Corner booths are linear booths exposed toaisles on two sides. All other guidelines for linear booths apply.End-cap/ Peninsula booths are exposed to aisles on three sidesand composed of two booths (10x20). The maximum back wallheight is 8’ high by 10’ wide so as not to obstruct sight lines.The rear half of the booth may be 5’ from the back wall at 8’high but the remaining front 5’ is restricted to 4’ high. Islandbooths are exposed to aisles on four sides and have greaterflexibility with use of the entire cubic content of space. Themaximum allowable height is 18’ with approval. Island boothsmust be set up so as to utilize the entire space for flow and isnot allowed to have a back wall facing a linear booth (i.e. abooth behind it facing into a blank wall).

Exhibitors are urged to check with the Association before preparingany special displays. No walls, wings, partitions, decorations or otherobstructions may be erected which will in any way interfere with theview of any booth. The exterior of any display cabinet or structurevisible from an adjacent exhibitor’s booth must be finished or suitablydecorated at the expense of the exhibitor installing the display.Exhibitors desiring to use other than standard booth equipment, signs,decorations or arrangement of display material conflicting in any waywith these exhibit rules and regulations must submit a detailed sketch

of the proposed layout to NHIA at least 60 days prior to the exposition.If the exhibit hall is not carpeted, NHIA exhibitors are required tocarpet each booth space contracted.

INSTALLATION – NHIA will designate an official servicecontractor to provide all services to the exhibitor. The officialcontractor will have complete control of all dock and loadingfacilities and will receive all direct and advance shipments,handle all freight and provide all rigging labor and equipment.All services not ordered in advance must be procured throughthe Official Contractor’s Exhibitor Service Desk onsite.

General setup for all exhibitors will begin at 8 a.m., Sunday,March 20, 2016. If setup of any exhibit has not started by 11a.m.,Monday, March 21, 2016, NHIA may order the exhibit to be setup and the exhibitor billed for all charges incurred. NHIA willnot be responsible for any damage incurred. All exhibits must besubstantially completed by 1 p.m., Monday, March 21, 2016,and all aisles cleared of exhibit materials and crates.

Nothing shall be posted on, tacked, nailed, screwed orotherwise attached to columns, walls, floors, furniture or otherparts of the exposition facility. Damage resulting from suchactions shall be repaired at the expense of the exhibitor.

DISMANTLING/EXHIBIT REMOVAL – Dismantling of exhibitsbegins no earlier than 3:00 p.m., Wednesday, March 23, 2016and move out must be completed by Thursday, March 24, 2016,at 2:00 p.m. (trucks must be checked in by 10 a.m. on Thursday,March 24, 2016). Exhibitors expressly agree not to beginpacking or dismantling exhibits until the official closing of theexposition. Exhibits or materials left in booths withoutinstructions will be packed and stored at the discretion of NHIAand all charges will be billed to the exhibitor.

REGISTRATION OF EXHIBITORS/PERSONNEL – Exposition Hallattendance is restricted to qualified exhibitors and those certifiedby them. Exhibitor personnel (booth staff only) are entitled to four[4] complimentary registrations per 10 x 10 booth for NHIABusiness Firm Members (three [3] complimentary registrations per10’ x 10’ booth for non-members). Exhibitors requesting more thanthe above designated complimentary booth staff badges per 10’x 10’ booth will be charged a fee per additional booth staffperson. Any such additional booth staff registration is strictly limitedto individuals who will also work as booth staff, provided theexhibiting company’s contracted booth space is large enough toaccommodate such requested additional booth staff personnel. Allbooth staff (complimentary or paid) must be actual employees ofthe contracted exhibiting company. All booth staff registrations(complimentary or paid), once made, are intended to be non-transferrable; as such, a processing fee will be applied for eachregistration reassignment request made to transfer a registration(complimentary or paid) from one individual to another.

Due to liability, children under 16 years of age will not bepermitted on the exhibit floor at any time. Exhibitors usingcompanies other than NHIA’s official contractors must check inat the Exhibitor Registration Desk upon their arrival for a badge.Upon verification, setup/tear down badges will be issuedallowing access to the exhibit area during service hours only.

CONDUCT OF EXHIBITORS – All exhibits, activities and/orpersonnel must confine their activities to within the exhibitor’s boothspace and cannot interfere with the use of other exhibits or impedeaccess to them or impede the free use of the aisle. Distribution byexhibitors of any printed matter, promotional materials, etc. is strictlylimited to the confines of the exhibitor’s booth. Non-exhibitingcompanies or organizations will not be permitted to solicit businesswithin the exposition area nor in any public spaces controlled byNHIA. Exhibitor representatives should be attired professionally andmaintain a businesslike climate conducive with the conference. Theexhibitor must, at its expense, maintain and keep its exhibit clean andin good order in accordance with the conference. Distribution of foodand beverages must be consumed within the exhibitor’s booth anddistribution of alcoholic beverages is strictly prohibited. Exhibitorsmay not deface or otherwise obstruct the logo or branding ofmaterials or events sponsored by other companies throughout theconference, i.e., signs, badge holders, conference bags, etc.

HOSPITALITY ROOMS & EVENTS – Private or public roomsfor entertainment purposes will be available only to companiesthat have contracted for space in the exposition, and priorpermission from NHIA is mandatory before scheduling theseevents (please discuss such matters with the key NHIA staffcontact identified within this exhibitor prospectus). Exhibitingfirms must confine these activities to hours, which do notconflict, with NHIA Annual Conference activities. Thedistribution of promotional material for hospitality events in any

public areas of either the host hotel or the exposition facility isstrictly forbidden.

NHIA LOGO – Use of the NHIA logo in conjunction withadvertisements, signs, promotional materials, endorsements,statements, contests and/or awards of any kind without theexpressed written consent of the National Home InfusionAssociation is prohibited.

MUSIC LICENSING – Exhibitors agree to pay all royalties,license fees or other charges accruing or becoming due to anyfirm, person or corporation by reason of any music either live orrecorded or other entertainment of any kind or nature, played,staged, or produced by the exhibitor, their agents or employeeswithin the premises covered by this License Agreement includingbut not limited to, royalties or licensing fees due to BMI, ASCAPor SESAC. Exhibitor agrees to hold harmless NHIA, its agentsand employees against any and all such claims and charges, andto defend, at its own expense any and all such claims andcharges. Exhibitors shall have the right to protest, and if desiredto litigate and adjudicate any and all such claims.

FIRE REGULATIONS – Fire regulations require that all displaymaterials be flameproof. Electrical signs and equipment must bewired to meet the specification of the local Fire UnderwritersInspection Bureau. Each exhibitor is charged with knowledge ofall laws, ordinances and regulations pertaining to health, fireprevention and public safety while participating in thisexposition. Compliance with such laws is mandatory for allexhibitors and the sole responsibility is that of the exhibitor.

SECURITY/INSURANCE/LIABILITY – Neither NHIA, its agents,employees or the trade show facility, its representatives oremployees shall be liable for any damage to the property or lossof business to the exhibitor by theft, damage by fire or other meansor for any injuries to the exhibitor, its employees, agents, customersor guests arising from any cause or matter caused or contributedby the negligence of NHIA or the trade show facilities.

The exhibitor, on behalf of itself, its employees and agents,agrees to protect, indemnify, save and defend and holdharmless NHIA, its agents and employees and the trade showfacility, its agents and employees from all costs, losses, damagesand expenses arising out of or from any accident or otheroccurrence connected with the use or occupation by theexhibitor of its exhibit space.

Security guards will be maintained at all times by NHIA. Theduty of the guards will be to control admittance and exit to theexposition area and to protect the general trade show areaagainst fire or other catastrophes. The presence of the guardsdoes not constitute acceptance of any responsibility by NHIAfor the safety of the exhibitor’s products and property, but ismerely a service to aid exhibitors during the exposition.Exhibitors are advised to add to their existing insurance, aportal-to-portal rider to protect them against loss or damage totheir materials by accidents, theft, fire, etc.

TERMINATION – In the event NHIA must cancel the conferenceand exposition for reasons such as strike, picketing, boycott,embargo, injunction, war, riot, acts of terrorism, threats ofterrorism, emergency declared by a governmental agency orother reason termed “Act of God”, the exhibitors expresslywaive such liability and release the Association of and from allclaims for damages and agree the Association shall have noobligation except to refund exhibitors pro-rated shares of theaggregate amounts received by the Association as rental forexhibit spaces for said exhibits after deducting all costs andexpenses in connection with such exhibits, including reasonablereserves for claims, such deduction being hereby specificallyagreed to by the exhibitor.

ARBITRATION – Any unresolved controversy or claim arising outof or relating to these Rules and Regulations or breach thereof,including without limitation any dispute concerning the scope ofthe this clause, will be settled by arbitration in Alexandria, VA inaccordance with the commercial rules of the American ArbitrationAssociation, and judgment upon the award rendered by the ar-bitrator(s) may be entered in any court having jurisdictionthereof. Any award shall be limited to actual damages; punitivedamages shall not be awarded. The prevailing party shall be en-titled to recover its expenses of arbitration, including but not lim-ited to reasonable attorney's fees and any other justifiable costs.

AMENDMENTS – NHIA reserves the right to make changes,amendments and additions to these rules as consideredadvisable for the proper conduct of the exhibit with the provisionthat all exhibitors be advised of any such changes.

EXPOSITION RULES & REGULATIONSNHIA is a trade association that represents and advances the interests of organizations that provide alternate-site infusion and specialty pharmacy products and services to the entire spectrum of home-based patients.
