Evans Of Counsel (918) 574-3017 | [email protected] | Tulsa Overview Tyler Evans is an energy and corporate attorney who has been practicing law since 2009, including three years as an energy lawyer with an Oklahoma-based law firm and nearly four years as general counsel and corporate secretary of an Oklahoma- based exploration and production company. As general counsel, Tyler established a legal department where he managed several attorneys and guided the legal, land and regulatory functions of a company with annual drilling budgets in excess of $80 million. He played a pivotal role in the rapid expansion of the enterprise, leading dozens of acquisition, divestiture and capital transactions in excess of $1.5 billion. Tyler’s general counsel experience provides him with unique corporate and risk management expertise and a strong working knowledge of substantially all energy-based agreements and practices. • Representation of energy companies in numerous dispositions of oil and gas interests, including a recent divestiture in excess of $30 million in asset value.

• Representation of energy companies in the purchase and sale of midstream interests, including a recent divestiture of a midstream gathering system for $85 million to an international midstream company, and the negotiation of associated gas gathering and processing agreements.

• Representation of energy companies in a variety of finance and securities matters, including the contemporaneous negotiation and execution of a $365 million senior secured notes offering and a $135 million senior subordinated notes offering and associated documentation.

• Representation of an energy company in the negotiation and documentation of a $75 million mezzanine financing facility and a $50 million mezzanine financing facility, each involving the conveyance of a net profits and/or convertible royalty interest.

• Representation of an energy company in the negotiation and documentation of a $50 million revolving credit facility.

• Representation of energy companies in the execution of commodity hedging arrangements with up to $10 million of collateral support, including negotiation and preparation of associated intercreditor agreements.

• Representation of an energy company in the negotiation and documentation of a $5 million secured note, including a collateral package of oil and gas properties located in several states.

• Representation of energy companies in all phases of contract negotiation, drafting and interpretation, including master service agreements, confidentiality agreements, oil and gas leases and assignments, surface leases and damage agreements, easements and rights-of-way, seismic licenses and agreements, mortgages and deeds of trust, curative documents, acreage swap agreements, pre-pooling agreements, joint venture and joint operating agreements, and hydrocarbon marketing and midstream agreements.

Oil and Gas Title Examination and Due Diligence

• Representation of energy companies in the preparation of more than 100 drilling title opinions, division order title opinions, limited acquisition title opinions, and other title reports.

• Representation of energy companies in the design, organization and execution of environmental and title due diligence programs in association with acquisition activities, including a recent East Texas title diligence program resulting in the assertion of approximately $26 million of title defects.

• Representation of energy companies as transactional diligence counsel in the review of oil and gas title and associated matters, including an acquisition of West Texas energy properties for $1 billion.

Governance and Compliance

• Representation of companies in all phases of corporate governance, including oversight and instruction concerning compliance with organizational documents, advice to boards of directors concerning legal, governance and risk management issues, preparation of resolutions and consents, development of board committee charters, and minute-taking and other recordation of corporate affairs.

• Representation of an exploration and production company with annual drilling budgets in excess of $80 million in the performance of all governance, compliance and corporate secretary functions.

Energy Disputes and Risk Management

• Representation of energy companies in various contract disputes, including an appeal before the Oklahoma Supreme Court regarding a complex oil and gas contract issue leading to the settlement and resolution of a $10 million judgment against an oil and gas operator.
