Invitation to Tender
• Pacific Wood Products Limited trading as PWP is undertaking the sale and removal of certain equipment owned by PWP from the Thames St, Napier site (the “Site”).
• PWP Ltd invites tenders for the purchase of the equipment identified in this catalogue on the terms and conditions stated herein.
• This invitation is not an offer, but merely an invitation to the tenderer to make an offer. A contract to purchase the equipment will only be formed with the tenderer if such tenderer’s tender is successful and the attached Equipment Sales Contract (“Contract”) has been executed by the tenderer and PWP.
• The Rules of Tender and Contract shall form part of this invitation.
• In order to submit a valid offer to tender, the tenderer must:
– Agree to comply with the attached Rules of Tender by executing where indicated below;
– Correctly identify the Equipment by site and lot number that the tenderer wishes to purchase in the Contract;
– Specify the purchase price, deposit and settlement date for such equipment; and
– Execute the Contract and return the executed Rules of Tender and Contract (“Tender Documents”) to Skookum Technology Ltd by the time indicated in the Rules of Tender.

Rules of Tender
• The Tender Documents (being the executed Rules of Tender and Contract) in original form, must be submitted to;Pan Pac Forest Products LtdPrivate Bag 6203, Napier 4142 New Zealand

• PWPLtd may accept offers to tender at any time up until Tender Closing Date .
• Tenders will only be considered if correctly completed and signed on the official tender documents. All offers to tender must be accompanied by a completed and signed Contract in the required form, which shall contain the entire terms for the sale and purchase of the equipment.
• PWP Ltd is under no obligation to contact unsuccessful tenderers or to return any Tender Documents to the tenderer. PWP Ltd will make every effort to contact successful tenderers on or before date noted under Tender Dates.
• An offer to tender received by PWP Ltd may not be withdrawn or amended by the tenderer until date noted under Tender Dates, at the end of which date it will lapse unless the corresponding Contract has been executed by PWP Ltd
• PWP Ltd. may, or through Skookum Technology Ltd may, at its discretion;
– Reject any or all tenders, including the best priced tender
– Accept any tender
– Liaise or negotiate with any tenderer without disclosing this to, or involving any other Tenderers
– Re‐advertise for tenders
– Waive any irregularities or informalities in the tender procedure
– Suspend or cancel the tender process by notice; and
– Not give any reason for any rejection of a tender or any suspension or cancellation of the tender process.

• Viewing of the equipment will be by appointment only, any such appointments will be generally on Tuesdays durng the Tender Period, by contacting a PWP Ltd site representative;
• All lots of equipment are offered as separate lots. Preference may be given to tenderers wishing to purchase the complete list, or a partial list of the equipment being offered. However, offers for individual items of equipment or groups of equipment will also be considered.
• The successful tenderer will agree with PWP Ltd the costs of the removal and dismantling of any purchased equipment, and shall pay such costs to PWP Ltd prior to removal of equipment. All successful Tenderers will be permitted to provide a representative to be present during the dismantling and removal of that buyers purchase.
• When visiting the Site, the tenderer and any of its representatives must observe all relevant health, safety and environmental laws and PWP Ltd’s Health and Safety regulations and must comply with directions of PWP Ltd and Skookum Technology Ltd (as applicable).
• PWP Ltd makes no representation or warrantees in relation to the assets that are the subject of this tender.

1. Interpretation:
1. Words and terms used in this Contract shall have the meaning set out in the Contract Details or as otherwise separately defined in this Contract
2. In this Contract:”Contract”means this Equipment sale contract including the Contract Details and these terms and conditions of sale.”Contract Details”means the specific details of this Contract as described under the heading “Contract Details” above.”Rules of Tender’means the rules of tender agreed to and executed by the Purchaser in relation to its tender for the Equipment.”Site” means the Vendor’s site located at Wiri.
2. Sale and Purchase:
1. The Vendor agrees to sell and the Purchaser agrees to purchase the Equipment on the terms and conditions as set out in this Contract.
2. The Equipment is offered for sale on as ‘as is where is’ basis. It shall be the sole responsibility of the Purchaser to verify to its satisfaction the description, general condition and operability of the Equipment prior to entering into this Contract.

3. Consideration:
1. The Purchaser shall pay the deposit plus GST (if any) by cash or bank cheque to PWP Ltd on behalf of the Vendor immediately following execution of this Contract by the Vendor.
2. The Purchaser shall pay the balance of the Purchase Price plus GST (if any) less the deposit to PWP Ltd on behalf of the Vendor in one amount by cash or bank cheque on or before the Settlement Date.
3. If the Purchaser shall fail to make any payment owing to the Vendor under this Contract on the due date, then the Vendor may charge the Purchaser a penalty of 1.5% per month of the amount outstanding and unpaid, calculated daily from the due date until payment is received in full.
4. Removal of Equipment:
1. The Purchase Price plus GST (if any) must be paid in full by the Purchaser to PWP Ltd prior to removal by the Purchaser of the Equipment from the Site. The Purchaser must give the Vendor 48 hours notice of its intention to remove Equipment from the Site.
2. The Purchaser shall be solely responsible for arranging for the removal of the Equipment from the Site with PWP Ltd and for the costs of such removal, and shall complete such removal within 30 working days following payment in full of the amounts required under clause 4a and provision of the relevant notice period in clause 4a.
3. If the Purchaser fails to remove the Equipment in accordance with the terms of the Contract, the Vendor may charge the Purchaser a reasonable daily fee for the ongoing storage of the Equipment at the Site. This storage fee will be payable by the Purchaser from the due date for removal whether or not the Purchase Price has been paid.
4. The Purchaser shall observe and, shall ensure any contractors it engages for the purposes of this Contract observe all relevant health, safety and environmental laws and Health and Safety regulations of the Vendor and specific site rules of the Vendor while attending the Site including for the purpose of dismantling and removing the Equipment from the Site and must comply with any directions given to it by the Vendor or any of its representatives while attending the Site.
5. The Purchaser agrees to indemnify the Vendor for any liability incurred by the Vendor in respect of any action, suit, claim, demand, cost or expense (including without limitation, damage to property, plant or equipment) arising as a direct or indirect result of any act or omission by the Purchaser or the Purchaser’s employees, agents or sub‐contractors in breach of any obligation under the Rules of Tender or this Contract, any legislation, regulation, bylaw, code or standard or out of or referable to any damage, injury or loss caused by or resulting from any wilful act, omission or negligence or recklessness of the Purchaser or its employees, agents or subcontractors.
5. Risk and Security:
1. All risk of any loss, damage or deterioration of or to the Equipment passes to the Purchaser on payment being received in full for the Equipment in accordance with clause 4a, whether or not the Purchaser has removed the Equipment from the Site. If any Equipment is removed from the Site by or on behalf of the Purchaser prior to payment in full for all monies owing under this Contract the Purchaser agrees to the Vendor holding a registrablesecurity interest in the Equipment securing all monies outstanding.

6. Default:
1. “Event of Default” means an event where;
1. The Purchaser fails to comply with this Contract or the Rules of Tender; or
2. The Purchaser enters into any composition or arrangement with its creditors; or
3. The Purchaser does anything which makes it liable to be put into liquidation; or
4. A resolution is passed or an application is made for the liquidation of the Purchaser; or
5. A receiver or statutory or official manager is appointed over all or any of the Purchaser’s assets.
2. If an Event of Default occurs;
1. The Vendor may suspend or terminate this Contract
2. Any amount owing by the Purchaser to the Vendor shall immediately become due and payable notwithstanding the due date of payment has not arisen; and
3. The Vendor is entitled to recover from the Purchaser all costs that the Vendor may incur in attempting to collect the amounts owing including full solicitor client costs and any other moneys owing by the Purchaser to the Vendor from time to time whether in relation to any Contract or on any other account whatsoever.
7. Warrantees and Liability:
1. The Vendor warrants that clear title in the Equipment, free of any encumbrance or other security interest, shall pass to the Purchaser upon payment being received in full for the Equipment in accordance with clause 4a.
2. The Purchaser enters into this Contract at its own risk in all respects. The Purchaser shall ensure that it fully inspects and carries out such checks on the Equipment, as a prudent Purchaser would undertake, prior to entering into this Contract.
3. The Vendor makes no representations or warranties whatsoever in respect of the Equipment, its description or quality or condition except as set out in clause 7a. Any other representations or warranties whether implied by statute or arising otherwise including in the course of the sales process of the Equipment to the Purchaser are expressly excluded to the extent permissible by law.
4. The Vendor expressly excludes any liability for claims by the Purchaser for indirect or consequential loss or loss of profits. The Vendor’s total liability under this Contract to the Purchaser is limited to the deposit received from the Purchaser under this Contract.
5. The Vendor provides no warranty or representation as to the accuracy of information disclosed to the Purchaser in respect of the Equipment whether before, during or following the sale of the Equipment to the Purchaser.
8. Entire Agreement:
1. This Contract represents the entire agreement of the parties in respect of the matters covered herein and any other correspondence, documents or communications between the parties with respect to the subject matter of this Contract is expressly excluded from the terms of this Contract.
9. Waiver:
1. If the Vendor exercises or fails to exercise any right or remedy available to it, this shall not prejudice the Vendors right in exercising that or any other right or remedy unless expressly waived by the Vendor in writing.
10. Confidentiality:
1. The parties agree to keep strictly confidential the terms and conditions of this Contract.

The RF press has been used mainly for laminating wide‐boards and Posts. It works well with MUF (M9)
It has a rapid batch turn around making it a high production machine.
The glue production, batch assembly, press loading, curing and end trimming are all automated and controlled by a central control system.Batches of 4.9m lumber are cured in a single cook cycle, and longer (up to 6.1m) is double loaded to cure its full length.

This machine had a substantial rebuild in 2004 prior to installation into PWP
Upgrades include the addition of a PLC for improvements in control, a lug‐loader to at the infeed, an auto‐corner, and the press area has been extended to allow the processing of up to 7.3 metre long timber. All of the drives have been fitted with VSD's to reduce load and give greater control.
