Expression of Interest
The Uttarakhand Renewable Energy Development Agency (UREDA), Dehradun is a
nodal agency for implementing Non-Conventional Energy Programme under the administrative
control of Department of Energy & Renewable Energy, Govt. of Uttarakhand. UREDA is a
Society registered under The Society Registration Act 1860. The society has been constituted for
planning, monitoring and implementation of new and renewable energy programmes in the State
of Uttarakhand. UREDA is receiving budget from State Govt., Central Govt. and other external
agencies from time to time for implementation of various renewable energy schemes and
programmes.
UREDA intends to invite “Expression of Interest” from experienced Chartered
Accountant firms based in the State of Uttarakhand for providing Services of Account
Assistant for Accounting Work in Head Office at Dehradun, Preparation and compilation of
accounts according to applicable law and filing statutory returns of ETDS, GST, Income Tax,
Service Tax of UREDA Head Quarters and for all the 13 district level offices in Uttarakhand at
their respective location on monthly basis. The Scope of services includes day to day account
data compiling, feeding, maintaining cash book, ledger, ETDS return, GST return and other
works relating to accounts.
The offer received from interested Chartered Accountant Firms will be short listed on the
basis of evaluation criteria, covering various parameters; e.g. the relevant experience of the firm,
number of its CAs/FCAs available, turnover of the concerned firm since last 3 years and
available manpower with them etc. UREDA shall open and consider “FINANCIAL OFFERS” of
eligible firms alone and inform them accordingly.
The interested CA firm(s) should submit his/their EOI on prescribed format, that can be
received from this office on any working day from 30.06.2021 to 21.07.2021 by paying non
refundable sum of Rs. 1000/- through a Bank Draft/Banker’s Cheque in favour of "Director,
UREDA, Dehradun". The requisite form can also be downloaded from the website i.e.
www.ureda.uk.gov.in. If the document is downloaded from the above website, the aforesaid
cost of document shall be paid. The last date to submit an offer on the prescribed format
is 21.07.2021 by 12 noon, at the above mentioned office of UREDA.

DECLARATION BY THE FIRM REGARDING OFFER

(Hereinafter referred to as the Firm) being desirous of Offering for the work, under the above
mentioned Offer and having fully understood the nature of the work and having carefully noted
all the terms and conditions etc. as mentioned in the “EOI Document”;
DO HEREBY DECLARE THAT-
1. The Firm is fully aware of all the requirements given under "EOI Document" and agrees
with all provisions of the "EOI Document".
2. The Firm is capable of executing and completing the work as required in the Offer notice
no. UREDA/AC-CA/2021-22.
3. The Firm has no collusion/understanding with any other Firms or concern or any
employee(s) of UREDA or with any other person in the preparation/submitting the Offer.
4 The Firm has not been influenced by any statement or promises by UREDA or any of its
employees but have undertaken to abide with the details given in "EOI Document ".
5. The Firm has sufficient number of experienced and competent CA's/Employees on their
panel or agreement for performance of the required services to the satisfaction of
UREDA.
6. The information and the statements submitted with the Offer are true.
7. The Firm is familiar and shall abide with all General and Special Laws, Acts, Ordinances,
Rules and Regulations promulgated by the Municipal Corporation/District
Administration/State Government and Central Government that may affect the work, its
performance or personnel employed therein.
8. This offer shall remain valid for acceptance for 3 (three) months from the date of opening
of the Financial Offer. (Financial bid).
9. The Firm has attached herewith the earnest money of Rs. 30,000/- (Thirty Thousand
only) as required in the Offer document.
10. The Firm accepts that the earnest money may be absolutely forfeited by UREDA if the
Firm fails to undertake the work/service or sign the contract within the stipulated time.
11. The Firm give the assurance to execute the Offered work as per terms and conditions of
the Offer on award of work and to the satisfaction of UREDA.

INSTRUCTIONS TO FIRMS
SECTION 1
THE "EOI DOCUMENT "
1.1 CONTENT OF "EOI DOCUMENT "
The Firm is expected to examine all instructions, directions, terms and conditions
as mentioned in the "EOI Document", & Failure to furnish all information's
required in the "EOI Document" or submission of a offer not substantially
responsive to the Offer Document in every respect will be at the Firm risk and is
likely to result in out-right rejection of the Offer.
1.2 CLARIFICATION OF "EOI DOCUMENT "
1.2.1 The prospective Firm requiring any clarification in respect of the "EOI
Document" may call upon the concerned authority(ies) of UREDA in writing at
its mailing address or may Fax the query to UREDA at Dehradun, with giving full
reference of himself/themselves.
1.2.2. Any verbal clarification or divulgence of any information allegedly made by
UREDA, shall not be entertained in any way.
1.3 AMENDMENT OF "EOI DOCUMENT "
1.3.1 At any time, prior to the opening of the “financial bid”, UREDA may for any
reason, whether at its own initiative or in response to a clarification requested by
the Firm, modify the "EOI Document " by incorporating the requisite
amendment(s).
1.3.2 The amendment if any incorporated in “EOI Document” shall not be questioned
by any Firm. The amendment so incorporated shall be communicated to the
concerned parties in writing or on website of UREDA at least before 07 days.
Non receipt of communication on the subject or delayed receipt shall not be the
responsibility of UREDA.

SECTION 2
PREPARATION OF OFFER
2.1 LANGUAGE OF BID AND MEASURE
Language of Offer, correspondence and all related documents shall be entertained in
English Language only. Any writing in other language shall not be entertained.
2.2 EARNEST MONEY
2.2.1 Every offer of Firm shall be accompanied by the requisite Bank Draft or FDR/CDR made
in the favour of "Director UREDA, Dehradun". The earnest money shall not carry any
interest at any rate.
2.2.2 Offer with-out compliance of aforesaid condition no. 2.2.1 shall be deemed to have been
rejected.
2.2.3 FORFEITURE OF EARNEST MONEY:-
Under the following circumstances/occasions/reasons the earnest money may be forfeited at the
option of UREDA.
a) In case Firm chooses to withdraw its Offer during the validity period of Offer as specified
herein elsewhere.
b) In case the Firm having been declared as successful, fails to execute the necessary
documents of contract within the period so specified.
2.2.4 The Successful Firm's earnest money deposit shall be considered as contract performance
security and will be discharged within 30 days after completion of contract. No interest
shall be paid on the amount deposited against the said amount of earnest money.
2.2.5 The earnest money of all other unsuccessful Firm shall be released within a period of a
month from the date of finalization of the contract with the successful party.
2.2.6 The earnest money aforesaid may be forfeited by UREDA at the option on default having
been committed by the successful Firm.
2. 3 PERIOD OF VALIDITY OF OFFER
2.3.1 Period of offer shall be for three months from the date of opening of the
“Financial Offers”. Any Offer after the said period shall stand automatically rejected.
2.3.2 That notwithstanding anything contrary, the period of validity may be extended at the
option of UREDA in certain exceptional circumstances.

2.4 FORMATS AND SIGNING OF OFFER
2.4.1 The Offer is required to mention name, address/residence and place of business of the
Firm making the Offer. It should be singed and sealed by the Signatory in legible words.
2.4.2 The offer made by Firm shall be required to submit complete details with full names,
residence/address of registered office, telephone numbers, Fax numbers, E-mail address
etc., of all the Individuals or Partners or Directors as the case may be. Copy of the
documents witnessing their Association by way of Partnership deed or MOU or Article of
Association or Memorandum of Association with registration certificate(s) shall also be
required to be furnished with the Offer.
2.4.3 Any hand written or typographic correction in the documents of Offer shall not be
entertained. Any clerical and unavoidable correction shall be signed by the concerned
Signatory in full on the requisite Document(s).
2.4.4 The complete "EOI Document" issued by UREDA or downloaded from the website
should be submitted in original with each page duly signed & stamped.
2.5 FINANCIAL OFFER
2.5.1 The Firm shall submit financial offer on the appropriate “Financial Offer Format”
attached herewith using Indian Currency for the purpose of reference.
2.6 DUTIES AND TAXES
The price quoted should include all taxes and duties, Service Charges or any other
amount payable to Taxation Authorities/Local Bodies or State\Central Government, Semi
Government or other alike body. Service Tax is paid extra as per rate applicable by the
law.
UREDA shall not be held accountable for violation of rules by the successful
Firm.
Provided always that the UREDA, in its sole discretion, shall have right to deduct
the amount payable by the firm, towards any tax, service charge, levy or any other charge
payable by the successful firm in case it is found that default has been committed on this
account.

SECTION 3
SUBMISSION OF OFFER
3.1 EXPENSES OF AGREEMENT
A formal agreement shall be entered between UREDA on one part and the Firm on the
other part on requisite stamp sheets as applicable in the State of Uttarakhand within 15
days from the receipt of acceptance letter by the Firm from UREDA. Expenses on this
account shall be borne by the party entering into the contract with UREDA.
3.2 DEADLINE FOR SUBMISSION FOR OFFERS
Offers must be received by UREDA by the date, time and address specified in the Offer
notice viz. "EOI Document ".
3.3 LATE OFFERS
Any offer beyond the specified date and time shall not be entertained.

SECTION 4
SELECTION CRITARIAN & AWARD OF WORK
4 SELECTION CRITERIA
4.1 For Technical Offer: The selection of Firms will be done on the basis of various points
for which weightage shall be given as per following. There are four criterions for selection.
Minimum points given in the table are compulsory for each criterion for consideration of
Technical bid and the firm scoring less than 46 marks shall not be considered and their
financial offers shall not be opened.

5.0 RIGHT TO ACCEPT/REJECT ANY OR ALL BIDS.
UREDA reserves the right to reject any or all the Offers or accept any Offer in total or in part or
work may be divided among various Firms without assigning any reason thereof.
5.1 NOTIFICATION OF AWARD
Prior to the expiry of the period of Offer validity, UREDA will notify the successful Firm by
registered letter or by cable or Fax (to be confirmed in writing by letter) that his bid has been
accepted.
5.2 AWARD OF WORK CONTRACT
Before execution of the work/assignment, a contract agreement shall be signed between UREDA
and the Firm.

GENERAL CONDITIONS OF ASSIGNMENT
1. DEFINITIONS
In the deed of contract unless the context otherwise requires:-
1.1 The “UREDA” shall be deemed to include the Director or a representative of Uttarakhand
Renewable Energy Development Agency. Govt. of Uttarakhand with Head Office at
Energy Park Campus, Patel Nagar Dehradun and shall also include its successors-in-
interest and assigns. The Firm shall mean the person whose Offer has been accepted by
UREDA and shall include his/their legal representatives, successors-in-interest and
assigns.
1.2 Unless contrary to the context the word “FIRM” used hereinafter anywhere in this
document shall be deemed to have included and shall always mean to be “an individual” or
“Group of individuals” or “Partnership Firm” or “Sole Proprietorship Concern” or “a
Company” or “a Society” or “an Association” as the case may be.
1.3 The agreement shall include all the necessary documents required to be signed by the firm
for finalization of the contract. The agreement shall not have any legal sanctity without
deposit of earnest money and submission of other necessary documents.
OTHER CONDITIONS
1.4 In case the "Firm" fails to execute the said assignment within stipulated time; UREDA will
be at liberty to get the work executed from any other firm without calling any Offer and
without any notice to the defaulting firm at the risk and cost of the firm. Any additional
cost incurred on this account by UREDA the same shall be recovered from the "Firm". If
the cost of executing the work as aforesaid should exceed the balance due to the "Firm"
and the "Firm" fails to make good the additional cost after notice, to him/them, the
UREDA may recover it from the "Firm's pending claims against any work in UREDA or
in any other lawful manner.
1.5 The period of contract shall initially be of one year but on the basis of mutual consent of
both the parties it can be extended to the maximum period of 5 years, on year to year basis.
In case of extension of the work period of contract after beyond one year or subsequent
thereto, an increase in payment shall stand automatically made the maximum of 10% in
contract value at the instance of UREDA.
1.6 That on expiry period of one year, the Firm shall be entitled to claim and receive enhanced
contract value from UREDA as stated hereinabove.

2. LIOUIDATED DAMAGES
If the "Firm" fails to perform the work/assignment within the time period specified in the
contract, UREDA shall without prejudice to its other remedies under the contract, deduct
from the contract price a liquidated damage, equivalent to ½ % of the price of the un-performed for each week of delay until actual completion of work, up to a maximum
deduction of 10%. Once this “maximum” is reached, UREDA at its discretion may
terminate the contract. If the "Firm" does not perform the required work to the satisfaction
of UREDA, the UREDA may consider terminating the contract.
3. FORCE MAJEURE
3.1 Notwithstanding the provisions or clauses contained in this deed; the "Firm" shall not be
liable for forfeiture of its performance security, liquidated damages, termination for default
in case the Firm is unable to fulfill its obligations under this document due to force
majeure circumstances.
3.2 For purpose of this clause, "Force Majeure" means an event beyond the control of the
"Firm" and not involving any fault or negligence of the "Firm" or an unforeseeable event
or an act of sovereign effecting contractual capacity of the “Firm”. Such events may
include but are not restricted to Acts of God, wars or revolutions, fires, floods, epidemics,
quarantine restrictions and fright embargoes etc.
3.3 If a force majeure situation arises, the "Firm" shall promptly notify the same to UREDA in
writing within a week (7 days) from the date of arising of such situation.
3.4 In a force majeure situation UREDA may consider the request of "Firm" and additional
time for competition of work may be granted.
4. RULES AND REGULATIONS:
The "Firm" shall have to comply with all the rules, regulations, laws and by-laws for the
time being in force and the instructions if any, made applicable by UREDA or the
organization, in whose premises the work is being done or has been done. UREDA shall
have no liabilities on this account.
5. TRANSFER OF CONTRACT:
The contract is untransferable. The contract or any part thereof cannot be assigned or
sublet to anyone by the firm without prior written consent of UREDA.
6. ARBITRATION/DISPUTE
If any question of dispute or difference what so ever shall arises between the UREDA
and the “Firm”, in connection with this contract except as to matter, the decisions of
which have been specifically provided, elsewhere in the contract, either party may
forthwith give to the other a notice in writing of existence of such dispute or difference
and the same shall be referred to the sole arbitration of the Secretary, Deptt. of Energy of
Uttarakhand Government or a person nominated by him. This reference shall be governed
by the Arbitration and Conciliation Act, 1996 and the rules made thereunder. The award
made by the arbitrator shall be final and binding on both the parties. However, work
under the agreement shall remain in continuation during the arbitration proceeding unless
the UREDA or the arbitrator directs otherwise.
However, Civil Courts at Dehradun, alone for any lawful purpose shall have
jurisdiction as may be required under law.

NOTICE:
That the UREDA reserve its right to either increase or decrease the manpower required
under this agreement.
7. TAXES AND DUTIES
(i) The "Firm" shall be entirely responsible for all taxes, duties, license fees etc.
Service Tax is paid extra as per applicable law.
(ii) The services to be performed and reports to be submitted shall be in accordance
with the Terms of Reference and scope of assignment.
8. SCOPE OF WORK:
a- Account data feeding in Computer. The accounting should be done on
accrual basis. The accounting records will include cash book, ledgers,
bank book, salary register, trial balance, advance registers, stock registers
and other registers or records required statutorily by law. The data is to be
entered in such a way that the plan and non plan fund balances are shown
scheme wise and year wise.
b- To maintain and prepare trial balance, bank reconciliation statement and
Fixed Asset Register.
c- To provide 1 (one) account assistant at UREDA Head Quarter, Dehradun
on daily basis. The assistant should be M Com/CA Inter/MBA Finance
and should have experience of at least Three years in autonomous
Government Organization. He shall work under the guidance and
supervision of Accounts Department as per their requirement.
d- To prepare and provide the following statements :
e- Statement of net balances scheme-wise and agency wise.
f- A Statement of deduction made from payment of suppliers i.e. penalties,
earnest money and annual maintenance charges supplier wise and scheme
wise.
g- Statement of Interest received by each project office and utilized during
the year individually and agency as a whole.
h- To prepare compilation report for all project office and head office after
due reconciliation of inter branch transactions. The inter branch office and
head office reconciliation statement is also required.
i- To compile and prepare annual financial statement of all the 13 project
offices and headquarter. The financial statement of all the project offices
and of the agency as a whole should be submitted to the head quarters by
30 th June 2022 for the financial year ending 31st March 2022. The
accounts are to be compiled on accrual basis. The compiled accounts
should not show any inter branch transactions.
j- Income Tax, Service Tax and Sales Tax consultancy and filing of ETDS
Return, income tax return, GST return, service tax returns etc including
but not imited to:
k- To prepare and file ETDS return for “salaries” and “other than salaries” of
all the 13 district offices and head quarters..
l- To prepare Form 16 of all the employees of all the 13 district offices and
head quarters.
m- To prepare Form 16 A of all the persons where payments are liable to TDS
of all the 13 district offices and head quarters on quarterly basis or as
required by law in force within due dates as applicable
n- To check on monthly basis whether TDS had been deducted on all the
payments made or credited.

o- To prepare and file income tax return of the agency as a whole. To provide
consultancy relating to changes in TDS rates or other provisions as per
Income Tax Act and Rules made there under as applicable to the agency.
p- To represent the agency and attend cases for assessment and scrutiny
proceedings and TDS proceedings with the Income Tax Department.
9. WAGES AND SERVICE BILLS:
(a) The wages and service bills including service tax against the strength and attendance
of manpower shall be submitted by the firm to Head office of UREDA along with the
duty chart for the concerned month by 4th day of next proceeding month.
Concerned UREDA office will furnish the attendance sheet by third of every
month to the firm in order to dispose the bill(s) in time as required to be furnished by
the firm.
(b) That the payment of the manpower service bills will be made by the UREDA Head
Office within 7 days of the receipt of bills through an account payee cheque drawn in
favour of Firm.
(c) That in case of out station duties/tours, the Traveling allowance shall be payable to
such manpower direct by the UREDA in accordance to the rules applicable to an
employee of Class III in Uttarakhand Government.
10. SPECIAL CONDITIONS UNDER THE CONTRACT
(a) That the firm shall remain subject to all the financial, administrative and statutory
obligations and responsibilities under law as applicable in the State of Uttarakhand.
(b) That subject to the averments made herein above, the manpower will not be entitled
to claim any salary, damage, compensation and arrears of any other nature, arising out
of their normal employment/duty under this agreement from the UREDA. All alike
claims may be made by the employees from their Employer-Firm.
(c) That the firm shall be liable to compensate UREDA for any offence or omission or
negligence committed by its employees. In case of any causality or injury caused to
an employee(s) of the firm in UREDA premises or elsewhere shall be the subject of
firm. Any claim on this account shall be borne by the firm and not by UREDA in
anyway.
(d) That the Firm and its employees will not enter into any kind of financial transaction
with any personnel of UREDA. The UREDA put it on record that they will own no
responsibilities whatsoever with regard to any Act or omission unlawfully committed
by the firm and its employee in any manner.
(e) That in case of any loss/theft/burglary of the property of the UREDA, a joint enquiry
consisting of representatives of both UREDA and the “Firm” will be constituted to
fix/apportion the charges and responsibilities and endeavor to make good the loss. In
case of negligence, connivance or direct involvement of any personnel deployed by
the Firm, the loss or damage so incurred to UREDA will be realized from the
personnel at fault deployed by the Firm and/or from the Firm.
(f) That the personnel of the Firm are not permitted to become members of the union if
any, formed by the employees of the UREDA. No person/manpower of the Firm will
interfere in any manner in any dispute between the management and employees of the
UREDA and vise-versa.
(g) That the manpower provided to UREDA by the Firm shall not be deemed to be the
employees of the UREDA for any purpose or any reason. Hence, the Firm or its
employees shall not be entitled to claim any salary, compensation or damages or
anything else from the UREDA on any account.

(h) That any penal amount deducted by the Firm from any individuals on disciplinary
grounds will be reimbursed to the UREDA.
(i) That the duty hours of the employees of the Firm shall be that of eight hours. The
Firm or its employees shall not be entitled for any over time allowance unless
otherwise agreed between the parties.
(j) That Laws of Labour as applicable in the State of Uttarakhand shall abide the firm
and its employees.
11. TERMS OF PAYMENTS:
100% monthly manpower service bill payment shall be made by UREDA Head Office,
Dehradun after receiving monthly wages bills/duty chart of Account Assistant by the firm
dully verified by concerned officer in charge of UREDA within 7 days of receipt of bill
in prescribed format from the Firm.
13. That the UREDA shall have right to deduct TDS as applicable at the time of making
payment to the firm.

accounts as per applicable Law, filing of ETDS Return , GST Return,
Income Tax Return, Service Tax Return for UREDA Head Quarter
and for all the 13 district level offices at their respective location on
monthly basis.
Note: Only one rate shall be mentioned on consolidate monthly basis for all services, inclusive of all expenses like
travelling, boarding and lodging, and any taxes if applicable.
