1 INTRODUCTION M&G Resins USA LLC (hereinafter “Owner”) is going to implement and operate a new PTA & PET production Plant in Corpus Christi, Texas, United States of America. The project for the development of this plant has been denominated “Jumbo”. The scope of this Specification is to define the requirements and Technical Requirements for Construction Contractor (hereinafter, jointly denominated “Subcontractor”) within the Jumbo Plant.

3 SCOPE The scope of this document is to provide the Bidder with instructions and guidelines for preparing and submitting the Technical Proposal for construction activities. The full set of information provided by Bidders, responding to the requirements indicated in each Section, will constitute the Bidder’s Technical Proposal. The submission of partial or incomplete information for each section, in particular for Attachment M, could cause the rejection of the Technical Proposal. The Technical Proposal shall be totally unpriced and must contain exclusively the information requested in each of the sections listed below.

5.2 COMPANY ORGANIZATION CHART

The Bidder shall provide the corporate structure organization chart of its Company.

5.3 JOINT VENTURE In the case the Bidder is organized as Joint Ventures, Consortium or similar, the information requested must be submitted for each associated member. In addition the responsibilities of each Company must be well-defined in terms of: - scope of work of each member - percentage of participation in relation to the total amount of the works

6 SECTION B – INSPECTION – SITE SURVEY The Bidder shall submit a report relevant to the survey taken to the site where works will be executed, drawn up by the Bidder's and/ or Construction Assignee/ Construction Management Companies representatives, proving that the specific inspection has taken place. In the case of joint venture, consortium or similar, the site visit must be carried out by an engineer and/ or manager fully representing the joint venture or consortium. The minimum information required regarding the site visit are the following: - Date of inspection - List of Bidder's representatives attending the site survey

In addition the Bidder has to confirm the following: - Conditions and nature of the site were duly noted - Plant logistics and its access roads were duly noted - It has been collected all information relevant to potential risks - Bidder is fully aware about the difficulties relevant to any aspect relevant to the

work execution, including those activities requiring a high coefficient of operational difficulty

7 SECTION C – PLANNING – CONSTRUCTION SCHEDULE - MOBILIZATION In this section the Bidder shall provide a construction schedule based on the baseline schedule provided by the Construction Assignee/ Construction Management Companies. The schedule shall be more detailed than the one prepared by the Construction Assignee/ Construction Management Companies and shall be of the “detailed construction network” type, allowing identification of the critical path. In particular the Bidder shall submit the following information: a) detailed work schedule b) histograms of direct and indirect labor divided according to category c) planned progress curves (weekly and/or monthly and cumulative) d) estimate of direct construction man-hours and indirect man-hours for supervision e) average manpower deployment f) Company’s current and future workload g) mobilization timing and schedule for manpower (direct personnel) h) sources of manpower supply i) mobilization time for equipment.

The Bidder shall also provide a narrative description clearly stating critical situations identified and the controls intended to be put in place to ensure the compliance with the scheduled timelines. During site construction activities and work execution, the Bidder shall produce even more detailed schedules each time this is deemed necessary for correct execution of the works. The planning must be done using Primavera P6. However, during the execution timing, for the scope of working schedule and specific planning, other tools might be admitted.

7.1 WORKLOAD With reference to point f) the Bidder shall provide details of all work commitments, indicating name, duration, scope of work, Country and percentage of direct labor engaged over the total available. The information shall be put into a graph form considering works already awarded and the work load in the event of this tender being awarded. This information must be relevant to the period indicated in the work schedule attached to the RFQ.

8 SECTION D – SITE ORGANIZATION In this section, the Bidder shall specify the organization intended to be established at site. The organization chart shall be detailed up to the level of the foreman. In the organization chart it shall be indicated the name of the personnel and the position they hold in unequivocal manner. Moreover, for the key positions (e.g. Project Manager, Construction Manager, Quality Manager, HSE Manager) shall be summited the Curriculum Vitae. The structure of the site organization shall be defined on the basis of the scope of work, with the target to comply with: - execution according to the quality standards required by the Project - execution according to the safety standards in order to attaining excellent result - execution according to the time schedule fixed by the Project.

If the Bidder is a member of a joint venture, consortium or similar, shall submit an organization chart for the joint venture level, which allows proper interface with the Construction Assignee/ Construction Management Companies in an unequivocal manner (the site manager must be appointed as the representative of the J.V. or the lead company of the consortium). The organization chart must indicate the name of key personnel and the position they hold in an unequivocal manner. In addition the Bidder shall provide with the following information: a) Declaration of continuous daily presence on the site of the Safety Manager and

Construction Manager, for the entire duration of the works. In case of temporary absence a during the execution, a Deputy fully in charge shall be indicated

b) Mobilization Plan of Direct Resources.

9 SECTION E – METHOD PROPOSED FOR EXECUTION OF THE WORK In this section the Bidder shall propose a method for the execution of the scope of work defined in the contract (construction execution plan), describing in detail, the practices and procedures intended to be adopted, detailing all the work aspects. The aspects to be detailed in the Bidder’s proposal are, for example, (but not limited to): a) construction management: procedures for construction planning, reporting,

execution, check and interfacing with other Contractors b) inspections: procedure for test (visual, destructive, NDTs and pressure tests, where

applicable) c) final check for handover: procedure to be followed to declare availability for use by

the Construction Assignee/ Construction Management Companies and/ or by other Parts

10 SECTION F – SUBCONTRACTING In this section the Bidder shall indicate its possible Subcontractors that are proposed for the work execution under its responsibility. If, during the course of the works, the Bidder intends to make use of different sub-bidders with respect to those listed in this section during the proposal phase, the procedure for qualification and approval of the Subcontractor must comply with the terms of the contract. In any case each Subcontractor shall be approved in compliance with the term and condition provided with the contract. For each sub-bidder, the following information shall be provided: - Name - Address - Legal status - Description of the scope of work allocated to them - Estimate in terms of percentage of cost of the Subcontracted work (in relation to

the contract - Percentage in terms of direct construction man-hours - Other aspect deemed necessary to explain the involvement and management of

the Subcontractor(s). Note: A second level of subcontracting will not be accepted.

11 SECTION G – EQUIPMENT AND TOOLS In this section the Bidder shall indicate the equipment and tools intended to be used for the work execution, inspection, testing and pre-commissioning/ commissioning (where applicable), including site laboratory (where applicable). The list of equipment shall be as much as possible exhaustive, indicating: - type of equipment - model - ownership (if belonging to Bidder or rented) - year or manufacturing - current location.

For cranes, it is also necessary to submit the manufacturers' tables, with the rated capacities and specifications of the machinery.

11.1 HEAVY LIFT The Bidder shall give particular attention to the Heavy lift activities. All items having any of the following characteristics listed below are considered Heavy Lift: - vertical containers with a weight of exceeding 45,000 lbs - horizontal containers with a weight exceeding 110,000 lbs - installation of heavy equipment to be erected on buildings or structures with

elevation exceeding 30 ft - packages with weight exceeding 55,000 lbs, including parts of furnaces, boilers,

etc. - prefabricated elements with weight exceeding 55,000 lbs or machinery,

transformers, etc. with weight exceeding 110,000 lbs - furnaces and flare stacks - all bodies/ units with exceptional dimensions, i.e. exceeding 13 ft in diameter and

80 ft in length - vertical equipment with a diameter exceeding 7 m and total height exceeding 80 ft - lift requiring the simultaneous use of 2 or more cranes.

Bidder shall present the methodology intended to be adopted, along with the description of equipment to be dedicated for the activities and an example of lifting plan.

12 SECTION H – TEMPORARY SITE INSTALLATIONS AND LOGISTICS The Bidder shall be allocated an area for temporary site installations, their setting up/installation. Procurement of services and utilities (electricity, domestic water, communications, etc.) are in charge of Bidder. In this section the Bidder shall indicate, with his best estimate, the structures and services he intends to provide at site, in a manner adequate and coherent with the scope of work and in accordance with the RFQ requirements. The Bidder shall provide the following information (if applicable) accompanied by layout plans, preliminary drawings and other drawings, which must be attached to this section of the technical proposal: - Office layout - Roads and fencing - Workshops layout - Sheds sandblasting and painting/other area plan - Warehouse and storage area plan - Fuel storage area - Laboratory plan - Quantity, type and location of toilet and sanitary facilities - Employees accommodation.

The Bidder shall provide at its own charge and expenses to the utilities required for the work execution (power supply, water supply and discharge, sewage, communication, area preparation for temporary facilities, laydown areas, warehouse, internal parking, etc.).

13 SECTION I – SAFETY AND ENVIRONMENT In this section the Bidder shall provide information on his approach to HSE issues. At this purpose the following information/ documentation must be provided (if available and/ or applicable). a) copy of its HSE policy and HSE Management System Manual and manner in which

it is guaranteed the organization complies with them b) copies of any HSE certification (OHSAS 18001, ISO 14001, …) c) the list of the last 5 (five) years safety statistics (worldwide) within your organization,

indicating: number of Fatalities worked Man-hours Lost Time Injuries (LTI) Lost Time Injuries Frequency Rate (LTIF) Work Restricted Cases Medical Treatment Cases First Aid Cases Occupational Health Diseases Near-Misses, indicating the classification method Categories of personnel are included within Bidder’s safety statistics

d) description of accidents/ injuries (the most serious) occurred in the last 5 years

(incident description report, incident investigation report, medical reports, etc.) and how they are reported

e) description of the preventive and protective measures adopted following the accidents/ injuries that occurred

In accordance with activities to be performed, submit your proposal of Project HSE Plan as required by the HSE USA legislation. The Plan shall address at least the following, but not limited to, items: a) HSE Objectives and Targets

Organization and Responsibilities Communication System and Methods HSE Induction and Training Hazard Identification and Risk Assessment Accident/ Incident Investigation and Reporting Emergency/ Evacuation Procedures HSE Audit and Inspection List of HSE Procedures applicable to the scope of work

b) description of environmental protection management, taking into account the

activities to be performed, and of the protective measures that will be adopted c) methodology used for the supply/ selection/ delivery and maintenance of PPE

(Personal Protective Equipment), both standard devices and those required for specific operations

d) Bidder's organizational structure and organizational structure envisaged for the project/ site in question (organization chart, indicating the duties and number of HSE personnel)

If the Bidder is a member of a joint venture, consortium or similar, it shall submit information requested above for each of member company of the joint venture.

13.1 HSE DOCUMENTATION TO PROVIDE UPON STIPULATION OF THE CONTRACT

Within 30 days of possible award of the contract, the Bidder shall provide the following information and supporting documentation: a) "HSE Management Plan" and/ or documentation relative to site HSE management

for the specific project, taking into account the activities to be performed in compliance with County Law and regulation

b) HSE Procedures, comprising all the appropriate procedures for the subcontracted scope of work

c) risks assessment for health, safety and environment relevant to the working activities performed and/ or documentation/ methodology adopted to identify potential risks related to the activities

d) "Emergency Procedures", concerning all emergency situations that could occur during execution of the envisaged activities

e) personnel information/ instruction/ training programs, specific for the scope of work contracted out

f) Curriculum Vitae (CV) of site/ project personnel responsible for HSE functions

14 SECTION J – QUALITY Bidder shall indicate certifications and permissions in his possession. Copies of these certifications shall be attached to the technical proposal. Bidder shall provide information on organization and resources and on the check and test procedures intended to be used, including personnel specifically assigned to updating and using the quality control management systems as requested by the Construction Assignee/ Construction Management Companies. At this purpose, copy of the following documents shall be provided in the proposal: - Quality Plan of a similar performed project - Inspection Test Plan of a similar performed project - Organization charts: both general of the Company and Site QC Office.

Moreover, the Bidder shall provide information on the plan for execution of the required Tests (destructive and not-destructive), PMI checks and traceability of the piping components in compliance with applicable code. The Bidder shall also provide information on the subcontracting strategy it intends to adopt for the destructive and non-destructive tests. The Bidder shall submit the typical company standard of the quality manual and/ or plan. Forecasted key personnel CV to be assigned to the Project are also requested. If the Bidder is a member of a joint venture, consortium or similar, it shall be required to submit along with the proposal, the typical company standard of the manual and/ or plan for each member Company of the joint venture and the proposed split of work.

15 SECTION K – MATERIAL SUPPLIERS In this section the Bidder shall list the material/ item suppliers and/ or manufacturers proposed, giving the following information: - name - address - legal status - description of the material supplied and/or manufactured - any other documentation that allow the technical evaluation (qualification,

reference, etc.). If, during the course of the works, the Bidder intends to use of material/ item suppliers and/ or manufacturers different from those listed in this section in the proposal phase, then the procedure for approval of the supplier and/ or manufacturer must comply with the terms of the Contract.

17 SECTION M – DEVIATIONS The Bidder shall formulate the proposal in full compliance with the proposal documentation received. The Bidder shall specify in detail any activity and charge that have been excluded from the technical proposal and the associated financial proposal. The Bidder may also formulate alternatives to the Construction Assignee’s/ Construction Management Companies’ request, proposing solution/ methodology different from the ones provided with the documentation attached to the RFQ. The alternative proposal shall be detailed with advantages and benefits that can be achieved with regards to timing, cost or others aspects. The Bidder shall clearly and separately highlight in its commercial proposal any benefits that would derive from accepting the alternative proposal.
