WEST BENGAL HOUSING INFRASTRUCTURE DEVELOPMENT CORPORATION LTD.,
(WBHIDCO), a Government Company under the Department of Urban Development, Govt. of
West Bengal, invites offer from any Business Entity (excluding Individual) having capability of
marketing/ procuring of 2 lakh sq.ft. of built up space of any project of Residential, Commercial,
Retail, Institutional or Industrial purpose and Minimum Net Worth of INR 40 Crores as on 31
March 2016 through E-Auction process to be conducted through https://eauction.gov.in. E-
Auction will be held on 10.02.2017 from 12:30 hrs. and ends at 15.30 hrs, 2017. The Bidder may
be a single Entity or a group of Entities maximum 3 entities coming together to participate in the
E-Auction process. Here, Entity means a Registered Company or an LLP under Companies Act,
2013.
The bidding shall be offered to the Strategic Investor who shall require to bid in value of
Residential Built Up Space as Preferential Allotment and the initial bid number shall be for 75,000
sq. ft. at INR 3500/- per sq.ft. Accordingly, the Base starting Price for the Auction in terms of
rupee value has been fixed at INR 26,25,00,000/-. All decremental bid number shall be in multiple
of INR 35,00,000/- (i.e. 1000 sq.ft. x Rs.3500/-) and bidding shall be considered at decremental
value of INR 35,00,000/-. The optimum Financial Proposal i.e. lowest bid number in terms of
Value of Residential Built Up Space as Preferential Allotment, meeting all eligibility criteria and
proposal found satisfactory, would be considered as Preferred Bidder for signing of the Contract
Agreement.

8. Role of Strategic Investor
• The Strategic Investor shall take accountability of
Long Term Lease for a period of 99 years of 3,00,000
sq.ft. Office Space on or before Project Completion
from the Effective Date as per Contract Agreement at
INR3,000/- per square feet of built-up area (excluding
Service Tax) in 1st year and escalation thereof @6%
per annum;
• Self-absorption of the unleased stock of Commercial
Space at the above determined escalated price
based on prescribed formula upon expiry of
Agreement tenure i.e. in case the 3,00,000 sq. ft is
not leased within 3 Years from Effective Date.
Note: Effective Date means the date when WBHIDCO handed
over the Offer Documents as per Clause 3.1 of Draft Contract
Agreement.

9. Preferential Allotment (Bid Parameter)
Since the Strategic Investor undertakes to absorb the un-
leased office space, within project completion from the
effective date, WBHIDCO will provide a fixed amount of built-
up area within the Residential portion to the Strategic Investor,
as a Preferential Allotment, on long term lease of 99 years @
INR 3500 per sq. ft. (excluding Service Tax)
The bidding shall be offered to the Strategic Investor who shall
require to bid in value of Residential Built Up Space as
Preferential Allotment and the initial bid number shall be for
75,000 sq. ft. at INR 3500/- per sq.ft. Accordingly, the Base
Price for the Auction has been fixed at INR 26,25,00,000/-. All
bid number shall be in multiple of INR 35,00,000/- (i.e. 1000
sq.ft. x INR 3500/-) and at decremental value.

10. Constitutional Structure of Bidder
The Strategic Investor shall be any business Entity (excluding
Individual) in India. Here, Entity means a Registered Company
or LLP under Companies Act, 2013 .
11. Condition to Consortium Bidders
A Consortium of maximum 3 members will be allowed to
participate in the Bid
12. Eligibility criteria
The Bidder may be a single entity (“Single Bidder”) or a group
of entities (“Consortium of Bidder”) coming together to execute
the contract within stipulated time subject to compliance with
applicable laws, policies and guidelines.

India as marketing/ procuring of any one of the following:

Technical Eligibility:
Bidder (Single or Consortium) to demonstrate the composite
capability of marketing/ procuring of 2,00,000 sq.ft. of built up
space of Eligible Project:
Financial Eligibility: Combined Minimum Net Worth: INR 40 Crores as on 31
March 2016. In case of Consortium the aggregate Net-Worth
as on 31 March 2016, should meet the mentioned criteria.

1 WBHIDCO and the Contract – an Introduction
1.1 West Bengal Housing Infrastructure Development Corporation Limited (WBHIDCO), which is the nodal department for planning and execution of sustainable infrastructure
Projects in New Town, Rajarhat, has envisaged development of this landmark Project
with the objectives to develop an Iconic Tower accommodating high-end office space,
retail space, captive institutional area and luxury/ upmarket residential space at Rajarhat,
New Town area;
1.2 WBHIDCO envisages development of an Iconic Building on a plot of about 4 Acres of
land Plot No. 8 lying and situated at Central Business District, Action Area – II, New Town,
Kolkata, belonging to WBHIDCO, within the Financial Hub of Central Business District
area of New Town. The signature building is proposed to cover 10 lakh sq.ft. built area
(approx.);
1.3 WBHIDCO wishes to develop the proposed facility through self-funding basis with its own
design and planning.
1.4 Through this E-Auction process, WBHIDCO intends to select a Strategic Investor
responsible for the following scope:
(a). shall take responsibility of leasing out 3,00,000 sq.ft. of Office Space for a period of
99 Years on or before 3 Years from the Effective Date (Effective Date as
mentioned in the Draft Contract Agreement) within the proposed Iconic Building at
a pre-defined Premium Price;
(b). absorb the outstanding stock of Office Space upon payment of pre-defined
Premium Price in case the 3,00,000 sq. ft of Office Space is not leased out on or
before 3 Years from the Effective Date;
(c). shall take all liability towards tax/ duty (including service tax, stamp duty,
registration charges) for such transaction and WBHIDCO shall not be held
responsible/ liable in any manner whatsoever for such tax/ duty liability.
1.5 Upon satisfactory compliance of the above scope, the Strategic Investor shall be eligible
for Preferential Allotment of Residential Space within the Project upon payment of
INR3,500/- per sq.ft. (excluding Service Tax) of built up area subject to maximum of
75,000 sq.ft. The actual area of Preferential Allotment shall be determined through this E-
Auction Process.
1.6 For inviting Proposals for this E-Process, WBHIDCO is hereby publishing the
comprehensive Request for Qualification cum Proposal (RfQ-cum-RfP) Document
comprising following 2 volumes:

Volume 2. Draft Contract Agreement

1.7 The RfQ-cum-RfP Document may be downloaded from the website www.wbhidcoltd.com
and E-Auction Process to be conducted through https://eauction.gov.in in the RfQ-cum-
RfP Document.
1.8 This volume of the RfQ-cum-RfP sets out the bidding/ evaluation process and provide
necessary guidelines for the Bidder to participate in the E-Auction process for selection of
Strategic Investor for absorption of Office Space in Iconic Building, Rajarhat, New Town,
Kolkata.
1.9 This Volume I of the RfQ-cum-RfP Document must be read in conjunction with the Draft
Contract Agreement relating to information and conditions with regard to the participation
in the selection process.
1.10 The Bidders are advised to submit their proposal complying with the requirements
stipulated in this volume. Proposal will be disqualified in case these are incomplete or
non-responsive, and if the information is not provided as per prevailing guidelines.
1.11 All dates and time shall be treated as Indian Standard Time (IST) only.

2 Eligibility Criteria 2.1 The Bidder shall be any business Entity (excluding Individual) in India. Here, Entity
means a Registered Company or LLP under Companies Act, 2013 .
2.2 The Bidder may be a single entity (“Single Bidder”) or a group of entities (“Consortium of
Bidder”) coming together to execute the contract within stipulated time subject to
compliance with applicable laws, policies and guidelines
2.3 Minimum Eligibility Criteria Bidder (Single or Consortium) to demonstrate the capability, in India as marketing/
procuring of any one of the following Eligible Project:
o Residential Project
o Commercial Project
o Retail Project
o Institutional Project
o Industrial Project
Technical Eligibility
Bidder (Single or Consortium) to demonstrate the composite capability of marketing/
procuring of 2,00,000 sq.ft. of built up space of Eligible Project;
Financial Eligibility: Combined Minimum Net Worth: INR 40 Crores as on 31 March 2016. In case of
Consortium the aggregate Net-Worth as on 31 March 2016, should meet the mentioned
criteria.
2.4 Condition to Consortium Bidders:
• Consortium of maximum three (3) eligible entities shall be allowed;
• A Consortium Agreement in this regards is required to be submitted along with
the Proposal;
• Registration with https://eauction.gov.in. shall be required only for the Lead
Member of the Consortium;
• The Consortium Members shall be jointly and severally liable for the purpose of
this Contract;
• Every entity shall be allowed to participate in this process either singly or as
member of Consortium for one Proposal only;
• Changes in the Consortium Member for this Project shall not be allowed at any
stage of the bidding process as well as contract tenure.

3 Proposal Submission Requirement 3.1 The Bidders are required to submit their Proposal as per the Submission Check List and
upon compliance of the requirement as mentioned herein.
3.2 Registration
All those persons who wish to participate in this E-Auction and who fulfill the Eligibility
Conditions as stated above shall have to register with https://eauction.gov.in. Bidders are
requested to note that only digitally signed bids shall be accepted in the E-Auction. Hence
they should equip themselves with Digital Signature Certificates (DSC) before the date of
E-Auction.
Participation in this e-auction is not possible without a valid registration and digital signature.
3.3 Submission of Technical Proposal After the registration with https://eauction.gov.in, the Bidder has to submit the documents
stated in the Submission Check List below along with all necessary documentary
evidence on or before 06 of 02,2017. The Proposal Security shall be payable as per
terms mentioned in Clause 4. The Demand Draft/ Pay Order shall not be allowed for this
Auction process.
It is clarified that without submission of the Proposal Security and the documents as
mentioned in the Submission Check List, the Bidder shall not be allowed to participate in
the E-Auction process.
It is also clarified that if the Bidder is found to be eligible after examination of the
Technical Proposal, then only the Bidder can participate in the E- Auction to be held on
10.02.2017.
The Bidders shall be informed by 08 of 02, 2017 as regards to the eligibility to participate
in the E- Auction on the basis of the Technical Proposal submitted by the Bidder.
3.4 Use and protection of USER ID and Password and Digital Signature Certificate
The bidders are advised to keep their User ID and Password secret and not share these
with anyone to prevent misuse or abuse of the same. The bidders are also advised to
change their passwords regularly. NIC/WBHIDCO shall not be responsible for any
misuse/abuse/unauthorized use of the password of any bidder and no representation in

this regard from any bidder shall be entertained by NIC/ WBHIDCO. A bid recorded in this
e-auction against any password will be deemed to have been submitted by the owner of
the password only.
Bidders shall require Class II or Class III Digital Signature Certificate (DSC) to participate
in this e-auction. The bidder shall have to set the parameters of his computers so that the
DSC is operational. NIC / WBHIDCO shall not be responsible for any malfunctioning or
nonfunctioning of any bidder’s computer either on account of DSC or for any other reason.
Bids submitted by a bidder after signing with his/her DSC signifies non repudiation by the
bidder. Thus, a bidder after submitting a bid, cannot disown it. A bidder shall be fully and
solely responsible for the bid recorded against his/her name to be identified by the set of
User ID, Password and DSC.
3.5 Bidding Methodology On the day of the e-auction, which will be started on 10.02.17 from 12.30 hrs. onwards
upto 15.30 hrs subject to auto extension, the bidder has to visit the Government e-auction
website https://eauction.gov.in and click on the link for WBHIDCO e- auctions. He/she
has to login with his/her User ID and password. In the next page, the bidder has to click
on the link “View Live e-auctions” and click on the link with the e-auction number for this
e-auction. The bidder shall be required to sign his acceptance of e-auction terms and
conditions with his DSC and then only the bidder can have access to the bidding area.
The bidding for the plot shall be in whole Rupee in nearest lakhs. The decremented value
is Rs.35,00,000/- (thirty five lakh) only on the Base Price of Rs.26,25,00,000/-. Thus to
bid an amount of Rs 26,25,00,000 (Twenty Six Lakh Twenty Five Lakh), a bidder needs
to type 262500000 in the space provided for bidding and click on the BID button. On
clicking the BID button, the bid has to be signed by the bidder with his DSC.
3.6 Caution In Submission Of The Bid:
The Bidder shall be solely responsible for all consequences arising out of the bid
submitted by him (including any wrongful bidding by him) and no
complaint/representation will be entertained by NIC /WBHIDCO in this regard. Hence
Bidders must be careful to check (the Bid Amount/No. of Zeros /No. of Digits/Unit of
Measurement etc.) rectify their bid (if required) before submitting their Bid into the live e-
auction floor by clicking the 'Bid’ Button.

• Technical Qualification Experience (certified by Chartered Accountant) (Format 2)
• Financial Qualification along with (certified by Chartered Accountant) (Format 3)
• Consortium Agreement (Format 4)
Explanatory Note: Above information shall be applicable for each of the entity forming
Consortium for the purpose of this bidding process. Non-submission and/ or non-
compliance and/ or insufficient information as per the above Proposal Submission Check
List shall be reason for rejection of the Proposal of the Bidder without providing any
reason to the Bidder.
Such Documents are required to be uploaded online and copies thereof, duly certified,
with the original Power of Attorney should be submitted with WBHIDCO by 16.00 hrs of –
06.02.2017 for getting access to the live e-Auction field on the day of e-auction. The
Bidders can upload a single document of a compressed file containing multiple
documents (i.e. scan copy of EMD particulars, and all other documents) against this
Bidding process. The Bidders are requested not to send the original document to the
office of the WBHIDCO. Only the Preferred Bidder is required to produce the original
documents before signing of the Contract Agreement.
3.8 Pre Proposal Meeting
A Pre Proposal meeting shall be held at 1500 Hrs on 25.01.2017 at the following address
to clarify any queries that the bidders may have. Queries in writing should be sent to the
following address before 20.01. 2017. The venue of the Pre Proposal Meeting would be:

4 Proposal Security 4.1 Each Bidder shall also furnish a refundable Proposal Security amounting to INR1 Crore
(Indian Rupees One Crore) Only through RTGS.
4.2 Bank transfer charges, if applicable, shall be the sole liability of the Bidder.
4.3 No interest will be payable on the Proposal Security;
4.4 The intending Bidder shall have to pay Proposal Security through RTGS in the account of
WBHIDCO Ltd. at the Union bank of India, New Town Branch on or before 06.02.2017.

4.5 Only those registered Bidders shall be activated/ allowed to bid in this e-Auction who
have remitted UNCONDITIONAL Proposal Security and the amount has been credited
within the scheduled date.
4.6 Bidders should take utmost care to ensure that the Proposal Security are made correctly.
Proposal Security deposited elsewhere will not be considered for participation in this e-
Auction.
4.7 Proposal Security of the unsuccessful bidders would be returned after completion of the
bidding process.
4.8 On submission of the Performance Security the Proposal Security of the Preferred Bidder
shall be returned.
4.9 The Proposal Security will stand forfeited if:
(a) Bids are withdrawn within the validity period;
(b) Preferred Bidder fails to sign the Contract Agreement within stipulated time;
(c) If the Preferred Bidder fails to comply with any clause which he is required to do
as per the terms and conditions of the RfQ-cum-RfP Document.

5 General Instruction to Bidder 5.1 The Bidder shall be responsible for all the data provided in Technical Proposal. The
Proposal shall be prepared in reasonable detail to enable WBHIDCO to evaluate the
Proposal and select the Preferred Bidder.
5.2 The Bidder is advised to carry out necessary technical surveys, field investigations,
market & demand assessment, etc. at its own cost and risk, before submitting the
Technical Proposal and participation in the E-Auction process. Any queries subsequent
to submission of Proposal shall not be entertained for providing clarification.
5.3 WBHIDCO reserves the right to vet and verify any or all information submitted by the
Bidder. WBHIDCO’s decision regarding any Bidder’s eligibility or otherwise shall be final
and binding and the WBHIDCO would be under no obligation and/ or responsibility to
inform any Bidder of the grounds of such decision/ rejection.
5.4 To assist in the examination, evaluation, and comparison of proposals, WBHIDCO may,
at its discretion, ask any Bidder for clarification. Supplementary information or
documentation regarding qualifications/ any other clarifications, if any sought for from the
Bidders at any time must be provided within the time frame stipulated in such request(s).
5.5 Bidders may, prior to submitting their Proposal for the Contract, visit and examine the site
of the Project and its surroundings at their own expense and obtain and ascertain for
themselves, all technical data, demand and other information necessary for preparing
their Proposal. The WBHIDCO may provide necessary administrative support for
conducting site visit on request.
5.6 The Bidders shall be deemed to have full knowledge of the site, whether physically
inspected or not and any objection/ allegation of inadequate/ nor availability/ suppression
of information either before or after submission of Proposal shall not be entertained
irrespective of its consequences.
5.7 The Bidders shall bear all costs associated with the preparation and submission of its
Proposals, including data collection, analysis, etc. The WBHIDCO will be responsible or
liable for all such costs, regardless of the conduct or outcome of this process.
5.8 The WBHIDCO may modify in the RfQ-cum-RfP Document by issuing an Addendum
before last date of submission of Proposal.
5.9 The WBHIDCO may, at its discretion, extend the Submission Date and any such
extension shall be communicated through publication in the website of the WBHIDCO.
5.10 Each Proposal shall indicate that it is a firm and irrevocable offer, and shall remain valid
and open for a period of not less than 180 days from the last date for submission of the
Proposal.

5.11 The Selection Process shall be governed by, and construed in accordance with, the laws
of India and the Courts of Kolkata shall have exclusive jurisdiction over all disputes
arising under, pursuant to and/or in connection with the Selection Process.
5.12 The WBHIDCO reserves the right, without any obligation or liability, to accept or reject
any or all the Proposals, at any stage of the process, to cancel or modify the process, or
any part thereof, or to vary any of the terms and conditions, at any time, or can select any
party depending on its own evaluation process, without assigning any reason whatsoever.
5.13 Proposal that are incomplete in any respect or those that are not consistent with the
requirements as specified in this RfQ-cum-RfP Document may be considered non-
responsive and shall be liable for rejection.
5.14 All communication and information should be provided in writing and in English language
only and all financial data shall be in Indian Rupees only. Documents, records,
information and/ or any other information in any other language shall not be evaluated/
assessed/ reviewed for the purpose of evaluation of the proposal.
5.15 All communication and information provided should be legible, and wherever the
information is given in figures, the same should also be mentioned in words. In case of
conflict between amounts stated in figures and words, the amount stated in words will be
taken as correct.
5.16 WBHIDCO Ltd., shall not be liable for any failure or delay in performance due to any
cause beyond their control including fires, floods, strikes, go-slow, lock-out, closure,
dispute with staff, dislocation of normal working conditions, war, riots, epidemics, political
upheavals, government actions, civil commotion, breakdown of machinery, shortage of
labour, Acts, demand or otherwise or any other cause or condition beyond the control of
aforesaid causes or not and the existence of such cause or consequence may operate at
the sole discretion of WBHIDCO Ltd. to extend the time of performance on the part of
WBHIDCO Ltd. by such period as may be necessary to enable WBHIDCO Ltd. to effect
performance after the cause of delays will have ceased to exist. The provisions aforesaid
shall not be limited or abrogated by any other terms of the contract whether printed or
written.

6 Post Auction Formalities 6.1 Proposal Parameter
The optimum Financial Proposal i.e. lowest bid number in terms of Value of Residential
Built Up Space as Preferential Allotment, meeting all eligibility criteria and proposal found
satisfactory, would be considered as Preferred Bidder for signing of the Contract
Agreement. The decision of WBHIDCO shall be final and binding regarding
responsiveness, capability and capacity of the Bidder.
6.2 Award of Contract
After selection of the Preferred Bidder, a Letter of Award (the “LoA”) shall be issued, in
duplicate, by WBHIDCO to the Preferred Bidder and the Bidder shall, within 15 (fifteen)
days of the receipt of the LoA, sign and return the duplicate copy of the LoA in
acknowledgement thereof.
In the event the duplicate copy of the LoA duly signed by the Preferred Bidder is not
received by the stipulated date, WBHIDCO may, unless it consents to extension of time
for submission thereof, cancel the LoA and forfeit the Proposal Security of such Bidder
and the Bidder shall have no right for any purpose relating to this bidding process.
6.3 Execution of Contract Agreement
After acknowledgement of the LoA as aforesaid by the Preferred Bidder, the WBHIDCO
shall communicate the indicative date to the Preferred Bidder for signing the Contract
Agreement which shall be within a period of next 30 (Thirty) days from the date of LoA.
The Preferred Bidder shall not be entitled to seek any deviation in the draft Contract
Agreement.
6.4 Pre-condition for Signing of Contract Agreement
The Preferred Bidder, upon selection, shall have to submit before signing of the Contract
Agreement an unconditional Bank Guarantee for an amount of INR20 Crore (Rupees
Twenty Crore) only. The Performance Security shall be valid for 3 years from the date of
signing of the Contract Agreement or compliance of Terms of Expiry of the Contract
Agreement. In addition, the Preferred Bidder shall be required to submit a Consortium
Agreement specifying the roles and responsibility of consortium members and identifying
the Lead Member for execution of the Contract Agreement. The Consortium Agreement
will have to be submitted after of execution of the Agreement and duly registered for this
purpose.
