    1. INTRODUCTION

    1.1 The Bangladesh Telecommunication Regulatory Commission (the Commission) isempowered under Section 36 of the Bangladesh Telecommunication Act, 2001 (ActNo. XVIII of 2001) (the Act) to issue Licenses for the operation and provision oftelecommunication services and to determine the eligibility criteria and othergeneral terms and conditions of Licenses.

    1.2 Having given due consideration to the principles of transparency, fairness, non-discrimination and all other relevant principles, the Commission has decided toissue Guidelines on Licensing Procedure of Domestic VSAT-HUB Operator Licenseenvisaged in the Licensing (Procedure) Regulations 2004.

    1.3 These Guidelines, along with the terms and conditions of the License, should beread in conjunction with the Act, any subsequent legislation and prevalent laws orsector policies framed by the Government and other rules, regulations, decrees,orders, decisions, guidelines, directives and documents of general applicationissued by the Government or the Commission from time to time. The Actspecifically provides that the establishment, operation or use of telecommunication

    system including radio apparatus and provision of telecommunication services inBangladesh without a License is an offence, punishable with imprisonment or a fineor both.

    1.4 These Guidelines may be withdrawn, revised, updated or amended from time totime, without any prior notice to take into consideration various factors including,but not limited to, any threat to public health, National security and of Court orders.

    2. INTERPRETATIONS AND DEFINITIONS

    The interpretations and definitions of the terms used in these guidelines areannexed herewith as Appendix-1. The abbreviations are mentioned in Appendix-2.

    3. OBJECTIVES

    3.1 These Guidelines have been prepared taking into account the objective of theGovernment, to establish satellite communication system in Bangladesh withDomestic VSAT-HUB and Remote Terminal (RT).

    3.2 These Guidelines are intended to provide an overview of the licensing andregulatory framework for applicant(s) seeking to obtain license under theseguidelines to develop, build, own, maintain and operate Domestic VSAT-HUB and

    RT. No person or business or any organization shall be allowed to develop, build,own, operate and maintain Domestic VSAT-HUB and RT services without a validlicense issued by the Commission.

    4. GENERAL REQUIREMENTS

    4. 1 The Domestic VSAT-HUB operator (Licensee) shall develop, build, own, operateand maintain the Domestic VSAT-HUB and RT as provided in these guidelines.

    4.2 RT user shall not need to obtain any License from the Commission. The Licenseeshall register RT user to the Commission using form as per Appendix-7 byobserving necessary formalities.

    4.3 The followings are the principal legal statutes governing the telecommunicationindustry in Bangladesh:

    4.3.1 The Bangladesh Telecommunication Act, 2001 (Act No. XVIII of 2001).

    4.3.2 The Wireless Telegraphy Act, 1933 (Act No. XVII of 1933) and The Telegraph Act,

    1885 (Act No. XIII of 1885), for matters that are not covered by the BangladeshTelecommunication Act, 2001.

    4.3.3 Any Regulation/Directives/Instructions made or to be made by the Commission.

    4.3.4 Applicant(s) shall be disqualified from obtaining a License, if any provision listed insub-clauses (4.3.4.i - viii) below applies to its owner(s) or any of its director(s) orpartner(s) or any VSAT-HUB operator or to the Applicant(s) himself:-

    (i) he is an insane person;

    (ii) he has been sentenced by a court under any law, other than this Act, toimprisonment for a term of 2 (two) years or more, and a period of 5 (five)years has not elapsed since his release from such imprisonment;

    (iii) he has been sentenced by a court for committing of any offence under the Actand a period of 5 (five) years has not elapsed since his release from suchimprisonment;

    (iv) he has been declared bankrupt by the Court and has not been dischargedfrom the liability of bankruptcy;

    (v) he has been identified or declared by the Bangladesh Bank or by the court orby a bank or financial institution as a defaulter loanee of that bank orinstitution;

    (vi) if prosecution is going on against the applicant(s) or its owner(s) or any of its

    director(s) or partner(s) or any VSAT-HUB Operator for illegalvoice/data/video/text/mms (multi media system) call termination or forviolation of the Act;

    (vii) if any license of his, issued by the Commission, is under process ofcancellation;

    (viii) if any license of his, issued by the Commission, is cancelled but any fee, fine,penalty or anything else that may be recovered as public demand remainsunpaid on the date of application.

    4.4 In addition to the mandatory grounds for disqualification for applying for a licensereferred to sub-clause 4.3.4, the Commission shall also consider whether theapplicant(s) satisfies other criteria including but not limited to:

    4.4.1 Whether the applicant(s) has sufficient management and financial capacity tooperate the activities pertaining to Domestic VSAT-HUB and RT services for which

    the license will be issued;4.4.2 How far the issuance of the license will serve the public interest, telecom market

    support and National security.

    5. ELIGIBILITY

    5.1. The existing VSAT-HUB operator(s) are eligible to apply to the Commission toobtain Domestic VSAT-HUB Operator License in the 1st phase. Depending on themarket demand, additional license may be issued in the next phase.

    5.4 The License will be issued by the Commission to the operators providing VSAT-HUB

    services subject to fulfilment of other conditions as mentioned in these guidelines.

    6. AVAILABILITY OF THE LICENSING GUIDELINES

    These guidelines are available at www.btrc.gov.bd for information only.

    7. REQUIREMENTS FOR APPLICATION

    7.1 The existing VSAT-HUB operator(s) shall submit application for Domestic VSAT-HUBOperator License to the Commission in the prescribed form duly filled in, signedand sealed, together with all the necessary documents and information.

    7.2 The papers/documents to be submitted by the applicant(s) shall be as perAppendix-3, Appendix-4 and Appendix-5. Necessary forms available in theCommissions website shall be valid for submitting application.

    8. LICENSE AWARDING PROCESS

    Evaluation of applications shall be based on documents submitted by theapplicant(s). The Commission, upon evaluation, shall award the license to theappropriate Applicant(s) who shall fulfil the criteria of these guidelines to develop,build, own, operate and maintain Domestic VSAT-HUB network in Bangladesh.

    9. DURATION OF THE LICENSEThe duration of the License(s) shall initially be for a term of 15 (fifteen) years.Upon expiry of the initial term, the License(s) may be renewed for subsequentterms, each of 5 (five) years in duration, subject to the approval from theCommission and to the conditions of the License.

    10. SCOPE OF THE LICENSE

    10.1 The Licensee(s) shall provide satellite communication services to the users likeEmbassies, Corporate Offices, Banks, Branch offices, etc. The Licensee(s) mayprovide RT service to the Telecommunication operator(s) with prior approval of the

    Commission. The RT shall be given to the users on rental basis.

    10.2 After installation or shifting of Domestic VSAT-HUB and/or RT, the Licensee shallsubmit information to the Commission as per Appendix-6, Appendix-7, Appendix-8,Appendix-9 and Appendix-10 of these guidelines respectively.

    10.3 The Licensee(s) shall maintain Service Level Agreement (SLA) with its customer.SLA between the Licensee and RT user must be submitted to the Commission usingform as per Appendix-7.

    11. NETWORK DESIGN

    11.1 The Licensee shall develop, build, own, operate, maintain and secure theinfrastructure for the Domestic VSAT-HUB network and RT with satellitefrequencies to provide RT service to the users.

    11.2 The applicant(s) shall indicate its proposed technology, network topology and its,designed system capacity in the Network Plan that can be utilized by the users.

    12. TECHNICAL REQUIREMENTS FOR DOMESTIC VSAT-HUB

    12.1 Domestic VSAT-HUB must be installed within Bangladesh. RT must be controlled byDomestic VSAT-HUB. RTs under a Domestic VSAT-HUB shall be as Close UserGroup (CUG) and there shall be no direct communication between RT to RTbypassing Domestic VSAT-HUB.

    12.2 The diameter of the Antenna of Domestic VSAT-HUB should be maximum 9.3meters. Any exception shall be subject to the prior approval of the Commission.

    12.3 The Technology of RT shall be supported by the Domestic VSAT-HUB system. RTunder jurisdiction of a Licensee shall be connected with the Domestic VSAT-HUB ofthe Licensee.

    13. TECHNICAL REQUIREMENTS FOR REMOTE TERMINAL (RT)

    13.1 The diameter of the antenna of RT shall be maximum 1.2 meters in case of C

    band & 1.0 meters in case of Ku Band. Any exception shall be subject to the priorapproval of the Commission.

    13.2 RT user may need to justify to the Commission about their requirement to use RTas main backhaul, where other transmission media is available. However, RT couldbe used as backup connectivity where alternative transmission media is availablewith prior approval of the Commission. The Use of RT by ISP is subject to priorapproval of the Commission.

    13.3 For Data circuit, the RT bandwidth may be 512kbps in case of symmetric serviceand maximum down link bandwidth may be 2048 kbps in case of asymmetricservice. Any exception shall be subject to the prior approval of the Commission.

    13.4 Use of RT to establish IPLC for data communication between Bangladesh andoutside Bangladesh and for other non-commercial organizations shall be subject to

    the prior approval of the Commission.

    14. CONNECTION AND INTEROPERABILITY

    The Licensee(s) shall provide the connection arrangement and facilities to the userswith equipment and technology at VSAT-HUB and RT end. Domestic VSAT-HUB andRT systems must be interoperable with the existing telecommunicationequipment/system available in Bangladesh.

    15. PUBLIC WORKS

    15.1 Prior to any installation or maintenance work on the systems, the Licensee(s) shallobtain all necessary permissions from the relevant authorities or Governmentaldepartments for works on land owned or controlled by any Government or localauthority or statutory body and from the relevant owner or occupier for works onany private land.

    15.2 The Licensee(s) shall undertake and complete all installation and maintenance workdiligently observing the need for public safety in compliance with local laws andregulations.

    15.3 If there is possibility of affecting of third party owned property as a result of theinstallation and/or maintenance work, the Licensee(s) shall seek the applicable

    third partys consent prior to displacing or hindering with telecommunication lines,gas or water pipes, drains or sewers, or tubes, casings, ducts, wires or cables orother third party property or equipment.

    15.4 The Licensee(s) shall be solely liable for any loss, damage, claim, cost or expensecaused, arising from or in connection with any installation and/or maintenancework in public and private areas.

    16. SHARING OF FACILITIES

    16.1 The Licensee(s) shall comply with the directions of the Commission onInfrastructural network and facility sharing. All the licensed operators shall share

    the infrastructures as per Infrastructure Sharing Guidelines issued by theCommission. The pricing for sharing infrastructure shall be as per InfrastructureSharing Guidelines of the Commission.

    16.2 Where it deems necessary, the Commission may direct the Licensee to sharefacilities and/or infrastructure with other Licensee(s) and the Licensee shallcooperate and work with other Licensee(s) to submit plan for sharing offacilities/infrastructure to the Commission.

    17. FEES, RENTAL CHARGE AND TARIFF

    Fees related to Legal and Licensing wing:-

    17.1 The License acquisition fee shall be Tk. 400 (Four Hundred) Thousands includingthe annual fee for the first year and annual fee shall be Tk. 200 (Two Hundred)Thousands only for use of the Domestic VSAT-HUB.

    17.2 Registration (includes one year charge of RT)/annual charge of RT shall beeffective from the date of putting into service. RT registration/annual charge shallbe as per Table below:-

    1. User entity having RT to establish IPLC for datacommunication between Bangladesh and outsideBangladesh.

    2. Commercial Organizations. Tk. 30,000/-

    3. Other Non-commercial Organizations. Tk. 2,000/-

    17.3 Above Registration/Annual charges for other non-commercial organizations aresubject to prior approval of the Commission.

    17.4 This RT registration charge shall be paid by the concerned Licensee to theCommission within 7 (seven) days after installation and putting into service of anyRT.

    17.5 Failing to make such payment in due time by the Licensee, late fee of 15% of totalcharge/case/month irrespective of user entities shall have to be paid to theCommission in addition to registration/annual charge by the concerned Licensee. Incase of failure to make the original payment and late fee within 8 (eight) weeks ofconnection date of RT, the Commission shall reserve the right to cancel therespective License.

    17.6 The shifting charge of RT from one Geographical Location to another shall be 25%of registration charge of respective user in each case.

    Equipment Fees related to Spectrum wing:-

    17.7 Equipment charges shall be Taka 20,000 (twenty thousands) per Domestic VSAT-HUB and Taka 5,000 (five thousands) per RT.

    17.8 Partial Payment arrangement of equipment charges of VSAT-HUB and/or RT afterarrival of equipment in Bangladesh shall be as per Table below:-

    17.9 The equipment and other charges shall be effective from the date of customclearance. The Licensee(s) shall submit necessary documents in support ofequipments clearance.

    17.10 The equipment charges shall be applicable to the equipment which is capable to beused. The equipment sealed by the Commission shall not be charged from the dateof sealing of the equipment.

    17.11 The Licensee shall submit a rental charge range of RT and tariff range of differentbandwidth for approval from the Commission.

    18. INFORMATION, INSPECTION AND REPORTING18.1 The Licensee(s) shall furnish necessary information and other related matters as

    may be sought by the Commission from time to time.

    18.2 The Commission or any person authorized by the Commission shall have unfetteredright and authority to take the copies of records, documents and other informationrelating to the Licensees business, for the purpose of enabling the Commission toperform its functions under the Act, Regulations and provisions in the License.

    18.3 The Commission or its authorized representatives shall have free access to theinstallations and equipment of the Licensee and RT user; and shall have each andevery right and authority to inspect such installations at any time.

    18.4 The Licensee and RT user shall always provide all sorts of cooperation andassistance including but not limited to use of suitable office accommodation for thepurpose of inspection, tests and monitoring, etc. to the Commission or itsauthorized representatives.

    18.5 The Licensee and RT user shall maintain and record all types of technicaldocuments, Drawing, Data, copy of reporting form, copy of license and othernecessary information as and when required by the Commission.

    18.6 Licensee(s) shall furnish the following information to the Commission on quarterlybasis:-

    (i) The type and capacity of its installations.

    (ii) The number of active users.

    (iii) The number and type of connectivity.

    (iv) Pending demand.

    (v) QoS reports.

    (vi) Bandwidth utilization data of the system and individual RT.

    (vii) Different type of application used by the customer of each RT user.

    (viii) MRTG/SNMP based system and DPI and/or latest equipment recorded data ofeach VSAT-HUB and RT.

    (ix) The type and capacity of the transmission links owned and taken on lease.

    18.7 The Licensee shall submit Traffic data report to the Commission on quarterly basis.The Licensee may maintain daily/weekly/monthly/quarterly Traffic data in the

    Licensees website. Traffic Data shall contain the following information but notlimited to:-

    (i) The volume of traffic based on physical port for incoming and outgoing.

    (ii) Number of packets exchanged based on different protocols for incoming andoutgoing for individual user.

    (iii) Volume of Traffic based on originating and destination AS number.

    (iv) Volume of traffic based on different applications for individual user.

    18.8 In addition, the Licensee shall also furnish any information on systems and servicesany time if asked by the Commission.

    18.9 The report shall be sent via e-mail and a softcopy to be submitted in CD to theCommission.

    19. TRANSFER, ASSIGNMENT AND PLEDGE AS SECURITY

    19.1 The Licensee(s) shall take prior written permission of the Commission to take anyloan. The License(s) shall not be assigned or pledged as security.

    19.2 This License and any right accrued hereunder shall not be transferred, wholly orpartly, and as such transfer, if any shall be void.

    19.3 The Licensee(s) shall not subcontract out any part of the System without prior

    written permission of the Commission. The Licensee(s) may appoint agents orindependent contractors or subcontractors to carry out works or provide serviceswhich enable the Licensee(s) to discharge its duties and obligations under thisLicensing guidelines, provided that the Licensee(s) shall be liable for any act,omission, default, negligence or otherwise of the agents and independentcontractors or sub-contractors in carrying out any such works or providingDomestic VSAT-HUB and/or RT.

    20. AMENDMENTS

    20.1 The Commission has the right to change, amend, vary or revoke the terms in the

    license, which has relevance for exercising powers of the Commission provided inthe Act, upon notice to the Licensee(s), informing the reasons for the proposedchange and the time, which shall not be less than thirty (30) days to reply to thenotice.

    20.2 If no reply is received from Licensee within the stipulated time, the amendmentsshall take effect on the next day of the stipulated time. If a reply is received, theCommission shall consider the reply and notify the Licensee(s), within thirty (30)days of the reply, of its decision to either:-

    (i) Rescind the amendments or,

    (ii) Modify the amendments or,

    (iii) Proceed with the proposed amendments, in which case the amendments shalltake effect on the 15th day after the date of the Commissions second notice.

    20.3 The Licensee(s) shall comply with all new terms and conditions imposed by theCommission from time to time.

    21. SUSPENSION, CANCELLATION, REVOCATION AND FINES

    21.1 The Commission may, in any of the events specified in Section 46 of the Act,suspend or cancel all or any part of this License and/or impose fine as mentioned inSection 46(3) of the Act. The License may be cancelled for any reason(s) includingbut not limited to those described below:

    (i) In the event of the Licensees liquidation, bankruptcy or state of insolvency, orin the event that an application for declaration of bankruptcy or similar

    declaration or order is filed by the Licensee(s) itself or a third party againstthe Licensee(s);

    (ii) In case the Licensee(s) ceases to carry on business mentioned in the license;or

    (iii) In case the Licensee refrains from complying with any decision or writtendirective of the Commission.

    21.2 The Commission may also impose fine under Section 63(3) and Section 64(3) ofthe Act for any violation of any condition of the License.

    21.3 In the event of such suspension, cancellation or revocation of the License(s), theCommission may engage any agency or administration at an agreed fee to operateand maintain the system and services in order to continue the traffic through theDomestic VSAT-HUB and RT. The Licensee(s) shall not have any claim for anycompensation and any right on the revenue for the same and also shall not bearthe cost of the same.

    21.4 Cancellation of License for any reasons whatsoever shall not prejudice any otherlegal rights or remedies of the Commission conferred by the Act or any other lawfor the time being in force or the License. Cancellation shall not relieve theLicensee(s) from any obligations accrued and due under any law or this LicensingGuidelines.

    22. DISPUTE RESOLUTION

    In the event of any differences or disputes with other telecommunication operatorsand failure to resolve the differences or disputes among themselves, the Licensee(s)may refer the matter to the Commission for resolution of the same. TheCommission may decide as it consider appropriate to resolve the dispute and thesame shall be binding on the concerned parties.

    23. FRANCHISING

    23.1 The Licensee(s) shall provide the Commission with all relevant information onproposed franchisees including the proposed franchising area, the background,financial standing and experience of the franchisee, at least 6 weeks prior to theirappointment or engagement for approval. The Commission shall review such

    information, issue directions and/or disallow the appointment of the franchisee bythe Licensee(s).

    23.2 The Commission may at any time request for more information on the proposedfranchisee or direct the Licensee(s) to provide documentary evidence on variousmatters including the financial standing of the franchisee.

    23.3 The Licensee(s) shall ensure that its franchisees comply fully with all the conditionsof this License and all applicable laws. The Licensee(s) shall remain at all times fullyaccountable and liable for any act, omission, default, and negligence or otherwiseof its franchisees.

    23.4 Without waiving or limiting the other legal remedies, the Commission may at any

    time direct the Licensee to cancel the appointment of the franchisee on anyreasonable ground(s) whatsoever.

    24. CHANGES IN MANAGEMENT STRUCTURE

    24.1 The Licensee(s) shall seek written approval of the Commission before making anychange in its ownership. Any change in the ownership shall not be valid or effectivewithout the prior written approval of the Commission.

    24.2 The Licensee(s) shall neither transfer any share nor issue new shares without priorwritten permission of the Commission.

    24.3 Any breach of the conditions contained in this licensing guidelines shall result incancellation of the license.

    25. ANTI-COMPETITIVE CONDUCT AND DISCRIMINATION

    25.1 Anti-Competitive Conduct: The Licensee(s) shall not engage in anti-competitiveconduct which in the view of the Commission inhibits or impedes fair competitionincluding exploiting a position of dominance such as to unreasonably restrictcompetition.

    25.2 Acts of anti-competitive conduct include the following but not limited to:-

    Engaging in predatory price cutting which may be implied where:

    (i) a service is priced at less than marginal costs shall be continued for 2 (two)consecutive months only;

    (ii) such costs are likely to be under price competition in the market or shall notdeter competitors from entering in the market;

    (iii) entering into exclusive arrangements which deny competitors access toservices or equipment.

    25.3 Discrimination: The Licensee(s) shall not discriminate or create anyinconvenience to any person, group or class of persons, nor shall it give any unfairor unreasonable preference to itself or any other person in, amongst other things,the performance, price, terms and conditions of the services provided.

    26. PERFORMANCE MONITORING BY THE COMMISSION

    26.1 The Domestic VSAT-HUB network shall be equipped with MRTG/SNMP basedsystem to monitor bandwidth utilization and DPI and/or latest equipment tomonitor IP based traffic of its network. Access to the MRTG/SNMP based system,DPI and/or latest equipment shall be provided to the NMC and Commission.

    26.2 The Domestic VSAT-HUB operator(s) shall provide necessary hardware andsoftware to monitor their Domestic VSAT-HUB system including connectivity mediato the Commission.

    26.3 The Licensee shall provide necessary Operation and Maintenance (O & M) ControlConsoles (Terminal) at the Commission premises for inspection, monitoring and

    analysing purpose. The Licensee shall arrange the connectivity of sufficientbandwidth to facilitate smooth monitoring.

    26.4 The Terminal must be provided with original software and hardware to properlycommunicate with the Licensees O&M software. The Licensee shall extendmaintenance support and shall provide 5 User license for all the supplied softwarefor life time of the supplied equipment. The Terminal shall be equipped withsufficient primary storage and external storage to maintain MRTG/SNMP basedsystem and DPI and/or latest equipment recorded data, Log files and IPDR dumpfor 6 (six) months.

    26.5 The Licensee shall arrange at its own costs, the training programmes (at home and

    abroad) for personnel nominated by the Commission to enable them to monitorDOMESTIC VSAT-HUB network and operate Monitoring equipment.

    27. LAWFUL INTERCEPTION for Domestic VSAT-HUB system

    27.1 The Domestic VSAT-HUB system shall be LI compatible. The required LI equipmentincluding its connection media from each Domestic VSAT-HUB to NMC premisesshall be provided by Licensee. The required capacity of the LI system shall bedecided by discussion between Licensee and NMC.

    27.2 Voice, Video, Data, Text and MMS, etc. communication related equipment used bythe Licensee shall be compliant as per ETSI ES 201 671 v.2.1.1 and/or CALEA

    J.25B. Each Domestic VSAT-HUB network shall be capable to provide access to theNMC for necessary interception of information.

    27.3 LI system shall be installed with proper redundancy at NMC including transmissionmedia, other necessary hardware and software for on-line and off-line monitoring,of each Domestic VSAT-HUB network.

    27.4 The Licensee shall provide high capacity storage media, as per requirement, tostore bulk intercepted products i.e. call content etc at NMC premises. The Licensee

    shall also provide for on-line listening capability of Call Content (CC) and on-lineviewing of content as per ETSI and/or CALEA standard. Duration of CC storageshall be decided by the Commission in consultation with NMC.

    27.5 The system shall be capable of sorting and sending data contents to NMC on thebasis of the following criteria but not limited to:-

    (i) Source IP Address.

    (ii) Destination IP Address.

    (iii) E-mail Address.

    (iv) Web Address.

    (v) Catchy words in e-mail, ftp, chatting.

    (vi) Type of application services.

    27.6 The Licensee shall arrange training programmes (at home and abroad) forpersonnel nominated by the Commission to enable them to monitor DomesticVSAT-HUB and operate NMC equipment.

    28. IPDR ANALYSIS SYSTEM

    28.1 The Domestic VSAT-HUB shall be capable to generate IPDR of all types Internetcall to/from every connected route. The format/coding of IPDR shall comply withETSI and/or CALEA standard.

    28.2 The IPDR shall contain at least following fields but not limited to:-

    (i) Source IP Address;

    (ii) Destination IP Address;

    (iii) E-mail Address;

    (iv) Web Address;

    (v) Catchy words in e-mail, ftp, chatting;(vi) Type of application services;

    (vii) Other related information if any and as required by the Commission/NMC.

    28.3 Licensee shall provide an appropriate system to accumulate IPDR at NMC and theCommission. Duration of IPDR shall be decided by the Commission in consultationwith NMC. The Licensee shall provide an appropriate system to analyze allaccumulated IPDR. The format and other things shall be as per requirement of the

    Commission and NMC. The Licensee shall provide necessary storage, archivingdevice to retain bulk data IPDR as per the requirement of NMC and theCommission.

    29. NATIONAL EMERGENCIES

    29.1 Licensee(s) shall facilitate and cooperate with all relevant government bodies,departments and official agencies for the continuity of traffic through the Domestic

    VSAT-HUB and RT in the event of National emergencies or where issues of Nationalsecurity arise.

    29.2 In the event of any war or war situation, internal National disorder (includingstrikes), urgent state affairs or situations demanding National security, theGovernment may use equipment and the systems used by the Licensee(s) for

    telecommunication purpose.29.3 In case of National Emergency, declared by the President, the Government or the

    Commission may suspend any particular activity of the Licensee(s), to the extentthat it does not materially hamper the business of the Licensee(s).

    30. MISCELLANEOUS

    30.1 The Licensee(s) shall comply with all terms and conditions of the License,applicable legislation including the Bangladesh Telecommunication Act, 2001 andany applicable subsidiary legislation and all directions issued by the Commissionfrom time to time.

    30.2 The Licensee(s) shall also comply with the provisions of any existing enactment,the rules and regulations made there under by the Government and/or theCommission, and the changes and modifications including any new enactments asmay be considered expedient and necessary from time to time.

    30.3 The Commission reserves exclusive right and authority to explain or interpret anyprovision of the License, if any confusion arises regarding the actual sense orimport of any provision of the License. The explanation of the Commission shall befinal and binding on the Licensee(s).

    30.4 Violation of any of the conditions of the License shall render the License to becancelled.

    30.5 The Licensee(s) shall observe the requirements of any applicable internationalconventions on telecommunications to the extent that such a convention imposesobligations on Bangladesh unless expressly exempted by the Commission.

    30.6 The Commission and/or any other Government departments shall not be liable forany loss, damage, claim, and charge, expense which may be incurred as a result ofor in relation to the activities of the Licensee(s), its employees, agents orauthorized representatives.

    30.7 All correspondence shall be in writing and shall be sent to the Licensees registeredaddress/place of business. The Licensee shall inform the Commission regarding anychange in its address at least 07 (seven) days before the changed/new address

    takes effect.

    30.8 The Commission reserves the right at its discretion to make the terms andconditions of the License publicly available in any medium and format whether onthe Commissions or any other official government website, in any manner theydeem fit.

    30.9 For any type of unauthorized use of Domestic VSAT-HUB network by the Licensee,the Licensee shall be accountable to the Commission. In this regard an undertaking

    shall be signed by the Licensee in the stamp paper as per government rule andshall be submitted to the Commission at the time of issuing License. Theundertaking shall be notarized before submission to the Commission. The text ofundertaking shall be as perAnnex-8.

    30.10 For any type of unauthorized use of RT by RT user, both Domestic VSAT-HUB

    operator and RT user shall be jointly accountable to the Commission. In thisregard an undertaking shall be signed by the Licensee in the stamp paper as pergovernment rule and shall be submitted to the Commission at the time of issuingLicense. The undertaking shall be notarized before submission to the Commission.The text of undertaking shall be as perAnnex-9.

    30.11 The Domestic VSAT-HUB and RT system should not carry any obscene content orpromoting gambling or anti-national content, or any other content that violates theDomestic VSAT-HUB and/or RT License condition or any other Law of Bangladesh.Any sort of unauthorized activities related to Domestic VSAT-HUB or RT equipment,shall result the respective License to be cancelled.

    30.12 Depending on the output of MRTG/SNMP based system and DPI equipment and/or

    other latest equipment, if VSAT-HUB operator Licensee understands thatInternational voice/IP transit traffic either in normal or encrypted format is passingthrough the VSAT-HUB or detect any illegal use of VSAT-HUB network, theLicensee shall immediately report to the Commission with related supportingdocuments.

    30.13 For false reporting to the Commission regarding the date of putting into service,removal from service and change of geographical location of any Domestic VSAT-HUB and/or RT, the respective licensee shall be penalized.

    30.14 Domestic VSAT-HUB antenna system and/or VSAT-HUB system as a whole shall beshifted to the Teleport when it will be available in Bangladesh with permission from

    the Commission.30.15 These licensing guidelines shall be a part of the document of VSAT-HUB operator

    license.

    30.16 Each provision of these Guidelines shall be interpreted in such manner as to beeffective and valid under applicable law. If any provision is held invalid orunenforceable with respect to particular circumstances, it shall nevertheless remainin full force and effect in all other circumstances. In the event that any provision ofthis Licensing guidelines shall be deemed to be unlawful or unenforceable, thatprovision shall be deemed severed from these Guidelines, but every other provisionin these Guidelines shall remain in full force and effect. In substitution for any such

    provision held unlawful or unenforceable, there may be substituted a provision ofsimilar import reflecting the original intent of the Commission to the extentpermissible under law.

    31.17 Unless otherwise stated -

    (i) all headings are for convenience only and shall not affect the interpretation ofthe provisions of these Guidelines;

    (ii) the words importing the singular or plural shall be deemed to include theplural or singular respectively;

    (iii) any expression in masculine gender shall denote both genders;

    (iv) any reference in these Guidelines to a person shall be deemed to includenatural and legal persons;

    (vii) any reference in these Guidelines to writing or written includes a referenceto official facsimile transmission, official e-mail, or comparable means ofcommunication;

    (viii) references to Clauses, Sub-Clauses, Annexure and Schedule are to Clauses,Sub-Clauses, Annexure and Schedule to these Guidelines, respectively.

    APPENDIX-1

    DEFINITIONS AND INTERPRETATIONS

    Definitions:

    Unless the context otherwise requires, the different terms and expressions used inthese guidelines shall have the following meaning assigned to them. The headingsare given for the sake of convenience only and do not carry any special meaning.Definitions and interpretations not listed here shall bear the same meaning ascontained in the Act and the International Long Distance TelecommunicationServices Policy-2007.

    1. Application Formmeans a form prescribed for applying for the license for theoperation of Domestic VSAT-HUB services.

    2. Asia Pacific Network Information Centre (APNIC) is the Regional InternetRegistry for the Asia-Pacific region. APNIC provides number resource (IP and ASnumber) allocation and registration services that support the global operation ofthe Internet. It is a not-for-profit, membership-based organization whose membersinclude Internet Service Providers, National Internet Registries, and similarorganizations.

    3. Autonomous System Number (ASN): Autonomous System (AS) is a collectionof IP networks in the Internet and routers under the control of one entity (orsometimes more) that presents a common routing policy to the Internet. A uniqueASN is allocated to each AS for use in BGP routing. With BGP, AS numbers areimportant because the ASN uniquely identifies each network on the Internet.

    4. Antennais a transducer designed to transmit or receive electromagnetic waves.In other words, antennas convert electromagnetic waves into electrical currents

    and vice versa.

    5. Access Network Service (ANS)means the PSTN, Cellular, Cable Service andInternet Service which have direct access to the subscribers.

    6. Base Station Controller (BSC) is the section of a traditional cellular telephonenetwork which is responsible for handling traffic and signaling between a mobilephone and the Network Switching Subsystem. The BSC carries out transcoding ofspeech channels, allocation of radio channels to mobile phones, paging, qualitymanagement of transmission and reception over the Air interface and many othertasks related to the radio network.

    7. Base Transceiver Station (BTS) is the equipment which facilitates the

    wireless communication between user equipments (UE) and the network. UEs aredevices like mobile phones (handsets), WLL phones, computers with wirelessinternet connectivity, WiFi and WiMAX gadgets etc. The network can be that of anyof the wireless communication technologies like GSM, CDMA, WLL, WAN, WiFi,WiMAX etc.

    8. Commissionmeans the Bangladesh Telecommunication Regulatory Commissionestablished under the Bangladesh Telecommunication Act 2001.

    9. Close User Group (CUG)is group of RTs that can only communicate within thegroup. Any other communication would be rejected.

    10. C Bandis the original frequency allocation for communications satellites. C-Banduses 3.7-4.2GHz for downlink and 5.925-6.425Ghz for uplink.

    11. Deep Packet Investigation (DPI) is a form of computer network packet

    filtering that examines the data and/or header part of a packet as it passes aninspection point, searching for non-protocol compliance, viruses, spam, intrusionsor predefined criteria to decide if the packet can pass or if it needs to be routed toa different destination, or for the purpose of collecting statistical information.

    12. Elevationis the angular position of a satellite above the horizon.

    13. Fast Ethernet (FE)is a collective term for a number of Ethernet standards thatcarry traffic at the nominal rate of 100 Mbit/s, against the original Ethernet speedof 10 Mbit/s in computer networking.

    14. Gigabit Ethernet (GE) is a term describing various technologies fortransmitting Ethernet frames at a rate of a Gigabit per second.

    15. Global Position System (GPS)is a satellite system which is used to identifythe co-ordinate (Longitude, Latitude and Altitude) of a position on the earthsurface.

    16. Internet Engineering Task Force (IETF) develops and promotes Internetstandards, cooperating closely with the World Wide Web Consortium and ISO/IECstandard bodies and dealing in particular with standards of the TCP/IP and Internetprotocol suite. It is an open standards organization, with no formal membership ormembership requirements. All participants and leaders are volunteers, though theirwork is usually funded by their employers or sponsors.

    17. Internet Protocol version 4 (IPv4) is the fourth iteration of the Internet

    Protocol (IP) and it is the first version of the protocol to be widely deployed. IPv4 isthe dominant network layer protocol on the Internet. It uses 24 bit for Addressing.

    18. Internet Protocol version 6 (IPv6) is a network layer for Packet-SwitchedInternet works. It is designated as the successor of IPv4, the current version of theInternet Protocol, for general use on the Internet. The main change brought byIPv6 is a much larger address space that allows greater flexibility in assigningaddresses. It uses 128 bit for Addressing.

    19. Internet Service Provider (ISP)provides Internet services to the end users.

    20. International Gateway Exchange (IGW) is a switching systems throughwhich international voice traffic (VoIP and clear channel) is sent and received. IGW

    allows physical monitoring of the traffic flow.

    21. Interconnection Exchange (ICX) is a switching system which providesinterconnections among the existing/future telecommunication network of theoperators and allows monitoring, Lawful Interception (LI) facilities.

    22. International Internet Gateway (IIG)International incoming and outgoingInternet Traffic will be routed through IIG.

    23. IP Detail Record (IPDR) provides information about Internet Protocol (IP)-based service usage and other activities that can be used by Operational SupportSystems (OSS) and Business Support Systems (BSS). The content of the IPDR isdetermined by the service provider, Network/Service Element vendor, or any othercommunity of users with authority for specifying the particulars of IP-basedservices in a given context.

    24. International Private Leased Circuit (IPLC) means International point topoint Private Leased Circuit.

    25. Internet Service Provider (ISP)provides Internet services to the end users.

    26. Ku Band (Kurtz-under band) is primarily used for satellite communications,particularly for editing and broadcasting satellite television. The Ku band is aportion of frequencies ranging from 11.7 to 12.7GHz. (downlink frequencies) and14 to 14.5GHz (uplink frequencies).

    27. Lease means providing authority to others for using telecommunicationtransmission facilities for telecommunication purpose in consideration for a rental.

    28. Licenseemeans a company registered in Bangladesh under the Companys Act1994 that has been permitted and awarded a license to develop, build, operate,maintain Domestic VSAT-HUB and RT network.

    29. License means an license issued or deemed to have been issued by theCommission under the Act for establishing or operating a telecommunicationsystem or for providing telecommunication service or for operating or maintainingsuch system or service or for using a radio apparatus.

    30. LOG file is a soft file created in O&M Terminal during operation andmaintenance work of Telecommunication equipment done by O&M personnel.

    31. Longitude is the angle east or west of northsouth line between the two

    geographical poles that passes through an arbitrary point. Lines joining points ofthe same longitude are called meridians. All meridians are halves of great circles,and are not parallel. They converge at the north and south poles.

    32. Latitude is the angle from a point on the earth's surface and the equatorialplane, measured from the centre of the sphere. Lines joining points of the samelatitude are called parallels, and they trace concentric circles on the surface of theearth, parallel to the equator.

    33. Law Enforcement Agency (LEA) is the security agency to monitor data andcontents using Lawful Interception system.

    34. Lawful Interception (LI) is Legal Interception in any telecommunication

    network.

    35. Mobile Switching Center (MSC)is the primary service delivery node for GSM,responsible for handling voice calls and SMS as well as other services (such asconference calls, FAX and circuit switched data). The MSC sets up and releases theend-to-end connection, handles mobility and hand-over requirements during thecall and takes care of charging and real time pre-paid account monitoring.

    36. Multi Router Traffic Grapher (MRTG) is free software for monitoring andmeasuring the traffic load on network links. It allows the user to see traffic load ona network over time in graphical form.

    37. National Internet eXchange (NIX)is the exchange point for passing Internettraffic within the country according to the agreement among or between the ISPs.

    38. Operator means an organization or a person licensed for establishing oroperating a telecommunication system or providing telecommunication service oroperating a system which is the combination or more than one of those facilities.

    39. Orbitis a path of a satellite around the Earth.

    40. PSTNis the network of the world's public circuit-switched telephone networks.

    41. Quality of Service (QoS) is evaluated on the basis of measures on the gradeof service, calls lost due to wrong processing, bit error rate, response time,acceptable number of faults per unit subscribers served, and Mean Time ToRestore (MTTR), faults carried over beyond the MTTR, etc.

    42. Quartermeans a period of three months.43. Regulation means, regulations made or will be made in the future by the

    Commission under the Act.

    44. Remote Terminal (RT) is a VSAT Terminal which is linked with DomesticVSAT-HUB via Satellite to be used in the remote or inaccessible areas withinBangladesh.

    45. Satellite is a specialized wireless receiver/transmitter that is launched by arocket and placed in orbit around the earth.

    46. Simple Network Management Protocol (SNMP) forms part of the internetprotocol suite as defined by the Internet Engineering Task Force (IETF). SNMP is

    used in network management systems to monitor network-attached devices forconditions that warrant administrative attention. It consists of a set of standardsfor network management, including an Application Layer protocol, a databaseschema, and a set of data objects.

    47. Satellite Transponder is a circuit on a satellite that receives, modulates,amplifies and re-transmits an up linked signal.

    48. Very Small Aperture Terminal (VSAT) means a two-way satellite groundstation with a dish antenna that is smaller than or equal to 3 meters diameter.

    49. Very Small Aperture Terminal-HUB (VSAT-HUB) is a two-way satelliteground station with a dish antenna that is around 9.3 meters diameter. It is used

    for overall control of the RT network and manages the HUB itself.

    INSTRUCTIONS FOR COMPLETING THE APPLICATION FORM FOR DOMESTICVSAT-HUB OPERATOR LICENSE

    1. The prescribed Application Form as per APPENDIX-5 is the first and foremostinstrument for obtaining Domestic VSAT-HUB Operator License.

    2. The application must be made by the Applicant(s)/Applicant(s)s authorizedpersonnel. The Commission reserves the right to reject the application if it is foundthat the information or documents provided for, in this application are untrue,inaccurate or incomplete.

    3. The License shall be granted subject to the payment of License Acquisition Fee andany other relevant fees as laid down in the Licensing Guidelines.

    4. All fees and charges for the Domestic VSAT-HUB Operator License shall be as per

    these guidelines.

    5. The License fees and other fees payable in connection with this application and theDomestic VSAT-HUB Operator License(s) shall be paid in the form of Pay Order /Bank Draft made in favour of Bangladesh Telecommunication RegulatoryCommission. All payments must be made in BDT.

    6. The Commission reserves the right either to accept or reject any applicationsubmitted without assigning any reason thereof.

    7. Consideration for approval of the application shall be based on information declaredin the application form. Where it thinks fit, the Commission may seek clarificationor request additional information from any applicant/entity arising from the

    application. Any delay in notification or response may also affect the time for adecision on the application.

    8. The Commission reserves the right to disclose any information submitted byApplicant(s) to any competent authority if the Commission deems the samenecessary.

    1. That the software and hardware of the Domestic VSAT-HUB system equipment tobe installed in our premises and RT to our customer premises conform to therequirements of the licensing conditions and guidelines.

    2. That the system or software so installed does not allow any traffic to pass through

    the Domestic VSAT-HUB and RT equipment bypassing the monitoring system.3. That the software shall not be modified by the manufacturer/ supplier/ any

    operating/maintenance personnel or any other person to bypass or hide any trafficor other records.

    4. That any software change or upgrade shall be notified to the Commission withreasons thereof within 7 (seven) days of any such change.

    5. That we shall be solely responsible and liable to the Commission for anyunauthorized use of or activities related to the Domestic VSAT-HUB and/or RTequipment.

    6. That we shall be responsible to the Commission for any breach of the above

    conditions in addition to the licensing guidelines.
